The Company Secretaries have got the opportunities to show their skills-set in the areas of representation services before the adjudicating authorities since the enactment of IBC and establishments of NCLT and NCLAT. We should �lourish ourselves in the areas of representation services and make the sloka as referred above as the Guru Mantra.

Let me congratulate Team CCGRT and ICSI Jaipur Chapter Team for successfully conducting Three Days Residential Research Workshop on NCLT to achieve the objectives as I discussed here. This was the �irst of its kind workshop

organized by CCGRT with the ICSI Jaipur Chapter under the CCGRT आप के �ार Initiative. The main objective of this

initiative is to encourage the members to inculcate the interest in research and put to use the same in practice as well as groom the participants in appearing before the authorities.

CCGRT has also organized Residential Workshop on Effective Business Communication Skills to enhance the skills and groom the Company Secretaries in the areas of drafting and communication skills.

I sincerely appeal all members to come forward for research work at CCGRT and contribute your knowledge for the bene�its of the CS fraternity and corporate world at large.

It is the human mind which always think about the probable reactions before performing any actions and drives you towards apparent negative reaction from the particular action which is yet to be performed. This creates what is called as fear. This restricts one-self to perform actions. One must attempt to creatively destruct the boundaries of negative thinking in mind and perform the desire-less Karma or Nishkaam Karma.

Ignoring or running away from the performance of action will not relieve you from facing the reactions from actions. When we look back to our glorious history and ancient scriptures, we can see that the Action (कम�) is at the center-stage. Performance of the desire

less action is the only way to creatively conquer the mental fear and achieve excellence inthe �ield of your interest. This is the way through which one can get the freedom fromreactions arising out of the actions being performed by one self.

WORKSHOP ON EFFECTIVE BUSINESS COMMUNICATION SKILLS (July 13-14, 2019)

Art of communication can boost up regular, routine and also special functions. Experiential Learning in Business Communication certainly helps to develop a cutting edge in business.

With above intent, ICSI –CCGRT, under the leadership of the its dynamic Chairman CS Praveen Soni, launched a �irst-of-its-kind program on Effective Business Communication on 13 & 14th July at CCGRT, Belapur, Navi Mumbai. Crafted conveniently in a couple of weekends with an intermediate gap of 15 days. This gap is designed to internalise learnings into actions. The second phase is coming up on 27th & 28th July. However, it is open to the only participants who have completed phase one.

Expert Faculty from reputed Business Management School and Professional- Coach- Cum -Trainers led the participants for an experiential journey. There was a special add- on session on information technology to improve of�ice productivity.

The Hallmark of the program is that there is no lecture or PPT presentation. Purely participative learning through Cases, Games, Role Playing which stimulates mind. Prof Prajakta Duru, a Faculty from IES Business School, Bandra(W), Mumbai, Prof Chandrahans Chavan, Director of Jamnalal Bajaj Business School & Mr. Aadeshveer Kanchwala, a media professional and a life skills trainer cum coach were the Guides.

Though there was a blend of experienced and youth in composition of sixteen participants, but majority were at middle level CS Members in employment.

Prof Leena Jha, a Faculty of Shailesh J Mehta B School of IIT –Bombay will lead the participants for an interactive session on Professional Business Communication focusing on cross cultural dimension. She is not only a reputed expert in the �ield but also an Author of Books on the subject. Mr. Salil Bhanushali and his team will facilitate the participants for an assessment of their individual level performance based on video based clippings. The focus is on holistic approach of Business Communication and Presentation with the natural use of formal Language or PPT but also Body language and other non-verbal communication mode.

CCGRT in its continuous endeavour to provide best of the training and research platforms to all the stakeholders has come out with new and unique initiative called CCGRT आप के �ार wherein CCGRT provides complete academic assistance to host chapter or regional of�ice to conduct research based workshop in the areas of IBC and NCLT.

The �irst of its kind research workshop was held at Jaipur with the ICSI-Jaipur Chapter under the CCGRT आप के �ार Initiative on July 19-21, 2019 at Hotel Zone Palace by The Park. The participants were grilled and groomed during the programme by applying unique thought-process and futuristic approach.

Mr. Sanjay Singh Rajawat, Director and CEO of Wonder Home Finance Limited remained present as the Chief Guest during the inaugural of this workshop.

CS Praveen Soni, Chairman-CCGRT and Central Council Member, the ICSI and CS Rahul Sharma, Chairman Jaipur Chapter have made tireless efforts to make this workshop a grand success.

Renowned Senior NCLT Practitioners like CS Deepak Kumar Khaitan, CS Siddhartha Murarka, CS Nesar Ahmad, CS Amol Vyas, CS Sandeep Taneja, etc remained present and shared their knowledge and expertise in the �ield of NCLT and IBC. CS Amol Vyas and CS Sandeep Taneja acted as a judge during the mock trial on the last day of the Workshop. CS (Dr.) Shyam Agarwal, Past President, the ICSI remained present as the Chief Guest at the valedictory session of this workshop.

The participation of delegates was across the country. They were divided into teams to act as petitioner and respondents and allotted case studies to make research thereon. Participants were motivated to work hard and given the experience of working till midnight in team.

During the last day, all the teams presented their case studies either as petitioner or as respondent before the learned judges during the mock-trial. During the valedictory session, CS Praveen Soni, CS Rahul Sharma and CS (Dr.) Shyam Agarwar presented the Best Group Presentation Certi�icate, Best Pleader and Best Pleader – Runner ups Certi�icates and Participations certi�icates to the delegates.

Participants were completely rejuvenated and were feeling more con�ident in the area of representation before the NCLT after the completion of this unique workshop.

O R D E R11.07.2019 This Appeal has been preferred by the Insolvency and Bankruptcy Board of India (hereinafter

threferred to as the 'IBBI') against order dated 5 February, 2019 passed by the Adjudicating Authority (NationalCompany Law Tribunal), New Delhi Bench quashing the disciplinary proceedings initiated by IBBI.

2. The only question arises for consideration in this Appeal is whether the Adjudicating Authority/ National Company Law Tribunal has jurisdiction to quash the disciplinary proceedings once initiated by the IBBI.

3. On hearing the IBBI, we are of the view that once a disciplinary proceeding is initiated by the IBBI on the basis of evidence on record, it is for the Disciplinary Authority, i.e., IBBI to close the proceeding or pass appropriate orders in accordance with law. Such power having been vested with IBBI and in absence of any power with the Adjudicating Authority/ (National Company Law Tribunal), the Adjudicating Authority cannot quash the proceeding, even if proceeding is initiated at the instance and recommendation made by the Adjudicating Authority/ National Company Law Tribunal.

4. In the present case, we �ind that 'Corporate Insolvency Resolution Process' was initiated against Rana st

Global Limited ('Corporate Debtor'), in which Mr. Rishi Prakash Vats (1 Respondent) was appointed as a 'Resolution Professional'. For certain reason, 'Corporate Insolvency Resolution Process' was delayed and the

thAdjudicating Authority (National Company Law Tribunal), New Delhi Bench passed order dated 26 April, 2018, which reads as follows: -

th “The matter had been listed on 25 April, 2018 for report of the RP. The petition �iled by the PNB had

rd been admitted vide an order dated 23 March, 2018. The IRP has taken no steps till date merely because of a typographical error in his name as Shri Rishi Prakash Vats has been typed out as Shri Rishi Kumar Vats. However, it is not denied that address namely, Suit no.1, 19, Park Area, Karol Bagh, New Delhi-110005 or his Registration Number IBBI/IPA-002/IPN00248/2017- 18/10733, Email ID: rpvats@vgclaw�irm.com were correct. It is also inexplicable as to why the Financial Creditor has considered it �it now at this stage after more than a month to seek correction. Such a lackadaisical attitude in such proceedings is inexplicable. It would be necessary and expedient to bring it to the notice of the IBBI for an appropriate action.”

5. As the Adjudicating Authority (National Company Law Tribunal), New Delhi Bench observed lackadaisical attitude in such proceedings is inexplicable and the matter be brought to the notice of the IBBI for an

stappropriate action, pursuant to the aforesaid direction, a disciplinary proceeding was initiated against 1

Subsequently, the 1 Respondent Mr. Rishi Prakash Vats �iled certain explanation before the Adjudicating Authority, showing the reasons for delay for execution of the 'Corporate Insolvency Resolution Process'. Since, the proper explanation was given by the 'Resolution Professional', the Adjudicating Authority

thexpunged the earlier observation made on 26 April, 2018 and IBBI was informed. As IBBI continued

thproceeding Adjudicating Authority passed impugned order on 5 February, 2019 and the disciplinary proceedings have been quashed. We have already noticed that once a disciplinary proceeding is initiated, the �inal order is required to be passed by the IBBI. Expunge of the earlier order made by the Adjudicating

thAuthority on 26 April, 2018 may be a good ground to close the proceeding, but the Adjudicating Authority/ National Company Law Tribunal cannot quash the proceeding initiated by the IBBI.

th7. For the reasons aforesaid, we set aside the last portion of the impugned order dated 5 February, 2019 relating to quashing of all disciplinary proceedings. The matter is remitted to the IBBI to pass appropriate order taking into consideration the reference of initiation of proceeding by the Adjudicating Authority as

thmade on 26 April, 2018 and later acceptance of explanation. The 'Resolution Professional' has already been expunged and it is expected that an order of closure will be passed at an early date. The Appeal stands disposed of. No cost.

02.07.2019 - The Appellant ('Resolution Professional') of GVR Infra Projects Limited on the instructions, the 'Committee of Creditors' moved an application before the Adjudicating Authority, (National Company Law Tribunal) (in short 'NCLT'), Division Bench, Chennai for exclusion of 35 days of delay in appointing the 'Resolution Professional' in place of the 'Interim Resolution Professional' and the period during which different applications were pending. Prayer was rejected by impugned order dated 30th April, 2019 giving rise to the present case. Learned counsel appearing on behalf of the Appellant submitted that no 'Resolution Professional' function for 35 days after removal of 'Interim Resolution Professional' which resulted delay in proceeding and calling for application from the 'Resolution Applicant'. It is further submitted that if the period is not excluded in the absence of any viable or feasible, the Adjudicating Authority may have to pass order of liquidation. Notice was issued on Respondent - 'Reliance Capital Ltd.' and another. Inspite of service, nobody appeared.

In the present case, as the 'Corporate Insolvency Resolution Process' could not proceed in the absence of 'Resolution Professional' for 35 days the case of Appellant being covered by decision of this Appellate Tribunal in “Quinn Logistics India Pvt. Ltd.”, we allow the prayer as made in this appeal and exclude the period of 35 days for the purpose of counting 180 days or 270 days of 'Resolution Process'. We also exclude the period of pendency of 18 days during which the application remained pending before the Adjudicating Authority. Thereby, we exclude the total period of 53 days for the purpose of counting 180 days or 270 days. Part of the impugned order dated 30th April, 2019 passed by the Adjudicating Authority is set aside to the extent above. The rest part of the impugned order is af�irmed. The appeal is disposed of with aforesaid observation and directions.

Special Guet Prof. Nageswara Rao addressed the students and congratulated the students for choosing such a great profession. He shared his rich experience in the career and how he passed many obstacles during the student days and achieved many degrees to reach the stage. Shri Nageswara Rao, Special Guest informed the students that they are fortunate to having started their �irst professional class in a immense premises having facilities like NRI brand and encouraged the students to make use of it and build great path for their Professional Career.
