be sold at a price of par by negotiated sale within the limits provided by Title 60,

trust indenture shall be subject to provisions of the 2017 Note; authorizing and

directing the execution of the 2017 Note and other documents relating to the

The city received three (3) proposals for Solid Waste Disposal Services on June

29, 2017.

After an evaluation of the proposal process, it is my recommendation that we

reject all proposals and re-advertise to request proposals a second time.

As a result of this, we will need to extend our present contract with Waste

Connections for an additional two (2) months. This will be a separate agenda

item.

WATER TOWER/ COMMUNICATION SITE AGREEMENT

THIUATER TOWER ATTACHMENT COMMUNICATION SITE AGREEMENT Is entered into this

day of Grog.,,, 20c1..,by and between the City of Yukon' s MunicipalAuthority and Samaritan EMS.

1, Grant. Subject to the following terms and conditions, Owner hereby grants toTenant the non-exclusive right to install, maintain, operate and remove radio

communications equipment and appurtenances on Owner's tower (the' Water Tower")located on the property described in Exhibit" A" (the 'Premises"), and leases to Tenant

a portion of the Premises for construction and occupancy of an equipment shelter orbuilding to house Tenant's equipment on the Premises as more particularly describedin Exhibit "A", Owner shall continue to have the right to occupy the Premises andoperate the Water Tower and to grant others rights to occupy or utilize the Premisesand the Water Tower- at Owner's sole discretion. Owner also grants to Tenant a non-

exclusive easement during the term of this Agreement for Ingress, egress and regressand for the Installation and transmission of utilities on property described onattached Exhibit' 8" ("Easement"). Tenant may install equipment, personal property,improvements, alterations or fixtures as listed on and in locations as shown on ExhibitC"( the " Site Plans and Equipment"), or as Owner may otherwise approve, suchapproval not to be unreasonably withheld, conditioned or denied. Any personalproperty owned by Tenant, whether or not fixed or attached to the Premises or WaterTower, shall remain the property of Tenant prior to termination of this Agreementwithout regard to whether it appears on Exhibit `C".

2. Use. Tenant shall use the Equipment and the Premises for the purpose of

constructing, installing, maintaining, improving and operating, at Tenant's expense, acommunications facility, including antennae, equipment shelter or building, platforms,cable runs and incidental uses of the Water Tower, Tenant shall be solely responsiblefor securing any and all building permits and approvals, zoning changes orapprovals, variances, use permits, and other governmental permits from applicable

governmental authorities, including any Federal Aviation Administration approvalcollectively,' Permits") prior to any construction on the Premises. Owner agrees to

reasonably cooperate with Tenant in obtaining the Permits, and copies of the Permitsshall be provided to Owner. Tenant shall promptly pay all costs and expenses andshall not cause or permit any lien to be created against the Premises.

3. Term. The term of this Agreement shall be one( 1) year with a renewal each year,

commencing upon the earlier date of Commencement of Installation of Equipmenton the Water Tower or sixty ( 60) days from the date of full execution of this

Agreement, (the "Commencement Date") and terminating at midnight on June 30,20 '(" Initial Term"), Notice of the Commencement of Installation of Equipment on the

Water Tower for purposes of determining the Commencement Date shall be madepursuant to the Notice provisions of paragraph 18 hereof in a form substantially thesame as" Notification of Commencement of installation of Equipment"

4. Renewal Term(s), Tenant shall have the right to extend this Agreement for two( 2)additional years(" Renewal Term(s)") on the same terms and conditions as set forth Inthis Agreement.

5. Rent initial/ Renewal Term. Beginning on the Commencement Date, Tenant shall payto Owner as covered under the current ambulance service agreement withCVL Enterprise Inc., and OK Corporation DBA Samaritan EMS,

6. Water Tower Maintenance, Owner represents and warrants that Its operation of the

Water Tower, exclusive of Tenant's Equipment, including the fighting system, meets andwill be maintained In accordance with all applicable laws, rules and regulations,

including, without: Imitation, rules and regulations of the Federal CommunicationsCommission, Federal Aviation Administration and all applicable local codes and

regulations. The costs of maintaining the Water Tower, including painting of theexterior and finishing or painting the Interior of the Water Tower, shall be borne byOwner, with the exception of Tenants antennae and Equipment.

Tenant shall maintain its antennae, transmission lines, equipment and equipment

shelter in good operating condition. In the event damage is caused to the WaterTower by Tenant or Tenant's agents, employees, contractors or subcontractors, the

cost of repairing such damage shall be borne by Tenant who shall timely repair anysuch damage. Upon termination or expiration of this License, Tenant shall remove its

Equipment from the Water Tower and repair damage, if any, to the Water Towercaused by the removal of Tenants Equipment, normal wear and tear excepted.

in the event it is necessary to remove Tenant's equipment from the Water Tower toallow Tower Maintenance including painting, Tenant shall have the right but not theobligation to install a temporary structure on Owner's property adjacent to the WaterTower on which to temporarily Install its equipment during Tower maintenance orpainting. Tenant shall not be obligated to pay additional rent during this period.Upon notice from Owner that maintenance is complete, Tenant will remove the

temporary structure from Owner's Property and repair any damages caused by therelocation.

7. Maximum Permissible Emissions; Cooperative Efforts, Tenant shall regulate itsantenna power output ("RF Emissions") according to applicable guidelines orrestrictions imposed by the FCC for RF Emissions standards on Maximum PermissibleExposure (" MPE") levels. Similarly, any subsequent communications service providers

Subsequent Users") installing Equipment on the Property or the Premises after theCommencement Date of this Agreement shall also be held to compliance with suchlimits, rules and regulations and such Subsequent User shall adjust Its RF Emissions

subordinate to any requirements of Tenant, If Owner requires an engineeringevaluation or other power density study be performed to evaluate RF Emissions

compliance with MPE limits then all reasonable costs of such an evaluation or studyshall be shared equally among Tenant and any Subsequent Users of the Premises. Ifsaid study indicates that RF Emissions at the facility do not comply with MPE limits,then Tenant and any Subsequent User shall Immediately take any steps necessaryto ensure that they are individually in compliance with such limits or shall, upon

demand of Owner, cease operations until a maintenance program or other mitigatingmeasures can be Implemented to comply with MPE. Tenant shall have the right toterminate this Agreement in the event any mitigation measures cannot beImplemented without materially adversely affecting the Tenant's operations of itsEquipment.

8. Due Diligence Period. Tenant's obligation to perform under this Agreement shallbe subject to and conditioned upon:

a) Tenant's securing appropriate approvals for Tenant's intended use of its Equipmenton the Premises from the Federal Communications Commission, the Federal Aviation

Administrator, and any other federal, state or local regulatory agency havingjurisdiction over Tenant s proposed use of the Equipment;

b) Tenant's obtaining, at its option, a survey and analysis tests which must show nodefects which, in the opinion of the Tenant may adversely affect Tenant's use of thePremises;

c) Tenant' s approval of the condition of the Premises, which may be subject to, atTenant's option, an environmental audit of the Premises performed by anenvironmental consulting firm of Tenant's choice; and Tenant' s determination that theWater Tower is structurally appropriate for Tenant' s needs.

d) Tenant shall act with due diligence within sixty( 60) days of the date of executionhereof to obtain all governmental approvals necessary and to obtain any reports oranalyses as set forth above which are necessary for Tenant to perform under thisLicense. In the event that Tenant determines during the due diligence period that theWater Tower and the Premises are, in Tenant's opinion, unacceptable to Tenant, thenthis Agreement shall terminate and be of no further force or effect.

9, interference. (a) Tenant agrees to install Equipment of types and generatingfrequencies which will not cause interference to transmissions or signals from other users

of the Water Tower as may be already in place on the Water Tower. At Owner'srequest, Tenant shall provide a detailed interference analysis showing potentialconflicts between Tenant's frequencies and those of the other users already In placeon the Water Tower, In the event the Equipment causes such Interference, Tenant will

take all steps necessary to correct and eliminate the Interference. If theInterference cannot be eliminated within 48 hours after receipt of written notice from

Owner to Tenant ( Notice Date), Tenant shall temporarily disconnect the electricpower and shut down the Equipment ( except for intermittent operation for the

purpose of testing, after performing maintenance, repair, modification, replacement,or other action taken for the purpose of correcting such interference) and if suchinterference is not corrected within 30 days after receipt of the written notice, Tenant

agrees to remove the Equipment from the Water Tower and the Premises and this

Agreement shall terminate as if by expiration. After the Equipment has beeninstalled, Owner shall place similar restrictions upon interference with Tenant's

frequencies on others using Owner' s Water Tower with Owner s permission, or underprivity of contract with Owner (Third Parties), installed on the Water Tower after

Tenant's installation of the Equipment. In the event Third Parties' Interference cannotbe eliminated or rectified to Tenant's satisfaction within 48 hours after receipt ofwritten notice from Tenant to Owner (Notice Date), Owner shall cause such Third

Parties to temporarily disconnect the electric power and shut down the Third Parties'

Equipment( except for Intermittent operation for the purpose of testing, afterperforming maintenance, repair, modification, replacement, or other action taken for

the purpose of correcting such interference) and if such interference is not correctedwithin 30 days after receipt of the written notice, Owner shall, at the request of Tenant

require the party causing the interference to remove its equipment from the WaterTower and the Premises, or Tenant may, at Tenant's sole discretion and option,terminate this Agreement upon notice to Owner.

10. Utilities and Access. Owner represents that utilities adequate for Tenant's intended

use of the Premises are presently available. Further, from time to time, Tenant shallhave the right to install utilities, to be separately metered at Tenant's expense, andto improve present utilities on the Premises, including but not limited to the installationof emergency power generators. Tenant shall have the right to permanently placeutilities on, or to bring utilities across or under, the Premises and the Easement in orderto service the Equipment throughout the Initial Term or any Renewal Term of thisAgreement, Owner shall, upon Tenant's request, execute a separate written easement

in a form which may be flied of record evidencing this right. Tenant shall be responsiblefor all utility connection charges, and all utility use charges, for electricity or any otherutility used by Tenant.

Tenant shall have access to the Premises and the Equipment at all times, 24 hours

each day, through the access drive presently existing on the Easement. Owner shallmaintain the access drive in good condition throughout the Initial Term of this

Agreement or any Renewal Term, Tenant may, at Its option and own expense,construct a suitable private access drive to the Premises and the Equipment within

the Easement, To the degree additional access is required across other propertyowned by Owner, Owner shall execute an easement evidencing this right andagrees to maintain said access so that no interference is caused to Tenant by othertenants, Tenants, invitees or agents of the Owner,

11. Termination. Except as otherwise provided, this Agreement may be terminated,without any penalty or further liability, immediately upon written notice or asotherwise provided below, as follows:

By either party upon a default of any covenant or term of this Agreement by the otherparty which default Is not cured within 30 days of receipt of written notice of default

without, however, limiting any other rights available to the parties pursuant to any otherprovisions of this Agreement); or

By Tenant if it is unable to obtain or maintain any license, permit or other Permitsnecessary to the construction and operation of the Equipment or Tenant's business orIntended use of the Premises; or

By Tenant if the Premises or Equipment is damaged by casualty so as to hinder theeffective use of the Equipment; or in the event that interference, whether or not from

Owner's activities or any other source, to transmissions or signals from theCommunications Facility, in Tenant's judgment, may not be adequately corrected oreliminated by Tenant

By Tenant, if, in Tenant's reasonable judgment, network design or technologychanges render the Communications Facility obsolete or unnecessary; or

By Tenant upon six months written notice to Owner

12. Structural Analysis. Tenant shall be solely responsible to ensure that Tenant'sinstallation of the Equipment shall not significantly affect the structural integrity of theWater Tower, and that no such damage results to the Water Tower due to installation

of the Equipment. Owner agrees to furnish Tenant promptly upon Tenant s request, withtrue and accurate copies of all analyses performed on the Water Tower within the

two years preceding the request and Tenant s attachment of antennas or Equipmenton the Water Tower. In the absence of such an analysis or if the most recent analyses

are insufficient for Tenant s needs, i f Owner reasonably believes that the structuralintegrity of the Water Tower will be effected, Owner may request Tenant obtain a newanalysis. Owner agrees to cooperate with Tenant in acquiring the new analysis of the

IIWater Tower, If a new analysis of the Water Tower Is requested by Tenant or Owner,Tenant shall be responsible for coordinating that new analysis by a licensed structuralengineer or other party acceptable to Owner, and Tenant shall furnish a copy of theanalysis to Owner. The costs of the new analysis shall be paid solely by Tenant.

Owner shall notify Tenant In writing five ( 5) days prior to attaching, or permitting anyother person or entity to attach, any additional antennas, microwave dishes, orother similar equipment (Additional Antennas) to the Water Tower.

13. Taxes. Tenant shall pay any personal property taxes assessed on, or any portion of

such taxes attributable to, Tenant's Equipment. Tenant shall not pay real propertytaxes or other fees and assessments attributable to the Water Tower or the Premises,

14. Liability Insurance. During the Initial term and all Renewal Terms of thisAgreement, Owner and Tenant shall each maintain, at its own expense, insurance

covering claims for public liability, personal Injury, death and property damage undera policy of general liability insurance, with limits of not less than $ 1, 000,000.00 per

person and $2,000,000.00 per occurrence, and property damage Insurance of not less

than $500,000.00. Such insurance shall insure against liabilities arising out of or inconnection with Owner and Tenant's use or occupancy of the Premises and the Water

Tower subject to the standard exceptions found In commercial general liabilityinsurance policies.

15. Environmental Matters. Owner represents that, to Owner's best knowledge, no

Hazardous Materials are presently located on the Premises or Easement, and Owner

agrees that it will provide, at no cost or expense to Tenant, for the removal of anyHazardous Materials if Hazardous Materials are present on the Premises or the Easement

prior to the date of this Agreement or if Hazardous Materials are brought onto the

Premises or Easement by Owner, its agents, servants, employees, licensees, invitees orcontractors.

a) If after Tenant takes possession of the Premises Hazardous Materials are

discovered to exist on, under or beneath the Premises, Tenant may terminate this

Agreement and Tenant shall owe no further duties, obligations or liability to Owner.

Tenant shall comply with all laws, ordinances, rules, orders or regulations applicableto Hazardous Materials. Tenant shall not use the Premises or the Easement for

treatment, storage, transportation to or from, use or disposal of Hazardous Materials

other than petroleum products necessary for the operation of an emergencyelectrical generator,to serve the Equipment). Tenant shall be responsible for any

expense incident to the abatement or compliance with the requirements of any

federal, state or local statutory or regulatory requirements caused, directly or indirectly,by the activities of the Tenant or Tenant's agents, employees or contractors.

As used In this Agreement, "Hazardous Materials" shall mean any and all polychlorinatedbiphenyl, petroleum products, asbestos, urea formaldehyde and other hazardous or

toxic materials, wastes or substances, any pollutants, and/ or contaminants, or anyother similar substances or materials which are defined or identified as such In or

regulated by any federal, state or local laws, rules or regulations (whether nowexisting or hereinafter enacted) pertaining to environmental regulations,contamination, cleanup or anyjudicial or administrative Interpretation of such laws,

rules or regulations or any substance that after release Into the environment and

upon exposure, ingestion, Inhalation or assimilation, either directly from theenvironment or directly through food chains will or may reasonably be anticipated tocause death, disease, behavior abnormalities, cancer or genetic abnormalities.

16. Hold Harmless, Tenant agrees to defend, indemnify and hold Owner and itsAffiliates or subsidiary companies, their officers, agents and employees harmless fromand against any and all costs, damages, expenses, losses, claims, actions, suits, causes

of action,judgments, and charges of every kind and nature whatsoever, includingreasonable attorney's fees, which may in any manner arise out of or relate toTenant's use of the Equipment or Premises or the performance or non-performance of

this Agreement by Tenant's subcontractors, employees, agents, or assigns, Includingwithout limitation, those that may arise out of the use or furnishing of materials, and asto such claims, actions or causes of action arising from or resulting from anynegligence or intentional misconduct by Tenant its subcontractors, agents, servants,

employees, or any or all of them, Affiliates shall mean any person or entity thatdirectly or indirectly, through one or more intermediaries, controls, is controlled by oris under common control with, another person or entity. Control for this definition shallbe defined as holding at least a majority of voting power or operating control.

17. Notices. All notices, requests, demands and other communications hereunder

shall be in writing and shall be deemed given if personally delivered or mailed, bycertified mail, return receipt requested, or by overnight service having a record ofreceipt to the addresses indicated below:

18. Title and Quiet Enjoyment. Owner represents and warrants that it has the full

right, power and authority to execute and enter into this Agreement. Owner further

warrants that Tenant shall have the quiet enjoyment of the Premises during the termof this Agreement.

19. Owner's Representations and Warranties. Owner represents and warrants that

Tenant's Intended use of the Premises as a site for the transmission and receipt of

wireless communication signals; for the construction and maintenance of towers,antennae or buildings; and related facilities(" Intended Use") is not prohibited byany covenants, restrictions, reciprocal easements, servitudes, subdivision rules or

regulations which would prohibit Tenant's Intended Use of the Premises. Nor are

there any easements, licenses, rights of use or other encumbrances on the Premiseswhich will interfere with or constructively prohibit Tenant's intended Use of theProperty.

20. Assignment. Tenant may assign this Lease provided Tenant promptly notifiesOwner of such assignment and the assignment is subject to the provisions of this

Lease, Further, Tenant may, upon notice to Owner, mortgage or grant a securityinterest in this Lease and the Communications Facility, and may assign this Leaseand the Communications Facility to any such mortgagees or holders of securityinterests including their successors and assigns ( hereinafter collectively referred to asMortgagees").

21. Successors and Assigns. This Agreement shall be binding upon and inure to thebenefit of the parties, their respective heirs, successors, personal representatives and

assigns.

22. Compliance with Laws. All installations and operations in connection with

this Agreement by either party shall be conducted in accordance with allapplicable rules and regulations of the Federal Communications Commission,

Federal Aviation Agency, and any other applicable federal, state and local laws,codes and regulations. Tenant is solely responsible for the licensing, operation and

maintenance of Tenants Equipment, including, without limitation, compliancewith any terms of Its Federal Communications Commission license with respectto tower light observation and any notification to the Federal AviationAdministration In that regard. Tenants Equipment, transmission lines, and any relateddevises, and the installation, maintenance and operation thereof, shall not damage

the Water Tower or any property or properties adjoining, or interfere with the use ofthe Water Tower and the remainder of the Premises, by Owner or others, and Tenantshall defend, indemnify and hold harmless Owner from any such damage.

23. Holding Over, in the event Tenant remains on the Water Tower and in possession ofthe shelter or building on the Premises after the expiration of the initial Term or aRenewal Term without executing a new Agreement, Tenant shall occupy thePremises month-to-month, subject to all of the terms and conditions of this Agreementinsofar as so consistent.

24, Estoppel. Each party agrees to furnish to the other, within 10 days after request,such truthful estoppel information as the other may reasonably request.

25, WAIVER OF LIABILITY. Neither Owner nor Tenant shall be responsible or liable to the

other party for any loss or damage arising from any claim to the extentattributable to any acts or omissions of other licensees or tower users occupying thecommunications facility or vandalism or for any structural or power failures ordestruction or damage to the communications facility except to the extent causedby the negligence or willful misconduct of such party. Notwithstanding anything tothe contrary in this agreement, In no event shall Owner or Tenant be liable to the other

for, and Owner and Tenant each hereby waive the right to recover, incidental,consequential ( Including lost profits, loss of use or loss of business opportunity), punitive,exemplary and similar damages.

26. Miscellaneous. The substantially prevailing party in any litigation arising under thisAgreement shall be entitled to its reasonable attorney's fees and court costs, includingappeals, if any.

This Agreement constitutes the entire agreement and understanding of Owner andTenant and supersedes all offers, negotiations and other agreements. Anyamendments to this Agreement must be in writing and executed by Owner and Tenant.

If either Owner or Tenant is represented by a real estate broker or agent in thistransaction, that party shall be fully responsible for any fees or commission due suchbroker or agent and shall hold the other party harmless from any such claims arisingfrom execution of this Agreement,

Owner agrees to cooperate with Tenant In executing any documents necessary toprotect Tenant's rights under this Agreement or Tenant's use of the Premises. Tenant

may record this Agreement or a Memorandum of

Agreement executed by all parties.

This Agreement shall be construed in accordance with the laws of the state in whichthe Premises are located,

A) If any term of this Agreement is found to be void or invalid, such invalidity shall notaffect the remaining terms of this Agreement, which shall continue in full force andeffect.

B) Each of the undersigned warrants that he or she has the full right, power, and

authority to execute this Agreement on behalf of the party indicated for the purposesherein contained.

THIS WATER TOWER ATTACHMENT AGREEMENT CONSTITUTES A PROPOSAL BYTENANT TO LEASE SPACE ON OWNER'S PREMISES AND SHALL NOT BE BINDINGUPON TENANT UNTIL SUCH TIME AS IT IS EXECUTED ON BEHALF OF TENANT BYTENANT'S AUTHORIZED REPRESENTATIVE AND DELIVERED TO OWNER.

RESOLUTION NO. YMA-2017-05

A RESOLUTION AUTHORIZING THE YUKON MUNICIPAL AUTHORITY

(THE “AUTHORITY”) TO ISSUE ITS SALES TAX REVENUE NOTE,

SERIES 2017 IN THE AGGREGATE PRINCIPAL AMOUNT OF $10,000,000.00

(THE “2017 NOTE”); WAIVING COMPETITIVE BIDDING AND

AUTHORIZING THE 2017 NOTE TO BE SOLD AT A PRICE OF PAR BY

NEGOTIATED SALE WITHIN THE LIMITS PROVIDED BY TITLE 60,

OKLAHOMA STATUTES, SECTION 176; AUTHORIZING AND

APPROVING DOCUMENTS, PROCEDURES AND PAYMENTS RELATED

TO ISSUANCE OF THE 2017 NOTE; PROVIDING THAT THE TRUST

INDENTURE SHALL BE SUBJECT TO PROVISIONS OF THE 2017 NOTE;

AUTHORIZING AND DIRECTING THE EXECUTION OF THE 2017 NOTE

AND OTHER DOCUMENTS RELATING TO THE TRANSACTION,

INCLUDING PROFESSIONAL SERVICES AGREEMENTS; AND

CONTAINING OTHER PROVISIONS RELATING THERETO.

BE IT RESOLVED BY THE TRUSTEES OF THE YUKON MUNICIPAL

AUTHORITY:

Section 1. Authorization of Issuance of 2017 Note. The Yukon Municipal Authority

(the “Authority”), a public trust organized and existing under the laws of the State of Oklahoma,

the beneficiary of which is the City of Yukon, Oklahoma (the “City”), hereby authorizes the

issuance of its obligations designated:

$10,000,000 Yukon Municipal Authority Sales Tax Revenue Note, Series

2017 (the “2017 Note”)

The 2017 Note is to be issued for the purposes of (i) financing certain capital improvements

benefitting the City of Yukon, Oklahoma, including but not limited to: improvements to

roadways, streets and interchanges, and design and construction of a Public Works Building

(Storage and Maintenance Facility), along with related costs (collectively, the “Project”); and (ii)

providing for the payment of financing costs and for expenses of issuing the 2017 Note. The

2017 Note shall bear interest at the fixed rate of ______% per annum, and principal installments

on the 2017 Note shall be paid as set forth on Schedule A hereto. The Chairman or Vice

Chairman is authorized to execute and deliver a Certificate of Determination establishing the rate of

interest on the 2017 Note and designating the financial institution purchasing the 2017Note.

Section 2. Waiver of Competitive Bidding on Sale of the 2017 Note. Competitive

bidding on the sale of the 2017 Note is hereby waived and the same is authorized to be sold to

______________________, at a price of par value by negotiated sale, pursuant to the terms of

the 2017 Note, all within the limits provided by Title 60, Oklahoma Statutes 2011, Section 176,

as amended.

Section 3. Approval of Documents. The following documents are hereby authorized

and approved and the Chairman or Vice Chairman of the Authority is hereby authorized and

directed to execute and deliver the same on behalf of the Authority, and such documents shall be

conclusively deemed approved by the Authority upon such execution and delivery, to-wit:

(A) The 2017 Note, issued by the Authority, in the principal amount of $10,000,000,

together with interest thereon at a fixed rate of ___% per annum, which rate is not in

excess of the maximum rate prescribed by Title 60, Oklahoma Statutes 2011, Section

176, as amended, all according to the terms and conditions expressed therein.

(B) The Series 2017 Supplemental Note Indenture by and between the Authority and

BOKF, NA, as trustee bank (the “Trustee”), authorizing the issuance of and securing the

payment of the 2017 Note approved in Section 1 hereof (the “Indenture”).

(C) The Authority hereby ratifies and confirms that certain Sales Tax Agreement

dated as of March 1, 2015, between the City and the Authority (the “Sales Tax

Agreement”), which Sales Tax Agreement pertains to a year-to-year pledge of certain

sales tax revenue as security for the Note.

(D) UCC-1 Financing Statement pertaining to the 2017 Note, wherein the Authority is

the debtor and the Trustee is the secured party, and UCC-1 Financing Statement

pertaining to the Sales Tax Agreement as security for the 2017 Note, wherein the City is

the debtor, the Authority is the secured party, and the Trustee is the assignee of the

secured party, all according to the terms and conditions expressed in said Financing

Statements.

(E) The Preliminary Offering Document and Final Offering Document describing the

terms, conditions and security for payment of the 2017 Note. Bond Counsel is authorized

to file the Preliminary Offering Document and the Final Offering Document.

(F) The Closing Order, which shall direct disbursement of proceeds received from the

sale of the 2017 Note and which shall further authorize and direct the payment of the cost

of issuance of the 2017 Note.

(G) Any and all other documents and certifications as necessary to consummate

Section 4. Trust Indenture Subject to 2017 Note. The Trust Indenture dated as of

June 20, 1972, creating the Authority is subject to the provisions of the 2017 Note.

Section 5. Finalization, Execution and Delivery of Documents Necessary for

Issuance of the 2017 Note. The Chairman (or the Vice Chairman in the absence of the

Chairman), is authorized and directed (i) to execute and deliver the 2017 Note to

_________________, upon receipt of the purchase price therefor; (ii) to direct disbursement of

the proceeds received from the 2017 Note, to include but not be limited to the payment of costs

and expenses of issuance of the 2017 Note as set out in the Closing Order; and (iii) to finalize,

modify, create, execute, record and file and deliver on behalf of the Authority all bond,

and certifications necessary to consummate issuance of the 2017 Note; and, upon execution and

delivery of all documents provided for or contemplated by this Resolution, the same shall be

conclusively deemed authorized and approved by the Authority.

Superintendent— Pioneer Technology Center, Ponca City, OK

In that position, I was responsible for the administration and coordination of

all segments of the school, including planning, organizing, staffing,

reporting and budgeting. During my tenure, a Master Plan for the districtwas developed and implemented which included a $5,000,000.00 building

program. A significant part of the job included working closely with

business and community leaders of Kay county, including Conoco, Inc.,which provided a significant percentage of the funding to operate theschool district.

Superintendent—Western Oklahoma Tech Center, Burns Flat, OK

During my four year tenure at WOTC, the facility which began as the oldClinton Sherman AFB, was completely revamped, remodeled and newbuildings were constructed at a cost of$ 2,600,000.00. This was funded by

raising local operational support and building fund levies, a $ 750,000.00

grant from the Economic Development Authority and a $400,000.00 capital

outlay appropriation from the Oklahoma State Legislature. In addition, a

demonstration project was funded by the United State Corps of Engineersworth approximately $700,000.00 to remove ten old military barracks which

were unsightly and hazardous. I developed a budgeting process for the

district, developed policy and procedure, implemented curriculum andinstruction improvements and worked with the administrators of the fifteenschool districts served by WOTC.

Assistant Superintendent for Daytime Operations—Eastern Oklahoma

County Technology Center, Choctaw, OK

As a member of a team of three, we built a school from the ground up! In

my capacity as Asst. Supt. for Daytime Operations, I worked closely withthe Oklahoma Department of Career Tech to identify best practices alreadyin place throughout the state, visited those programs, and used the

information gleaned to develop the 12 identified programs to beimplemented. I wrote bid specifications, accepted bids, purchased

equipment and hired appropriate personnel to staff the daytime programs.

In addition, it was my responsibility to hire support staff, write faculty andstaff job descriptions and develop the Policy and Procedure Manual for thedistrict. After the facility opened, I supervised daytime operations of theschool.

VOLUNTEER EXPERIENCE

Peace Lutheran Church—Edmond, OK

I served four years in the capacity of Human Resources Coordinator forPeace Lutheran Church. In the 18 month absence of a pastor, I assumed

the responsibility for much of the day-to-day operations of the church, inparticular supervising and assisting the five full-time staff members. In

essence, I was the "boots on the ground" representative for the ChurchCouncil. After a new pastor was called, I assisted him in a review and

revision of the church constitution and by-laws, staff evaluations and staffreorganization. I also assisted in hiring new personnel. Currently, I am incharge Peace's participation in Cooks Night Out on the

Friday night ofeach month a free meal provided for anyone in the community. We serve

80-100 visitors and usually have 25-30 church volunteers.

Spanish Cove Retirement Community Yukon, OK

I currently serve as President-elect of Town Hall, Chair of the FinanceCommittee and am a member of the Policy Review Committee and theBuilding Committee. In addition, I am co- chair of the Elf Committee and

coordinate the Memorial Committee and regularly volunteer to assist with

Marketing events and the Wellness staff as needed.

AN ORDINANCE RESCINDING ORDINANCE NUMBER 1315 IN ITS

ENTIRETY; OF THE SMARTCODE (SC) DISTRICT REGULATIONS FOR

LAND USE; SMARTCODE REGULATIONS WITHIN THE URBAN

GATEWAY OVERLAY DISTRICT; REPEALING CONFLICTING

ORDINANCES AND RESOLUTIONS; PROVIDING FOR SEVERABILITY

AND DECLARING AN EMERGENCY.

BE IT ORDAINED BY THE COUNCIL FOR THE CITY OF YUKON, OKLAHOMA:

WHEREAS, the City Council of the City of Yukon, Oklahoma rescinds the SmartCode

described in Exhibit “A” being attached hereto and incorporated herein; and

WHEREAS, the City of Yukon Planning Commission and the Yukon Economic

Development Authority have both provided their recommendations that the SmartCode be

rescinded.

WHEREAS, the City Council determines that the regulations provided for herein are

desirable and appropriate; promote health, safety, and morals of the community; and protects and

preserves the general welfare of the community.

NOW, THEREFORE, BE IT ORDAINED AND ENACTED by the City Council of the

City of Yukon:

SECTION 1. The SmartCode (SC) District regulations described in Exhibit “A” and revisions

listed on Exhibit “B” attached hereto and incorporated herein are hereby rescinded in their entirety.

SECTION 2. Pursuant to Section 607 and 608 of the City of Yukon Zoning Ordinance, the

SmartCode (SC) District Regulations within the Urban Gateway Overlay Supplement District are

hereby rescinded in their entirety.

SECTION 3. All ordinances and resolutions and parts thereof in conflict herewith are hereby

expressly repealed insofar as they conflict.

SECTION 4. SEVERABILITY If any section, subsection, sentence, clause, phrase, or portion of

this ordinance is for any reason held invalid or unconstitutional, such portion shall not affect the

validity of the remaining portions of this ordinance.

AN ORDINANCE PROVIDING AMENDMENT TO THE CODE OF ORDINANCES OF THE CITY OF YUKON, OKLAHOMA BY AMENDING APPENDIX A - ZONING ORDINANCE, SECTIONS 201.1, 401.3, 404.1, 406.1; AND DELETING SECTION 607 AND SECTION 608, PROVIDING FOR THE RESCINDING OF AN URBAN GATEWAY OVERLAY SUPPLEMENTAL DISTRICT AND PROVIDING FOR ORIGINAL ZONING DESIGNATIONS; PROVIDING FOR SEVERABILITY AND DECLARING AN EMERGENCY.

WHEREAS, the City of Yukon ("City") has adopted the Frisco Road Economic Development Project Plan ("Project Plan"), which seeks to improve the quality of life for Yukon citizens, stimulate private investment, and enhance the tax base by promoting the development of property located in the general vicinity of Interstate 40 east of Frisco Road; and

WHEREAS, the City has authorized and designated the Yukon Economic Development Authority ("Authority"), a public trust, as a public entity to assist in carrying out provisions of the Project Plan, including incurring Project Costs pursuant to Section VIII of the Project Plan; and

WHEREAS, one of the principal actions under the Project Plan is the planning and

design approval of the Project; and

WHEREAS, to assist with this action the Authority has conducted a community design

survey, which revealed that there is a strong public preference for mixed-use, new-urban-style development for the Frisco Road Project Area; and

WHEREAS, at this time it has been realized that the development and implementation of the SmartCode has not brought about the economic and quality of life benefit and interest that the City desires for the Frisco Road Project Area; and

WHEREAS, changes to the City's zoning ordinances and development regulations are

necessary to allow the development outcomes desired by the City; and

WHEREAS, the Planning Commission and the Authority have both provided their

recommendations that the amendments and changes in zoning provided for herein be adopted;

and

WHEREAS, all required notices have been given and all required hearings have been

held in connection with the proposed change in zoning, as prescribed by the Oklahoma

Municipal Code, Title 11, Oklahoma Statutes, the Oklahoma Open Meetings Act, Title 25,

Oklahoma Statutes, Section 302, et seq., and other applicable law; and

WHEREAS, the City Council of the City of Yukon determines that the amendments and

changes in zoning provided herein are desirable and appropriate; promote the health, safety, and

morals of the community; and protects and preserves the general welfare of the community.

NOW, THEREFORE, BE IT ORDAINED AND ENACTED by the City Council of

the City of Yukon:

SECTION I. That Section 201.1 of the City of Yukon Zoning Ordinance be amended to

read as follows:

201.1 - Zoning districts established.

For the purpose of this Ordinance and the promotion of public health,

safety and general welfare of the community, the following districts are hereby

amended for the City of Yukon, Oklahoma:

A Agricultural District

R-1 Single-Family Residential District

R-2 Combined Residential District

R-3 Low and Medium Density, Multi-Family Residential District

CB Central Business District

C-1 Office District

C-2 Convenience Commercial District

C-3 Restricted Commercial District

C-4 Planned Shopping Center District

C-5 Automotive and Commercial Recreation District

C-6 General Commercial District

I-1 Light Industrial District

I-2 Heavy Industrial District

PUD Planned Unit Development Supplemental District

SECTION 2. That Section 401.3 of the City of Yukon Zoning Ordinance be amended to

read as follows:

401.3 - Residential uses restricted to residential lots.

It is intended that these regulations be interpreted as not permitting a

dwelling unit to be located on the same lot with or within a structure used or

intended to be used primarily for nonresidential purposes, with exceptions for

one accessory residential unit provided for a night watchman, motel manager, or

similar purpose where essential to the main use of the lot.

SECTION 3. That Section 406.l of the City of Yukon Zoning Ordinance be amended to read as follows:

406. l - Purpose and application.

It is the intent of these requirements that adequate parking, loading and

maneuvering facilities be provided on off-the-street areas for each use of land

within the City of Yukon. Requirements are intended to be based on the demand

created by each land use and will be satisfied by facilities which are functionally

adequate and aesthetically pleasing. These requirements shall apply to all uses in

all districts.

SECTION 4 . All Section 607 is hereby deleted.

SECTION 5. All Section 608 is hereby deleted.

SECTION 6. That the boundaries of the Urban Gateway Overlay Supplemental District

created in Section 4 herein established as described in “Exhibit A” are hereby rescinded.

SECTION 7. The City Clerk of the City of Yukon is hereby authorized and directed to

publish this ordinance in the manner and for the length of time prescribed by law.

SECTION 8 . SEVERABILITY. If any section, subsection, sentence, clause, phrase, or

portion of this ordinance is for any reason held invalid or unconstitutional, such portion shall not

affect the validity of the remaining portions of this ordinance.

SECTION 9 . EMERGENCY. WHEREAS, it being necessary for the preservation of

the peace, health, safety, and public good of the City of Yukon and the inhabitants thereof, an

emergency is hereby declared to exist, and by reason whereof, this ordinance shall take full force

from and after its passage, as provided by law.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF YUKON,

OKLAHOMA (THE “CITY”), APPROVING THE INCURRENCE OF

INDEBTEDNESS BY THE YUKON MUNICIPAL AUTHORITY (THE

“AUTHORITY”) ISSUING ITS SALES TAX REVENUE NOTE, SERIES 2017

IN THE AGGREGATE PRINCIPAL AMOUNT OF $10,000,000.00 (THE “2017

NOTE”); WAIVING COMPETITIVE BIDDING AND AUTHORIZING THE

2017 NOTE TO BE SOLD AT A PRICE OF PAR VALUE BY NEGOTIATED

SALE WITHIN THE LIMITS PROVIDED BY TITLE 60, OKLAHOMA

STATUTES, SECTION 176; AUTHORIZING AND APPROVING A SALES

TAX AGREEMENT PROVIDING SECURITY FOR THE 2017 NOTE;

PROVIDING THAT THE TRUST INDENTURE SHALL BE SUBJECT TO

BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF

YUKON:

Section 1. Authorization of Issuance of 2017 Note. The Yukon Municipal Authority

(the “Authority”), a public trust organized and existing under the laws of the State of Oklahoma,

the beneficiary of which is the City of Yukon, Oklahoma (the “City”), is hereby authorized to

incur an indebtedness by the issuance of its obligation designated:

$10,000,000 Yukon Municipal Authority Sales Tax Revenue Note, Series

2017 (the “2017 Note”)

The 2017 Note is to be issued for the purposes of (i) financing certain capital improvements

benefitting the City of Yukon, Oklahoma, including but not limited to: improvements to

roadways, streets and interchanges, and design and construction of a Public Works Building

(Storage and Maintenance Facility), along with related costs (collectively, the “Project”); and (ii)

providing for the payment of financing costs and for expenses of issuing the 2017 Note; provided

that the 2017 Note shall never constitute a debt of the City.

Section 2. Waiver of Competitive Bidding on Sale of the 2017 Note. Competitive

bidding on the sale of the 2017 Note is hereby waived and the same is authorized to be sold to

______________________, at a price of par value by negotiated sale, pursuant to the terms of

the 2017 Note, all within the limits provided by Title 60, Oklahoma Statutes 2011, Section 176,

as amended.

Section 3. Sales Tax Agreement. The City hereby ratifies and confirms that certain

Sales Tax Agreement dated as of March 1, 2015, by and between the City and Authority (the

“Sales Tax Agreement”), which Sales Tax Agreement pertains to a year-to-year pledge of certain

sales tax revenue as security for the 2017 Note.

Section 4. Trust Indenture Subject to Revenue Note. The Trust Indenture dated as of

June 20, 1972, creating the Authority is subject to the provisions of the 2017 Note.

Section 5. Finalization, Execution and Delivery of Documents Necessary for

Issuance of the 2017 Note. The Mayor (or the Vice Mayor in the absence of the Mayor) is

authorized and directed to finalize, modify, create, execute, record, file and deliver on behalf of

the City all bond, securities, tax and security documents and certifications necessary to

consummate issuance of the 2017 Note, and further to modify dates with respect to the 2017

Note and other instruments and to modify the name of the 2017 Note; and, the City Clerk (or the

Deputy City Clerk in the absence of the City Clerk) is authorized and directed to provide all

attestations and certifications necessary to consummate issuance of the 2017 Note; and, upon

execution and delivery of all documents provided for or contemplated by this Resolution, the

same shall be conclusively deemed authorized and approved by the City.

ORDINANCE NO. 1346

AN ORDINANCE AMENDING SEC. 2-137(B) OF THE CODE OF

ORDINANCES OF THE CITY OF YUKON BY DETERMINING THAT

CERTAIN OBLIGATIONS, INCLUDING THE YUKON MUNICIPAL

AUTHORITY SALES TAX REVENUE NOTE, SERIES 2017 IN THE

AGGREGATE PRINCIPAL AMOUNT OF $10,000,000, DO NOT EXCEED

DEBT LIMITATIONS; REPEALING ALL CONFLICTING ORDINANCE

PROVISIONS; AND DECLARING AN EMERGENCY.

BE IT ORDAINED BY THE COUNCIL OF THE CITY OF YUKON, OKLAHOMA:

Section 1.

The Code of Ordinances of the City of Yukon is hereby amended by amending the

existing language of Section 2-137(b), which new Section 2-137(b) is set out in its entirety

below, to-wit:

(b) The following bonds and indebtedness are conclusively determined

to be within and not to exceed the limitations of Section 2-137(a), or any debt

limitations of the Code of Ordinances or the Charter of the City, and any

conflicting provisions of the Code of Ordinances of the City are modified to the

extent necessary to fully validate the following:

(i) Yukon Municipal Authority Sales Tax and Utility System Revenue and

Refunding Bonds, Series 2012 in the aggregate principal amount of

$6,500,000.

(ii) Yukon Municipal Authority Sales Tax and Utility System Revenue and

Refunding Bonds, Series 2013 in the aggregate principal amount of

$8,500,000.

(iii) Yukon Municipal Authority Sales Tax Revenue Note, Series 2015A in the

aggregate principal amount of $9,520,000.

(iv) Yukon Municipal Authority Sales Tax Revenue Note, Series 2015B in the

aggregate principal amount of $5,805,000.

(v) Yukon Municipal Authority Revenue Note, Series 2015 in the aggregate

principal amount of $2,400,000.

(vii) Yukon Municipal Authority 2016 Revenue Note in the aggregate principal

amount of $4,800,000.

(vii) Yukon Municipal Authority Sales Tax Revenue Note, Series 2017 in the

aggregate principal amount of $10,000,000.

Section 2. Repealer.

All provisions of the Code of Ordinances of the City of Yukon which are inconsistent

with the foregoing are hereby repealed to the extent of such conflict, it being intended that the

foregoing Ordinance shall supersede and modify any conflicting provisions contained in the

Code of Ordinances of the City of Yukon.

Section 3. Emergency.

Whereas, it is necessary for the immediate preservation of peace, health and safety of the

citizens and residents of the City of Yukon, Oklahoma, that the foregoing Ordinance be enacted,

and that the provisions of this Ordinance become immediately effective, an emergency is hereby

declared to exist and this Ordinance shall be in full force and effect immediately from and after

its passage and approval as provided by law.

RE: Approval of Expenditure

On May 16, 2017 the Yukon City Council approved the Radio Usage Agreement

with the City of Oklahoma City. This agreement contained a fifteen year

Capital Replacement Allocation Fee which is being assessed to all users of the

radio network. We have received our first of fifteen annual invoices.

I am asking that an item to be placed on the next Council agenda authorizing

the expenditure of funds for the $ 32,384.00 amount, to be paid to the City of

Oklahoma City from the Technology Department 2017-2018 budget.
