A RESOLUTION AUTHORIZING THE CITY MAYOR TO SIGN INTO A MEMORANDUM OFAGREEMENT BETWEEN THE CITY GOVERNMENT OF SANTA ROSA, TEACH FOR THEPHILIPPINES, INC. WHEREAS, the City Government of Santa Rosa, Laguna and the Schools Division of Santa RosaCity is aware of the needs of the City with regards to access to an excellent and relevant education;

WHEREAS, DepEd-Santa Rosa City and LGU recognize the nature of high-need public schoolsand welcome the continued implementation of the Teach for the Philippines Program for the period SY2017-2018 and SY 2018-2019;

WHEREAS, TFP is initiated to designed to recruit, select, train and provide on-going professionaldevelopment to young individuals committed to closing the achievement gap by serving as Fellows whowill teach students in under-resourced public elementary schools;

WHEREAS, TFP placed 3 Teacher Fellows in School Year 2015-2016 in Southville IV ElementarySchool in the City of Santa Rosa, Laguna and they were assigned to teach Kindergarten and acrossGrades 2 to 6 in Elementary;

WHEREAS, from 2015 to 2017 TFP impacted the lives of 300 students in Southville IV, with 90thpercentile satisfaction rating in behavior measurement survey held among community stakeholders;

WHEREAS, under the leadership of Mayor Danilo Ramon S. Fernandez and of the SchoolsDivision Superintendent Dr. Helen Ramos, TFP has expanded to two communities this 2017: AplayaElementary School and Sinalhan Elementary School and be a placement Partner Schools for the periodSchool Year 2017-2018 and School Year 2018-2019;

WHEREAS, the terms and conditions stipulated in the aforesaid MOA is beneficial to the city andits people;

MEMORANDUM OF AGREEMENT

This Memorandum of Agreement ("Agreement") is entered into this day of ,2016 in the City of Republic of the Philippines, by and between:

TEACH FOR THE PHILIPPINES, INC. is a non-stock, non-profit corporationorganized and existing under the laws of the Republic of the Philippines, with address at Unit201, Asia Tower Condominium Benavidez corner Paseo de Roxas Sts., Legaspi Village,Makati City represented herein by its Chief Executive Officer, Ms. Clarissa Isabelle LDelgado, hereinafter referred to as "TFP";

and

The DEPARTMENT OF EDUCATION, SCHOOLS- DIVISION OFFICE OF SANTAROSA CITY of the Republic of the Philippines with address at 2nd Fir. Leon C. ArcillasMemorial Building, Brgy. Witnesseth, That:

WHEREAS, 11.1' is driven by-the vision that all Filipino children should have access toan excellent and relevant education that realizes his possibilities and opportunities, asespoused by the national education agenda;

•WHEREAS, 'iliP seeks te enhance the social well-being of the people by bridging the

education gap in the Philippines and advocating functional literacy and progressive teacherand administrator training;

WHEREAS, .the initiative is designed to recruit, select, train and provide on-goingprofessional development to young individuals committed. to closing the achievement gap byserving as Fellows who will teach students in under-resourced public elementary schools.

WHEREAS, DepEd-Santa Rosa City and LGU recognize the nature of high-need publicschools and welcome the continued implementation of the Teach for the PhilippinesProgram (the "Program") for the period SY 2017-2018 and SY 2018-2019 which will: (1)provide Fellows in Philippine public elementary schools in Santa Rosa City; (2) continue theprogram in which education and non-education majors are trained to become successful andtransformational teachers;' (3) establish a long-term impact of Teach for the Philippines'presence in Santa Rosa. City for SY 2017-2018 and 'SY 2018-2019; and (4) help in the researchand development for future education policies based on scientific evidence.

NOW, THEREFORE, in consideration of the foregoing and the mutual undertakingshereinafter set forth, the parties hereby agree as follows:

ARTICLE IResponsibilities of TEACH FOR THE PHILIPPINES, Inc.

A Candidate Recruitment and Selection - TFP shall recruit and select individuals from a widerange of academic majors, career fields and diverse backgrounds to participate in theProgram, and who will serve as Fellows in the Partner Schools in Santa Rosa City (Pleaserefer to Appendix A for the list of schools). In the recruitment and selection of its Fellows,TFP shall not knowingly engage in any unlawful acts of discrimination.

For purposes of this Agreement, a "Fellow" is a graduate from a top university, withinthe Philippines or abroad, who has passed the rigorous selection process conducted by 11,11for participation in the Program and who shall not be covered by the provisions of RepublicAct No. 4670, otherwise known as the "Magna Carta for Public School Teachers." A Fellowshall be assigned to teach in a class or a grade level under the supervision of a teacher, suchassignment shall be predetermined and agreed upon by TFP and the DepEd-Santa Rosa, andshall likewise be under the supervision and control of the school principal.

TFP shall employ reasonable efforts to provide the number of Fellows required by theLGU and/or the DepEd-Santa Rosa; Provided, that, the failure of IFP to provide all of therequired number of Fellows for any school year shall not constitute a breach of thisAgreement

B. Pre-Service Training or Summer Training Institute- Before their two-year deployment, allFellows shall undergo rigorous pre-service training to be provided by ITT in closecoordination with the Department of Education Central Office (DepEd) prior to theirassignment to a Partner School to ensure that each participant is highly qualified andequipped to serve as a Fellow.

Fellows are expected to attend continuing training sessions by TFP during the 2-monthsummer period between the two school years (SY 2017-2418 and SY 2018-2019)

They will also carry out their function as teachers in the school during this period, asprescribed by their respective school principals.

C. Allowance of Fellows. - All Fellows shall receive an allowance during his or her placementin a Partner School including the period between the two school years, without prejudice tothe extension of such placement upon the agreement of TE .P and the LGU, or the LGU and theindividual fellow.

D. In-service Professional Development. - In close coordination with DepEd and DepEd-SantaRosa,11.? shall provide the Fellows with various in-service professional developmentservices and activities, including classroom observation by program staff, videotaping ofinstruction with a review of teaching techniques, discussions to facilitate capacity for self-reflection and evaluation of instructional practice using student achievement data, andworkshops facilitated by veteran teachers.

E. Access to Teacher Resources. - TFP shall provide all Fellows with access to an assortment ofresources including sample lesson plans, assessments, grade tracking systems andinstructional materials.

F. Partnerships.- In an effort to engage the Partner School community, TFP will proposeactivities in coordination with partner individuals and institutions,, subject to' theendorsement of the school principal.

G. Liquidation Documents - 'INP shall be responsible for liquidating all public funds donatedby the LGU to TFP. At the end of each tranche period, TFP shall submit the followingdocumentary requirements to the LGU:

•Certified true copy of the signed Memoranduniof Agreement;•Liquidation Report and other supporting documents indicating that Fellows, master.

trainers, and representatives of involved training institutions have received the fundgiven their status as beneficiaries;

•Bank Statement from the reputable financial institution that maintains the account ofTFP. The Bank Report must indicate disbursement of the fund to the beneficiaries forthat period;

•Pictures of Fellows teaching in their respective placement schools and master trainersconducting programs for the Fellows;

•Certificate of Rendered Service indicating that the Fellows have completed their teachingload for the given period as acknowledged by the Schools Division Superintendent ofSanta Rosa City;

•Attendance Record of the Fellows showing their presence in their placement schools asacknowledged by the Principal or any staff member of the school;

Said documentary requirements for liquidation shall be submitted to the LGU withinninety (90) working days after the release of the funds to .

H. Checking Account - TM shall maintain a separate checking account for the funds receivedfrom the LGU.

I. Return of Unutilized Fund - 1.E.1 shall, return to the LGU• any unutilized amount from thefunds donated for the Prolgam within ninety (90) days from the end of the Program,including interest earned, if any.

ARTICLE IIResponsibilities of DepEd-Santa Rosa City

A. Selection of Schools. - The DepEd-Santa Rosa, in collaboration with TFP, shall select anddesignate the public elementary schools in Santa Rosa City, or the "Partner Schools," wherethe participants recruited and selected by TFP will be placed as Fellows. A Partner has atleast two (2) teaching positions in the grade level which, as determined by the parties, willnecessitate the placement of at least two (2) Fellows in the same school year.

B. Commitment to Place Fellows - The DepEd-Santa Rosa shall consider all Fellows presented,recruited and selected by 1119 for placement in the designated Partner Schools subject to theprovisions of Article LA of this Agreement.

D. Notice of Placement. - TFP and the DepEd-Santa Rosa shall agree on the placement of theFellows no later than three al months before the start of the Summer Training Institute.

E. Placement Period. - Each Fellow shall be placed in the designated Partner School for two (2)school years, without prejudice to the extension of such placement upon the agreement ofTFP and the LGU, or the LGU and the individual fellow, and shall teach for a maximum ofsix (6) hours a day under the supervision of the principal of the Partner School to which theFellow is assigned.

The DepEd-Santa Rosa shall ensure that a Fellow assigned to a Partner School for theduration of the Program shall not be relieved of his or her position notwithstanding theremoval or reassignment of the principal assigned in the Partner School.

During the placement period, the DepEd, DepEd-Santa Rosa, and/or LGU shall notburden the Fellows with duties and responsibilities that are not contemplated by thisAgreement, such as but not limited to duties relating to national and/or local elections andpartisan events. -

The principals of the Partner Schools shall have direct control and supervision over theFellows assigned to his or her school. DepEd-Santa Rosa may allow "mentors and mastertrainers" from TFP to visit the Partner Schools two (2) to three (3) times a month to monitorthe Fellow inside his or her classroom and assess the support needed by the Fellow to enablesaid Fellow to create an interactive classroom where critical and analytical and thinking skillscan be developed.

F. Monitoring & Evaluation. The DepEd-Santa Rosa may allow the conduct of the followingassessments:

1. 2017: Baseline Assessment (December, 2017)2. 2018: Mid-term Assessment (May, 2018) •3. For the duration of the Program: School Visits, up to twice a month4. 2019: End-term Assessment (May; 2019)

In the event that the placement of a Fellow is extended upon agreement of TFP and theLGU, the conduct of the assessment for the following period shall follow the scheduleprovided in this paragraph.

ARTICLE IIIResponsibilities of LCU

A. Selection of Schools. - The LGU, in collaboration with the DepEd-Santa Rosa and TFP, shallselect and designate the public elementary schools Partoer.Schools as defined in Article ILAof this Agreement where the participants recruited and selected by TIT will be placed asFellows.

B.Commitment to Place Fellows - The LGU shall consider all Fellows presented, recruited, andselected by 11-4" for placement in the designated Partner Schools subject to the provisions ofArticle I.A of this Agreement.

The LGU may allow TFP "mentors and master trainers" to visit the Partner Schools two (2) tothree (3) times a month as stated in Article II.E of this Agreement.

C Allowance and Cost of Training of Fellows. - The LGU shall provide for the allowance of theFellows by way of a monetary donation to TFP but which allowance shall be received by theFellows during placement in the Partner School including the period between the two schoolyears.

The LGU shall directly release to in in the form of a check payable to the latter theallowance of the Fellows as indicated in the schedule below. IFY shall liquidate the funds itreceives in accordance with appropriate government accounting and auditing laws, rules andregulations and in such formalities as may be required by law. (Please refer to Appendix B forthe breakdown of the budget proposal.)

The release of the funds under this Article shall be on the following dates:

• September 2017 - in the amount of Five Hundred Forty One Thousand Eighty ThreePesos (Php 541,083.00);

• December 2017 - in the amount of One Million Thirty Nine Thousand Four HundredEighteen Pesos (Php 1,039,418);

• June 2018 - in the amount of Nine Hundred Eighty Nine Thousand Six HundredForty Two Pesos (Php 989,642);

• December 2018 - in the amount of Six Hundred Seventy Six Thousand ThreeHundred Fifty Four.Pesos (Php 676,354);

Under this Agreement, the LGU shall release a total amount of Three Million TwoHundred Forty Six Thousand Four Hundred Ninety Seven Pesos (Php 3,246,497) to bereleased throughout SY 2017 - 2018 and SY 2018 - 2919 and liquidated by TFP quarterly.

Considering that the foregoing allocation will be an outright expense, the LGU herebyaffirms that funds are available and are, or will be, duly appropriated to 'UV in the GeneralFund.

E. Notice of Placement. - The LGU shall agree with the other parties on the placement of theFellows not later than three (3) months before the start of the Summer Training Institute.

F. Placement Period. - Pursuant to Article II.E of this Agreement, each Fellow shall be placedin the designated Partner School for at least two (2) school years, without prejudice to theextension of such placement upon the agreement of 111" and the LGU, or the LGU and theindividual Fellow, and shall teach for a maximum of six (6) hours a day under thesupervision of the principal of the Partner School to which the Fellow is assigned.

During the placement period, the DepEd, DepEd-Santa Rosa, and/or LGU shall notburden the Fellows with duties and responsibilities that are not contemplated by thisAgreement, such as but not limited to duties relating to national and/or local elections andpartisan events.

G. Additional Responsibilities of the LOU. - The LGU shall accomplish the following to facilitatethe proper disbursement and utilization of funds, to wit

1. Upon submission of the requirements, provide necessary certification from theconcerned office, department, or committee accrediting TFP as a legitimate non-profit,non-governmental organization authorized to operate in Santa Rosa City and transactwith the LGU and its agencies or instrumentalities;

2. Upon compliance with the process pursuant to law, provide an official documentidentifying the Program as a priority project, approving the monetary donation granted toTFP, and authorizing TFP to receive funds therefor;3. At the discretion of the LGU, conduct periodic evaluation and inspection in the

training facility and Partner Schools during the following periods, to wit•June 2017•November 2017••June 2018•November 2018•March 2019

H. Monitoring & Evaluation. The LGU may allow the conduct of the following assessments:1. 2017: Baseline Assessment (December, 2017)2. 2018: Mid-term Assessment (May, 2018)3. For the duration of the Program: School Visits, up to twice a month4. 2019: End-term Assessment (May, 2019)

ARTICLE IV LEGAL ACTION

11,1 shall not be held liable for the independent acts or omissions of the designated.Fellow, unless such act or omission was done with the written consent of TFP. Each Partyshall be liable for its negligent acts.

In the event of any dispute, controversy, or claim arising out of or relating to thisAgreement, or for any breach, termination, or invalidity thereof, the Parties are mandated tosettle the same through mediation. If no settlement is arrived at after the earnest mediationparticipated by all Parties, the venue of judicial proceedings shall be in the proper courts ofSanta Rosa City to the exclusion of all other venues.

ARTICLE VDISSOLUTION OF THE NGO

In case of the dissolution of , the LGU shall have a lien on TFP's assets to the extent of theunexpended or unutilized portion of the fund.

ARTICLE VIGENERAL PROVISIONS

A. Fees-for-Service. - The LGU shall allocate the budget for a portion of the cost of theProgram in the amount of of Three Million Two Hundred Forty Six Thousand FourHundred Ninety Seven Pesos (Php 3,246,497), which covers the two school years of theagreement

B. Drop-outs. In the event a Fellow fails to finish the placement period due to any reason(health or otherwise), rkii shall inmediately inform •thereof in writing the DepEd-Santa Rosa,through the Office of the Schools Division Superintendent.

C. Term. The term of this Agreement covers in full the batch of Fellows for SY2017-2018and SY 2018-2019, including the 2-month summer, subject to provisions of Article II.E of thisAgreement.

ARTICLE VIITERMINATION

This Agreement may be terminated as follows:

i. At any time by mutual written agreement of the parties;

ii. By any party, upon thirty (30) days' prior written notice to the non-terminating parties;.Provided, that the teuninating party provides said notice thirty (30) days prior to the end ofthe current academic year; or

iii.By any party upon written notice to the non-terminating parties in the event of a materialbreach of this Agreement that is incapable of being cured or, if capable of being cured, is notcured within thirty (30) days following receipt by the breaching party of written notice ofsuch breach from the non-breaching or parties.

ARTICLE VIIIASSIGNMENT

This Agreement may not be assigned by a party without the written consent of all theother parties.

ARTICLE IXGOVERNING LAW

The validity, construction, and performance of this Agreement shall be governed byand construed in accordance with the laws of the Republic of the Philippines.

ARTICLE XSEVERABILITY

If any provision of the Agreement shall be held invalid or contrary to law, the validityof the other terms and conditions hereof shall not be affected thereby and shall continue to bein full force and effect. 'However, should the severance alter the basic nature of thisAgreement, or is contrary to public policy, the entire Agreement will be rendered invalid.

ARTICLE XIWAIVER

The failure of any party to insist on a strict performance of any of the terms andcovenants hereof shall not be considered a relinquishment or waiver of any rights orremedies pertinent thereto, nor shall the same be considered as a waiver or condonation ofany subsequent breach or default of the terms and covenants hereof, all of which shallcontinue to be in full force and effect. No waiver, express or implied, by any of the parties ofany of their respective rights or remedies hereunder shall be deemed to have been made, andno evidence thereof shall be admissible unless such waiver is expressed in a writteninstrument duly signed by the party waiving any such rights or remedies.

ARTICLE XIIENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties hereto withrespect to the subject matter hereof and cancels, supersedes or otherwise nullifies any priororal or written understandings and agreements with respect hereto.

ARTICLE XIIIMODIFICATIONS

Any and all amendments and modifications to this Agreement shall be in writing andsigned by all the parties hereto.

ARTICLE XIVFORCE MAJEURE

No party shall be liable to the other party for any loss, injury, delay, damages or othercasualty suffered or incurred by the other party due to strikes, riots, storms, fires, explosions,acts of God, war, coup d'etat, action of any government or any other cause beyond thereasonable control of the iarty (each, a Force Majeure Event), and any failure or delay by anyparty in performing any of its obligations under this Agreement due to a Force Majeure Eventshall not be considered a breach of this Agreement.

The party suffering such Force Majeure Event shall notify the other party in writingpromptly after the occurrence of such Force Majeure Event and shall, to the extent reasonableand lawful, use its best efforts to remove or remedy the Force Majeure Event.

ARTICLE XVNO STRICT CONSTRUCTION

The parties acknowledge that they have agreed amongst each other in good faith andat arms length with respect to the terms, conditions and provisions hereof, that each party hasdetermined for himself or 'herself that this Agreement is fair and reasonable, and that thewords and phrases in this Agreement express the frue intentions of all the parties so that norule of strict construction should be applied when interpreting and construing thisAgreement.

ARTICLE XVI

Any notice or other communication which is required or permitted hereunder shall bein writing and shall be delivered to the address of such Party as set forth below:
