1 Executive summary

This report is issued in accordance with the tenns of our engagement letter with National Australia Bank ("NAB" or "the Customer"), dated 2 September 2016 ("Engagement Letter").

Our work is undertaken in the conte>..1: of an issue identified by NAB in Greater Western Sydney Local Area Market ("GWS LAM"). As a result of an anonymous whistle-blower report, NAB's Forensic Services i1westigation team conducted an initial investigation in relation to a.llegations conceming a number of internal staff, predominantly located in GWS. These investigations uncovered a nwnber of issues of concem in relation to the mortgage lending activities of certain bankers and introducers in the GWS region ("the Issues"). As a result of these initial findings, we were engaged to undertake certain work in relation to the Issues, the scope of which was set out in our engagement letters, dated 11 December 2015 and 25 May 2016. NAB also appointed a team of experienced bankers ("the Reviewers"), to conduct a detailed review ('1ntemal Review"), of a population of affected 1 mortgage lending files ("Affected Files"). in relation to a wider population of bankers and introducers of interest, as identified in our report, dated 6 June 2016 (' 'KPMG Report"). In our Engagement Letter, we were asked to review the NAB Internal Review.

1.2 Scope of work

In accordance with our Engagement Letter, we were engaged to perform the following work:

• In Phase l , we were instmcted to provide independent oversight and undertake an independent review of the methodology adopted by the Reviewers in the lntemal Review; and

• ln Phase 2, we were asked to perform background searches in relation to the population of additional bankers and introducers of interest.

This report has been issued solely in relation to the work performed and fmdings identified during the course of Phase 2 of our investigation. There is a separate Phase I report.

1.3 Findings

We identified from the ASIC and ABN searches in relation to the additional bankers and introducers of interest that a number of them had other commercial interests ('Entities of Interest'), which we set out in detai l in Appendix A to this report. In total, we identified 280 additional entities. We then attempted to verify whether the Entities of Interest were listed as introducers or were otl1erwise connected to other introducers in the NAB introducer database by way of conunon address, shareboldings, and/or directorships. Our searches revealed 52 instances in which the Entities of Interest appeared to be connected to introducers, some of whom remain active and have introduced loans in GWS and other LAMs in the period from October 2009 to January 2016. The total value of loans approved through the Entities oflnterest in GWS in this period was $7.42 million.

1.4 Recommendations

We recommend that the links between the introducers of interest and other Entities of Interest are considered further as part of the next stage of the remediation process. In particular, NAB may consider verifying whether the additional Entities of Interest are listed in the mortgage brokers' database and whether these were disclosed by the relevant bankers and/or introducers of interest in accordance with NAB's Code of Conduct and conflicts-of-interest policies. During the course of our work, we also requested that the NAB Forensic team perform searches on the additional bankers and introducers of interest and the Entities of lltterest using NetReveal to identify any other potential Links between them and NAB but this was still outstanding as at the date ofthis report. We also recommend that NAB perform a fraud risk assessment of the introducer channel, document relevant fraud risks in a register and develop controls to mitigate such risks in the future.

2 Background

This report is issued in accordance with the terms of our Engagement Letter in the context of an issue identified by NAB in GWS LAM.

As a result of an anonymous whistle-blower report, NAB's Forensic Services investigation team conducted an initial investigation in relation to allegations concerning a munber of internal staff, predominantly located in GWS. These investigations uncovered a number of Issues in relation to the mortgage lending activities of certain bankers and introducers in the GWS region. As a result of these initial findings, NAB engaged KPMu to w1dertake certain work in relation to the Issues, the scope ofwhich was set out in engagement letters, dated ll December 2015 and 25 May 2016. NAB also appointed a team of experienced Reviewers to conduct a detailed Internal Review, of a population of Affected Files in relation to a wider population of bankers and introducers of interest, as identified in the KPMG Report. In our Engagement Letter, we were asked to review the NAB Internal Review.

2.2 Scope of work

In accordance w ith our Engagement Letter, we were engaged to perform the following work:

• Phase 1 relates to providing independent oversight and tmdertaking an independent review of the methodology tmdertaken by the Customer team, including sample testing of the mortgage fi les reviewed and conclusions reached in relation to a sample of those files in the GWS region in order to assess tl1e adequacy oftlle review undertaken. This work is not the subject of this report; and

• Phase 2 relates to additional services, the precise scope of which was to be discussed and agreed in advance. The precise scope was agreed by way of emai1 instruction, dated 11 October 2016, to include performing background searches on certain agreed additional bankers and introducers of interest.

2.3 Work done

As at the date of this report, the following procedures have been perfonned in relation to the follo\;.,ring background searches on tlle 13 additional bankers of interest and 33 additional introducers of interest, as referred to in Table 1 below:

• ABN searches;

• ASIC searches on tlle directorships and shareholdings;

• Property searches on the additional bankers of interest with a view to identifying the addresses and indicative purchase values of the properties held by them; and

• Property searches on tl1e contact address2 of the additional introducers of interest.

We have attempted to verify the Entities of Interest identified through the above ABN and ASIC searches to NAB's introducer database in order to assess the extent to which:

• Any of the Entities oflnterest were also listed as an introducer ·with NAB;

• Any of the Entities of Interest were linked to any other introducers appearing in the database though common addresses, directors, shareholders etc, which would not necessarily be apparent from a matching of names: and

• Any loans, and at what values, bad been processed through those other introducers.

We note that the drawn value of loans indicated in Tables 3 and 4 above only consider loans disbursed in GWS LAM. It is pertinent to note that introducers have also introduced a higher value of loans in other LAM' s. In addition, the infonnation li sted above reflects possible matches or linkages between the additional bankers or introducers of interest to individuals and/or entities registered as introducers, which will need to be confinned by further investigation. We note that some of these matches were highlighted in Our Report, dated 6 June 2016.

We recommend that NAB considers whether the other introducers identified above and the loans processed through them should also be included within the current remediation process.

3.4 Property, AML and Sanctions searches

We note from the property searches conducted to date that there were no significant issues of concern. In the case of an individual, property searches were perfonned using the individual 's name but in some instances, these searches retumed multiple results. We have included all results identified from these searches but given the element of subjectivity involved, the results reported may not be entirely accurate. Our detailed findings in relation to property searches are set out in Appendix A to this report. We have not petfom1ed any other procedures to identify whether any of these properties are mortgaged to NAB .

We also checked the names of the additional bankers and introducers of interest with various sanctions lists and note that no positive matches were identified.

3.5 Summary of findings

We identified from the ASIC and ABN searches m relation to the additional bankers and introducers of interest that a number of them had other commercial interests, which ' '"e set out in detail in Appendix A to this report. In total, we identified 280 additional entities. We then attempted to verify whether the Entities of Interest were listed as introducers or were otherwise connected to other introducers in the NAB introducer database by way of common address, shareholdings, and/or directorsbips. Our searches revealed 52 instances in which the Entities of Inte rest appeared to be connected to introducers, some of whom remain active and have introduced loans in GWS and other LAMs in the period from October 2009 to January 2016. The total value of loans approved through the Entities of Interest in GWS in tllis period was $7.42 million.

We note that the prope1ty, AML and sanctions searches did not identify any further matters of concem.

3.6 Recommendations

We recommend that the links between the introducers of interest and other Entities of Interest are considered further as part of the next stage of the remediation process. In particular, NAB may consider verify ing whether the additional Entities of Interest are listed in the mortgage brokers' database and whether these were disclosed by the relevant bankers and/or introducers of interest in accordance with NAB's Code of Conduct and conflicts-of-interest policies.

During the course of our work, we also requested that the NAB Forensic team perform searches on the additional bankers and introducers of interest and the Entities of Interest using NetReveal to identify any other potential links between them and NAB but this was still outstanding as at the date of this report. We recommend that this exercise is completed.

We also recommend that NAB perfonn a fraud risk assessment of the introducer channel, document relevant fraud risks in a register aJ1d develop controls to mitigate such risks in the future.
