Didirikan pada tahun 1972, sekarang Panorama sudah menjadi sebuah perusahan terkemuka sebagai Pemain Inbound/Destination Management company yang di dukung oleh lebih dari 464 karyawan yang handal dan lebih dari 200 pemandu wisata yang terlatih. Perusahaan mengembangkan usahanya secara kompetensi, unik dan berkarasteristik yang bergerak di bidang Inbound. Yaitu melayani dan memberikan arahan kepada Tour Operator luar negeri, untuk menyediakan pelayanan dan membuat program perjalanan, seperti untuk Group, Individual, Incentive, Special Interest Tours, Overland Tours dan banyak lagi jasa lainnya yang kita berikan meliputi area: Sumatera, Jawa, Sulawesi, Bali, Lombok, (NTB and NTT), Irian Jaya/Papua dan daerah tujuan wisata lainnya di Indonesia. Beroperasi di beberapa tujuan utama daerah pariwisata yang paling penting seperti : Bali, Yogyakarta, Lombok, Medan, Makassar, Labuan Bajo dan masih merencanakan untuk membuka kantor perwakilannya di daerah tujuan wisata yang lainnya.

Perseroan masih aktif dalam keikutsertaan setiap tahun di beberapa pameran wisata internasional, antara lain International Tourisme Bourse/ ITB Berlin, World Travel Market London, ASEAN Travel Forum/ATF, Arabian Travel Mart/ATM Dubai, Pacific Asia Travel Association/PATA Mart, UTAZA Travel Fair Hungarian, MADI Travel Mart Checzh Republic, MATKA Finland, Serbian Travel Mart Beograd, Poland Travel Mart Warsaw, Bucharest Holiday Expo Rumania,Vakantieu Beurs Holland,VTB Reishappening Brussel, Rimini Travel Mart Italy, ITB Asia Singapore, MATTA fair Malayasia dan ITCMA Bangkok secara tidak langsung mengangkat merek dagang Panorama. Disamping itu, perjalanan keliling dan promosi, kemitraan jaringan pemasaran strategis, dan penyelenggaraan edukasi (FAM TRIP) memberikan landasan untuk menjamin berlanjutnya pertumbuhan pasar.

Produk unggulan perseroan adalah: Sumatera dan Java Overland, Bali Beach holidays, Lombok, Komodo, Tana Toraja, Kalimantan. Dan juga permintaan yang tinggi untuk Incentive Group ke Bali, yang semuanya di kemas secara khusus, unik berdasarkan permintaan dari pelanggan.

Jenis Kendaraan Perseroan memiliki armada yang modern, dari jenis mobil kecil dan bus, seperti speed limitation, Power steering, Seat belts dan kualitas konstruksi besi body yang prima. Untuk kenyamanan pelanggan, kendaraan di lengkapi dengan reclining seats, Penyejuk Udara dan Interior yang mewah. Ada 60 Unit Deluxe Bus, 40 unit Microbus, 9 unit commuter, 18 unit Elf, 85 unit Mini Bus APV. Pelanggan perseroan adalah wholesaler/tours operator, tours & travel, maskapai penerbangan, operator pelayanan, dan incentive house/planner yang mayoritas berasal dari negara Eropa Tengah & Eropa Timur, USA & Canada, Timur Tengah dan beberapa kawasan Asia Pasifik, India, Iran dan lainnya. Perseroan mampu menyediakan produk dan harga yang kompetitif untuk kepentingan mitra bisnis negeri.

Established in 1972, Panorama now is an industry leading, full service Destination Management Company. It is supported by more than 464 excellent staff and 200 well-trained freelance guides. Panorama Destination Management Company develops its core competences based on the unique characteristics required to serve inbound tourists. It provides overseas tour operators with professional advice and an extensive range of inbound itineraries for group series, FIT programs, incentive programs, special interest tours and escorted overland tours by coach, train, and airline. Many other supporting activities cover the areas of Sumatra, Java, Bali, Sulawesi, Nusa Tenggara, Irian Jaya, and other tourism destinations in Indonesia. We operate in main destinations such as Jakarta, Bali, Yogyakarta, Lombok, Medan, Ujung Pandang, Labuan Bajo in Flores. Buddhist monument near Magelang, Central Java, Indonesia.

The Monument comprises six square platforms topped by three

circular platfroms, and is decorated with 2,672 relief panels and

Tanah Lot means “Land [sic: in the] Sea” in the Balinese language. Located

in Tabanan, about 20 kilometres (12 mi) from Denpasar, the temple sits on

a large offshore rock which has been shaped continuously over the years

by the ocean tide. Tanah Lot is claimed to be the work of the 16th-century

janitor baratha. The Tanah Lot temple was built and has been a part of

Balinese mythology for centuries. The temple is one of seven sea temples

around the Balinese coast. Each of the sea temples were established

within eyesight of the next to form a chain along the south-western coast.

However, the temple had significant Hindu influence.

Dilahirkan di Bogor pada tahun 1932, dan memperoleh gelar

Sarjana Hukum dari Universitas Indonesia di tahun 1955. Selain ia

menjadi pendiri dan menjabat sebagai Komisaris Utama Perseroan

sejak tahun 1995, ia juga menjadi Komisaris Utama di beberapa

anak perusahaan Perseroan.

Melakukan perjalanan wisata merupakan kegemarannya sejak

usia muda, dan karena kegemarannya inilah ia telah melakukan

suatu putusan yang penting dalam hidupnya yaitu mengganti

namanya dengan menyandang kata ‘wisata’ sehingga ia dikenal

dengan nama Tirtawisata. Ia meninggalkan profesinya sebagai

pengacara dan memulai karirnya dengan memimpin sebuah

biro perjalanan miliknya sendiri. Inilah yang menjadi cikal-bakal

Perseroan dimana ia menjadi bapak kandung Panorama Leisure

Group.

Dengan “jam terbang” dan kiprah serta hasil karyanya di

dalam kepariwisataan Indonesia, ia telah menjadi icon Pariwisata

Indonesia. Di PANORAMA, ia dikenal sebagai sosok yang selalu

memberikan pencerahan tentang industri pariwisata kepada

seluruh jajaran di perusahaan. Ia menjadi seorang pemimpin dan

motivator yang baik serta terhormat, dan selalu menjadi cermin

serta idola bagi para penerusnya.

Adhi Tirtawisata was born in 1932 and graduated in 1955.with a

Master of Law degree from University of Indonesia. He has been the

company’s President Commissioner since 1995, and concurrently

holds positions as Board of Commissary in several subsidiary

companies.

Traveling always has been his passion ever since young age. This

great passion for Tourism has brought him to changing his family

name to carry “wisata” (Tourism), becoming Tirtawisata. He left his

first carrier as a lawyer to start managing a small travel company.

After having a solid foundation through learning by doing from

various key positions, he established his own company in 1972, so

becoming the founding father of Panorama Leisure.

By having quite a considerable “flying the Companys’ in the

Indonesia travel and Tourism industry, he received industry-wide

acknowledgements as one among Indonesian Tourism icons.

In PANORAMA, not only he provides ‘Tourism business

perspectives’, but dedicates himself as a coach, motivator and thus

emerges as the respected person to all of his successors.

BUDI TIRTAWISATA

Pria yang dilahirkan di Jakarta tahun 1964 ini telah menamatkan

pendidikannya di bidang Economics and Marketing, California

State University, Sacremento, USA pada tahun 1986.

Setelah kembali ke Indonesia, ia mengembangkan kariernya

secara bertahap di sektor Keuangan dan Perbankan dari

tahun 1986 sampai tahun 2004. Posisi penting dalam top

management menuntut peran dan tanggung jawab dalam rangka

mengembangan hubungan dan aspek bisnis di Indonesia. Jabatan

terakhir adalah BOD dari bank ternama di Indonesia.

Budi Tirtawisata bergabung dengan Panorama Leisure Group

pada tahun 2004, mengikuti jejak ayahnya yang telah mendirikan

grup bisnis ini sejak 30 tahun lalu.

Saat ini, Budi Tirtawisata menjabat sebagai Presiden Direktur

PT Panorama Sentrawisata Tbk. dan Direktur dari beberapa

perusahaan hospitality. Tahun 2009, ia diangkat sebagai Komisaris

Perseroan.

He was born in Jakarta in 1964 and graduated in 1986 from

California State University, Sacremento, USA, majoring in

Economics and Marketing.

Between 1986 and 2004, he spent his career in the Banking

and Financial sector, and has had various responsibilities in top

management positions that covering most of business aspects

and network around Indonesia. His last post was a member of BOD

of a prominent bank in Indonesia.

In 2004, he joined the Panorama Leisure Group, a group that

initially established by his father some 30 years ago.

Currently, he serves as a President Director of PT Panorama

Sentrawisata Tbk. and as a Director in several hospitality

corporations. He was appointed as a Commissioner of the

Company since 2009.

DEWAN KOMISARIS


Wanita yang dikenal dengan panggilan ‘Meity Robot’, bukan orang

baru di dunia pariwisata karena pernah menjabat sebagai Ketua

Umum Dewan Pengurus Pusat ASITA periode 1999 – 2003. Lahir

pada tahun 1937 dan menyelesaikan pendidikan di HBS (Dutch

High School) pada tahun 1956. Selanjutnya berpartisipasi pada

pelatihan yang diselenggarakan baik di dalam dan luar negeri

yaitu bidang Korespondensi Perdagangan tahun 1959, Pelatihan

Perdagangan dan Jasa di New York School tahun 1967, Bidang

Cargo Tariff 2281 tahun 1969, Passenger Tariff 683 di Honolulu

School tahun 1970, 531 – Interpersonal Managing Skills PANAM’S

Training Cthe Companyse, New York pada tahun 1980. KLM

Dynamic Skill for success cthe Companyse pada tahun 2000.

Karirnya dimulai pada tahun 1956 di BPM/Shell Jakarta, kemudian

menjadi Sekretaris Direksi BPM/Shell Plaju. Pada tahun 1962-1980

memulai jejak langkah di dunia pariwisata sebagai Manager Control

& Management Services of PanAmerican World Airways. Tahun

1989-2000 menjabat sebagai Direktur Canadian Airlines, dan sejak

tahun 1980-sekarang adalah Direktur Iwata Nusantara, sebuah

perusahaan travel miliknya. Sebagai Komisaris Independen, Meity

Robot bersama Dewan Komisaris lainnya dapat meninjau kinerja

dewan, anggota ataupun pemegang peranan yang bertanggung

jawab, termasuk bertugas mengevaluasi kinerja Dewan Direksi,

secara perorangan ataupun tim, pada rapat gabungan bulanan.

Dewan Komisaris juga melakukan penilaian untuk mengukur

keefektifan proses supervisi yang dilakukan dan secara langsung

berperan juga sebagai Ketua Komite Audit Perseroan.

evaluates the performance of the Board of Directors, individually and as a team, at the monthly joint Board Meeting.

Board of Commissioners also conducted self assessment to measure the effectiveness of its supervision; in addition to

it, she plays the role of Chairman of the Audit Committee for the company.

Sepanjang tahun 2013 Perseroan terus meniti momentum pertumbuhannya sejalan dengan meningkatnya jumlah kunjungan wisatawan mancanegara ke Indonesia. Walaupun di beberapa Negara Eropa masih terjadi krisis ekonomi, Perseroan dengan segala kemampuannya berhasil mencari peluang untuk terus meningkatkan kinerjanya.

Seluruh jajaran direksi dan manajemen telah berusaha mempertahankan bisnis inbound, terlepas dari segala tantangan yang di hadapi, perseroan telah berhasil menangani jumlah wisatawan mancanegara dengan kenaikan sebesar 3,12% dibandingkan dengan tahun 2012.

Krisis ekonomi di beberapa negara Eropa yang telah berlangsung kini menunjukkan perbaikan, sementara stabilitas politik di Timur Tengah (Arab Spring) telah menunjukkan situasi kondusif. Hal ini merupakan tantangan sekaligus peluang bagi Perseroan untuk menghadapi kondisi pariwisata dunia ke depan.

Perseroan akan memusatkan lebih lanjut pada penciptaan hasil terbaik bagi para pemegang saham, memberikan muatan dan pengalaman kreatif yang berkualitas tinggi bagi pelanggan, penyeimbangan penghargaan atas hak dan kewajiban secara inovatif, serta memelihara integritas dan produktifitas Karyawan.

Dengan memiliki beragam segmen pasar, Perseroan mengemas dan menawarkan produk sesuai dengan segmentasi pasar. Hal ini merupakan nilai tambah bagi Perseroan dikarenakan pengalaman manajemen dalam membuka pasar baru serta dukungan sumber daya manusia yang terlatih sehingga siap untuk menghadapi segala tantangan dalam persaingan usaha.

Dewan Komisaris mendukung program yang telah disusun oleh Direksi beserta jajarannya dalam rangka mempertahankan pasar yang ada serta dukungan untuk pengembangan usaha. Sejalan dengan Rencana Induk Pembangunan Kepariwisataan Nasional yang telah digarikan oleh Kemenparekraf yaitu menjadikan Indonesia sebagai Negara tujuan pariwisata berkelas dunia, berdaya saing, dan berkelanjutan.

The company has managed to handle the number of foreign tourists increased

Dear Shareholders,

Throughout the year 2013 the Company continued to pursue its growth momentum in line with the increasing number of tourist arrivals to Indonesia. Although in some European countries are still the economic crisis, the Company’s ability to successfully seek all opportunities to continue to improve its performance.

The entire board of directors and management tried to maintain the inbound business, in spite of all the challenges faced, the company has managed to handle the number of foreign tourists increased by 3.12% compared to 2012.

The economic crisis in some European countries that has lasted now showing improvement, while the political stability in the Middle East (Arab Spring) has shown favorable situation. It is a challenge and opportunity for the Company to face the future condition of the world tourism.

The company will focusing more on creating the best business performance to our shareholders, provide creative content and a high quality experience for the customer, balancing the rights and obligations of appreciation for innovative, as well as maintaining the integrity and productivity of employees.

By having a variety of market segments, the Company had myriad of packages and offer its products according to market segmentation. This is an advantage for the Company because management’s experience in opening new markets as well as the support of trained human resources that are ready to face all challenges in the competition.

Board of Commissioners support the program that had been developed by the Board of Directors and the management in order to maintain existing markets as well as support for business development. In line with the National Tourism Development Master Plan which has been digarikan by Kemenparekraf that make Indonesia as the country’s world-class tourism destination, competitive, and sustainable.

FROM THE BOARD OF COMMISIONER

Dilahirkan di Jakarta pada tahun 1967 dan memperoleh gelar

kesarjanaan dalam bidang Bisnis Administrasi dari California State

University, Sacramento, Amerika Serikat pada tahun 1990.

Mengikuti jejak kakaknya, setelah lulus, ia langsung terjun

bekerja di perseroan dari dasar dan meniti karirnya secara

bertahap pula. berbekal pengalaman kerja dan pembelajaran

secara langsung di lapangan, pada tahun 1998 diangkat sebagai

Pemimpin Perseroan dengan posisi sebagai Chief Operating

Officer / Wakil Direktur Utama yang dijabatnya hingga sekarang.

Di samping itu ia juga menjadi anggota Direksi dan Komisaris

pada beberapa anak perusahaan di bawah Kelompok Usaha

PANORAMA.

Dalam peran, tugas dan tanggung jawabnya sebagai Direktur,

ia memimpin kegiatan operasional anak-anak perusahaan yang

berbasis INBOUND di dalam Perseroan, juga mengembangkan

berbagai strategi pemasaran terpadu bekerjasama dengan

beberapa DMC (Destination Management Company) dan mitra

strategis terkemuka di wilayah Asia Tenggara.

Dharmajanto Tirtawisata, whom was born in Jakarta in 1967,

graduated from California State University in 1990 with a degree

in Business Administration.

After graduation, he right away joined the company and

gaining step-by-step valuable hands-on experiences from

Born in 1964, he finished his Education and Vocational Training

Academy being held by The Cornell University School of Hotel

Administration and The American Hotel and Motel Association in

1991. He then joined Puri Bagus Villa and Holiday Inn Resorts in

Bali as the Company as in Lombok, with his last post as the Sales

and Marketing Director.

Since 1996, he has then been active as the company’s Director’,

and concurrently he holds several positions as the Board of

Director or Board of Commissary in subsidiary companies.

Being the Director, he is actively involved in managing the

operation of several companies under the inbound pillars of the

Panorama group, primarily operated based from Bali office, which

is considered as Inbound Operation Head Quarters. Bali has been

widely-known as the “Capital” for Indonesian Toursism.

Dilahirkan di Purworejo pada tahun 1964 dan berbekal hasil

pendidikannya di berbagai institusi pendidikan dan pelatihan,

antara lain di Cornell University School of Hotel Administration

dan The American Hotel & Motel Association, ia berkarir dalam

bidang perhotelan dengan memangku beberapa jabatan

penting. Jabatan terakhir yang diembannya adalah sebagai

Direktur Penjualan dan Pemasaran dan juga jabatan Direksi di

anak perusahaan perseroan lainnya.

Pada tahun 1996, ia bergabung di Perseroan dengan jabatan

terakhir sebagai Direktur hingga sekarang. Dalam peran, tugas,

dan tanggung jawabnya sebagai Direktur, ia memimpin kegiatan

operasional anak-anak perusahaan yang berbasis wisata INBOUND

di dalam Perseroan dengan lebih banyak bertugas secara langsung

di Bali sebagai pusat kegiatan wisata INBOUND atau juga dikenal

sebagai ‘ibu kotanya’ pariwisata Indonesia.

Mengacu kepada laporan UNWTO, yang memperlihatkan pertumbuhan dunia pariwisata sebesar 3.8 %, dimana untuk pertama kalinya jumlah kedatangan/pergerakan international tourist dalam satu tahun mencapai lebih dari 1 M. Berdasarkan data dan fakta tersebut di atas, maka kami berkeyakinan dunia pariwisata bertumbuh secara positif. Kedatangan dari Eropa sebesar 17 juta, Asia pacific 15 Juta, America 6 juta, Africa 3 juta, Middle east 3 juta. Dengan kata lain, trend positive dalam dunia pariwisata akan tetap berkelanjutan dengan pertumbuhan yang positive.

Perseroan berhasil mengendalikan hasil keuangan yang cukup memuaskan. Dengan kenaikan penjualan sebesar 6,4 % dari 280 M tahun 2012 menjadi 298 M ditahun 2013. Perseroan berhasil pula meningkatkan laba kotor sebesar 17% pada tahun 2013, seiring dengan penghematan berbagai biaya operasional pada tahun 2013, seperti beban transportasi, akomodasi, restoran, perbedaan nilai tukar mata uang dan lain-lainnya, sehingga dapat memperoleh laba Bersih sebesar Rp 17,8 M.

Seiring dengan pertumbuhan Industri parwisata yang cukup baik dan memberikan dampak positif berupa kontribusi kenaikan jumlah pertumbuhan GDP, penyerapan tenaga kerja baik secara global maupun regional di beberapa negara, termasuk Indonesia. Industri pariwisata masih memberikan dampak positif baik secara langsung maupun tidak langsung terhadap beberapa industri lainnya.

Data World Travel and Tourism Council menunjukkan bahwa Indonesia menjadi Tujuan pariwisata yang populer di kawasan Asia Pasifik, yang mempunyai pertumbuhan dan potensi kedepannya. Secara signifikan industri Inbound telah terjadi kenaikan berdasarkan informasi dari kementerian Pariwisata & Ekonomi Kreatif, dimana jumlah kedatangan wisatawan mancanegara pada tahun 2013 mencapai lebih dari 8.8 Juta, di bandingkan tahun sebelumnya 2012 sebanyak 8 juta. Terjadi kenaikan sebesar 10%.

Kunjungan wisatawan mancanegara ke berbagai daerah tujuan wisata di Indonesia lainya sudah semakin meningkat, seperti ke Sumatra, Sulawesi, Nusa Tenggara Barat dan Indonesia Bagian Timur, dikarenakan membaiknya promosi pariwisata Indonesia, perbaikan dan penambahan infrastruktur berupa airport, serta festival-festival yang diadakan di beberapa tujuan wisata.

Namun demikian Bali dan Jawa masih merupakan produk unggulan dan menjadi gerbang utama kedatangan wisatawan ke Indonesia, terutama produk liburan berupa beach holiday dan Overland.

Referring to the UNWTO report, which showed growth of 3.8% of world tourism, which for the first time the number of arrivals / international tourist movement in one year to reach more than 1 M. Based on the data and the facts mentioned above, we believe the world tourism grew positively. PANORAMA Destination merupakan perusahaan yang bergerak dibidang Perencanaan, Pengelolaan, Penanganan dan Penjualan Destinasi di Indonesia. Hingga saat ini Perseroan merupakan perusahaan Destination Management terdepan di Indonesia dengan memiliki kantor operasional di Medan, Jakarta, Yogyakarta, Bali, Lombok, Labuan Bajo, dan Makassar.

Perseroan berhasil mempertahankan/mendatangkan wisatawan mancanegara dengan tetap mengutamakan pangsa pasar Eropa dan mengembangkan pasar baru di Eropa Utara (Finlandia, Denmark, Swedia, Norwegia), dan Eropa Timur (Rumania, Serbia, Bulgaria, Hungaria, Latvia. Sementara untuk pasar Amerika Utara (Canada dan USA), Perseroan terus meningkatkan penetrasi pasar terutama Amerika Serikat.

Perseroan berhasil mengembangkan pasar Regional secara signifikan dan pasar Asia dan Timur Tengah lainnya seperti India, Srilanka, Uni Emirat Arab, dan Arab Saudi.

Pada tahun 2013 Perseroan telah merealisasikan belanja modal (CAPEX) dengan pembelian armada bus besar, serta micro bus dalam rangka menunjang keperluan transportasi di Medan, Jakarta, Yogyakarta, Bali, Lombok, dan Makassar. Belanja modal ini berhasil menekan beban pokok penjualan Perseroan.

ANALISA DAN PEMBAHASAN MANAJEMEN

Kinerja Perseroan yang menunjukkan peningkatan performa dapat dianalisa menjadi beberapa perspektif antara lain:

Sepanjang tahun berjalan, jumlah asset lancar Perseroan mengalami kenaikan sebesar 36,5% apabila dibandingkan dengan tahun 2012. Kenaikan ini terjadi karena adanya pertumbuhan usaha Perseroan terhadap peningkatan jumlah wisatawan Asia yang ditangani sehingga berdampak pada meningkatnya jumlah asset lancar dan liabilitas jangka pendek. Perseroan juga telah mengadakan penanambahan armada bus wisata guna mendukung kegiatan wisata yang dilakukan oleh para wisatawan. Penambahan armada sebanyak 52 unit pada tahun ini diharapakan dapat memberikan tinggkat efisiensi biaya transportasi yang pada akhirnya akan meningkatkan hasil usaha Perseroan selain itu penambahan armada ini juga berdampak pada peningkatan Aset Tidak Lancar sebesar 24,6% dibanding tahun lalu. Jumlah armada yang dipunyai oleh Perseroaan saat ini terdiri bus besar, sedang maupun kecil.

Sementara asset berupa investasi mengalami penurunan dikarenakan adanya pelepasan saham PT. Duta Chandra Kencana (DCK) kepada PT. Panorama Tours Indonesia yang merupakan perusahaan teraffiliasi. Pelepasan saham DCK ini dilakukan agar Perseroan dapat memfokuskan kegiatan usahanya pada bidang inbound tour. Hal ini direalisasikan pada tanggal 8 April 2013 dimana Perseroan menjual sebagian saham kepemilikannya di PT.Duta Chandra Kencana (DCK) kepada PT.Panorama Indonesia Tours pihak berelasi sehingga hanya tersisa 24,33% yang semula 50%, sehingga sejak April 2013 laporan keuangan DCK tidak dikonsolidasikan lagi ke dalam laporan keuangan perusahaan, dan pada tanggal 24 Mei 2013 perusahaan menjual sisa saham sebesar 24,33% senilai 20.7 milyar. Hutang jangka pendek apabila dibandingkan dengan tahun lalu terjadi kenaikan sekitar 25%, kenaikan dikarenakan penambahan hutang jangka panjang baru yang jatuh tempo dalam satu tahun, sedangkan secara keseluruhan hutang jangka panjang ada penambahan sebesar 48.6 milyar sebagai pembiayaan dalam pengadaan penambahan armada baru.

Perseroan terus menjaga tingkat kolektibilitas piutang usaha Perseroan. Piutang Usaha dengan umur diatas 120 hari masih dibawah 3% dari jumlah keseluruhan Piutang Usaha. Piutang Usaha yang terindikasi mengalami penurunan nilai telah dicadangkan.

GENERAL OVERVIEW

PANORAMA Destination is a company that engaged in the planning, Management, handling and sales of tourist destination in Indonesia. Until now the Company is a leading Destination Management company in Indonesia with operations offices in Medan, Jakarta, Yogyakarta, Bali, Lombok, Labuan Bajo, and Makassar.

The Company has managed to retain / bring foreign tourists to continue prioritizing the European market share and develop new markets in Northern Europe (Finland, Denmark, Sweden, Norway), and Eastern Europe (Romania, Serbia, Bulgaria, Hungary, Latvia. While for the North American market (Canada and the USA), the Company continues to increase market penetration, especially the United States.

The Company has developed significant regional markets and Asian and Middle Eastern markets such as India, Sri Lanka, United Arab Emirates, and Saudi Arabia.

In 2013 the Company has deployed a capital expenditure (CAPEX) with the purchase of a large bus fleet, as well as a micro bus in order to support the transportation needs in Medan, Jakarta, Yogyakarta, Bali, Lombok, and Makassar. The capital expenditure is successfully reduced the Company’s cost of goods sold.

ANALYSIS AND MANAGEMENT OVERVIEW

Performance of the Company which showed an increase in performance can be analyzed into a number of perspectives, among others:

Performance Analysis of Assets, Liabilities, Equity and CashFlow

Throughout the year, the amount of current assets of the Company increased by 36.5% when compared to 2012. Increase is due to the growth of the Company’s business to the increasing number of Asian travelers who handled that result in increased current assets and current liabilities. The Company has also entered into a tour bus fleet penanambahan to support tourism activities undertaken by tourists. The addition of a fleet of 52 units this year is expected to provide tinggkat efficiency in transportation, which in turn will improve the results of operations of the Company other than that this fleet addition also resulted in an increase in non-current assets increased by 24.6% compared to last year. The number of fleets that owned by the Company until the date consist of big deluxe coach, medium bus and small vehicles.

While assets in the form of investment has decreased due to the release of the shares of PT. Duta Chandra Kencana (DCK) to PT. Panorama Tours Indonesia, a company teraffiliasi. DCK stock release is done so that the Company can focus its business activities on the field of inbound tour. It is realized on the date of 8 April 2013 whereby the Company sold part of its ownership stake in PT. Duta Chandra Kencana (DCK) to PT.Panorama Indonesia Tours related parties so that only the remaining 24.33% of the original 50%, so that the financial statements since April 2013 DCK no longer consolidated into the financial statements of the company, and on May 24, 2013 the company sold the remaining stake of 24.33% valued at 20.7 billion.

Short-term debt when compared with last year an increase of approximately 25%, due to the increase in the addition of a new long-term debt maturing within one year, while the overall long-term debt amounted to 48.6 billion no additional financing in the procurement of new fleet additions.

The Company continues to maintain a level of collectibility of accounts receivable of the Company. Accounts Receivable with age over 120 days is still below 3% of the total Accounts Receivable. Accounts Receivable indicated impaired have been reserved.

Perseroan tetap terus menjaga struktur permodalan yang cukup memadai dengan tingkat Leverage Ratio (Liabilitas dibandingkan Ekuitas) dibawah 1x. Perseroan pada tahun 2013, telah melakukan pembelanjaan Barang Modal (CAPEX) sebesar 82 milyar yang sebagian besar digunakan untuk pengadaan bus wisata. Sumber dana untuk pengadaan barang modal diambil dari dana kas internal Perseroan dan dari Hutang Bank. Pengadaan Barang Modal yang didanai oleh Hutang Bank terus dimonitor dengan memperhatikan tingkat Leverage Ratio yang aman.

Dengan penambahan belanja modal ini Perseroan mampu mempertahankan penetrasi pasar sekaligus mencatatkan peningkatan sebesar 3,12%. Tentunya Perseroan terus berkomitmen untuk terus mengejar pertumbuhan sektor pariwisata Inbound yang secara umum memberikan kontribusi bagi pertumbuhan pariwisata di Indonesia.

RealisasiPenggunaanDanahasilPenawaranUmum

Selama tahun buku, Perseroan telah memberikan laporan realisasi penggunaan dana hasil dari penawaran umum secara berkala ke OJK sesuai dengan peraturan yang berlaku, seluruh dana telah dipergunakan secara tersirat dalam laporan terakhir yaitu pada bulan September 2013.

Sesuai hasil RUPSLB Perseroan pada tanggal 27 Juni 2013 bertempat di Jakarta, telah disetujui perubahan peruntukan penggunaan dana yang semula direncakan utuk pembukaan cabang di luar negeri, digunakan menjadi pembukaan cabang Medan, Makassar dan Labuan Bajo serta dipergunakan untuk pembelian kendaraan.

KebijakanDeviden

Perseroan menetapkan beberapa kebijakan deviden dan tanggal serta jumlah deviden per saham (kas dan/atau non-kas) dan jumlah deviden per tahun yang diumumkan atau dibayar selama 2 (dua) tahun buku terakhir:

• Sesuai dengan hasil RUPS yang diselenggarakan pada tanggfal 27 Juni 2013, bertempat di Jakarta, bahwa seluruh pemegang saham telah menyetujui dan menetapkan Penggunaan laba bersih perseroan yang berakhir pada tanggal 31 Desember 2012 sebesar Rp. 8.400.000.000.- sebagai berikut :

• Sesuai dengan hasil RUPS yang diselenggarakan pada tanggal 7 Juni 2012, bertempat di Jakarta, bahwa seluruh pemegang saham telah menyetujui dan menetapkan Penggunaan laba bersih perseroan yang berakhir pada tanggal 31 Desember 2011 sebesar Rp. 8.858.000.000 dibukukan sebagai laba ditahan untuk memperkuat struktur permodalan Perseroan.

Sisanya sebesar Rp, 7.980.000.000.- akan dibukukan sebagai laba ditahan untuk memperkuat struktur permodalan Perseroan.

PEMBAHASAN MANAJEMEN & ANALISA

STRATEGI PEMASARAN DAN PENJUALAN

Perseroan tetap mengagendakan untuk berpartisipasi di beberapa agenda nasional dan internasional/pameran pariwisata yang di selenggarakan setiap tahun, antara lain International Tourism Buro/ITB Berlin, World Travel Market London, UTAZA Travel Fair Hungarian, MADI Travel Mart Checzh Republic, Vakanties Beurs Holland, Matka Finland, VTB Brussel, Serbian Travel Mart, Polish Travel Mart, Bucharest Holiday Expo, Italy TTG Rimini Travel Mart, Lost Angeles Time And Adventure, ASEAN Tourism Forum, Arabian Travel Mart Dubai, Pacific Asia Travel Association Mart, ITCMA Bangkok secara tidak langsung mengangkat merek dagang Panorama. Disamping kehadiran di pameran–pameran tersebut, Sales call visit ke berbagai negara tetap berjalan dan lebih intensive, tujuanya untuk berpromosi dan menjaring kemitraan dengan existing agent atau pun dengan tour operator baru yang potensial. Pemasaran strategis ini akan memberikan landasan untuk menjamin berlanjutnya pertumbuhan pasar.

Konsumen Wisata Inbound datang atau berasal dari hampir seluruh penjuru dunia, termasuk Eropa Barat, Eropa Timur, Rusia/Skandinavia, Amerika Utara / Kanada, Amerika Selatan, Timur Tengah, Asia Selatan, negara-negara ASEAN, dan lain-lainnya. Selain dari itu, permintaan juga datang dari jaringan GrayLine maupun agen wisata lokal inbound di Bali dan daerah lainya, mereka biasanya yang tidak mempunyai kantor perwakilan khususnya di Jawa. Pasar terbesar berasal dari pangsa pasar Belanda sebesar 32.6% , Perancis 12.6%, Kanada 2.1%, Eropa Timur 4.9%, dan lain-lainnya 3.7% Asia ( Malaysia, India, Middle East ) memperlihatkan kenaikan yang cukup bagus. Komponen utama dalam pendapatan usaha adalah paket overland sebesar 58.9% paket wisata pantai sebesar 17.2%.

Jumlah wisatawan mancanegara yang masuk melalui beberapa pintu gerbang di Indonesia mengalami kenaikan sekitar 9.4% atau 8.802.129 wisman jika dibandingkan dengan periode yang sama di tahun 2012 sebesar 8.044.462 wisman. Dan jika memperhatikan data kunjungan wisman yang datang langsung ke Bali sebagai destinasi utama di Indonesia, memperlihatkan kenaikan sekitar 13.3% pada tahun 2013 sebesar 3.278.697 wisman jika dibandingkan dengan periode yang sama di tahun 2012 sebesar 2.892.019 wisman.

Kecenderungan wisatawan inbound kedepan lebih terfokus dan disesuaikan pada kalender event yang ada serta harga yang kompetitif.

As a limited liability company in Indonesia, we have adopted two regulating and supervisory boards, namely the Board of Commissioners and the Directors, each of which has clear authority and responsibility based on its respective functions as mandated by the Articles of Association, related laws and regulations.

The Board of Commissioners acts as the overall supervisory and monitoring body with principal functions including reviewing the Company’s development plan, reviewing and approving the Company’s budget, monitoring the performance of the work plan, providing recommendations to the General Shareholder’s Meeting on the appointment of public accountants to examine the Company’s financial condition for reporting purposes to shareholders and to perform its duties, author-ity, and responsibilities in accordance with the provisions in our Articles of Association and resolutions from the General Shareholders Meeting. Decisions above certain monetary thresholds must be referred by our Directors to our Board of Commissioners or shareholders for their preview and approval. The PDES’s Board of Commissioners consists of 2 members.

The Directors perform its duties under the supervision of the Board of Commissioners. To avoid any conflict of interest, each member cannot hold other jobs that could create such conflict, either directly or indirectly. Currently our Directors consist of 5 members. Each The Board of Directors has specific skills to deal with different business issues. They are taking responsibilities to implement company’s strategy, developing regulation for company’s business driver, leading, assigning, and managing daily business operations. Directors run their duties under The Board of Commissioner’s monitor. At this moment, The Board of Directors of PDES has 4 members.

The Audit Committee assists the Board of Commissioners in scrutinizing our financial information to be published and reviewing internal audit assessment reports submitted to the Committee, including to the Board of Commissioners, with regards to the risks faced by the Company and the implementation of risk management by the Directors.

Di tahun 2013, Komite mengadakan beberapa kali pertemuan dengan kehadiran penuh anggotanya. Untuk membantu Komite dalam memenuhi perannya, sejumlah eksekutif senior diundang untuk menghadiri rapat-rapat Komite.

The Audit Committee is sub-committee of the Board of Commissioners whose accountability and responsibilities include:

• Reviewing the interim and full year accounts and results announcements of the company and any other formal announcements relating to the company’s financial perform ance and recommending them to the board for approval;

• Reviewing the group’s systems for internal financial control and risk management;

• Monitoring and reviewing the effectiveness of the company’s internal audit function and considering regular reports from Internal Audit on internal financial controls and risk management;

Sebagai hasil evaluasi yang dilakukan sepanjang tahun 2013 Komite mengidentifikasi bahwa di beberapa bidang dirasakan harus dilakukan tindakan untuk meningkatkan efektivitas Komite. Komite menemukenalinya dan menyelenggarakan rapat khusus, dimana Komite menyertakan anggota tim eksekutif dan External Auditors, membahas perannya secara rinci dan tentang bagaimana melaksanakan peran tersebut.

Komite menerima informasi dan dukungan dari manajemen sepanjang tahun hingga berhasil melaksanakan tugas dan tanggung jawabnya secara efektif. Sebuah program pelatihan dan pengarahan telah diatur untuk para anggota Komite termasuk yang terkait bisnis spesifik yang dipaparkan dalam masing-masing rapat Komite. Komite juga memiliki akses untuk pendapat dari pihak luar yang indipenden.

As a result of the evaluation undertaken in respect of 2013 the Committee identified a number of areas where it felt that action could be taken to enhance the effectiveness of the Committee. The Committee reviewed the findings and a separate meeting was held at which the Committee, with members of the executive team and the external auditors, discussed its role in detail and how it could best perform that role.

The Committee received information and support from management during the year to enable it to carry out its duties and responsibilities effectively. A program of training and briefing has been arranged for Committee members including specific business related presentations at each Committee meeting. The Committee also has access to the external independent advice.

Sepanjang pemeriksaan kami, Komite Audit memastikan bahwa Laporan Keuangan yang diaudit tahun 2013 telah sesuai dengan Standar Akunting dan Audit, meyakinkan bahwa prosedur standar untuk penunjukan kembali auditor external indipenden telah diikuti dengan benar, dan sistem pengendalian keuangan internal yang efektif telah terpelihara.

Komite juga menilai penunjukan auditor external independen, pendekatan dan prosedur audit mereka, termasuk soal-soal tentang lingkup, auditor indipenden, dan imbalan audit, hasil penilaian audit, ketentuan acuan dan hasil kerja departemen internal audit. Berdasarkan pertimbangan di atas, Komite telah merekomendasikan kepada Direksi bahwa laporan keuangan yang diaudit dimasukkan ke dalam Laporan Tahunan Perusahaan untuk 2013.

Selain itu, kegiatan perusahaan pada umumnya telah sesuai dengan ketentuan hukum dan pelaksanaan sistem remunerasi bagi Direksi serta Dewan Komisaris yang telah sejalan dengan pola standar yang berlaku bertahun-tahun.

The Committee reports its findings to the Board of Commissary and brings to its attention any material information that are likely to raise difficulties or which requires a specific resolution of the Board, thereby assisting the Board in its supervisory and audit functions. As far as our examinations concerns, the Audit Committee confirms that Company’s audited financial statements for 2013 are on compliance with Accounting and Auditing Standards; ensuring the standard procedure for re-appointment of the indepen dent external auditor is followed correctly; and effective system of the internal financial control is well-maintained.

The committee also reviews the appointment of the independent external auditor, their audit approach and procedures, including matters relating to scope, auditor independence and fees, results review of the audit, the terms of reference and results of the work of internal audit department. Based on the considerations referred to above, the Committee recommended to the Directors that the audited financial statements be included in the Company’s Annual Report for 2013.

Furthermore, the company’s actions were generally on compliance with the general legal requirements and the implementation of the Directors and Board of Commissary remuneration system package were in line with the internal standard scheme being maintained for years.

Mulyamin Sensi Suryanto & Lianny (Moore Stephen), Independen Auditor Perusahaan yang diangkat kembali, bertanggung jawab untuk menyatakan pendapat tentang kesesuaian Laporan Keuangan yang telah diaudit dengan Prinsip Akunting serta Praktek Umum Akunting yang Lazim di Indonesia dan Standar Audit yang diterbitkan oleh Lembaga Akuntan Indonesia.

Komite menerima laporan dari internal auditor tentang soal-soal pengendalian, penilaian mereka tentang keuangan, termasuk kebijakan akunting dan bidang penilaian, serta komentar mereka tentang efektivitas sistem untuk persoalan pengendalian keuangan internal dan manajemen risiko dan kebijakan sementara tentang wasit dan etika. Sepanjang tahun Komite Audit telah menilai kinerja fungsi internal audit, penemuan audit yang diselesaikan dalam setahun, kebutuhan sumber daya bagi departemennya, dan juga menyetujui rencana internal audit untuk tahun yang berakhir 31 Desember 2013.

Mulyamin Sensi Suryanto & Lianny (Moore Stephen), the PANR’s re-appointed Independent Auditors, is responsible for expressing an opinion on the conformity of Company’s Audited Financial Statement with Accounting Principles, Generally Accepted Accounting Practices in Indonesia and Auditing Standards established by the Indonesian Institute of Accountants.

The Committee received reports from the internal auditors on control matters, their review of the accounts, including accounting policies and areas of judgment, and their comments on the effectiveness of the company’s systems for internal financial control matters and risk management and interim policies on whistle blowing and ethics. During the year the Audit Committee reviewed the performance of the internal audit function, the findings of the audits completed during the year, the department’s resource requirements and also approved the internal audit plan for the year ending 31st December 2013.

Perseroan memandang penting untuk melakukan kegiatan sosial yang mendatangkan keuntungan bagi masyarakat lokal ataupun pemangku kepentingan lain diluar perseroan. Oleh karena itu maka melalui platform ‘Panorama Berdaya’ menjadi payung bagi kegiatan yang berkelanjutan. Beberapa aspek yang terangkum antara lain: Pengembangan Desa Wisata sebagai pemberdayaan masyarakat lokal yang hidup di desa yang memiliki potensi wisata. Dalam hal ini Perseroan berperan dalam memberikan pelatihan terkait perencanaan wisata didalam atau di sekitar desa, pelatihan housekeeping untuk homestay yang berada di Desa Wisata, pelatihan ketrampilan berbasis wisata agar penduduk lokal mampu memberikan pelayanan yang baik bagi wisatawan; Mitra UKM sebagai bagian dari membangun kemandirian ekonomi berbasis pariwisata. Saat ini Perseroan telah memiliki belasan UKM yang memproduksi souvenir, makanan khas daerah, batik, kerajinan kulit, serta produk-produk yang terkait dengan pariwisata. Perseroan dalam hal ini juga membantu dalam pelatihan kualitas produksi, manajemen produksi, trend desain, dan akses pasar melalui pameran-pameran yang dilakukan anak usaha dibawah Perseroan.

The Company considers the importance to carry out social activities that bring benefits to local communities or other stakeholders outside the company. Therefore the platform of ‘Panorama Berdaya’ had become the umbrella to do sustainability activities. Some aspects under this platform are: Tourism Village Development as the empowerment of local communities living in villages that have tourist potential. In this case the Company’s role in providing training related to tourism planning in or around the village, housekeeping training for homestay in the village of Tourism, tourist-based skills training so that local residents are able to provide good service for tourists; SME Partnership as part of building a tourism-based economic independence. Currently the Company has had dozens of SMEs that produce souvenirs, food typical of the region, batik, leather goods, as well as products related to tourism. The company in this case also helps in training the quality of production, production management, design trends, and market access through exhibitions conducted under the Company’s subsidiaries.

Through Panorama Foundation (Yayasan Panorama Anugerah), the Company define the CSR into 3 platforms: Movement; Sustainability; and Philantropy. These three platforms are complementing as part of company’s responsibility to its environment.

Being the real leader in Indonesia tourism industry, the Company plays an important role to create and generate Movement for people to realize the beauty of Indonesia’s nature, culture and the hospitality of its people. Therefore the Company vigorously conduct some movements to appreciate the beauty of Indonesia’ nature, culture and people through photography exhibition, writing workshop about tourism and any other movements to generate the citizen’s ability to conscious about tourism. The escalation of tourism conscious had also achieved through education way and built/refurbishment of infrastructure, in education, the Company has donate travel and tourism books to vocational school or regular school, while in infrastructure improvement, the Company had done some renovation in several tourism destinations.

Perseroan juga melakukan kepedulian sosial non-simultan, biasanya kegiatan ini diakibatkan karena datangnya bencana alam (banjir, gunung meletus) sehingga masyarakat memerlukan bantuan secara cepat dan praktis. Namun terdapat juga kegiatan sosial yang bersifat simultan seperti Donor Darah, Penyelenggaraan klinik, Sunatan massal, dan lain sebagainya.

Seorang wisatawan berpengalaman pun pada awalnya tidak faham akan risiko Para wisatawan pemula umumnya tidak berpengalaman, segalanya serba baru dan mengagumkan baginya. Tapi banyak juga wisatawan yang sudah berpengalaman, mengatakan jangan katakan itu, telah tahunan saya berwisata ke seluruh dunia. Saat terjadi perubahan mendadak, mungkin mereka merupakan orang terakhir yang melihat apa yang terjadi. Begitu terpukau pada kegiatan pesiarnya, bergegas dari satu ke tempat lain yang menarik, mereka melewatkan hal-hal kecil dan tanpa sadar dihadapkan pada bahaya.

The Company also performs non-simultaneous social concern, it is usually caused by the arrival of natural disasters (floods, volcanoes) so people need aid quickly and practically. But there are also social activities which doing simultaneously such as blood donation, Organizing clinics, mass circumcision, and so forth.

Even an experienced traveler can be just unwary about risks as the first timer. The first timer travelers are very inexperienced; everything is new and exciting for them. But there are fully experienced frequent travelers who say “don’t tell me, I have been travelling all over the world for many years”. When things change suddenly, both of them may be the last person to see what is happening. So focused on their leisure activities, rushing from one interesting place to another, they overlook the little things and in doing so, they may expose themselves unnecessarily to danger.

Dewan Komisaris menerima remunerasi tetap dan tidak tetap yang terdiri dari honorarium, insentif, asuransi, bonus serta fasilitas dan tunjangan lainnya, yang jumlahnya diputuskan dalam RUPST. Untuk percepatan implementasi dari prinsip-prinsip GCG, suatu perusahaan harus dikelola secara independen dengan keseimbangan kekuasaan yang layak, sedemikian rupa sehingga tidak ada satu bagian pun dalam perusahaan yang dapat mendominasi bagian lain dan tidak terjadi intervensi dari pihak manapun.

The Board of Commissioners receives fixed and non-fixed remuneration consisting of an honorarium, incentives, insurance, bonuses, and other facilities and benefits, the amount of which is determined at the AGM. The total amount of the remuneration awarded to members of the Board of Commissioners is reported by the Company at the AGM. The Directors receives fixed and non-fixed remuneration that consists of a salary, allowances, short & long-term bonuses, and other facilities and benefits, that of which is re-commended by the Board of Commissioners.

To accelerate the implementation of the GCG principles, a company must be managed independently with an appropriate balance of power, in such a manner that no single company’s organ shall dominate the other and that no intervention from other parties shall exist.

In order to carry out its mandate, each respect of Board of Commissioner and / or together with the Directors conduct regular board meetings to allow potential problems to be identified, discussed, anticipated, and avoided.

The General Meeting of Shareholders is the Company’s organ that facilitates shareholders to make important decisions regarding their investment in the Company by observing provisions in our Article of Association as well as the related rules and regulations.

(B) Dari hasil kerja Komite Audit untuk tahun 2013, dapat disimpulkan bahwa:

• Tingkat kepatuhan tata kelola perusahaan terhadap ketentuan internal dan eksternal semakin baik

• Pendekatan untuk 2014, Komite akan memperhatikan serta mempertimbangkan resiko dan pengendalian temuan audit di samping melanjutkan pertimbangan soal-soal yang spesifik. Komite juga memutuskan untuk membahas soal-soal yang penting selain laporan formal dan paparan yang diperoleh dalam rapat Komite.

• Evaluate the effectiveness of internal control functions and systems

• Reviewing the Audited Financial Statements in accordance with the accounting standards.

(B) From the performance of Audit Committee in 2013, it can be concluded that:

• The compliance level of the corporate governance against the internal and external conditions is better.

• To the 2014 approach, the Committee will consider and weigh the controls and risks in addition to the audit findings, and continuously to consider the specific issues as well. The Committee also decides to discuss the important issues in addition to formal reports and the exposures obtained in the Committee meetings.

Tugas dan tanggung jawab utama:

Mengisi jabatan yang ditetapkan oleh peraturan pasar modal

Main Task and responsibility:

Fills the role required by the Indonesia Capital Market Laws

and Regulation and by keeping abreast of these regulations,

he acts as a liaison between the Corporation and the capital

market authorities, the shareholders, the investors, public,

and the other stake-holders, managing the Company’s

documents; as well as to assure the Company’s compliance

with its Articles of Association, Bapepam LK, and the

Indonesia Stock Exchanges Regulations.

yang dinama-kan ‘Prosedur dan Pengawasan Keterbukaan

Company issued a disclosure policy entitled Disclosure

Controls and Procedures. The objectives of the policy are
