SECTION C - Description/Specifications

I. BACKGROUNDThe Nuclear Regulatory Commission (NRC) inspects licensed nuclear facilities and their construction andoperations (licensed activities) as part of its public health and safety mission. The purpose of these inspectionsis to verify licensed activities are conducted safely and in accordance with federal regulations.

In support of this mission, the NRC's Office of the Chief Human Capital Officer (OCHCO) conducts a programof training designed to give NRC staff technical information and hands-on experience in the area ofNon-Destructive Examination (NDE) technology. The course will improve the NRC inspector's ability to conductin-depth inspections and design reviews of NRC-licensed facilities to determine whether or not applicablecodes and standards are met.

II. CONTRACT OBJECTIVEThe Contractor shall furnish the personnel, facilities, instructional materials, and services necessary to prepareand teach the "NDE Technology and Codes" and "Welding and NDE Overview" courses as ordered by theNRC.

II1. SCOPE OF WORKThe Contractor shall revise/update the existing course materials and present a course, "NDE Technology andCodes," and "Welding and NDE Overview" with emphasis placed upon the codes and standards pertaining toNRC-regulated activities. The NRC reserves the right to visit the offeror's training facility prior to contractaward. The courses shall be held at the Contractor's facility and the facility will be equipped with the necessarywelding and NDE equipment to support this training.

A. TASK 1 - COURSE DEVELOPMENTA.1 Requirement:The Contractor shall revise/update the existing course materials for the course entitled, "NDE Technology andCodes" and "Welding and NDE Overview" to include, at a minimum, the topics listed below. A sample outlineis given in Attachment 1. Course objectives shall be accomplished through a combination of lectures,discussions, videos, demonstrations, and field exercises providing hands-on experience in the various aspectsof NDE and Welding technology. Changes in, additions to, or deviations from the topics listed are permitted,but the content of the final outlines shall be approved by the NRC Contracting Officer Representative (COR).

i. LecturesThe classroom portion of the "NDE Technology and Codes" course shall encompass at least the following:1) Detailed technical description of NDE processes with emphasis on visual, radiographic, liquid penetrant,magnetic particle, ultrasonic and eddy current examinations.2) Basic NDE concepts3) Limitations and advantages of each technology4) Description and causes of material defects and appropriate examination techniques5) Qualification of NDE examiners, including testing6) Quality control including pre-inspections, in-process' and final NDE Inspections7) Code (ASME, ASNT, etc.) requirements for the above NDE activities8) Other sections and topics as delineated in Attachment 1

The classroom portion of the "Welding and NDE Overview" course shall encompass at least the following:1) Welding Technologya) Codesb) Procedures and qualificationsc) Weld joint design2) NDE Overview

ii. DemonstrationsThe Contractor shall conduct exercises which shall be designed to allow each student to gain hands-onexperience in NDE and Welding technology. Demonstrations of various NDE and Welding equipment, NDEtechniques, mockup training aids, testing and evaluation shall be conducted. The demonstrations shall includethe use of correct and incorrect techniques with the proper and improper fit-up, correct and incorrectexamination machine settings, procedure and code adherence and other demonstrations as required toaccomplish the course objectives.

iii. Duration of Coursesa. The NDE Technology and Codes course shall be approximately seventy-six (76) hours in duration

(nine consecutive segments @ 8 hours per day, with the last day consisting of four hours).

b. The Welding and NDE Overview course shall be approximately thirty-two (32) hours in duration(four consecutive segments @ 8 hours per day, with the last day consisting of four hours).

iv. Materials for CoursesFor each course, the Contractor shall provide the course material (the student and instructor manuals and allreference material) to the current industry standards, which shall be utilized for the period of the contract,including option periods. A copy of a previous NRC NDE course instructor manual will be provided to theContractor as a guideline, but shall be updated as appropriate with new standards and visuals. During thecontract period, in the event of new regulatory requirements or significant changes to industry standards, thecourse material will be updated. All manuals, both instructor and student, shall be prepared in the currentversion of Microsoft Word. Any graphics presentations used in the course will be developed in the currentversion of Microsoft PowerPoint.

The Contractor shall provide the following items for each course:a. Student Manuals1) The Contractor shall prepare student manuals for use during the presentation of the course material. Thestudent manuals shall include printed copies of view graphs, slides and other visual aids required to presentthe course.2) Learning objectives shall be included at the beginning of each section or chapter.3) The student manuals shall also include a Table of Contents, a glossary of common terms and copies ofrelevant reference material. Short references (approximately six pages or less) shall be included in the manualwhile lengthy references shall be listed in a bibliography which provides the student with sufficient informationto determine what issues the reference covers and where a copy may be obtained.

b. Instructor ManualThe Contractor shall provide instructor manuals to supplement the student manuals.

The instructor manuals shall include, as a minimum:1) Detailed course outline;2) Clearly defined learning objectives for each topic;3) Copies or detailed descriptions for visual aids;4) Detailed lesson plans indicating the manner in which the student material will be presented by the instructor.

The lesson plans shall include appropriate references to visual aids and other materials required during thepresentation and indicate when each is to be used during the presentation; or, a Microsoft Power Pointpresentation may be used as a substitute if adequate instructor information is provided in the notes section.5) Detailed references to course references, codes, and standards.6) The instructor manual shall be prepared in sufficient detail to allow a qualified individual who has notpreviously conducted the course to present the material in an organized fashion.

c. Reference MaterialsOne copy of the most recent revision of the most applicable published reference material (i.e., texts, codes,etc.) shall be made available for use by each student during the course. New reference standards must beobtained if a substantial revision to the standard is made. The materials will be retained by the Contractor foruse in future courses. Appropriate substitutions may be made if approved by the COR. These materials shallbe the property of the NRC after the completion of the contract.

v. Visual AidsThe Contractor shall develop or provide visual aids to assist students in understanding the course material.The Contractor shall use these visual aids to supplement the presentation of the course material. Any visualaid which the Contractor deems necessary for the presentation of this course must be provided to the NRCCOR as an integral part of the training package. A hard copy of each visual aid used during the course shouldbe included in the student manual as a figure plate at the end of the applicable chapter.

vi. Software FormatAll manuals, both instructor and student, shall be prepared in the current version of Microsoft Word. Anygraphics presentations used in the course will be developed in the current version of Microsoft PowerPointformat.

A.2 STANDARDNo more than one instance of noncompliance with the requirements listed above for each course.

A.3 DELIVERABLES; COURSE MATERIALS

i. DRAFT OUTLINES:Within thirty (30) days after the initial meeting or within thirty (30) days after receipt of written cancellation ofthat meeting, provide a draft instructor manual outline and a draft student manual outline to the COR. Thesemanuals may be in either printed or electronic form, but the electronic form is preferred. The Contractor shallcorrect any deficiencies and resubmit the material within ten (10) days after receipt of the NRC CORcomments.

ii. DRAFT MATERIALS:Within sixty (60) days after acceptance of the draft instructor manual outline and the student manual outline,provide a draft copy of the instructor manual, student manual, and visual aids, either in printed or electronicformat. The Contractor shall carefully proof all materials submitted. The Contractor shall correct anydeficiencies and resubmit the material within 10 days after receipt of the NRC COR comments.

iii. FINAL COPIES:Within sixty (60) days after acceptance of the draft materials by the COR, submit a copy of final coursematerials which include:

1) Student Manual2) Instructor manual

A.4 QUALITY ASSURANCE PLAN(100% Inspection) The NRC COR shall review all deliverables and provide comments on Contractor submitteddraft documents. The Contractor shall incorporate all NRC comments into the final deliverables. All finaldeliverables will be reviewed and approved by the NRC COR.

A.5 INCENTIVES/DEDUCTIONSA 0.05% deduction will be taken off the total contract line item amount (CLIN) for Task 1 for each business daylate for each deliverable submission. A 0.05% deduction will be taken off the total CLIN for Task 1 for eachNRC comment not incorporated into the Contractor's final deliverable submissions.

A.6 MEETINGS AND TRAVELWithin thirty (30) days after contract award a meeting will be held at the Contractor's facility to discuss thecourse outline, lesson objectives, material preparation, and classroom and laboratory facilities. This meetingmay be canceled or rescheduled based upon mutual agreement of the NRC COR and the Contractor.

A.7 NRC FURNISHED MATERIALSAfter contract award the NRC will provide the Contractor a copy of the previous NRC NDE Technology andCodes and Welding and NDE Overview course. If this is available in ADAMS, the COR may give theaccession number to the Contractor. Upon request, the NRC will furnish the Contractor with at least one copyof applicable NRC documents deemed necessary to support course development and presentation, such asRegulatory Guides, Information Notices, Bulletins and NUREGs, and current version of the student andinstructor's manuals for each course. If these documents are available on the NRC website, the Contractormay be provided with the URL and directed to download the appropriate information.

A.8 ADDITIONAL INFORMATION/GUIDANCEAll course and reference materials as well as training aids prepared or created by the Contractor or obtainedfor the NRC for use in the presentation of this course will become the property of the NRC upon completion ofthis contract.

B. TASK 2 - INSTRUCTIPRESENT COURSES

B.1 REQUIREMENTThe Contractor shall instruct/present the courses entitled "NDE Technology and Codes" and "Welding andNDE Overview" in accordance with the requirements of Task 1.

i. TRAINING MATERIALSThe Contractor shall provide training materials for each student including: student manuals which shall includelearning objectives for each section, a copy of relevant industry standards and NRC Regulatory Guides,Generic Communications, and policy documents relevant to the subject matter; a copy of relevant view-graphsused during the course presentation and not already provided in the student manual; applicable case histories;and all handouts, (i.e., material not included in the student manual). The use of handouts shall be kept to aminimum and shall represent material that could not have been incorporated in the student manual prior to thestart of the course. All student manuals shall be prepared in the current version of Microsoft Word. Anygraphics presentations used in the course shall be prepared in Microsoft PowerPoint format.

ii. PLACE OF PERFORMANCEThe course will be held at the Contractor's facility, which will be equipped with the necessary NDE and Weldingequipment to support this training. The NRC reserves the right to visit the offeror's training facility prior to acontract award.

iii. CLASS SIZEClass size shall be approximately fifteen (15) students and two (2) optional observers (the COR and/or anindividual designated by the COR). Observers will be provided with a copy of the student training materials.These two optional observer positions may be used as regular student positions if the observers designated bythe COR do not attend.

iv, CLASS HOURSClass hours shall start at 8:00 a.m. and end about 4:00 p.m. each day, allowing sixty minutes for a lunch break,with approximately seven hours of instruction time available per day. Breaks shall be provided at a frequencyof approximately ten (10) minutes following each 50 minutes of instruction, with the flow of course materials.Class shall begin at 8:00 a.m. on the first scheduled class day, and shall end at 12:00 p.m. on the lastscheduled class day.

v. OTHER MATERIALSOther materials to be provided to the NRC COR/Students by the Contractor include:a) Shipping boxes and shipping expenses for shipping student manuals via the USPS at the book-rate to thestudent mailing addresses following completion of the course.b) Information clearly showing the training facility and nearby lodging available to the students. This shall beprovided to the NRC COR sixty (60) days prior to the course.

B.2 STANDARDNo more than one instance of noncompliance with the requirements listed above for each course.

B.3 DELIVERABLESi. PRE-COURSE SUBMISSIONSixty (60) days prior to the start of each course, provide to the COR a copy of the following material:- Course schedule,- Texts and handouts to be provided to the students, in an electronic format.

The Contractor shall correct any deficiencies and resubmit the material within twenty-one (21) days fromreceipt of comments from the COR. NRC approval of the final material shall be required at least one (1) weekprior to the start of each course.

ii. POST-COURSE SUBMISSIONWithin thirty (30) days of completion of a course presentation, the Contractor shall submit a CoursePresentation Report to the NRC COR. The report shall contain:1) A cover letter discussing accomplishments, problems, and recommendations for improvement. Therecommendations shall consider the student evaluations.2) Student information sheets providing the student's name, business address, business phone number, nameof immediate supervisor, date of the course,3) Student evaluations for any non-NRC attendees.

B.4 QUALITY ASSURANCE PLAN(100% Inspection) The NRC COR shall review the Contractor's Pre-Course Material Submission and ensurethat all materials submitted meet all requirements. The NRC COR and/or designee may attend the course forobservation. The NRC COR will also review the Post-Course Report.

B.5 INCENTIVESIDEDUCTIONSA 0.05% deduction in total CLIN amount for Task 2 will be taken for each business day late for eachdeliverable submission.

B.7 NRC FURNISHED MATERIALSThe NRC will furnish one copy of a student information sheet and a course evaluation form for non-NRCattendees. The student information sheet and course evaluation forms (as applicable) shall be provided toeach student at the start of each course.

B.8 ADDITIONAL INFORMATIONIGUIDANCEi. The NRC will order at least one session of NDE Technology and Codes course during the base year of thiscontract. Additional courses may be ordered if warranted by student demand. Historically, one course hasbeen presented each year, but this may not be reflective of future needs. Courses will be formally scheduledvia a delivery order form via electronic media or hard copy. One session of the Welding and NDE Overviewcourse may be ordered, depending upon the funding being available.ii. Should the NRC determine no later than thirty (30) calendar days prior to the start of a course that the needis insufficient to conduct the course, the NRC may reschedule or cancel the course presentation by writtennotification to the Contractor without obligation to the government. This notice may be in electronic form orhard copy.iii. The NRC reserves the right to supplement course presentations with NRC technical experts, if available.The COR will notify the Contractor in advance of the course presentation if technical experts will be used.iv. Student background and experience will vary. The Contractor shall not assume experience in NDE orWelding. The NRC COR will coordinate student attendance.v. Exact course dates will be arranged with the Contractor at least ninety (90) days before each course.

C. TECHNICAL QUALIFICATION REQUIREMENTSThe courses shall be conducted by an instructor with a minimum of five years' experience in the field of NDEtechnology. Course instructors must have a minimum of five years' experience in NDE and Weldingtechnology, relevant codes and standards and a demonstrated understanding of the regulatory issues dealingwith NDE and Welding technology used at commercial nuclear facilities. Course instructors must also have aminimum of 3 years expertise in course instruction, with experience in providing instruction to, and supervisingthe activities of, individuals who have little or no experience in the field of NDE and Welding technology orindustrial safety to ensure applicable Federal and State safety requirements are met in this course. Thecontractor shall propose one or more instructors to present the course, but must have at least one additionalfully qualified instructor available as a backup in case the primary instructor is unavailable. For each proposedinstructor, a resume shall be submitted to the NRC COR for approval. Resumes shall also be provided forthose individuals preparing the student and instructor manual.

The Contractor is required to use the statement below in any publications, presentations, articles, products, ormaterials funded under this contract/order, to the extent practical, in order to provide NRC with recognition forits involvement in and contribution to the project. SECTION H - Special Contract Requirements

H.1 2052.209-72 CONTRACTOR ORGANIZATIONAL CONFLICTS OF INTEREST. (JAN 1993)

(a) Purpose. The primary purpose of this clause is to aid in ensuring that the contractor:

(1) Is not placed in a conflicting role because of current or planned interests (financial, contractual,organizational, or otherwise) which relate to the work under this contract; and

(2) Does not obtain an unfair competitive advantage over other parties by virtue of its performance of thiscontract.

(b) Scope. The restrictions described apply to performance or participation by the contractor, as defined in 48CFR 2009.570-2 in the activities covered by this clause.

(c) Work for others.

(1) Notwithstanding any other provision of this contract, during the term of this contract, the contractor agreesto forego entering into consulting or other contractual arrangements with any firm or organization the result ofwhich may give rise to a conflict of interest with respect to the work being performed under this contract. Thecontractor shall ensure that all employees under this contract abide by the provision of this clause. If thecontractor has reason to believe, with respect to itself or any employee, that any proposed consultant or othercontractual arrangement with any firm or organization may involve a potential conflict of interest, the contractorshall obtain the written approval of the contracting officer before the execution of such contractualarrangement.

(2) The contractor may not represent, assist, or otherwise support an NRC licensee or applicant undergoing anNRC audit, inspection, or review where the activities that are the subject of the audit, inspection, or review arethe same as or substantially similar to the services within the scope of this contract (or task order asappropriate) except where the NRC licensee or applicant requires the contractor's support to explain or defendthe contractor's prior work for the utility or other entity which NRC questions.

(3) When the contractor performs work for the NRC under this contract at any NRC licensee or applicant site,the contractor shall neither solicit nor perform work in the same or similar technical area for that licensee orapplicant organization for a period commencing with the award of the task order or beginning of work on thesite (if not a task order contract) and ending one year after completion of all work under the associated taskorder, or last time at the site (if not a task order contract).

(4) When the contractor performs work for the NRC under this contract at any NRC licensee or applicant site,

(i) The contractor may not solicit work at that site for that licensee or applicant during the period of performanceof the task order or the contract, as appropriate.

(ii) The contractor may not perform work at that site for that licensee or applicant during the period ofperformance of the task order or the contract, as appropriate, and for one year thereafter.

(iii) Notwithstanding the foregoing, the contracting officer may authorize the contractor to solicit or perform thistype of work (except work in the same or similar technical area) if the contracting officer determines that thesituation will not pose a potential for technical bias or unfair competitive advantage.

(1) The contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth inthis contract, that it does not have any organizational conflicts of interest as defined in 48 CFR 2009.570-2.

(2) The contractor agrees that if, after award, it discovers organizational conflicts of interest with respect to thiscontract, it shall make an immediate and full disclosure in writing to the contracting officer. This statement mustinclude a description of the action which the contractor has taken or proposes to take to avoid or mitigate suchconflicts. The NRC may, however, terminate the contract if termination is in the best interest of theGovernment.

(3) It is recognized that the scope of work of a task-order-type contract necessarily encompasses a broadspectrum of activities. Consequently, if this is a task-order-type contract, the contractor agrees that it willdisclose all proposed new work involving NRC licensees or applicants which comes within the scope of work ofthe underlying contract. Further, if this contract involves work at a licensee or applicant site, the contractoragrees to exercise diligence to discover and disclose any new work at that licensee or applicant site. Thisdisclosure must be made before the submission of a bid or proposal to the utility or other regulated entity andmust be received by the NRC at least 15 days before the proposed award date in any event, unless a writtenjustification demonstrating urgency and due diligence to discover and disclose is provided by the contractorand approved by the contracting officer. The disclosure must include the statement of work, the dollar value ofthe proposed contract, and any other documents that are needed to fully describe the proposed work for theregulated utility or other regulated entity. NRC may deny approval of the disclosed work only when the NRChas issued a task order which includes the technical area and, if site-specific, the site, or has plans to issue atask order which includes the technical area and, if site-specific, the site, or when the work violates paragraphs(c)(2), (c)(3) or (c)(4) of this section.

(e) Access to and use of information.

(1) If, in the performance of this contract, the contractor obtains access to information, such as NRC plans,policies, reports, studies, financial plans, internal data protected by the Privacy Act of 1974 (5 U.S.C. Section552a (1988)), or the Freedom of Information Act (5 U.S.C. Section 552 (1986)), the contractor agrees not to:

(i) Use this information for any private purpose until the information has been released to the public;

(ii) Compete for work for the Commission based on the information for a period of six months after either thecompletion of this contract or the release of the information to the public, whichever is first;

(iii) Submit an unsolicited proposal to the Government based on the information until one year after the releaseof the information to the public; or

(iv) Release the information without prior written approval by the contracting officer unless the information haspreviously been released to the public by the NRC.

(2) In addition, the contractor agrees that, to the extent it receives or is given access to proprietary data, dataprotected by the Privacy Act of 1974 (5 U.S.C. Section 552a (1988)), or the Freedom of Information Act (5U.S.C. Section 552 (1986)), or other confidential or privileged technical, business, or financial informationunder this contract, the contractor shall treat the information in accordance with restrictions placed on use ofthe information.

(3) Subject to patent and security provisions of this contract, the contractor shall have the right to use technicaldata it produces under this contract for private purposes provided that all requirements of this contract havebeen met.

(f) Subcontracts. Except as provided in 48 CFR 2009.570-2, the contractor shall include this clause, includingthis paragraph, in subcontracts of any tier. The terms contract, contractor, and contracting officer, must beappropriately modified to preserve the Government's rights.

(g) Remedies. For breach of any of the above restrictions, or for intentional nondisclosure or misrepresentationof any relevant interest required to be disclosed concerning this contract or for such erroneous representationsthat necessarily imply bad faith, the Government may terminate the contract for default, disqualify thecontractor from subsequent contractual efforts, and pursue other remedies permitted by law or this contract.

(h) Waiver. A request for waiver under this clause must be directed in writing to the contracting officer inaccordance with the procedures outlined in 48 CFR 2009.570-9.

(i) Follow-on effort. The contractor shall be ineligible to participate in NRC contracts, subcontracts, or proposalstherefor (solicited or unsolicited) which stem directly from the contractor's performance of work under thiscontract. Furthermore, unless so directed in writing by the contracting officer, the contractor may not performany technical consulting or management support services work or evaluation activities under this contract onany of its products or services or the products or services of another firm if the contractor has beensubstantially involved in the development or marketing of the products or services.

(1) If the contractor under this contract, prepares a complete or essentially complete statement of work orspecifications, the contractor is not eligible to perform or participate in the initial contractual effort which isbased on the statement of work or specifications. The contractor may not incorporate its products or services inthe statement of work or specifications unless so directed in writing by the contracting officer, in which case therestrictions in this paragraph do not apply.

(2) Nothing in this paragraph precludes the contractor from offering or selling its standard commercial items tothe Government.

H.2 2052.215-70 KEY PERSONNEL. (JAN 1993)

(a) The following individuals are considered to be essential to the successful performance of the workhereunder:

The contractor agrees that personnel may not be removed from the contract work or replaced withoutcompliance with paragraphs (b) and (c) of this section.

(b) If one or more of the key personnel, for whatever reason, becomes, or is expected to become, unavailablefor work under this contract for a continuous period exceeding 30 work days, or is expected to devotesubstantially less effort to the work than indicated in the proposal or initially anticipated, the contractor shallimmediately notify the contracting officer and shall, subject to the concurrence of the contracting officer,promptly replace the personnel with personnel of at least substantially equal ability and qualifications.

(c) Each request for approval of substitutions must be in writing and contain a detailed explanation of thecircumstances necessitating the proposed substitutions. The request must also contain a complete resume forthe proposed substitute and other information requested or needed by the contracting officer to evaluate theproposed substitution. The contracting officer and the project officer shall evaluate the contractor's request and

the contracting officer shall promptly notify the contractor of his or her decision in writing.

(d) If the contracting officer determines that suitable and timely replacement of key personnel who have beenreassigned, terminated, or have otherwise become unavailable for the contract work is not reasonablyforthcoming, or that the resultant reduction of productive effort would be so substantial as to impair thesuccessful completion of the contract or the service order, the contract may be terminated by the contractingofficer for default or for the convenience of the Government, as appropriate. If the contracting officer finds thecontractor at fault for the condition, the contract price or fixed fee may be equitably adjusted downward tocompensate the Government for any resultant delay, loss, or damage.

H.3 WHISTLEBLOWER PROTECTION FOR NRC CONTRACTOR AND SUBCONTRACTOREMPLOYEES

(a) The U.S. Nuclear Regulatory Commission (NRC) contractor and its subcontractor are subject to theWhistleblower Employee Protection public law provisions as codified at 42 U.S.C. 5851. NRC contractor(s)and subcontractor(s) shall comply with the requirements of this Whistleblower Employee Protection law, andthe implementing regulations of the NRC and the Department of Labor (DOL). See, for example, DOLProcedures on Handling Complaints at 29 C.F.R. Part 24 concerning the employer obligations, prohibited acts,DOL procedures and the requirement for prominent posting of notice of Employee Rights at Appendix A to Part24 entitled: "Your Rights Under the Energy Reorganization Act".

(b) Under this Whistleblower Employee Protection law, as implemented by regulations, NRC contractor andsubcontractor employees are protected from discharge, reprisal, threats, intimidation, coercion, blacklisting orother employment discrimination practices with respect to compensation, terms, conditions or privileges of theiremployment because the contractor or subcontractor employee(s) has provided notice to the employer,refused to engage in unlawful practices, assisted in proceedings or testified on activities concerning allegedviolations of the Atomic Energy Act of 1954 (as amended) and the Energy Reorganization Act of 1974 (asamended).

(c) The contractor shall insert this or the substance of this clause in any subcontracts involving work performedunder this contract.

H.4 GOVERNMENT FURNISHED EQUIPMENT/PROPERTY

(a) The NRC will provide the contractor with the following items for use under this contract:

(d) Comptroller General Examination of Record. 1.3 52.217-8 OPTION TO EXTEND SERVICES. (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specifiedin the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided bythe Secretary of Labor. The option provision may be exercised more than once, but the total extension ofperformance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by writtennotice to the Contractor within 30 days.

Attachment 2- Firm-Fixed Price Billing Instructions

General: During performance and through final payment of this contract, the contractor is responsible for theaccuracy and completeness of data within the System for Award Management (SAM) database and for anyliability resulting from the Government's reliance on inaccurate or incomplete SAM data.

The contractor shall prepare invoices/vouchers for payment of deliverables identified in the contract, in themanner described herein. FAILURE TO SUBMIT INVOICES/VOUCHERS IN ACCORDANCE WITH THESEINSTRUCTIONS MAY RESULT IN REJECTION OF THE INVOICE/VOUCHER AS IMPROPER.

Standard Forms: Payment requests for completed work, in accordance with the contract, shall be submittedon the payee's letterhead, invoice/voucher, or on the Government's Standard Form 1034, "Public Voucher forPurchases and Services Other than Personal," and Standard Form 1035, "Public Voucher for Purchases Otherthan Personal--Continuation Sheet."

Electronic InvoiceNoucher Submissions: The preferred method of submitting invoices/vouchers iselectronically to the U.S. Nuclear Regulatory Commission, via email to: NRCPayments(anrc.gov.

Hard-Copy InvoiceNoucher Submissions: If you submit a hard-copy of the invoice/voucher, a signedoriginal and supporting documentation shall be submitted to the following address:

Purchase of Capital Property: ($50,000 or more with life of one year or longer)

Contractors must report to the Contracting Officer, electronically, any capital property acquired with contractfunds having an initial cost of $50,000 or more, in accordance with procedures set forth in NRC ManagementDirective (MD) 13.1, IV, C -"Reporting Requirements" (revised 2/16/2011).

Agency Payment Office: Payment will continue to be made by the office designated in the contract in Block12 of Standard Form 26, Block 25 of Standard Form 33, or Block 18a of Standard Form 1449, whichever isapplicable.

Frequency: The contractor shall submit invoices/vouchers for payment once each month, unless otherwiseauthorized by the Contracting Officer.

Format: Invoices/Vouchers shall be submitted in the format depicted on the attached sample form entitled"InvoiceNoucher for Purchases and Services Other Than Personal". Alternate formats are permissible only ifthey address all requirements of the Billing Instructions. The instructions for preparation and itemization of theinvoice/voucher are included with the sample form.

Task Order Contracts: The contractor must submit a separate invoice/voucher for each individual task orderwith pricing information. This includes items discussed in paragraphs (a) through (p) of the attachedinstructions. In addition, the invoice/voucher must specify the contract number, and the NRC-assignedtask/delivery order number.

Final vouchers/invoices shall be marked "FINAL INVOICE" or "FINAL VOUCHER".

2. InvoiceNoucher Information

a. Payee's DUNS Number or DUNS+4. The Payee shall include the Payee's Data Universal Number(DUNS) or DUNS+4 number that identifies the Payee's name and address. The DUNS+4 number is theDUNS number plus a 4-character suffix that may be assigned at the discretion of the Payee to identifyalternative Electronic Funds Transfer (EFT) accounts for the same parent concern.

b. Taxpayer Identification Number. The Payee shall include the Payee's taxpayer identification number (TIN)used by the Internal Revenue Service (IRS) in the administration of tax laws. (See IRS Web site:http://www.irs.gov/Businesses/Small-Businesses-&-Self-Employed/Employer-ID-Numbers-(EiNs)).

c. Payee's Name and Address. Show the name of the Payee as it appears in the contract and its correctaddress. Where the Payee is authorized to assign the proceeds of this contract in accordance with the clauseat FAR 52.232-23, the Payee shall require as a condition of any such assignment, that the assignee shallregister separately in the System for Award Management (SAM) database at http://sam.gov and shall be paidby EFT in accordance with the terms of this contract. See Federal Acquisition Regulation (FAR) 52.232-33(g)Payment by Electronic Funds Transfer - Central Contractor Registration (October 2003).

d. Contract Number. Insert the NRC contract number (including Enterprise-wide Contract (EWC)), GSAFederal Supply Schedule (FSS), Governmentwide Agency Contract (GWAC) number, or Multiple AgencyContract (MAC) number, as applicable.

e. Task Order Number. Insert the task/delivery order number (If Applicable). Do not include more thanone task order per invoice or the invoice may be rejected as improper.

f. Invoice/oucher. The appropriate sequential number of the invoice/voucher, beginning with 001 should bedesignated. Contractors may also include an individual internal accounting number, if desired, in addition tothe 3-digit sequential number.

g. Date of Invoice/Voucher. Insert the date the invoice/voucher is prepared.

h. Billing Period. Insert the beginning and ending dates (day, month, year) of the period during whichdeliverables were completed and for which payment is requested.

i. Description of Deliverables. Provide a brief description of supplies or services, quantity, unit price, and

total price.

j. Work Completed. Provide a general summary description of the services performed or products submitted

for the invoice period and specify the section or Contract Line Item Number (CLIN) or SubCLIN in the contractpertaining to the specified contract deliverable(s).

k. Shippinq. Insert weight and zone of shipment, if shipped by parcel post.

I. Charges for freight or express shipments. Attach prepaid bill if shipped by freight or express.

m. Instructions. Include instructions to consignee to notify the Contracting Officer of receipt of shipment.

n. For Indefinite Delivery contracts, the final invoice/voucher shall be marked FINAL INVOICE" or "FINALVOUCHER".

o. Total Amount Billed. Insert columns for total amounts for the current and cumulative periods.

p. Adiustments. Insert columns for any adjustments, including outstanding suspensions for deficient ordefective products or nonconforming services, for the current and cumulative periods.

q. Grand Totals.
