Itwas founded in 1836 by two brothers, Eugne I and AdolpheSchneider. 4. In the first part of the 20th century, Schneider et Cie associated itselfwith Westinghouse Systems, a major international electrical group atthe time. The group began manufacturing electric motors andlocomotives. After the Second World War, the armaments businesseswere abandoned in favor of electrical engineering, and iron and steelworks. The company remained in this sector until the early 1980s.In 1981, Groupe Schneider was broken up, focusing on the electricaland controls industry. This was followed by strategic acquisitions ofTelemecanique (1988), Square D (1991) and Merlin Gerin (1992) andit is these brands that are the core products of the companysoffering. In 1999, Groupe Schneider was renamed Schneider Electric. TheSchneider company also acquired The Lexel Group that year.Today, the company has grown into a world leader [says who?] in PowerandControl solutions throughfurther acquisitions: PowerMeasurement in 2005, MGE UPS Systems, Clipsal, TAC, Nulec,Andover Controls, GET plc and Citect in 2006, American PowerConversion in 2007, and Gutor Electronic LLC in 2008.Veris Industries, an electronic sensor manufacturer, was acquired in1999. The newest acquisition for the company is Pelco, a video andsecurity system manufacturer[2] and the distribution branch of AREVAT&D, a strategic and very successful acquisition made in 2010, whilethe transaction for PELCO was closed on October 17, 2007. 5. 6. History1836, beginningsIn 1836 the brothers Eugne and Adolphe Schneider took over anabandoned foundry at Le Creusot, which allowed them to participatein the industrial revolution. The companys main focus was on thesteel industry, working on train tracks, ships and various other typesof heavy machinery.1870-1944, first activitiesEugnes son, Henri Schneider, took the company to the next levelwhen he pushed it into the new production methods that wereappearing during the 1860s and the 1870s, making it possible tomake cheaper but stronger steel. With their innovative methods,Schneider quickly became one of the European leaders in thearmament and heavy machinery industry. In the meantime, Eugnesother son, Eugne II, was making transactions and investments inseveral countries. Most of the companys income came from the armament sector, butafter World War I the company started focusing more on thedevelopment of electricity and steel as everyday products. It is alsoduring this time that Merlin Gerin, Telemecanique and Square Dstarted prospering. After World War I Schneider adopted anexpansion strategy, going into Germany and East Europe. Thisstrategy was put on hold when WWII started. 7. 1944-1981, changes and difficultiesAfter the Liberation of France, Schneider was forced to face a newcrisis. The groups new chief, Charles Schneider, progressivelyabandoned the armament industry in favor of civilian sectors. Thecompany completely changed in 1949, adapting itself to thechallenges brought by the post-war world.Charles Schneiders violent death during August 1960 brought up asuccession problem. The company was also suffering in its keysectors. Baron Edouard-Jean Empain took control of the group in1969. He unsuccessfully tried to diversify the groups traditional mainsectors. Eventually, alliances started developing with othercompanies1981-2000, from Schneider to Schneider ElectricIn 1981, Didier Pineau-Valencienne changed the companysstructure, completely eliminating the sectors that were in crisis, suchas iron, steel and marine construction. After getting the company financially on its feet, thanks to newinvestors and changes in the companys structure, Schneider startedan expansion period at the end of the 1980s. After having absorbedmuch of Merlin Gerin (1986), Pineau-Valencienne started buyingcompanies such as Tlmecanique (1988) and Square D (1991). 8. In May 1999, under the leadership of its new CEO, Henri Lachmann,Group Schneider changed its name to Schneider Electric, marking itsprincipal objective in the electrical field.2000-today, growthSchneider Electrics strategy involves growth internally and externally, developing its geographical positions. Henri Lachmann retired in2007 to be replaced by Jean-Pascal Tricoire, who is the currentChairman and CEO of the company. In October 2008, the companys Canadian division, SchneiderElectric PMC Victoria, was named one of BCs Top Employers byMediacorp Canada Inc., which was announced by The VancouverSun, The Province and the Victoria Times-Colonist.[4]Mergers and acquisitions at a glance1836 Creation of Groupe Schneider at Le Creusot/France1902 Creation of Mac-Bride Manufacturing (which became SquareD in 1917)1920 Creation of Merlin Gerin1924 Creation of Telemecanique1968 Creation of Modicon1975 Merlin Gerin joins Groupe Schneider1988 Telemecanique joins Groupe Schneider1991 Square D joins Groupe Schneider1994 Contribution of all business activities of Merlin Gerin andTelemecanique and contribution of Square Ds shares which become 9. CORPORATESOCIALRESPONSIBILITYIt is part of our ambition to contribute to the Society. The importanceof CSR for us is reflected in our vision, achieve more while usingless and mission which is to help people to make the most of theirenergy. We want to support the national ambition electricity for all. With a program like BIPBOP, we want to extend our support to thepeople at the Bottom of the Pyramid by utilizing resources availablewith us to bring the much needed change. Our people realize theirrole in the society and are happy to shoulder the responsibility ofmaking this programme successful in the challenging environment.Mr Olivier Blum,Managing Director, Schneider Electric IndiaCSR InitiativesNovember 2009In a world where access to energy has become a major problem,Schneider Electric believes that through its sustainable developmentprogram, it can help provide tremendous opportunity for growth anddifferentiation. The ChallengeThe Schneider Electric Group is committed towards providingsolutions to two major problems: Products and solutions needed inthe market to help developed countries utilize energy in an intelligentand environment friendly way Steps needed to be taken in underdeveloped countries to bring clean, electricity and sustainable 45. economic development to the millions of people who have no accessto energySchneider Electrics InvolvementReaffirming our commitment to the very special industry that webelong to, Schneider Electric hastaken up two critical issues:Energy Efficiency: Committed in preservation of our planet anddevelop energy efficient solutions for our customers which help inreducing energy consumption by up to 30%, thereby cutting CO2emission levels.Access to Energy: To improve the standard of living of people, whoare living without electricity, Schneider Electric is committed inproviding them access to electricity in a sustainable manner. Our BIPBOP programmeHaving understood the global as well as Indian challenges, we haveembarked on a path which we call BIPBOP - an acronym forBusiness, Investment and People at the Bottom of the Pyramid. The BIPBOP programme covers three dimensions Business -develop and deliver solutions, particularly in renewable energies andnew lighting technology (solar PV, LED, etc.) to provide affordableand clean energy; Investment - provide funding to innovativeelectrical companies, SMEs and entrepreneurs, to contribute to thesuccess of local businesses;People - support people from the bottom of the pyramid to acquireelectrical competencies and develop their ability to work, throughtraining. Our approach towards CSR is unlike traditional form ofphilanthropy. In fact, through our efforts we want to build capacity at 46. the grass root level and make the change self sufficient andsustainable. With BIPBOP, we hope to provide access to safe andclean energy to people who are deprived of it and need the most. Wedo not intend to carry forward BIPBOP in isolation, hence areengaging with other important stakeholders in the society likegovernment, international organisations and NGOs to propel this ideato convert into reality. The BIPBOP programme addresses two keyissues in providing sustainable access to electricity: Lack ofappropriate equipment through the development of an adequate offerand; Skills and expertise shortage through technical and businesstraining In our research, we found that affordability for initialinvestment is the major barrier for access to electricity at the BOP.And, each household at BOP spends 2-4 USD per month onkerosene for lighting. The chart below maps out the prevailingsituation and issues with people at the BOP.Keeping these hurdles in mind, we are aiming in bringing access toenergy at BOP in sustainable, comprehensive and scalable way.Sustainable creating a market-based environment for wealthgeneration supporting through SchneiderElectric FoundationComprehensive providing a suitable offer for affordable, efficient andclean energy distributing through the right access channels, resortingto existing social infrastructure of BOP and new entrepreneursdeveloping the required skills of electricians and entrepreneursCSR InitiativesNovember 2009 47. Scalable enabling each household to upgrade gradually its access toenergy replicating the model from house to house and village tovillage With BIPBOP programme, we have set out to achieve a targetof providing access to energy to more than 4lac households andchange lives of many more in next 3 years. We strongly believe, any amount of charitable activity cannot alleviatepoverty at bottom of pyramid. If CSR objective of a company isaligned to their business goals, it will help in value creation at BOPthus alleviating poverty.By promoting the concept of entrepreneurship and technical trainingwe intend to create a pool of electricians who will promote safe andreliable electric installation in India. This will also help youngunemployed youth from poor family to get a job and support theirfamilies. Presently Schneider Electric India Foundation is providingfree electrician training to unemployed youth from poor families in 8training centres across 5 states. So far we have provided training to200 unemployed youth.Students taking training through practicals and classroom BIPBOP bySchneider Electric worldwide Training programmes and schools inIndia, Turkey, Russia, Chile, Egypt, Colombia, Indonesia, France,Central Africa. India: Ongoing electrician training programmes inpartnership with a NGO for BOP candidates to create well trainedelectricians. Scholarship programmes to sponsor bright BOPengineering students. Turkey: Scholarships awarded to 50 femalestudents to help them continue their studies in electrical andelectronic engineering. Central Africa: Financial and human 48. investment to train engineers and technicians in Africa (teachertraining and recruitment, acquisition of scientific and technicalequipment, fitting out premises, etc.). Access to energy in SouthAfrica, Nigeria, Sudan, USA, etc. with prepayment solutions andmaterial donations. France: Financial contribution to 50 long-termunemployed people to help them create their own business in thefield of electricity. Promoting access to energy for all, withoutendangering the climate - this is todaySchneider Electric HealthPolicyHealth - A priority of the company programme and an essential partof the managementOrganisation NameSchneider ElectricProblemThe health policy, defined and deployed at the Group level in 2006,applies the definition of the WHO: "health is a state of completephysical, mental and social well-being and not merely the absence ofdisease or infirmity".The Group considers health as a shared issue by the whole of thecollaborators and partners; it aims to become the reference forhealth in each 106 countries where the company is present andto becomeone of the best in class companies. 49. In line with its Principles of Responsibility, the company hascommitted itself to promoting an ambitious project relating to respectfor health, combining responsibility and economic efficiencySolutionThe engaged policy aims at a radical change of the behaviors.Several steps bring the proof of our engagement: The HealthandSafety Steering Committee, includingrepresentatives of the various entities of the Group andmanaged by the Management of the Sustainable DevelopmentDepartment, sets orientations, runs and coordinates the healthpolicy on a world level and ensures the coherence of thecarried out actions. The strong involvement of the managers for the implementationto the action plans was accelarated by the integration of safetycriteria in their remuneration. The support of a "sponsor" , sometimes member of theExecutive Committee of Schneider Electric, appointed for "badperformers" (units with the poorest safety performance)facilitates the actions. The ten entities which took benefit fromthe actions of sponsoring in 2006 (sites shared betweenFrance, Italy, Spain, Netherlands, Australia, China, Brazil andArgentina) progressed afterwards more quickly than the 50. average. New entities were selected to be followed in 2007individually by a sponsor. The training of the managers within the Schneider ElectricUniversity includes economic efficiency modules of health andsafety at work. The company clocked domestic sales of Rs 20 billionand exports of Rs 20 billion in 2009. Mr Olivier Blum, ManagingDirector, Schneider Electric India, spoke to Milton DSilva, Editor,Industrial Products Finder, during the event. Excerpts: 56. How is the Elecrama experience this year?It is amazing to see such a large number of participants and visitorswith all the right ambience and enthusiasm all around. It is ourprivilege to be associated to IEEMA to contribute to make Elecrama awindow for our industry. For the first time in India, we are presentingSchneider Electric as a global specialist in Energy Managementintegrating the full solutions coming from the acquisitions of ConzervSystems and Meher Capacitors, and several product launches. So, you are now a complete energy management company? If we take the life cycle approach of energy efficiency the squarecomprises four quadrants: Measure, Fix, Automate and Monitor. Ourrecent acquisitions have filled in the gaps in measurement and powerfactor correction with the Conzerv Systems and Meher Capacitorsproducts respectively. In automation, we have strong products andcapabilities, as also for real time monitoring with software and web-based technologies. What is the 72 per cent energy conservation which Schneidermentions in its literature? The figure of 72 per cent refers to the total percentage of energy thatconcerns us directly and hence can be worked up on for conservationefforts, the other 28 per cent being used for transportation and hencebeyond our domain. So all our products and efforts are devoted to theconcept of energy optimisation and by extension, energy 57. conservation. Like the products we launched here are simplified andwill help end-user reduce design time, capex and opex, and mostimportantly reduce wastage by making optimal use of energy. How important is the Indian market?India is part of the select group of 5 most important countries ofSchneider Electric. And, the range of products, solutions and serviceslaunched here suggests our growing thrust on research anddevelopment. Globally, an investment of nearly five per cent out ofthe global turnover is made in R&D, out of which a significant part willbe spent in India. We intend to increase our market share in India byquadrupling our sales turnover by 2013.So we will witness more acquisitions? We will grow organically and inorganically, so acquisitions willhappen. In fact, globally Schneider Electric has made over 100acquisitions in the last six years, the most by any company. I havepersonally been involved in many of these, in China and elsewhere.About a fifth of my time is devoted to look for such opportunities, study them thoroughly so that once we make the decision it is swiftand a perfect fit in our strategy. What is the BiPBoP programme the company is launching inIndia? The BiPBoP - Business, Investment, People at the Bottom of thePyramid - is an endeavour to bring safe and clean electricity to the 58. people who need it the most. It is like a CSR initiative, but not charity, since it is linked to our business. Under this programme, the companywill be involving local communities and stakeholders to address thethree key issues to provide sustainable access to electricity: lack ofappropriate equipment, lack of financial resources and shortage ofskills and expertise. Each of this will be addressed by appropriatesolutions like developing specific products for this segment, reinvesting the profit made in the foundation to in turn providefinancial assistance and providing technical and business training tothe people in the target group. You have worked in China before coming to India two years ago.How different is the Indian experience?Well, no two markets are alike and so it is not appropriate tocompare, but let me say that while China has had tremendous growthin the last ten years and more, so is India growing very rapidly today. The similarity is both are countries with a billion plus population and ahuge market with plenty of challenges and opportunities. Thedifference is that in China the decision making is very fast and so isproject execution, which in India is not the case. On the other hand,India is much more dynamic, and has the talent and capability. Butboth are very challenging assignments.challSchneider Electric lights India through In-DiyaPublished: 17-Feb-2010 59. The new system aims to illuminate the lives of 500 million Indianshaving no access to electricity, with special focus on rural India. Thismarks a major milestone for Schneider Electrics global sustainableprogram BipBop.In-Diya is a specially designed LED based lighting system thatprovides backup ranging from 8 15 hours for indoor applications. In-Diya LED based lighting system is available in nine different variants. The basic model with 45 LEDs is available for EUR8.5 ($11.5approx.). It is powered by an external chargeable battery which canbe rented from a battery charging station managed by a localentrepreneur. The high-end variant is a 90 LED Solar Home LightingSystem which is compatible with the electrical grid and is priced atEUR70 ($95 approx.).In addition to using Schneider Electrics strong network of 400 pluschannel partners, the Group will join hands with various MicroFinance Institutions, NGOs and specially trained entrepreneurs toreach the rural masses. Half of the net profit earned from sales of In-Diya in India will be put back into the Schneider Electric IndiaFoundation to further the cause of BipBop.Schneider Electric India Foundation is presently running 11 trainingcenters in six states viz. Tamil Nadu, Andhra Pradesh, Orissa,Karnataka, Bihar and Delhi. Another 10 training centers will beopened during 2010. Benefits of In-Diya include a 50% less powerthan 11W CFL and 90% less power than 60 Watt incandescent lampfor the same light output; it can be mounted on a wall and can 63. illuminate a room of 12 feet by 12 feet for all normal activities; in itshigh-end version costs less than any CFL based solar home lightingsystem; provides 50,000 hours of lighting. The key drivers contributing to the improvement were the following:- The strong rebound in volume added a positive effect of 192million to profitability.- Productivity and structural adaptation drove cost down by 343million. Support function costs were reduced by 50 million, whichwas the combined effect of continued cost-cutting in mature countriesand reinvestment in some selected new economies in light of thestrong rebound. Volume rebound and excellent control of fixedmanufacturingcosts led to significantincrease in industrialproductivity in the first half 2010, generating 293 million of savingsfrom purchasing, rebalancing and lean manufacturing. Cumulativecost savings since the launch of the One program in 2009 reached 1 billion, or 62% of the 3-year target.- The first half result also benefited from positive currency impact of61 million partly attributable to transaction impact related to theappreciation of the Australian dollar, Russianruble, and Brazilian real against the Euro. The benefits of the above items were somewhat offset by thefollowing key impacts:- Mix impact was -26 million, substantially better than same periodlast year.- Pricing impact was close to neutral at -19 million, in line withexpectations. 64. - Raw material headwind reduced profit by 35 million, whileproduction labor inflation was contained at 18 million. Supportfunction cost inflation and other costs (including global IT systemcosts) were significant at 77 million, the increase was primarily innew economies following the strong rebound in activity.Lastly, acquisitions net of divestments had a positive 6 millionimpact.A non-recurring charge of 15 million related to the ArevaDistribution acquisition was included in the EBITA beforerestructuring costs of 1,286 million, but was restated in the operatingfigures mentioned here for better comparability.By business, Power posted 2.1 point margin improvement over prioryear, at 19.7% of sales. Profitability of Industry jumped by 11.0 pointsand reached 19.1% of sales, similar to Power. IT continued its marginimprovement, up 1.6 points, at 14.7% of sales. Volume rebound andrestructuring effort lifted CST margin up by 12.9 points, at 12.3% ofsales. However, profitability of Building was still affected by the on-going downturn in construction and was down 1.2 points at 9.5% ofsales.Certain functions reported at the businesses level in 2009 are nowpart of the Group global shared services and were consequentlybooked as corporate costs, in line with the new organization put inplace under the One company program. Therefore, the totalcorporate costs in first half 2010 amounted to 238 million or 2.8% ofsales (excluding the non-recurring charge on Areva Distribution),same as 2009 on comparable basis. 65.
