SUBJECT: To examine the amendment of the New York State Not-For-Profit Law

PURPOSE: The purpose of this hearing will be to examine comprehensive amendm

York State's Not-For-Profit Corporation Law in an effort to reduce unnecessary burden

nonprofits and to enhance nonprofitgovernance and oversight. The Corporations, Auth

Commissions Committee will convene to discuss Senate Bill S.3755-A, which would und

comprehensive revision of the Not-For-Profit Law. The Committee will also be solicitin

on the shortcomings of the currentNot-For-Profit Law, the benefits of proposed amend

current law and any suggestions forfurtherrevisions to the law.

The Not-For-Profit Law was enacted by Chapter 1066 of the Laws of 1969. Although th

been piecemeal amendments of the Law in the last forty plus years, there has not been

comprehensive review and update made.

The Not-For-Profit Law covers a diverse array ofentities, including membership corpo

cemetery corporations, fire corporations, religious societies, medical societies, alumni c

historical societies, agricultural societies, trade organizations, as well as charitable orga

hospitals and not-for profit nursing homes. Many of these entities are also regulated by

departments, including The Department of Health, the Office of the Attorney General anEducation Department.

These entitiesplay a vital role in the economy of ourstate,providing thousands of jobs

providing vital services on a daily basis. It is critical that the law remain up to date to e

those corporations falling under its aegis can operate as efficiently, in terms of both cos
