Dow Chemical Co. Dow was yellow carded after an appeals court let stand a $1.06 billion class-action verdict for allegedly conspiring the fix the price of urethane.

HP has settled SEC charges and related criminal charges for $108 million. Eli Lilly & Co. Eli Lilly and its partner Takeda Pharmaceutical Co. face $9 billion in compensatory and punitive damages after a jury believed that Takeda hid cancer risks during development of the diabetes drug Actos. The charges were almost entirely leveled at Takeda and Eli Lilly’s portion of the verdict will likely be paid by Takeda because of an agreement between the two companies.

Target’s yellow card is for the security breach that allowed up to 110 million customers’ data to fall into the hands of hackers. Target faces a class-action suit for one of the largest data breaches in history.

Goldman, along with several companies that did not make the 100 Best List including Citigroup Inc. and UBS AG, have agreed to pay $235 million to settle litigation that they concealed risks of mortgage securities sold by Residential Capital before the global financial crisis.

Alcoa Inc. Alcoa would have been ranked No. 94. Alcoa World Aluminum LLC (AWA) settled charges brought under the Foreign Corrupt Practices Act and in connection with legacy-contracts of Aluminum Bahrain B.S.C. (Alba). AWA pleaded guilty to one count of bribery and Alcoa agreed to pay $223 million to the Department of Justice (DOJ) and $175 million to the Securities and Exchange Commission (SEC).

Duke Energy would have been ranked No. 95. Duke was red-carded for a coal ash spill that impacted a river in North Carolina and Virginia. In February 2014 at a Eden, NC, Duke Energy site, a stormwater pipe located under an ash storage pond collapsed. Nearly 40,000 tons of coal ash flowed into the Dan River. Duke moved quickly to clean up the spill and settle all accounts. Virginia fined the company $2.5 million for the ash release. North Carolina fined the company $25 million for another facility’s groundwater impacts, which the company is appealing. Federal misdemeanor charges were also filed for alleged Clean Water Act violations. The company has proposed settling the federal charges for about $100 million.
