Columbia County is required by law to provide aerial photography. This is the photography used by the Property Appraiser, Department of Revenue, Department of Transportation and others. The county is required to provide new photography in 2013.

The county has the option of purchasing the required photography now. By purchasing now, the county can purchase a higher quality aerial at 2010 pricing. If the county waits until 2013, the cost of the photography will increase. The increase will be from $150 to $175 per photograph. The total cost to purchase now is $122,448.

I met with Ray today to discuss a renewal of our agreement to fly the county.

We are proposing to provide the county with substantially better quality imagery at the same price we did the flight in 2010. Specifically, we're offering 9" imagery at the price we did 12" imagery in 2010.

I have a bit of a sense of urgency: this proposal protects Columbia County from a rumored price increase that may occur sometime after the beginning of our new fiscal year (1 Aug). We can structure payments that no money would be due until after the beginning of your new fiscal year.

I'm sure that you have many questions for me. I can be in Lake City late next week or anytime the week of the 25th.

2.2 System (nsblllalion. Pictomffl'yshall install a copy ofthe Licensed Products on storage media either provided by Licensee or purdiased Crom Pictometry. as specified in Section A. With the assistance of PictornetJy, the Licensee will install the Licensed Prodll:ts from that mediaontocomputers, indtding server computers. The Licmseewill be responsible for a.ssuringthat thecomputersystem being!B:d for these purposes will satisfy theminimunsystem requirements set forth on Sectioo B. Licenseeand itsAuthorizedSubdivisions(as provided in Section 2.4) may ll!e and execute the Licensed Software for official purposes only.

Licensee agrees that Pictometry may atdit Licensee's use of theLicensedSoftwue and agrees to thesharingof supplementwy data with Pictomffl'y for the purposeofimprovingfuturesoflware versions, providing for additiooal tools and enhancing the value ofthe sofu\are to the Licensee. Pictometry shall not tr!llsrer any datacollededtoany third party. Pictometryshall preserve at all times the confllentialty ofinformationpertainingtodatacollectiOfll \\tlere the infonnation is not in the public domain.

2.4 LicenSH May Aulborize SubdMsions and Usen. The Liceriseemay authorize any department, sub IDlit, or location within the Licmsee(hereinafier "Authorized Subdivisions") to have the Licensed Prodll:tsinstalledon computerso\Wled{orleased) and used by those Autho.-izedSubdivisions. The installation ofthe L1cmsedlmageryand EFS, and thetrainingot'the Licmseeand Authorized Subdivision Personnel ("Authorized Users"). may be performed only by Pictometryorby the Licensee'sempl(l)lees'l'lho have received special training from Pictometry. All Authorized Subdivisions and Authorized Users shall operate IDlder this Agreement as a!J)ntsofthe Liceriseeandcomply with all obligationsofLicmseewith respectto the use and distribution ofthe Licensed Prodll:ts,and Pictometrymaylook to the Licensee alone foraS&l'ingcompliarce with the tennsandconditions ofthis Agreement. Licensee agrees: (a) that it will not allowany persons other than Authorized Users to use or operate, or to have any other accessto,any of the Licensed Products(otherthan as described in Article 3.1 of th is Agreement). 4. ARTICLE- LICffiSEFD'S 4.1 License Fus. In consideration fort he License, andsuiject to the other tennsandconditionsofthisAgreement. the Licensee hereby agrees to pay to

PictometJy the fresdescribed in this Agreement (altogether the "License Fees") and payment shall be made as provided in Section A. Any tax, indtding sales tax, is in addition tot he License Fees and is the responsibility ofthe Lic~seelDllessdocumentationoftaxexemption is provided to Pictometry. All License Fees shall be earned on the date Licensed Prodll:ts are shipped.

S.2 Notifkatil,a. Licensee will: (a) notify Pictomdry in writing of any claim or proceeding involving any ofthe Licensed Products within ten (I O)days after Licensee learns of theclaim or proceeding; and (b) report promptly to P ictcmetry all claimed or suspected defects in any Licensed Product.

6. ARTICLE-ASSIGNMINT 6.1 General The provisions of this Agreement shall be binding upon and inure to the benefit oft he parties, their successors ard permitted assigns, but shall not

be assignable by either party except as provided in Sect ions 6.2 arv:16.3 below. 6.2 AuignmentByUcemee. This Agreement will not be assignable by Licensee, and Licensee may not delegate itsdu:ies hereunder without the prior written

consent ofPictomeby. 6.3 AssignmentBy Pidomeiry.Pictomeby shall have the right to assign its rights to receive License Fees under this Agreement,but no such assignment shall

affect Pictomeby's obligations hereunder. In additi>n, Pictometry shall have the right to assign all its rights to anypersonor entity ,provided the assignee has assumed all of Pictooiary'sobli(!llti:ms under this Agreement. Exa:pt as provided above in this Section6.3, this Agreement will not be assignable byPictomeby.

7. ARTICLE- DURATION ANDTlllMINATION OFLICENSE 7.J Initial Term. The initial tennofthis Agreemenlshall commence upon the shipment of substantially all oft he Image Warehouse and the initialtenn shall

expire as indicated on Section A, unless the partiesenterinto a written agreemenlextending that initial tmn. At the end of that initial tenn ofthis Agreement, and afterall License Fees fort be initial tenn have been paid, this License shallautomat1:ally convert to a royalty-free, perpetual license and Pictomeby shall allow the Licensee to keep, use. and operate the Licensed Products forever. Licensee will be responsible forongoing support/maintenance/upgrade fees fort his PelJ)etual License unless the Licensee has renewed this License for additional Image Libraries. Under the Perpetual License, Licensee's obligations under this agreement shall continue in perpetuity except for its obligations to pay License Fees. Pictometry shall have no obligations under thil Agreement except for those with regard to the additional Support,Upgradesand Maintenance for their Lice~Software. If Licensee renew.. this License Agreemem for an additional term, 1111 support, upgrades and maintenanceon Licensed Products under a perperual lice111e shall be provided at no charge to Licensee during thetenn ofthe renev.al. Etiectiveas oft he expiration of the initial tcnn as provided in Section A, Licensee will no longer be able to add images to the existing Image Libraryunlessarenev.al occws.

7.2 Termination for C11use. This Agreement maybe terminated by either party in the event that the other party has failed to perfonna material obli(!lltion or has otherwise breached a material term oft his Agreement.and ifthat other pll'tyhas failedtocure that failure or breachwithmthirty (30)daysafter receipt ofv.ritten notice thereof from the other party.

7.3 UfectofTermination. Upon termination ofthis Agreement as provided in Section 7.2 above, Licensee shall immediately cease any and all flrlher use of the Licensed Products and shall prompdyptr!!l'lall copiesoftheLice~Products from all computer.land VIOrkstationsonvAtich anyoflhem may be stored or available at the time. Within thirty(JO)daysofthe date of termination oft his Agreement, Licensee shall also pay Pictometryall amounts, ifany, due hereunder. The provisions ofArticles 6, 7, 8, 9 and 10 ofthis Agreement shal swvive any terminationofthisAgreement.

The Licensed Products are treated by Pictomdryasconfidential and contain substantial trade secrets of Pictomeby. Licensee agrees that it will not disclose, provide a copy of, ordisseminatethe Lice~ Products(other thll'l Licensed Images) or any part therooftoany person v.ho does not need to obtain access thereto consistent with Licensee's rights and obligations under this Agreement. There may be varying degrees ofgrow,d illumination and color variations due to lighting and clou:I shadows. Pictometry's Orthogonal images provide the coordinate accuracy fulfilling most plariemetric requirements. Pictometty data, hov.ever, are not intended for authoritative or definitive mappingorsurveyingreplacement. I ft here isa need for authoritative mapping products, additional "-Ork is reqwred by licensed individuals in order to cenify Piaometly's orthogonal ima~ry.

10. ARTICLE- GFNERAL 10.l Righi! ofOth«n. This Agreement is solely intended to provide rights to and be enforceable by Pictometry and Licensee (including its Authorized

&ibdivisions). No other person shall acquire or enforce any rights or any represenlations or \\IIITanties given wider this Agreement. 10.2 Waiver. 10.4 Export Control. Licensee agrees to comply fully with the expon laws and regulations of the United States Government v.ith respect to the Licensed Products supplied by Pictometry. Accordingly, Licenseeagreesthalall technical data., softv.are, or other information or assistance (other than publicly available information) furnished by Pictometry, and any product thereof, shall not be re-exported by Licensee. or its authorized transferees, if any. directly or indirectly from the United States wilessexplicitly permitted by U.S. export control laws and regulations. Theseobli@lltions oft he Licensee shall survive any satisfaction, termination, or discharge of this Agreement.

IO.S Severability. In the event that any of the provisions of this Agreement shall be held by a court or other tribunal of competent jurisdiction to be wienforceable, such provision will be enforced tot he maximum extent permissible and theremainingportionsofthis Agreement shall remain in full force and effect.

I 0.6 Force Majeure. Pictometry shall not be responsible for any failure to perform due to w,foreseen circumstance'I or to causes beyond Pictometry's reesaiable control, including but not limited to acts ofGod, \\Br, riot.embargoes, acts ofcivil or militruy authorities, fire, floods, accidents, strikes, failure to obtain export licenses or shortages or delaysoftransp>rtation, facilities, fuel, energy ,supplies, labor or malerials. In theeventofany such delay, Pictometry may defer the delivery of Licensed Products fora period equal to the time ofthe delay.
