Totem is a street cabinet suitable for the support and installation, in urban areas, means of con-trolling for bollards, barriers and any other device equipped with fi ttings for attachment to DIN rail. Consists of one or two overlapping modules made of treatment cataphoresis steel and painted gray sable, able to withstand long corrosion weathering. The form below is suitable to house electrical equipment to manage the entire system.
The module above, however, has an aluminum front panel suitable for mounting of any accessory control like badge reader, dialer number, interphone and so on (no application on aluminum panel at our expense). It can also be fi tted with a panel suitable for the accommodation of a traffi c light, 3 lights approved.Elegant, functional and innovative design, the totem O&O appears to be a true subject of street furniture.

9.OBLIGATIONS OF THE PURCHASER9.1 The Purchaser must possess the structures and the necessary means to assure the correct use of the products as well as the necessary knowledge and technological capa-bilities for their correct use. 9.2 Moreover, the Purchaser must abide by all regulations and local laws, following good business practices for the entire duration of this Agreement, keeping the Seller harmless from and against any damage, whether direct or indirectly, arising from non-compliance by the Purchaser of the foregoing regulations.9.3. It is agreed between the parties that the Purchaser shall be completely responsible for failing to inform the Seller of regulations and local laws in force in the Country whereby the Product will be used. Given the foregoing circumstances, the Purchaser shall be liable for costs associated with products that do not conform to laws of the Country in which the product will be used.9.4 If the Purchaser fails to comply with its contractual obligations specifi ed in the foregoing sections, it must:- collect the ordered products and those in the process of been delivered and must bare all relevant delivery expenses- make payments for the orders made- keep the Seller harmless from and against any damages, whether direct or indirect, arising from non-compliance by the Purchaser of the foregoing regulations.
10.DEFECTS AND CLAIMS10.1 For any defects or claims related to the ordered Products please note that:a)claims regarding any recognisable defects in the product must be reported in writing within 30 (thirty) days following the receipt of the product; for other cases a period of 8 (eight) days will be effective from the time in which the Purchaser becomes aware of the defect. In both cases, claims must be accompanied by samples collected jointly with the Seller or if necessary by a person appointed by the seller, within 40 (forty) days following receipt of the claim.Claims that refer to characteristics of products that are not specifi ed in the technical specifi cations will not be taken into consideration and neither claims that are not relevant to the intended use of the Product. b)packaging defects must be reported in writing upon delivery in order to be valid. c)claims relatively to the quality or integrity of the Product or packaging will not be admitted if:i)the Purchaser does not make the Product accessible in order to ascertain its condition10.2 The Purchaser must keep the product considered defective in a proper place and make it accessible to the Seller in order to conduct the necessary inspections and in any case, provide whatever necessary in order to limit or prevent further damages to the product.10.3 Notwithstanding the foregoing, the Purchaser must discontinue using the product as soon as it becomes aware of the product considered defective and shall take the neces-sary measures to prevent further damages.10.4 If the results of the inspection confi rm the existence of a manufacturing defect, the Seller shall replace all products determined to be useless.10.5 The Seller’s liability is limited to manufacturing defects.10.6 The product will be considered as accepted if the purchaser fails to report a claim or complaint within the above-mentioned term of if it continues to use the product despite defects revealed thereby waiving its right to contest a claim.
11.OBLIGATIONS OF THE PURCHASER IN THE EVENT OF DEFECTS AND CLAIMS11.1 The Purchaser shall inform the Seller without delay of all defects as per section 10, including apparent defects regarding the quality and quantity of products. Said notice must be sent by no later than the term specifi ed in section 10; during this period, the product shall be made accessible so that it can be returned to the seller, which shall provide all required instructions.11.2 The notice should be sent immediately if the product defect can cause damages.11.3 Moreover, the notice must include a description of the defect.11.4 The purchaser will no longer be entitled to a repair or replacement if it fails to send the foregoing notice according to the agreed terms.11.5 The Seller shall be entitled to reject the claim if the Purchaser informs the seller of defects according to the agreed terms and no defects are revealed.11.6 It is the Purchaser’s responsibility to keep the Product considered defective in a proper place and make it accessible to the Seller in order to conduct the necessary inspections and in any case, provide whatever necessary in order to limit or prevent further damages to the product; otherwise the Purchaser will waive its right to assert a claim.
12.FORCE MAJEURE12.1 The Seller will not be held liable for delays in deliveries or for non-fulfi lment caused, whether directly or indirectly, by:- force majeure events (by way of example, though not exhaustive, force majeure events may include restrictions imposed by law, wars, revolts, revolutions, strikes or other em-ployment disputes, fi res, fl ooding, sabotage, nuclear accidents, earthquakes, storms, epidemics)- circumstances beyond the control of the Seller, enough to prevent the seller from relying on its work force, from using materials, raw materials, components, systems in general, energy, fuel, means of transportation, authorisations or legal dispositions. The Seller shall inform the Purchaser by writing without delay when the force majeure event ceases to exist.
13.DRAWINGS AND DOCUMENTS13.1 Unless otherwise authorised by the Seller, all drawings, technical documents, specifi cations, pictures or other information regarding the Product and its manufacturing process provided by the Seller, shall only be used for their intended purpose e.g. use, maintenance and product commercialisation. 13.2 The sale of the Product to the Purchaser does not imply the grant of any license, trademark rights or patent rights, regardless of whether the product is intended for distribution or other form of trade.
14.INTELLECTUAL PROPERTY RIGHTS14.1 All information, technical standards, specifi cations and procedures provided by the Seller remain the exclusive property of the latter. This Agreement does grant the Purchaserany license or rights to any trademark or patent rights, nor other intellectual property rights in relation to the technical specifi cations and the know-how provided thereto. 14.2 The Purchaser must promptly return all information, documents and specifi cations pertaining to the Seller upon discontinuance of the contractual relationship or upon com-pletion of the service.
15.PRIVACY AND CONFIDENTIALITY The Purchaser and the Seller acknowledge that each party may gather confi dential information regarding the business of the other party. Each party undertakes to keep strictly confi dential any information gathered and undertakes not to disclose such information to any third party, thereby using the information for the sole purpose of the sales agreement and returning any confi dential documents upon request of the other party.
16.HEALTH AND SAFETY STANDARDSThe Products are manufactured pursuant to Italian health and safety standards. The Purchaser shall be completely responsible for failing to inform to the Seller of health and safety standards and public health laws in force in the Country whereby the Product will be used. The Purchaser shall be exclusively liable for costs associated with products that do not conform to laws of the Country in which the product will be used.
17.INSTALLATION AND START UPThe installation and startup of sold Products is regulated based on appendix II of these General Conditions of Sale, which constitute an integral part of the agreement; therefore, the acknowledgement and acceptance of these General Conditions also constitute the acknowledgement and acceptance of appendix II.
18.PRIVACY POLICYPursuant to Italian law no. 196/2003, the Seller acknowledges that: a) the Purchaser’s data will be processed and disclosed to third parties (e.g. banks, external consultants, etc) abiding by the foregoing law for the purposes of the agreements b) the Purchaser is entitled to exercise rights pursuant to article 13 of Italian Law no. 675/96 (Annexe 1)
19.APPLICABLE LAWS AND COMPETENT COURT19.1 These General Conditions of Sale and Sales Agreements related thereto are regulated by Italian Law; disputes regarding the interpretation or application of this agreement will be settled by the court where the defendant resides.19.2 Disputes arising from the application of these General Conditions of Sale or from the interpretation of single sales agreement are regulated by Italian law.19.3 The prevailing language for these General Conditions of Sale is Italian, despite any translations in other languages. In the event of inconsistency between the Italian version and the translated text, the Parties agree hereto that the Italian version will prevail and will be the offi cial document used for the interpretation of these General Conditions of Sale.19.4 The Vienna Convention on the International Sale of Goods is expressly excluded from this Agreement (Vienna – 1980 – CISG).
1.DEFINITIONSThe following terms specifi ed in these General Conditions of Sale shall be interpreted as follows:a) the Seller: O&O S.r.l.;b) the Purchaser: The purchaser of the Products c) the Parties: the Seller and the Purchaser referred jointlyd) Product/s: The subject-matter of the sale between the Purchaser and the Seller as described in the sales agreemente) Technical specifi cations: any document provided to the Seller by the Purchaser in regards to technical specifi cations of the Product/sf) Sales Agreement: any agreement or document made subsequent to the agreement, or amendment or supplement made theretog) Order: any communication, whether in writing or orally, whereby the Purchaser informs the Seller its intention to purchase one or more Productsh) Order Confi rmation: the form used by the Seller to confi rm the Purchaser the sale of one or more Productsi) User Instructions: assembling instructions or user and maintenance instructions that may be provided by the seller along with the product
2.APPLICABLE GENERAL TERMS AND CONDITIONS2.1 These General Conditions of Sale are applicable to all purchases of Products made between the Seller and the Purchaser and prevail over any other purchase conditions pro-vided by the Purchaser, regardless of whether the conditions are disapproved or not.2.2 If there is a trade agreement in force, between the parties or single sales agreements relatively to the Product, these General Conditions of Sale will constitute a supplement to all previous agreements or single sales agreements made between the Seller and the Purchaser in relation to the Product.2.3 Any amendments or supplements made to these General Conditions of Sale will be valid and effective between the Parties only if made in writing and signed by the Seller.
3.ORDER ACCEPTANCE3.1 The order constitutes an irrevocable proposal by the Purchaser with a validity of ... days; effective upon receipt of order and it formalises all previous negotiations made between the parties.3.2 The information on the order form consists of: price and method of payment; product specifi cations; quantity; type of packaging; conditions for returned goods, means of transportation; destination; delivery times and consignment documents.3.3 Orders are subject to acceptance by the Seller and are accepted upon receipt of the order confi rmation provided by the Seller.3.4 Any order confi rmations will be valid for …. days, effective from their issue date and will no longer be valid if not processed within …. days.3.5 Orders may be changed only if agreed in writing thereafter.
4.DELIVERY4.1 Normally, the delivery shall take place based on ................................. INCOTERMS 200 ICC – Paris. Other conditions may be agreed through specifi c agreements made betwe-en the parties.4.2 The Purchaser shall be liable for all expenses and risks, including mandatory insurance obligations.4.3 Delivery times given are approximate and are not binding for the Seller. Moreover, the Seller shall not be responsible for delayed or missed deliveries in the event of force majeure or conditions beyond its control. 4.4 Partial deliveries shall not be admitted, unless agreed otherwise.4.5 If the Purchaser cannot receive the goods at the agreed date, it is the Purchaser’s responsibility to inform the Seller of the reason prior to the delivery and arrange a new rea-sonable delivery time.4.6 If the Purchaser fails to accept the goods on the agreed delivery date, it shall be liable for payment of all expenses owed as if the goods were delivered. Without prejudice to the Seller’s right to assert claim for greater damages, the Purchaser shall be liable for warehouse expenses and decay of goods or loss of value, from the time in which the Seller gives notice that the goods are ready for shipment; this notice should be sent to the Purchaser, either electronically or by mail.4.7 After 30 days following receipt of notice, the Seller will be entitled to terminate this agreement by informing the Purchaser by means of a registered letter with advice of delivery pursuant to section 17 of this agreement.
5.TRANSPORT PACKAGING5.1 Packaging costs are included in the price of the Product based on the Seller’s standard conditions. The Purchaser shall be liable for special packaging requests if available. 5.2. The Seller is entitled to select the type of packaging depending on transport packaging needs, unless otherwise specifi ed by the Purchaser in the Order.
6.PRICE6.1 The Seller shall apply the price agreed with the Purchaser in the Sales Agreement, which does not include transportation costs, insurance, taxes, customs fees, etc.6.2 Any increase in prices in relation to an increase in production costs arising from price changes in raw materials, labour or other costs arising subsequent to the Sales Agreement, must be agreed in writing and approved by both parties.6.3 If the price is not specifi ed in the Sales Agreement, the price that is normally quoted by the Seller for the Product will be applicable as per the price list currently in force.6.4 Any complaints or disputes shall by no means entitle the Purchaser to delay or omit payment or reduce the price agreed.
7.INVOICING AND PAYMENT7.1 The Seller shall issue an invoice based on the price specifi ed in the Order Confi rmation where the method of payment will also be established. 7.2 If the Purchaser fails to pay within the agreed term of payment, the Seller will be entitled to demand statutory default interest pursuant to the Italian Legislative Decree no. 231/2002.7.3 Repeated delays in payment by the Purchaser will entitled the Seller to terminate the agreement and demand compensation for damages, without prejudice to section 11 of this agreement.
8.PRODUCT QUALITY AND THE SELLER’S WARRANTY8.1 All products supplied by the Seller are good quality products, manufactured, packaged and sold in accordance with the technical specifi cations provided the Purchaser. 8.2. Moreover, the Seller warrants that all Products conform to the technical specifi cation on the order form and on the technical documentation provided by the Purchaser; the Seller will only be liable for products that do not conform to the technical specifi cations.8.3 The Seller warrants proper functioning of the products for 24 months from the date of manufacture. 8.4. Any materials and/or parts of Products that are not manufactured by the Seller will not be covered under warranty; the Seller will not provide warranty for damages arising from usage not specifi ed in the Order or in the Order Confi rmation.8.5 The warranty provided by the Seller is limited to repairs and/or replacements of defective parts, manufacturing defects or poor quality of materials, except for damages due to normal wear and tear and for parts that are no longer available in the market, as well as for faults caused by overload, damages due to inexperience use, negligence or in the event that the Purchaser neglects to follow the instructions provided by the Seller. The Purchaser shall inform the Seller of any defects found on the products pursuant to section 11 of this agreement; otherwise the warranty will not be valid.8.6. The Seller will not be liable for damages, whether direct or indirect, arising from the time required to repair and/or replace a product under warranty.8.7. The Purchaser shall lose any right to the warranty provided the Seller, if: - it does not carry out operations and/or installations following best practice guidelines - if it conducts or relies on third parties to conduct repairs, replacements, changes or other alterations to the Product during the warranty period without prior written authorisation from the Seller- if it does not abide by the rules, user guidelines or instructions provided by the Seller regarding the correct use of the Product as well as its correct regular maintenance
