SECTION 1 – DEVELOPMENT INFORMATION

What this Section is about . . .Development Specifications are the recommended design & technical development options we think are most suitable to your intended Project.

1.i General Features of Web Sites for consideration

CONSIDERATION OF STAGESStage 1 General template creation.Develop the data structures and a visual overview of the web site. From this we can create the proper backend services (the actual programming) and begin to setup admin areas if required.

Stage 1 would end with a public “under construction” page, but the site designsare viewable only to the client through protected password-enabled pages

Stage 2 Bring the technical developers in and start all programming needed once the visual design is signed off by the client Once this is done, the visual design is “set” and we can start the proper backend work of the website.

Stage 3 The programming is completed to a point where the Client can have a working overview of the website, and test as necessary. Adjustments if required are made to the technical development aspects of the site.

Stage 4 The Design is completed, and then we take it apart for total integration of all elements to produce the public site.

TECHNICAL DEVELOPMENT (Programming)

Depending on what is required, programming can entail the following:

Development of any custom databases for use on the websiteDatabases are typically used for sites of 50+ pages, where information becomes too hard to handle on a page-by-page basis. Typically these kinds of sites would attract a higher cost to implement, however, the benefits are greater administrative ability over the information, lower waiting times for visitors since each page only loads what is required from the database, and only uses data and information not already loaded or “cached” in the computers memory enabling faster display of pages, and generally more flexibility over the website design and content

Development of Flash or other high end graphic componentsFlash is typically a combination of programming and visual design, so flash intros (typically landing pages or intro pages on website) which have lots of fancy visuals to attract visitors to the site can be programmed by us.

EcommerceIf your site requires the ability to process transactions, we can utilise a number of models as we are familiar with several systems in use in NZ, widely supported and highly reliable. These are DPS (Direct Payment Solutions http://www.dps.co.nz ) and also the Utopia Ecommerce Gateway, which passes Credit Card information to a client of ours directly and securely for offline (manual) processing of credit card numbers and orders (http://www.utopia.co.nz).

USER-INTERFACE DESIGN & DEVELOPMENT (Visual Design / Graphic Design)

We can work with either the following:

a) Your own nominated Designer, if you have one already;b) A Designer we suggest, and on approval from you.

Please note, if you or your specified designer are intending to send us design templates for use on your website, please let us know under which option you are choosing to supply us with the relevant materials:

OPTION A: You or your designer will only supply us with graphic layouts for the pages- This means that the pages supplied to us will be in graphic form only and we are

going to reconvert these to HTML for use on the intended Website;- We will do the appropriate conversions for you and the coding of the pages;

OPTION B: You or your designer will be providing us with HTML-ready pages- There is an additional cost to convert graphics into usable web site pages if not

supplied as HTML pages in a “ready-to-go” format. - This means that you or your designer will supply us with pages already in HTML

format, and “spliced”, and these pages are to be attached to the Website. Please note that in this instance, any changes to the template by you or your designer will typically alter coding requirements, and there will be an appropriate time/cost adjustment in this case which will be billed for separately, and may also delay eventual launch.

It is preferable to send us Graphic Layouts for Web pages in Photoshop PSD Format, with proper separations. If you need to, we can liase directly with any graphic designer to give them specifications for layout templates that we can use for programming.

MANAGEMENT AFTER COMPLETION (Maintenance of Website content)

Management of the website after completion is for the following purposes, whether undertaken by yourself via a Maintenance Application of any description (online or via software you already own) or by us:

- Ensuring the website is up to date and relevant (checking information is current)- Enabling up to date pricing if the site is an ecommerce website- Publishing relevant information in a timely manner (eg newsletters)- Ensuring there are no typos, that layout and other aspects are in order on a daily basis

If you make alterations yourself, any problems are therefore your responsibility.

Since the Web Site will be shipped to you in a working format, alterations not undertaken directly by us cannot be taken as guaranteed to work. We can still fix the pages properly should you run into trouble, but it will be charged for at the standard Hourly Rate if you have previously tried to attempt any maintenance work that we were unaware of and this is what needs fixing on the website.

Please also note that urgent maintenance outside of the hours of Monday-Friday 9am-5pm does attract an automatic charge of $100+GST in addition to the hours spent on the maintenance work required.


1.ii Additional Web site ServicesAdditional Web site Services are those services which may or may not be required, depending on the requirements of the Web site itself. For example, if the Web Site makes use of a Database for ecommerce-related activities, it will require a different type of hosting setup than a Web Site which does not.

DOMAINS

Type of Domain Names and where they can be obtained from:If you already have a domain name, please read on. However, if you do not already have a domain please take note of the following

.co.nz Domain NamesThese typically cost around $50 to obtain, and are valid for either 1 year, 2 years or 5 years. They are renewed at the end of the applicable period. Suggested providers to obtain a .co.nz domain would be: http://www.freeparking.co.nz or http://www.domainz.net.nz or http://www.registerdirect.co.nz

.com Domain NamesThese can be obtained for as little as the equivalent of $15 NZD (approx $7.50 USD) and we typically recommend acquiring these from US-based providers since the cost is significantly lower than if purchasing from a NZ-based domain name provider. As with NZ domain names, the periods available for purchase are typically 1, 2 or 5 years depending on your requirements.

How long does it take before a Domain Name becomes “active” on the Internet?Domains take up to 48 hours to process fully to the point where typing in the domain name will actually find your website: this is because the internet takes around 24-48 hours to fully ‘push’ the information (known as “propagating the Domain” ) to other ISPs and search engines, to take note that the domain concerned is now “live” and is pointing to an IP address (the “name server” where the site is actually located and which allows the internet to see the IP as a domain name. This allows your visitors to type the domain name in and reach your actual website).

For example, the Website URL of edesignz.co.nz, but the IP is a string of 6 numbers. The URL that we see is actually translated into an IP once it is typed in, and this is in fact what the Server “sees”. However, humans are much more adept at remembering names than long strings of numbers, hence the invention of URLs to allow this translation to happen behind the scenes.

HOSTING

Type of Hosting:

Hosting ranges between $25 for general, low-maintenance websites (of up to approximately 10 pages) and up to around $100 for those with higher-volume visitors, multimedia facilities (Streaming video online for example) or sites connected to databases.

A typical website could expect to be hosted on any plan of around $25-30 ex GST per month. This is either paid on a monthly, 6 monthly or yearly basis depending on the hosting options given by the provider.

We can help arrange all aspects of the required hosting for your website. As we have client accounts at a number of website hosting providers, we can usually arrange for a lower than usual cost for the hosting side of things.

It should be understood that the Client will deal directly with the Provider for problems in cases where we are not acting either as the Hosting Provider itself, or as an Agent on behalf of the Provider for a client of ours. If your site is not showing

because of a Server fault and we have no administrative access to the account itself, we CANNOT legally intervene on your behalf in this scenario.

If you wish to make us the Agent for your nominated Provider, you will have to authorise us to do so and inform us of the relevant details.

Thereafter we will be in a position to undertake reasonable steps with regard to anything in this area.

This includes the following services related to Hosting accounts:

- Checking of Hosting setups- Maintenance of any emails you have set up and ensuring mailboxes work- Trouble shooting missing pages, server errors and other standard services not covered specifically by a hosting agreement and for which we are authorised to undertake on your behalf.- Implementation of any new services required on the server and for which we are permitted to initiate by the hosting provider (some services are provided directly by the provider concerned and may not require any 3rd party intervention to set up or maintiain)

STATISTICS / TRACKING VISITOR NUMBERS / TRACKING WEBSITE USAGE

We recommend the use of Google Analytics for this type of service

This will allow you to obtain a comprehensive overview of your visitor numbers, where they are coming from, and what pages are most visited.

This is crucial in deciding future development, what areas of the website are most useful to your visitors, and what is not helpful. This helps improve the overall usability and design of the website to make more use of the site and obtain an experience they are happy with – and this translates into better business for you since you are able to meet your visitor expectations in a timely manner to serve their needs better now and in future.

We can implement Google Analytics for you free of charge

We simply obtain an email from you where you can get information sent, and this is also your login and access to the Google Analytics data when using their site to look at your Reports.

New Zealand CDs is the online branch of Musiquarium, a CD store located on Auckland's Dominion Road. They supply a lot of CDs to overseas customers via their website. Integrated with Utopia Solutions Ecommerce Gateway

Village Beads was integrated with Direct Payment Solutions Ecommerce Gateway for ecommerce purposes. We also implemented all other aspects of their site including maintenance application, design of the site and all programming regarding the ecommerce / ASP-SQL Databases and the DPS Integration

OUR IMPLEMENTATION COSTS NEVER INCLUDE THE FOLLOWING SERVICES

As a cost, implementation of your website is restricted to Design (Graphic/Visual) and Programming required.

Other costs which we do not charge for directly ourselves but which are immediate and required costs for a Website can include but are not limited to the following:

Hosting, Domain Name or 3rd Party Services. In the case of Domain Names and Hosting, we can act as the Agent and facilitate proper procedures, but in either case Domain Name costs and Hosting, whether paid through us or directly to the Providers themselves, are an additional cost at all times to design work and programming work. We are also not responsible for the Annual Payments on Hosting or Domain Names.

Costs are estimated on the basis of information provided at the time. Alterations to these specifications will require a new Quote / Estimate to be issued. Alterations to development specifications once underway may or may not necessitate a reappraisal of costs.

Secure Server Certifcates, Bank Account setup fees or related for Ecommerce Websites. Typically these are charges that are 3rd party services. We also do not cover transaction costs – this is between you and the Bank concerned.

SECTION 3 – PROCESS OF DEVELOPMENT

WHAT THIS SECTION IS ABOUT . . .The following is a general outline of the Terms and Conditions of work. We also understand and accept that we will sign a Confidentiality Agreement and related documents if confirmed as the chosen Developers.

3.i. TERMS OF PAYMENT FOR PROJECT-BASED WORK(S)

DEPOSIT (Commencement of Project) comprising 40% of total Fees for the Development Costs is required. We then start the development of your Site (implementing the Draft/Prototype production). To commence Project may require other Fees to be paid (such as Hosting Setup Fees with your designated Provider, Domain Name Fees etc.) All such Fees are also payable in full prior to official commencement / acceptance of Contract by Edesignz Ltd to service the Client.

PROGRESS PAYMENT comprising 40% of the total FeesOnce the visual design is completed and signed off, we require the next payment prior to technical development being carried out. Alterations to the design at this stage will attract standard hourly rates outside of the total fee of the Project due to the fact that the design is taken as finalised by this time and alterations may significantly alter programming requirements at this stage of a Project.

BALANCE (Release of Project) comprising 20% of the total Fees is due before we transfer the work to you and/or release work(s) for Public viewing, not afterwards. At this point the site is finished but will not be released until all Fees have been settled satisfactorily.

Milestones: In terms of confirming Deliverable Dates, we will discuss this on confirmation of project starting.

3.ii. TERMS OF PAYMENT FOR “INCIDENTAL” WORK

HOURLY SERVICE(S) payable immediately on completion and receipt of invoice. Standard Rate is $85.00 NZD Per Hour (excl. GST). Minimum 1 Hour applicable in all cases.

3.iii. TERMS OF PAYMENT FOR 3 rd PARTY SERVICES

Where Payments to 3rd Party Service Providers are required (for example a Hosting Provider, Domain Name Provider etc.) then these Fees are payable upfront in addition to any payments required for the Project itself.

This may include purchasing a Secure Server Certificate from Verisign or Thawte. The Hosting Provider chosen may include within their Monthly Hosting costs access to a

general Secure Server Certificate, or a similar service, which is used when the Transaction Process is initiated. This may allow you to bypass the cost of purchasing a separate Certificate.


3.iv. CONTROLLING THE DEVELOPMENT PROCESS THROUGHOUT PROJECT WORK

You will be asked to authorise any stage to go ahead by email or phone, with a confirmation / copy of this as well to formally indicate that any directives have been agreed to by both parties.

APPLICABLE TO ALL WORK CHARGED HOURLY / INCIDENTAL WORK / MAINTENANCE. Your approval for work to commence, with payment for this to be made immediately on delivery

of Work by us to you and/or your business;

We'll send you a copy for your own records. A Tax Invoice recording payment(s) received by us will be sent along with the copy of the Record.

.PAYMENTS INFORMATION.

Upon approval of Job requirements and specifications we will send you an Invoice for the Deposit and details regarding our Bank Account.

We will also send you a standard form to sign off indicating that the Project should be commenced.

3.v. PAYMENT POLICY / COLLECTION OF FUNDS PROCESS

While we do not have any problems with most Clients, occasionally we have to resort to other means in order to protect the viability of our business and our services to existing Clients. We do regard both the non-payment of fees on time or slowness of delivery of payment as a serious threat to our ability to provide good service for all Clients, continued operation as a business, and an action which critically undermines our relationship with the Company's Suppliers.

Below is a short overview of the Payment Policy we must enforce in order to keep our relationships with our suppliers and existing Clients to the highest level and in an appropriate manner.

Outstanding Balance(s) stated of any kind are to be paid no later than 21 days net from the date of signing for any Services authorised by the Client to commence, in all cases. Only in very exceptional cases, and at our complete sole discretion, will such Terms be waived in favour of any other payment arrangement.Clients will be advised via email after a period of 14 Days have lapsed if the Balance Due to EDESIGNZ LIMITED is still outstanding. Payment will therefore be expected within 7 Days from the date of such a notice. Balances outstanding more than 21 Days from Date of Invoice will be turned over to a Collections Agency without fail and we may seek further remedies as appropriate.

OTHER IMPORTANT NOTES

All Work(s) completed on behalf of the Client by EDESIGNZ LIMITED will remain the property of EDESIGNZ LIMITED until paid for in full.Any Charges on top of the principle amount owed and that are applicable to the use of these services by us will be the responsibility of the Client, in all instances.We regard both the non-payment of fees on time or slowness of delivery of payment as a serious threat to our ability to provide good service for all Clients, continued operation as a business, and an action which critically undermines our relationship with the Company's Suppliers.

SECTION 4 – OTHER INFORMATION AS APPLICABLE

Can we be trusted to deliver a product you're happy with? We think that is obviously something better said by a Client of ours. Solutions can alwaysbe delivered in a technical sense, but we feel that the approach and attitude is probablymore important in fact. We seek to ensure long term relations with Clients. Weencourage you to visit our Site, and view some of their comments. We can issue you with contact details if necessary.

Why must we have a deposit for services to commence? We expect to issue a professional product and we spend serious time on it -- we onlyseek to ensure that we ourselves are not left in the lurch. We feel there is adequatefacility provided within the Development Cycle to stop, amend things if necessary andtherefore work around potential difficulties if they crop up.

Is there room for development at a later date without costing too much? Building future usability is a cornerstone of a good site, and we seek to provide goodsolutions regarding this crucial aspect of development. You will only incur excessivecharges for what might be considered complete changes in development when the Site isfinished! The reason is that a Site is planned around many things, and though changesto you might seem minor, quite often it is a different story in reality. Therefore, if youreach the end of the project and something quite critical is changed, it may affect muchmore than you might have anticipated. We cover as many potential possibilities prior todevelopment commencement to allow for this and circumvent it if possible.

How long have we been doing this for? Edesignz Limited was formed in August 1999.

As a development group, we combine no less than 5 years of expertise across the fieldwe deal in: Internet Development. The results of our collective endeavours are to beseen on the Sites we create.
