ABOUT WOMEN TRANSFORMING OUR FINANCIAL MARKETS SYMPOSIUM
For far too long our capital markets have been monopolized by high frequency traders and mega-cap IPOs being underwritten by a
handful of supersized banking conglomerates all at the expense ofAmericas smaller businesses and investors. As a result, the U.S.
financial markets, once the envy of the world, have regrettably become an impediment to job creation and economic growth.
Without a thriving and functional small cap growth marketplace accessible to investors and issuers of all sizes, most portfolios will
fail to outpace inflation and more small businesses will fold. Unless something is done immediately to bring growth opportunities to
our nations smaller investors and expansion capital to our emerging businesses, America will find itself facing a retirement crisis of
unthinkable magnitude as well as an extinct middle class.
NowStreet is part of a movement to repair a dysfunctional capital markets system with the inclusion of a marketplace that

Todays event is dedicated to a true inspiration whose impact on the world was not measured by the dollars
she earned or by the career milestones she passed. Rather, her success was defined by her steadfast resolve,
her courage to question and her will to seek answers. She possessed an extraordinary ability to find hope
through adversity and seize strength in times of uncertainty. During an age when women were subservient, sheexuded independence. She proved that you didnt need an abundance of wealth, testosterone or even a
youthful mind and body to put your dreams into action, as many of hers were fulfilled in her later years. After
being hampered in her youth, she went on to put herself through college in her sixties and travel the world in
her seventies.
This remarkable woman was my Grandma Annie (19172011). Although she never invented or funded a
world-changing product, she motivated me to work hard, value knowledge and persevere. Most importantly,
she inspired me to follow my dreams no matter how far out of grasp they were. Had it not been for her
admirable example of fortitude, we wouldntbe gathered here today and potentially forming that one magical
connection culminating in the next earth-altering invention. So perhaps in some grand universal plan, through
the visionaries assembled in this room, Ann Rosenberg leaves her true mark on the world.

Amy Cortese is an award-winning journalist who writes about topics spanning business, finance, food, wine and travel.
Her work has appeared in the New York Times Magazine, New York, Business Week, the New York Times, the Daily
News, Portfolio, Mother Jones, Afar, The American, the Daily Beast, Talk, Business 2.0, and Wired, among other
publications. Her recently published book, Locavesting: The Revolution in Local Investing and How to Profit From it
(John Wiley & Sons, 2011), draws upon her experience covering these diverse realms to explore how a small shift in
investment away from multinationals towards locally-owned enterprises can reap enormous economic and socialbenefits for individuals, their communities and the country. Amy also selectively consults and crafts white papers,
annual reports and strategic literature for corporations and other organizations. She has been a contributing author at
New Paradigm, a Toronto-based think tank with a research focus on technology, innovation and society, and has
contributed to The Business of Wine (Greenwood Press, 2009). Amy began her career covering high-tech from posts in
Boston, New York and San Francisco, where she chronicled the fast-paced industry and its key players, including
Microsoft, a colorful cast of dot-coms and the venture capitalists that funded them. As the Department Editor for
Software at Business Week in the mid- to late-1990s, Amy wrote and edited many pivotal cover stories, features and
commentaries illuminating the Microsoft antitrust saga, the rise of the Web, and the explosive innovation and
entrepreneurial culture of Silicon Valley. Her 1995 cover story for the magazine, The Software Revolution, about the
new world order ushered in by the Web, earned her a Computer Press Award for Expository Writing, and was one of
three submitted cover stories that helped Business Week win the National Magazine Award for its category that year.
Another 1995 article helped launch the moniker Silicon Alley for Manhattans fledgling multimedia corridor. She
joined Wit Capital, a pioneering online investment bank, in late 1998 as Senior Vice President and Director of Content.Wit Capitals mission was to democratize the IPO process by allowing individual investors to get in on the eras hot IPOs
at the pre-offering pricesomething that was previously available only to institutional and well-connected individual
investors. (Wit Capital acquired the bricks & mortar investment bank Soundview Technology Group in 2000, and the
combined company was later acquired by Charles Schwab). Amy left Wit in 2000 to begin a freelance career that
allowed her to explore a broader range of journalistic interests. Her stories about sustainable business for the New
York Times beginning in 2001 were among the papers first serious business coverage of the budding sustainability
movement. As a freelance journalist, she has demonstrated a knack for spotting trends and producing buzz-generating
stories, such as recent articles for the Times on barefoot running and Italian prosecco makers battling for turf, that
zoomed to the top of the most-emailed list. She also penned a real estate column for the Times Sunday Business
section for two years. She has brought that same keen eye to her food and lifestyle writing, where she has introduced
readers to the pleasures of domestic caviar, little known wines and off-the-beaten track travel destinations. These
eclectic interests informed the writing of her book, Locavesting, which takes readers inside the local investment
movement and introduces them to the pioneers creating new models for funding locally-owned businesseswhetherfarmers, mom & pop shops or manufacturers. In the process, these citizens are building healthy, resilient communities
and restoring a more inclusive and just form of capitalism.

Douglas S. Ellenoff, a member of Ellenoff, Grossman & Schole LLP since its founding in 1992, is a corporate and
securities attorney with a specialty in business transactions and corporate financings. Mr. Ellenoff has represented
public companies in connection with their initial public offerings, secondary public offerings, regulatory compliance as
well as general corporate governance matters. During his career, he has represented numerous broker-dealers,
venture capital investor groups and many corporations involved in the capital formation process. Mr. Ellenoff and the
rest of the corporate department distinguish themselves fr om many other transactional lawyers on the basis of their
ability to be part of the establishment of new securities programs, like PIPEs, SPACs, Registered Directs, Reverse
Mergers and CrowdFunding, where the Firm's professionals have played leadership roles within each of those
industries, assisting in the creation, formation and strategies relating to those financings, as well as working closely
with the regulatory agencies; including the SEC and FINRA; and the listing exchanges - AMEX and NASDAQ. Ellenoff
Grossman & Schole has been heavily involved in CrowdFunding since its inception. The Firm has sponsored
conferences, webinars and has been invited to speak at different events on the topic. Mr. Ellenoff has met with the SEC
several times to discuss many aspects of the new law, how the industry currently operates and how both the SEC and
FINRA will register and regulate the portals. In the last several years, he has been involved at various stages in
numerous registered public offerings, including 100 financings and, with other members of his firm, over 400 private
placements into public companies (see PIPEs and Venture Capital), representing either the issuers of those securities or
the registered broker-dealers acting as placement agent. Along with other members of his Firm, Mr. Ellenoff has been
involved at various stages with over 70 registered blind pool offerings (commonly referred to as "SPACs"; 27 of which
have consummated their IPO's raising over $1.5 billion). In addition to our IPO experience with SPACs, he has been
involved with 20 SPAC M&A assignments. He also provides counsel with regard to their respective ongoing (SEC, AMEX
and NASD) regulatory compliance.
Judith Feder is a Managing Director at du Pasquier & Co., Inc., a New York and Paris based multi-disciplined, cross
border financial services boutique. Over the past several years she has facilitated the purchase and sale of privately
held second market securities such as Facebook and Twitter to institutional funds. . In addition to advising private
companies on capital raising and growth strategies she also facilitates the acquisition of these companies to private
equity firms. Judith also advises and assists Hedge Funds and Private Asset Management firms increase their assets
under management. She was the founder and President of Harvest Capital Corporation, a fully licensed securities firm
which she sold in 1991. Prior to joining du Pasquier, Judith was a Vice-President at Spencer Trask Ventures, a venture
capital firm which specialized in funding early stage companies. Judith also served as a Director at Carl Marks Capital
Advisors which provided investment banking services for middle market companies. In addition, she was legal counselto Merrill Lynch Hubbard and was directly responsible for the Asset Management of over a billion dollar real estate
portfolio. Judith practiced law in New York for over 10 years and is a member of both the New York and New Jersey

Sara Hanks, co-founder and CEO of CrowdCheck, is an attorney with 30 years of experience working in the corporate
and securities field. She recently stepped down as the General Counsel of the Congressional Oversight Panel, the
overseer of the Troubled Asset Relief Program (TARP), which was chaired by Professor Elizabeth Warren. Sara brings a
wealth of legal expertise in securities and start-ups to the emerging crowdfunding marketplace. Her new company,
CrowdCheck, is designed to protect against fraud by performing due diligence checks on entrepreneurs. At the TARP
oversight panel, Sara spent 18 months on Capitol Hill investigating the implementation and consequences of the TARP
in depth. She examined the governments intervention in the automotive companies, the execution of the banking
stress tests, the rescue of AIG, and the international aspects of the financial crisis. Sara has worked with the London
law firm Norton Rose, as well as the D.C. office of Rogers & Wells. She later joined the Division of Corporation Finance
of the Securities and Exchange Commission and as Chief of the Office of International Corporate Finance led the team
drafting the regulations that put into place a new generation of rules governing the capital-raising process and the way
in which non-U.S. companies accessed the U.S. capital markets. In 1990, Sara rejoined Rogers and Wells, which later
became part of Clifford Chance, and in 2002, was elected to the first of three terms on the firms Partnership Council.
During two of those terms, she served on the firms Audit Committee. While at Clifford Chance, she advised on capital

Scott PurcellScott Purcell is the founder of Arctic Island. Mr. Purcell has considerable experience in both the securities and
internet industries. In 1988 he founded a trust company that managed fixed income instruments for institutional
investors and quickly grew it to $300 million in assets. After selling the company to a regional bank, as SVP of the
bank trust department, his unit added over $1 bi llion in assets in the first 6 months post acquisition. During this time
Mr. Purcell also started a bond trading desk, a clearing firm for institutional investors, and published a book "The
Guide to Fixed Income Investing". In 1994 he founded Epoch Networks, one of the industry's first ISP's, and raised
over $60 million in venture capital. One of the early Board members of the Commercial Internet eXchange (CIX), heoften represented the nascent industry before Congress and the FCC. In 1999 Mr. Purcell founded OnAir Networks,
raised over $40 million in venture capital and built the first music storage, streaming and downloading services for

Dr. Charles Sidman founded and is Managing Partner of ECS Capital Partners, an early-stage venture fund and Angel
group built on evolutionary principles, based in Bar Harbor, Maine, and operating nationally and internationally.
He is also the founding manager of Crowdfunding Investment (CFI) Angels, an organization "of, by and for
crowdfunding investors.". He is an active participant in the Angel Capital Association (ACA)(being a founding member
and an active participant in its Public Policy Committee), served on the Boards of the Crowdfunding Intermediary
Regulatory Associates (CFIRA) and Crowdfunding Professional Organization (CFPA), and is Past Chair of the Advocacy
Committee of the National Association of Seed and Venture Funds (NASVF). Previously, he held positions in publicand private universities, as well as not-for-profit and for-profit enterprises, in the U.S. and abroad. He has published
over ninety research papers and patents, consulted or lectured at over two hundred companies and organizations,
