Mission: Since 1935 the Geneva Lake Association (GLA) has served as guardian of Geneva Lake and its surrounding area. GLA advances its mission of conservation, preservation, environ-mental integrity and general welfare of Geneva Lake with timely and issue-centered com-munications and education through a wide membership base of area residents and local businesses. See page 65 for the GLA By-Laws.

GLA services and benefits include: •TheattentiveoversightandmonitoringofGenevalakeareaissuesandconcerns

through the GLA Executive Secretary and its 27 member Board of Directors; •TheannualpublicationoftheGLADirectoryofresidentsandpiernumbersdistributed

to over 500 member families and businesses; •TheannualupdatingoftheGLAestablishedpiernumberingsystemasacrossrefer-

ence guide (pier numbers to street address) to enhance lake safety and for emergen-cy use by the Water Safety Patrol, police, ambulance, and fire departments around the lake;

•PeriodicdistributiontomembersandfriendsoftheGLAproducednewsletter,theGeneva Lake Guardian.

Background: During its over 80 year history, the GLA has grown to a broad membership of residents and businesses representing every village, association, inlet, bay and shore path around Geneva Lake. Residents on the lake and off the lake look to the GLA as the lake-wide organization in place to be attentive and pro-active with an emphasis on communi-cations and education.Thesizeofthelakearea and the wide, varied interests of its growing population require that the GLA Board include 27 Directors from all corners of thelake.Thisgroup,plusseveral retired (honorary) Directors, the GLA officers and its Executive Secretary form the governing structure of the GLA.

TheGLA’sfoundationisitsmembershipbase.Itistheonlyorganizationofitskindaround the lake with dues-paying members as its financial support. All contributions are tax deductibleastheGLAisa501(c)(3)taxexemptorganizationunderIRSandStateregula-tions. While it is virtually a volunteer run group, the GLA carries out its responsibilities with a paid part time Executive Secretary working within an operating budget to provide services and benefits to a growing membership of over 500 families and businesses. TheGLAwillcontinuetoserveandsupporttheinterestsofthewiderGenevaLakecommu-nity through coordinated relationships with other lake-serving groups whose missions are com-patible, such as the Geneva Lake Water Safety Patrol, the Geneva Lake Environmental Agency, the Kishwauketoe Nature Conservancy, the Geneva Lake Conservancy, and the Environmental Education Foundation.

area Fire Departments; •SupportingtheeffortstotheGenevaLakeLevelCorporationtomaintainthelakelevel; •EarlyattentiontoformingacloserelationshipwiththeDNRinMadisontogaincritical

support in stocking populations of a wide variety of fish in our lake on a regular basis; •TurningoftheNorthwesternMilitaryAcademypropertyfromadensemultifamilysever-

al hundred unit development to a high quality plan of upscale single family homes; •AggressivelakecommunityresponsetotheemergencyneedforrebuildingtheLake

Geneva City Dam controlling the water level of the entire lake; •ResolutionoftheBlackPointPetersonpropertycrisesthatprotectsandprohibitsthe

development of over 500 ft. of prime lake front land; •Mostrecentsuccessfullake-wideinitiativetostoptheseriousdevelopmenteffortof

turning the Yerkes Observatory property into a large scale lake front hotel/spa complex with potential devastating environmental and land/lake conservation damage resulting;

•Ongoingover35-yearaffiliationwithitssisterorganization,theEnvironmentalEducation Foundation, as it provides scholarships and grants to lake area students for environmental-centered studies and experiences.

LAKE SHORE PATHS

The Lake Shore path on Geneva Lake has existed for more than 100 years. There seems to be no specific judicial ruling as to the status of this Lake Shore path. It is believed to consist of an easement in favor of the public, and upon this basis the following answers are offered:

Question: Where does this easement exist? Answer:Itexistsonlyuponthelocationinwhichithasbeenusedwithoutchange or variation for the prescriptive period of twenty years, provided by our statute, although a slight variation at a given point will not impair such rights.

Question: Does an owner of property have a right to materially alter its course or character, even if such alteration be of public benefit? Answer:No.If,however,anownerdoesmakesuchchangeandifthepublic continues in the use of the easement in its altered condition for a length of time sufficient to show acquiescence in the change, effective complaint cannot afterward be made because of the change. Change in a structure, however, which does not impair the easement but tends to ornament it, does not constitute any violation of the right owed by the owner to the public. Where the owner alters the location of the easement, as to its direction and grade, such as the case where he deflects it from its original course and causes it to descend a bank, possibly supplying steps or some other means, although the user of the easement is not obliged to travel upon the path as changed, he may do so, and when he does so, it is by the license or implied consent of the owner. Thereseemstobenodutyofanownertowardalicense,beyondtheavoidance of any active, willful act, structure or contrivance which might injure the license.

Question: Can an owner be held liable for one injured by a danger concealed only by the darkness of night? Answer:No.Itis,however,stronglyrecommendedthatincaseofchangesmade by owners as to the surface, course or level of the path crossing his property, it be so supplied so that travel thereon be not more hazardous than that part of the path discontinued. Proper guard rails are suggested. Itisverydangeroustoprescribelimitationsonliabilityandtodefinecorrespondingrightsasappliedtoanyspecificinstance.Theabovestatements are on the general principles involving the relative rights of the public and liabilities of owners of Lake Shore property.

QUESTIONS AND ANSWERS—RIPARIAN RIGHTS, ETC.

The following answers to questions are based on the opinion of legal counsel:

Question: Is Geneva Lake a navigable lake? Answer:Yes.ItissodesignatedbyGovernmentSurvey.

Question: In whom does title rest? Answer:TitletothebedofthelakeisvestedintheStateofWisconsin,which holds title as trustee for the public to the end of maintaining and preserving the rights of the public in navigation thereof.

Question: What are the riparian owner’s rights? Answer: Riparian owners own their land on a navigable lake in fee simple downtolowwatermark.Theirrightsarebasedontheirownershipandtitletothebanks.Thisownershipgivestothemtheexclusiveprivilegetotheshoreforthepurposeofaccesstotheirlandandthewater.Theserightsincludethe right of using the shore for the building of piers extending into the water beyond low water mark, walls to prevent loss of soil by erosion, waves, etc.

Question: What rights and control does a riparian owner have over his private pier? Answer: Private piers constructed and abutting on the private shore property constitute the sole and private property of the owner of the adjoining land; such owner is as free to prohibit the entrance upon such pier of unauthorized persons (except in emergency of storms, distress, etc.) as he is to deny his home to them. His dominion and control over the shore line is of the same nature, subject only to the right of navigation over the waters of the lake.

Question: May an unauthorized person moor a boat near a private pier and may he make a landing on private property? Answer: No unauthorized person may moor a boat or a raft in front of private property in any manner that might interfere with reasonable navigation, to andfromsuchpropertyatanytime.Itisbelievedthatthechoiceofanowner or his authorized friends as to the course of water ingress to or ingress from the property should rest entirely with the owner or his friends so using the property. Owner of such private property may notify any unauthorized person to remove such boat or raft, or may remove such boat or raft or cause same to be removed, in a manner not doing more harm to the boat than must necessarily result from its act of removal. Care should be exercised by the owner to avoid unreasonable action in the matter and to avoid further any manner of carrying out the removal of the boat from which malice could be inferred.

The mission of the EEF is to award educational scholarships and grants to area students and schools for environmental-centered studies and to pro-mote environmental awareness to all ages of the Geneva Lake area.

TheEnvironmentalEducationFoundation(EEF)wasfounded36yearsago,in1980asanaffiliateoftheGenevaLakeAssociation.Mr.ThomasE.Reynolds,Sr.and Mr. Fillmore W. Galaty, both past presidents of the Geneva Lake Association, recognized an opportunity to promote environmental education by offering scholar-shipsandenvironmentalexperiencestoGenevaLakeareayouth.Theirdedicationto area youth and environmental awareness led to the formation of the Geneva Lake AssociationEnvironmentalEducationFoundation.TheEEFisanindependent,taxexempt 501(c) (3) affiliate of the Geneva Lake Association. During its 36-year history, the EEF has awarded more than $450,0000 in college scholarships, camping and outdoor education awards to more than 400 area youth, from 5th grade through graduate school. A new $2500 annual schol-arship for local students attending George Williams College has recently been announced as well as a Geneva Lake Dark Sky scholarship. More than $30,000 can be awarded in a single year to students in a varietyofagegroupsandeducationallevels..IncludedinthisamountistheEnvi-ronmentalEducationFoundationThomasE.Reynolds(TER)EndowmentFund,whichannually contributes $12,000 in the form of a four-year scholarship to a qualified local graduating senior interested in pursuing a degree in the environmental science field. Past college scholarship recipients include students from Badger High School, Big Foot High School, Williams Bay High School, and Faith Christian High School. Funding for environmental activities such as Outdoor Education grants and Nature Adventure Camp scholarships are awarded to local elementary and middle school students.

ARTICLE ONE – NAME, OFFICE AND PURPOSE

1.01 The name of the corporation is “THE ENVIRONMENTAL EDUCATIONFOUNDATION,INC.”

1.02 ThecorporationshallmaintainintheStateofWisconsinaregisteredofficeandaregistered agent at such office, and may have other offices within or without the state.TheprincipalofficeofthecorporationshallbeintheGenevaLakearea.

1.03 Thepurposesofthecorporationareasfollows:

(1) Toprovidescholarshipsorawards toqualifiedhighschool,collegeandgraduate students, with preference to those who attend or attended a high school located in the Geneva Lake area, and who have demonstrated significant interest in an environmental science and intend to further their study in the field.

(2) Toprovidescholarshipstoqualifiedhighschoolstudentsatthesamehighschools described above who will attend field courses offered by Wisconsin Department of Natural Resources or similar short courses. Also, to provide scholarships to qualified grade school students in the school districts in which the high schools described above are located, who will attend field courses in the nature camps offered by the Wisconsin DNR and the University of Wisconsin System.

(3) Toadministerallgiftsandgrantsofmoneyorproperty,realorpersonal,by corporations, partnerships, and natural persons for the purpose of providing such scholarships.

(4) To do all and everything necessary to accomplish the purposes hereinbefore mentioned either alone or in association with other individuals, corporations or partnerships, including federal, state, county, and municipal bodies and in general, to do any and all things which a natural person could do, or which now or hereafter may be authorized by law, and in general to do or perform such acts and transact such business in connection with the foregoing purposes, which are not inconsistent with law.

(5) If, inanyoneyear,afterallof thescholarshipsandexpenseshavebeencovered, and there is a surplus of funds available, the Corporation may vote to financially support a program, project or activity that will promote environmental education and/or create awareness to environmental issues in the Geneva Lake Area.

1.04 It is intendedthatawardsbemadeannually. Potentialrecipientsmayapply tothe corporation for awards or they may be nominated by others who know of their qualifications. Recipients shall be of good to excellent academic standing, and they shall have demonstrated an interest in the environmental sciences and intend to further their study in an environmental field. They shall berecommended by the appropriate committees of their respective schools and may be interviewed by the members of the Geneva Lake Association. Presentation of the awards shall be made by a member of the Geneva Lake Associationorbyanappropriatedesignee.Theamountsoftheawardsshallbedecided annually by the Board of Directors. While it is intended that awards shall be made annually, it should be realized that if suitable recipients are not available or if the corporation does not have sufficient funds, awards may not be made in some years.

ARTICLE TWO - MEMBERS

2.01 TheCorporationshallhavenomembers.TheBoardofDirectorsshallbeelectedby themembersofGeneva LakeAssociation, Inc., fromamong itsmembersatthe annual meeting of the Association.

ARTICLE THREE – BOARD OF DIRECTORS

3.01 TheaffairsofthecorporationshallbemanagedbyitsBoardofDirectors.

3.02 Thenumberofdirectorsshallbeestablishedfromtimetotimeatanyannualorregular meeting, or at a special meeting called for that purpose, but in no event shall the number of directors at any time be less than nine(9) nor more than fifteen (15).

3.03 The members of the Board of Directors shall be elected for terms of three (3)years each, with one-third (1/3) of the directors being elected each year. No directors shall serve more than two (2) complete terms consecutively, and must remain off of the Board of Directors for at least one (1) year before thereafter being reelected.

3.04 ThePresidentoftheGenevaLakeAssociation,andtheExecutiveDirectoroftheGeneva Lake Environmental Agency, shall both be ex officio members of the Board of Directors, serving without election. Anything otherwise set out herein to the contrary notwithstanding, each of such President’s and Executive Director’s terms as a member of the Board shall coincide with, and terminate automatically upon the expiration of his/her term as President or Executive Director. Said members shall further have all rights and responsibilities of a Director of the Corporation including, but not limited to, the right to vote upon all matters coming before the Board.

3.05 Any person having served with distinction as a Director of the Foundation may be considered for service as an Honorary Director of the Foundation subject to election by the Board. Any person so elected will hold the title of Honorary Director and has the responsibility to be an ambassador for the Foundation supporting the Foundation and its programs with his or her contacts in the Geneva Lake Area. An Honorary Director may attend and participate in meetings of the Board but will not have a vote.

3.06 A regular annual meeting of the Board of Directors shall be scheduled for and held during the month of July of each calendar year. Notice of the annual meeting shall be given to the members of the board in the manner and in the time as provided in Section 3.07 below. It is anticipated that said annualmeeting shall take place no earlier than fourteen (14) days before nor later than thedayoftheGenevaLakeAssociationannualmeeting.TheBoardofDirectorsmay provide by resolution the time and place, for the holding of additional regular meetings of the board without other notice than such resolution.

3.07 Special meetings of the Board of Directors may be called by or at the request of anyDirector.TheDirectorwhocallsaspecialmeetingmayfixanyplaceastheplace for holding such special meeting. Said notice shall, to the extent required by Wisconsin law, shall also include the purpose of such meeting.

3.08 Unless a greater time is required by Wisconsin law, notice of any special meeting of the Board of Directors shall be given at least five (5) days prior thereto by written notice to each Director at his address as shown on the records ofthecorporation.Ifmailed,suchnoticeshallbedeemedtobedeliveredwhendeposited in the United States Mail in a sealed envelope so addressed, with postage prepaid. Notice of any meeting of the Board of Directors may be

waived in writing signed either before or after the time of the meeting. Theattendance of a Director at any meeting shall constitute a waiver of notice of such meeting, except where a Directors attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Except as provided above, neither the business to be transacted at, nor the purpose of, any regular or special meeting of the Board need be specified in the notice of such meeting.

3.09 Any vacancy occurring in the Board of Directors may be filled by the remaining directors. A Director appointed to fill a vacancy shall hold office until his successor shall have been elected by the members of the Geneva Lake Association,Inc.inaccordancewiththeprovisionsofSection2.01above.

3.10 A majority of the Board of Directors shall constitute a quorum for the transaction of business at any meeting of the Board, provided that if less than a majority of the Directors are present, a majority of the Directors present may adjourn the meeting to another time without further notice.

3.11 Any action which may be taken by the Board at a meeting may also be taken without a meeting if a consent in writing, setting forth the action to be taken, is signed by one hundred percent (100%) of all of the directors then in office. Actions pursuant to such a written consent shall have the same force and effect as a unanimous vote of the Board, and shall be effective when the last director signs the consent (or upon such other effective date as specified in the consent).

3.12 TheBoardofDirectorsmaypermitanyoralldirectorstoparticipateinaregularor special meeting, or in a committee meeting, of the Board of Directors by, and may conduct such meeting through, the use of any means of communication by which any of the following occurs:

(1) all participating directors may simultaneously hear or read each others’ communications during the meeting; or

(2) all communication during the meeting is immediately transmitted to each participating director, and each participating director is able to immediately send messages to all other participating directors.

Ifameetingwillbeconductedunderthissection,allparticipatingdirectorsshallbe informed that a meeting is taking place at which official business may be transacted.

A director participating in a meeting conducted in a manner described in this section is deemed to be present in person at the meeting. If requested by adirector, minutes of the meeting shall be prepared and distributed to each director. All rules applicable to regular or special meetings of the Board shall apply to a meeting satisfying the communication and other requirements set out in this Section, and all actions shall have the same force and effect as if taken at a meeting at which all of the Directors were present in person.

ARTICLE FOUR - OFFICERS

4.01 The officers of the corporation shall be a President, Vice-President, Secretary,Treasurer, and such other officers as the Board may from time to time deemnecessary. The Board of Directors may provide for appointment of suchadditional officers as they may deem in the best interest of the corporation. Any two offices may be held by the same person, except the officers of the President andSecretary. Theofficersshallperformsuchadditionalordifferentdutiesasshall from time to time be imposed or required by the Board of Directors, or as may be prescribed from time to time by the bylaws.

4.02 TheofficersshallbeelectedannuallybytheBoardofDirectors.Vacanciesmaybe filled or new offices created and filled at any meeting of the Board of Directors. Each officer shall hold office for one year or until his successor shall have been duly elected, and shall have qualified. Election of an officer shall not of itself create contract rights.

4.03 Any officer elected or appointed by the Board of Directors may be removed by the Board of Directors whenever in its judgment the best interests of the corporation would be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed.

4.04 The President shall be the principal executive officer in all activities andtransactions of the organization and shall preside at all meetings of the Board of Directors, and shall have general supervision of the affairs of the corporation.

4.05 TheVice-Presidentshalldischarge thedutiesof thePresident in theeventof theabsence or disability for any cause whatsoever of the latter.

4.06 TheSecretary shall record theminutesof themeetingof themembersand theBoard of Directors in one or more books provided for that purpose. TheSecretary shall countersign all deeds, leases and conveyances executed by the corporation, affix the seal of the corporation thereto, and to such other papers asshallberequiredordirectedtobesealed.TheSecretaryshallbecustodianof the corporation records, except the books and records as incidental to the duties of the Treasurer; and shall see that all notices are duly given inaccordance with the provisions of these bylaws or as required by law.

4.07 TheTreasurershallkeepandaccountforallmoney,creditsandproperty,ofanyand every kind, of the corporation, which shall come into his hands, and keep an accurate account of all money received and disbursed and proper vouchers for money disbursed, and to render such accounts, any statements received and disbursed, and of money and property on hand, and generally of all matters pertaining to his office, as shall be required by the Board of Directors.

ARTICLE FIVE – COMMITTEES

5.01 The Board of Directors shall have the authority to appoint one or morecommittees as the need arises.

5.02 ThomasE.ReynoldsEndowmentFundCommittee

(1) A permanent Thomas E. Reynolds Endowment Fund Committee will beappointedbytheBoardofDirectorsconsistingofthree(3)members.Thetenureofthiscommitteewillbeopenforachangeanytime.Ifavacancyoccurs or a change must be made, the Board of Directors will handle.

(2) ThisCommitteewillconsistof:

1. AmemberoftheThomasE.Reynoldsfamily.2. A qualified high school administrator or teacher.3. A qualified individual, if possible, who has had experience in the

interviewing of students and who is interested in the preservation and conservation of our natural resources and environment.

(3) The responsibility of this committee will be to interview the selectedwinners in each of the four (4) high schools and choose one (1) qualified graduate for a four (4) year scholarship, renewable annually subject to review, at an accredited university such as The College of NaturalResources, University of Wisconsin/Stevens Point.

(4) The student chosen must express a desire to complete a four (4) year

course in the College of Natural Resources and to follow this career as a lifework.

(5) The amount of this scholarship will be determined by the Board ofDirectors. Payment will be made directly to the university by July 15 of the award year.

(6) Thecandidatemustsupplythecommitteeattheendofeachschoolyearthe courses and grade, and his or her plans for the coming year. Thecommittee will advise our Treasurer when to mail the checks to theuniversities.

(7) Thestudentsmustbeadvisedofourrequirementsandshouldbeaskedtokeep the committee chairman posted on their progress as well as current home and school addresses.

ARTICLE SIX – CONTRACTS, CHECKS, DEPOSITS AND FUNDS

6.01 TheBoardofDirectorsshallauthorizeanyofficerorofficers,agentoragentsofthe corporation to enter into any contract or execute and deliver any instrument in the name of or on behalf of the corporation and such authority may be general or confined to specific instances.

6.02 All checks, drafts or other orders for the payment of money, notes or other evidences of indebtedness issued in the name of the corporation shall be signed such officer or officers, agent or agents of the corporation and in such manner as shallfromtimetotimebedeterminedbyresolutionsoftheBoardofDirectors.Inthe absence of such determination by the Board of Directors, such instruments shallbesignedbytheTreasurerandcountersignedbythePresidentortheVice-President of the corporation.

6.03 All funds of the corporation shall be deposited from time to time to the credit of the corporation in such banks, trust companies, or other depositories as the Board of Directors may select.

(1) TheThomasE.ReynoldsScholarshipEndowmentFundmustbeestablishedunder a separate bank account of The Environmental EducationFoundation,Inc..Thecapitalmoneyinthisfundcannotbeused.Itmustbe wisely invested and the income only be used for scholarships and, if necessary, for operating expense incurred by the special Endowment Fund Committee.

(2) The Environmental Education Foundation, Inc. will keep a separatechecking account to handle the operating expense, overhead, and fund raising expense. Income for this account will come from fund raisingletters as needed to the general public around the lake.

(3) Our secretary and treasurer must examine every gift to make sure the donor’s money is deposited to the correct account

6.04 TheBoardofDirectorsareauthorized to raise funds inorder toaccomplish itspurpose by an appropriate means and may accept on behalf of the corporation any contribution, gift, bequest or devise for the general purpose of the corporation.

6.05 Themembersof theBoardofDirectorsareauthorized to reimburse themselvesfor expenses incurred for services rendered in the administration of the Corporation.InnoeventshallanydirectorwhohasmadeacontributiontotheCorporation receive compensation therefrom.

ARTICLE SEVEN – BOOKS, RECORDS AND FISCAL YEAR

7.01 Thecorporationshallkeepcorrectandcompletebooksandrecordsofaccountand shall also keep minutes of the proceedings of its Board of Directors, and committees having any of the authority of the Board of Directors. All books and

records of the corporation may be inspected by any Director or his agent or attorney for any proper purpose at any reasonable time.

7.02 ThefiscalyearofthecorporationshallbeginonJuly1st and end the following June 30th .

ARTICLE EIGHT – MISCELLANEOUS MATTERS

8.01 Thecorporation seal shall have inscribed thereon thenameof thecorporationandthewords“CorporateSeal,Wisconsin.”

8.02 Whenever any notice is required to be given under the provisions of Wisconsin Nonstock Corporation Law or under the provisions of the Articles of Incorporationorbylawsofthecorporation,awaiverthereofinwriting,signedbyperson or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice.

9.03 Thepower toalter,amendorrepeal thebylawsoradoptnewbylawsshallbevested in the Board of Directors. Such action may be taken at any regular or specialmeeting.Thebylawsmaycontainanyprovisionsfortheregulationandmanagement of the affairs of the corporation not inconsistent with law or the ArticlesofIncorporation.

9.04 IndemnificationandLiability.

(1) Indemnification.Tothefullestextentpermittedorrequiredbylaw,includingbut not limited to Wisconsin Statutes Sections 181.0871 through 181.0889 (and any subsequent amendments thereto), the Corporation shall indemnify its Directors and Officers against any and all Liabilities, damages, costs and Expenses and shall advance, as incurred, any and all reasonable Expenses, incurred in any Proceeding to which any such Director or Officer is a party because he or she is a Director or Officer of the Corporation, or because he or she is responsible for the operation of the Corporation or any part thereof. The rightsgrantedherein shall notbedeemedexclusiveofanyother rights to indemnification against Liabilities, damages, costs and Expenses, or the advancement of Expenses to which a Director or Officer may be entitled under any written agreement, board resolution, statute or otherwise. Further, all such rights shall continue as to any person who has ceased to be a Director or Officer, and shall inure to the benefit of the heirs, executors, administrators and assigns of such person.

All capitalized terms used herein and not otherwise defined shall have the meaning set forth in Section 181.0871 of the Wisconsin Statutes.

(2) Liability. Upon receipt of a request for indemnification against Liabilities and Expenses and/or advancement of Expenses pursuant to this provision, a prompt determination shall be made by a disinterested quorum of the Board, if available, or by such other means recognized by law, to determine the requesting Party’s right to indemnification or advancement. Ifnosuchdetermination ismadewithin thirty(30)days fromthedateofthe request, it shall be conclusively presumed for all purposes that the requesting Party has rights to indemnification and for advancement unless, by proper resolution of the Board, said thirty (30) day deadline is extended.TheCorporationmay,butshallnotbeobligatedorrequiredto,supplement the foregoing rights to indemnification against Liability and Expenses, and/or advancement of Expenses by purchasing insurance on behalf of any one or more Directors or Officers, regardless of whether the Corporation shall be obligated to indemnify against Liability or advance Expenses to the Director or Officer covered by said insurance.

BY LAWS OF GENEVA LAKE ASSOCIATION, INC.

ARTICLE INAME

Section 1-1 – Name:ThenameoftheCorporationshallbeTHEGENEVALAKEASSOCIATION,INC.(theAssociation).

ARTICLE IIPURPOSE

Section 2-1 – Purpose: Since 1935 the Geneva Lake Association has served as guardian of GenevaLakeanditssurroundingarea.TheGenevaLakeAssociationadvancesitsmissionofconservation, preservation, environmental integrity and general welfare of Geneva Lake with timely and issue-centered communications and education through a wide membership base of area residents and local businesses.

Section 2-2 – Revenue Code: All activities of the Association will be conducted within the meaningofSection501(c)(3)oftheInternalRevenueCode.

ARTICLE IIIMEMBERS

Section 3–1 – Eligibility: Anyone interested in promoting the general welfare and conserva-tionoftheGenevaLakeRegioniseligibleformembershipintheAssociation.Thereshallbesix classes of membership in the Association.

Section 3-2 – Regular Member: A person making an annual contribution of $30 in support of the operations of the Association will be considered to be a Regular Member of the Association.

Section 3-3 – Sustaining Member: A person making an annual contribution of $50 in sup-port of the operations of the Association will be considered to be a Sustaining Member of the Association.

Section 3-4 – Contributing Member: A person making an annual contribution of $100 in support of the operations of the Association will be considered to be a Contributing Member of the Association.

Section 3-5 – Donor Member: A person making an annual contribution of $150 in support of the operations of the Association will be considered to be a Donor Member of the Association.

Section 3-6 – Benefactor Member: A person making an annual contribution of $250 in support of the operations of the Association will be considered to be a Benefactor Member of the Association.

Section 3-7 – Commercial Member: A corporation making an annual contribution of $75 in support of the operations of the Association will be considered to be a Commercial Member of the Association.

Section 3-8 – Redetermination of Member Classes and Contribution Levels:TheBoardofthe Association shall have the authority to revise the classes of Members, to add additional Member qualifications and to re-determine the annual contribution requirement for member-ship.

Section 3-9 – Mail Address: Each Member of the Association shall file with the Executive Secretary of the Association their permanent mailing address, their lake address, if different than their permanent mailing address and their e-mail address. All Notices shall be sent to the Member’s e-mail address on file or if no e-mail address is on file to the Member’s perma-

nent mailing address on file. Any Member failing to provide his or her current e-mail address and or permanent mailing address to the Executive Secretary shall forfeit his or her right to all Association mailings, to include Notice of all meetings.

Section 3-10 – Removal of a Member: Any Member who fails to make his or her annual contribution within the fiscal year, after written notice of such default has been given, shall automatically forfeit membership in the Association.

ARTICLE IV MEETING of MEMBERS

Section 4-1 – Annual Meeting:TheAnnualMeetingoftheMembersoftheAssociationshall be held on any Saturday during the months of July or August, at an hour and place to be determined by the Board.

Section 4-2 – Special Meetings: A Special Meeting of the Members of the Association may be called by the President, a majority of the Board or at the request of any twenty (20) Members of the Association.

Section 4-3 – Meeting Notice: Notice of a Meeting of the Members of the Association shall be sent to all Members of the Association at their e-mail address on file or, if an e-mail address is not on file, to their permanent mailing address, at least ten (10) days, but not more thanfifty(50)days,priortothemeeting,statingtheplace,dayandtimeofsaidmeeting.Inthe case of a Special Meeting of Members of the Association, the purpose or purposes for which the Special Meeting of the Members of the Association has been called shall also be included in the Notice of the Meeting.

Section 4-4 – Vote: Each Member of the Association in good standing in attendance or rep-resented by an authorized Proxy shall be entitled to one (1) vote on all issues considered at the Meeting of the Members of the Association.

Section 4-5 – Quorum:Twenty(20)MembersoftheAssociationshallconstituteaquorumata Meeting of the Members of the Association.

Section 4-6 – Proxy: Each Member entitled to vote at a Meeting of Members of the Association, or to express consent or dissent to an Association action in writing without a Meeting of Members of the Association taking place may authorize in writing another Member or Members to act on his/her behalf by Proxy. No such Proxy shall be valid after eleven (11) months from the date of execution unless the Proxy provides for a longer period of effectiveness.

ARTICLE VBOARD of DIRECTORS

Section 5-1 – General Powers:TheaffairsoftheCorporationshallbemanagedbyitsBoard of Directors, (the Board).

Section 5-2 - Number and Tenure:ThenumberofDirectorsshallbetwenty-seven(27).TheBoard shall be elected by the Members at the Annual Meeting of the Association, except a past president shall serve three (3) years without election after the completion of his/her term ofoffice.ThemembersoftheBoardshallbeelectedfortermsofthree(3)yearseach.Nine(9) of the Directors shall be elected each year at the Annual Meeting of the Association.

Section 5-3 – Non Voting Members:TheExecutiveSecretaryandFieldTreasurershallserveas non voting members of the Board.

Section 5-4 - Regular Meeting: A Regular Meeting of the Board shall be held, without other noticethanthesebylaws,immediatelyaftertheAnnualMeetingoftheMembers.TheBoardmay provide by resolution the time and place for holding additional, regular meetings of the Board, with appropriate notice.

Section 5-5 - Special Meeting: Special Meetings of the Board may be called by the President,VicePresidentoranyfive(5)membersoftheBoard.Thepersonorpersonsautho-rized to call a Special Meeting of the Board may fix any place within the Geneva Lake Area as the place for holding any such meeting of the Board called by them.

Section 5-6 - Meeting Notice and Waiver: Notice of any Regular or Special Meeting of the Board shall be given at least five (5) days prior thereto by e-mail to each Director at his or her e-mail address, as shown on the records of the Association or, if specifically requested in writing by a Director, at his or her permanent mailing address, as shown on the records of the Association. Notice of any meeting of the Board may be waived in writing, signed either beforeorafterthetimeofthemeeting.TheattendanceofaDirectoratameetingshallconsti-tute a Waiver of Notice of such meeting, except when a Director attends a meeting for the expressed purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. Neither the business to be transacted at, nor the purpose of any Regular or Special Meeting of the Board need be specified in the Notice of such meet-ing.

Section 5-7 - Quorum: Nine (9) members of the Board shall constitute a Quorum for the transaction of business at any Meeting of the Board, provided that if fewer than nine (9) of the Directors are present at such meeting, a majority of the Directors present may adjourn the meeting to another time, with similar Notice of the adjourned meeting date.

Section 5-8 – Resignation: Except as otherwise required by law, a Director may resign from the Board at any time by giving notice in writing to the Board. Such resignation shall take effect at the time specified therein, and unless otherwise specified therein, no acceptance of such resignation shall be necessary to make it effective.

Section 5-9 – Removal: A Director may be removed by a majority vote of the Board at any Regular or Special Meeting of the Board whenever in the Board’s judgment the best interests of the Association would be served by the removal of the Director.

Section 5-10 - Vacancy: Any vacancy occurring in the Board may be filled by the Board. A Director elected to fill a vacancy shall be elected for the unexpired term of his or her prede-cessor in office.

Section 5-11 – Electronic Voting: Motions approved by the Executive Committee may be submitted electronically to the Board for their approval. Only one motion and appropriate supportingmaterialsshallbesenttotheBoardforconsiderationatatime.ThesubmissionshallrequestanindicationofApprovalorDisapproval.Theresultoftheelectronicvoteshallbe recorded in the minutes of the next meeting of the Board.

ARTICLE VIHONORARY DIRECTORS

Section 6-1 – Qualification: Any person having served with distinction as a Director of the Associationforaminimumofsix(6)yearsandmeetingtherequirementssetforthinARTICLEIIIasaMemberingoodstandingoftheAssociationmaybeconsideredforserviceasanHonorary Director of the Association.

Section 6-2 – Election: Any past Director meeting the qualifications to serve as an Honorary Director may be elected as an Honorary Director at any meeting of the Board of the Association or by electronic vote by a majority vote of the Board. Any person so elected will hold the title of Honorary Director as long as he or she is a Member in good standing of the Association.

Section 6-3 – Responsibilities: An Honorary Director has the responsibility to be an ambas-sador for the Association supporting the Association and its programs with his or her contacts in the Geneva Lake Area. An Honorary Director may attend Meetings of the Board and with

the prior approval of the President of the Association the Honorary Director may speak but will not have a vote.

ARTICLE VIIOFFICERS

Section 7-1 – Number of Officers:Thefour(4)electedOfficersoftheAssociationshallbeaPresident,VicePresident,Secretary,Treasurer,andthetwo(2)appointedofficersoftheAssociationshallbetheExecutiveSecretaryandFieldTreasurer.TheBoardmayfromtimeto time deem it necessary to elect or appoint additional officers.

Section 7-2 – Election and Term of Office: Officers shall be elected annually by the Board at the Annual Meeting of the Board. Any two (2) offices of the Association may be held by the same person except the offices of President and Secretary. Each Officer shall hold office forone(1)yearoruntilhisorhersuccessorhasbeenelected.ThePresidentmaynotservemorethanfive(5)successiveone-yearterms.TheelectionofanOfficershallnotofitselfcre-ate contract rights.

Section 7-3 – Removal: An Officer may be removed by a two-thirds vote of the Board when in the Board’s judgment the best interests of the Association would be served by the removal of the Officer. Such removal shall be without prejudice to contract rights, if any, of the person so removed.

Section 7-4 – Vacancies: Vacancies may be filled or new offices created and filled at any meeting of the Board. Officers so elected will serve until the next Annual Meeting of the Board.

Section 7-5 – President:ThePresidentshallbetheprincipalexecutiveofficerinallactivitiesand transactions of the Association and shall preside at all Meetings of the Members and the Board and shall be responsible for general supervision of all affairs of the Association.

Section 7-6 – Vice President:TheVicePresidentshalldischargethedutiesofthePresidentintheeventoftheabsenceordisabilityofthePresident.TheVicePresidentshallperformanyadditional duties that may from time to time be directed by the Board.

Section 7-7 – Secretary:TheSecretaryshallrecordtheminutesofmeetingsoftheMembersandoftheBoardinoneormorebooksprovidedforthatpurpose.TheSecretaryshallcoun-tersign all deeds, leases, and conveyances executed by the Association, affix the seal of the Association on papers that are required to be sealed.

Section 7-8 – Treasurer:TheTreasurershalloverseethepreparationoftheannualbudget,oversee all cash investment activities, and make recommendations as to financial institutions to be used by the Association.

Section 7- 9 – Executive Secretary:TheExecutiveSecretaryshallbethecustodianoftheAssociationrecords,exceptthebooksandrecordsincidentaltothedutiesoftheTreasurerandFieldTreasurer,keeparegisterofthepostal,e-mailandphonenumbersofeachMember and see that all Notices are duly given in accordance with the provisions of these By-Lawsorasrequiredbylaw.InadditiontheExecutiveSecretaryshallperformanyaddi-tional duties that may from time to time be directed by the Board.

Section 7-10 – Field Treasurer:TheFieldTreasurershalldepositallchecks,payallbills,keep accurate income and expense records, complete all governmental and year end reports,preparemonthendreportsandassisttheTreasurerinthepreparationoftheannualbudget and with the renewal of certificates of deposit.

Section 7-11 – Additional Officers: Additional Officers shall perform those duties that are assigned at the time the position is created by the Board.

ARTICLE VIIICOMMITTEES

Section 8-1 - Executive Committee:TheExecutiveCommitteeshallbemadeupoftheElectedOfficersoftheAssociation,theImmediatePastPresidentoftheAssociation,andtheChairmanoftheStandingCommitteesoftheAssociation.Inaddition,theFieldTreasurerandExecutive Secretary of the Association will serve as non-voting members of the Executive Committee.Five(5)membersoftheExecutiveCommitteeshallconstituteaquorum.TheExecutive Committee shall have the authority to take any action not inconsistent with these By-Laws. Minutes of all Executive Committee meetings shall be kept by the Association’s Executive Secretary.

Section 8-2 - Standing Committees:ThePresidentoftheAssociationshallappointthemem-bers of each Standing Committee to include the Chair of each Standing Committee. Standing Committees shall be composed of no fewer than three Members of the Association, a majority of which are Directors of the Association. A simple majority of the members of a Standing Committee shall constitute a quorum. Each Standing Committee shall operate under procedures established in the committee’s charter, approved by the Executive Committee. Minutes of all Standing Committee meetings will be prepared by a member of the Standing Committee and filed with the Executive Secretary. Standing Committees of the Association shall include, but not be limited to, Nominating, Finance, Membership, Commercial Membership, Mission, Land and Lake Use, Legal, Program and Publicity and Budget.

Section 8-3 - Special Purpose Committees:ThePresidentoftheAssociationmayappointSpecial Purpose Committees consistent with the Purposes of the Association. Special Purpose Committees shall be composed of no fewer than three Members of the Association, a majori-ty of which are Directors of the Association. A simple majority of the members of a Special Purpose Committee shall constitute a quorum. Each Special Purpose Committee shall oper-ate under procedures established in the Special Purpose Committee’s charter, approved by the Executive Committee. Minutes of all Special Purpose Committee meetings will be pre-pared by a member of the Special Purpose Committee and filed with the Executive Secretary.

Section 8-4 – Electronic Voting: Committee actions may be taken electronically if all materi-als supporting the action being taken have been provided to all committee members and actions taken are recorded in the official minutes of the committee.

ARTICLE IXFINANCIAL POLICIES, BUSINESS MATTERS and RECORDS

Section 9-1 - Registered Office:TheAssociationshallmaintainaregisteredofficeandareg-istered agent in the State of Wisconsin, and may have other offices within or without the state.

Section 9-2 - Fiscal Year:ThefiscalyearoftheAssociationshallbeginonJuly1st of each year and end on the following June 30th.

Section 9-3 - Banking Relationship: All funds of the Association shall be deposited from time to time to the credit of the Association in such banks, trust companies, or other deposito-ries as the Board may from time to time select.

Section 9-4 – Checks and Deposits: All checks, drafts, or other orders for the payment of money, notes, or other evidences of indebtedness, issued in the name of the Association, shall be signed by such Officer or Officers, agent or agents of the Association and in such manner asshallfromtimetotimebedeterminedbyresolutionsoftheBoard.InabsenceofsuchdeterminationbytheBoard,suchinstrumentsshallbesignedbytheTreasurerorFieldTreasurerandcountersignedbythePresident,VicePresidentorExecutiveSecretaryoftheAssociation.

Section 9-5 - Contracts:TheBoardmayauthorizeanyOfficerorOfficers,agentoragents,to enter into any contract or execute or deliver any instrument in the name of and on behalf of the Association, and such authorization may be general or confined to specific instances.

Section 9-6 - Loans: No indebtedness for borrowed money shall be contracted on behalf of the Association and no evidences of such indebtedness shall be issued in its name unless authorized by or under the authority of a resolution of the Board. Such authorization may be general or confined to specific instances.

Section 9-7 - Acceptance of Cash Gifts, Non-Cash Gifts and Bequests: TheBoardmayaccept on behalf of the Association any contribution, gift, bequest, or device, for the general purposes or for any special purpose of the Association.

Section 9-8 - Books and Records:TheAssociationshallkeepcorrectandcompletebooksand records of account and shall also keep minutes of the proceedings of its Member, Board, and Committee meetings, and shall keep at the registered or principal office a record giving the names and addresses of the Members entitled to vote. All books and records of the Association may be inspected by any Member or his or her agent or attorney for any proper purpose at any reasonable time.

Section 9-9 - Corporate Seal:TheBoardmayprovideacorporatesealthatshallbecircularin form and shall have inscribed thereon the name of the Association and the state of incor-porationandthewords“CORPORATESEAL”.

Section 9-10 - Mandated Reserve:InordertomaintaintheAssociation’sfinancialstabilityand to prepare for unexpected contingencies, the Board aspires to establish and maintain a cashreserve(ReserveAccount).TheReserveAccountwillbeequalinamounttotheprioreighteen (18) months’ total cash disbursements (excluding discretionary grants). Such funds shallberecordedseparatelyonthefinancialstatementsasthe“BoardMandatedReserve”.TheBoardshallreviewthesizeoftheReserveAccounteachyearaspartoftheannualbud-geting process. Draw downs from the Reserve Account shall require majority approval of the entire Board.

Section 9-11 - Investment Policy: TheAssociation’sprimaryobjectiveinmanagingitsinvest-able assets is to preserve principal. However, the Board recognizes that during some market conditions, an all-cash policy may be inappropriate. Provided that the Reserve Account has been achieved, the Executive Committee is authorized to allocate no more than twenty-five (25) per cent of the Association’s remaining investable assets in prudent, non-cash accounts. TheBoardshallreviewtheallocationoftheinvestmentseachyearasapartoftheannualbudgeting process.

ARTICLE XINDEMNIFICATION and LIABILITY

ARTICLE XICONFLICT of INTEREST

Section 11-1 – Disclosure of Possible Conflicts: Each Director shall disclose to the Board any duality of interest or possible conflict of interest whenever duality or conflict pertains to a matter being considered by the Board.

Section 11-2 – Minutes:TheminutesoftheBoardmeetinginvolvinganysituationwhereaconflict has been identified shall reflect the disclosure of the conflict, the individual’s limited involvement in the discussion of the topic, the abstention from voting and that a quorum was present after removal of the Director with the conflict.

Section 11-3 – Statements of Policy:TheAssociationwillhaveapprovedpoliciesinplacecomplyingwiththeIRS’srecommendationthat501(c)(3)organizationshaveapprovedpoli-ciesonConflictofInterest,WhistleblowersandRecordRetention.

ARTICLE XIIDISSOLUTION CLAUSE

Section 12-1 — Dissolution Clause: Thecorporationshallbenonstockandnodividendsorpecu-niaryprofitsshalleverbedeclaredorpaidtothemembersthereof.Intheeventofthedissolutionof the corporation, the Board of Directors shall, after paying or making provisions for the payment of all the liabilities of the corporation, dispose of all the assets of the corporationexclusively for the purposes of the corporation in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious, or scientific purposes as shall at the timequalifyasanexemptorganizationororganizationsundersection501(c)(3)oftheInternalRevenueCodeof1986(orthecorrespondingprovisionofanyfutureUnitedStatesInternalRevenue Law), as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed of by the Circuit Court of the county in which the principal office of the corporation is then located,exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.

ARTICLE XIIIAMENDMENTS
