ENTERTAINMENT defines entertainment as a noun meaning :

the act of entertaining; agreeable occupation for the mind; diversion; amusement:something affording pleasure, diversion, or amusement, especially a performance of some kind:

defines Entertainment as a form of activity that holds the attention and interest of an audience, or gives pleasure and delight. It can be an idea or a task, but is more likely to be one of the activities or events that have developed over thousands of years specifically for the purpose of keeping an audience's attention.Although people's attention is held by different things, because individuals have different preferences in entertainment, most forms are recognisable and familiar. Storytelling, music, drama, dance, and different kinds of performance exist in all cultures, were supported in royal courts, developed into sophisticated forms and over time became available to all citizens. The process has been accelerated in modern times by an entertainment industry which records and sells entertainment products. Entertainment evolves and can be adapted to suit any scale, ranging from an individual who chooses a private entertainment from a now enormous array of pre-recorded products; to a banquet adapted for two; to any size or type of party, with appropriate music and dance; to performances intended for thousands; and even for a global audience.

INTRODUCTION :

Rohinton Soli "Ronnie" Screwvala is an Indian entrepreneur and social philanthropist. He is the founder and CEO of UTV Group (UTV Software Communications, Bloomberg UTV, and UTV Motion Pictures), which was founded in the year 1990. Screwvala is the Managing Director of Disney- UTV India, Managing Trustee of the Swades Foundation and Founder & Advisor: at Unilazer Ventures Ltd., (a privately held PE/VC & Business Company).He has been named on Esquire's List of the 75 Most Influential People of the 21st Century (September 2008) and ranked 78 among the 100 most influential people in the world on the Time 100 (complied by Time Magazine, 2009). He was also listed amongst 25 Asia’s Most Powerful by Fortune Magazine, titled the Jack Warner of India by Newsweek, and named Entrepreneur of the year by Ernst & Young.

Ronnie Screwvala

Early life and education

Screwvala was born in Mumbai in a Parsi family. His father was an executive at the British firms J L Morrison and Smith & Nephew. Screwvala studied at Cathedral and John Connon School and Sydenham College.Screwvala also had a keen interest in theatre while in school and acted in professional plays with Bombay theatre greats like Pearl and Alyque Padamsee. He portrayed the roles of Harold ‘Happy’ Loman in Death of a Salesman and Cassio in Othello. Screwvala’s theatre career ended when he stopped going for rehearsals to start his own toothbrush business.

CareerNetworkScrewvala started off as a local cable TV operator in Mumbai under the company Network in 1981.At the time when there was only Doordarshan, the state television provider, Network offered a three-hour video channel showing movies to some homes in Maker Towers in the affluent Cuffe Parade area of Mumbai. He also started producing advertisements and content for Doordarshan with serials like Lifeline and Shanti.United Television Group (UTV)Screwvala founded the UTV Group in 1990 providing television content to broadcasters. In a span of less than 2 decades, UTV expanded into broadcasting, gaming, film and other businesses. The first film produced by his company was Dil Ke Jharoke Main.He also launched the Hungama Channel in 2004 which was highly succesful and become one of the leading chidren's television channels in India UTV group became listed on the Indian Stock Exchange in 2005.

Philanthropy

SwadesScrewvala laid the foundation of Society to Heal Aid Restore Educate (SHARE) for rural development in Maharashtra.Swades, under his former brand name SHARE, in the last five years has provided 39,000 people in 139 villages in rural Maharashtra with drinking water. Personal life

Screwvala is married to Zarina Mehta. They live in Breach Candy, South Mumbai. Zarina Mehta (born 1961) is an Indian entrepreneur and philanthropist. She is currently the Managing Trustee of Swades Foundation, a foundation dedicated towards Rural Empowerment in India.Previously, she was the Chief Creative Officer at UTV Software Communications (which she co- founded) where she conceptualized, promoted and managed the UTV Bindass, UTV Stars, UTV Action and Hungama TV channels.

CEO SPEAK2011 is going to be an interesting year for entertainment as companies work out plans to design content for the 3G space. While content makers are making tall claims in this space by just redoing existing content, from Films, TV and other Video formats, for mobile consumption - I believe that's very short sighted and Blinkered! Original content specially designed for the mobile keeping in mind the consumers 'snacking' habits is they key to cracking the DNA code for 3G. Entertainment play on 3G would be governed by four key factors: personalization - this device is mine and I do what I want on it; interactivity - the only screen that allows me to be a part of and even change the content offering; location based - it's the screen on the move so where I am moving matters; community - when I'm being entertained I'd love to be connected with my friends and others who share my passions.

It's not what I also get to see on theaters or my TV screen that will lure me to adopt 3G - we need to go back to the drawing board and come up with something new. Our observation is that consumption will come from the following: aggregated content may be 10 - 15%, massively repurposed content will be 35% - and by this I mean leveraging an existing brand like a film or a TV show to create something for the mobile and the rest will flow from original content and that alone. However content on 3G space will be very different from the content we deliver on a big screen or on TV. Today people perceive content essentially to be moving video, 3G will redefine this. It could be apps, video chats, destination services, a product and lots more.

Now that people have invested more than a couple of billion dollars in this space, bandwidth has been cleared and all telcos have got timelines so the dynamics of an equitable revenue share model will evolve over time. I believe they have already improved. It is imperative to bear in mind that whenever we are disseminating content on any other platform there is a substantial cost either of distribution or marketing or even both.

In the beginning I see more telcos going for exclusive deals with content providers as it will be the content that will be the big hook for bringing people onto 3G. However if the content is compelling - which is what we are working at - I don't see that scenario for more than a year, the consumer demand will make it cross operator.

This medium is a cracker as we are used to paying for it since day one and the payment mechanism is well established and transparent too. Most of us have been paying a meager sum for our cable connection, an average of Rs. 100 for 400 channels in a month and at no cost are we willing to pay anything extra there. At the same time, we are ok to pay an average of Rs. 30 to download a ringtone for a month. So this medium offers an excellent opportunity for subscription revenue rather than just being dependent on advertisers.

The concerns most people voice today is that while the mobile universe in India is really large most consumers would not have high end phones to enable 3G and my response on that would be that the adoption ratios in India for new phones has been phenomenal and even if we take 5% of the 600 million mobile user base as ones with 3G enables phones that chunk would be larger than the total mobile population of many countries.

Lets be the clear of the opportunity. Unfortunately lack of regulation in Cable TV has allowed the consumer to pay much less than what they need to for their 400 odd channels broadcasting per se has been suppressed from its true potential. 3G and soon thereafter 4G will reap huge benefits as the spend habit will start right and start from day one and the consumer will pay more. So in short Consumer spend for Content on 3G and 4G will be as large in just 3-4 years what the Broadcasting industry took 20 years to do.

At this moment we are gearing up with lots of variety of content to offer consumers multiple options to choose from and then take a pick on what's really working. The opportunity is immense and the time is now... to change the way the entertainment is consumed in India!

UTV started off as United Software Communications Pvt. Ltd. on 22 June 1990. They later went public and were renamed UTV Software Communications Ltd. in 1998.The UTV Group was incorporated as ‘United Television Software Communications Private limited’ on June 22, 1990; under the Companies Act, 1956 as a Private Limited Company. Subsequently, it became a deemed Public Limited Company and the word Private was deleted on November 27, 1995. It was renamed as ‘UTV Software Communications Limited’ with effect from March 19, 1998.At the time of incorporation in 1990, the group was primarily engaged in the production of television content for Doordarshan- Prasar Bharti and also production of ad films. In 1992, with the entry of satellite TV, ZEE TV commissioned the group for producing content of around 250 hours wherein it became one of the largest content providers. Around the same time, it also expanded into the businesses of in-flight entertainment programming and dubbing. In 1993, it ventured into the business of acquiring programs from outside producers and marketing airtime on their programs. In 1995, it launched a daily soap titled ‘Shanti.’In May 1995, it acquired 54.60% stake in Laezer Production Private Limited in order to enter into the area of post-production. Laezer Production Private Limited was incorporated on January 29, 1982. On becoming a deemed Public Limited Company, the word ‘Private’ was deleted on November 27, 1995. Subsequent to the acquisition of 54.60% stake by the UTV Group, Laezer Production Limited was renamed as UTV Studios Limited in December, 1995. At that point of time United Studios Limited (USL) was engaged in the business of providing post-production facilities to television software houses, private producers and advertisers.In 1998, the company's subsidiary USL took over Ram Mohan Biographies, an animation production house pioneered by Mr. Ram Monan, one of the leading animation artistes in the country. The animation division in USL was called RM-USL and thereafter was rechristened as UTV Toons and remained as a division of USL.

The company then diversified into broadcasting, by acquiring a controlling interest in Vijay Television Limited in November, 1998. Vijay Television Limited was incorporated on May 30, 1996 and operated Vijay TV, a 24-hour Tamil-language channel out of Chennai. The Udayar family of Chennai initially controlled Vijay Television as GEC channel since 1992. In 1995, United Breweries Group acquired the operational control of the channel and the name was changed to Vijay TV. The UTV Group acquired the controlling interest from United Breweries Group.In 1995-96, the company ventured into the movie distribution business.In 2000, it incorporated a group company called UTV Net Solutions Ltd. (UTV Net) in which it held an 86% stake. UTVNet was in the business of Internet content creation and aggregation, Indian regional language portals (with dual language content) and leveraging of their audio/video library rights for Internet usage. In 2000, UTVNet started the business of broadband content aggregation under the brand name sharkstream.com, through its subsidiary Sharkstream.com Pte. Ltd., Singapore.

In 2002-03, the group acquired the studio business of Western Outdoor Media Technologies Limited (WOMTL) in order to attain leadership position in the Post-Production, Special Effects and Animation business. The Studio operations of WOMTL were thus merged with the group’s post-production business.Since 2000-01, the UTV Group has initiated a corporate restructuring exercise in order to consolidate their holdings in certain group companies and subsidiaries. The objective of these exercises was to maximize shareholder value, remove conflict of interest and build a powerful combined entity.Between 2007 and 2011 UTV was targeted for acquisition by studios in the USA and the UK. Fuse Global, global media fund had approached and made several attempts to play a role in becoming a financier to the studio, but it never materialized for Asian media billionaire Keyur Patel who has also done similar large format deals in USA.

UTV Software Communications and Kishore Biyani's Future Group (Pantaloon Retail) are in talks to float a retail venture together. The blueprint for the project is to open Cafe Lounges as a brand extension to UTV's upcoming youth centric channel in June. The Cafe Lounges targeted at the youth will be a fusion of entertainment, gaming and a lounge where youngsters can relax. While UTV will use its strength in the entertainment and broadcasting space, the Future group will use its expertise in the retail domain to jump start this venture. The Cafe Lounges will be a brand extension of UTV's youth centric initiatives and will use these to attract the youth both in terms of footfalls to these outlets as well as to ensure eyeballs on the channel. Top sources at UTV said that work on this front has already begun, and placement agency sources also confirmed that UTV has started recruiting people from the retail and cafe space. An official UTV spokesperson refused to comment.

FUTURE SCENARIOwith FUTURE GROUP

UTV Motion Pictures, the leading Indian movie studio, and Prime Focus, the global visual entertainment services group, have announced a strategic alliance which will involve their close collaboration on a slate of future UTV Motion Pictures productions. Under this new partnership, Prime Focus takes responsibility for servicing the entire production and post production requirement of a slate of UTV's films, including visual effects, digital intermediate, sound and lab services, as well as provision of cameras, lenses and more.

SERVICES Television productionUTV started off producing television content for Indian public broadcaster Doordarshan in 1990. They were also into ad film making.With the entry of satellite television in India, UTV grew larger and produced television programmes for Indian TV channels such as Zee TV and Star Plus.In 1995, UTV produced India's first daily soap opera, Shanti, for Doordarshan. UTV was also contracted by Disney to dub its cartoons in Hindi. Revenues from the television segment increased by 31% from Rs. 1,006 million in the previous year to Rs. 1,317 million during the year primarily due to the growth in the scale of operations of the television business. The segment reported a profit of Rs. 54 million as compared to Rs. 180 million in the previous year.

Film production and distribution

UTV ventured into film distribution in 1996 with its subsidiary UTV Motion Pictures Plc. It then moved into film production, first in Bollywood and then in Hollywood in partnership with studios like 20th Century Fox, Walt Disney Pictures and Sony Pictures.It is today one of the largest production houses in South Asia.UTV’s portfolio includes Hindi Movies, Regional Movies, Animation Films, International productions and co productions, besides an exclusive distribution arrangement for India with The Walt Disney Company.UTV co-produced two Hollywood movies with Fox Searchlight in 2007, making it the first and only Indian company to have mainline Hollywood film releases – the box office hit and critically acclaimed masterpiece by Mira Nair, “The Namesake;” and “I Think I Love My Wife,” with Chris Rock in the lead role and as Director.

Pioneering the stint of producing movies abroad, UTV was the first Indian production house to announce its independent production venture globally in April 2009, with “The Exterminators.”It also has a co-production agreement with the actor/producer Will Smith, his production company Overbrook Entertainment and with Sony Pictures Entertainment, for two films to be produced and distributed worldwide.In 2008-2009, UTV Motion Pictures emerged as one of the largest production houses in the country with 10 Hindi film releases, one in Tamil and M. Night Shyamalan's “The Happening” – the first mainstream Hollywood movie co-produced by an Indian movie studio. UTV also distributed Disney's productions – “Confessions of a Shopaholic” and “Bedtime Stories” in India.An unparalleled slate that started in 2009 will see even more content driven movies in 2010 – the slate will boast of movies in genres from romance to action and from thriller to comedy such as Prakash Jha’s “Rajneeti,” Deven Khote’s “Phillum City,” Sanjay Leela Bhansali’s “Guzaarish” and Aamir Khan’s production “Delhi Belly” and “The Falling.”Along with production, UTV distributes its movies in more than 45 countries around the world on the same day as their theatrical release in India. UTV Motion Pictures is among the Top 20 Distributors in North America and is the first Indian film studio ever to have crossed the US $5 million revenue mark in the first half of a year, thus redefining the scope of overseas distribution of Indian films.[

In the south, post their successful maiden venture – “Kanaamochi Yenada” in Tamil, UTV Motion Pictures forayed into another project with Priyadarshan as a co-producer for the remake of “Khosla Ka Ghosla” called “Poi Solla Porom.” This proved successful, completing 100 days in theatre. UTV Motion Pictures went on to co-produce the remakes of the superhit “A Wednesday!” – “Unnaipol Oruvan” (Tamil) and “Eenadu” (Telugu) by joining hands with Actor Kamal Haasan.

AnimationUTV forayed into animation production in 1998 with the acquisition of Ram Mohan Biographies. UTV's subsidiary handles its animation business.

BroadcastingUTV entered into broadcasting through its acquisition of Vijay TV from United Breweries. It was later sold to STAR TV in two phases in 2001 and 2004.In 2004, UTV launched Hungama TV, a kids channel. This was sold to Disney in 2006.In 2008, UTV re-entered the broadcasting business through its broadcast arm, UTV Global Broadcasting Ltd (UGBL). GamingIn December 2007, UTV's ventured into production of gaming software and content through its subsidiary UTV Media by acquiring Indiagames Ltd., an Indian gaming company.It later went on to acquire Ignition Entertainment Ltd. and US-based True Games.During the year, the results of the Games Content segment included consolidated financials of Ignition and Indiagames for the full year and financials of True Games for the period September 11, 2008 to March 31, 2009. During the year, the Gaming segment reported an increase in revenues of 49% to Rs. 1,105 million from Rs. 742 million in the previous year.

FINANCE STRUCTURE

UTV is a global Media and Entertainment company headquartered in Mumbai, India. Since it began as a television content company in 1990, UTV has developed into a global integrated entertainment content production and distribution company with five business verticals: Television (content production and airtime sales), Movies, Broadcasting, Games and Interactive.UTV is a publicly traded company listed on the Bombay Stock Exchange and the National Stock Exchange (BSE: 532619.BO, NSE: UTVSOF.NS). The company was listed on 17 March, 2005. In August 2006, The Walt Disney Company acquired a 14.85 percent stake in UTV.This was subsequently hiked to 32.1 percent in 2008. The Company has a strong international presence, with offices across Asia, Europe and America, also having significant business interests in the international markets. For the financial year ended 31 March 2011, UTV had total consolidated income of Rs. 9,468 million (approximately US$210.40 million) and consolidated net profit after tax after minority interest of Rs. 1,375 million (approximately US$30.57 million).

As a part of the consolidation plan, during 2000-01, it augmented its share capital by swap of shares from Shareholders of group companies. And as of 31 March 2009, the company has the following subsidiaries/joint ventures:UTV Motion Pictures (UMP) PLC The company was incorporated on March 27, 2007. On July 2, 2007 UMP Plc shares were admitted to trading on Alternate Investment Market (“AIM”) of the London Stock Exchange.UTV Software Communications Ltd. holds 76.82% of controlling stake of UMP Plc which in turn holds 99.75% controlling stake in UTV Motion Pictures (Mauritius) Limited and balance 0.25% is held directly by UTV Software Communications Ltd.

IG Interactive Entertainment Limited (IG)

IG was incorporated on September 6, 2004 with an intention to carry out Film Acquisition, Syndication and Distribution business in the United Kingdom.

UTV Communications (USA) LLC (UTV USA)

UTV US was incorporated on April 26, 2004 with an intention to carry out film acquisition, syndication and distribution business in the United State of America (North America) and other surrounding territories.

UTV TV Content Limited (UTV TV)

UTV TV a 100% subsidiary of UTV Software Communications Ltd. It was incorporated on July 9, 2007 to carry on the business of producing, exhibiting and distribution of television serials/programmes for television. RB Entertainment Limited (“RBEL”), a 60:40 joint venture between UTV TV and Mr. Rajesh Beri, was incorporated on May 6, 2008 with intent of producing content for television channels.

First Future Agri and Developers Limited (FFADL)

The company was incorporated on April 7, 2008 as First Future Agri and Developers Private Limited Company. On June 11, 2008, UTV Software Communications Ltd. acquired 100% equity stake in FFADL for a consideration of Rs. 0.10 million, thereby making it a wholly owned subsidiary of UTV Software Communications Ltd. On March 25, 2009 FFADL further allotted 15.99 million equity shares at par to UTV Software Communications Ltd. The status of FFADL was changed from a private limited company to public limited company on April 29, 2009.

UTV Global Broadcasting Limited (UGBL)

UGBL was incorporated on June 6, 2007 with an intention to carry on the business of broadcasting of satellite television channels in India. On August 8, 2008 UTV Software Communications Ltd. acquired 75% equity stake in equity shares of UGBL. UGBL is a parent company for its two wholly owned subsidiaries, Genx Entertainment Limited (Genx) and UTV Entertainment Entertainment Limited (UETL). On September 30, 2009 UTV Software Communications Ltd. acquired additional 10% equity stake in UGBL from Unilazer Exports and Management Consultants Limited (“Unilazer”) for a total consideration of the total stake of the company in UGBL increased to 85%.

UTV Games Limited (UTV Games)

UTV Games Limited is a 100% subsidiary of UTV Software Communications Ltd. and was incorporated on September 5, 2008 to carry on the principal activity as of investment holding. On September 10, 2008 UTV Games Limited acquired 80% equity stake in True Games Interactive Inc, (True Games) an online gaming start-up Company based in California, USA, thereby making True Games a downstream subsidiary of the Company.

UTV New Media Limited (UNML)

UNML a 100% subsidiary of UTV Software Communications Ltd. and was incorporated on September 20, 2007 to carry on the business of developing and maintaining websites and acquisition and exploitation of digital rights on mobile and digital platforms.

Smriti Irani Television Limited (SITL)
