Plaitiff, the Federal Trade. Commssion ("FTC" or "Commssion ), through its

undersigned attorneys, alleges as. follows:

The FTC brigs this action pursuant to Section 13(b) of the Federal Trade

Commssion Act ("FTC Act"), 15. U. C. g 53(b), to secure permanent injunctive relief,

rescission of contracts and restitution, disgorgement of il-gotten gains, and other equitable relief

agait Heritage Health Products Company, for engagig in deceptive acts or practices and false

advertising in connection with the advertising, marketing, and sale of the dietar supplements

Heritage Shark Carilage and Heritage Cat's Claw, in violation of Sections 5(a) and 12 of the

FTC Act, 15 U.S.C. g.45(a) and 52.

JUSDICTION AND VENUE

This. Cour hasjursdiction over the matter pursuant to 15 U. C. gg 45(a), 52 , and

53(b) and 28 U. C. gg 1331 , 1337(a), and 1345.

PARTIES

Plaitiff FTC is an independent agency of the United States Governent created'

by statute. 15 U. C. gg 41-58.. The. FTC enforces Section 5(a) of the FTC Act, 15 U.

g 45(a), which prohibits unair or deceptive acts or practices in or affecting commerce. The

Commission also enforces Section 12 of the FTC Act, 15 U. C. g 52 , which prohibits the

dissemination of false. advertsements. for food, drgs, devices, services or cosmetics in or

affecting commerce. The Commssion may intiate federal distrct cour proceedigs to enjoin

violations of the FTC Act and to. secure such equitable relief, as may be appropriate in e ch case..

Defendant Heritage Health Products Company ("Heritage ) is a Colorado

corporation with its pricipal offce. or place of business at 400 N. Lin Lane, Fort Colli, CO

80524. It transacts, or has transacted, business in ths Distrct and throughout the. United States

through the advertsing, marketing, and sale of Heritage Shark Carilage and Heritage Cat'

Claw, among other products, via flyers and the mternet site ww.heritagehealthproducts.com

Defendant Heritage has. engaged in the deceptive acts and practices and the

makg of false. advertisements as alleged below and is liable. for said acts and practices.

The acts and practices of the. defendant, as alleged herein, are in or affecting

commerce, as "commerce" is defied in Section 4 ofthe FTC Act, 15 U. C. g 44.

DEFENDANT' S COURE OF CONDUCT

Since at least Januar 2001 , and contiuing thereafter, defendant has advertised

promoted, offered for sale, sold, and distrbuted the products Heritage Shark Carilage .and

Heritage Cat' s Claw to the public throughout the United States..

Heritage Shark Carilage, known in Spansh as carti/ago de tiburon is a dietar

supplement containing chondroitin sulfate. from purfied shark carilage extract.

10. To induce consumers to purchase Heritage Shark Carilage, defendant has

dissemiated or caused to be. dissemiated flyers and Internet advertisements on English and

Spansh language portions of its website ww.heritagehealthproducts.com. Heritage

advertisements include, but are not lited to, the attached Exhbits A (Heritage flyer), B (shark

carilage section ofthe English language portion of Heritage s website) and C (shark carlage

section of the Spanish language porton of Heritage ' s website), and contain, among other thigs

COUNT ONE

Unsubstantiated Claims Regarding the Health Benefits of Heritage Shark Cartilage

15. Through the means. described in Paragraph 10, defendant has represented

expressly or by implication, that:

fugestion of Heritage ' s -shark carilage is an effective treatment for lupus, herpes

ulcers, wound healing, phlebitis, hemorrhoids , fistulas, pruitis, varcose veins, acne

enteritis , colitis, eczema, psoriasis, rheumatoid arhrtis, and cancer;

Ingestion of Heritage hark carilage is an effective treatment for bacterial

ftgal, and vial infections; and

fugestion of Heritage s shark carilage is an effective treatment for chronic

inamatory conditions, secondar diabetic vascular, ocular, and other complications

hyperplastic cystic disorders, and tumor growt and metastasis. .

16. Though the. means described in Paragraph 10, defendant has represented

expressly or by implication, that it possessed and relied upon a reasonable basis that substantiated

the representations. set forth in Paragraph 15 at the tie the representations were made.

substantiated the representations set forth in Paragraph 15. at the time. the. representations were

made. Researchers generally believe that some substance in shark and bovie carilage may

inbit blood vessel formation necessar to fush oxygen and other nutrents. to cancer cells.. To

date, however, all verified anal and human studies involving oral or rectal admstration of

shark carlage have failed to demonstrate anti-cancer effectiveness. Nor has defendant produced

substantiation for its other health claims regarding the other conditions and illnesses referred to

in the advertisements. Therefore, the makg of the representation set forth in Paragraph 16

constitutes a deceptive practice, and the makg of a false advertisement, in or affectig

commerce, in violation of Sections 5(a) and 12 ofthe FTC Act, 15 U. C. gg 45(a) and 52.

treatment of cancer; and

21. Through the mean described in Paragraph 12 , defendant has represented

expressly or by implication, that it possessed and relied upon a reasonable basis that substantiated

the. representations set forth in Paragraph 20 at the time the representations were made.

23. Through the means described in Paragraph 12 , defendant has represented

expressly or by implication, that scientific research establishes that ingestion of Cat' s Claw is an

effective treatment for herpes, viral inections, dermatological disorders, pre-menstral

syndrome, vial inections, AIS, osteo-. and rheumatoid arhrtis, allergic and imunological

disorders, cancer,. and systemic candidiasis.

24. In fact, scientific research does not establish that ingestion ofCat' s Claw is an

effective treatment for herpes, vial inections , dermatological disorders, pre-menstral

syndrome, vial inections, AIS, osteo- and rheumatoid artis, allergic and imunological

disorders, cancer, and systemic candidiasis. Therefore, the makg of the representation set forth

in Paragraph 23 constitutes a deceptive practice, and the makng of a false advertisement, in or

affecting commerce, in violation of Sections 5(a) and 12 of the FTC Act, 15 US. C.. gg.45(a)

and52.

CONSUMER INJUY

25. . Defendant' s law violations have injured consumers throughout the United States.

injunctive relief by ths Cour, defendant is likely to continue to injure consumers, reap unust

enrchment, and har the public. interest.

26. Section 13(b) ofthePTC Act, 15 US.C. g 53(b), empowers this Cour to grant

injunctive and other relief as. the Cour may deem appropriate to prevent and remedy any

violations of the FTC Act. . The Cour, in the. exercise of its equitable jurisdiction, may award

other ancilar relief, includig consumer redress , disgorgement, and restitution, to prevent and

remedy injur caused by defendant's law violations.

PRAYER FOR RELIEF

WHREFORE, Plaintiff FTC requests that this Cour, as authorized by Section 13(b) of

the FTC Act, 15 U. C. g 53(b), and pursuant to its own equitable powers:

Enjoin defendant prelimiarly and permanently from violating Sections 5(a) and

12 of the FTC Act, as alleged herein, in connection with the offer, sale, advertising, or other

promotion or distrbution of any food, drg, dietar supplement, device, cosmetic , or other

product, service, or program;

Award such equitable relief as the. Cour finds necessar to redress. injur to

consumers resulting from defendant's violations of Sections 5(a) and 12 of the FTC Act

including but not limted to rescission of contracts and restitution, and the disgorgement of il-

gotten gains by the defendant; and
