Welcome

Welcome to the Globe Law and Business Spring/Summer Catalogue 2019. We’ve had a very busy year, with a number of interesting new titles just published and more to follow in the coming weeks and months. Recently published titles include new editions of best-selling books: Shipping Finance and European Takeovers: The Art of Acquisition, which have been fully updated and redesigned under our imprint; and a new edition of Oil and Gas: A Practical Handbook. As you can see from this catalogue, our publications cover a broad range of topics from energy, private client and the business of law through to dispute resolution, company/commercial and IP. We are also delighted to introduce two new series: Special Reports and Good Practice Guides. A4 and softback in format, the Special Reports provide expert coverage of topical subjects – such as legal tech, lateral hires and social media for lawyers – and are designed to be readily accessible and quick to read. The Good Practice Guides, also in paperback, offer a practical insight on ways to improve your practice – for example, in the areas of innovation or compliance – with ideas usually supported by checklists, case studies and handy summaries. It is our aim that these new products will enable you to spend less time reading and more time doing! Although it is perhaps truer than ever to say that we live in uncertain times, we are on hand to help you navigate with practical, topical titles offering expert insight and top tips. As always, we would welcome your feedback and suggestions for new publishing ideas. Please do feel free to get in touch on [email protected]. Happy browsing!

Anti-corruption Laws and RegulationsA Global Guide

Corruption is an increasingly widespread global problem which affects many people, governments, industry sectors and jurisdictions. In recent years, many countries, international organisations, multilateral banks and social, entrepreneurial and legal organisations have sought to create an improved legal environment in which to tackle corruption, by creating rules that restrict discretional powers, limit wrongful practices and sanction guilty parties.

The result is the development of an assortment of international and local laws and regulations, best practices and many other tools that are being implemented with differing results. Some countries have achieved outstanding results, while others continue to fight a long and difficult battle against corruption. In the midst of all this, corporations and lawyers have to make sense of the problems and learn how to apply the law efficiently and effectively.

This unique volume is a must-have tool for all in-house and international lawyers, legal counsel and consultants involved with local and cross-border corruption matters. Throughout the text, a range of local and international experts provide in-depth analysis of corruption issues and examine:• the current legal regime in their countries;• the preventative measures that must be taken by companies

operating in different jurisdictions;• how to face investigations, prosecutions and trials; and• the impact of cross-border regulations. This edition focuses on practical approaches rather than theoretical disciplines in order to help readers understand the complexities of anti-corruption compliance worldwide.

Arbitration in the International Energy Industry

The international energy industry frequently gives rise to complex, high-value disputes. As economic and commercial circumstances change, joint venture partners may disagree over operations, sellers and buyers may manoeuvre to amend pricing terms and states may seek to improve their take from investment projects. Any of these outcomes can have significant consequences for the long-term prospects of companies operating in the sector. These are just some of the issues covered by this title, which provides a practical, user-friendly overview of the essentials of international arbitration in the energy industry. Leading practitioners from international law firms and global companies consider, among other things: the drafting of effective arbitration clauses, achieving time and cost efficiency, gas pricing disputes, EPC and construction disputes, disputes under the Energy Charter Treaty, funding in international arbitration and the enforcement of awards. Edited by Ronnie King, international arbitration expert and managing partner of the Tokyo office of Ashurst LLP, this title will be of value to all lawyers advising in the energy industry and anyone with an interest in the topics discussed.

Business Families and Family BusinessesThe STEP Handbook for Advisers, Second Edition

The resilience of family businesses has been evident from their success over centuries and across continents. It remains common for practitioners to advise families whose principal source of wealth is, or has been, a successful family enterprise, and to provide guidance on the specific and complex relationships and issues that arise in this context.

This second edition, published in association with STEP, features chapters by leading practitioners in the field, including the Family Firm Institute Inc., Berenberg, Boodle Hatfield, Sandaire, Kleinwort Hambros, Dixon Wilson and Rathbones. The book considers what makes business families and family businesses unique, and examines the issues that advisers are often called upon to consider and address when assisting them. It helps practitioners to deepen their understanding of how families operate, and to develop the skills and knowledge necessary to advise on such complex areas as conflicts between working and non-working family members, ownership structure, succession, wealth management, governance and meeting a family’s philanthropic objectives.

This guide provides a comprehensive handbook for all practitioners who advise business families including lawyers, accountants, financial advisers and wider family business advisers.

A Practical Guide

Carve-out M&A TransactionsA Practical Guide

With the rise of activist investors and the search for bigger returns, the pressure on businesses to focus on key products, sectors or jurisdictions has grown. Consequently, many transformational M&A transactions are being undertaken by companies and subsequently there is increased attention from management – and antitrust regulators – to ensure acquired assets have a strategic fit. This frequently results in non-core products or geographies – or in the case of mandated divestments by antitrust authorities, overlapping products – to be sold. Such sales are increasingly attractive to private equity purchasers which may add another layer of complexity and competitiveness to be navigated.

Structuring and managing these carve-out transactions is complex and this book focuses not only on the key differences in negotiating and drafting transaction documents, and the different legal risks to be managed, but also assesses the role of in-house counsel and separation advisers.

This practical guide, edited by Robbie McLaren at Latham & Watkins, features contributions by specialists on subjects linked to the structuring and execution of carve-out transactions and provides an invaluable insight into the legal, regulatory and practical elements in play. Topics include documentary provisions, separation pitfalls, IP transfers, transitional services, employment risks, antitrust concerns and financing challenges.

Whether you are a lawyer in practice or in-house, this commercially focused new title provides a comprehensive analysis of carve-out M&A transactions.

Educational InstitutionsA Legal and Regulatory Handbook for Setting up Overseas

With growing numbers of independent schools (pre-school, primary and secondary), vocational colleges and universities seeking to establish themselves internationally, this text focuses on the complex legal and regulatory requirements of setting up an educational institution overseas.

As these institutions expand into the global arena – where there is a preference for adopting the UK model, supported by government contracts and foreign investment – traditional advisers to the independent education market increasingly need to understand the multi-disciplinary aspects of setting up abroad.

The content examines market viability, the challenges of managing an international educational business, business plans, sustaining relationships, IP issues, data protection, international employment matters, tax considerations, brand protection and corporate structure. There is also a detailed country-by-country comparative analysis which is intended to inform the decision as to where to set up an educational establishment overseas. The text is further enhanced by numerous case studies.

In summary, this comprehensive handbook will provide a trusted guide for legal and business markets to the risk profiling, structural analysis and regulatory compliance issues that face all educational organisations seeking to establish themselves internationally.

Gas and LNG Price ArbitrationsA Practical Handbook, Second Edition

Price review disputes have become an increasingly prominent feature in gas and LNG markets over the past decade. While the first wave of disputes were driven by the ‘triple whammy’ of recession, US shale gas and the liberalisation of the gas markets in Europe, further waves have followed with the development of increasingly liquid trading hubs across Europe, ongoing volatility in commodity prices and the continuing influx of liquefied natural gas (LNG) into Europe. Moreover, the trends previously seen in Europe are starting to be replicated in Asian markets. This practical second edition contains contributions from leading international arbitration practitioners and arbitrators in the field, in-house counsel and industry experts. It covers the various stages of a gas pricing dispute, from drafting the clause to triggering a review, all the way through the various stages of the arbitral process. It also builds on the first edition by containing insights into more substantive topics such as hub indexation, the impact on pricing of non-price terms like destination flexibility, and the differences between gas and LNG price reviews. Despite the large number of high-value disputes in this area, this is one of the very few publications to draw together the various strands of gas pricing disputes into one book. It is, therefore, an invaluable guide for practitioners, in-house counsel and anyone else with an interest in this area.

International ArbitrationA Practical Guide, Second Edition

The global increase in cross-border transactions has led to a rising trend in international disputes. International arbitration has become the preferred dispute resolution method, as companies and individuals increasingly favour a neutral international tribunal over foreign domestic courts.

This new edition provides a practical guide to international arbitration. Written by leading experts, this title explains the stages of the arbitration process in a straightforward manner and from a practitioner’s perspective. The authors provide guidance on drafting the arbitration agreement, commencing arbitration, selecting the arbitral tribunal, drafting pleadings and evidence, managing oral hearings, liaising with the tribunal throughout the arbitral process and enforcing the final award.

Numerous tips, examples and precedents are included to help the new practitioner or interested student understand each stage of the arbitration proceedings.

The second edition provides an update to take into account the rule changes that have been adopted by arbitral institutions in the six years since the first edition was published, and to include up-to-date guidance on topical issues such as: third-party funding in international arbitration; the increase in the number of multi-party arbitrations; procedural trends including the adoption of expedited timetables and guidance around the use of tribunal secretaries; and issues of ethics applicable to counsel and tribunals in cross-border disputes.

International Patent LitigationDeveloping an Effective Strategy, Second Edition

International patent litigation presents difficult challenges. Actions taken in one jurisdiction can have unforeseen consequences in another; the time taken in the various jurisdictions to reach a conclusion can vary considerably; and the measures and remedies available differ from country to country. The current lack of a harmonised dispute resolution system, moreover, has given rise to increasing uncertainty as novel procedures, and in some instances new legal systems are put in place.

This major title covers the timescale of proceedings, the availability of interim relief, disclosure, available remedies and costs, among other crucial factors. The book provides a useful comparison of how each jurisdiction deals with the issues that arise and the practical consequences of litigating in each location. This comparison is designed to assist those involved in international patent litigation in devising an effective strategy to manage the litigation and so maximise the chances of a successful outcome, while also reducing unnecessary costs.

New to the second edition are chapters on China, Hong Kong, Korea and India, as well as topic-based chapters on the unitary patent and the European Patent Office. This book is a concise, practical guide for all those involved in the conduct and management of international patent litigation.

Oil and Gas M&AA Practical Handbook, Second Edition

The downturn in the oil commodity price starting in 2014 had a chilling effect on oil and gas M&A. However, recent price stabilisation has improved the outlook for M&A activity, making a second edition of this book most timely.

A feature of the M&A industry has always been its variety of participants, ranging from integrated energy conglomerates to entrepreneurial frontier explorers. New entrants include state-owned oil companies, financial investors, diversifying service contractors and oil traders. With the growth of specialist stock markets, junior and independent oil companies are better able to raise acquisition finance than ever before, and companies specialising in end-of-life reservoirs are filling the spaces left as oil majors go in search of new opportunities.

Transaction types are also diverse and are completed using a variety of different deal structures. As well as providing chapters on each type of acquisition method, this book also includes an analysis of the underlying structuring decisions.

In addition, this practical guide covers a number of ancillary areas, including valuations, financing, tax and accounting. Decommissioning liability is also considered in an M&A context. A number of new chapters are also featured, covering topics such as competition law, environmental law and dealing with material adverse changes.

This comprehensive edition will prove an essential resource to anyone involved in the upstream industry M&A process including lawyers, bankers, financiers, business executives, accountants and tax advisers.

Solar PowerA Practical Handbook

In recent years, solar power has been on the march. Since the millennium, global solar power generation capacity has grown from 1GW to 300GW and the growth curve is not linear; the last five years have seen a marked acceleration as technologies become more efficient, manufacturing prices come down and more countries adopt low carbon regulatory policies in which solar power can play a key part. China alone saw an increase of installed solar power capacity of 33GW in 2016 and the China Photovoltaic Industry Association predicted an additional 20–30GW of growth by the end of 2017.

The solar power market’s dynamism is matched by its complexity. As well as advances in technology and manufacturing processes, and variations in how the technology is deployed, the regulatory and fiscal policies adopted in individual countries can vary widely. However, some common themes have emerged and the potential for further growth in solar power can perhaps be better discerned now than when the market was in its infancy.

Solar Power: A Practical Handbook provides an in-depth analysis of various aspects of solar power including its commercial, technological and regulatory characteristics. It also provides a practical guide to developing, financing, acquiring and disposing of solar power projects. Whilst being a technology which has been adopted on a global basis, each jurisdiction has its own dynamics, so the book considers the market-specific aspects of solar power in a number of key locations including China, Japan, the United States and others. The book concludes with a look at the future of solar power; its place alongside distributed generation, smart grids and power storage, and the technologies, opportunities and challenges that lie ahead.

This book, featuring chapters by leading practitioners, will be of interest to lawyers, commercial managers, financiers and other consultants.

The AIPN Joint Operating AgreementA Practical Guide

The Association of International Petroleum Negotiators (AIPN) model form joint operating agreement (JOA) was first issued in 1990 and has undergone a number of subsequent revisions. It is the most widely used (although not always the most liked) joint operating agreement in international conventional oil and gas projects today.

This book offers a pragmatic, detailed, article-by-article review of the most recent (2012) version of the conventional petroleum AIPN JOA. Each article is analysed in depth by reference to: (1) a statement of what the article says; (2) a summary of the intended meaning of the article; and (3) observations on how the article tends to be modified in practice and might be improved. The book also analyses the major appendices of the AIPN JOA, including the accounting procedure and the lifting procedures.

This book is written by experienced practitioners who together have many years of knowledge and understanding in redrafting, negotiating and applying the AIPN JOA. It will be invaluable to legal representatives, financiers, commercial managers, operational personnel and government parties who are dealing with the AIPN JOA, whether for the first time or from a position of relative familiarity.

Applicable to all EU Member States, the GDPR’s relevance spans not only organisations operating within the EU, but also those operating outside the EU.

Content includes:• full text of the GDPR’s articles and recitals;• article-by-article commentary explaining the individual provisions

and elements of each article;• a general introduction to data protection law with a focus on

issues such as: • how to adapt a compliance management programme; • whether or not to appoint a data protection officer; • ‘privacy by design’ and ‘privacy by default’; • the consequences of non-compliance with the GDPR; • data portability; and • the need for data protection impact assessments;• a detailed index.

In addition to lawyers and in-house counsel, this book is also suitable for law professors and students, and offers comprehensive coverage of this increasingly important area of data protection legislation.

The Independent BarInsights into a Unique Business Model

The business of running a barristers’ chambers has changed immensely over recent years. The traditional image of chambers has been, in many respects, confined to the past and they are now, in large part, run as modern, highly efficient businesses, often with an international reach.

The role of the barristers’ clerk continues to be vital to managing and developing the practice of independent sole practitioners operating under the umbrella of a chambers. However, the ever-changing face of the legal profession has necessitated that clerks, and chambers, adapt to the fresh demands of the new business environment. In addition to the now multi-faceted role of the clerks, the management and administrative structure of many chambers today often includes CEOs, accountants and HR and marketing teams.

This practical guide, edited by David Barnes, Director of Clerking at Atkin Chambers, provides readers with advice and in-depth insight into the management of chambers including business strategy, practice management, international development, talent management and compliance. The book features chapters from some of the most prominent clerks and CEOs currently working within the world of the Bar, as well as experts in accounting and recruitment.

Turnaround ManagementUnlocking and Preserving Value in Distressed Businesses

Over time, business distress has become more common and more unpredictable. European restructuring’s default position has historically been insolvency, but all too often this has destroyed value and brought little, if any, unsecured creditor recovery.

Influenced by US Chapter 11 and “debtor in possession”, restructuring professionals sought better ways to enhance value preservation. As a result, consensual turnaround and restructuring ahead of insolvency is becoming Europe’s new default position.

This practical book draws upon the author’s 25 years’ experience in turnaround management and guides the reader through the key issues including staunching cash burn, creating cash generation, identifying viable business elements, eliminating loss-making sectors and excess cost, and identifying a revised strategy, a credible business plan and the management team to implement them.

The importance of stakeholder management is emphasised and covers the role of creditors, suppliers, customers and employees, as well as a comprehensive explanation of how new sources of finance and debt rescheduling can leave a balance sheet consistent with the business plan. In short, Turnaround Management is the perfect guide to help you navigate the benefits of turnaround rather than insolvency.

Author Alan Tilley is currently chairman of BM&T. Before this he was managing director Europe at Glass & Associates. He is a chartered accountant, a certified turnaround professional and has won a number of turnaround awards. Alan has also held key positions at TMA Global, TMA UK, TMA Europe and the European Association of Certified Turnaround Professionals.

Bridging the Gender Pay Gap in Law Firms

Bridging the Gender Pay Gap in Law Firms focuses on law firms’ gender pay gaps and features comprehensive statistics from the top 50 law firms. This follows the UK government regulations that came into force in April 2017 which required statutory reporting of the gender pay gap for the first time.

This Special Report examines what individual law firms are doing to fix the gender pay gap, including work allocation, mentoring, maternity support, parental leave and women’s lawyers networks, with comment and analysis from HR directors and lawyers. The report also explores the tricky question of whether equity partners should also reveal their pay gap and the individual choices taken by leading city law firms. In addition, the coverage looks at the Business, Energy and Industrial Strategy Select Committee regarding what action is being taken to address the gender pay gap, as well as comment from the TUC. This cutting-edge report makes essential reading for law firm management and every practitioner wanting to understand the gender pay gap in law and how women can be supported in their roles.

Creating the Trusted Team of Advisers for a Family Business

The idea that every family business needs a trusted adviser is a popular one. This adviser is often portrayed as an individual who has a close personal relationship with the family and who coordinates the advice that they receive from a range of specialists. However, this model of a single adviser is not always the most effective when trying to build sustainable trust relationships alongside the generational changes that inevitably occur in family businesses.

In an era where every adviser is a specialist, it is necessary to explore an alternative to the individual trusted adviser. This Special Report describes how family businesses can benefit from a high-performing, interdisciplinary advisory team for trusted advice, with members sourced from different organisations, and who have demonstrably effective processes for looking after an entire family and their business interests. Members of such a team are committed to helping the family achieve success in terms of both family and business life and, like a true team, this success is dependent on all team members.

High-performance advisory teams are used in many areas of commerce, sport, science and the arts and this report demonstrates how the same can be true for advisers who serve family businesses, regardless of their specialism.

Legal Tech and Digital TransformationCompetitive Positioning and Business Models of Law Firms

This Special Report examines the impact that legal tech and digitalisation has on law firms and explores the following questions:• How do technology, legal tech and technology-based legal

services affect the formulation of strategy in traditional law firms?• How are the traditional business models of law firms affected

by legal tech and digitalisation?• Does legal tech have an impact on the competitive positioning

of law firms?• Will legal tech and client services delivery alter the distinctive

value proposition of law firms?

The introduction of legal tech and digitalisation, in combination with changing client needs, has resulted in the emergence of new market entrants and services, including alternative legal service providers (ALSPs), legal processing outsourcing companies (LPOs) and the ‘Big Four’. Will we see mergers between law firms, new entrants and legal tech companies? How will the ‘Big Four’ embed legal tech in their services and where will they try to compete?

Legal Tech and Digitalisation: Competitive Positioning and Business Models of Law Firms looks at how national and international law firms can implement technology into their business models and support it through best practices. It also discusses the different perspectives law firms should consider in regard to legal tech companies and LPOs, making essential reading for law firms seeking to transform their strategic direction.

Smart Collaboration for Lateral HiringSuccessful Strategies to Recruit and Integrate Laterals in Law Firms

One of the biggest challenges in today’s law firms is recruiting partners, experienced associates and senior business professionals into the firm – and then finding ways to integrate them, retain them and help make them sustainably productive. Yet many firms are misallocating their efforts and resources.

This Special Report offers a fresh, research-based approach for law firms to improve their lateral hiring process and results by engaging new hires in smart collaboration. Laterals who collaborate with their new colleagues are significantly more likely to stay with the firm longer, to hit or exceed their targets, and to thrive professionally. Firms need a well-constructed plan, a relentless focus on execution and clear accountability processes if they expect to help laterals achieve two-way collaboration quickly and efficiently. This Special Report offers the tools, processes and best practices for successful implementation.

Aimed at readers who aspire to take a more strategic approach to improve lateral hiring, this report will be useful for law firm leaders, hiring partners and professional executives such as chief operating officers and chief talent officers. Lawyers or business executives considering a career move across firms, and business professionals seeking to move into the legal sector, will find practical ways to boost their likelihood of success.

Sustainable Profitability in a Disrupted Legal Market

Profitability in law firms is, above all, about change. This Special Report presents practical strategies for law firms to protect and sustain their financial performance and profitability as shifting client expectations, advanced technology and global competitive forces have an increasing impact on the legal services industry. The authors demonstrate how the traditional factors influencing profitability remain valid, but must be adapted to new financial realities.

The report focuses not only on what sustainable profitability means, but also on how to achieve it in any law firm. Sustainable profitability demands more than closer attention to the numbers – it also demands new approaches to managing the profound changes in the way that law firms traditionally have worked.

GOOD PRACTICE GUIDES

Regulation, Compliance and Ethics in Law Firms

Regulation, compliance and ethics are the three common features of all well-run law firms. Without an understanding of regulatory expectations, compliance duties and ethical behaviours, a firm runs the risk of censure, adverse publicity and client dissatisfaction.

Increasingly, the Solicitors Regulation Authority (SRA) is looking for a professional and business-like response to regulatory and ethical duties. Similarly, clients want to receive legal services from well-run firms with an ethical core. Therefore, it is essential that law firm owners and managers acknowledge and have strategies to accommodate risk management, regulatory and legal compliance and ethical values in their business. They must also have a common understanding as to how this will be achieved.

This comprehensive Good Practice Guide is intended to provide lawyers and their support teams with the language, arguments and practical solutions which are needed to make this happen.
