The records show that the referenced property(PLANCOR 314) was comprised of 19.4 acres of land withimprovements near the City of Fairmont, Marion County, WestVirginia. (Exhibit 7)

The records show that improvements on the propertyconsisted of a main building (used as a manufacturing plant) andlesser buildings consisting of: cooling tower, substation, alcohol andacid storage, Hydrogen and Nitrogen storage, Incinerator, Oxygenbuilding. (Exhibit 7)

The records consulted indicate that PLANCOR 314was authorized to supply facilities to the Westinghouse ElectricManufacturing Company to produce and test radio tubes. TheDefense Plant Corporation (DFC) completed construction in July1942 and the property was used in the production of radio tubes fornearly two years. (Exhibit 2)

The records indicate that the property was declaredsurplus June 14, 1946. (Exhibit 1)

According to a WAA Status Report dated April 22,1948 all of the machinery and equipment originally installed at theplant was sold to the wartime operator for removal and the plantwas "cannibalized". (Exhibit 2)

The records show that the facility (Plancor 314),exclusive of a 90'x70' parcel of land containing a transformer(substation) was sold to Victor R. Forte Enterprises on December29, 1948. (Exhibit 17)

The records show that the General ServicesAdministration, War Assets approved the sale of the Substation ofPLANCOR 314 to Mar-Mar Corporation on December 2, 1949.(Exhibit 15)

I GENERAL INFORMATION

1. The writer was accompanied on this inspection by Mr. C. W, Erdlitz,Assistant Plant Superintendent. Prior to departure, the writer dis-cussed Protection & Maintenance with r. H. N. Horst, Plant Superinten-dent, and Mr. John Rosevear, Genernl Superintendent.

2. This property.was declared surplus June 14, 1946. he 'estinghouseElectric Corporation is leasing on a month to month basis approximately8C# of the floor area. About 65/£ of the DPC installed electronicmanufacturing equipment hee been romoved and stored in one part of thebuilding. Meetinghouse equipment has boon installed for the manufactureof various types of special purpose lifht bulbs, *he plant was usedduring the war for the manufacture of electronic equipment tubes.

3. The ^estinghouse Electric Corporation was notified by the V/AA officeof Real Property Disposal during the latter part of April that their .,lease would be cancelled, effective Ma.y_J3J.j 1947. v~ *j\

» Jr *"vSII CONSTRUCTION OF IMPROVEMENTS ^ ^- ""

1. The main building is 2451 x 360f, two story height, mostly one floor.Offices and cafeteria is located in one corner on a mezzanine or secondfloor.

a. All buildings are permanent type construction, except roof structureis wooden sheeting on wooden trusses with three ply built-up roofs.

b. flails are glased tile, floors are one-half inch Magnesite surfacingon concrete. Office walls and oeiling are veed oelotex, floors areasphaltic tile, fluorescent lighting throughout. About 25;£ of themanufacturing floor area is mechanically air cooled with Ingersoll-Rand Refrigerant Compressors.

c. Toilets and wash rooms for both ladies and men are located on thefirst floor. Glazed tile walla and floors.

d. This building is of excellent construction and generally speakingia in good condition. The only exception noted wns that the mainentrance doors are rotting vry badly.

2. Alcohol in Aoid Storage Building fr

a. This is a one story temporary type pro-fab, building, cemesto "boardson wood studding, sheet asph^ltio roof on light weight trusses andwooden sheeting, concrete floors and incandescent lighting. Buildingis in good condi tion. ^"hn entire building is sprinkled and hasvapor proof light fixtures.

3. Hydrogen and Ki tr o gen BuiIding,

a. This building is detached approximately 300 feet from main buildingand is deeply set into the side of a hill. It is approximately 45feet x 75 feet, and is mostly of structural concrete with some brickand tile, floors are of concrete. Hoof is aephnltio on woodensuper-structure and sheeting. Entire builrUnf is sprinkled find hasvapor proof incandescent light fixtures.

4. There is also an overhead water bank and incinerator on the site. Thetank hos a capacity of approximately one hundred thousand gallons.Incinerator has a capacity of approximately five ton per day. It ispermanent; type construction. Concrete nnd brick 'i. ed throughout.

Ill UTILITIES

1. Water is obtained from the ^ity of Fsirmont through an 8" main. Thesupply is supplemented by a drilled well connected to bhe overheaddistribution tank.

2. Electric current is obtained from the Monogahola-Weat Perm Service Compan

a. There are three large banks of transformers, approximately 300 KVA ORCand a number of smaller banks furnishing po^er for production work, installed equipment and lighting. It will be necessary to makearrangements to by-pass the large bank of transformers with a lightservice line when the plant is taken over for protection, andmaintenance. The demand charge under present conditions is approximate$900.00 per month. It io believed tills could be reduced to less than$200.00 per month if the large transformers wore by-passed.

3. Water is metered to the installation. No special demand charge ismads by the city. The ivater bill will autom°ticnlly drop to a low levelas steps are taken to prevent vmste.

4. Buildings have a precipitron, natural gas fired type h^'-ting system.Natural gas is also used throughout the plant for production work.This is motored to the installation and will automatically drop asproduction is discontinued. It is believed that the natural e;as supplycould be cut off entirely during the summer months,

5. If Protection and Maintenance is still a responsibility of WAA this fall,plans will have to be made for heating, or frost protection.

6. Railroad sidings parallel loading docks of all buildings. These tracksappear to be in good condition.

7. Grounds and fences

a, ^he government owned area consists of approximately 19 acres, innlosedby a 6* chain-link fence, topped with three strands of barbed wire,

b. The area is fairly level and is covered with a fairly heavy stand ofinferior types of grasses. Aie entire area was burned off thisspring as a fire prevention measure. The area is clepn and wellpoliced.

IV PROTECTION

•1. One g.uard is on duty at the entrance gate. He makes hourly rounds ofthe installation. The gate is locked for approximately 15 minutes ofeach hour while he checks the area. No watch clocks or stations areprovided.

2. It is believed that this protection is sufficient under present conditions,

4t Fire Protection

a. The buildings are equipped with wet pressure type sprinklers, flowalarm valves, eto. This system is testod weekly and appears to be inexcellent operating condition.

b. First Aid Fire Extinguishers are located at approximately 100 feetintervals throughout the main plant.

c. It is believed that one additional first aid extinguisher is neededin each of the small buildings.

The local USES office stated that sufficient personnelwould be available for protection and maintenance if additional help was needed.

Cannibalization Status. All of the machinery r,nd equipment originrllyinstalled at this plant was sold to the wartime operator for removal andthe plant is now completely cannibalized.

Description. This plancor consists of two plants, one at Bloomfield, Now Jersey,and the other at Fairmont, West Virginia. The former plcnt hr,s been disposedof and all drtn in this report pertains to the Fairmont plant only.

The property consists of 19.4- acres of fee-owned Government land andeight buildings, located near the City of Fairmont on the waters of theMonongahela River in Marion County, '.Vest Virginia. The main building isu one-story structure 243* x 360' overall size, constructed with concretefloor and foundation, wood columns, tile exterior walls, and compositionroofing. In addition to a 32,000-foot extension to the property owned byWostinghouse, there are six lessor buildings consisting of two storage build-ings, guard house, incinerator, sub-station and oxygen house. Completeutilities are furnished from independent public and private sources; and bothhighway and rail transportation is available at the plant.

Operating Background. This plancor was authorized to supply facilities tothe Wcstinghouse Electric and Mrnufacturing Company to produce and testradio tubes. Construction was completed at this plant by the Defense PlantCorporation in July 194-2, and the property was used in the production ofradio tubes for nearly two years. After wartime operations ceased, thecompany operated a portion of this plant on an interim lease basis in themanufacture of lamp shades.

Salability Factors. This plant is n complete, permanently-constructed, solf-contained unit and contains excellent facilities for a general manufacturingplant. It is located in an industrial r.rca ; nd transportation frcilitd.es areadequate. While the plant was constructed for special-purpose use, it containspossibilities for conversion to a variety of uses, as indicated by the interestexpressed in its acquisition.

The A & P Tea Company in leu sing l.his property from the purchaserfor a warehouse from which they supply retail stores in this section. Therental from the /; & P is assigned to the WAA and payments applied to themortgage installments.

The A & P is furnishing guard service when plant is not b.:ingoperated.

The Warehouse is operated 20 hours per day five doys per week.One guard is on duty at all times that Warehouse is closed. The guarddoes not carry a detex clock. Thin situation was discussed v.'ith Mr. Hutnickand he informed me thnt plans wore under way to institute regular guardservice using detex clock. He said that this service would be started inthe next thirty days. At present the guard on duty simply patrols thebuildings and grounds. There is no cost to the Government for protectionand maintenance.

n - Condition of Protection and Mii.intgn.'ince Facilities, Appliances,or Equipment.

There were only six port;.bio extinguishers distributed throughoutthe main warehousing building, i/nd no extinguishers in the other fourbuildings. These extinguishers vero properly filled. Hov.ever, Mr.Hutnickhos enough extinguishers in thn building to adequately supply all fivebuildings. These extinguishers had just been delivered to him, and hestated th-it ho would put a crew of men to work charging and placing themon the v/alis throughout the fivo buildings. They are to bo placed on thel'fulls in the places v.'hero extinguishers <vero removed by WAA at the timethe property '»vas sold to The Victor R. Forte Enterprises. I called thiscondition to the attention of tho Hood Insurance Agency v:ho is the insuringagent for the facility, and they informed me that they rauld take stepsto insure tho proper placing and charging of the extinguishers. Sprinklersystems in the main building are in service and water lines ore intact.All v/atcr lines and toilets are nov in service, including the elovatedwater tank. Hydrants re-re found in service, and the following ^aterflovtests were made during this inspection with the aid of the Frirmont WaterDepartment:

The four yard hydrants are in service, tho hose houses <-'.re fullyequipped. Hose is in fair condition arid tested satisfactorily. The A & Pemployees have been instructed in tho use of the extinguishers -md hosehouses. Tho Fire Department, of tho City of F'uirmont has n station approxi-mately three miles from the property.

The property is heated by natural gas, and there is only one boiler,v/hich furnishes heat to the banana stern go vaults and hot water to theemployees. The description of tho bailor is as follo< s:

D. General Conditions

Housekeeping is satisfactory. Mr. ilutnick stated that as theA & P h?:d not been in occupancy very long, that ho had not organized hismaintenance crev to top efficiency, but thct he expected to clea n up morein the future.

At the time of tho construction of the truck court at the rearof main building,approximately 200* of the chain mesh fence surroundingthe plant vas removed to allow the construction trucks to dump tho excessdirt from the truck eourt excavation on the river brnk. When this fencewan replaced it w?.:s accomplished in a careless manner, and tho barbed wirestrands ware not replaced at the top of the replaced section. Mr. Hutnickstated that thin would be done and tlvit the fence would be realigned andattention given to the drainage at thin point which ™^s som-jnhat disrupted.

If CHANGES SINCE PREVIOUS REPORT, October 16-17,

The city limits of Falrmont have been extended to includethis property. The sale of this property, indicated in thelast report as imminent, was not consummated; and it appearsWAA may have to continue to protect and maintain this facilityfor an extended period* Nearly all equipment has been removedfrom the premises, but some storage remains in a frame building,near the south corner of the property and on the nearby yard,The lift trucks have been removed from the facility. Nopacking materials remain. Housekeeping has been much improved.A gas meter has been reinstalled and gas is us ed to heat thegravity tank and the Guard Office, the gas pipes to theseextending through the Haifa Building. The gas-fired heater forthe Guard Office is thermostatically controlled and ventsto the outside. The rear of the heater Is in contact with wood-work and the ventpipe ia very close to combustible materialswhere it passes through. Odors indicate gas or products ofcombustion from this heater may enter the room where it islocated. This matter has been referred to the Regional safetyEngineer. There are several leaks in the roof of the MainBuilding .

Due to the lack of heat, the wet pipe automaticsprinkler systems in the Main Building have been shut off anddrained; but this was not done before some of them were damaged'by freezing. A hole has been drilled in each riser about an

Inch above the floor, the pipe tapped, and pipe plugs plateednear most of these drains* The post indicator valve controllingone riser is leaking and water la running onto the floor. Thedry pipe automatic sprinkler systems in the Alcohol and AcidStorage Building and in tiie Hydrogen and Nitrogen StorageBuilding are also out of service as no provision Is made tosupply air or an inert gas so as they may be maintained dry.Only one telephone is now provided, that being located in theGuard Office and connected directly to a public exchange. Theprivate fire alarm system and watchman1s signaling system areno longer maintained. The gates to both the main yard and tothe parking lot are now aormally kept locked. A flow test onthe yard main with the gravity tank shut off, conducted bythe Engineer at the time of this inspection, gave the followingresults: Static pressure, 76 P« a. 1.; residual pressure,28 p. s. 1. with approximately l$$ G.P.M. flowing. Guardservice is provided by a total of four oivll service employees,all of whom are special police officers. One man ia on dutyat a time, each man usually working \±Q hours a week exceptone working lj.8 hours a week. It is understood hourly roundsare made through the main building and that the outlying buildingsare visited every four hours, but no time recording equipmentis used. Each firefighter-guard is paid ftt the basic rate of$2, .69.214 per year. Other expenses are approximately, per month,as follows:

The total monthly expenditures are approximately $2,100.0

II. CONDITION OF FIRE APPLIANCES

Protection equipment ia seriously deficient and muchIs poorly maintained. All automatic sprinkler systems are outof service and many are so damaged or otherwise arranged therewould be serious waste of water if the control valves wereopened at time of fire. Most of the soda-acid and foamextinguishers and the pump tanks filled with water have beenremoved from service and placed in a small unheated room wherethey may be ejipeoted to freeze. The only foam extinguisherremaining In service has not been recharged within twelve months.The liquid level and air pressure in a number of carbon €etra-chloride extinguishers are below standard. The weights of thecarbon dioxide extinguishers within twelve months are notnoted on the attached tags. It appears the gravity tank is notkept filled at all times as It took 29 minutes for It to beoverflowed at the time of this inspection.

III. LOSS RECORD SINCE PREVIOUS REPORT

It is understood no fires have occurred since the timeof last inspection.

IV. ADMINISTRATION

Housekeeping is much improved but is "below standardat a few locations. An employee waa smoking In the yard, whichIs not a violation of existing regulations but which is oo nsideredunsatisfactory. General maintenance is satisfactory at mostlocations, but the roof of the Main Building is leaking at severalpoints. Considerable fire protection equipment is not beingproperly maintained.

V. SUMMARY

This property includes a large one-high-story buildingof wood frame construction except tile enclosure walls and anumber of small one-story buildings of tile, asbestos on woodframe, and wood frame. The plant is Idle and nearly allequipment has been removed. Hazards are, in general, light; butnot all are properly oared for. Protection facilities areinadequate and considerable extinguishing equipment is notproperly maintained.

VI. RECOMMENDATIONS

Continued from Last Report:

10 The outside hose protection should receive thefollowing attention:

a. Test all fire hose at a pressure of 175 poundsper square inch for not less than five minutes,replacing any defective sections.

b. Provide a hand-drawn hose reel equipped with ^iJOO feet of 2 -lnch cotton, rubber-lined hoseand accessory equipment. This is needed due to *the wide spacing of hydrants and the size of theMain Building.

2. Some of the vents from gas-fired heating devicesare not properly safeguarded where they pass through or nearcombustible construction. All should be checked and necessaryclearance or Insulation provided as required before theya reagain used.

3* (Revised) The combustible trash piled on theyard near the southeast end of the Main Building should beremoved and safely disposed of. Arrangements should be madefor safely disposing of all trash in future, not burning itin the open as has been done in the past.

lj.t Provide adequate floor level ventilation as wellas the roof level ventilation for the Gas M0ter House,

5» (Revised) The first aid fire extinguishing devicesshould receive the following attention!

a. The 2£-gallon soda-acid and foam extinguishersshould be discharged, cleaned, recharged, tagged anddated. They should be divided into two groups ofequal numbers and be placed on hooks in the GuardOffice and Valve House under the gravity tank, theonly places where heat is provided, until the dangerof freezing has passed. During warm weather allbut one soda-acid extinguisher, to remain in each ofthese buildings, should be redistributed in the MainBuilding, returning them to heated locations duringcold weather.

b. Add additional fluid and pump up the air pressureon the carbon tetraohloride extinguishers requiring it.

o» Weigh all of the carbon dioxide extinguishers andnote the weight and date on the tag attached to each.Any which are not properly charged should be removedfrom service and stored.

d. The eight 2 -gallon pump tanks, part of which arefilled with water, located In an unheated room Inthe Main Building, should be tested, any necessaryrepairs made, filled with calcium chloride solution,and distributed to the best advantage.

6* (Revised) The guard service should receive thefollowing attention^

a* Provide a portable watcholock and install asufficient number of key stations to requlre completecoverage of the property. All stations shouldfbevisited hourly at all times.

b* The guards should be provided with sufficientflashlights and spare batteries and bulbs for them.Each guard should carry a flashlight with him at alltimes while he Is on duty, even during daylight hours*

o. Rie guards obuld more adequately observe thepremises if a few large lights were maintained onposts in the yard or on the other walls of thebuildings. Serious consideration should be given tomaintaining such equipment.

d. Serious consideration should be given to maintaining,headquarters for the guards in the Main Building aslittle can toe observed from the Guard Office at theplant entrance. A push-button at the entrance,actuating a noise-producing device in the Main Building,should be installed,

7. (Revised) Housekeeping should be improved byremoving the oil drum and open pans and can of oil and the smallJars of chemicals and trash from the section where the aircompressors were previously installed in the Main Building andby removing the trash from an intermediate deck and heatingequipment deck near the northeast side of the Main Buildingto the southeast of the offices.

8. The tall grass and weeds within 100 feet of allbuildings should be out and removed.

9» It Is understood the gravity tank had not beenfilled for a considerable period prior to the time of thisInspection, and it required 29 minutes to overflow it. Itshould be overflowed at least weekly.

10. The automatic sprinklers should receive thefollowing attention:

a. Immediatelyr epair the systems which have beendamaged by freezing or otherwise, placing them insuch condition that water can be turned into them.

b. Stop the leak throught he post indicator valvecontrolling the riser at the southwest aide of theMain Building nearest the northwest end, and pump outthe riser.

o. Screw auxiliary drain plug into recently madeopening near base of each of the risers,

d. Keep main drain valve for each sprinkler systemonly slightly open so that when the control valve*are opened at time of fire little water will be wastedthrough the dra ins *

e. As soon as the danger of freezing is pastthis Spring, restore the wet pipe sprinkler systemsto full commission and turn water into the drypipe systems, shutting off the alarms for the drysystems.

f. In case of fire occurring when the sprinklersare shut off, as soon as the alarm is transmittedto the fire department (assuming there is onlyone person to do both), open the control valvesfor the sprinklers in the a ree where the fire islocated and in adjoining sections.

g. If it appears that this property will not bedisposed of by the time freezing weather isexpected next Fall, prior to that time installapproved dry valves and accessory equipment andmaintain all sprinkler systems in service. Shouldthis not be done by freezing weather, shut offand completely drain the sprinkler systems toprevent freezing.

11. Rack hose in all hose houses in standard manner.

12. Provide 30 additional 2 -gallon or larger pump tanksfilled with calcium chloride solution, placing two in each ofthe five small buildings near the southeast end of the propertyand distributing the remainder in the Main Building.

13. Smoking should be prohibited in the yard as wellas in all buildings except the Guard Office. If the headquartersfor the guards is moved into the Main Building, smoking shouldbe permitted in the room selected for this use.

lif.* Provide clearance of at least 36 inches betweenthe heating stove in the Guard Office and any combustiblematerials or provide a clearance of^nches and protect thecorabustllbe materials with translte or metal and a 1-inchventilated air space. Clearance of at least eighteen inchesshould be provided between the vent stack and any combustiblematerials.

15« Loose wires, apparently formerly extending toequipment which has been removed from t he Main Building,, shouldbe removed or the ends adequately protected and the wiressecured out of reach from the floor.

16. Repairs should be made to stop the roof leaks.

17. The current to the sterilizing lamps for theunused toilet seats should be turned off.

18. The work of installing smaller transformers anddoing other electrical work, for which a contract has beengiven, should be expedited as an economy measure.

We have your letter of June £8, 19)48 in which you furnish,pursuant to the request made in our letter of June 21, 19U8,additional information concerning the intended use of the above-entitled property by Victor R, Forte Enterprises, the proposedpurchaser. You request that we advise you, in light of thisadditional information, whether a sale of this property to VictorR» Forte Enterprises irould violate the antitrust laws within themeaning of Section 20 of the Surplus Property Act.

We have also received, from the Great Atlantic & Pacific TeaCompany, a telegraphed statement concerning its proposed use of aportion of Plancor 3lU in the event it leases the same from theprospective purchaser*

From the information submitted to us it appears that virtuallyall space in the existing buildings of Plancor Jliv, and a majorportion of the land area of this ifecility, would be leased to theA&P concern, and that an additional portion of the land area wouldbe leased to a trucking concern which holds a hauling contract withA&P.

The A&P now represents that no expansion in its business isintended or contemplated as a result of its proposed leasing ofthis property. It also Indicates, however, that its use of thepl&ncor property would mean expanded warehousing space, permittingsubstantial shipments of merchandise to be made direct to the Fair-mont area, with resulting avoidance of high trucking costs and

spoilage now involved in shipping such merchandise from Pittsburgh.Although the present plans of A&P may not inwlve an expansionprogram in the Fairmont area as extensive as originally contemplated,the leasing of the planoor property admittedly would involve afurthering of the A&P operations. Under all of the circumstances,we feel that the proposed use of this property by the A&P viould tondto further the program, violative of the antitrust laws, to which wereferred in our letter of December Of 19 7 to the Administration,

Accordingly, after carefully reconsidering this matter in lightof the additional information which has been made available to us,we must again advise you that a sale of this property to Victor R.Forte Enterprises, for the purpose of leasing a considerable portionthereof to the Great Atlantic & Pacific Tea Company, would in ourview violate the antitrust laws within the moaning of Section 20 ofthe Surplus Property Act.

We haTe your letter of June 21, 1948, inquiring whethR. Forte toterprlflefl has, in fact, arranged to lease Plancor 3H at Fairmont,Vest Virginia, to the Great Atlantic & Paoifio Tea Company. It is our under-standing, after investigating this matter, that the Victor R. Forte Enterpriseswrote to UB in good faith on March 5, 1948, stating!

"Our purpose in acquiring this property would followalong the lines of a holding and leasing company—using partof thl» plant for our own enterprises, and the balance to beleased to manufacturing or warehousing firms, or both, so asto furnish a proper return on our investment. Our own workwould consist of servicing equipment used in our own miningindustries, as well as for others.**

At that" time, Victor R. Forte Enterprises expected to use some of theproperties for themselves and lease the rest and had no specific tenants in mind*Since then, they wade various Inquiries, Including Daisy Air Rifle who could notdecide for Beveral months. Victor R. Forte IB now negotiating arrangements bywhich most of the buildings would be leaBed to the flftPj a part of the buildingwould be leased to someone else for the operation of a cafeteria) part of theland would be leased to a trucking comparer and a sizeable building be constructedthereon for the use of the trucking company, and part of the land would be usedby the Victor R. The Atlantic & Pacific Tea Company has stated verbally to theR. Forte Enterprises and to members of the staff of this Organization 01long-distance telephone that their operations in subleasing pert of the3H* ft» presently planned, irould not involve any new or additional openor aerrices but instead transfers of operations now in several places,state that this results from changes in operations and changes in planshave taken place between November 5, 1947 , when you received a letter fiMr* Janes B. Hayes of Atlantic & Pacific Tea Company and the present dajorder that you might have this information direct from them at the earl:possible date, we requested that they write or telegraph you in full onsubject*

As you will note from the letter of Victor R, Forte KnterprisJune 22, 1948, the Atlantic ft Pacific Tea Company have no financial intin the proposed purchase by Victor R. Forte Enterprises of the plant of314i nor do they have any interest in the Victor R. Forte Corporation.distinguishes this transaction from that of the Sidle interests. ForthVictor R. Forte Enterprises actually propose to use part of the propertselves.

The Peoples First National Bank and Trust Company of Plttsbuz'are to do the financing, have given Victor R. Forte Enterprises a commigood until July 2, 1948. We would, therefore, very much appreciate beiformed before that date whether in the opinion of the Department of Jucsale of this property to Victor R, Forte Enterprises would violate thetrust laws within tho meaning of Section 20 of the Surplus Property Act
