Official Rules for the Hotwire Great Weekend Getaway Contest

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCESOFWINNING.

1. Eligibility: The Contest is open only to legal residents of the United States and Canada(excluding Quebec) who are at least eighteen (18) years old. Employees of Hotwire Inc.,Woobox, as well as the immediate family (spouse, parents, siblings, and children) andhousehold members of those employees, are not eligible to enter.

2. Sponsor: The Contest is sponsored by Hotwire Inc., 655 Montgomery Street, SanFrancisco, CA 94111 (the Sponsor). The Contest is in no way sponsored, endorsed,administered by, or associated with Facebook.

3. Agreement to Official Rules: By entering the Contest, you indicate your full andunconditional agreement to, and acceptance of, (a) these Official Rules and (b) Sponsorsdecisions, which are final and binding. Winning a prize is contingent upon fulfilling all

requirements set forth herein.

4. How to Enter:

a. Create and Submit Your Entry: Take an original photograph. Visit theHotwire Facebook page and like the page, if you dont already. Select theContest Application and follow the instructions to fill out an entry form andupload a photo that depicts your ideal vacation (your Entry). Only Entriessubmitted between 12:00 AM PT on May 8, 2013 and 11:59 PM PT on May 22,2013 (the Entry Period) will be eligible. There is a limit of one (1) Entry perperson. Sponsor reserves the right to edit or remove any Entry for any reason.

Please see the Technical and Content Requirements for more details.

b. Technical Requirements: Your Entry must be in one of the following image fileformats: JPG; PNG; or GIF. Your Entry may not exceed 50MB in size.

c. Content Requirements: Please make sure your Entry does not: (a) violate anythird party rights, including, but not limited to, copyrights, trademark rights, orrights of privacy and publicity; (b) contain any defamatory statements, threats, orfoul language; (c) prominently feature any trademarks or logos; (d) portraySponsor or its products in a negative light; or (e) contain any content that isobscene, indecent, or otherwise inappropriate, as determined by Sponsor, in itssole discretion.

d. Representations and Warranties: By entering, you represent and warrant that:(a) the Entry is an original work created solely by you for entry in the Contest; (b)you own all rights to the Entry; (c) your Entry does not violate any third partysrights; and (d) to the extent the Entry features any individual other than yourself,you have obtained written permission from each individual to grant the rights toSponsor described in the Sponsors Rights to Entries section below, and canmake written copies of such permissions available to Sponsor upon request.

5. Sponsors Rights to Entries: By entering, you: (a) irrevocably grant Sponsor, its agents,licensees, and assigns the unconditional and perpetual (non-exclusive) right andpermission to copyright, reproduce, encode, store, copy, transmit, publish, post,broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit,and otherwise use your Entry as-is or as-edited (with or without using your name) in any

media throughout the world for any purpose, without limitation, and without additionalreview, compensation, or approval from you or any other party; (b) forever waive anyrights of copyrights, trademark rights, privacy rights, and any other legal or moral rightsthat may preclude Sponsors use of your Entry, or require any further permission forSponsor to use the Entry; and (c) agree not to instigate, support, maintain, or authorizeany action, claim, or lawsuit against Sponsor on the grounds that any use of the Entry, orany derivative works, infringes any of your rights as creator of the Entry, including,without limitation, copyrights, trademark rights, and moral rights. Sponsor is under noobligation to use or publicize your entry in any way.

6. Winner Selection Process:

a. Voting Process: All Entries uploaded to the Contest Application are subject toSponsors review. Between May 8, 2013 and May 27, 2013, Sponsor will post forpublic voting all Entries that comply with the Contest theme and Technical andContent Requirements, and members of the public will be invited to vote for theirfavorite Submission. There is a limit of one (1) vote per person per day.Individuals may not use more than one (1) Facebook account to vote. The ten(10) photos with the highest number of votes by the end of the Entry Period willbe selected as finalists, subject to verification and compliance with these OfficialRules. In the event of a tie, Sponsor will determine the finalist at its owndiscretion.

b. Voting Fraud: You may not attempt to obtain votes by any fraudulent orinappropriate means, including, without limitation, by: (i) circumventing (orencouraging others to circumvent) the vote limits; (ii) using any automatedsystem to vote; or (iii) offering any inducements to others in exchange for votes.Sponsor, in its sole discretion, reserves the right to reject any votes obtained

through fraudulent or inappropriate means.

c. Judging: After the Entry Period, Sponsor will evaluate all entries and select one(1) potential winner based on the following Judging Criteria: creativity, relevanceto travel, and overall impression. The odds of being selected out of the ten (10)finalists depend on the performance of each entrant.

7. Notification and Requirements of Potential Winner: Sponsor will attempt to notifythe potential winner on May 31, 2013. If the potential winner does not respond withinfive (5) business days, the Sponsor will select an alternate potential winner in his/herplace according to the Judging Criteria. In order to win a prize, a potential winner maybe required to complete and return the following documents within five (5) businessdays: (a) an affidavit of eligibility and release; and (b) a release assigning and transferringall rights, title, and interest in the Entry to Sponsor. If a potential winner is a minor,

his/her parent or legal guardian will be required to sign the documents on his/her behalf.Potential winners traveling companion (and parent/legal guardian if the travelingcompanion is a minor) must also complete and return a release of liability within five (5)business days of Sponsors attempted notification of winner. If a potential winner fails toreturn these documents on time, an alternate potential winner may be selected in his/her

place based on the Judging Criteria. Only three (3) alternate potential winners may becontacted.

8. Prize: One (1) winner will receive a $3,000 credit towards the booking of one trip fortwo people on Hotwire. The trip must be booked in a single transaction by August 31,2013, for travel within 12 months of the booking date. To redeem the credit, the winnermust book the trip with a Hotwire customer care representative. If the booking costs lessthan $3,000, the winner will forfeit the remainder of the credit. A winner is responsiblefor paying any applicable income taxes and any and all other costs and expenses notlisted above. Any prize details not specified above will be determined by Sponsor, in itssole discretion. A prize may not be transferred and must be accepted as awarded. Awinner may not request cash or a substitute prize; however, Sponsor reserves the right tosubstitute a prize with another prize of equal or greater value if the prize is not availablefor any reason, as determined by Sponsor, in its sole discretion.

9. General Conditions: In the event that the operation, security, or administration of theContest is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspendthe Contest to address the impairment and then resume the Contest; or (b) award the prizeaccording to the Judging Criteria set forth above from among the eligible entries receivedup to the time of the impairment (with or without reference to the public votes). Sponsorreserves the right, in its sole discretion, to disqualify and seek damages from anyindividual who tampers with the operation of the Contest, violates these Official Rules, oracts in a disruptive or unsportsmanlike manner. Sponsors failure to enforce any term of

these Official Rules shall not constitute a waiver of that provision. Proof of sending anycommunication to Sponsor by mail shall not be deemed proof of receipt of thatcommunication by Sponsor. In the event of a dispute as to the owner of an online entry,the authorized account holder of the e-mail address used to enter will be deemed theowner. The Contest is subject to federal, state, local, and provincial laws and regulationsand is void where prohibited.

10. Release and Limitations of Liability: By participating in the Contest, you agree torelease and hold harmless Sponsor, Facebook, their respective parents, subsidiaries,affiliates, and each of their respective officers, directors, employees, and agents (theReleased Parties) from and against any claim or cause of action arising out of

participation in the Contest or receipt or use of any prize, including, but not limited to: (a)unauthorized human intervention in the Contest (including the voting process); (b)technical errors; (c) printing errors; (d) lost, late, postage-due, misdirected, orundeliverable mail; (e) errors in the administration of the Contest or the processing ofEntries; or (f) injury or damage to persons or property. You further agree to indemnify,release, and hold the Released Parties harmless from any Claims that their use of yourEntry (as contemplated herein) violates or infringes upon the rights of any third party.

You waive the right to claim any damages whatsoever, including, but not limited to,punitive, consequential, direct, or indirect damages.

11. Privacy and Publicity: The information you provide when you enter is provided toSponsor, not to Facebook. Any information you submit as part of the Contest will be

treated in accordance with Sponsors Privacy Policy. Except where prohibited,participation in the Contest constitutes your consent to Sponsors use of your name,likeness, voice, opinions, biographical information, and state of residence for promotionalpurposes in any media without further payment or consideration.

12. Disputes: Except where prohibited, you agree that any and all disputes, claims andcauses of action arising out of, or connected with, the Contest or any prize awarded shallbe resolved individually, without resort to any form of class action, and exclusively bythe appropriate court located in California. All issues and questions concerning theconstruction, validity, interpretation and enforceability of these Official Rules, yourrights and obligations, or the rights and obligations of Sponsor in connection with theContest, shall be governed by, and construed in accordance with, the laws of California,without giving effect to any choice of law or conflict of law rules (whether of Californiaor any other jurisdiction), which would cause the application of the laws of anyjurisdiction other than California.

13. Results: For the name of the winner, send a self-addressed, stamped envelope toChristina Wu, Hotwire, 655 Montgomery St., #600, San Francisco, CA 94111. Requestsmust be received within four (4) weeks of the end of the Entry Period.
