1.01. Scope of Bid: The District intends to award a non-exclusive contract for multimedia equipment, installation, calibration and programming for various new and upgraded multimedia classrooms, multimedia flat screen display areas and sound systems throughout the Foothill - De Anza Community College District. The District is composed of two colleges, De Anza and Foothill College. The new Foothill College Education Center at Moffett Field will be included on this bid. The number of multimedia classrooms, display areas and sound systems will be dependent upon available funds; the current estimate is 100 analog or digital hybrid classrooms which will be new or full upgrade, 100 standard classrooms that will require a partial upgrade consisting of the projector, screen and document camera, 13 standard classrooms with two projectors and 25 digital media classrooms. The District does not guarantee any particular quantities. Bid prices must include all delivery fees, sales tax, shipping and handling, freight, and miscellaneous non-specified installation materials at no additional charge to the District. The successful bidder will be awarded a three-year contract with the right to renew for up to two (2) additional years. Vendors must bid all line items listed in the bid forms, in Section 6 within this document in order for your bid to be considered responsive. Each classroom will be such that the equipment is installed as a “turnkey” system. The vendor will be responsible for initial set up and configuration of all equipment detailed in the bid forms. All electrical work such as pulling and terminating cabling for multimedia systems must be performed by a California licensed contractor (see Section 1.04, Wage Rates). In order for your bid to be responsive, all bidders must submit the “Agreement To Be Bound” and “Agreement of Contractors” with their Bid Proposals (see Section 2.02, Project Stabilization/Construction Careers Program Agreement). 1.02 Ordering Process: The District will require firm installation quotations in accordance with Section 1.07 from the successful bidder on each specific job as they arise based upon the equipment, labor and material rates offered on the enclosed bid forms in Section 6. All labor quotes will be considered as “not to exceed” values. The District will only pay for those documented hours based on actual work. The vendor is required to provide a multimedia turnkey system that includes but is

not limited to the installation, programming, calibration, and testing of all equipment as identified on a District purchase order and that meets the agreed upon scope provided in the vendor’s quote in accordance with the provided drawings (see Section 7, Appendix Wiring Diagrams). 1.03. Term of the Agreement: The agreement will be effective for three years from approximately July 15, 2013 through July 14, 2016. The District at its sole option may renew this agreement for up to two additional years. The District may terminate this contract at any time for any reason by providing 30 days notice to Contractor. Termination will be effective on the date specified in the notice. In the event of termination under this paragraph, Contractor shall be paid for all work provided to the date of termination. 1.04. Wage Rates: All low voltage electrical work must be performed by a contractor with a current California C-7 license. All high voltage electrical work must be performed by a contractor with a current California C-10 license, (see Standard Instructions and Conditions, Section II, Paragraph 21, Prevailing Wages). The Communication and System Installer/Technician (C-7 license) and the high voltage Electrician (C-10 license) must be paid the applicable State of California D.I.R. Prevailing Wage rate. See http://www.dir.ca.gov/dlsr/DPreWageDetermination.htm for information. The non-prevailing labor rates (Project Manager/Field Engineer, Programmer, CAD Technician) shall remain firm for 12 months following the award. After the initial year, the non-prevailing labor hourly rates may be annually adjusted in proportion to changes of the U.S. Department of Labor, Bureau of Labor Statistics Consumer Price Index for Urban Wage Earners and Clerical Workers for the San Francisco-Oakland-San Jose Region’s annual average index published just prior to the month in which the adjustment is to become effective. The prevailing wage labor rates are to remain firm until the vendor provides the documentation showing that the State of California, Department of Industrial Relations has changed the applicable prevailing wage rates and requests equal labor rate increases. 1.05. Equipment Pricing and Model Changes: All equipment net prices shall be firm for a minimum of 36 months following the award. The District must have written notice no less than 30 days in advance of any price increase. Equipment net prices must be the lower of the bid price or the current published list price less the bid discount listed in Section 6, Bid Forms. Equipment net price increases shall be limited to the actual cost increase incurred by the vendor and must be supported by written evidence from the manufacturer such as revised published price lists for the items that are changing. Failure of the vendor to provide documentation satisfactory to the

District shall give the District the right to require the vendor to continue to sell to the District without the requested price increase until the vendor submits such documentation. If the list price for an item goes down, the District shall receive the lowest list price with the same discount specified on the attached bid forms. If a manufacture’s model number changes, the District’s price will be determined by deducting at least the same discount offered on the original item from the vendor’s lowest published list price for the replacement item. In the event that the District would like to add alternate makes and models to the contract that were not in the original bid, the District will provide a list of the added items to the vendor for a quote and the District may add them into the contract. The discounts must be equal to or better than the discounts for similar items listed in Section 6, Bid Forms. Bidders must include with their bid on company letterhead a list of related equipment or lines of equipment and the percentage discount off the current published price list prices that the District would receive during the first three years of the contract. For example, all XYZ products will be ____% off list price. 1.06. Contractor Renewal Provisions: Prior to the District exercises its right to renew the contract, the District will consider vendor requests for increases in equipment net prices and labor rates that are in accordance with this bid document. 1.07. Equals or Substitutions: In order to match other products in use, the District ETS Department has standardized on the following equipment. The District will only accept bids for the following equipment, no substitutions will be allowed:

• Extron control panels, switchers, extenders and cables • Crestron touch panels, controllers, switchers and cables • Panasonic projectors • Christie projectors • Chief Manufacturing Projector and Flat Screen Mounts • Wolfvision document cameras • Listen Technology Assistive Listening Systems • Shure Wireless Microphone Systems • Samsung and Sharp professional flat screen displays • Spectrum Industries Media Manager Lecterns • Worksafe Cable-Lock Systems

For the remainder of the equipment, the District reserves the right to permit exceptions to or deviations from the specification if an article offered substantially meets or exceeds the specifications including warranty provisions

and is deemed by the District to be satisfactory for its intended use. The District will be the sole judge in determining acceptable equals. The bidder must clearly indicate in his bid the manufacturer and model numbers offered. Items offered must be equipped with all necessary parts, whether standard or optional equipment, to provide all features and capabilities required by these specifications. Bidders unable or unwilling to comply with this requirement shall be considered non-responsive and shall not be considered for award. All exceptions to the specifications must be explained in writing by the bidder on company letterhead. The letter must be referenced on and attached to the bid. The vendor must include the manufacturer name, product name, and model number for each proposed equal. Additionally, for each proposed equal, the bidder must state that the equal item does deviate from the specified item or that it does not. If the equal item does deviate, the bidder must disclose all deviations. Furthermore, for all proposed equals, the bidder must submit complete product literature and the technical specifications. Bidder may be required, at the District’s option to submit a sample of the proposed equipment for testing purposes at no charge. Equipment shall be returned upon request at bidder’s expense. The sample equipment must be supplied within seven (7) calendar days of District’s request. 1.08. Hours of Work: Bidder must install the equipment during regular District business hours (Monday through Friday, 8AM – 5PM). Additionally, upon the District’s written request, the bidder must install equipment on evenings and/or weekends. The bidder must schedule installation with the District’s Instructional Technology Systems Engineer. 1.09. Project/Quote Scheduling Requirements: After contract award, all communications from the District to the successful vendor shall be in the form of an email. All questions sent by the District’s Instructional Technology Systems Engineer (Bill Matsumoto), must be acknowledged by the vendor within two business days. The acknowledgement must be in the form of an email to the District’s Instructional Technology Systems Engineer (ITSE) with a carbon copy to the contract administrator in the District Purchasing Office ([email protected]). The email will include an answer to the question(s) or an estimate of when an answer will be available. If a quote for a room is needed, an email will be sent to the vendor from the District’s ITSE with a copy to Purchasing describing the project and the dates and times the work must be performed. If no site walk is required, the vendor must

email the quote to the District’s ITSE with a carbon copy to the contract administrator in Purchasing within five (5) business days. If a site walk is required, the site walk must be completed within five (5) business days from the initial request. The completed quote must be must be emailed to the ITSE with a cc to Purchasing within five (5) business days after the site walk. Exceptions will be made to allow for classroom scheduling if agreed upon by the District’s ITSE. Delivery and installation of each project must be completed no later than forty-five (45) calendar days after receipt of the District’s Purchase Order, unless otherwise mutually agreed upon by the District and the successful vendor. All equipment shall be stored by the vendor until it is ready for installation at the District location. Within one business day after receipt of a PO, the vendor shall acknowledge the receipt via email to the District’s Instructional Technology Systems Engineer with a copy to Purchasing Services ([email protected]). Within ten (10) business days after receipt of a PO, the vendor will provide confirmation that the equipment procurement is on schedule by email to the ITSE with a copy to Purchasing Services. Any delay factors must be noted at this time, along with estimates of availability and any effect on project scheduling. After notification of a delay, the Vendor and the District will attempt to a mutual revised installation date. If the parties cannot agree, the Vendor’s failure to complete the project within 60 days, liquidated damages will apply (See Section 1.13, Liquidated Damages). 1.10. Evidence of Qualifications, Responsibility and Resources: The winning vendor shall have a local office that shall be able to comply with the warranty requirement identified in section 1.12. The vendor must assign an Account Manager and a Project Manager or Lead Installer with valid CTS-I (Certified Technology Specialist-Installation) certification to the FHDA District. The vendor shall also have at least one design engineer with a valid CTS-D (Certified Technology Specialist - Design) certification and Crestron DM Design certification. In addition, all control system programming must be done a Crestron Certified Programmer. All bidders shall submit with their bid a list of CTS certified personnel, a list of current subcontractors, and Crestron Certified Programmer (see Section 6, Bid Forms) who will perform work under this contract. Subcontractors hired by the vendor must submit references and shall be pre-approved by the District before any work shall be performed. Subcontractors shall be subject to periodic review for quality of workmanship. On-site project managers or lead installers provided by the subcontractor must hold a valid CTS certification.

Bidders must also provide at least three references of the bidder's qualification to perform the proposed contract (see Section 6, Exhibit R). Failure to submit satisfactory evidence to the District of a bidder's responsibility to perform the proposed contract may result in rejection of the bid. Upon the request of the District, a bidder shall submit promptly to the District satisfactory evidence showing the bidder's financial resources. Due to a 12-week quarter system, scheduling of the rooms are often very tight (see Educational Calendar in Section 7, Appendix), therefore all successful bidders must have ample certified staff to install 10 standard multimedia rooms per business week during winter and spring breaks. The winning bidder shall demonstrate possession of the necessary resources by providing a list of certified employees before a contract shall be awarded or included with your bid document. Sub-contractors hired by the winning bidder must submit references and be pre-approved by the District and subject to periodic review for quality of workmanship. Upon the request of the District, a bidder shall submit promptly to the District satisfactory evidence showing the bidder's financial resources, labor resources and at least three references of the bidder's qualification to perform the proposed contract. Failure to submit satisfactory evidence to the District of a bidder's responsibility to perform the proposed contract may result in rejection of the bid. Bidder’s must also provide at least three references of the bidder's qualification to perform the proposed contract (see Section 6, Exhibit R). Failure to submit satisfactory evidence to the District of a bidder's responsibility to perform the proposed contract may result in rejection of the bid. Upon the request of the District, a bidder shall submit promptly to the District satisfactory evidence showing the bidder's financial resources. 1.11. Basis of Award: Pursuant to Public Contract Code 20651, award of this contract will be made to the lowest responsive and responsible bidder whose bid conforms to the requirements of this Invitation to Bid. The lowest bidder is defined as the bidder who offers the lowest total price on the Equipment and Labor Bid Pricing Sheets and has provided a quote for all line items (see the Bid Forms in Section 6). The award shall be “ALL OR NONE”. Any modification or alteration of terms or conditions contained in this Invitation to Bid will be cause for rejection of the bid. 1.12.0 Warranty and Warranty Service: The bidder shall be an authorized dealer of the equipment offered. The successful bidder shall supply a minimum of twelve (12) months or the length of the manufacturer warranty (which ever is longer) of on-site warranty of all equipment and installation, including all parts and labor for the entire "turn-key" system, excluding equipment furnished by the District. The warranty period shall begin upon installation of all the equipment and acceptance by the District

ITSE. The District will shall provide initial troubleshooting services prior to contacting the vendor. Classroom schedules are often impacted and may offer limited access to some classrooms. Therefore, on-site service shall be scheduled within five business days of initial contact. This will allow the vendor to schedule service calls during any day of the week. The vendor, at the District’s discretion, will replace failed equipment using a similar or exact model from the District’s equipment inventory. If the failed unit is replaced with an exact same model from the District's inventory, then the repaired unit may be returned to the District's equipment inventory. If the failed unit is replaced with a different model from the District's inventory, then the repaired/replaced unit must be reinstalled in the room in which it was removed from. During the warranty period it shall be the responsibility of the Bidder to facilitate all warranty claims for equipment purchased as a result of this contract. Items requiring repair or replacement during the on-site warranty period shall be serviced at an authorized warranty repair station, or by an authorized dealer at the District site without charge to the District. Classrooms certified as “All Extron” designs using all Extron parts for the control, signal distribution, switching, audio and speaker system shall carry a 2 year extended manufacturer warranty from Extron for a total of 5 years.   The vender will advise Extron of the relevant invoice (s) upon receipt so that Extron can then adjust its CRM system of the applicable shipped product’s serial numbers and extend to a total of 5 years warranty from date of shipment. Designs that are “All Extron” are as follows: Extron Analog Classroom Extron Digital Classroom Extron Digital Dual Projection Classroom Extron Digital Dual Mirror Projection Classroom In some cases, the District will remove the defective equipment and install replacement equipment in order to minimize classroom down time. However, if the District is unable to perform this task then it is ultimately the Bidder’s responsibility to remove the defective equipment under warranty and install the replacement equipment at no charge to the District. Requests for warranty service shall be made directly to the successful bidder. 1.12.1 Non-Warranty Service:

The District will require non-warranty service on a time and materials basis. The vendor will provide a quote for the specified parts and labor. Upon written approval from the District, the vendor will perform the service. When the service is completed the vendor will provide an invoice and the District will pay on a Net 30 basis. 1.13. Liquidated Damages: Every effort will be made to accommodate the classroom installation schedule and equipment availability issues as long as the District is informed in advance. In accordance with Section 1.09, Project/Quote Scheduling Requirements, if a delay occurs without reason, proper notification or mutual consent of the parties, liquidated damages of $50 per business day per project will be assessed. 1.14. Non-Mandatory Pre-bid Tour/Conference: All bidders have an option of attending a non-mandatory Pre-Bid tour/conference, which is scheduled for Friday, May 17, 2013 at 10:00 AM. Force Majeure Clause: The District and the bidder shall be excused from performance hereunder during the time and to the extent that they are prevented from performance by act of God or of the public enemy, fire, storm, flood, explosion, earthquake, hurricane, riots, wars, hostilities, civil commotion, strikes or labor disputes, interruption of supply, law or regulation, court order, governmental action, or any other cause beyond the control of that party provided that satisfactory evidence thereof is presented to other party which establishes that the nonperformance is not due to the fault or neglect of the non-performing party. 1.16. Acceptance and Payment: Payment will be made within thirty (30) days after the equipment is installed by the vendor and accepted by the District. All invoices must be sent to the attention of Bill Matsumoto of the FHDA ETS department or as directed on an authorized District Purchase Order. 1.17. Code Compliance:

1.17.02. Code compliance is mandatory. The specifications do not permit acceptance of the product unless it conforms to these codes. Where the product specification is shown to exceed minimum code requirements, comply with the specifications.

1.18. DRUG-FREE Workplace: The contractor, by entering an agreement with the District, does swear under penalty of perjury under the laws of the State of California that it is in compliance with Government Code Section 8355 in matters relating to providing a drug-free workplace. The contractor shall: a. Publish a statement notifying employees that unlawful manufacture,

distribution, dispensation, possession, or use of a controlled substance is prohibited and specifying actions to be taken against employees for violation as require by Government Code Section 8355(a).

b. Establish a Drug-Free Awareness Program as required by Government

Code Section 8355(b), to inform employees about all of the following: 1. The dangers of drug abuse in the workplace,

2. The person’s or organization’s policy of maintaining a drug free workplace,

3. Any available counseling, rehabilitation and employee assistance programs, and 4. Penalties that may be imposed upon employees for drug abuse

violations.

c. Provide as required by Government Code Section 8355(c) that every employee who works on the proposed contract or grant: 1. Will receive a copy of the company's drug-free policy statement,

and 2. Will agree to abide by the terms of the company’s statement as a

condition of employment on the contract or grant. 1.19. Piggyback Clause: Other county offices of education, school districts and public agencies within California may desire to award a contract in response to this Invitation for Bid. 2.01. Bidding Process: No bid proposals shall receive consideration by the Foothill-De Anza Community College District for Invitation To Bid Number 1627 unless made in accordance with the following instructions: Bidders shall review the specification in Section 5 of a typical multimedia classroom and complete the Equipment and Labor Bid Pricing Sheets. The bidders shall submit a bid for the Multimedia Equipment and Installation where provisions have been made to do so on the Bid Form. Each vendor may submit a maximum of ONE bid. Bidders who submit multiple bids will be disqualified from bidding. Bidder must complete, sign and return the entire bid package and two (2) photocopies of this entire bid document. The Agreement for Goods and Services form is included for information, it must be signed by the successful bidder prior to award of the contract. to all bidders. The District shall not be held responsible for oral interpretations. Questions must be received by noon on Friday, May 24, 2013. All amendments issued shall be incorporated into the bid. 2.05. Bid Proposal Forms/Expenses: Bid proposals must be made on forms obtained from the District. All items on the forms must be filled out. Numbers should be stated in figures, and signatures of all individuals must be in long hand. The District shall not be liable for bid proposal preparation or submissions expenses, which may be incurred by the bidders. 2.06. Bid Security: Bid security is not required for this proposal. 2.07. Withdrawal of Bid Proposals: Bid proposal may be withdrawn by the bidder prior to the time fixed for the opening of bids, but may not be withdrawn for a period of ninety (90) days after the opening of bids. A successful bidder shall not be relieved of the bid submitted without the District's consent. 2.08. (a) Bids are subject to acceptance at any time within ninety (90) calendar days after opening unless otherwise stipulated in the bid.

(b) The District reserves the right to reject any or all bids and to waive informalities and minor irregularities in bids received.

Work shall not commence until after contract execution and successful bidder is in receipt of an authorized District Purchase Order. Discounts: Any discounts which the bidder desires to provide the District must be stated clearly on the Bid Form itself so that the District can calculate properly the net cost of the bid proposal. allow at least ten (10) working days from receipt of invoice for processing, otherwise the prompt payment discount will not be considered by the District in the determination of one of the three lowest responsible bidders. 2.11. Quantities: The District reserves the right to increase or decrease quantities as desired and to purchase them at the same unit prices. The District does not guarantee any minimum or maximum expenditure against this agreement. 2.12. Bid Negotiations: A bid response to any specific item of this bid with terms such as "negotiable", "will negotiate" or similar shall be considered non-responsive and such bid shall not be considered for award. 2.13. Prevailing Law: In the event of any conflict or ambiguity between these instructions and applicable law, the latter shall prevail. Additionally, all equipment to be supplied or services to be performed under the bid proposal shall conform to all applicable requirements of local, state and federal law. 2.14. Governing Law and Venue: In the event of litigation, the bid documents, specifications and related matters shall be governed by and construed in accordance with the law of the State of California. 3.01. Delivery: All equipment as ordered under these specifications shall be delivered by the Contractor as specified on each Purchase Order and shall be in accordance with Section 1.09, Project/Quote Scheduling Requirements. Delivery shall be F.O.B. destination and all equipment shall be stored by the vendor until it is ready for installation at the District location. The bidder is required to include all the delivery fees that include freight, fuel surcharges, shipping and handling in their bid prices. The District shall not be liable for any additional fees for delivery, storage, demurrage or freight charges. 3.02. Installation: Installation fees shall be in accordance with the associated purchase order and Bid 1627. Bid prices for the turnkey classrooms must include miscellaneous non-specified installation materials at no additional charge to the District. The District shall not be liable for any additional fees for installation of materials except for those items identified on the Bid Forms in Section 6. 3.03. Insurance: See Section 7, Appendix, for Agreement for Goods and Services, Exhibit I, Insurance Requirements. 3.04. Training: As part of the bid price, the successful bidder shall supply upon request up to four hours of on-site training for any non-standard multimedia system for District ETS and Technology Resource Group personnel in the operation of the completed system. All costs related to training shall be provided at no cost to the District. 3.05 System Proof of Performance: Vendor must show proof of performance of the multimedia classroom system before the work will be accepted, and the invoice authorized for payment by the District’s Instructional Technology Systems Engineer. The bidder shall demonstrate all scope of work identified in this bid document and on the written quote. 3.06. As-Builts, Owners Manuals, serial numbers, labor documentation: The successful bidder shall, upon completion of installation, provide as-builts, drawings, including mounting and anchorage details, rack elevation, and all custom panel layouts complete with owners manuals for all vendor-provided equipment and serial numbers in an MS Excel spreadsheet within 15 days after the room is completed. A one time CAD fee will be allowed for each new type of system. CAD charges will not be allowed for duplicate systems or subsets of existing systems. All documentation shall be available in electronic format.

If a classroom is an “all Extron" design then the vender will advise Extron of the relevant invoice so that Extron can then adjust its CRM system of the applicable shipped product’s serial numbers and extend to a total of 5 years warranty from date of shipment. See section 1.12. or contact Tim Schnabel at Extron for details. If the vendor exceeds their Bid 1627 labor estimates for any classroom’s quote then the vendor shall provide proper work log documentation upon project completion. The log shall document daily low voltage, high voltage, programming and project management labor in spreadsheet format. The labor spreadsheet shall have the date, name of each person who worked that day, job# (room#), type of labor they performed. All off site labor shall be documented in a similar manner.

SECTION I Applicable to bids only. Note: The reference to “bids” in the following paragraphs applies to ITB’s, RFP’s, and RFQ’s. The reference to “contracts” includes purchase orders. 1. PREPARATION OF BIDS:

(a) All prices and notations must be printed in ink or typewritten. No erasures are permitted. Error’s may be crossed out and corrections printed in ink or typewritten nearby and must be initialed in ink by person signing bid.

(b) Brand names and numbers are for reference only unless otherwise stated in the specification. Bids on equal items will be considered provided the bid clearly describes the article offered, and the District judges it to be equal in quality and performance. When items offered do not comply with the bid specifications, a detailed description of variance, feature by feature, must be furnished with the bid. Submission of descriptive literature alone does not meet this requirement.

(c) State brand or make on each item. If offering other than the make, model, or brand specified, the manufacturer’s name and catalog number must be given, and descriptive literature must be attached to the bid.

(d) Quote on each item separately. Prices should be stated in the units specified. Sales tax, if any, should be stated separately.

(e) The District will not consider prompt payment discount terms that require payment in less than ten (10) days.

(f) Time of delivery is a part of the bid and must be adhered to. Bidder shall state promised delivery in the column provided opposite an individual item. Time, if stated as a number of days, shall mean “calendar” days.

(g) All bids must be signed with the firm name and by a responsible officer or employee. Obligations assumed by such signature must be fulfilled.

2. SUBMISSION OF BIDS:

(a) Each bid must be submitted on District forms in a sealed envelope with bid number, closing date and time noted on the outside of the envelope unless the bid instructions explicitly allow submission by another means such as fax or e-mail.

(b) Bid modifications or corrections thereof received after the closing time specified will not be considered.

3. FAILURE TO BID: If you do not quote, return bid sheet and state reason, otherwise your name may

be removed from our mailing list. 4. SAMPLES: Samples of items, when required, must be furnished free of expense to the District.

If samples are not destroyed by tests they may be returned to the bidder at the bidder’s expense if so requested by bidder at the time it furnishes the samples.

5. TIE BIDS: All other factors being equal, the contract shall be awarded to the vendor that has a Santa

Clara County business address or, if neither or both have such a business address, the contract may be awarded by the flip of a coin in the presence of witnesses, or the entire bid may be rejected and re-bid.

6. INTERPRETATION: Should any discrepancies or omissions be found in the bid documents, or doubt

as to their meaning, the bidder shall notify the responsible District Buyer in writing at once. The Buyer will respond by sending written instruction or addenda to all bidders. The District shall not be held responsible for oral interpretations. Questions must be received at least six (6) District working days before bid opening or as stated in bid instructions. 7. AWARD: (a) Unless the bidder specifies otherwise in his bid response or the District’s bid document gives

notice of an all-or-none award, the District may accept any item or group of items from any bid. (b) Bids are subject to acceptance at any time within ninety (90) calendar days after opening unless

otherwise stipulated in bid. (c) The District reserves the right to reject any or all bids and to waive informalities and minor

irregularities in bids received. 8. DISCLOSURE OF BID INFORMATION: After award, all bids shall be open to public inspection.

The District assumes no responsibility for the confidentiality of information in a bid response. 9. BID PROTEST: Any Bidder submitting a Bid Proposal to the District may file a protest of the

District's intent to award the Contract provided that each and all of the following are complied with:

(i) The bid protest is in writing;

(ii) The bid protest is filed and received by the District’s Director of Purchasing Services not more than five (5) calendar days following the date of issuance of the District's Notice of Intent to Award the Contract; and

(iii) The written bid protest sets forth, in detail, all grounds for the bid protest,

including without limitation all facts, supporting documentation, legal authorities and argument in support of the grounds for the bid protest; any matters not set forth in the written bid protest shall be deemed waived. All factual contentions must be supported by competent, admissible and creditable evidence.

Any bid protest not conforming with the foregoing shall be rejected by the District as invalid. Provided that a bid protest is filed in strict conformity with the foregoing, the District’s Director of Purchasing Services or such individual(s) as may be designated by him/her, shall review and evaluate the basis of the bid protest. Either the District’s Director of Purchasing Services or other individual designated by him/her shall provide the bidder submitting the bid protest with a written statement concurring with or denying the bid protest. The District’s Board of Trustees will render a final determination and disposition of a bid protest by taking action to adopt, modify or reject the disposition of a bid protest as reflected in the written statement of the Director of Purchasing Services or his/her designee. Action by the District’s Board of Trustees relative to a bid protest shall be final and not subject to appeal or reconsideration by the District, any employee or officer of the District or the District’s Board of Trustees. The rendition of a written statement by the Director of Purchasing Services (or his/her designee) and action by the District’s Board of Trustees to adopt, modify or reject the disposition of the bid protest reflected in such written statement shall be express conditions precedent to the institution of any legal or equitable proceedings relative to the bidding process, the District’s intent to award the Contract, the District’s disposition of any bid protest, or the District’s decision to reject all Bid Proposals. In the event that any such legal or equitable proceedings are instituted and the District is named as a party thereto, the prevailing party(ies) shall recover from the other party(ies), as costs, all attorneys’ fees and costs incurred in connection with any such proceeding, including any appeal arising therefrom.

SECTION II Applicable to bids and PO’s Note: The reference to bids includes ITB’s, RFP’s and RFQ’s; the reference to Purchase Orders or PO’s

includes Purchase Orders and Contracts. The term “Vendor” shall include “Contractor”. 1. ACCEPTANCE OF BID: A written Purchase Order mailed or otherwise furnished to the successful

bidder within the time for Acceptance results in a binding contract without further action by either party. The contract shall be interpreted, construed and given effect in all respects according to the laws of the State of California.

2. DELIVERY: (a) For any exception to the delivery date as specified on a Purchase Order, Vendor shall give prior

notification and obtain written approval from the responsible District Buyer. With respect to delivery under this order, time is of the essence and the order is subject to termination for failure to deliver on time.

(b) If Vendor has failed to specify a promised delivery time, it shall be 45 calendar days after receipt of Purchase Order unless the Purchase Order otherwise provides.

(c) The acceptance by District of late performance, with or without objection or reservation, shall not waive the right to claim damage for such breach, and shall not constitute a waiver of the requirements for the timely performance of any other Vendor obligation.

3. SHIPPING INSTRUCTIONS: Unless otherwise specified by the District, all goods are to be shipped

FOB Destination, freight prepaid and allowed, and unloaded to the dock. Where shipping addresses indicate room numbers, it will be the Vendor’s responsibility to make delivery to that location at no additional charge. If the District grants authorization to ship goods FOB shipping point, Vendor agrees to prepay all shipping charges, to route cheapest common carrier (unless other routing instructions are included on PO), to bill freight as a separate item on the invoice, and to attach a copy of the freight bill to the invoice if actual freight cost exceeds $100.00 or the estimated amount shown in the bid and on the PO, whichever is greater. It is also agreed that the District reserves the right to refuse COD shipments.

4. RISK OF LOSS: Regardless of FOB point, Vendor agrees to bear all risks of loss, injury, or

destruction to goods and materials ordered herein which occur prior to actual delivery to the District. Such loss, injury or destruction shall not release Vendor from any obligation hereunder.

5. TAXES, CHARGES AND EXTRAS:

(a) Unless otherwise definitely specified by Vendor the prices quoted do not include sales or use taxes. Unless Vendor’s bid clearly indicates that no sales or use tax will be due, it will be assumed that sales or use tax will be added to the quoted price.

(b) No charge for delivery, drayage, express, parcel post, packing, cartage, insurance, license fees, permits, cost of bonds, or for any other purpose, except taxes legally payable by the District, will be paid by the District unless expressly included and itemized in the bid.

(c) The District does not pay Federal Excise Taxes (F.E.T.). Do not include these taxes in your bid price, but show the amount of any such tax as a separate information item. The District will furnish an exemption certificate in lieu of paying F.E.T. The District’s federal registration for such transactions is: District #94 1597718

(d) The Vendor shall be responsible for payment of property tax on rented equipment. 6. IDENTIFICATION: All invoices, packing lists, packages, shipping notices, and other written

documents affecting this order shall contain the applicable District PO number. Packing lists shall be enclosed in each and every box or package shipped pursuant to this order. Invoices will not be processed for payment until all items invoiced are received.

7. PAYMENT TERMS: Invoice payment terms will be computed either from the date of delivery and acceptance of the goods/services ordered, or from the date of receipt of correct and proper invoices prepared in accordance with the terms of the purchase order, whichever date is later. Payment is deemed to have been made on the date the District mails the warrant. Invoices shall not be payable until all items listed on the invoice have been received and accepted by the District.

8. LATE PAYMENT CHARGES: The District shall not be responsible for late payment charges unless

they are an express part of the contract or purchase order. A payment is late only if invoice payment time exceeds the time allowed by the payment terms. Computation of payment time shall be based on Section II, Paragraph 7 (seven), of the Standard Terms and Conditions.

9. NON-WAIVER BY ACCEPTANCE OF VARIATION: Neither acceptance of nor payment for any

item furnished or work performed by the Vendor shall operate as a waiver of any of the provisions of this PO nor shall a waiver of any breach hereof be deemed to be a waiver of any other or subsequent breach.

10. ALTERATION OR VARIATION OF TERMS: It is mutually understood and agreed that no alteration

or variation of the terms of this bid or PO shall be valid unless made in writing and signed by the parties hereto.

11. COMPLIANCE WITH STATUE: Vendor hereby warrants that all applicable Federal, State, and local

statutes, regulations and local ordinances will be complied with in connection with the sale and delivery of the items furnished.

12. WARRANTY:

(a) Vendor warrants to District and/or District’s customer that the goods and/or services covered by this order will conform to the drawings, specifications, samples, description and time provisions furnished by District and will be of first class material and workmanship and free from defects, and District reserves the right to cancel the unfilled portion of an order without liability to Vendor if the warranty is breached. Goods will be received subject to inspection and acceptance at destination by District, and risk of loss before actual delivery and acceptance shall belong to the Vendor. Defective goods rejected by District may, without prejudice to any other legal remedy, be held at Vendor’s risk and returned to Vendor at Vendor’s expense. Defects are not waived by acceptance of goods nor by failure to notify Vendor thereof.

(b) Unless otherwise agreed in writing by the parties, all implied and expressed warranties pursuant to the California Commercial Code, Sections 2312-2317, shall apply to the goods covered by this bid or PO. Furthermore, warranties shall run for a minimum of twelve (12) months after installation and acceptance and claims for damages may include direct damages, such as cost to repair, as well as incidental and consequential damages.

13. PATENT INDEMNITY: The Vendor shall hold the District and its officers, agents, and employees

harmless from liability of any nature or kind, including costs and expenses, for infringement or use of any copyrighted or uncopyrighted composition, secret process, patented or unpatented invention, article or appliance furnished or used in connection with the contract or PO.

14. LIENS, CLAIMS, AND ENCUMBRANCES: Vendor warrants and represents that all the goods and

materials ordered herein are free and clear of all liens, claims or encumbrances of any kind. 15. HOLD HARMLESS: The Vendor agrees to indemnify and save harmless the District, its officers,

agents and employees from any and all claims and losses accruing or resulting to any and all contractors, subcontractors, material, laborers and any other person, firm or corporation furnishing or supplying work, services, materials or supplies in connection with the performance of this contract, and from any and all claims and losses accruing or resulting to any person, firm or corporation who

may be injured or damaged by the Vendor in performance of this contract. The Vendor shall provide necessary workers compensation insurance at Vendor’s own cost and expense.

16. INDEPENDENT CONTRACTORS: The parties hereto agree that they are independent contractors

toward each other and that the Vendor, and any agents and employees of Vendor, in the performance of this Purchase Order, are independent contractors and are not officers, employees, or agents of the District.

17. RIGHTS AND REMEDIES OF DISTRICT FOR DEFAULT:

(a) The district may terminate the PO or contract and be relieved of the payment of any consideration to Vendor should Vendor fail to perform the covenants therein contained at the time and in the manner herein provided. In the event of such termination the District may proceed with the work in any manner deemed proper by the District. The cost to the District shall be deducted from any sum due the Vendor under the PO or contract, and the balance, if any, shall be paid by Vendor upon demand.

(b) In the event any item furnished by the Vendor in the performance of the PO or contract should fail to conform to the specifications therein, or to the sample submitted by the Vendor with his bid, the District may reject the same, and it shall thereupon become the duty of the Vendor to reclaim and remove the same forthwith without expense to the District and to immediately replace all such rejected items with others conforming to such specifications or samples; provided that should the Vendor fail, neglect, or refuse to do so the District shall thereupon have the right to purchase in the open market, in lieu thereof, a corresponding quantity of any such item and to deduct from any moneys due or that may thereafter become due to the Vendor the difference between the prices named in the contract or purchase order and the actual cost thereof to the District. In the event the Vendor shall fail to make prompt delivery as specified of any item, the same conditions as to the rights of the District to purchase in the open market and to reimbursement set forth above shall apply except when delivery is delayed by fire, strike, freight embargo, Acts of God, or Acts of the government.

(c) Cost of inspection of deliveries or offers for delivery which do not meet specifications will be for the account of the Vendor.

(d) The rights and remedies of the District provided above shall not be exclusive and are in addition to any other rights and remedies provided by law or in the purchase order or contract.

18. SAFETY AND HEALTH STANDARDS: Vendor agrees to comply with the applicable provisions of

the California Occupational Safety and Health Act of 1973 (Labor Code Section 6300 et. seq.) and the standards and regulations issued thereunder. Vendor agrees to indemnify and hold harmless the District for any loss, damage, fine, penalty, or any expense whatsoever as a result of Vendor’s failure to comply with the act and any standards or regulations issued thereunder.

19. NONDISCRIMINATION: (a) Contractor shall comply with all applicable Federal, State, and local laws and regulations

including District policies concerning nondiscrimination and equal opportunity in contracting. Such laws include but are not limited to the following: Title VII of the Civil Rights Act of 1964 as amended; Americans with Disabilities Act of 1990; The Rehabilitation Act of 1973 (Sections 503 and 504); California Fair Employment and Housing Act (Government Code Sections 12900 et seq.); California Labor Code, Sections 1101, 1102, and 1102.1. Contractor shall not discriminate

against any subcontractor, employee, or applicant for employment because of age, race, color, national origin, ancestry, religion, sex/gender, sexual orientation, mental disability, physical disability, medical condition, political beliefs, organizational affiliations, or marital status in the recruitment, selection for training or apprenticeship, hiring, employment, utilization, promotion, layoff, rates of pay or other forms of compensation. (b) Violation of this provision shall be deemed a material breach by Vendor giving District a right to terminate the PO.

20. EQUIPMENT RENTAL TERMINATION: In the event that funds are not appropriated in any fiscal

year for the payment of rental or lease/purchase charges and are not appropriated for the cost of other equipment performing substantially the same function which would replace the equipment leased hereunder, then lessee may terminate the contract without penalty on or before September 30th of such fiscal year by giving thirty (30) days written notice. Lessee agrees to make every reasonable effort including, but not limited to, requesting budget funds to be appropriated in order to avoid termination of the rental or lease/purchase. Upon termination, lessor shall have the right to recover any and all amounts then due or which may have accrued up to the date lessor received possession of the unit.

21 PAYMENT OF PREVAILING WAGES: Except for projects of $1000 or less, vendors who perform

carpet laying or building construction, alteration, demolition or repair must pay all workers on the District project the prevailing wage pursuant to the California Labor Code, Sections 1770 through 1777.7. A copy of the prevailing wage rate determination available at www.dir.ca.gov/dlsr/statistics_research.html. The determination is issued by the California Department of Industrial Relations.

22. ASSIGNMENT: The Vendor shall not assign, transfer, convey, sublet, or otherwise dispose of the

PO or contract or the vendor’s obligations, right, title, or interest in or to the same, or any part thereof without written consent of the District. Any attempt to do any of the foregoing without written consent shall be void. The PO or contract shall extend to and be binding upon and inure to the benefit of the heirs, executors, administrators, successors, and assigns of the respective parties thereto.

23. ACCESSIBILITY: “Vendor hereby warrants that the products or services to be provided under this

agreement comply with the accessibility requirements of section 508 of the Rehabilitation Act of 1973, as amended (29 U.S.C. § 794d), and its implementing regulations set forth at Title 36, Code of Federal Regulations, part 1194. Vendor agrees to promptly respond to and resolve any complaint regarding accessibility of its products or services which is brought to its attention. Vendor further agrees to indemnify and hold harmless the Foothill-DeAnza Community College District, the Chancellor's Office of the California Community Colleges, and any California community college using the vendor's products or services from any claim arising out of its failure to comply with the aforesaid requirements. Failure to comply with these requirements shall constitute a breach and be grounds for termination of this agreement."

24. EXPENDITURE OF PUBLIC FUNDS: Vendor agrees to comply with Government Code Section

8546.7 which provides that the contracting parties for any contract involving expenditure of public funds in excess of $10,000 shall be subject to examination and audit by the State Auditor for a period of three (3) years after final payment under the contract.

25. CONFIDENTIALITY: In performing its duties hereunder the Contractor may from time to time gain

incidental access to confidential information and records including student record information as defined by 20 USC section 1232g. The parties agree that such incidental access is not a provision or conveyance or disclosure to contractor of student record information in violation of section 1232g or of any similar state law. Contractor agrees that if in the performance of its duties it does obtain such access it shall refrain from any removal, use or disclosure to any third person of such information and records and shall take any and all necessary affirmative steps to maintain the confidentiality, and avoid such removal, use or disclosure, whether intentional or inadvertent, of such records and information.

5.01. CABLE PULL REQUIREMENTS • Insure adequate cable length “service loop” of 10 feet at each end • Allow enough slack to service\replace rack equipment as necessary; this is especially true for

Blu-ray\DVD players in which connector locations are not standardized. • Cable exposed above ceiling grid shall be secured with j-hooks at 36” intervals • Do not use ceiling guide-wires to attach or secure cables • No cable shall come in contact with ceiling tile or grid. • Insure that all signal types are separated by at least 6” – bundle all like cables together. • Insure that all cables are separated from power by at least 12” inches and that no parallel with

power run is longer than 24” unless it is in dual channel conduit such as Wiremold 4000 series.

• All pulls through conduit will include a new pull string • All cable ends should be coiled and bundled • Secure cable coils in pull box and attach cover plate

5.02.1. CABLE PULL QUALITY

• No kinks or 90 degree bends in cables Insure cable is secure and safe from damage from water pipes, sharp edges of any kind, any heat source, or any other potential hazard

• Do not use zip ties on data cables or any cables that may be damaged. Use of hook and loop nylon straps are preferred.

• Bend radius does not exceed 7x the diameter of the cable • No cuts or nicks in cable jackets that expose overall shield or inner cables • Wire labels, clearly readable – typed (NOT Handwritten) placed 6” from end of cable and

repeated three times on each label so it can be read at any angle • Each wire should have the device name and connector location; e.g. Crestron Pro 2 COM A.

5.02.2. GENERAL CABLE SPECIFICATIONS

• Only Plenum rated cabling shall be used • All video cables shall have factory terminated connectors when possible • Microphone cable shall be shielded, stranded 22AWG twisted pair • Line Level cable shall be shielded, stranded 22 AWG twisted pair • Distributed loudspeaker cable shall be stranded copper 16 AWG • Control cable shall be shielded, stranded 22AWG • Cresnet cable shall be shielded, stranded 18AWG • RGBHV cable shall be Multiple 75 ohm co-axial cables in one jacket (Extron BNC-5 SHR

only) 5.02.3. VIDEO/DATA PROJECTOR CABLING The successful bidder shall install a wire harness starting at the ceiling mounted projector, running in attic space or above T-Bar supported by J-hooks, down a wood or metal stud wall cavity (with or without conduit) and into an instructor console or mobile media lectern . The wire harness excess cable shall be coiled on a J-hooks located in the ceiling space above the instructor station and\or projector. 5.03. SPEAKER INSTALLATION The successful bidder shall typically install two (2) wall or ceiling mounted audio speakers. Mount speakers approximately 12 inches to the right and left of the projection screen. If speaker cables are not existing, run a 16 gauge speaker wire from the amplifier, through the agreed upon pathway to the speakers leaving at least 10 feet of excess cable at each end. Speaker mounts shall meet California seismic requirements.

5.04.PROJECTOR MOUNTS New and renovated buildings will usually have Division of the State Architect (DSA) approved projector mounts that will meet California Building Code. However, older classrooms may not have mounts or the mount will need to be moved. In these cases, the Vendor will be required to install a new mount that will meet California building code. The District uses Chief projector RPMA series locking mounts. In most cases a CMA110 will be mounted to the ceiling with a fixed length pole that will extend just below the ceiling or at screen height. It may be necessary to install diagonal Unistrut braces or CMA340 aircraft cable and turnbuckle kits for stabilization. Pre-approved Chief T-bar kits with cables and such as the CMS-445 may also be used. All such mounts shall have proper seismic anchorage to meet California building code.

5.05.FLAT PANEL INSTALLATION Flat panel mounting shall conform to current California Building Code. Pre-approved anchorage detail is provided by Chief Manufacturing for our XSM\XTM and LSM\LTM mounts. It is the vendor’s responsibility to make sure the anchorage detail meets code and to provide any additional backing necessary to meet code. Anchorage detail must be submitted to the District prior to installation. Power and signal cables shall be run separately, in the wall and terminated behind the panel. If the infrastructure does not exist at the panel location then the vendor will install a duplex power outlet and create a cable pathway complete with a back box and cover plate. Wall mounted input plates shall be provided as necessary with HDMI and VGA w\audio connectors. All mounting technique and materials must conform to all Federal, State, and Local building codes, laws and regulations. 5.06. PROJECTION SCREEN INSTALLATION Projection screens shall be mounting with appropriate anchors and backing as necessary. New construction and renovations may have wood or metal backing for anchorage. If there is no backing then the vendor will provide adequate backing in the form of 1”x 12” wood backing anchored to at least 3 studs. Metal L brackets shall be used in place of plastic. DO NOT attempt to mount screens directly to sheet rock. 5.07.MISCELLANEOUS INSTALLATION

• Cut “cable pass-thru” holes in the instructor consoles or casework • Install the control panel on the instructor console surface • Install the specified input plate on the instructor station surface • Secure all equipment in instructor station using Parkin Security cable • Secure OFE computer in instructor station using Parkin Security cable • Secure projector using Parkin Security cable • All Parkin locks shall be keyed to Foothill and De Anza standards numbers • Two network cables shall be run from the nearest outlet to the instructor console. One for the

instructor computer and one for the input panel for laptop use. • If it is not possible to run cable in walls then metal surface mount conduit such as Wiremold or

Panduit shall be used. • All exposed cables shall be contained in a nylon cable harness and\or surface mount conduit

depending on the run length and location. • Exposed horizontal cables over six (6) feet long, including network cables, shall be run in surface

mount conduit. • Any cables that traverse the floor and become a trip hazard shall be contained in floor rated

surface mount cable raceways. 5.08. CONTROLLER CONFIGURATION\PROGRAMMING

The control system shall be configured to control all system devices. The projector(s) or flat screen display(s) shall be controlled over RS232 using feedback when available. In the event of two or more displays, the system shall be programmed to send any source to any display, limited only by the capabilities of the switcher. The control\touch panel shall be configured and labeled to control all major functions limited only by the control hardware. Panel configuration shall be approved by the District in writing. It shall be configured for monitoring and control over IP software with a District supplied IP configuration. The viewer (GlobalViewer or Roomview) shall be organized by building and room number. The software shall be configured to notify the District via email if a projector or flat panel does not respond and is presumed stolen. The software shall be configured to notify the District via email when the projector bulb is at 80 percent of rated hours. ALL CONTROL CODE AND TOUCH PANEL LAYOUTS SHALL BECOME THE PROPERTY OF THE DISTRICT. ALL CODE AND MODULES SHALL NOT BE LOCKED OR PROTECTED IN ANY WAY. THE DISTRICT SHALL BE FREE TO REUSE CODE IN LIKE CLASSROOMS AT THE DISTRICTS SOLE DESCRETION. 5.09. SEISMIC MOUNTS All equipment mounted shall meet or exceed state and government requirements for seismic safety. It is the bidder’s responsibility to prove the mounts meet these requirements and to refit, at no additional cost, any mount not meeting safety standards. 5.10. FIRMWARE UPDATES All equipment shall be updated with the latest release firmware. While under warranty, it is the bidder’s responsibility to update firmware at no charge to the District upon request. 5.11. INPUT PLATE The successful bidder will supply an input plate (layout must be approved by the District) with the following inputs:

• Composite video (RCA) with stereo audio (RCA) (for analog systems) • Ethernet RJ45 female \ female • HDMI (for digital systems) • VGA DB15 with 3.5mm stereo audio jack

5.12. ELECTRICAL The successful bidder may be required to install a 20A quad outlet inside the instructor console. It may also be necessary to install or move a 20A circuit for the projector and install a 20A duplex power outlet on the surface, side or interior of the instructor console. All electrical work must be done by a C10 certified personnel and conform to California state code. It may be necessary to run or extend both high and low voltage cabling to the instructor console from a nearby pull box or outlet. Such cabling shall be run in metal surface mount conduit (Wiremold or Panduit) or steel flex for high voltage. 5.13. CASEWORK The successful bidder will be required to create cut outs and cable pathways and mount control and input panels on District supplied casework. Casework may be laminated wood, plastic or other materials. Proper tools and adequate care must be used when such work is performed. 5.14. INSTALLATION METHODS All mounting technique and materials must conform to all Federal, State, and local earthquake seismic laws and regulations. When a mounting technique is in question, the Bidder’s CTS-I certified person must sign off on the proposed method that complies with their specialized training. Industry “best practices” shall be followed in all times.

Bidders shall review the specification in Section 5 for a typical multimedia classroom and complete the Equipment and Labor Bid Pricing Sheets. The bidders shall submit a bid for the Classroom Multimedia Equipment and Installation where provisions have been made to do so on the Bid Form. Each vendor may submit a maximum of ONE bid. Bidders who submit multiple bids will be disqualified from bidding. Bidder must complete, sign and return the entire bid package and two (2) photocopies of this entire bid document. The Agreement for Goods and Services form is included for information only, it must be signed by the successful bidder prior to award of the contract. SAMPLE AGREEMENT FOR GOODS AND SERVICES

This Agreement entered this day of , 20 , by and between the Foothill-De Anza Community College District, a community college district of the State of California, hereinafter called “District” and hereinafter called “Contractor.”

(a) W I T N E S S E T H

WHEREAS, pursuant to Foothill-DeAnza Community College District Board Policy 3140 and Board of Trustees Resolutions, specified District employees have the duty to engage independent contractors to perform sundry services for the District, with or without the furnishing of material; and

WHEREAS, it is necessary and desirable that Contractor be engaged by District for the purpose of

performing services hereinafter described: NOW, THEREFORE, IT IS HEREBY AGREED by the parties as follows:

1. Services to be performed by Contractor. In consideration of the payments hereinafter set forth, Contractor shall provide goods and perform services for District in accordance with the terms, conditions and specifications set forth herein and in Exhibit “A” attached hereto and by this reference made a part hereof. Contractor shall perform all the services described in Exhibit A for the sum not to exceed $__________________. 2. Payments. In consideration of the services rendered in accordance with all terms, conditions and specifications set forth herein and in Exhibit “A”, District shall make payment to contractor in the manner specified in Exhibit “A”. 3. Relationship of the Parties. It is understood that this is an Agreement by and between Independent Contractor(s) and is not intended to, and shall not be construed to, create the relationship of agent, servant, employee, partnership, joint venture or association, or any other relationship whatsoever other than that of Independent Contractor. 4. Non-Assignability. Contractor shall not assign this Agreement or any portion thereof to a third party without the prior written consent of District, and any attempted assignment without such prior written consent in violation of this Section automatically shall terminate this Agreement. 5. Contract Term. This Agreement shall be in effect from Oct.13, 2008 through Oct. 12, 2011 as specified in Exhibit “A”. The District may terminate this contract at any time for any reason by providing 30 days notice to Contractor. Termination to be effective on the date specified in the notice. In the event of termination under this paragraph, Contractor shall be paid for all work provided to the date of termination. 6. Hold Harmless and Indemnification: The contractor shall indemnify and save harmless the District, its officers, agents, employees and servants from all claims, suits or actions of every name, kind and description, brought for, or on account of (A) injuries to or death of any person, including Contractor, or (B) damage to any property of any kind whatsoever and to whomsoever belonging, or (C) by reason of any failure to withhold and /or pay to the government income and/or employment taxes from earnings under this contract as made necessary by Section 530 of the Revenue Act of 1978, including but not limited

to the concurrent active or passive negligence of the District, its officers, agents, employees or servants, resulting from the performance of any work required of contractor or payments made pursuant to this Agreement, provided that this shall not apply to injuries or damage for which the District has been found in a court of competent jurisdiction to be solely liable by reason of its own negligence or willful misconduct. The duty of the contractor to indemnify and save harmless, as set forth herein, shall include the duty to defend as set forth in Section 2778.4 of the California Civil Code. Contractor’s duty to defend shall be triggered by notice to contractor that District has been served with a summons or complaint which alleges facts falling within the scope of contractor’s indemnity obligations. 7. Insurance. Insurance requirements are attached as Exhibit “I.” 8. Non-Discrimination.

A. General. No person shall, on the grounds of race, color, national origin, religious affiliation or non-affiliation, sex, age, handicap, disability, or political affiliation, be excluded from participation in, be denied the benefits, or be subjected to discrimination under this Agreement. B. Employment. Contractor shall insure equal employment opportunity based on objective standards of recruitment, selection, promotion, classification, compensation, performance evaluations, and management relations, for all employees under this Agreement. Contractor’s personnel policies shall be made available to District upon request.

9. Substitutions: If particular people are identified in Exhibit “A” as working on this contract the

Contractor will not assign others to work in their place without written permission from the District Purchasing Agent. Any substitution shall be with a person of commensurate experience and knowledge.

10. Sole Property of the District: Any system or documents developed, produced or provided under this

contract shall become the sole property of the District. Notwithstanding any other provision herein, any intellectual property discovered or developed by contractor in the course of performing or otherwise as a result of its work hereunder shall be the sole property of the District.

11. Contract Renewal. This Agreement may be renewed for additional time periods as long as the original

contract term plus the renewal periods does not exceed five years and provided that both parties sign the renewal, insurance coverage pursuant to paragraph 7 is the same as then customary in similar District Agreements, and the cost of the terms combined will not exceed the amount approved by the District’s Board of Trustees.

12. Merger Clause. This Agreement, including Exhibit “A” attached hereto and incorporated herein by

reference, constitutes the sole agreement of parties hereto and correctly states the rights, duties and obligations of each party as of the document’s date. Any prior agreement, promises, negotiations or representations between the parties not expressly stated in this document are not binding. All subsequent modifications shall be in writing and signed by the District Purchasing Agent. In the event of a conflict between the terms, conditions or specifications set forth herein and those in Exhibit “A” attached hereto, the terms, conditions or specifications set forth herein shall prevail.

Classroom Multimedia Equipment and Installation as described in Bid 1627. All

prices shall be in accordance with the attached Bid Form. All work must be pre-

quoted and shall not begin until receipt of a District Purchase Order.

II. Amount and Method of Payment: (indicate lump sum payment or rate of pay; also include a list of tasks which must be completed prior to each progress payment and show the timeline for progress payments, if applicable)

In accordance with each District Purchase Order that is issued pursuant to Bid 1627

and the attached bidder’s response to Bid 1627.

In any event, the total payment for services of contractor shall not exceed $ and District shall have the right to withhold payment if District determines that the quantity or quality of the work performed is unacceptable.

Exhibit “I” Insurance Requirements

Contractor shall not commence work under this Agreement until required insurance has been approved in writing by District. Certificates of insurance, in form and with insurers acceptable to District (A M Best rating of A-VII or better or otherwise approved by District Risk Manager) shall be submitted to District Risk Management Department. Such certificate shall evidence all coverages and limits required by District in this Agreement and shall specify that insurers will give District thirty (30) days prior written notice of non-renewal or cancellation. Contractor shall maintain in force, throughout the term of this Agreement, insurance as follows: 1. Workers' Compensation (statutory limits) and Employers' Liability insurance with limits not less than $1,000,000 each accident, $1,000,000 employee and $1,000,000 each disease, provided that contractor has employees as defined by the California Labor Code; 2. Commercial General Liability insurance, with limits not less than $1,000,000 for Bodily Injury and Property Damage, including coverages for contractual liability, personal injury, broadform property damage, independent contractors, products and completed operations; 3. Commercial Automobile Liability insurance, with limits not less than $1,000,000 for Bodily Injury and Property Damage, including coverages for owned, non-owned and hired vehicles, as applicable; 4. Professional Liability insurance, with limits not less than $1,000,000 each claim/annual aggregate, with respect to coverage for errors and omissions arising from professional services rendered under this Agreement, and with any deductible not to exceed $25,000 each claim. Required only if the following blank is checked _____. If any of the required insurance is written on a claims-made coverage form, such insurance shall be maintained for a period of three years following termination of this agreement. General and Automobile liability policies shall include as Additional Insureds, the District, its officers, agents, employees and servants, shall be primary to any other insurance or self-insurance available to the Additional Insureds and shall apply separately to each, except the inclusion of Additional Insureds shall not operate to increase the required limits of such insurance. Maintenance of the required insurance is a material condition of this Agreement and failure to maintain such insurance may, at the District’s option, result in a declaration of material breach and suspension of Contractor’s further work under this Agreement.

DEFINITIONS: Installation: The mounting of all equipment and the connection of all cables as necessary for the proper operation of the system in a manor that is consistent with manufacturer's instructions and industry standards. Calibration: Measuring and adjusting of all equipment parameters that have an operational range so that the equipment is fine tuned for the specific application and\or environment. Programming: The precise specific operating code necessary to enable the system to perform all the agreed upon functions. Video on Demand: A system that is capable of delivering video content to multiple display system upon request. As-Builts: A schematic of the completed system that shows any changes from the original design also known as the final system schematic "as it was built". Multi-Image High Resolution Classroom: A video system capable of combining multiple images from various sources into one high-resolution image.
