Conditions of Trading This Tender is submitted in accordance with the Standard Conditions of Trading attached herewith and any other conditions specified herein and are NETT.

Should you require 2.5% Main Contractors Discount, 1/39th should be added.

Fixed Price This tender is submitted on a fi.xed price basis for a period of 16 months from this date. If work continues after May 2015 then Fluctuations Price Basis will apply, whereby the increase in the costs of materials and labour will be reimbursed to us and that Condition 3 of The B&ES Conditions of trading - Supplementary Conditions' wi ll apply with a base date of January 2014.

Retention Percentage From the contract documents sent with your enquiry, we note that the Main Contract has a retention percentage stated as 5%; our Tender is therefore based upon this stated percentage.

Value Added Tax To the foregoing tender should be added Value Added Tax at the rate prevailing at the time of payment

Performance Bond We exclude all costs associated with the provision of a performance bond, but with regard to warranties we reserve the right to discuss/agree these documents at a later date.

Site Supervision We have included for a full non-working supervisor, including attendance from a visiting contracts engineer, to oversee the J S Wright & Co Ltd elements of the project

Design We confirm this is a Design & Build tender and as such we have incorporated design fees within our tender and responsibi lity to develop & complete the 'inherited design' , supplied in the tender documents.

Unquantified Works Where work has been described within the specification but not quantified or scheduled out, we have only al lowed for the extent detailed on the tender drawings. Any work executed within the cat~gory during the contract, which Is not detailed on the tender drawings will become variations to our contract.

Schedule 03- General Exclusions/Clarifications

1. Fire dampers have been included as detailed on the drawings, where no fire dampers have been indicated we have included fi re dampers in fire wa lls of 1 hour and above subject to fire strategy information at time of tender.

2. We exclude all costs associated with routine preventative maintenance of plant during the construction period or during defects.

3. Our tender assumes a period of 12 months defects from the handover date for each section of works

4. We exclude all costs associated with the concealment of services, Le. floor ducts, skirting , trunking etc

5. We assume that all existing equipment & systems to be incorporated in the new works are in good order and fit for reuse. We have not included for any repair or replacement works.

6. We assume the project would have a single handover date, we do not allow for phased handover

7. We have made no allowance for equipment associated with natural ventilation 8. To assist in the preparation of working as fitted drawings and in a suitable AutoCAD

format, we assume free issue of architect's drawings would be provided 9. We exclude acoustic treatment to external plant 1 o. All grilles are to be white in colour. Additional costs can be provided should alternative

41 . We exclude any reinforcement of the roof, for hoisting equipment, that may be required during in installation of the boiler flue liner.

42. We exclude any supply or installation of any inert material backfill to risers. 43. We exclude all works involving asbestos. Any forming of holes, sealing and making good

to be carried out by others. All air tests and certification to be carried out by others before commencement of our works.

44. Kitchen extract canopies in new apartments to be supplied as part of fit out package. 45. All new piped services with in apartments to be carried out using copper pipework and

pressfit fittings. 46. AOV's, actuators and wiring to be provided and installed by window contractor. 47. All new water meters to be provided free issue by Thames Water for installation. 48. We exclude the provision of a BMS supervisor p.c .. 49. We include for temperature/smoke control system as shown and described in the tender

documents. Should any changes be required by building control. or others, cou ld have cost implications.

50. We include for a CCTV survey of the boiler flue shaft. We have however excluded any repair/remedial works should any problems be found.

51. We exclude the replacement of the existing fire rated secondary supply to the smoke control panel, as noted on drg. no. V(90)01_251 T1 we assume it is sufficient to serve the new system.

52. We assume the existing distribution board in the roof plantroom has sufficient capacity for the new equipment.

53. Luminaires are included as shown on the tender drawings. 54. We exclude the provision of hand driers, these to be part of the toi let/changing room fit

out. 55. We include general power installations as shown on the tender issue drawings. 56. We include for a fire alarm installation as shown on the tender issue drawings. 57. We include the costs of SW Security for the access control system. Although the

specification calls for a new system. SWS have elected to re-use the existing system with modifications in line with the new arrangements.

58. We exclude any requirement for disabled alarm systems. 59. We include for containment only for voice, data and telecoms. 60. We exclude any works associated with TV and satellite roof top works.

Schedule 04- Period and Sequencing

Contract Programme Our tender is ba.sed on a contract period of 60 weeks in one visit Mechanical Start on Site March 2014 Practica l Completion May 2015

Acceptance This tender offer is open for acceptance for a period of 6 weeks from the date of the letter.

Design Requirement In order to produce detai led calculations and drawings we require a min imum period of 8 weeks' notice prior to any start on site.

We have not at this time produced a programme, method statement or a schedule of rates. Shoulo these be required we would requ ire at least 20 working days to produce them. lt is

Working Hours Weekday working (Monday to Friday) between the hours of 8.00am and 5.00pm.

First Fix Installation of first fix mechanical items prior to the installation of partitioning or ceilings.

Water Tightness Commencement of mechanical Installations following the achievement of water tightness of the building.

Commissioning An appropriate period of 30 days for the commissioning of the mechanical services following completion of all other works.

Lead in Period We would require a four (4) week lead in period for site commencement from receipt of a suitably worded letter of intent, official order or signed contract documents. We would also require 'for construction' specification and drawings for the building services, architectural and structural disciplines.

Schedule 05- Basis of Subcontract and lnsurances.

The tender has been formulated on the basis that any subcontract entered into will be based on the principles of the JCT 2005 Forms of Contract/Subcontract and will not contain terms any more onerous than the terms of those Contacts/Subcontracts.

satisfaction, witnessed and certified by someone in authority and insulated is necessary • Support platforms for water tanks • Sealant to sanitaryware • The use of the site below ground drainage for the purposes of flushing our services, we

ass.ume if a discharge licence is required this will be arranged by others • The use of a fork lift truck for offloading and moving of our plant/equipment

Existing Materials Existing materials on which we have to work and/or reQuse etc. are assumed in a fit state for the requirements, but should replacements become necessary the cost would be added to our final acco1.1nt.

Weights of our Equipment lt is a condition of this estimate that you will take steps to ensure, if necessary, that the existing structures, etc., will be suitably strengthened to accommodate the added loads of our various components. This work is excluded by us.

Accommodation for Plant and equipment We would point out that plant rooms, service ducts, etc., should be designed large enough to allow for safe installation and maintenance and provision of sate access and egress for plant, equipment and personnel all in accordance with the requirements of CDM 2007 regulations.

Clean Air Act Under the requirements of the Clean Air Act. local authority approval must be sought and obtained before installation of fuel consuming appliances commences. The responsibility to take this step lies with the purchaser, but we would be prepared to assist you in making the application. Should the local authority require provision beyond those already included, our estimate would be increased accord ingly.

Waste Management In accordance with our ISO 14001 accreditation we would welcome the opportunity to discuss your Waste Management Plan and how we can assist you in complying with it, prior to e;my commencement on site.

Building Construction Our design and tender is based on U-Values stipulated in the building regulations. No allowance for tradeoffs has been made within our tender.

Incoming Water Supply Our tender is based on the local water authority providing us with water at the new meter at 1.0 bar.

Incoming Gas Our tender is based on the local authority providing gas at 20.8 mbar at the outlet of the meter.

Roles and Responsibilities

Operations Director Paul Featherston The Role of the Operations Director is:-• To ensure that the project is fu lly staffed to meet the requirements of the project, that the

project management has available all ancillary and support staff and that replacement staff are made available when necessary.

• To monitor the progress and quality of the works. The Operations Director will ensure that the client's requirements are being met and that the contract is being administered in accordance with the requirements of the client, the client's representatives and J S Wright's procedures.

Technical Director Andrew Smith The Role ofthe Technical Director is:-• To allocate works to the relevant competent persons • To carry out and oversee the design process • To ensure that the design process Is staffed sufficiently to meet the requirements of the

contract • To regularly review and maintain policies, procedures, systems and processes

Contract Manager Steve Hanoock The Role of the Contract Manager is:-• The Contract Manager will be the Company's senior representative for this project and

will have the authority to make decisions on behalf of the company and accept responsibil ity for all that matters affecting the project (unless Company Policy is involved)

with the Senior Contract Engineer, implementation of procedures for the flow of information and monitoring, and attendance at Health , Safety and Environmental meetings with the principle contractor

• The Health, Safety and Quality Manger will be responsible for the overseeing J S Wright's Integrated Management Systems, and implementing any changes to this system

• The Health, Safety and Quality Manger will undertake various training for operatives Including abrasive wheels and manual handling if required , and ensure that all operatives are in possession of the relevant and up to date training required to carry out the works

Non Working Foreman The Role of the Non Working Foreman as Site Supervisor is : ~ • The Site Supervisor will be responsible for ensuring that the daily, weekly and monthly

2. Planning I Programme & Completion

Should J s Wright be successful in securing the project the following operations would be implemented • Upon receipt of the Main contract periods a specific J S Wright programme of works is

produced. This programme will be reported against on the attached Programme Progress sheet, Document Ref 4.2.4007. The report is generated 2 weE;Jkly or monthly as requ ired . (We have already produced a preliminary programme, copies are attached)

• During the project install J S Wright hold internal planning meetings and external planning meeting!;? with the main contractor to monitor progress

A commissioning programme is produced in conjunction with the following :-• The Required Commission ing period (attached), in conjunction with the commissioning

specialist J S Wright will engage on the project. Appointment of the commissioning specialist is an early appointment. This specialist will be one of the J S Wright approved Subcontractors

• A copy will be issued to the electrical contractor and J S Wright will work with the electrician to provide a combined M & E commissioning programme

• A specific commissioning matrix will then be produced • Tick sheets are co llated and produced by J s Wright and issued at the monthly contract review meetings. A sample from another project is attached

3. Method of Procurement

We have obtained accreditation for an integrated management system (IMS) throughout our business. The systems to carry out the procurement process are within our IMS system and the Estimation package used to run our business as a whole.

The procurement sequence is as follows: -• Internal Handover from design to contracts with the Technica l Director, Engineer and all

contract staff listed above • Production of buying schedule as attached MCA sheet to procure all items supply and

subcontract • Final enquires issued, note all suppliers to be from the J s Wright supply chain • Internal financial review and technical review to ensure plant and SC items are compliant

with the specification • All procurement items issued on Technical Submittals for Client approval • Final orders placed

performance • All plant is procured via our Estimation package which is the J S Wright contact

procurement and accounts linked package. Authority levels are set and plant needs to be authorised by management to enable orders to be placed

• All subcontractors are pre signed to the J S Wright T & C's and Health and Safety requirements to have been on the J s Wright supply chain

4. Handover Documentation & Warranties

Upon completion of the project all As Installed Drawings will be included along with the various manufacturer's equipment information and operating and maintenance procedures within bound manuals for retention by the Client on site. This will be issued as a minimum 10 weeks prior to full or sectional PC, (Excluding final test sheets).

These manuals will be produced during the course of the contract and issued in draft format for Client approval prior to practical completion .

The manuals will be indexed and contain sections for drawings, contacts, manufacturers information, maintenance schedules, emergency procedures, spares, controls and commissioning results.

During the final stages of the contract, a Client Tra in ing programme will be produced indicating details of the specialist and general training intended to be given on the various equipment and systems installed. The training will be arranged to take place prior to Hand Over of the project or if necessary immediately following Hand Over If the Client wishes. A fu ll training matrix will be issued as a minimum 1 o weeks prior to PC to enable the end user to ensure all of the relevant staff are available for training . We will ensure all staff who attend training are certificated to show training has taken place.

We welcome the opportunity to get the Clients final staff involved as the project nears completion and have found that involvement by the end user in sections of commissioning helps to give a clear understanding of the systems installed.

Dependent upon sectional handovers plant warranties may need to be extended. Costs for extended warranties can be obtained as required and written into main orders with suppliers I subcontractors.

5. Functionality of Installation

Functionality of installations will be obtained and demonstrated by a strict commissioning and handover process of areas at completion . All as listed above. Seasonal commission ing is offered with our installation to ensure the systems are operating correctly post PC.

We will complete the following pre commissioning; • A full set of commissioning sheets written up for each service to be commissioned a

minimum 4 weeks prior to PC. These will be issued to the design team for final verification prior to commissioning

• All commissioning will be demonstrated by our specialist to J S Wright and then offered to the end user as a final demonstration

6. Integrated Management System

J S Wright has successfully gained the following accreditations;

• PAS99 • ISO 9001 • ISO 14001 • OHSAS 18001

We have a fully integrated management system that enables us to monitor and manage all aspects of our business. We have passed rigorous external audits from BSI to gain these accreditations.

Our Integrated Policies are included and cover health & safety, environmental and quality.

7. Aftercare

Our commitment to our Clients once we have finished a project has been significantly improved. We now have a dedicated team that deals with al l aspects of Aftercare. The Aftercare Manager and team will visit the site when it is near to PC to familia rise themselves with the project as it enters into the defect period.

Normal working hour's response time Monday to Friday 8.00 - 17.00 • Emergencies - within 4 hours • Urgent- within 24 hours • Routine - with in 1 week

Out of normal working hours • As soon as is practically possible (aim to attend within the above response times)

In some cases the above examples may only be temporarily repaired with in the 24 hours.

Reporting of Defects Defects must be reported to the Aftercare Department at the J S Wright Head Office so each defect can be log!;;]ed on to our system and therefore be actioned accordingly by prioritisation.

Direct calls to an Aftercare Engineer or Contract Engineer are not permitted at any time

Information to be submitted by Main Contractor • Your defect identification number • Description of fault reported • Point of contact (Main Contractor Customer Care ~ Name, number and e-mail address) • Contact Telephone Numbers- (to Include home and mobile number of occupier) • Full address for defect Once we have that information, we will log it onto our system and assign an Aftercare Engineer. The point of contact for the Main Contractor will then be sent an automated email informing them of the actions we will be taking, including date of action.

For all works undertaken Our Aftercare Engineers are in receipt of risk assessments and method statements to which they will follow at all times. These cover Lone Working, and general maintenance. If any Hot Works are needed, they will be subject to the approval and issue by the Main Contractor only.

Completion of DMect A copy of our Service Engineer Report will be issued to the occupant or on site Client representative concerning the status of the defect.

The report will contain amongst other information; • The reason for call out • The work that was carried out • Name of the Aftercare Engineer • If the defect has been resolved and is in working order

The Service Engineers report will then forwarded to the J S Wright & Co Aftercare Department to log it onto our system. An automated email will then be sent to the point of contact for the Main Contractor closing out the defect. A weekly report can then be compiled by the Aftercare

Non Mechanical Issues and Deferred 'Cal l outs' Any callouts where by an Aftercare Engineer has attended to find that the defect is not a J S Wright & Co Ltd issue may be charged.
