7. PriorSales

7.1 Please contact the Auctioneers during the 3 days before the auction to enquire whether a particular Lot will be offered for sale at auction or whether it has been withdrawn or sold.

7.2 Neither the Auctioneers nor the Vendor are responsible for any losses or abortive costs incurred by you in respect of Lots which are either withdrawn or sold prior to the auction.

8. EstimatedPricesandRents-InformationRelatingtoTenant

8.1 Any estimates or suggestions given by the Auctioneers to you relating to the price at which a property will or may be sold or which you should bid for such property should not be accepted by you as a valuation. Any sum will only be accepted as an estimate of the price the Auctioneers consider the property may be sold for. 9. SaleofProperty

9.1 A legally enforceable Contract of Sale of the relevant property is created on the fall of the hammer.

9.2 On a property being sold, the successful bidder will be given a Purchaser’s Slip by the Auctioneers. The bidder must complete the Purchaser’s Slip with the required information immediately, failing which the Auctioneers will be entitled to resubmit the property for sale and may treat the bidder and the Purchaser as being in breach of contract. Resubmission of the property for the sale will be taken without prejudice to any claim there may be against the bidder and the Purchaser for breach of contract.

9.3 The Auctioneers will prepare a Memorandum of Contract in the form appearing in this catalogue. Before the end of the auction, the successful bidder should arrange for such Memorandum of Contract to be signed by or on behalf of the Purchaser. This will be exchanged for a part signed by the Auctioneers on behalf of the Vendor.

9.4 Unless otherwise stated in the Special Conditions, the property will be at the Purchaser’s risk on being sold at the auction. The Purchaser should therefore make his own arrangements for insurance immediately.

10. DepositandIdentification

10.1 A deposit of 10% of the purchase price, with a minimum of £1,000.00 will be payable on the relevant property being knocked down. This provision may be amended by the Special Conditions which the Purchaser should check.

10.2 The deposit should be handed to the Auctioneer’s Clerk when the Purchaser’s Slip has been completed.

10.3 A separate deposit will be requested in respect of each Lot purchased.

10.4 Unless otherwise specified, cheques will be accepted. Cheques must be drawn on a bank or branch of a bank in the United Kingdom. Any other cheques may be rejected.

1.2 TheBidder.ThepersontowhomthePropertyisknockeddownandsoldbytheAuctioneersandwhoactuallybidsfortheProperty.

1.3 Completion.CompletionofthesaleorotherdispositionofthePropertyin accordancewiththeseandtheSpecialConditions.1.4 Included Items. All fixtures fittings (except tenant’s fixtures andfittings)

2. CONDITIONSAPPLICABLE2.1 The Property is sold subject to and with the benefit of these General

Conditions and the Special Conditions and the conditions known as theNationalConditionsofSale(20thEdition)exceptthat:

2.1.1 Conditions3,4,5(5),12(1),15(2),15(3),17,21(2),21(3)thereofshallnotapplyandthewords‘andnobidshallbewithdrawn’shallbeaddedattheendofCondition1(3).

2.1.2 Condition7(1)shallbereadasthoughthewords‘remainderofhis’hasbeendeleted.

2.1.3 TheprovisotoCondition7(1)shallnothaveeffectandifthepurchaseisnot completedonthecompletiondatereferredtothen(subjecttotheprovisions

of paragraph (2) of the said condition) theVendor shall be entitled to bepaidbothinterestandtoreceiveanyincomefromtheProperty.Ifinterestbecomes payable in accordance with Condition 7 and the Vendor is inoccupationofthePropertytheVendorshallinnocasebeobligedtopayanyoccupationalrentinrespectthereof.

2.1.4 Thewords‘ortobeofferedforsaleifbiddinghadnotyetcommencedforthesaleofthesaidlot’beaddedattheendofCondition1(4).

2.1.5 The prescribed rate of interest shall be 5% per annum above NationalWestminsterBankPlcbaserateforthetimebeingwithaminimumof15%.AnyinterestpayablehereundershallnotcompriseyearlyinterestandshallthereforenotbesubjecttoSection349oftheIncome&CorporationTaxesAct1988andshallbepaidtotheVendorsgrossandwithoutdeductionofanytax.

2.1.6 The words ‘notwithstanding that the Vendor may not have been lawfullyentitled to allow the Purchaser into occupation of the Property prior tocompletion’shallbeaddedattheendofCondition8(1)(ii).

2.1.7 WherethePurchaserisallowedintooccupationpriortocompletionforanypurposetheprovisionsofNationalConditions8(1),8(2),&8(3)(asvariedabove)shallapplyandinadditiontheretothePurchasershalluponrescissionorupontherefusalofanylandlordtogranttotheVendororthePurchaserany licencerequiredbythePurchaserforthwithuponwrittenrequestfromtheVendorortheVendor’ssolicitorsremoveanyinstallationsmadebythePurchaserandreinstatethePropertytoasgoodastateofrepairandconditionasitwasinimmediatelybeforethePurchasertookoccupationthereof.

2.1.8 Condition16(2)and21(2)shallnothaveeffect.2.1.9 Condition 6(1)(2) and (3) shall be replaced by the following words

‘Apportionmentshallbemadeasfromthedateofactualcompletion’.2.1.10 Condition22(2)‘11workingdays’shallbesubstitutedfor‘16workingdays’.2.1.11 The words ‘unless the court otherwise direct’ in Condition 22(3) shall be

deleted.2.1.12 For the purposes of National Condition 22 the Vendor and the Purchaser

herbyagreethattheVendorshallbedeemedtobeincontrolofalldocumentsnecessarytoprocurethetransferofthetitletothePropertytothePurchaserandtobereadywillingandabletocompletethisContractnotwithstandingthattheVendormaybeacontractingPurchaseroftheProperty.

2.2 IntheeventofanyconflictbetweentheNationalConditionsofSaleandtheGeneral Conditions, theGeneral Conditions shall prevail. In the event ofanyconflictbetweentheNationalConditions,theGeneralConditionsandtheSpecialConditions,theSpecialConditionsshallprevail.

2.3 A copy of the National Conditionsmay be inspected at the offices of theAuctioneersorthesolicitorsfortheVendoronanybusinessdayduringusualbusinesshoursondueappointmentbeingmadeandinthesaleroomator

immediatelybeforetheauctionandthePurchasershallbedeemedtohavefullknowledgeofalltheprovisionsoftheseConditions.

3. SALECONTRACT,INSURANCELIABILITIESOFTHEBIDDER3.1 Theknockingdownandsaleof theProperty to theBidderand/ordelivery

of amemorandumof contract for the Property signed for or on behalf ofthePurchaserwithcash,achequeordraftinrespectofthedepositfortheProperty shall constitute a warranty and undertaking by the Bidder, thePurchaserandthepersons(ifany)signingonbehalfofthePurchaser:

3.1.1 ThattheBidder(ifany)orotherpersonsosigningonbehalfofthePurchaserhastheexpressauthoritysotosignandtobindthePurchaser.

3.1.2 Thatsuchchequeordraftwillbepaidonfirstpresentationand thatsuchpaymentwillbemadewithinnotmorethan5daysafterpresentation.

3.1.3 Thatsuchdeliveryisunconditional.3.2 Thetermsandprovisionsoftheseconditionsofsaleshallremaininfullforce

andeffectasfarastheyremaintobeperformedandobservednotwithstandingthatcompletionhastakenplace.

3.3.1 Subjecttoclause3.3.2onconsiderationoftheAuctioneersandtheVendorentering into thiscontractat therequestof theBidderandthePurchaser,thePurchaserandtheBidderforthePropertyattheauctionshallbedeemedtobepersonallyresponsibleandshallobserveandperformthetermsofthiscontractonmakinganacceptablebideven though theBidderpurports toactasagentforaprincipalanddespitepurportingtosignaMemoranduminarepresentativecapacitysothatliabilityshallbejointandseveralprovidedthatthetermsofthisclauseshallnotapplywheretheAuctioneersoranypartneroremployeeoftheAuctioneersaretheBidder.

3.3.2 IfthePurchasershallbeacompanythen:(a) ThecontracttopurchasetherelevantLotshallbedeemedtobeenteredinto

attherequestofthesuccessfulBidder(‘theGuarantor’).(b) TheGuarantorwarrantsthatthePurchaserisaproperlyconstitutedcompany

ofgoodstandingandempoweredtopurchaseanyestateorinterestinlandintheUnitedKingdomandthattheGuarantorhasbeendulyauthorisedbythePurchasertopurchasetheProperty.

(c) TheGuarantorguaranteestotheVendor(aswitnessedbythesignatureoftheGuarantorontheMemorandumofContractwhichtheGuarantorshallbedeemedtohavesignedasagentforthePurchaserandastheGuarantorofthePurchaser)asfollows:

(i) That the Guarantor shall within 5 working days of any request thereforeprovidetheVendor’sSolicitorssuchevidenceastheymayreasonablyrequiretoverifythewarrantiesgivenbytheGuarantor.

(ii) That the Purchaser will observe and perform its obligations under thiscontracttopurchasethePropertyandtheGuarantorwillmakegoodtoandkeeptheVendorindemnifiedinrespectofalllosses,actions,costs,damagesandexpensesoftheVendorarisingbyvirtueofanybreachbythePurchaserofsuchobligationsandtheGuarantor’s liabilities to the Vendor hereundershallnotbereleasedbyanyneglectorforbearanceonthepartoftheVendorin enforcing or giving time to the Purchaser for the performance of thePurchaser’scontracttopurchasesuchLot.

(iii) That ifanyliquidatorofthePurchasershalldisclaimthiscontractthentheVendormaywithin 28 days from the date of such disclaimer give to theGuarantor 14 days written notice requiring the Guarantor to accept anassurance of the Property and theGuarantor shall accept such assuranceupon the same terms (mutatismutandis) as this contract (as if any suchliquidatorhadnotdisclaimedthesame)savethattimeshallbeoftheessenceforthepurposesofthedateforcompletionwhichbeonorbeforetheexpiryofsuch14days’noticeandtheGuarantorshall(inadditiontothepaymentofallsumsduefromthePurchasertotheVendorunderthiscontract)paytotheVendoranyinterestwhichwouldhavebeenpayabletotheVendorbythePurchaserbutforsuchdisclaimer.

3.4 TheVendormayifitwishesmaintaintheinsuranceoftheProperty(unlessit ismaintained by a tenant,mortgagee or other third party) until actualcompletion,inwhichcase:

3.4.1 TheVendorshallnotberesponsibletothePurchaserforanydeficiencyintheamountinsured,orinadequacyoftheriskscovered,andthePurchasermustsatisfyitselfintheserespects,buttheVendorwillattherequestandcostofthePurchaserincreasetheamountinsuredand/ortheriskscovered.

3.4.2 TheVendorwillattherequestandcostofthePurchaserincreasetheamountinsuredand/ortheriskscovered.

3.4.3 TheVendorwill,ifsorequested,supplytothePurchaser,sufficientdetailsoftheinsuranceoftheProperty,butthePurchasermaymakeenquiriesdirectwiththeinsurers.

3.4.4 TheVendorwillattherequestandcostofthePurchaserobtainorconsenttoanendorsementofanoticeofthePurchaser’sinterestinthePropertyonthepolicy.

3.4.5 Thepurchaserwillberesponsiblefor,andwillondemand,payorreimbursethepremiumfor insuranceof theProperty for theperiod fromthedateofthisAgreementtothedateofactualcompletion,butthePurchaserwillbecreditedwithanyreimbursementsof thepremiumreceivedbytheVendorfromatenantorotherthirdpartywithrespecttothatperiod.ProvidedthattheVendorneedtakenoactionundertheclause3.4untilthePurchaserhasactuallypaidallamountsdueinrespectofcostsandpremiums.

3.5 ThePurchaserwill ifreasonablerequiredbytheVendorandsubjecttotheconsentoftheinsureracquirethebenefitofallpoliciesofinsuranceinrespectof thePropertywitheffect fromthedateof thisAgreement inwhichcaseclause3.4.1willapply.

3.6 ThePurchaserwillifrequiredprovideallnecessarydetailsandaccuratelyall necessaryproposalformstoenableittoacquirethebenefitoftheinsurances

referredtointhisclause.

4. RESERVE4.1 The reserveprice is theminimumprice forwhich theVendorwill sell the

Property.4.2 Unlessotherwisestatedthesaleissubjecttoareservepriceforeachproperty

andtheVendorandtheAuctioneersreservetherighttobidontheVendor’sownbehalforthroughanagentattheauctionuptothereservepriceonly.

4.3 TheVendororapersononhisbehalfmaybiduptothereserveprice.

5. DEPOSIT5.1 AdepositoftenpercentofthepurchasepriceshallbepaidtotheAuctioneers

asagentsfortheVendor.Aminimumdepositof£1,000shallbepaid.ThedepositisexclusiveofVATandthePurchaserwillpayanyVATattributabletotheDeposit.

5.2 ThedepositmaybepaidbysuchmethodastheAuctioneersshall intheirdiscretionacceptandifrequiredthePurchasershallproducesuchevidenceastheAuctioneersmayreasonablyrequireofhisidentityandcredit-worthinessand if the deposit is paid otherwise than in cash that his instrument ofpaymentwillbehonoured.

5.3 If the instrument of payment of the deposit is not honoured on firstpresentation theVendor shall have theoptionof rescinding the saleorofaffirmingthesaleandiftheVendoraffirmsthesaleeither

(a) theVendormaydeterminethecontractandforfeit thedepositwhichshallremainduetotheVendorandinadditionthePurchaserwillremainliableonhisinstrumentofpaymentor

(b) theVendormayseekperformanceofthesale.

6. STATEOFPROPERTY,REPRESENTATIONSANDEXCLUSIONS6.1 ThePropertyandanyIncludedItems isbelievedandshallbe takentobe

correctlydescribedastoquantityandotherwise.Anyerror,omissionormis-statementfoundintheParticularsoranyconditionsofsaleshallnotannulthesaleorentitlethePurchasertoanycompensationinrespectthereof.

6.2.1 ThePropertyandanyIncludedItemsaresoldintheirpresentstateofrepairandmaintenanceconditionanduserandthePurchaserherebyadmitsthathe/shehasinspectedthePropertyandIncludedItemsandthathe/sheentersintotheContractsolelyasaresultofsuchinspectionandonthebasisofthetermshereofandnotinrelianceofanystatementrepresentationorwarrantymadebyoronbehalfoftheVendororitsagents.

6.2.2 ThePurchasershalltakethePropertyandanyIncludedItemsasitis.6.2.3 TheVendorshallundernocircumstancesbeliableforthestateandcondition

of thePropertyorIncludedItemsor lossordamageor injuryofanykindwhatsoeverarisingfromanydefect,contaminationorpollutioninthePropertyorIncludedItemsandallwarrantiesconditionsandstipulationswhatsoeveronthepartoftheVendorastothestateandconditionofthePropertyorIncludedItemsorastowhetherthereisanycontaminationorpollutioninrespectthereofareherebyexcluded.

6.3 TheonlyrepresentationmadeorintendedtobeimpliedbyorfromthesaidParticularsinrelationtotenanciesisthattheamountsofrentsstatedaretherentsactuallypayablebythetenant.

Norepresentation ismadethatthoserentsarebeingpaidorareproperlypayable.

NorepresentationismadethatanynoticesservedwerevalidinproperformorproperlyservedbytheVendororhispredecessorsinTitle.

TheVendor shall notbe liable tomake compensation for any rents foundtobe improperly increasedornot legallybinding. ThePurchasershallbesatisfied with such evidence or information of the terms of the tenancies as theVendorcansupplywhethersuchhavebeenreducedtowritingornot.

6.4 The Purchaser and the Bidder will satisfy themselves before signing thecontract as to the correctness of all rents, business or otherwise and asto whether the same are properly payable under or by virtue of currentlegislationandstatutoryinstrumentsmadethereunder.

6.5 Noobjections,requisitionsorenquiryshallbemadebythePurchaserwhetherornothe/shehasmadesuchenquiriesasto

6.5.1 thecorrectnessorotherwiseofsuchrentalsoranyofthem;or6.5.2 whether thesamearenow lawfully recoverableeither inwholeor inpart.

The Purchaser shall not be entitled to refuse to complete or to demandcompensationordamagesorinanywaymakeanyclaimorcounterclaimorobtaincompensationonaccountofanyofthesematters.

6.6 Nothing shall be incorporated in any sale either collaterally or directly orindirectlyastowhether,inthecaseofpropertysoldsubjecttoanytenancyor tenancies, there are subsisting any sub-tenancies or similar suchoccupations.

6.7 Whether or not any such shall be disclosed at or before the Auction thePurchasershallbedeemedtopurchasewithfullknowledgeofanysuchsub-tenancyorsub-tenanciesoroccupationsthattheremaybewhetherornotthePurchasershallhaveenquiredoftheAuctioneersortheVendororhaveinspectedthePropertyandnoobjectionshallbetakenorrequisitionmadeonaccountthereof.

6.8 NotwithstandinganythingintheseconditionsorintheParticularscontainedor referred tono representation,warrantyor condition, either collaterally,directlyorindirectly,shallbemadeorimpliedwhatsoever

6.8.1 as to whether the Property is subject to any resolutions, schemes,developmentorders,improvementplans,improvementnoticesorschemes,sanitarynoticesor intimationnoticesorproposalsunder theHousingActsor

6.8.2 astowhetherthePropertyisinanareawhereredevelopmentisproposedor is subject to a roadwidening proposal or schemeor any othermatterwhatsoever.

6.9 The Purchaser shall be deemed to purchase in all respects subject to themattersreferredtoinclause6.8whetherornothe/shemakesanyenquiry.NeithertheVendornortheAuctioneersshallberequiredorboundtoinformthePurchaserofanyofthesaidmatterswhetherknowntothemornotandthePurchasershallraisenoenquiry,requisitionorobjectionthereonoranysuchmattersasaforesaid.

NeithertheVendornortheAuctioneersshallbeinanywayliableinrespectof suchmattersor failure todisclose thesame itbeingsolely thedutyofthePurchasertosatisfyhimself/herselfathis/herownriskinrespectoftheabovematters.

6.10 WithoutprejudicetothetermsoftheseconditionsandanyrelevantlegislationrelatingtheretothePropertyissoldsubjecttoand(whereappropriate)withthe benefit of:

6.10.1 all local land charges (whether registered or not before the date of thisagreement)andallmatterscapableofregistrationaslocallandchargesorotherwiseregister able by any competent authoritypursuanttostatuteorlikeinstrument.

6.10.2 Allnoticesservedanyordersdemandsproposalsorrequirementsmadebyanylocalorotherpublicorcompetentauthoritywhetherbeforeorafterthedateofthiscontract.

6.10.3 All actual or proposed charges, notices, orders, restrictions, agreements,conditionsorothermattersincludingTown&CountryPlanningActs.

6.10.4 Allrightsofway,water,light,airandotherrightseasementsquasieasements,liabilitiesandotherpublicrightswhatsoeverandtoanyliabilitytorepairorcontribute to the repairof roadways,passages,sewers,drains, fencesorotherlikemattersandtoallincumbrancesofwhatevernature.

6.10.5 Anyactualorproposedorder,directionnotice,charge,agreementorothermatterarisingundertheTownandCountryPlanningAct1990,thePlanning(Hazardous Substances) Act 1990, the Planning (Listed Buildings andConservationAreas)Act1990andthePlanning(ConsequentialProvisions)Act 1990 and any other legislation or constraint of planning law whetherthe same be registered in the records of any competent authority or notandon thebasis that the Purchaser shall bedeemed tohaveestablishedand satisfied itself in all respects as to past and present permitted uses of thePropertyandeachpart thereofandanyother relevant informationonplanningandrelatedmatters.

6.11 No representation is made:6.11.1 Thattherentpayableinrespectofanypropertyorpartthereofsoldsubject

toatenancyisproperlychargeableundertheRentorHousingActsorotherstatutesforthetimebeinginforceregulatingthecontrolofrentsor

6.11.2 that the landlordwas entitled to obtain possession at the timewhen anynoticeincreasingrentunderthesaidActsbecameoperative.

6.12 The only representationmadeor intendedor implied is that the amountsreferred to in the Particulars of Sale or the Special Conditions are therespectiverents

actuallyreservedtotheVendorandnoobjectionorrequisitionshallbetakenormadeastoanymatterarisingunderthesaidlegislationoranylegislationforthetimebeingamendingorreplacingthesameoranyotherstatuteorlegislationwhatsoever.

6.13 ThePurchasershallnotbeentitledtorequire6.13.1 particularsofthestandardrentorthelimitofthenetrentorofthefairrentor

thepresentorformerregulatedrentpayableinrespectofthePropertyoranypart.

6.13.2 copiesof statutorynoticesof increaseof rent andnotices toquit (if any)

whichhavebeenserved.6.14 ThePurchasershallraisenoobjectionthatthePropertyhasnotatanytime

beenregisteredwith the localauthorityasdecontrolledandthePurchasershallnotrequireanyparticularswhichunderthesaidActsoranyrulesmadethereunderaretobeinsertedinthetenants’rentbookstobesoinsertednorrequiredtobesuppliedwithanyparticularsforinsertion.

6.15 Inthecaseofaregulatedtenancy,noobjection,requisitionorenquiryshallbe made:

6.15.1 onthegroundsthatthesameisnotafairrent;6.15.2 that the same may exceed the registered rent under the appropriate

legislation;6.15.3 thatthesame(ifapplicable)hasnotbeenregistered;6.15.4 astowhetherornotanoticeofincreaseofrenthasorhasnotbeenvalidly

served;6.15.5 as to whether or not a certificate of disrepair has been obtained by a tenant

authorisingareductionofrent.6.16.1 The Purchaser shall not object to or claim damages or compensation or

rescissiononthegroundsthattheVendorhasnotcompliedwiththetermsofanycounternoticeserveduponorbyatenant.

6.16.2 The Vendor nor the Auctioneers shall be under any duty to acquaint thePurchaserofanysuchmattersreferredtointhisclause,whetherornotthesameareknowntotheVendorortheAuctioneersandthePurchasershallinallrespectssatisfyhimsself/herselfathis/herownriskandwhetherornothedoesso,noclaimshallbemadeorentertainedonthegroundsthatthePurchasershallbedeemedtohavefullknowledgeofallmattersrelatingtothePropertyundertheprovisionsoftheHousingActsorRentActsorotherrelevant legislation and shall raise no objection or requisition whatsoeverthereon.

6.17 It shall be the Purchaser’s responsibility to satisfy himself/herself beforemakingabidastotheaccuracyofthematterscontainedintheParticularsofSale.

6.18 The Purchaser herby admits and confirms that:6.18.1 thePurchaserhasinspectedthePropertyandanyIncludedItems;6.18.2 thePurchaserhasobtainedadviceandinformationwithregardthereto independentlyoftheVendorandtheAuctioneers;6.18.3 for the purposes of the Misrepresentation Act 1967 the Purchaser hereby

confirms that in entering into this Contract the Purchaser is relying on the Purchaser’sown judgementand theadviceof thePurchaser’sprofessionaladvisers and the terms hereof and is in no way influenced by any representationsmadetohimbyoronbehalfoftheVendor.

6.18.4 This agreement constitutes the entire contract between the parties andmay only be varied or modified (whether by way of collateral contract or otherwise)in

writingunderthehandsofthepartiesortheirsolicitors.ThePurchaser acknowledges that, save as for the written statements of the Vendor’s

Solicitors prior to the making of this agreement, the Purchaser has notenteredintothisagreementinreliancewhollyorpartlyonanystatementorrepresentationsmadetohim/her.

7. SALEBYPRIVATETREATY7.1 The Vendor reserves the right to sell any part of the Property by private

treatybeforetheauction.7.2 The Vendor reserves the right to alter or add to the Particulars of Sale

relatingtothePropertyandtheconditionsofsaleatanytimepriortothesale.

8. RIGHTSOFAUCTIONEERS8.1 TheAuctioneersareagentsfortheVendorandwillincertaincircumstances

beentitledtosigntheMemorandumofContractonbehalfofthePurchaserashisagent.

8.2 TheAuctioneersreservetherighttosellinseparatelotsifthewholeofthePropertyisunsoldortosellinonelotwhereindividuallotsareoffered.TheAuctioneersreservetherighttosellpriortoauction.

8.3 TheAuctioneersreservetheright toregulate thebiddingandtorefusetoacceptanybidswithoutassigninganyreasontherefore intheauctioneer’ssoleabsolutediscretion.

Intheeventofanydisputeinrespectofthebiddingorotherconductatthe auction the Auctioneer’s decision shall be final.8.4 The Auctioneers shall be under no financial liability in respect of any matters arisingoutoftheauctionortheParticularsofSaleorintheconditionsofsale.

NoclaimsshallbemadeagainsttheAuctioneersbythePurchaserinrespectofanylossdamageorclaimssufferedbyormadeagainstthePurchaserbyreason of the Purchaser entering the contract to purchase or acquire anyotherinterestintheProperty.

9. LEASEHOLDPROPERTY9.1 ThePurchaserofanyleaseholdpropertyshallwithin3daysofthedateof

thesalecontractoftheProperty,supplytotheVendor’ssolicitorssatisfactoryreferences (being a banker’s reference, solicitor’s reference, accountant’sreference,atleastonetradereferenceandlandlord’sreferenceandanyotherreferencethattheVendorshallreasonablyrequire)toenabletheVendortoapplyforalicencetoassignwherethisisnecessary.

9.2 ThePurchasershall if requiredby theVendorprovideassoonaspossiblesuch further financial and other information relating to the Purchaser as may be reasonably required to enable the Vendor to apply for such licence toassign.

9.3 IfthePurchasershallbereasonablyrequiredbytheVendor,thePurchasershallprocurethattwoindividualpersonsasmaybereasonablyapprovedbytheVendorshallenterintosuchformofwrittenguaranteecontainingsuchprovisionsasshallbereasonablyrequiredbytheVendororanylandlordofthePropertytojointlyandseverallyguaranteeperformanceofthecovenantsobligationsconditionsandagreementsonthepartofthetenantreferredtointherelevantleaseorleasesoftheProperty.

9.4 AnycovenantsthatmaybeimpliedbytheVendorsellingthePropertyshallnotbedeemedtoimplythatanyofthecovenantsonthepartoftheVendorastorenewal,repair,decorationormaintenanceofthePropertyhavebeenobservedandperformed.TheconveyanceortransferofthePropertytothePurchasershallcontainadeclarationtosucheffect.

9.5 ThePurchasershallberesponsibletocomplywithanyscheduleofdilapidationswhichshallbeservedeitherbeforeorafterthecontractdate.

9.6 The Vendor will upon completion (if requested by the Purchaser) at thePurchaser’s expense execute an assignment to the Purchaser of the benefit of any covenant guaranteeing the performance of the lessee’s obligationsunderanyleasesubjecttowhichthePropertyissoldinsofarastheVendorhas the benefit of such covenant.

9.7 ThePurchasershallifreasonablyrequiredbytheVendorenterintoadirectcovenant with the head or other landlord of the Property to comply withthe termsandprovisionsof any lease towhich theProperty is subject orotherwiseasrequiredbysuchlease.

10. RENT & OTHER ARREARS, RENT REVIEWS, SERVICE CHARGES &LEASERENEWALS

10.1 The Purchaser will on completion pay to the Vendor any arrears of rent,service,

maintenance and insurance charges and other amounts including ValueAddedTaxduetotheVendorfromanytenantoroccupierorinrespectofthePropertyoranypartorpartsthereofuptoandincludingthedateofactualcompletionandtheVendorwillattherequestandcostofthePurchaserassigntothePurchasertherighttorecoversucharrearsorothersuchamounts.

10.2 WherethePropertyissoldsubjecttoaleaseunderwhichtherentisduetobereviewedwitheffectfromadatepriortothedateofactualcompletionbutsuchrentreviewhasnotbeenagreedordeterminedpriortothedateoftheactualcompletionthen:

10.2.1 TherentinrespectofsuchpropertyshallbeapportionedoncompletiononthebasisoftheVendor’sreasonableestimateoftherentwhichwillultimatelybeagreedordeterminedinrespectthereof.

10.2.2 ThePurchasershalluseitsbestendeavoursassoonasreasonablypracticableto agree such review rent with the tenant or to procure the same to bedetermined.

10.2.3 ForthwithonsuchagreementordeterminationthePurchasershallnotifytheVendorandshallsupplytheVendorsuchdocumentsorothercorrespondencerelatingtheretoastheVendorshallrequire.

10.2.4 Within15workingdaysofsuchagreementordeterminationtheVendorandthePurchaser(asthecasemaybe)shallpaytotheothertheamountofanyexcessduetotheotherinrespectoftheperiodfromtheduedateforreviewunder the leaseand to thedateof theactualcompletionafter taking intoaccounttheestimatedsumapportionedunderthisclause.

10.2.5 If thePurchasershallbe the lesseeoranyassociatedcompanybyhavingcontrol over the lessee or acting onbehalf of the lessee then the rent tobeapportionedoncompletioninrespectofsuchpropertyshallbethesumnotified for the purposes of these conditions to the Purchaser prior to exchange ofcontractsorifthereshallbenosuchsumsthentheVendor’sreasonableestimateofsuchrentshallbedeemedtobetherentpayablewitheffectfromthedateofreviewandthisclauseshallbeconstruedaccordingly.

10.3 WhereatenantisholdingundertheprotectionoftheLandlordandTenantAct1954theVendorreservestherightatanytimeuptothedateofcompletiontoconcludeandgrantarenewalleasetosuchtenant.IftheVendorisunablebeforethedateofcompletiontoconcludeanysuchrenewalleasethenthefollowingprovisionsshallapply:

10.3.1 the Purchaser shall take over and conduct negotiations with the tenanttowardsagreeingterms for therenewal leaseandshalluseall reasonableendeavourstoconcludesuchagreementattheearliestopportunity;

10.3.2 thePurchasershallnotacceptoragreetoacceptanyrentfortheperiodoranypartthereofcommencingontheearliestdateonwhichtheCourtwouldorderpaymentofaninterimrentundertheprovisionsofSection24(A)ofthesaidActandendingonthedateofcompletionataratelessthanaratetowhichtheVendorhasgivenitspriorwrittenconsent(otherineithercasethanbyanorderof theCourt inwhichrespectthePurchasershalluseallreasonableendeavourstoensurethatanyordermadebytheCourtisforthemaximumrentlawfullyobtainable).

10.3.3 Forthwith upon the grant of any renewal lease (or any other disposal ofanycourtproceedings forarenewal lease including,butwithoutprejudicetothegeneralityoftheforegoing,theterminationofnegotiationsorcourtproceedingsforarenewal lease)thePurchasershallpaytotheVendorthebalanceoftherentpayablefortheperiodstipulatedinClause10.3.2overandabovetherentactuallyrecoverablebytheVendorpriortocompletiontothatperiodoranypartthereof.

10.3.4 ImmediatelyfollowingcompletionwherethetenanthasappliedtotheCourtfor the grant of a new tenancy the Purchaser will apply to the relevantcourttobesubstitutedfortheVendorasarespondentintheactionandthePurchaser hereby agrees to indemnify and keep the Vendor indemnified from andagainstallcosts,claimsandexpensesincurredbeforeorafterthedateofcompletion.

10.4 PriortothedateofactualCompletionthePurchasershalliftheVendorrequiresbeprovidedwithastatement(‘theinitialstatement’)bytheVendororbytheVendor’sManagingAgentscontaininga fairsummaryof theexpensesandoutgoings(‘theExpenses’)incurredorlikelytobeincurredintheperiodfromaparticulardatereferredtointheinitialstatementinrespectoftheProperty(‘thebasedate’)tothedateofactualCompletionintheprovisionoftheitemswhichtheVendor isobligedtoprovideorprovidesbywayofservicesandinrespectofanyothersimilarobligationsandthePurchasershallonactualCompletionpaytotheVendorasumequaltotheamount(ifany)bywhichtheExpensesexceedthetotalofallandanypaymentsonaccountthereforemadepursuant to the tenancydocuments (‘the totaladvancepayments’).Providedalwaysthat:

10.4.1 iftheExpensesarelessthanthetotaladvancepaymentstheVendorshallonactualCompletionmakeanallowancetothePurchaserequaltothedifferencebetweentheExpensesandthetotaladvancepayments

10.4.2 thePurchasershallwithinthreemonthsafterthedateofactualCompletionbe provided with a final statement (‘the final statement’) certified by the VendororbytheVendor’sManagingAgentsandcontainingafairsummaryoftheexpensesandoutgoingsincurred(includinganyexpensesandoutgoingsforwhichliabilityhasbeenincurredbutpaymentnotactuallymade)intheperiodfromthebasedatetothedateofactualCompletionintheprovisionoftheservicechargeitemsandthePurchasershallpaytotheVendorwithinfourteen days after being provided with the final statement a sum equal to the amount (if any) by which the expenses and outgoings shown in the final statement (‘the final expenses’) exceed the Expenses

10.4.3 if the final expenses shall be less than the Expenses the Vendor shall within fourteen days after the Purchaser has been provided within the final statement refund to the Purchaser the difference between the final expenses andtheExpenses.

10.5 InrespectofanyService/MaintenanceAgreementsrelatingtothePropertythefollowingprovisionsshallapply:

10.5.1 theVendorhasenteredintovariousService/MaintenanceAgreements(‘theService Agreements’) and the Purchaser acknowledges that it has beenprovidedwithcopiesofalltheServiceAgreements.

10.5.2 The Vendor will where applicable apply for consent to the assignment tothe Purchaser of the benefit of any of the Service Agreements or otherwise notifysuchcontractorsthatthePurchaserwilloncompletionbetakingthemover and on completion the Vendor will assign the benefit of the Service AgreementstothePurchaser.

10.5.3 The assignment of the Service Agreements shall be prepared by thePurchaser’s Solicitors and shall contain a covenant by the Purchaser withthe Vendor that the Purchaser will as from the Completion Date observeandperformtheVendor’sobligationsundertheServiceAgreementsandwillindemnify and at all times keep the Vendor indemnified against all claims demandsactions liabilitiesdamagescostsexpensesarising fromandaftertheCompletionDateorpursuanttoclause10.5.5hereof

10.5.4 ifconsenttotheassignmentisrefusedorifthePurchaserdoesnotintendto take over the benefit of any of the Service Agreements then the Vendor shallimmediatelyfollowingactualcompletionterminatetherelevantServiceAgreements inaccordancewith theprovisions thereofand theVendorwillprovide to the Purchaser a copy of such Notice or Notices (as the casemaybe)and thePurchaserherebyagrees that in suchcircumstances thePurchaserwillnotenterintoanysimilarAgreementwithanyotherpersonorCompanywhichwillcomeintoeffectpriortothedateofterminationoftherelevantServiceAgreements.

10.5.5 UptothedateofCompletiontheVendorshallmakeallpaymentsdueundertheServiceAgreementsandifontheCompletionDatesuchpaymentshavenotbeenformallydemandedbywayofservicechargefromtheTenantsinaccordancewiththetermsofthetenancydocumentsthenanysuchpaymentsshallbepaidbythePurchasertotheVendoronCompletion.

11. TITLE11.1 ThetenureofthePropertyandtheestateorinterestsoldareasstatedin

theSpecialConditions.11.2 Where the Property is registered at H.M. Land Registry the title shall be

deducedandconsistofacopyoftheentriesatH.M.LandRegistryandtheFiledPlanandauthoritytoinspecttheRegisterwherenecessary.TitleshallbededucedinaccordancewiththeLandRegistrationActs.

11.3 WherethePropertyisnotregisteredatH.M.LandRegistrytitleshallbededucedfromwhicheverofthefollowingarerelevantunderthecircumstances.

11.3.1 TheleaseunderwhichthePropertyisheld.11.3.2 A conveyance or conveyances on sale for value or legal mortgage or

mortgagesdatedat least15yearspriortothedateofcontractandwhichproperly identifies the Property.

11.4 Unless otherwise stated in the Special Conditions the Vendorwill transferthePropertywithfulltitleguaranteeinaccordancewiththeLawofProperty(MiscellaneousProvisions)Act1994.

11.5 The Purchaser shall admit the actual identity of the Property with thatcomprisedinthedocumentsabstractedbytheVendorascontainingthetitletheretowithout requiringany further evidence thereof other than such (ifany)asmaybeaffordedbyacomparisonofthedescriptionsofsuchpropertyintheSpecialConditionsandinsuchdocuments.

ThePurchasershallnotbeentitled to raiseanyobjectionor requisition inrespectofanyinconsistencyintheplansorareasofsuchproperty.

11.6 The Purchaser shall not raise any objection or requisition or enquiry inrespectofanyrights,covenants,obligations,privileges,licencessubsisting,acquiredorbeingacquiredoverorinrespectoftheProperty.TheVendorortheAuctioneersshallbeundernoliabilitytodisclosethesamewhetherornotthesameareknowntothem.

11.7 The Property is sold subject to and with the benefit of:11.7.1 the agreements, rights, exceptions, reservations, restrictions, stipulations,

covenants,declarationsandothermatters(ifany)referredtointhePropertyProprietorship and Charges Register relating to the Property where it isregistered at H.M. Land Registry except charges securing repayment ofindebtednessoftheVendor:

11.7.2 any other matters as are referred to in the Special Conditions and theParticularsof SalerelatingtotheProperty:

details whereof been available for inspection by the Purchaser and thePurchaser shall be deemed to purchase with full knowledge and noticethereofandshallnotraiseanyrequisitionorobjections inrespectthereof.TheassurancetothePurchasershallcontainacovenantbythePurchasertoobserveandperformsuchmattersandindemnifytheVendoragainstallactions,claims,expensesandliabilitiesinrespectthereof.

11.8 The Property is also sold subject to and with the benefit of any leases, tenancy agreements,licences,noticesandothersimilardocumentstoanyleaseholdtitleinthePropertyreferredtointheSpecialConditionsandParticularsofSalerelatingtotheProperty.

Copies of such documents being available for inspection at the offices of the Vendor’s solicitors the Purchaser shall be deemed to have inspected suchdocumentsbeforemakinganofferforthePropertyandshallbedeemedtopurchasewithfullknowledgeandnoticeofthecontentsofsuchdocumentsandshallraisenoobjectionorrequisitioninrespectofthesameorastotheidentity of the tenantsor theamountsof the rent or other sumspayableundersuchdocuments.

TheassurancetothePurchasershallcontainacovenantbythePurchasertoobserveandperformall thecovenants,agreementsandconditionsonthepartoftheVendororitspredecessorsintitlecontainedinsuchdocumentsandtoindemnifytheVendoragainstallactions,claims,expensesandliabilityinrespectthereof.

11.9 If theVendor’s title is in theprocessofbeingregisteredat theH.M.LandRegistrythePurchasershallnotrequiretheVendortocompleteregistrationof the title to the Property prior to completing the sale to the Purchaser.The Vendor will assist the Purchaser in procuring the registration of thePurchaser’sinterest.

11.10 Where relevant the Vendor’s land certificate or charge certificate relating to theProperty will be placed on deposit at the H.M. Land Registry prior tocompletionandthePurchaseror thePurchaser’ssolicitors informedof thedepositnumber.

11.11 ThePurchasershallraisenoobjectionorrequisitionregardingthecontentsortheabsence fromthe titlededucedofany licence toassignorunderletorto make alterations or change of user and /or notice of such assignmentand/orunderlettingordeedofmemorandumofrentreview.ThePurchasershallaccept(savewheretheSpecialConditionsindicateotherwise)thatsuchlicences,noticesofdeedsandmemorandawerelawfullyissued.

11.12 TheVendorreservestherighttoatanytimebeforecompletiontoletgrantanylicencetoassignunderletorotherwisealienatetheleaseofanypartofthePropertyorchangetheuseormakealterationstoanysuchpartineachcasewithoutreferencetothePurchaser.

12. INCLUDEDITEMS12.1 ThePurchasershallsatisfyhimselfastotheownershipofallIncludedItems

before making an offer thereof. Also the Purchaser shall satisfy himselfwhether or not the sameare ownedby theVendor or the tenants of theProperty,orareonhireorhirepurchasefromtherelevantsupplycompany.

Neither theVendor nor theVendor’s solicitors accept any responsibility inrespect of paymentswhich may be outstanding in respect thereof or anyresponsibilityinthematterwhatsoever.

12.2 All fixtures and fittings in the nature of tenants’ trade fixtures and fittings areexcludedfromthesale.

13. PLANNING&BYE-LAWREGULATIONS13.1 Noobjectionor requisitionshallbe raisedas to thepermitteduserof the

PropertyforthepurposesoftheTown&CountryPlanningActsorastoanyothermattersarisingunderthesaidActsoranyrulesorregulationsmadeorarisingthereunderorastowhetherthePropertyorIncludedItemscomplywith all relevant bye-law rules and regulations relating thereto and thePurchasershalltakethePropertyand thesaiditemsasitisunderthesaidActs,rulesandregulationsandmakenorequisitionorobjectioninrespectoftheactualexistinguseofthePropertyortheIncludedItems.

13.2 NothinghereincontainedshallbedeemedtoconstituteanywarrantybytheVendorortheAuctioneersthattheuseofthePropertyoranypartthereofis authorised under the said Planning Acts or any rules or regulations orotherwise for use for any specific purpose.

14. COMPLETION Completionshallbe:14.1 Inthecaseoffreeholdproperty28daysafterthecontractdate.14.2 Inthecaseofleaseholdproperty,thelaterof:14.2.1 28daysaftercontractdateoriflater;14.2.2 thefirstworkingdayaftertheexpirationofthreedaysfromthedateonwhich

theVendorshallhaveobtainedthereversioner’slicenceinaccordancewithNational Condition 11 of the said National Conditions of Sale but withoutprejudice to the Purchaser’s obligations hereunder if reversioner’s licenceshallnothavebeenobtainedwithin3months fromthecontractdate, theVendormayrescindthiscontractonthesametermsasifthePurchaserhadinsistedinanobjectionthetitletowhichtheVendorisunabletoremove.

14.3 If themoneydueon completion is credited to the current account of theVendor’ssolicitorsaftertwelvenoononanydayorwherecompletiontakesplace after twelve noon on any day, then for all the purposes of theseconditionssuchmoneyshallbedeemedtohavebeenreceivedorcompletionshallbedeemedtohavetakenplace(asthecasemaybe)onthefollowingworkingday.

14.4 IfduetothedefaultofthePurchasercompletiondoesnottakeplaceatthedatefixedforcompletion,thePurchasershallpaytheVendor’ssolicitorscostsplusVATforrecalculatingthecompletionstatementandservinganoticetocomplete,andanyothercostsreasonablyincurredduetosuchdefault.

14.5.1 Pending completion theVendor shall beat liberty todealwithallmattersin relation to themanagementof thePropertyand to theperformanceofthelandlord’scovenantsinanyleasewhichthepropertyisexpressedtobesubject.Thisshall includedealingwithrentreviews,renewalsoftenanciesandgrantofnewtenanciesandlicencesforsuchperiod.TheVendorshallbeatlibertytoinstructsurveyors,solicitors,agents,contractorsandothersinconnectionwithsuchmattersandothermattersproperlyarisingbeforetheactualcompletion.ThecostsandexpensesthereofshallbepayablebyorreimbursedbythePurchasertotheVendor.

14.5.2WhereanyNoticeunderSection146oftheLawofPropertyAct1925oranyothernotice relating to thePropertyoruseor condition thereofhasbeenservedinrespectoftheProperty,thePurchasershalltakeoverconductofallmattersarisingoutoftheserviceofsuchNoticeandanyCounterNoticeor other proceedings relating thereto and shall indemnify the Vendor andreimburse theVendorondemandall feesandexpensesproperly incurredin relation thereto,whetherornot suchareultimately recoverableby thePurchaser.

14.6 TheVendorshallbedeemedtobereadyandwillingtofulfiltheoutstandingobligationsunderthecontractnotwithstandingthatanymortgageorchargeorthelikeaffectingthePropertyshallnothavebeenredeemedordischargedwhen any notice is given pursuant to Condition 22(1) of the NationalConditions of Sale (20th Edition) if the aggregate of all sums payable toredeemallsuchmortgagesandtodischargeallsuchcharges(totheextentthattheyaffecttheProperty)doesnotexceedtheprice.

14.7 TheVendorshallnotbe required todeliveranyLandRegistryForm53orApplicationtoWithdrawNoticeofDepositordischargedformofmortgageorchargeuponcompletion.

ThePurchasershallacceptanundertakingfromtheVendor’ssolicitorsintheformrecommendedbytheLawSocietyinrespectthereof.

14.8 Ifcompletionwouldotherwise takeplaceonaSaturday,SundayorpublicholidayundertheprovisionsofthisclausecompletionshalltakeplaceontheworkingdayimmediatelybeforesuchSaturday,Sundayorpublicholiday.

15. TRANSFERORCONVEYANCE The Purchaser shall not be entitled to require the Vendor to convey the

PropertyotherwisethantothePurchaserorbymorethanonetransferorconveyanceand/oratapricegreaterthanthatspecifiedinthisagreement.

16. VAT InadditiontothepurchaseconsiderationthePurchasershalloncompletion

payanyValueAddedTaxthatmaybedueinrespectofsuchconsiderationandinrespectofanyothersumsdueinaccordancewiththisAgreement.TheconsiderationandothersumsshallbeexclusiveofValueAddedTax.

TheVendorwillifrequireddelivertothePurchasersuchevidenceasshallbereasonablyrequiredinrespectofsuchpayment.

17. PROPERTIESOUTSIDEENGLANDANDWALES The General Conditions will only apply to any property situated outside

EnglandandWalessofarastheydonotconflictwithorareconsistentwiththelawsofthecountryorareawherethePropertyissituated.

18. NOTICESTOPROSPECTIVEPURCHASERS The Purchaser and the Bidder shall be deemed to have fully considered

andhave full knowledgeofand tohaveaccepted the items referred to inthe auction catalogue of theAuctioneers and in this catalogue relating tothePropertyheaded ‘Notices to ProspectivePurchasers’whichnoticesareincorporatedintotheseconditions.TheBiddershallbethepersonwhobidsforand towhomtheproperty isknockeddownby theAuctioneersat theauction.

19. CLAUSEHEADINGS Theclauseheadingsshallbedeemedtobeforconvenienceorreferenceonly

andshallnotbeconstruedtobepartoftheseconditionsofsale.

20. SERVICEOFNOTICES20.1 AnynoticesrequiredtobegiventotheVendorunderthetermsofcontract

shall be deemed duly served if delivered by hand or sent by ordinaryregisteredorrecordeddeliveryposttotheVendorortheVendor’ssolicitorsattheaddressreferredtointhesetermsorlastknownaddress.

20.2 AnynoticerequiredtobegivenordocumentsrequiredtobesenthereundershallbedeemeddulydeliveredifdeliveredbyhandorbyordinaryregisteredorrecordeddeliveryposttothePurchaserorthePurchaser’ssolicitorsattheaddressoraddressreferredtohereinorthelastknownaddressasthecasemaybe.

20.3 Suchnoticeordocumentsshallbedeemedtobedeliveredorservedatthetimewhenthesameisdeliveredtosuchaddressorifservedbypostfortyeighthoursafterthetimeofposting.
