    END-USER LICENSE AGREEMENT (Per Copy Per Device)

    These license terms are an agreement between the licensor of the softwareapplication or suite of applications with which you acquired the Microsoft software(Licensor) and you. Please read them. They apply to the software named above, which includesthe media on which you received it, if any. The terms also apply to any Microsoft

    updates,

    supplements, and Internet-based services

    for this software, unless other terms accompany those items. If so, those terms apply. Microsoft

    Corporation or one of its affiliates (collectively, Microsoft) has licensed the software to Licensor.

    By using the software, you accept these terms. If you do not accept them, do not use thesoftware. Instead, return it to the place of purchase to determine its return policy for a refund orcredit.

    These terms supersede any electronic terms which may be contained within the software. If anyof the terms contained within the software conflict with these terms, these terms will control.

    If you comply with these license terms, you have the rights below for each license you acquire.

    1. OVERVIEW.

    a. Software. The software includes desktop application software.

    b. License Model. The software is licensed on a per copy per device basis.

    2. INSTALLATION AND USE RIGHTS.

    a. Licensed Device. The licensed device is the device on which you use the software. Youmay install and use one copy of the software on the licensed device.

    1 LICENSOR: Include the appropriate name, that is, either Fleet Edition, Navigation Edition or

    Standard Edition. For example, if the licensed software is Microsoft MapPoint

    2011, Fleet Edition,

    the name is: Microsoft MapPoint

    2011 Fleet Edition.

    2 LICENSOR: Specify the total number of copies of the software the end user is licensed for under thisagreement.

    b. Portable Device. You may install another copy on a portable device for use by the singleprimary user of the licensed device.

    c. Separation of Components. The components of the software are licensed as a single unit.You may not separate the components and install them on different devices.

    d. The software is time-sensitive and will stop running sixty days after you install it unlessyou enter the product key. You will be reminded to enter the product key on each start of

    the software during the sixty day period until the product key is entered. If you do notenter the product key you may not be able to access data used with the software once itstops running.

    3. ADDITIONAL LICENSING REQUIREMENTS AND/OR USE RIGHTS.

    a. Use of Maps.

    You may copy maps and information from maps for your internal, noncommercial use.

    You may not delete or change any legal or copyright notices.

    You may not use the software to produce sales leads.

    Some of the information in the software may be inaccurate and may produce incorrectresults. Do not expect the software to provide or depict exact distances, directions, orgeographic features. You may not use the software in an unsafe way.

    For MapPoint (MapPoint), you may not provide real-time vehicle guidance. You maynot calculate or recommend a route or ordering of destinations based on the locationof more than one vehicle.

    For MapPoint, you may connect the licensed device to the systems of your vehicleonly to receive power or use its audio system to output the softwares voice-basedguidance notifications. You may not use the software to interface with those vehiclesystems in any other manner.

    b. Fleet Applications.

    Fleet applications are software that use MapPoint, and data from sensors used

    specifically with multiple vehicles to provide location information (such as GPSsystems and triangulation devices). You may use MapPoint with fleet applicationsonly if you separately license MapPoint Fleet Edition. For MapPoint Fleet Edition, youmay use the software with fleet applications for any number of vehicles.

    4. INTERNET-BASED SERVICES. Microsoft provides Internet-based services with the software.It may change or cancel them at any time. You may not use these services in any way that couldharm them or impair anyone elses use of them. You may not use the services to try to gainunauthorized access to any service, data, account or network by any means.

    5. SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you somerights to use the software. Licensor and Microsoft reserve all other rights. Unless applicable lawgives you more rights despite this limitation, you may use the software only as expresslypermitted in this agreement. In doing so, you must comply with any technical limitations in thesoftware that only allow you to use it in certain ways. For more information, see the softwaredocumentation. You may not:

    Reverse-engineer, decompile, or disassemble the software, except and only to theextent that applicable law expressly permits, despite this limitation

    Make more copies of the software than specified in this agreement or allowed byapplicable law, despite this limitation

    Publish the software for others to copy

    Rent, lease, or lend the software, or Use the software for commercial software hosting services

    6. BACKUP COPY. You may make one backup copy of the software. You may use it only toreinstall the software.

    7. DOCUMENTATION. Any person that has valid access to your computer or internal networkmay copy and use the documentation for your internal, reference purposes.

    8. NOT FOR RESALE SOFTWARE. You may not sell software marked as "NFR" or "Not forResale."

    9. ACADEMIC EDITION SOFTWARE. You must be a "Qualified Educational User" to use softwaremarked as "Academic Edition" or "AE." If you do not know whether you are a QualifiedEducational User, visit www.microsoft.com/education or contact the Microsoft affiliate servingyour country.

    10. TRANSFER TO ANOTHER DEVICE. You may uninstall the software and install it on anotherdevice for your use. You may not do so to share this license between devices.

    11. TRANSFER TO A THIRD PARTY. The first user of the software may transfer it, and thisagreement, directly to another end user as part of a transfer of the integrated software turnkeyapplication or suite of applications (the Unified Solution) delivered to you by or on behalf of the

    Licensor solely as part of the Unified Solution.. Before the transfer, that end user must agree thatthis agreement applies to the transfer and use of the software. The first user must uninstall thesoftware before transferring it separately from the device. The first user may not retain anycopies.

    12. EXPORT RESTRICTIONS. The software is subject to United States exportlaws and regulations. You must comply with all domestic and international exportlaws and regulations that apply to the software. These laws include restrictions ondestinations, end users and end use.     13. ENTIRE AGREEMENT. This agreement and the terms for supplements, updates,and

    Internet-based services that you use, are the entire agreement for the software.

    14. LEGAL EFFECT. This agreement describes certain legal rights. You may have other rightsunder the laws of your state or country. You may also have rights with respect to the party fromwhom you acquired the software. This agreement does not change your rights under the laws ofyour state or country if the laws of your state or country do not permit it to do so.

    15. NOT FAULT TOLERANT. THE SOFTWARE IS NOT FAULT TOLERANT. LICENSORHAS INDEPENDENTLY DETERMINED HOW TO USE THE SOFTWARE IN THEINTEGRATED SOFTWARE APPLICATION OR SUITE OF APPLICATIONS THAT IT ISLICENSING TO YOU, AND MICROSOFT HAS RELIED ON LICENSOR TO CONDUCTSUFFICIENT TESTING TO DETERMINE THAT THE SOFTWARE IS SUITABLE FOR SUCH

    USE.16. NO WARRANTIES BY MICROSOFT. YOU AGREE THAT IF YOU HAVE RECEIVEDANY WARRANTIES WITH REGARD TO EITHER (A) THE SOFTWARE, OR (B) THESOFTWARE APPLICATION OR SUITE OF APPLICATIONS WITH WHICH YOU ACQUIREDTHE SOFTWARE, THEN THOSE WARRANTIES ARE PROVIDED SOLELY BY THELICENSOR AND DO NOT ORIGINATE FROM, AND ARE NOT BINDING ON, MICROSOFT.

    17. NO LIABILITY OF MICROSOFT FOR CERTAIN DAMAGES. TO THE MAXIMUMEXTENT PERMITTED BY APPLICABLE LAW, MICROSOFT SHALL HAVE NO LIABILITYFOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES ARISINGFROM OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SOFTWARE ORTHE SOFTWARE APPLICATION OR SUITE OF APPLICATIONS WITH WHICH YOUACQUIRED THE SOFTWARE, INCLUDING WITHOUT LIMITATION, PENALTIES IMPOSEDBY GOVERNMENT. THIS LIMITATION WILL APPLY EVEN IF ANY REMEDY FAILS OF

    ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL MICROSOFT BE LIABLE FOR ANYAMOUNT IN EXCESS OF TWO HUNDRED FIFTY U.S. DOLLARS (US$250.00).
