PROPOSED AMENDMENTS TO THE NATIONAL BYLAWS

Proposed Amendments to the Bylaws of The National Exchange Club

To be considered at the National Convention in New Orleans, Louisiana, July 9-12, 2014

Method of Amending the Bylaws of The National Exchange Club

Proposed Amendments are to be considered by the Representatives of Exchange Clubs and other members of The National Exchange Club in Convention assembled. The Bylaws may be amended by a majority vote of the accredited delegates present and voting, except Articles I, II, III, IV, V, VI, VII, VIII, IX, X, XI, XVII and XVIII, which require a two-thirds (2/3) vote of the accredited delegates present and voting. An asterisk (*) is shown after each of the Proposed Amendments that fall into the category requiring a two-thirds vote. The following Proposed Amendments were placed in the hands of the Executive Vice President sixty (60) days prior to the date of the National Convention. A copy of the Proposed Amendments must be mailed to the President and Secretary of each club not later than thirty (30) days prior to the date of the convention. The form and language have been approved by the National Committee on Jurisprudence and Laws. Dissemination of information on the proposals does not necessarily imply endorsement by The National Exchange Club or any official committee or board. The presenter is noted with each Proposed Amendment.

PROPOSED AMENDMENT NO. 1* ARTICLE IX – National Board of Directors

RESOLVED that Section 1 of Article IX (National Board of Directors) of the Bylaws of The National Exchange Club be amended by striking the phrase “twelve (12)” and substituting “no more than ten (10)”; so that Section 1, as amended, shall read:

Section 1. The National Officers as defined in Article VII of these Bylaws, together with twelve (12) no more than ten (10) Regional Vice Presidents elected by a majority vote of accredited and voting delegates to the annual convention shall constitute the National Board of Directors.

The National Board of Directors has the power to establish such terms and conditions for the granting of temporary authority by the National President for the organizing of new clubs and, under the limitations and restrictions prescribed herein, to grant charters to new clubs.

The National Board of Directors shall determine what matter, movements or policies are National in their scope. No club, district, officer or member thereof, shall undertake to initiate a National movement or policy. Districts shall not solicit funds for any purpose from clubs or membership thereof.

The decision of the National Board of Directors shall be subject to the right of appeal to the next annual convention by any member of The National Exchange Club. Such appeals must be filed with the Executive Vice President at least sixty (60) days prior to the opening of the convention.

PROPOSED AMENDMENT NO. 2* ARTICLE XVII – Fiscal Matters

RESOLVED that Section 1 of Article XVII (Fiscal Matters) of the Bylaws of The National Exchange Club be amended, effective September 1, 2014, by striking the amount $18.50 in the first sentence and substituting $19.00; so that Section 1, as amended, shall read:

Section 1. Each chartered club shall pay to The National Exchange Club quarterly per capita dues of $18.50 $19.00 per Active, Active Honorary, At-Large, and Business Member, and $8.00 per Honorary Member. A club, newly-formed during any quarter, is exempted from the payment of per capita dues for the next ensuing quarter.

These dues include the sum of $1.50 as one-fourth (1/4) payment on a yearly subscription of $6.00 for Exchange Today Magazine. The sum of $2.50 per member per quarter shall be deposited to the account of The National Exchange Club Foundation. Said funds will be used for the purpose of raising public awareness for The National Exchange Club and providing funding for The National Exchange Club’s Programs of Service, including its National Project, the prevention of child abuse. Said dues shall be payable quarterly in advance and dues are payable by the 10th day of July, October, January and April of each year.

In addition, each club shall pay to The National Exchange Club a one-time Life Member fee in the amount of $500.00, for each Life Member, payable at the time the club’s Board of Directors elects a member to Life Membership status.

PROPOSED AMENDMENT NO. 3* ARTICLE XVII – Fiscal Matters

RESOLVED that Section 4 of Article XVII (Fiscal Matters) of the Bylaws of The National Exchange Club be amended, effective July 1, 2014, by striking the amount $15.00 in the first sentence and substituting the amount $20.00; so that Article XVII, Section 4, as amended, shall read:

Section 4. Each chartered club shall pay to The National Exchange Club an administrative fee in the sum of $15.00 $20.00 for each new, reinstated or transferred member, and $50.00 for each Business Member ac-quired. Such fees shall be transmitted to the Executive Vice President quarterly.

RESOLVED that Section 1 of Article XVII (Fiscal Matters) of the Bylaws of The National Exchange Club be amended in the first paragraph by striking the phrase “the next ensuing quarter” and substituting the phrase “a period of ninety (90) days from the date of charter”; so that Article XVII, Section 1, as amended, shall read:

Section 1. Each chartered club shall pay to The National Exchange Club quarterly per capita dues of $18.50 per Active, Active Honorary, At-Large, and Business Member, and $8.00 per Honorary Member. Section 8. For Family Membership, national dues for the first member in a family shall be $18.50 per quarter the same quarterly per capita dues rate as established for Active, Active-Honorary, At-Large and Business Members. Quarterly dues for additional family members shall be $10.00 per member. The family membership rate will affect only the Active membership category. Billing will be the responsibility of the local club, which shall notify The National Exchange Club of those seeking the family membership rate.

RESOLVED that Section 7 of Article XVII (Fiscal Matters) of the Bylaws of The National Exchange Club be amended by adding the following sentence immediately following the second sentence: “The sum of $10.00 shall be distributed to The National Exchange Club; and the sum of $2.00 shall be deposited to the account of The National Exchange Club Foundation, with said funds to be used for the purpose of raising public awareness for The National Exchange Club and providing funding for The National Exchange Club’s Programs of Service, including its National Project, the prevention of child abuse.” Section 7, as amended, shall read:

Section 7. Excel Clubs and Junior Excel Clubs, when they are chartered, shall pay fifty percent (50%) of the

Charter fee for local Exchange Clubs to The National Exchange Club. Excel Clubs and Junior Excel Club members shall pay membership dues of $12.00 per year. The sum of $10.00 shall be distributed to The National Exchange Club; and the sum of $2.00 shall be deposited to the account of The National Exchange Club Foundation, with said funds to be used for the purpose of raising public awareness for The National Exchange Club and providing funding for The National Exchange Club’s Programs of Service, including its National Project, the prevention of child abuse. Dues billings will be sent out January 1.

PROPOSED AMENDMENT NO. 8* ARTICLE IX – National Board of Directors

RESOLVED that Sections 7 and 9 of Article IX (National Board of Directors) of the Bylaws of The National Ex-change Club be amended in Section 7 by striking the word “mailed” and substituting the phrase, “sent by mail, email or other electronic media,”; and in Section 9 by adding a second paragraph, which will read: “For the National Board of Directors to conduct business by conference call or other electronic media, the secretary shall call the roll of the members present, quorum to be determined by voice acknowledgement of the members. Voting on all matters shall be by voice roll call, with the secretary to announce the results.” Article IX, Sections 7 and 9, as amended, shall read:

Section 7. A written notice of the time and place of all meetings of the National Board of Directors shall

be mailed sent by mail, email or other electronic media, to each member of the National Board of Directors by the Executive Vice President not less than thirty (30) days prior to any meeting.

Section 9. The National Board of Directors may transact business by electronic media or by voting upon any proposal mailed to the members thereof by the Executive Vice President with the approval of the National President. Fifteen (15) days from the date of mailing shall be allotted for the return of the votes thereon to the Executive Vice President. The voting shall be considered closed at the end of fifteen (15) days or any time prior thereto when all members have returned their votes. Any proposal not receiving an affirmative vote of a majority of the National Board within fifteen (15) days, or when required, a two-thirds (2/3) affirmative vote of the National Board of Directors under the provisions of the Bylaws of The National Exchange Club, shall be deemed to be lost.

For the National Board of Directors to conduct business by conference call or other electronic media, the secretary shall call the roll of the members present, quorum to be determined by voice acknowledgement of the members. Voting on all matters shall be by voice roll call, with the secretary to announce the results.

RESOLVED that Section 2 of Article XII (Conventions) of the Bylaws of The National Exchange Club be amended by inserting the phrase “send the official call for the annual convention by” prior to the word “mail”; and by inserting a comma (,) and the phrase “email or other electronic media” followed by a comma (,); and by striking the words “and” and “each” as noted; so that Section 2, as amended, shall read:

Section 2 Call. The President shall issue and the Executive Vice President shall send the official call for the annual convention by mail, email or other electronic media, to each Club President, and Club Secretary,

Tuesday, July 8 8:30 a.m. – NEC Foundation Board of Trustees meeting in Nottaway (4th floor), preceded by breakfast at 7:30. Wednesday, July 9 8:30 a.m. – The Pre-Convention Meeting of the National Board of Directors in Nottaway (4th floor), preceded by a continental breakfast at 8:00. 12:00 noon – NEC National Board of Directors/Past National Presidents Lunch in Grand Couteau (5th floor). 5:00 p.m. – First Time Attendee Reception in Waterbury (2nd floor). (National Board members should attend.) 8:00 p.m. – Opening Entertainment Event; Grand Ballroom (5th floor). Thursday, July 10 9:00 a.m. – All candidates will be announced at the Opening Session in the Grand Ballroom (5th floor). 11:00 a.m. – Exchange’s Programs of Service and Fundraising Expo in the Grand Ballroom Foyer. 12:30 p.m. – Exchange Club National Project Luncheon; Grand Ballroom. 2:15 p.m. – Convention Session 2 – Proposed Amendments; Grand Ballroom. 4:15 p.m. – Any candidates with opposition for national office are scheduled to participate in the National Candidate Forum. Any regional caucuses will follow for regions with opposition; Grand Ballroom. Friday, July 11 9:00 a.m. – All candidates with opposition, who will be voted on by the convention delegates, will have the opportunity to give a five-minute presentation to the convention body during Convention Session 3 (Election Session) in the Grand Ballroom (5th floor). Each candidate without opposition will be given one minute to introduce him or herself to convention delegates. Voting will immediately follow. 11:00 a.m. – Exchange’s Programs of Service and Fundraising Expo in the Grand Ballroom Foyer. 12:30 p.m. – One Nation Under God Luncheon; Grand Ballroom. Saturday, July 12 10:15 a.m. – Members of the 2014/2015 National Board of Directors will be introduced during Convention Session 4 in the Grand Ballroom (5th floor); and National President Designate Tom Karnes will address the convention body during this session. 1:15 p.m. – The NEC Foundation Board of Trustees Meeting, held Tuesday, July 8, will be reconvened on Saturday in Ellendale (4th floor), followed by the organizational meeting of the 2014/2015 NEC Foundation Trustees. 6:00 p.m. – The 2014/2015 National Board of Directors and Foundation Board of Trustees will be installed during the Exchange Celebration Banquet in the Grand Ballroom. Men are asked to wear a black tux, and women are asked to wear suitable formal attire.

Sunday, July 13 8:00 a.m. – The Post-Convention Meeting of the National Board of Directors will be held in the Grand Chenier

Room, 5th floor. A continental breakfast will be available. Regional Vice President Training Requirement The NEC Bylaws require all Regional Vice President candidates (who have not previously served on the National Board of Directors) to undergo training before their election on the responsibilities of a Regional Vice President. A test has been emailed to each individual required to undergo this training. Upon completion, the test must be submitted to National Headquarters. Candidates will be notified of results. Candidates Running From the Convention Floor The National Bylaws allow further nominations from the floor of the National Convention. Anyone desiring to do so must submit his or her intention to run from the floor in writing to the Executive Vice President prior to 9:00 p.m. on the first day of the convention. A special form for this purpose will be available from the Convention Registration Area. The form must be endorsed in writing by three delegates from three different clubs, within a person’s region, other than the candidate’s own club. Although completed forms for candidates running from the floor must be submitted by 9:00 p.m. on July 10, any candidate running from the floor of the convention who submits his or her completed form by 2:15 p.m. that day will be eligible to participate in the National Candidate Forum, scheduled for 4:15 p.m. that afternoon.

IRS MILEAGE REIMBURSEMENT RATE FOR 2014 The IRS has decreased its optional standard mileage rate to $0.56/mile for 2014. The National Exchange Club’s policy is to reimburse board members for Exchange-related travel up to their budget at a rate that is half of that of the IRS, or $0.28/mile.
