EXECUTIVE SUMMARY

The OfferingCBRE, Inc. on behalf of Arch Road, L.P. (“Owner”) is offering a unique opportunity to acquire approximately ±342 gross acres of fully entitled land within the NorCal Logistics Center (“NCLC”) in Stockton, California. This master-planned industrial park is located in the center of California’s Central Valley region; less than one mile from Highway 99 and within close proximity to I-5 and the I-4 Crosstown Freeway. NorCal Logistics Center is the closest project to the Burlington Northern Santa Fe Railroad’s “state of the art” intermodal facility. The site is an attractive investment for developers or investors looking to expand their reach in Northern California given the scale of the site and excellent location to service the greater San Francisco Bay Area and Western United States.

This master planned industrial park is one of the largest and most efficient industrial distribution campuses in the Western United States. The ±342 gross acres are fully entitled with fully finished sites capable of accommodating up to 6 million square feet of logistics facilities, distribution space and multi-tenant buildings in total. The lots offer flexible configurations and can be combined to accommodate buildings as large as 1-2 million square feet. This park has attracted corporate brand names including Fresh & Easy, General Mills and Fox Head, Inc. Other corporate neighbors including Kraft Foods, Fed Ex, Martin Brower and Weber Distribution to name a few. Based on NorCal’s Strategic Location, the park is ideal for creating a critical mass of quality industrial product to serve the growing needs of tenants desiring a Central-Northern California location serving the S.F. Bay Area, Central Valley and Western Region.

This Business Park is forecasted to be an excellent opportunity given the strong market conditions and the site’s central location. As a result the vacancy rate is down to 3.5% at the end of the second quarter of 2015. Users continue to demonstrate their commitment to this region as evidenced by the strong activity with 5.1 million square feet of net absorption in 2013, 2.3 million square feet in 2014 and another 4.1 million square feet during the first two quarters of 2015.

NorCal Logistics Center represents an excellent opportunity to acquire fully

entitled master planned land in an already established business park in the

center of California’s Central Valley, with excellent proximity to multiple freeways

and BNSF’s intermodal yard.

• A unique opportunity to control ±342 gross acres of entitled, well-located land in the Central Valley. This critical mass of acreage allows for a high quality master planned industrial development attractive to buyers and tenants.

• A well respected development team has received EIR approval and vesting of the Tentative Tract Map. The project is ready for immediate development with well-defined Conditions of Approval.

• Excellent location with immediate freeway access to both Highway 99 and Interstate 5. The Sperry Road connector project has given the project superior accessibility to I -5.

• Only ¼ mile from the BNSF intermodal rail yard, one of its largest Central California facilities. The BNSF Intermodal links the ports of Los Angeles and Long Beach with transcontinental rail yards.

• Flexible lot combinations can accommodate a building as large as 2 million square feet.

PROJECT HIGHLIGHTS

• Established corporate neighbors including FedEx, General Mills, Kraft Foods, Weber, KeHe Distributors, Allen Distribution and Martin Brower.

• The Marine Highway Corridor from the Port of Oakland to the Port of Stockton (M580/I80 Marine Highway Project is often called the Port of Oakland Port of Stockton Maritime Highway), allows container barges to move cargo from the San Francisco Bay to Stockton entirely by water. The Stockton port facility has two mobile, 140-ton harbor cranes and near-dock rail service to a container yard.

• The area is experiencing strong positive net absorption, contributing to lowering of vacancy rates and increasing rents. NorCal Logistics Center is a state-of-the-art industrial logistics destination poised to take advantage of the improving market conditions.

• City of Stockton is one of the more desired areas in the Central Valley offering a gateway to the San Francisco Bay area.
