OTTERTOOTH PROPERTY ASSESSMENT REPORT

MARCH. 2001

Summary

A geological mapping and prospecting program was conducted on me Ottertooth Property, which covers the majority of two Archean-aged, multi-phase mafic/ultramafic intrusions. Work consisted of float plane supported reconnaissance prospecting and preliminary geological mapping mainly within the southern portion of the Awkward Lake Intrusion. Limited mapping and prospecting was conducted in the older, and somewhat more deformed, Core Zone Intrusion.

Preliminary results indicate the presence of significant Pt-Pd mineralization in bom intrusions. In the Awkward Lake Intrusion mis mineralization is associated with Cu-Ni sulphide zones developed in a medium-grained gabbroic phase in the southwestern portion of the intrusion. In the Core Zone intrusion the Pt-Pd mineralization is associated with chlorite altered hornblende gabbro and only minor copper sulphide mineralization. Based on the work to date boni intrusions are considered to be highly prospective for Pt-Pd mineralization and additional prospecting and mapping is strongly recommended.

1. Introduction

During October of 2000 a preliminary prospecting and geological mapping program was conducted on the Ottertooth property to evaluate the potential of two mafic/ultramafic intrusive complexes on the property to host Pt-Pd mineralization of the Lac Des Iles type.

The Ottertooth Property covers significant portions of two Archean-aged mafic-ultramafic intrusive complexes. The younger Awkward Lake Intrusion is mapped by the Ontario Geological Survey (Kustra, 1966, Thurston, 1968) as being of the same age as the Lac Des Iles Intrusive Complex, which hosts the Lac Des Iles Pd-Pt deposit. The older, Core Zone Intrusion, located on the southern portion of the property, is mapped as being somewhat older and associated with the Cr-bearing intrusion at Puddy Lake to me northeast

The Awkward Lake Intrusive Complex has seen only limited exploration, mainly targeting shear- related and massive Cu-Ni sulphide mineralization. Little detailed work has been completed focussing on the PGE potential of mis intrusion. There is no recorded exploration work targeting the portion of the Core Zone intrusion encompassed by the Ottertooth Property.

2. Location and Access

The Ottertooth property (hereafter referred to simply as "the property") is situated in the Thunder Bay Mining District of Ontario, with the claims being located on the Puddy Lake Sheet (NTS sheets 52H 13/14). The central portion of the property is located approximately 70 km southwest of the town of Armstrong (Figure 1).

The northernmost portion of the property is accessible via a network of logging roads which traverse west from Armstrong. The majority of the property is, however, more efficiently accessed via floatplane. A number of large to medium-sized lakes on the property are accessible via Otter or smaller float equipped aircraft. A number of outfitting companies supply charter air service out of the Armstrong area.

The property covers gently rolling, moderately to heavily forested terrain. Steep cliffs are present in the Paddon Lake area, where they appear to be associated with roughly east-west trending fault system. The southern portion of the claims is characterized by abundant blow-down making field traverses difficult.

3. Property Details

The Ottertooth Property consists of 35 claim contiguous claim blocks totaling 500 claim units and covering an area of 8000 hectares (Table l; Figure 2). New Millennium Metals Corporation (NMM) acquired an option to earn a 60*J6 interest in the property by making the payments and conducting work programs as outlined hi the attached agreement (Appendix 1) with Canadian Golden Dragon Resources. This agreement covered the initial 100 claim units belonging to Canadian Golden Dragon (CGD) and the remainder of the property within a 2 mile radius of the original claims. Those claims, which fall outside of this radius, but form part of the property, comprise a 50/50 joint venture between CGD and NMM. Claim details for the property are summarized in Table l, and the individual claims shown on Figure 2.

4. Exploration History

The Awkward Lake Intrusion, which underlies the northern portion of the property has been the focus of Ni, Cu and a limited PGE exploration since the late 1950's. There is no recorded exploration for the portion of the Core Zone Intrusion covered by the southern portion of the property. A summary of each of the recorded programs is provided below:

1958: An airborne magnetic survey of the area was completed by Lunderg and was followed up in 1959 by G. Disler for C.C. Huston and Associates. This led to the discovery of the fault related Cu showings in the Paddon Lake area.

1963: Harrison Minerals conducted a program of prospecting, trenching and diamond drilling in the Paddon/Wig Lake area targeting the fault-related mineralization discovered by Disler. This work outlined a minimum of three southeast-trending zones of Cu-Ni mineralization up to 200 feet long and SO feet wide with low grade Cu-Ni mineralization.

1970: Inco conducted an IP survey within the southern portion of the Awkward Lake Intrusion along strike from Harrison Minerals Baker Zone. The survey identified a southeast- trending series of anomalies that were tested by four diamond drill holes. Hole #3 of mis program intersected 11 feet of massive sulphide mineralization consisting of cp, po and py. Hole 4 intersected a 12-foot interval of semi-massive sulphide with a broad halo of disseminated Cu sulphide mineralization. No assay results are available.

1985: Platinum Exploration Canada Inc. carried out a mapping and prospecting program in the Paddon Lake area. This program sampled the previously known fracture-related Cu and Cu-Ni showings for PGE's but failed to detect any significant anomalies. Importantly some of the same sites, resampled during this (NMM) program, did return anomalous PGE values.

1991: A limited prospecting and mapping program was undertaken by Clark and Associates for D. Lieshmann, in the Paddon Lake area, again focussing on the known showings. This program returned some weakly elevated Pt and Pd values from Baker Zone area on the south shore of Paddon Lake

S. Regional Geology

The Core Zone Intrusion is mapped by the Ontario Geological Survey as being of mid-Archean age and more or less coeval with the volcano-sedimentary sequence which it intrudes. It is one of a number of east-west trending mafic/ultramafic intrusions which traverses this portion of northwestern Ontario. These include the Core Zone, Puddy Lake and Toronto Lake area intrusions. These intrusions appear to mark a zone of crustal weakness during Archean time. Regional mapping of the Core Zone intrusion indicates a complex geology suggesting the body is multi-phase and may in fact have exhibited primary lithological layering. The intrusion has been metamorphosed to lower amphibolite facies and, locally at least, strongly deformed parallel to the east-west trend of the intrusion.

The Awkward Lake Intrusion is mapped as a zoned gabbro-anorthosite complex similar to those of the East Bull Suite in the Sudbury area. Based on it's largely unfoliated nature Kustra (1966) assigned it a Late Archean age and tentatively correlated it with the Late Archean mafic intrusions in the Lac Des Iles area 90 km to the south.

The Awkward Lake and Core Zone intrusions are hosted by a mid-Archean volcano-sedimentary sequence which typically exhibits lower amphibolite grade metamorphism and steep, to upright regional dips/folding. A series of roughly east-west trending late brittle to brittle ductile faults are present hi the area and locally associated with minor Cu mineralization.

6. Geological Mapping and Prospecting — 2000 Work Program

Introduction

Between September 27 and October 15 a four man crew under the supervision of NMM's Darin Wagner was mobilized to the Ottertooth Property and conducted a preliminary prospecting and geological mapping program. This program focussed on the southern portion of the Awkward Lake intrusion and included two days spent on traverses through the Core Zone intrusion. The field crew was comprised of prospectors Alexander Stares and Rick Crocker and geologists Darren Senft and Richard Kosack.

The field crew was mobilized to Thunder Bay, Ontario on September 27 and to the property on the 30th of September after assembling the necessary camp supplies. The crew was demobilized from the property on October 14th and disbanded on the 15th after storing the camp gear. Mobilization to and from the property from Armstrong was provided by Huron Air. A base camp was established on the south shore of Paddon Lake. From mis camp prospecting and mapping traverses were made by foot and by canoe from the shores of Paddon Lake.

Prior to initiating the field program D. Wagner and D. Senft spent 3 days accumulating and processing the available assessment data for the Ottertooth Property area. Digital topographic data was purchased and compiled for the project by Geosat Enterprises in Thunder Bay.

As well a digital copy of the recently released Operation Treasure Hunt airborne magnetic/Em data for the area was purchased. The digital data was reprocessed and filter by consulting geophysicist Jan Klein and converted into a format acceptable to Maplnfo. The magnetic data proved to be an invaluable aid to the mapping program, in particular in Awkward Lake Intrusion which forms a very strong elliptical high (Figure 3). In addition to the above recently released lake sediment data for the area was compiled and was primarily responsible for the discovery of a new Pd-Pt showing in the Core Zone intrusion.

Geological Mapping and Prospecting — Awkward Lake Intrusion

Geological mapping and prospecting in the Awkward Lake intrusion focussed on a strong magnetic low at the south end of the intrusion (Figure 3). The Pd-Pt mineralized Roby and North Roby Zones at the Lac Des Iles mine are known to be associated with magnetic lows, possibly related to magnetite destructive alteration, within the Lac Des Iles Intrusive Complex. This, along with a number of reported Cu showings in the area, suggested significant potential for Pd-Pt mineralization.

Geologically the mapping program identified seven different and distinctive lithologies. Outcrop exposure and the limited amount of time available for the program were such that contacts between different lithotypes could not be firmly established but there is a suggestion of broad scale zoning within mis portion of the intrusion.

Figure 4 displays the lithologies observed at each outcrop visited and indicates preliminary lithological boundaries. Additional mapping will be necessary to more firmly establish these boundaries and determine their relationship to the observed mineralization. Brief descriptions of each lithology observed are given below.

G = Gabbro - Dominant lithology on the property is a fine (FgG) to (MgG) medium to rarely

coarse-grained (CgG) dark green, weakly magnetic melanogabbro; appears to be hornblende rich and is typically moderately chlorite altered; in the Paddon Lake area this lithology is commonly silica and/or carbonate altered; locally biotite appears to replace chlorite as the dominant metamorphic mineral

HbG = Hornblende Mesogabbro - Typically medium grained with 35-40*56 moderately chlorite altered hornblende crystals, eO-65% white to light grey plagioclase feldspar; non to weakly magnetic; locally contains S-5% primary fine-grained biotite. Forms large portion of southern part of Awkward Lake Intrusion. In Core Zone intrusion mis lithology is typically strong chlorite altered and slightly more mafic with no primary biotite and trace amount of medium grained pyroxene

Pyx ^ Pyroxenite/Pyroxene Gabbro - Typically medium-grained, strongly chlorite altered with SO-90% pyroxene; occurs as isolated pods/lenses and as a 200-300 metre wide band along southeastern margin of Awkward Lake Intrusion; commonly hosts minor disseminated pyrrhotite.

An = Anorthosite/Anorthositic Gabbro - Rare in southern portion of intrusion, comprised ofmedium to coarse-grained dark grey feldspar ^80*56) with minor medium to fine-grained hornblende; non-magnetic; only occurrence to date on western portion of area mapped; possible faint layering

LG ^ Leucogabbro - Light grey weathering, feldspar dominant hornblende-bearing gabbro with typically JO-75% white to light grey plagioclase, 25-30^0 chlorite altered hornblende; plagioclase is typically somewhat coarser-grained than hornblende; t-3% fine-grained disseminated magnetite

MVOL ^ Remnants and xenoliths of host fine-grained, weakly magnetic dark green massivemafic flows; commonly contain trace disseminated pyrite and exhibit weak to moderate foliation; large area of volcanics in southwestern portion of area mapped may be a preserved roof pendant

D = Diabase - Outliers and dykes of fine-grained Nipigon (Logan) diabase, moderately magnetic

Throughout the central portion of the area mapped, paralleling the shores of Paddon Lake, the gabbroic rocks exhibit highly variable, bom in style and intensity, alteration. The most common style of alteration is weakly to moderately pervasive iron carbonate alteration (-Carb) with gives the gabbro's a weakly gossaneous appearance. This and related silica alteration (-Sil) appear to be caused be a series of micro-fractures cross-cutting the gabbroic rocks. The source of mis fracturing is interpreted to be a late, brittle fault structure that cuts along the length of Paddon Lake. Several splays of this structure are evident in the walls of the cliffs along the east end of Paddon Lake as strong carbonate-altered and moderately silicified zones; frequently associated with minor copper (chalcopyrite, malachite) mineralization. This alteration zone is identified on Figure 4.

Mapping within the Core Zone Intrusion to date has been quite limited. The most significant variations noted between the two intrusions is the well developed, generally east-west trending, foliation in the rocks of the Core Zone intrusion and the seemingly higher metamorphic grade in the Core Zone. Initial mapping has identified limited garnet development in the Core Zone gabbroic rocks which was not observed in similar limologies within the Awkward Lake Intrusion.

Mineralization

Within the rocks of the Awkward Lake Intrusion three styles of mineralization have been noted. The first is what is interpreted to be primary magmatic sulphide mineralization. This takes the form of fine-grained, weakly to moderately disseminated pyrite, rare chalcopyrite and local pyrrhotite, within relatively unaltered Awkward Lake lithologies. In general mis style of mineralization is evenly disseminated throughout the host. To date sampling of this style of mineralization within the Awkward Lake intrusion has failed to produce any significantly elevated Au, Pt or Pd values.

In the Paddon Lake area of the Awkward Lake Intrusion hydrothermal mineralization associated with microfracture-controlled carbonate, silica and biotite alteration is evident over a broad area Typically this mineralization occurs as fine to medium grained, fracture controlled pyrite and chalcopyrite. Less commonly, in more strongly altered lithologies, it appears to be of a more disseminated nature. By in large mis style of mineralization is devoid of significant Pd or Pt values but is locally associated with elevated Cu, Ni and less commonly Au values.

The third style of mineralization observed appears to be magmatic Ni-Cu-PGE mineralization associated with coarse-grained blebs of chalcopyrite and pyrrhotite. This style of mineralization is at present only known from a particular medium-grained gabbro unit of the Awkward Lake Intrusion located northeast of the western end of Paddon Lake (Figure 4). Here several samples of this material taken from an old hand trench and newly discovered bedrock showing 75 metres away returned values to ^ "/o copper, G.31% Ni, 267 ppb Au, 55 ppb Pd and 78 ppb Pt. Elevated Ni values from samples taken to the southeast of this zone may indicate an extension of this style of mineralization across Paddon Lake, however the author did not examine this material.

Three of five samples collected from a single traverse in the eastern portion of the Core Zone intrusion on the property returned anomalous Pd-Pt values. These values appear to be associated with trace levels of very fine-grained chalcopyrite, weakly anomalous levels of Cu and Ni (to 245 and 170 ppm respectively) and no detectable Au. Given the scarcity of sulphide hi the anomalous samples this style of mineralization could very easily be overlooked.

Figure 5 shows the sample numbers of the rock samples analyzed from the 2000 program. Grab samples were collected from all outcrops mapped and analyzed for Pt, Pd, Au, Ag, Cu and Ni. hi total 120 samples were collected during the 2000 program. Analytical results corresponding to these samples are appended (Appendix 2). Figure 6 is a thematic map showing the distrubtion of Pt+Pd in the rocks sampled during this program. Figure 7 displays the Ni results in a similar fashion. A strong correlation between elevated Ni and PGE values is evident in the Awkward Lake Intrusion. Sampling to date in the Core Zone intrusion has been insufficient to make meaningful comparisons.

7. Conclusions and Recommendations

The initial prospecting and mapping conducted in the Awkward Lake and Core Zone intrusions on the Ottertooth Property has demonstrated the potential of both intrusions to host singficant Pt- Pd mineralization.

Within the Awkward Lake intrusion the highest Pt-Pd grades identified to date are associated with what appears to be magmatic nickel-copper sulphide mineralization. Pt-Pd, and in particular Au, grades appear to increase with copper content of the sample. Shear/fracture related copper

mineralization along the Paddon Lake fault corridor appears to be devoid of significant PGE values although Au values are locally elevated.

Within the Core Zone intrusion strongly elevated Pt and Pd values have been returned from very low sulphide, chalcopyrite-bearing samples. The very fine-grained nature and low concentration of sulphide in these rocks means that this style of mineralization could have been easily overlooked by previous prospecting and highlights the importance of sampling as many outcrops as is practical in this area.

It is strongly recommended that more detailed prospecting and mapping activities proceed in bom intrusions on the Ottertooth Property. Within the Awkward Lake intrusion particular attention should be paid to any sulphide showings, weakly conductive zones and breccia occurrences. Within the Core Zone intrusion all sulphide-bearing lithologies should be samples and men- extent mapped out. Due to the difficult of prospecting within the heavy blow-downs in the Core Zone intrusion and the lack of lake access in this area it is recommended that a system of linked, east-west trending base lines be established.

THIS AGREEMENT is dated for reference (he 6th day of April, 2000.

BETWEEN:

CANADIAN GOLDEN DRAGON RESOURCES LTD.. a body corporate incorporated pursuant to the laws of Ontario and having an office located at 20 Maud Street, Toronto, Ontario, M5V 2M5

(the "Optionor")

OF THE FIRST PART

AND

NEW MILLENNIUM METALS CORPORATION, a body corporate incorporated pursuant to the laws of British Columbia and having an office located at Suite 1730 - 355 Burrard Street, Vancouver, British Columbia, V3N 2M1

(the "Optionee")

OF THE SECOND PART

WHEREAS:

A. The Optionor is the legal and beneficial owner of a One Hundred percent (100'???) interest in the Property as more particularly described in Schedule "A" attached to and made a part of this Agreement;

B. The Optionor wishes to grant and the Optionee wishes to acquire an undivided interest in and to the Property on the terms and subject to the conditions set out in thisAgreement.

NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the premises and of the mutual promises, covenants, conditions, representations and warranties herein set out, the parties hereto agree as follows:

1. INTERPRETATION

1.1 For the purposes of this Agreement, including the recitals and any schedules hereto, unless there is something in the subject matter or context inconsistent therewith, the following words and expressions shall have the following meanings:

(a) "Affiliate" shall have the meaning attributed to it by the Company Act (British Columbia);

(b) "After Acquired Properties" mean any and all mineral interests staked, located, granted or acquired by or on behalf of any party during the currency of this

Agreement which arc located, in whole or in part, within two (2) miles oi the perimeter of (he Property excluding any sued mineral interests which can be reasonably demonstrated to have been in the process of being acquired by the Optionee prior lo the Agreement Date;

(c) "Agreement" means this Agreement, as amended from time to time;

(d) "Agreement Date" means the effective date of this Agreement, being the 6th day of April, 2000;

(e) "Approval Date" means the date that is five (5) business days after receipt by the Optionee of written confirmation from the Exchange that this Agreement has been accepted for filing;

(f) "Commercial Production" means the operation of the Property or any portion thereof as a producing mine and the production of mineral products therefrom (excluding bulk sampling, pilot plant or test operations);

(g) "Exchange" means the Canadian Venture Exchange;

(h) "Expenditures" mean all cash, expenses, obligations and liabilities, other than for personal injury or property damage, of whatever kind or nature spent or incurred directly or indirectly in connection with the exploration, development or equipping of the Property or any portion thereof for Commercial Production including, without limiting the generality of the foregoing, monies expended in constructing, leasing or acquiring all facilities, buildings, machinery and equipment in connection with Mining Work, in paying any taxes, fees, charges, payments or rentals (including payments in lieu of assessment work) or otherwise to keep the Property or any portion thereof in good standing (including any payment to or in respect of acquiring any agreement or confirmation from any holder of surface rights respecting the Property or any portion thereof), in carrying out any survey of the Property or any portion thereof, in doing geophysical, geochemical and geological surveys, in trenching, drilling, assaying, metallurgical testing, bulk sampling and pilot plant operations, in paying the fees, wages, salaries, travelling expenses, fringe benefits (whether or not required by law) of all persons engaged in direct work with respect to and for the benefit of the Property or any portion thereof, in paying for the food, lodging and other reasonable needs of such persons, in preparing any reports and in supervising and managing any work done with respect to and for the benefit of the Property or any portion thereof, or in any other respects necessary for the due carrying out of Mining Work, including a reasonable fee for management and overhead not to exceed Ten percent (10 i) of all the above costs and expenses;

(i) "First Option" means the option granted by the Optionor to the Optionee under Section 3.1 of this Agreement;

(j) "Joint Venture" means the joint venture to be formed between the parties as described in Section 7.4 of this Agreement;

(k) "Mining Work" means every kind of work done on or in respect of the Property

3 -or i he products therefrom by or under the direction of or on behalf of or lor the benefit of a parly and, without limiting the generality of the foregoing, includes assessment work, geophysical, geochemical and geological surveying, studies and mapping, investigating, trenching, drilling, designing, examining, equipping, improving, surveying, shaft sinking, raising, crosscutting and drifting, searching for, digging, trucking, sampling, working and procuring minerals, ores, metals and concentrates, surveying and bringing any mineral claims or other interests to lease or patent, reporting and all other work usually considered to be prospecting, exploration, development and mining work;

(1) "Net Smelter Returns Royalty" means that charge on proceeds from production as described in Schedule "B";

(m) "Outside Properties" means those properties beyond a two (2) mile limit but within five (5) miles, and acquired by either party. They will be outside this agreement and recorded 50/50. All costs will be shared 50/50. The Optionee will be the Operator;

(n) "Property" means those mineral properties more particularly described in Schedule "A" hereto together with the surface rights, mineral rights, personal property and permits associated therewith, and shall include any renewal thereof and any other form of successor or substitute title thereto, and any After-Acquired Properties;

(o) "Second Option" means the option granted by the Optionor to the Optionee under Section 4. l of this Agreement;

1.2 In this Agreement, all dollar amounts are expressed in lawful currency of Canada, unless specifically provided to the contrary.

l .3 The titles to the respective Articles hereof shall not be deemed to be a part of this Agreement but shall be regarded as having been used for convenience only.

1.4 Words used herein importing the singular number shall include the plural, and vice-versa, and words importing the masculine gender shall include the feminine and neuter genders, and vice-versa, and words importing persons shall include firms, partnerships and corporations.

2. REPRESENTATIONS AND WARRANTIES

2.1 Each party represents and warrants to the others that:

(a) if a company, it is a company duly incorporated, validly subsisting and in good standing with respect to filing of annual reports under the laws of the jurisdiction of its incorporation and is or will be qualified to do business and to hold an interest in the Property in the jurisdiction in which the Property is located;

(b) it has full power and authority to carry on its business and to enter into this Agreement and any agreement or instrument referred to in or contemplated by this Agreement and to cany out and perform all of its obligations and duties

(c) it has duly obtained all authorizations for the execution, delivery and performance of this Agreement, and such execution, delivery and performance and the con summation of the transactions herein contemplated will not conflict with, or accelerate the performance required by or result in any breach of any covenants or agreements contained in or constitute a default under, or result in the creation of any encumbrance, lien or charge under the provisions of its constating or initiating documents or any indenture, agreement or other instrument whatsoever to which it is a party or by which it is bound or to which it may be subject and will not contravene any applicable laws.

2.2 The Optionor represents and warrants to the Optionee that:

(a) it is the sole beneficial owner of a I QOfo undivided interest in and to the Property;

(b) the Property is in good standing under the laws of the jurisdiction in which the Property is located up to and including at least the respective expiry dates set forth in Schedule "A" hereto;

(c) the Property is free and clear of all liens, charges and encumbrances and is not subject to any right, claim or interest of any other person;

(d) it has complied with all laws in effect in the jurisdiction in which the Property is located with respect to the Property and such Property has been duly and properly staked and recorded in accordance with such laws and that the Optionee may enter in, under or upon the Property for all purposes of this Agreement without making any payment to, and without accounting to or obtaining the permission of, any other person other than any payment required to be made under this Agreement; and

(e) there is no adverse claim or challenge against or to the ownership of or title to the Property, or any portion thereof nor is there any basis therefor and there are no outstanding agreements or options to acquire or purchase the Property or any portion thereof or interest therein and no person has any royalty or interest whatsoever in production or profits from the Property or any portion thereof.

2.3 The representations and warranties hereinbefore set out are conditions on which the parties have relied in entering into this Agreement, are to be construed as both conditions and warranties and shall, regardless of any investigation which may have been made by or on behalf of any party as to the accuracy of such representations and warranties, survive the closing of the transaction contemplated hereby and each of the parties will indemnify and save the other harmless from all loss, damage, costs, actions and suits arising out of or in connection with any breach of any representation or warranty contained in this Agreement, and each party shall be entitled, in addition to any other remedy to which it may be entitled, to set off any such loss, damage or costs suffered by it as a result of any such breach against any payment required to be made by it to any other party hereunder.

3. FIRST OPTION

3.1 The Optionor hereby grants to the Optionee the sole and exclusive right and option to acquire an undivided Fifty percent (5(^) interest in and to the Property, free and clear of all liens, charges, encumbrances, claims, rights or interest of any person (the "First Option"), such First Option to be exercisable by the Optionee:

(a) paying to the Optionor S15,000 within 10 days of the Approval Date;

(b) paying to the Optionor the amounts stipulated in Section 3.2 below and in accordance with the timetable set out in therein;

(c) incurring Expenditures of not less than an aggregate Seven Hundred and Fifty Thousand Dollars (S750,000) ("First Option Expenditures") within a period of three (3) years of the Agreement Date in the following manner:

(i) minimum Expenditures of S40,000 by October 31, 2000;

(ii) aggregate minimum Expenditures of S100,000 by the first anniversary of the Agreement Date (including the amount incurred under (i) above);

(iii) aggregate minimum Expenditures of S200,000 by the second anniversary of the Agreement Date (including the amounts incurred under (i) and (ii) above); and

(iv) the balance of the First Option Expenditures by the third anniversary of the Agreement Date.

3.2 Until such time as the First Option has been exercised in accordance with the provisions of Section 3.1, the Optionee shall also be required to pay to the Optionor additional aggregate payments of Fifty Thousand Dollars (S50,000), with the first, second and third anniversary payments totalling Thirty Thousand Dollars (530,000), being the minimum required payments, if the Optionee wishes to exercise the First Option, to the Optionor by certified cheque or bank draft as follows:

(a) 510,000 on the first anniversary of the Approval Date;

(b) S10,000 on the second anniversary of the Approval Date;

(c) 510,000 on the third anniversary of the Approval Date;

(d) S 10,000 on the fourth anniversary of the Approval Date; and

(e) 510,000 on the fifth anniversary of the Approval Date.

In the event the First Option has been exercised by the Optionee and not all of the requirements in this Section 3.2 have been met as at the date of such exercise, such remaining requirements will be deemed to be requirements for the exercise of the Second Option by the Optionee as

described in Section 4 Any reiTKiiniiig requirements of Section 32 iliat lin ve not been met as at the d;ite ofexerci.se or termination of the Second Option in accordance with the provisions of this Agreement shall be included as obligations of the Optionee in the Joint Venture agreement to be entered into between the parties in accordance with Section 7.4 herein.

4. SECOND OPTION

4.1 The Optionor hereby grants to the Optionee the sole and exclusive right and option to acquire a further undivided Ten percent (10^) interest in and to the Property, free and clear of all liens, charges, encumbrances, claims, rights or interest of any person (the "Second Option"), such Second Option to be exercisable by the Optionee:

(a) by exercising the First Option by satisfying the requirements of Section 3.1;

(b) within an additional three (3) year period after the third anniversary of the Agreement Date, being a total of six (6) years, incurring additional Expenditures of not less than an aggregate Seven Hundred and Fifty Thousand Dollars (5750,000) such that the aggregate Expenditures incurred on the Property by the Optionee shall equal at least One Million Five Hundred and Forty Thousand Dollars (SI,540,000); and

(c) making the payments described in Section 3.2 that have not previously been made pursuant to the exercise of the First Option.

5. RIGHT OF ENTRY

5.1 Except as otherwise provided in this Agreement and until this Agreement is terminated, the Optionee, its servants and agents shall have the sole and exclusive right to:

(a) enter in, under or upon the Property and conduct Mining Work;

(b) exclusive and quiet possession of the Property;

(c) bring upon the Property and to erect thereon such mining facilities as it may consider advisable; and

(d) remove from the Property ore or mineral products for the purpose of bulk sampling, pilot plant or test operations.

6. POWERS, DUTIES AND OBLIGATIONS OF OPTIONEE

6.1 The Optionee shall have full right, power and authority to do everything necessary or desirable as Operator of the property to carry out an exploration program on the Property and to determine the manner of exploration and development of the Property and, without limiting the generality of the foregoing, the right, power and authority to:

(a) regulate access to the Property, subject only to the right of the Optionor and its representatives to have access to the Property at all reasonable times for the purpose of inspecting work being done thereon but at their own risk am) expense;

(b) employ and engage such employees, agents and independent contractors as it may consider necessary or advisable lo carry out ils duties and obligations hereunder and in this connection to delegate any of its powers and rights to perform its duties and obligations hereunder but the Optionee shall not enter into contractual relationships except on terms which are commercially competitive;

(c) execute all documents, deeds and instruments, do or cause to be done all such acts and things and give all such assurances as may be necessary to maintain good and valid title to the Property and each party hereby irrevocably constitutes the Optionee its true and lawful attorney to give effect to the foregoing and hereby agrees to indemnify and save the Optionee harmless from any and all costs, loss or damage sustained or incurred without gross negligence or bad faith by the Optionee directly or indirectly as a result of its exercise of its powers pursuant to this Subsection 6. l (c); and

(d) conduct such title examinations and cure such title defects as may be advisable in the reasonable judgment of the Optionee.

6.2 The Optionee shall have the duties and obligations to:

(a) keep the Property free and clear of all liens and encumbrances arising from its operations hereunder (except liens contested in good faith by the Optionee) and in good standing by the doing and filing, or payment in lieu thereof, of all necessary assessment work and payment of all taxes required to be paid and by the doing of all other acts and things and the making all other payments required to be made which may be necessary in that regard. The Optionee shall deliver to the Optionor copies of all assessment reports applicable to the Property;

(b) permit the Optionor and its representatives, duly authorized by it, in writing or by facsimile, at their own risk and expense, access to the Property at all reasonable times and to all records prepared by the Optionee in connection with Mining Work. The Optionee shall prepare and deliver to the Optionor at reasonable intervals, but in any event not less frequently than once each calendar quarter, reports on all Mining Work conducted by the Optionee. Raw digital data will be provided at the Optionor's request and cost;

(c) conduct all work on or with respect to the Property in a careful and minerlike manner and in accordance with generally accepted professional standards and in accordance with the applicable laws of the jurisdiction in which the Property is located and indemnify and save the Optionor harmless from any and all claims, suits or actions made or brought against the Optionor as a result of work done by the Optionee on or with respect to the Property;

(d) obtain and maintain or cause any contractor engaged by it hereunder to obtain and maintain, during any period in which active work is carried out hereunder, not less than the following:

(i) employer's liability insurance covering each employee engaged in the operations hereunder to the extent of SI,000,000 where such

(ii) comprehensive general liability insurance in such from as may be customarily carried by a prudent operator for similar operations with a bodily injury, death and property damage limit of SI,000,000 inclusive;

(iii) vehicle, aircraft and watercraft insurance covering all aircraft, vehicles and watercraft owned and non-owned, operated and/or licensed by the Optionee, with a bodily injury, death and property damage limit of 33,000,000 inclusive;

(e) arrange for and maintain Worker's Compensation or equivalent coverage for all eligible employees engaged by the Optionee in accordance with local statutory requirements; and

(f) maintain true and correct books, accounts and records of operations hereunder.

7. VESTING OF INTEREST

7.1 Forthwith upon the Optionee exercising the First Option by performing the requirements of Section 3.1, an undivided Fifty percent (50%) interest in and to the Property shall vest, and shall be deemed for all purposes hereof to have vested, in the Optionee.

7.2 Forthwith upon the Optionee exercising the Second Option by performing the requirements of Section 4.1, a further undivided Ten percent (10%) interest in and to the Property shall vest, and shall be deemed for all purposes hereof to have vested, in the Optionee.

7.3 The Optionor covenants and agrees to deliver to the Optionee, on or immediately after the Approval Date, such recordable transfer or transfers, or such other instruments as may be required, of an aggregate One Hundred percent (100%) interest in and to the Property and the Optionee shall be entitled forthwith to record such transfer documents in the appropriate office in the jurisdiction in which the Property is located but shall hold such interest in trust for the benefit of the parties hereto, in accordance with the terms of this Agreement; provided that the Optionee executes and delivers to the Optionee's solicitors, Salley Bowes Harwardt, such transfer or transfers or such other instruments to be held "In Trust" to transfer back the Optionor's interest in and to the property in the event the Optionee is in default in accordance with the terms of this Agreement.

7.4 (a) (i) In the event of the termination of the Second Option and provided that theFirst Option has been exercised by the Optionee, the parties shall associate and shall be deemed to have associated themselves as a single purpose joint venture for the purpose of continuing exploration and development of the Property with a view to placing the Property or a portion thereof into Commercial Production (the "Joint Venture"). The Joint Venture will be governed in accordance with the terms of a definitive joint venture agreement which will be negotiated and finalized between the parties acting in good faith within 120 days of the termination of the Second Option. The parties will, as of the commencement date of the Joint Venture, be deemed to have the following respective interests and to have

(a) (ii) Subsequent to the formation of the Joint Venture, all Expenditures shall be funded by the parties pro rata in accordance with their respective interests in the Property. If a work program in respect of the Property is thereafter approved by the management committee of the Joint Venture and if a party fails to make a required contribution to costs under such a work program, its percentage working interest ("Working Interest") at any time shall be calculated as follows:

A = Deemed Expenditures of that party (as calculated above).

B = Actual Expenditures of that party (excluding actual Expenditures made prior to the Optionee exercising the First Option).

C ^ Total Expenditures (deemed and actual) of all parties (excluding actual Expenditures made prior to the Optionee exercising the First Option).

(b) (i) In the event that both the First Option and the Second Option have been exercised by the Optionee, the parties shall associate and shall be deemed to have associated themselves as a single purpose joint venture for the purpose of continuing exploration and development of the Property with a view to placing the Property or a portion thereof into Commercial Production (the "Joint Venture"). The Joint Venture will be governed in accordance with the terms of a definitive joint venture agreement which will be negotiated and finalized between the parties acting in good faith within 120 days of the exercise of the Second Option. The parties will, as of the commencement date of the Joint Venture, be deemed to have the following respective interests and to have incurred the following deemed expenditures:

If as a result of the foregoing adjustments the Working Interest of a party in the Joint Venture is reduced to Ten (109&) or less, then the Working Interest in the Joint Venture of such party shall be converted into a Net Smelter Returns Royalty. The Joint Venture agreement shall also provide that the Optionee shall have the right to terminate the Joint Venture agreement upon written notice to the Optionor and in such event any unfulfilled obligations of the Optionee lo

make payments lo (he Optionor pursuant lo Section 3.2 shall terminate and the Optionee shall he required to transfer to the Optionor at the Optionee's cost all its interest in the Property.

7.5 The parties acknowledge the right and privilege of the Optionor and Optionee to file, register and/or to otherwise deposit a copy of this Agreement in the appropriate recording office for the jurisdiction in which the Property is located and with any other governmental agencies to give third parties notice of this Agreement, and hereby agree, each with the other, to do or cause to be done all acts or things reasonably necessary to effect such filing, registration or deposit.

8. TERMINATION OF OPTIONS

8.1 In the event of default in the performance of the requirements of Section 3.1, then subject to the provisions of Sections 8.3 and 17.1 of this Agreement, the First Option, the Second Option and this Agreement shall terminate.

8.2 In the event the Optionee exercises the First Option but defaults in the performance of the requirements of Subsection 3.2 then subject to the provisions of Sections 8.3 and 17.1 of this Agreement, the Second Option shall terminate.

8.3 The Optionee shall have the right to terminate this Agreement by giving 30 days' written notice of such termination to the Optionor and upon the effective date of such termination this Agreement shall be of no further force and effect, except the Optionee shall be required to perform any obligations which are the responsibility of the Optionee as specified under the provisions of this Agreement and which have not been satisfied.

8.4 In addition to the right of termination under Section 8.3, in the event the Optionee has exercised the First Option, the Optionee shall have the right to terminate the Second Option by giving written notice of such termination to the Optionor and in such event, this Agreement shall survive insofar as it relates to the exercise of the First Option and the formation of the joint venture pursuant to the terms of Section 7.4 (a)(i).

8.5 Notwithstanding any other provisions of this Agreement, in the event of termination of this Agreement, the Optionee shall:

(a) transfer or re-transfer the Property to the Optionor. provided always that the Property shall, at the date of such transfer or re-transfer, be in good standing for a period of not less than six (6) months;

(b) deliver to the Optionor any and all reports and engineering data of any kind, including raw digital data, whatsoever pertaining to the Property or related to Mining Work which has not been previously delivered to the Optionor;

(c) perform or secure the performance of all reclamation and environmental rehabilitation as may be required by all applicable legislation; and

(d) upon notice from the Optionor, remove all materials, supplies and equipment from the Property, provided however, that the Optionor may dispose of any such materials, supplies or equipment not removed from the Property within one hundred and eighty (180) days of receipt of such notice by the Optionee.

9. CONFIDENTIALITY

9.1 All information and data concerning or derived from Mining Work shall be confidential and, except to the extent required by law or by regulation of any securities commission, stock exchange or other regulatory body, shall not be disclosed to any person other than a party's professional advisors or an Affiliate without the prior written consent of the other party or parties, which consent shall not unreasonably be withheld.

10. RESTRICTIONS ON ALIENATION

10.1 No party (the "Selling Party") shall sell, transfer, convey, assign, mortgage or grant an option in respect of or grant a right to purchase or in any manner transfer or alienate all or any portion of its interest or rights under this Agreement without the prior consent in writing, within 30 days of receipt of notice thereof, of the other parties, such consent not to be unreasonably withheld, and the failure to notify the Selling Party within the said 30 days that such consent has been widiheld shall be deemed to constitute the consent of the other parties.

10.2 Before the completion of any sale or other disposition by any party of its interests or rights or any portion thereof under this Agreement, the Selling Party shall require the proposed acquirer to enter into an agreement with the party or parties not selling or otherwise disposing, on the same terms and conditions as set out in this Agreement.

10.3 The provisions of Sections 10.1 and 10.2 shall not prevent a party from entering into an amalgamation or corporate reorganization which will have the effect in law of the amalga mated or surviving company possessing all the property, rights and interests and being subject to all the debts, liabilities and obligations of each amalgamating or predecessor company, or prevent a part}' from assigning its interest to an Affiliate of such party provided that the Affiliate first complies with Section 10.2.

11. AFTER ACQUIRED PROPERTIES

11.1 The parties covenant and agree, each with the other, that any and all After Acquired Properties shall be subject to the terms and conditions of this Agreement and shall be added to and deemed, for all purposes hereof, to be included in the Property. Any costs incurred by the Optionee in staking, locating, recording or otherwise acquiring any After Acquired Properties shall be included in the calculation of its Expenditures hereunder.

12. NOTICE

12.1 Any notice, direction, or other instrument required or permitted to be given under this Agreement shall be in writing and shall be given by the delivery of same or by mailing same by prepaid registered or certified mail or by sending same by telegram, telex, telecommunication or other similar form of communication, in each case addressed to the intended recipient as follows:

12.2 Any notice, direction, or other instrument aforesaid will, if delivered, be deemed to have been given and received on the day it was delivered, and if mailed, be deemed to have been given and received on the fifth business day following the day of mailing, except in the event of disruption of the postal service in which event notice will be deemed to be received only when actually received and, if sent by telegram, telecommunication or other similar form of communication, be deemed to have been given and received on the day it was actually received.

12.3 Any party may at any time give notice in writing to the others of any change of address, and from and after the giving of such notice, the address therein specified will be deemed to be the address of such party for the purposes of giving notice hereunder.

13. FURTHER ASSURANCES

13.1 Each of the parties covenants and agrees, from time to time and at all times, to do all such further acts and execute and deliver all such further deeds, documents and assurances as may be reasonably required in order to fully perform and carry out the terms and intent of this Agreement.

14. TIME OF THE ESSENCE

14. l Time shall be of the essence in the performance of this Agreement.

15. ENUREMENT

15.1 This Agreement shall enure to the benefit of and be binding upon the parties and their respective successors and permitted assigns.

16. FORCE MAJEURE

16.1 No party will be liable for its failure to perform any of its obligations under this Agreement due to a cause beyond its reasonable control (except those caused by its own lack of funds) including, but not limited to, acts of God, fire, storm, flood, explosion, strikes, lockouts or other industrial disturbances, acts of public enemy, war, riots, laws, rules and regulations or orders of any duly constituted governmental authority, or non availability of materials or transportation (each an "Intervening Event").

16.2 All time limits imposed by this Agreement will be extended by a period equivalent

16.3 A party relying on the provisions of Section 16.1 hereof, insofar as possible, shall promptly give written notiee to the other party of the particulars of the "Intervening Event, shall give written notiee to all other parties as soon as the Intervening Event ceases to exist, shall take all reasonable steps to eliminate any Intervening Event and will perform its obligations under this Agreement as far as practicable, but nothing herein will require such party to settle or adjust any labour dispute or to question or to test the validity of any law, rule, regulation or order of any duly constituted governmental authority or to complete its obligations under this Agreement if an Intervening Event renders completion impossible.

17. DEFAULT

17. l If a party (the "Defaulting Party") is in default of any requirement herein set forth, the party affected by such default (the "Non-Defaulting Party") shall give written notiee to all other parties within sixty (60) days of becoming aware of such default, specifying the default, and the Defaulting Party shall not lose any rights under this Agreement, nor shall the Agreement or the First or Second Option terminate, nor shall the Non-Defaulting Party have any rights, remedies or cause of action pursuant to this Agreement, or otherwise hereunder as a result of such default, unless within sixty (60) days after the giving of notiee of default by the Non-Defaulting Party, the Defaulting Party has failed to cure the default by the appropriate performance, and if the Defaulting Party fails within such period to cure such default, the Non- Defaulting Party shall only then be entitled to seek any remedy it may have on account of such default.

18. SEVERABILITY

18.1 If any one or more of the provisions contained herein should be invalid, illegal or unenforceable in any respect in any jurisdiction, the validity, legality and enforceability of such provisions shall not in any way be affected or unpaired thereby in any other jurisdiction and the validity, legality and enforceability of the remaining provisions contained herein shall not in any way be affected or unpaired thereby.

19. AMENDMENT

19.1 This Agreement may not be changed orally but only by an agreement in writing, signed by the parry against which enforcement, waiver, change, modification or discharge is sought.

20. ENTIRE AGREEMENT

20. l This Agreement constitutes and contains the entire agreement and understanding between the parties and supersedes all prior agreements, memoranda, correspondence, communications, negotiations and representations, whether oral or written, express or implied, statutory or otherwise between the parties or any of them with respect to the subject matter hereof.

21. OPTION ONLY

21.1 This Agreement provides for an option only, and except as specifically provided

otherwise, nothing herein contained shall he constnied as obligating the Optionee to do any acts or make any payments hereunder and any act or acts or payment or payments as shall he made hereunder shall not be construed as obligating the Optionee to do any further act or make any further payment.

22. CONDITION PRECEDENT

22.1 The obligations of the Optionee under this Agreement are subject to the prior acceptance for filing of this Agreement on behalf of the Optionee by the Exchange.

23. GOVERNING LAW AND ARBITRATION

23.1 This Agreement shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein.

23.2 All disputes arising out of or in connection with this Agreement, or in respect of any defined legal relationship associated therewith or derived therefrom, shall be referred to and finally resolved by arbitration under the rules of the British Columbia International Commercial Arbitration Centre.

23.3 The appointing authority shall be the British Columbia International Commercial Arbitration Centre and the case shall be administered by the British Columbia International Commercial Arbitration Centre in accordance with its "Procedures for Cases under the BCICAC Rules" at Vancouver, British Columbia.

THIS IS SCHEm ILE "B" TO THE OPTION AGREEMENT DATED APRIL 6, 2000BETWEEN NEW MILLENNIUM METALS CORPORATION AND

CANADIAN GOLDEN DRAGON RESOURCES LTD.

Net Smelter Returns Royalty

1. As additional consideration the Optionee acknowledges and agrees that its interest in the Property shall be subject to a royalty or charge in the amount of two percent (2%) of Net Smelter Returns in favour of the Optionor.

2. For the purpose of this Agreement, "Net Smelter Returns" shall mean the actual proceeds received by the Optionee from a smelter or other place of sale or treatment with respect to all ore removed by the Optionee from the Property as evidenced by its returns or settlement sheets after deducting from the said proceeds all freight or other transportation costs from the shipping point to the smelter or other place of sale or treatment but without any other deduction whatsoever.

3. Net Smelter Returns due and payable to the Optionor hereunder shall be paid within thirty (30) days after receipt of the said actual proceeds by the Optionee.

4. Within ninety (90) days after the end of each fiscal year of the Optionee during which the Property was in Commercial Production, the records relating to the calculation of Net Smelter Returns during that fiscal year shall be audited and any adjustments shall be made forthwith. The audited statements shall be delivered to the Optionor who shall have sixty (60) days after receipt of such statements to question in writing their accuracy and, failing such question, the statements shall be deemed correct.

5. The Optionor or its representatives duly appointed in writing shall have the right at all reasonable times, upon written request, to inspect such books and financial records of the Optionee as are relevant to the determination of Net Smelter Returns and at their own expense, to make copies thereof.

6. Any defined terms used herein shall have the same meaning as set out in the Option Agreement, dated for reference the 6th day of April, 2000, made between New Millennium Metals Corporation and Canadian Golden Venture Resources Ltd., to which this Schedule "B" is appended.
