2016 South Carolina Nurses Association

Columbia College announces a new 100% online RN to BSN nursing program beginning Fall of 2016. Eligible students must have an Associate’s Degree in nursing from a recognized Institution1, must have passed the NCLEX examination, and currently hold an unencumbered license to practice. Columbia College’s Bachelor of Science in Nursing Degree will require a total of 127 hours of undergraduate courses (inclusive of ADN transfer credits up to 72 hours, and 30 hours of core nursing courses in the BSN program and electives), all of which are offered online.2

The Bachelor’s program can be completed in 20 months. Courses will begin every five weeks. All course content is available on the laptop provided by Columbia College after your enrollment. The curriculum aligns with the Nine Essentials of Baccalaureate Education for Professional Nursing Practice required by the American Association of Colleges of Nursing, and the key nursing principles and learning outcomes promulgated by national accreditation organizations, including the commission on Collegiate Nursing Education (CCNE) and the Accreditation Commission for Education in Nursing (ACEN).

The process is easy, APPLY ONLINE TODAY! We will take care of the rest, including ordering your transcripts.

1 Candidates with a Diploma Program RN may apply and will be evaluated on a case by case basis.

2 Approval from the Southern Association of Colleges and Schools Commission on Colleges (SACCOC) regional accrediting board is currently pending, and the College intends to seek CCNE accreditation.

STANDING RULES

Rule 1 . For admission to the annual meeting, to facilitate identification and seating, members shall be required to wear the official name tag issued at registration .

Rule 2 . Members may not speak and debate more than twice to the same question or longer than three minutes, without permission granted by a two-thirds vote with debate . No member may speak more than once to a question if a member who has not spoken wishes to do so .

Rule 3 . Any member of SCNA may be granted the privilege of the floor .

Rule 4 . All main motions offered by a member shall be in writing (on the forms provided), signed by the maker and the seconder, and shall be given directly to a Monitor for immediate forwarding to the chair as soon as the speaker has been recognized . Members making incidental motions not in writing will give name before making a motion .

Rule 5 . Business interrupted by a recess of the meeting shall be resumed at the point where it was interrupted at the end of the recess .

Rule 6 . Any substantive resolution forwarded to SCNA for consideration of the Reference Committee which was not approved for presentation, if introduced by an individual member, must receive a two-thirds vote of the Annual Meeting to reach the floor for consideration and a majority vote of the Annual Meeting to be adopted .

Rule 7 . Any substantive resolution not of emergency nature nor one previously forwarded to SCNA if introduced by an individual member, must receive a three-fourths vote of the Annual Meeting for consideration and a two-thirds vote of the Annual Meeting to be adopted .

Rule 8 . The members will act only on the resolves of the resolutions and the recommendations of reports . Questions of clarification about the intent and meaning of the resolves and recommendations will be handled according to parliamentary procedure .

Rule 9 . Notices for announcements to the Annual Meeting shall be in writing, signed by the person (or proper representative to the person) under whose authority the announcement is issued, and shall be sent to the desk of the recording secretary .

Rule 10 . The Board of Directors shall be authorized to approve the minutes of the Annual Meeting not later than the first regular meeting of the Board of Directors during 2017 Board year .

TIPS ON PARLIAMENTARY PROCEDURE

Parliamentary procedure must not be viewed as a set of arbitrary rules . It should be considered as the application of common sense and logic in the conduct of a meeting . Compliance with this set of rules serves to protect, and is directly related to, our jealously guarded ideal of democratic process . The great value of the democratic process is open and orderly discussion which results in intelligent compromise . When general consent is evidenced by a group, the importance of following parliamentary procedure becomes primarily that of maintaining the orderly conduct of a meeting .

Democratic principles basic to the appropriate conduct of a meeting are as follows:1 . Justice and courtesy to all .2 . One thing at a time3 . Rule of the majority4 . Right of the minority to be heard .

The rules contained in the latest edition of ROBERT’S RULES OF ORDER shall govern meetings of this association in all cases to which they are applicable and in which they are not inconsistent with these bylaws .

SOME RULES OF DEBATE1 . Recognition by the chair is, of course, the first step in presenting a motion .2 . Time will be saved if members will think carefully before wording a motion so as not to make it too

long, say what they really want and not include points of discussion in the motion .3 . All motions, other than those of a personal nature, must be in writing .4 . No business involving any kind of action should be conducted without a motion .5 . All main motions are debatable .6 . Debate begins after the motion is made .7 . Debate should be limited to the motion before the assembly .8 . Proposer of the motion may speak to it first .9 . Proposer of the motion may not speak against his/her motion, but may vote against it .10 . Address remarks through the presiding officer; do not speak directly to other members during debate .11 . Avoid personalities . The motion is under discussion not the proposer .12 . The presiding officer should not enter into debate and cannot close debate .13 . Voting may be done by general consent (silence) . Chair says, “If there is no objection, the report will

be accepted as information .”14 . The Chair votes only if his/her vote will change the result or break a tie . If his/her vote creates a tie,

the motion is lost .

Cheryl Diane Eastlake of Columbia, South Carolina . Born in Heidelberg, Germany, she was a graduate of the University of South Carolina . As a registered nurse she worked at Palmetto Health Baptist for 38 years in the neonatal intensive care unit . Ms . Eastlake died on January 7, 2016 .

Dr . Ida Latisha Johnson Spruill of Charleston, South Carolina . Dr . Spruill was an Associate Professor Emerita of the College of Nursing at the Medical University of South Carolina . She was also active in the Tri-County Black Nurses Association . Dr . Spruill died on March 16, 2016 .

CURRENT SCNA BYLAWS AS OF OCTOBER 11, 2013

ARTICLE I: TITLE, PURPOSES, FUNCTIONS

Section 1. Title

The name of this Association shall be the South Carolina Nurses Association, hereinafter referred to as SCNA .

Section 2. Purposes

The purposes of the SCNA shall be toa . foster high standards of nursing .b . promote the professional and educational advancement of nurses .c . promote the welfare of nurses .d . promote better health care for all people .

The purposes shall be unrestricted by consideration of age, color, creed, disability gender, health status, lifestyle, nationality, race, religion, or sexual orientation .

Section 3. Functions

The functions of the SCNA shall be toa . promote, through appropriate means, standards of nursing practice, nursing education, and nursing

services as defined by the American Nurses Association, ANA .b . insure adherence to the code of ethical conduct for nurses established by ANA .c . promote legislation and speak for the nursing profession in regard to legislation, governmental

programs and health policy .d . support maintenance of nurse resources to meet health care needs .e . promote and protect the economic and professional security of nurses .f . represent and speak for the professional nurse with allied health groups, state and local organizations,

governmental bodies and the public .g . represent and speak for the nursing profession with allied health groups, state and local organizations,

governmental bodies and the public .h . provide for the continuing professional development of nurses .i . provide for representation in the annual Membership Assembly of ANA j . promote relationships with the South Carolina Student Nurses Association .

ARTICLE II: CHAPTERS

Section 1. Definition

Groups of nurses who are members of the South Carolina Nurses Association which have been or hereafter may be organized based on shared nursing practice interests or geographical boundaries . SCNA Chapters shall operate under a Memorandum of Agreement (MOA) with the SCNA Board of Directors . The MOA shall be reviewed annually by the SCNA Board .

ARTICLE III: MEMBERSHIP

Section 1. Composition

a . SCNA shall be composed of members who meet the qualifications in these bylaws unrestricted by consideration of age, color, creed, disability, gender, health status, lifestyle, nationality, race, religion, or sexual orientation .

b . SCNA shall be composed of Full Members who belong to the American Nurses Association (ANA) through the state and have representation in the International Council of Nurses through the ANA and who may have membership in the SCNA Chapters; and State-Only Members who live and/or practice in the state of South Carolina only pursuant to a sanctioned agreement with ANA .

c . The SCNA shall remain affiliated with the American Nurses Association until such time as 2/3 of the entire SCNA full membership votes to disaffiliate from the ANA . SCNA membership, for these purposes, is defined as individual members of the SCNA who have ANA rights and privileges of membership as a result of their SCNA membership . The vote may occur by mail or electronic ballot, with appropriate notice and procedures to protect the integrity and validity of the vote .

d . The SCNA shall be composed of all registered nurses who meet the qualifications stated in these bylaws

e . A registered nurse is qualified for membership in SCNA if that nurse: 1 . Has been granted a license to practice as a registration nurse in at least one state, territory or the

District of Columbia and does not have a license under suspension or revocation in any state, territory, or the District of Columbia and is otherwise in titled by law to practice .

2 . Has retired and/or no longer chooses to practice, but whose license was in good standing with her/his licensee board at the time the nurse made the decision not to maintain and active license .

3 . Is a nurse in recovery who has surrendered her/his license to practice .

Section 2. Qualifications

a . A member is one—1 . who has been granted a license to practice as a registered nurse in at least one state or territory,

or possession of the United States and does not have a license under suspension or revocation in any state, or is otherwise entitled by law to practice and whose renewal of membership shall be contingent upon the granting of licensure as a registered nurse;

2 . who may be a nurse in recovery who has surrendered a license to practice, or a nurse who has retired and/or no longer chooses to practice, but whose license was in good standing with his/her licensing board at the time the nurse made the decision not to maintain an active license;

3 . whose application for membership in SCNA has been accepted;4 . whose dues are not delinquent;5 . whose membership in not under revocation for violation of the Code of Ethics for Nurses With

Interpretive Statements, 2015 or the bylaws of this Association .6 . Honorary Full Membership shall be given to those registered nurses who have been members

of the SCNA/ANA for 30 or more years and age 65 or at the discretion of the SCNA Board of Directors . There shall be no dues amount associated with honorary membership .

Section 3. Membership Rights and Obligations

Members as defined in these Bylaws shall be given all the rights and obligations of membership in the ANA through SCNA . In addition:

a . Full Members shall have memberships rights as follows:1 . Participate in the elections of SCNA in accordance with these Bylaws .2 . Participate in the elections of SCNA’s two representatives and alternates to the annual

Membership Assembly of ANA .3 . Serve SCNA and ANA in elected and appointed positions in accordance with SCNA and ANA

Bylaws .4 . Fulfill the requirements of office if elected or appointed .5 . Attend any meetings and other unrestricted activities SCNA and ANA .6 . Attend the Congress of the International Council of Nurses .7 . Utilize such SCNA and ANA services as may be available .8 . Submit proposals for consideration to SCNA .9 . Hold membership in SCNA Chapters in accordance with provisions of the Bylaws .10 . Receive a Constituent SCNA/ANA membership card .11 . Receive the SC Nurse and ANA Membership Publications .12 . Have the right of due process for the denial of any of the above rights .13 . Shall have the right to receive benefits from the ANA as a member at the national level

b . State-Only Members shall have membership rights as follows:1 . Participate in the elections of SCNA in accordance with SCNA Bylaws .2 . Serve SCNA in elected and appointed positions in accordance with SCNA Bylaws .3 . Attend any meeting and unrestricted activities of SCNA .4 . Utilize such SCNA services as may be available .5 . Receive an SCNA membership card .6 . Receive the SC Nurse .7 . Submit proposals for consideration to SCNA .8 . Hold membership in SCNA Chapters in accordance with provision of the SCNA Bylaws .9 . Have the right of due process for the denial of any of the above rights .10 . Shall have no rights to belong to or receive benefits from the ANA at the national level .

c . Full Members shall have membership obligations as follows:1 . Abide by the Bylaws of SCNA and ANA .2 . Abide by the Code of Ethics for Nurses With Interpretive Statements, 2015 .3 . Pay dues as required by the Bylaws .4 . Fulfill the requirements of office if elected or appointed .

d . State-Only Members shall have membership obligations as follows:1 . Abide by the Bylaws of SCNA .2 . Abide by the Code of Ethics for Nurses With Interpretive Statements, 2015 .3 . Pay dues as required by the Bylaws .4 . Fulfill the requirements of office if elected or appointed .

e . Honorary Members do not have the obligation to pay dues as required by the Bylaws .

Section 4. Disciplinary Action

a . A member may be disciplined for cause by SCNA or by a Chapter . Charges shall be filed with the Association in whose jurisdiction the alleged violation occurred .

b . Cause for disciplinary action may include violation of—1 . the purpose, goals, and bylaws of SCNA; or2 . the Code of Ethics for Nurses With Interpretive Statements, 2015 as adopted by the ANA Board

of Directors .3 . Cause for disciplinary action may include violation of the ANA Bylaws .

c . Subject to these Bylaws and the South Carolina Nonprofit Corporation Act of 1994, as amended (the “Act’), a member may be expelled or suspended, and a membership in SCNA terminated if not less than fifteen (15) days prior written notice, sent by first class or certified mail, of the proposed expulsion, suspension, or termination of a member and the reason therefore shall be delivered to such member in accordance with the procedures set forth in Article III, Section 5 hereof . Such notice shall set forth the date, place, and time such member shall be given the opportunity to be heard orally by the hearing panel, which shall be not less than five (5) days before the effective date of the expulsion, suspension, or termination . Such notice shall also set forth the address to which and date by which such member may to be heard in writing by the hearing panel, which shall be not less than five (5) days before the effective date of the expulsion, suspension, or termination . Upon the affirmative vote of a majority of the hearing panel, SCNA acting fair and reasonable taking into consideration all of the relevant facts and circumstances, may expel or suspend a member, or terminate such membership . A member who has been expelled or suspended shall remain liable to SCNA for dues, assessments, or fees as a result of obligations incurred or commitments made before such expulsion or suspension .

d . No disciplinary action shall be taken unless the member is served with written specific charges, given a reasonable time to prepare a defense, and given a fair hearing in accordance with common parliamentary and statutory law .

e . A member may be suspended, terminated, censured or expelled by a hearing panel, established by, but not composed of, the SCNA Board of Directors .

f . The decision of the hearing panel may be appealed to the SCNA Board of Directors; the decision of the Board of Directors shall be final .

g . SCNA Chapters, and other Constituent/State Nurses Associations (C/SNAs) shall be notified by SCNA when a member has been subject to any disciplinary action by SCNA .

h . Expulsion of a member from SCNA shall result in expulsion from the Chapter .i . An expelled SCNA member shall be reinstated upon approval by a two-thirds (2/3) vote of the Board

of Directors .j . A member expelled by SCNA who is subsequently reinstated by SCNA shall be automatically

reinstated by the Chapter .k . Any disciplinary action by a Constituent/State Nurses Association (C/SNAs) against one of its

members shall be given full recognition and enforcement, provided such action was taken in accordance with the disciplining C/SNA Bylaws and disciplinary procedures .

Section 5. Notice

a . An oral notice to members is permissible if reasonable under the circumstances and is effective when communicated in a comprehensible manner . Written notice, if in comprehensible form, is effective at the earliest of the following:1 . When received;2 . Five (5) days after its deposit in the United States mail, if mailed correctly addressed with first

class postage affixed;3 . On the date shown on the return receipt, if sent by registered or certified mail, return receipt

requested, and the receipt is signed by or on behalf of the addressee; or

4 . Fifteen (15) days after its deposit in the United States mail, if mailed correctly addressed and with other than first class, registered, or certified postage affixed .

b . Written notice is correctly addressed to a member if addressed to the member’s address shown in SCNA’s current list of members . A written notice or report delivered as part of a newsletter, magazine or other publication regularly sent to members constitutes a written notice or report if addressed or delivered to the member’s address shown in SCNA’s current list of members, or in the case of members who are residents of the same household and who have the same address in SCNA’s current list of members, if addressed or delivered to one of such members, at the address appearing on SCNA’s current list of members .

ARTICLE IV: ORGANIZATIONAL AFFILIATES

Section 1. Qualifications

An organizational affiliate of SCNA is an association that-a . Is a national or state nursing organization that meets established Organization Affiliates Criteria .b . Has a governing body composed of a majority of registered nurses .c . Has been granted organizational affiliate status by the Board of Directors .d . Has paid an organizational affiliation fee to SCNA .

Section 2. Responsibilities

Each organizational affiliate shall maintain a mission and purpose harmonious with the purposes and functions of SCNA .

Section 3. Rights

Each organizational affiliate shall be entitled toa . One registered nurse participant shall have a voice, but no vote, in the SCNA Annual Membership

Meeting .b . Make reports or presentations to the SCNA Annual Membership Meeting within its area of expertise .c . Submit names of registered nurses representatives for appointment to ad hoc groups, and task forces .

ARTICLE V: DUES

Section 1. Amount of Dues

a . Full Membership includes:1 . ANA Dues:

a) SCNA will pay dues to ANA in accordance with the policies adopted by the Membership Assembly .

b) The SCNA shall continue to pay dues to the ANA pursuant to the ANA Bylaws and Membership Assembly policy .

1 . SCNA Dues:a) The amount of the annual SCNA dues shall be established by 2/3 vote of the Full Members

present and voting at the Annual Membership Meeting of the SCNA .

b) The SCNA Board of Directors may establish a policy providing for an automatic cost of living increase in the SCNA dues…a dues escalator . This dues escalator, based on the Consumer Price Index for urban consumers (CPI-U), will increase triennially at the same time as ANA’s inflation escalation and pass through to the ANA SCNA full members with notice but without requiring additional authorization of the Annual Meeting . It will never exceed more than 2 percent per annum .

c) The Board of Directors shall establish an operating budget for the chapters from the SCNA dues .

d) No monies shall be refunded nor additional monies collected when a change in dues category is made within a membership year .

b . State-Only Membership includes: 1 . State-Only Membership Dues shall be established by the Board of Directors .

a) State-Only Membership Dues shall include SCNA dues and those fees established through agreement with the ANA for purposes of representation at the national/international level and any service fees .

b) The SCNA Board of Directors may establish a policy providing for an automatic cost of living increase in the SCNA dues…a dues escalator . This dues escalator, based on the Consumer Price Index for urban consumers (CPI-U), will increase triennially at the same time as ANA’s inflation escalation and pass through to the ANA SCNA full members with notice but without requiring additional authorization of the Annual Meeting . Section 2. Notification of Dues Changes

The SCNA Members shall be notified in writing of any proposal to change the dues at least sixty (60) days prior to the SCNA Annual Membership Meeting at which the proposal is to be voted upon .

Section 3. South Carolina Nurse

Of the dues paid by members, a portion, as decided by the Board, will be for an annual subscription to the Association’s official publication, The S . C . Nurse .

Section 4. Special Member Dues for Full Members

a . Full Members who qualify for the following may elect to pay fifty percent (50%) of the dues:1 . Registered Nurses who are not employed;2 . Registered Nurses who are students in full time study;3 . Graduates of the basic nursing programs for a first year of membership if initiated within six

(6) months following graduation and those members who are continuing in a second year of membership following the condition of (b), for those who were members in good standing of the Student Nurses Association of South Carolina;

b . Full Members who qualify for the following may elect to pay twenty-five (25%) percent of the dues:1 . sixty-six (66) years of age or older, who are not employed2 . new RN’s who were members in good standing of the Student Nurses Association of South

Carolina before graduation from their under graduate nursing program, for the first year of membership, if the membership is initiated within six (6) months of licensure .

c . State-Only Members do not qualify for any special member dues rates .

Section 5. Transfers of Memberships

a . A Full Member who moves out of this state may apply to the Secretary of this Association for transfer to another Constituent/State Nurses Association of the ANA . The SCNA is not required to refund to the individual member dues already paid .

b . A Full Member who has made full payment of dues to another Constituent/State Nurses Association of the ANA may transfer to this Association without further payment of dues for the remainder of the membership year . The request for transfer shall be signed by the Secretary of the Constituent Member Association issuing the transfer .

c . State-Only Members who are in good standing may transfer from or to a Constituent Member State that has a State-Only Membership option if an agreement between the Constituent Member States has been established .

d . A State-Only Member who has made full payment of dues to another Constituent Member Association of the ANA may transfer to this Association without further payment of dues for the remainder of the membership year, in compliance with Article V, Section 5 (c) . The request for transfer shall be signed by the Secretary of the Constituent Member Association issuing the transfer .

ARTICLE VI: BOARD OF DIRECTORS

Section 1. Definition

The Board of Directors is the corporate body composed of officers, directors, and commission chairs, as elected by the members of SCNA .

Section 2. Composition

a . The Board of Directors shall consist of the Officers of the Association which are President, President-elect, Secretary/Treasurer, two (2) directors one of whom is a newly licensed nurse who graduated within five (5) years from a basic nursing program and who is a direct care provider, three (3) Chairpersons of the Commissions .

b . President of South Carolina Nurses Foundation (SCNF) or the President’s designee shall be eligible to attend meetings of the Board with voice but without vote .

c . The President of the South Carolina Student Nurses Association or the President’s designee shall be eligible to attend meetings of the Board with voice but without vote .

d . All Chapter executive committee chairs shall be ex-officio members of the Board of Directors with voice, but without vote .

Section 3. Responsibilities

a . Officers shall be elected by mail or elections balloting as hereinafter provided . Candidate for President and President Elect shall also be listed as candidates for representatives to the Membership Assembly of ANA . Vacancies in office shall be filled as hereinafter provided .

b . No members of the Board shall—1 . serve more than two (2) consecutive terms in the same office;2 . serve more than eight (8) consecutive years on the Board;

3 . hold more than one (1) seat on the Board at a time;4 . serve as a member of the Professional Advocacy and Development Commission

c . A Board Member who serves one-half (1/2) term or more shall be considered to have served a full term .

d . Officers shall have the authority and shall perform the duties usually performed by such officers, and also such duties as specified in the SCNA Book of Positions and Roles and as authorized by the Board of Directors of this Association .

e . The Secretary/Treasurer shall have responsibility for preparing minutes of the directors’ and members’ meetings and for authenticating records of SCNA .

Section 4. Vacancies

Absence from two consecutive meetings may be the cause for declaring a vacancy as determined by a majority of the Board of Directors . A vacancy shall be filled by appointment by the Board of Directors with the exception of the office of President . If a vacancy occurs in the office of President, the President-elect shall assume the office of President and the Board of Directors shall appoint a new President-Elect .

ARTICLE VII: EXECUTIVE COMMITTEE

Section 1. Definition

The Executive Committee shall have the administrative power to transact all SCNA business between Board meetings and serves as the personnel committee for the Association; provided however, no committee may authorize distributions; approve or recommend to members dissolution, merger, or the sale, pledge, or transfer of all or substantially all the SCNA’s assets; elect, appoint, or remove Directors or fill vacancies on the board or on any committee; or adopt, repeal, or amend the Articles of Incorporation or these Bylaws .

Section 2. Composition

The Executive Committee shall be composed of the President, the President-elect, and the Secretary/Treasurer . Only members of the Board of Directors shall serve as voting members of the Executive Committee .

ARTICLE VIII: CHIEF EXECUTIVE OFFICER

Section 1. Definition

The Board of Directors shall delegate to the Chief Executive Officer (CEO) the authority to manage the association according to policies established by the SCNA Annual Membership Meeting and the Board of Directors .

Section 2. Accountability

The CEO shall be accountable to the Board of Directors .

a . The CEO shall employ, direct, promote and terminate staff of the association .b . The CEO may represent the association and serve as spokesperson on matters of established policy

and positions .

ARTICLE IX: COMMISSIONS

Section 1. Definition

A commission is a specific body of organization and communication to which the Annual Membership Meeting assigns specific responsibilities related to fulfilling the functions of SCNA . Commissions are accountable to the Board of Directors and report to the Annual Membership Meeting .

Section 2. Composition and Designation

The following Commissions are established with membership consisting of the chairperson or designated representative of the structural units listed below each:

a . Commission on SCNA Chapters1 . SCNA Chapters

b . Commission on Professional Advocacy and Development1 . Peer Assistance Program2 . Continuing Education Approver Committee3 . Continuing Education Provider Committee

c . Commission on Public Policy / Legislation1 . Legislative Committee

Section 3. Responsibilities

Each Commission shall perform the duties as specified in the SCNA Book of Positions and Roles and as designated by the Board of Directors of this association .

ARTICLE X: ELECTED COMMITTEES

Section 1. Definition

The Nominating Committee shall be the only elected committee of the South Carolina Nurses Association .

Section 2. Composition

The Nominating Committee shall be composed of not more than seven (7) Full (SCNA/ANA) members of the Association representative of the fields related to the Committee’s functions .

a . All Committee members shall be elected by the membership in even-numbered years to serve a two (2) year term .

b . The elected member receiving the highest number of votes shall convene the first meeting of the committee, at which point the committee shall elect its own chair .

c . Committee members shall be eligible to serve no more than two (2) consecutive terms . A Committee member who has served one-half (1/2) term or more shall be considered to have served a full term .

Section 3. Responsibilities

a . The Nominating Committee is responsible for developing and implementing a program of activity to carry out the Committee’s functions within the bylaws and policies determined by the Annual Membership Meeting, the Board of Directors and the SCNA Book of Positions and Roles .

b . The Nominating Committee shall determine the extent of the Association’s concerns, actions and influence in its respective area of responsibility .

c . The Nominating Committee shall report and be accountable to the Board of Directors and Annual Membership Meeting .

ARTICLE XI: APPOINTED COMMITTEES

Section 1. Definition

There shall be the following committees: Committee on Bylaws, Continuing Education Approver Committee, Continuing Education Provider Committee, and Finance Committee .

Section 2. Composition

a . Appointed Committees, with the exception of the Continuing Education Approver Committee and the Continuing Education Provider Committee, shall consist of no fewer than five (5) members appointed by the President with the approval of the Board of Directors, unless otherwise specified in the Bylaws, to serve for two (2) years or until their successors are appointed .

b . The Continuing Education Approver Committee and the Continuing Education Provider Committee shall consist of no fewer than five (5) members but no more than fifteen (15) members appointed by the President with approval of the Board of Directors unless otherwise specified in the bylaws, to serve for three (3) years on a staggered basis or until their successors are appointed .

c . Members of the Committee on Bylaws must be Full (SCNA/ANA) Members .

Section 3. Responsibilities

a . The authority and responsibility of such Committees shall be the investigation and study of matters relating to the accomplishment of the purposes, functions, and/or administration of the Association of a continuous and recurring character and within the limitations of the defined responsibilities .

b . In addition, the Continuing Education Approver Committee and the Continuing Education Provider Committee shall be responsible for the continuing education approver unit activities and continuing education provider unit activities within SCNA .

c . The Committees shall:1 . report their findings and recommendations to the Board of Directors and the Annual Membership

Meeting;2 . create subcommittees to accomplish specified tasks related to the Committee’s duties;3 . prepare an annual budget based on the planned income and expenditures and submit it to the

Committee on Finance for incorporation into the annual budget;

4 . The Continuing Education Approver Committee and the Continuing Education Provider Committee will develop and implement those functions relative to approving and providing ANCC accredited continuing education activities within SCNA .

Section 4. Vacancies

Absence from two consecutive regular meetings of a committee may be cause for declaring a vacancy as determined by a majority of the Board of Directors . A vacancy in a Committee shall be filled by appointment by the Board of Directors from nominees submitted by members of the Committee and structural units of SCNA .

ARTICLE XII: SPECIAL COMMITTEES

Section 1. Definition

There shall be Special Committees as created by the Annual Membership Meeting, the Board of Directors, or other Association units so authorized .

Section 2. Composition

The qualifications and number of members of these Committees shall be determined by the Annual Membership Meeting, the Board of Directors or other Association units so authorized .

ARTICLE XIII: NOMINATIONS AND ELECTIONS

Section 1. Candidates

a . Any Full Member in good standing is eligible for elected or appointed office in SCNA .b . Any State-Only Member in good standing is eligible for elected or appointed office at the state level

with the exception of President, President-elect, and Representatives and Alternates to Membership Assembly of ANA, and members of the Nominating Committee .

c . State-only members may vote for all officers . State-only members cannot vote for the two members to attend the Membership Assembly of ANA or the Alternates to the Representatives or the members of the Nominating Committee .

d . Representatives to the Membership Assembly of ANA shall be a separate election for the two SCNA members of the Assembly .

e . Members shall be considered eligible in one elected office in SCNA at any one time with the exception of the nominating committee and/or Representatives to Membership Assembly or Chapter Officers .

Section 2. Nominations

a . Candidates for office shall meet established qualifications and shall consent to serve if elected .b . An individual member who meets the established qualifications for an elected office may declare as a

candidate by writing to the Secretary of SCNA .c . The slate of candidates shall be published, in accordance with Article X, Section 3(a), above, in the

SC Nurse at least sixty (60) days before the Annual Membership Meeting of SCNA . SCNA members shall be notified in writing in accordance with approved policy .

Section 3. Elections

a . Elections shall be held annually following the approved schedule .b . Elections shall be by secret ballot prior to SCNA Annual Membership Meeting . The ballot may

be by mail or by electronic voting . Mailed ballots will be in accordance with Article X, Section 3(a) . Electronic balloting is permitted if the integrity of the ballot is preserved and the SCNA does not access the ballot for purpose of identifying how a member voted and the ballot is available in accordance with Article X, Section 3(a) .

Section 4. Challenge

Any challenge to the elections shall be filed with the Secretary within thirty (30) days after the announcement of the election .

Section 5. Action by Written Ballot or Electronic Ballot

Any action that may be taken at any annual, regular, or special meeting of the members, including but not limited to elections, may be taken without a meeting if SCNA delivers a written or electronic ballot to every member entitled to vote on the matter . Such written or electronic ballot shall set forth each proposed action and provide an opportunity to vote for or against each proposed action . Approval by written or electronic ballot pursuant to this section is valid only when the number of votes cast by ballot equals or exceeds the quorum required to be present at a meeting authorizing the action, and the number of approvals equals or exceeds the number of votes that would be required to approve the matter at a meeting at which the total number of votes cast was the same as the number of votes cast by ballot . All solicitations for votes by written or electronic ballot shall indicate the number of responses needed to meet the quorum requirements; state the percentage of approvals necessary to approve the matter other than elections; and specify the time by which a ballot or electronic response must be received by SCNA in order to be counted . A written or electronic ballot may not be revoked .

ARTICLE XIV: REPRESENTATION

Section 1. Member Representation at the SCNA Annual Membership Meeting

a . The SCNA members shall be directly involved in the processes of the Association .b . The voting body of SCNA at each Annual Membership Meeting or special meeting shall consist of

members of the Association who attend the meeting .c . Each Member, Officer and Board Member shall be entitled to one vote on all matters coming before

the Annual Membership Meeting or special meeting .d . The members at any Annual Membership Meeting may adopt such rules of procedure for the

transaction of business at their meetings as they may deem suitable .

Section 2. SCNA Representation at the Membership Assembly of ANA

a . The SCNA is entitled to representation at regular and special meetings of the Membership Assembly of ANA in accordance with ANA Bylaws and policy .

b . All elected Membership Assembly representatives and alternates may serve no more than two consecutive terms or until a successor is elected .

c . The Chief Executive Officer of SCNA shall attend the Membership Assembly, with a courtesy seat .

ARTICLE XV: MEETINGS

Section 1. Authority

This Association shall hold an annual meeting of the membership at such time and place as shall be determined by the Board of Directors, except where government regulations or condition incident upon war may render this impossible .

Section 2. Order of Business

The order of business of each meeting of the Annual Membership Meeting of this Association shall be in accordance with the program adopted at the beginning of the convention and shall include:

Section 3. Annual Meeting of Members.

a . This Association shall hold an annual meeting of the members once each calendar year at such time and place as shall be determined by the Board of Directors, except where government regulations or condition incident upon war may render this impossible .

b . At each annual meeting of members, the President and Treasurer shall report on the activities and financial condition of the Association .

c . For the purpose of determining members entitled to vote at any meeting of members, or in connection with any other proper purpose requiring a determination of members, the Board of Directors shall by resolution fix a record date for such determination . The record date set by the Board of Directors shall be not more than seventy (70) days, and not less than the last day for timely giving notice, before the meeting or action requiring determination of members is to occur . If the Board of Directors fails to set a record date, the members at the close of business on the business day on which notice is given or, if notice is waived, at the close of business on the business day preceding the day on which the meeting is held are entitled to notice of the meeting and to vote thereat . The members of record appearing in the books of the Association at the close of business on the record date so fixed shall constitute the members in respect of the activity in question . After fixing a record date for notice of a meeting, the Association shall prepare an alphabetical list of names of all members who are entitled to notice of the meeting . The list shall show the address of each member entitled to vote at the meeting . Subject to the limitations of Sections 33-31-720, 33-31-1602(c) and 33-31-1605 of the Act, such list of members shall be available for inspection by any members for purposes of communication with other members concerning the meeting, beginning the day after notice is given of the meeting for which the list was prepared and continuing through the meeting, at the Association’s principal office . The Association shall also make the list of members available at the meeting, and any member, a member’s agent, or member’s attorney shall be entitled to inspect the list at any time during the meeting or any adjournment .

d . Members and Directors may not vote by proxy .

Section 4. Annual Meeting of Board of Directors

An annual meeting of the Board of Directors shall be called and held for the purpose of annual organization, appointment of committees, and transaction of any other business . If such meeting is held promptly after and at the place specified for the annual meeting of members, no notice of the annual meeting of the Board of Directors need be given . Otherwise, such annual meeting of the Board of Directors shall be held at such time (at any time prior to and not more than sixty (60) days after the annual meeting of members) and place as may be specified in the notice of the meeting . The Board of Directors may by resolution provide for the holding of additional regular meetings without notice other than such resolution; provided, however, the resolution shall fix the dates, times, and places (which may be anywhere within or without the State of South Carolina) for these regular meetings . Except as otherwise provided by law, any business may be transacted at any annual or regular meeting of the Board of Directors .

Section 5. Special Meetings

a . Special meetings of the members of SCNA or the Annual Membership Meeting of this Association may be called for one or more lawful purposes by the President, a majority of the Board of Directors, or by the President upon written request of a majority of the chapters .

b . Special meetings of the Board of Directors may be called for any lawful purpose or purposes by the President or at least twenty percent (20%) of the Directors then in office . The person calling a special meeting shall give, or cause to be given, to each Director at his or her business address, notice of the date, time and place of the meeting by any means of communication acceptable under the Act not less than two (2) days prior thereto . Business transacted at a special meeting of Directors shall be limited to the purposes stated in the notice of the special meeting . An oral notice is permissible if reasonable under the circumstances and is effective when communicated in a comprehensible manner . Written notice, if in comprehensible form, is effective at the earliest of the following:1 . When received;2 . Five (5) days after its deposit in the United States mail, if mailed correctly addressed with first

class postage affixed;3 . On the date shown on the return receipt, if sent by registered or certified mail, return receipt

requested, and the receipt is signed by or on behalf of the addressee; or4 . Fifteen (15) days after its deposit in the United States mail, if mailed correctly addressed and with

other than first class, registered, or certified postage affixed .

Written notice is correctly addressed to a Director if addressed to the Director’s business address shown in the Association’s current records . If notice is given by telegram, the notice shall be deemed delivered when the telegram is delivered to the telegraph company and the transmission fee therefore is paid . If notice is given by telecopier facsimile transmission, the notice shall be deemed delivered when the facsimile of the notice is transmitted to a telecopier facsimile receipt number designated by the receiving Director, if any, so long as such Director transmits to the sender an acknowledgment of receipt . The notice of a special meeting shall describe the purpose of such special meeting . Any time or place fixed for a special meeting must permit participation in the meeting by means of telecommunications as authorized below . Special meetings of this Association may be called by the Board of Directors and shall be called by the President upon written request of a majority of the Chapters .

Section 6. Notification

Notices of the Annual Membership Meeting or special meetings of this Association shall be sent to the Chair of the Executive Committee of each Chapter and to all members of this Association prior to the meeting in question . Notices of the SCNA Annual Membership Meeting shall be mailed at least one (1) month before the first day of SCNA Annual Membership Meeting and notices of special meetings shall be mailed at least ten (10) days before the first day of the meeting . Oral or written notice of all meetings of members shall be given no fewer than ten (10) days, or if notice is mailed by other than first class or registered mailed, thirty (30) days, nor more than sixty (60) days before the meeting date by any method permitted under the Act, to all members of record entitled to vote at such meeting; provided however, the date upon which such notice shall be deemed effective shall be determined in accordance with Article III, Section 5 hereof . Such notice shall state the date, time, and place of the meeting and, if required by the Act or these Bylaws the purpose or purposes for which such meeting was called .

Section 7. South Carolina Student Nurses Association

Members of the South Carolina Student Nurses Association may attend meetings of this Association .

Section 8. Attendance At Meetings

Any Director may participate in, and be regarded as present at, any meeting of the Board of Directors by means of conference telephone or any other means of communication by which all persons participating in the meeting can hear each other at the same time .

Section 9. Board Action

The Board of Directors shall take action pursuant to resolutions adopted by the affirmative vote of a majority of the Directors participating in a meeting at which a quorum is present, or the affirmative vote of a greater number of Directors where required by the Articles of Incorporation, these Bylaws, the Act, or otherwise by law .

ARTICLE XVI: QUORUM

Section 1. Establishment of Quorum

a . The number of voting members present at a duly noticed meeting of the members shall constitute a quorum for any regular or special meetings of the Association .

b . A majority of the Board of Directors, one (1) of whom shall be the President or President-elect, shall constitute a quorum at any meeting of the Board .

c . A majority of the voting members of any Committee shall constitute a quorum at any meeting of the Committee .

ARTICLE XVIII: OFFICIAL PUBLICATION

Section 1. Official Publication

The official publications of this Association shall be The American Nurse and The South Carolina Nurse .

ARTICLE XIX: AMENDMENTS

Section 1. Amendment Process

a . These bylaws may be amended at any meeting of the Annual Membership Meeting of SCNA by a two-thirds (2/3) vote of the members present and voting .

b . All suggestions for proposed amendments shall be referred to the Bylaws Committee for study . The amendments proposed by the Bylaws Committee for Annual Membership Meeting action shall be in the possession of the Secretary at least two (2) months before the date of the Annual Meeting and shall be appended to the call to the meeting .

c . These bylaws may be amended without previous notice at any Annual Membership Meeting by ninety-nine percent (99%) of those present and voting .

ARTICLE XX: DISPOSITION OF ASSETS

Section 1. Disposition of Assets

No person shall possess any property right in or to the property or assets of the Corporation . Upon dissolution of the corporation and after all obligations are satisfied, all assets shall be distributed to an eleemosynary corporation or non-profit business so designated by the Board of Directors at the time of disposition .

(VALUE PRICING PILOT PROGRAM) This is part of a long term project by ANA and the C/SNAs . The implementation or non-implementation of the Dues Escalator would be in line with trying to find a dues amount that would assist in making ANA/C/SNA membership even more attractive .

Rationale: As SCNA began the newly created system of Chapters it seemed reasonable to create the position of Commission Chair for Chapters to ensure that the “voice” of the Chapters would be heard at the Board table . As time has moved on and the Chapters have grown this voice is not as necessary, since most of the Chapter Chairs themselves attend the Board meetings and are welcome to express their needs and opinion on the issues that both affect their Chapters as well as the other work of the SCNA Board . This position has remained unfilled for two years . It has not appeared that this has harmed the Chapters in any way . The reduction of one Board member does allow for there to be an odd number of Board members which is desirable .

January 2017I. Purpose: This Memorandum of Agreement serves to assure SCNA Chapters function in line with SCNA by-laws, policies and Certificate of Incorporation .

II. Scope of Services: A. Responsibilities of SCNA:

1 . Provide opportunities to create new Chapters2 . Approve formation and dissolves Chapters3 . Approve funding requests for Chapter Advancement Funds if budgeted by SCNA in the annual

budget .4 . Provide event management that includes:

i . Conduct site selection process including solicitation of bids from appropriate sites, evaluation of submitted bid material on-site inspection of selected sites meeting event criteria .

ii . Negotiate and sign all contracts and serve as official point of contact for the event .iii . Receive speaker information from committees and sign speaking agreement and handle

all details of contract with speakers and obtain all needed forms for CE provision and recording keeping . Standard SCNA agreement will include written confirmation to speakers and/or sponsors to convey date, time, location, topic, to request required CE information (objective/content documentation, biographical data form, handouts, etc…), and to specify honorarium and travel arrangements (if applicable) .

iv . Issue appropriate W-9 and 1099 to all speakers who are compensated through SCNAv . Complete CE paperwork in partnership with the planning committee representative for

event upon receipt of speaker’s materials, and forward to SCNA Continuing Education Provider Committee (CEPC) for review and issuance of American Nurses Credentialing Center’s Commission on Accreditation criteria .

vi . Conduct site selection process including solicitation of bids from appropriate sites, evaluation of submitted bid material on-site inspection of selected sites meeting event criteria .

vii . Develop, print and mail event brochure if applicable for event (with advice and consultation of chapter) .

viii . Set final registration rates for conference, based on anticipated expenses and income, and advice/consultation from chapter .

ix . Receive registration forms and fees; copy and prepare all materials for event .x . Provide list of registrants for event and name-tags and assist with on-site registration

process .xi . Provide all materials related to CE process including CE Verification of Attendance, CE

Evaluation Forms and CE certificates .xii . Provide additional on-site support for event needs .xiii . Write letters of appreciation to speakers, sponsors, and exhibitors at the conclusion of event .

9 . Those Chapters without funds on deposit with SCNA will provide all requested information to SCNA annually and file their own necessary IRS forms .

III. Terms and Conditions: A . This agreement shall be effective January 1, 2017 or when all parties have signed, whichever is later .B . SCNA will review this MOA annually . Any cause, default or negligence on the part of an SCNA

Chapter at any time may result in dissolution of this agreement .C . The MOA will be re-executed at the election of New SCNA President with each chapter chair . D . Amendment . Any changes to this MOA, which are mutually agreed upon between SCNA and SCNA

Chapters, shall be incorporated in written amendment to this MOA and will not become effective until the amendment is signed by each party .

POSITION DESCRIPTION TITLE: Nominations and Elections Committee REPORTS TO:SCNA President -Elect DEFINITION: An elected committee of five (5) members elected in even-numbered years all serving 2-year terms . The person with the highest number of votes shall serve as Chairperson . PRIMARY PURPOSE: To conduct the SCNA nominating and election process for all elected positions on the Board of Directors and designated elected Committees . SPECIFIC DUTIES & RESPONSIBILITIES: CALL FOR NOMINATIONS

1 . Send to each Committee, each SCNA Chapter, on or before February 1st of each year, the names of Officers, Directors, Commission Chairs and members of the Nominations and Elections Committee then serving and those eligible for re election and request from the Committees, SCNA Chapters a list of names of members qualified and willing to serve if elected . Such lists shall be signed by the chairperson or secretary of the respective organizational unit and returned no later than April 15th . This Call for Nominations should also be published in the SC Nurse for the membership .

2 . Solicit additional names needed to complete the ticket in the event sufficient candidates are not secured from the lists submitted by the Committees and Chapters .

NOMINATIONS PROCESS1 . Prepare a ticket of nominees for each vacancy to be filled . Any Member in good standing is eligible

for elected or appointed office in SCNA . Members shall be considered eligible in one elected office in SCNA at any one time with the exception of the nominating committee and/or SCNA Representatives and Alternates to ANA Membership Assembly or Chapter Officers .

2 . Candidates for office shall meet established qualifications and shall consent to serve if elected . All potential candidates will be given a copy of the Position Description for the office for which the candidate is being asked to seek election . An individual member who meets the established qualifications for an elected office may declare as a candidate by writing to the Secretary of SCNA . The slate of candidates shall be published, in accordance with Article X, Section 3(a), SCNA Bylaws, in the SC Nurse at least sixty (60) days before the Annual Membership Meeting of SCNA . SCNA members shall be notified in writing in accordance with approved policy .

3 . Present the tickets to the Board of Directors and then mailed/emailed to the Chair of each Chapter and published in the official publication not later than August 1st .

4 . Member may vote for a member whose name does not appear on the ballot by writing in the name of that member, if the member is in good standing and has consented to serve if elected .

SCHEDULE OF ELECTIONS1 . Elections shall be held annually following the approved schedule: The President-Elect, two (2)

Director for Seat 1, Director Seat 2, the Chairperson of the Commission on SCNA Chapters and five (5) members of the Nominating Committee shall be elected in the even-numbered years . The Secretary/Treasurer, Chairperson of the Commission on Professional Advocacy and Development, and Chairperson of the Commission on Public Policy/Legislation, shall be elected in odd-numbered years .

2 . The terms of these Officers and members of the Nominating Committee shall commence at the adjournment of the Annual Meeting following their election and shall continue for two (2) years or until their successors are elected .

3 . The number of SCNA Representatives and Alternates to ANA Membership Assembly allowed by ANA, whom shall be the President and President-Elect, and a sufficient number of Alternates shall be elected in the even-numbered years . SCNA Representatives and Alternates to ANA Membership Assembly shall serve for a term of two (2) years or until a successor is elected .

ELECTIONS PROCESS1 . All elections shall be by secret ballot prior to the SCNA Annual Membership Meeting . 2 . Election of Officers and others chosen by the membership shall be by electronic ballot, with provision

for those needing mailed ballots . Mailed ballots may be requested up to three weeks before the Annual Meeting and are due back to the electronic voting provider by 2 weeks before the Annual Meeting . SCNA will assist any eligible voter in obtaining a mailed ballot .

3 . Each eligible voter shall be a member in good standing and shall be entitled to vote in the election . Members in good standing for the purpose of the elections are members of SCNA for at least 2 full months dated from the 1st of the month prior to the month the election is held and who are up to date on their dues . (Example: the election begins August 1, the individual must be a member of SCNA continuously since June 1 of the same year . If the election begins on August 15 the individual must be a member of SCNA continuously since June 1 of the same year .) Eligible voters must continue to meet all the requirements of membership including being up to date on their dues and be currently licensed as a registered nurse on the day that they vote .a . A list of current members will be published on the SCNA website prior to the first day of

ballotingb . It is up to the individual members to validate the information and to contact the SCNA staff

during regular business hours (as stated on the website) prior to voting if the member believes that he/she was omitted from the voting list in error so that a correction can be made .

c . Any SCNA members in good standing may present evidence that there is an error in the list of current members prior to the voting and up to the closing of the election .

d . Failure to notify SCNA of an error in the voting list prior to the closing of the vote is considered a waiver of the member’s right to challenge the voting list or the election .

e . Failure to notify SCNA that the member is not on the voting list prior to the closing of the vote is considered a waiver of the individual’s right to challenge the voting list or the election .

4 . All ballots will be available for all eligible members at least four (4) weeks prior to the Annual Meeting . a . If the election is held by mail the CEO shall mail a ballot with two (2) return envelopes enclosed

to each member of the Association as follows: one (1) small sized envelope having the word “BALLOT” printed thereon; and one (1) larger outer envelope, self-addressed and bearing the printed name of the voter in the upper left hand corner . Detailed instructions and biographical data on any candidate not listed in the official publication will accompany the ballot .

b . A second ballot shall be sent to a member upon request provided a notarized statement requesting a second ballot is received by headquarters office no later than one (1) week prior to the deadline specified in the ballot instructions and with the agreement, that, if the original ballot is received, it will be forwarded unopened to the authorized Tellers of the election . Authorized Tellers of the election may be volunteer members of the Association or may be an outside accounting firm used by SCNA . The CEO shall determine who will fill the role of Tellers for each election . Headquarters shall notify the Tellers of the names of members to whom a second ballot has been sent . In the event that the recipient of the second ballot shall return two (2) ballots, both ballots shall be declared illegal and invalid .

c . Members may vote for persons other than those whose names appear on the ballot by writing in the names of qualified candidates who have consented to serve if elected .

d . At least two (2) weeks before the last day of the Annual Meeting the marked ballots shall be returned to the CEO of this association . Each ballot shall be sealed in the small envelope which shall be enclosed in the outer envelope bearing the printed name of the voter in the upper left hand corner . The CEO shall place the unopened envelopes containing the ballot in a safe place and shall deliver them to the appointed Tellers upon request .

e . Tellers shall check the names of the voters on the outer envelopes against the list of members entitled to vote discard the outer envelopes and deposit the inner sealed envelope in the ballot box . The Tellers shall supervise the counting of the ballots and only those ballots cast in accordance with the instructions shall be counted .

f . A plurality vote of those entitled to vote and voting shall constitute an election .g . A nominee for office receiving the highest number of votes shall be declared elected .h . The five (5) nominees for the Nominations and Election Committee who receive the highest

number of votes shall be declared elected . The nominee receiving the highest number of votes for the Nominating Committee shall serve as its chair . The persons receiving the highest number of votes in descending order for SCNA Representatives to the ANA Membership Assembly and shall include the SCNA President and President - Elect, shall be declared elected SCNA Representatives to ANA Membership Assembly . The Alternates to the ANA Membership Assembly shall be the remaining nominees in descending order .

i . In case of a tie, the choice shall be declared by lot .j . The Chair of the Nominations and Election Committee shall report the results of the election to

the Annual Meeting .k . All ballots, credentials of the voting body, and other records of the election shall be preserved for

one (1) year after the election .l . If the election is held electronically provision will be made for ample notification of all eligible

members in good standing for use of the electronic voting system .m . Any challenge to the elections shall be filed with the Chair of the Nominations and Elections

Committee within thirty (30) days of the announcement of the election results, which takes place at the SCNA Annual Meeting . Failure to file a challenge within the 30 day timeframe constitutes a waiver of the right to challenge . All challenges must be in writing by an SCNA member eligible to vote . The challenge shall specify the nature of the complaint, including any violation of SCNA Bylaws, procedures or the law, and explain the basis of why the member believes the outcome of the election was affected by the conduct of the election mentioned in the complaint .(1 .) Grounds for challenging an election may be based on:

a . Ineligible voters;b . Procedures required for conducting the election were not followed;

(2 .) Process for addressing the election challenge:All written challenges submitted by members eligible to vote are investigated by the Nominations and Election Committee . The Chair of the Nominations and Elections Committee shall chair the election challenge committee . The committee may hold a hearing if they deem it necessary . The Nominations and Elections Committee, acting in the role of the Election Challenge Review Committee, shall present their decision and recommendations within 30 days after the filing of the challenge to the SCNA Board of Directors . Decisions of the Election Challenge Review Committee may be appealed to the full SCNA Board of Directors by filing written notice of such appeal within 10 days after the decision is issued . Pending the decision of the SCNA Board of Directors, the decision of the Election Challenge Review Committee will be in effect . The decision of the SCNA Board of Directors is final .a . If the election is challenged while in progress, it will continue unless a decision is

reached by the SCNA Board of Directors based on the Election Challenge Review Committee recommendations to stop the election and declare it void .

b . If the election is challenged after it is completed, the officers chosen during the election being challenged will take office and remain in office until a decision on the challenge is reached OR until a new vote has been completed and new officers selected . Those who are defeated in the new election will step down from office on the date the official announcement is made and the winner (s) will take his/her position(s) .

c . Challenging electronic elections: Absent proof of a technical or mechanical irregularity, it shall be assumed that the electronic vote count is correct .If the Board of Directors finds that there are sufficient grounds to hold a new election it will set a date for the election and post in the next edition of the SC Nurse .

(3 .) Grounds for challenging a voter:A member who desires to challenge the right of another member or members to vote should do so by presenting the challenge to the Nomination s and Elections Committee . This should be done before the vote is cast . The grounds for challenging a voter are:a . Not being a member in good standing and thus not an eligible voterb . Using SCNA or Chapter funds or money, or anything of value donated by his/her

employer to finance their campaignc . Acting on behalf of a competing organization to the detriment of the SCNAd . Violating the Code of Ethics for Nurses With Interpretive Statements, 2015e . The burden of proof is on the challenged voter to show that he or she is an eligible voter

once a challenge is cast . Only members in good standing (dues are up to date and hold a current nursing license) will be allowed to vote

f . No challenges will be acceptable after the vote is cast(4 .) Grounds for challenging a candidate:

Any SCNA member eligible to vote may contest a candidate’s fitness for office based on: a . Not being a member in good standingb . Using SCNA or Chapter funds or money donated by his/her employer or anything of

CANDIDATES FOR OFFICE1 . Any member of SCNA eligible to vote may submit names of a candidate for office, if the person is

qualified and willing to serve .2 . The Nominations and Elections Committee shall prepare a slate of nominations for each office to be

filled . The utmost effort shall be made to have a slate of at least two nominees for each office to be filled .

3 . The Nominations and Elections Committee shall publish the slate in the SC NURSE and/or on the SCNA web site before the election period .

4 . The biography of each nominee shall be included with the ballot . If the nominee does not respond to requests from the Nominations and Elections Committee for a biography and/or answers to any questions designed to assist voters in their choices, the nominees name will be followed by these words in all published materials: No Reply Received

5 . The current number of Representatives to the ANA Membership Assembly is two (2) . Each representative and alternate will be elected for a two year term or until a successor is elected . A representative shall not serve for more than two consecutive terms, exclusive of the President and Chief Staff Officer, if an eligible voting member of SCNA . Alternates who serve more than one year shall be considered to have served a term .

6 . If the name of a member of the Nominations and Elections Committee is submitted as a suggested candidate for the ballot of this Association, with the permission of that member, the member shall resign from the Nominations and Elections Committee .

7 . All candidates must be members in good standing when they are approved for the slate or when they are nominated by themselves or others for office . This includes write-in candidates .

8 . The call for nominations must include the offices to be filled, the terms of office, how to nominate and eligibility qualifications for nominees . Any changes to the nomination requirements must be published in the SC Nurse and posted on line at www .scnurse .org prior to the first meeting of the Nominations and Elections Committee .

9 . If a candidate drops membership at any time from the time the slate is fixed through their time in office they have 5 business days to correct/restore their membership once notified of the lapse by the SCNA . If the membership is not restored, the candidate will not be eligible for the office prior to the election and their name(s) will be removed from the ballot . Once on the ballot, they will remain, however votes for the candidate will not be counted . If an elected candidate drops his/her membership after the election the position will be considered a vacancy to be filled according to SCNA bylaws .

CAMPAIGN PRACTICES1 . The SCNA elections are currently held in advance of the SCNA Annual Meeting and the results of

the election are announced during the SCNA Annual Meeting at which time all elected members shall take the oath of office in advance of the next SCNA year . SCNA provides two avenues for informing the members of SCNA who is on the ballot for the current elections: the SC Nurse newspaper and the SCNA web site . Information is also included in the materials attached to the electronic voting system used by SCNA . Thus, SCNA has not had an extensive list of Campaign Practices in it Policies and Positions for elections . Due to a continuous desire to be certain that all areas of nominations and election issues are covered, these new Campaign Practices are added to these materials covering nominations and elections .

a . No monies received by SCNA and or an SCNA Chapter from dues, assessments or similar levies or anything of value, and no monies or services of a candidate or a candidate’s employer shall be contributed or applied to promote a candidate for SCNA office .

b . If a candidate for office wishes to purchase a paid advertisement in the SC Nurse, arrangements must be made to do so at the prevailing rate for advertisements . The SCNA staff may assist a candidate in contacting the SC Nurse publisher .

c . All candidates will receive the same information about all policies for the elections .d . Candidate shall refrain from negative campaigning and personal attacks on other candidates and

their supporters e . Candidate shall not use the SCNA’s website and/ or any social media sites that may exist

including, but not limited to, SCNA Facebook, Twitter and YouTube accounts for campaigning . Sites will be monitored and materials removed by the Nominations and Elections Committee

f . SCNA staff will not package or distribute campaign literature . SCNA staff will not wear promotional materials for any candidate .

g . Campaign promotional materials, including shopping or tote bag, may be distributed by candidates and their supporters .

h . Any internal SCNA policies governing campaign practices and election procedures are to be published in advance of the election process in the SC Nurse and on line .

i . Candidates shall ensure that any campaign material issued by the candidate or any supporter contains the statement, “The content of this campaign material has been reviewed and approved by “Candidate’s” Name .”

j . Candidates may not use the SCNA logo and/or mission statement on campaign materials . If there is a convention logo for a convention that will also include an SCNA Annual Meeting, the logo for the convention may be included in any written ads . Use of the convention logo does not imply endorsement by SCNA .

k . SCNA staff is not responsible for designing or disseminating campaign marketing information for individual candidates of slates of candidates .

Selina McKinney Report Year: 2016Number of BOD Meetings Attended: 3 out of 42016 Activities: This year I attended and supported the APRN Legislative Day, attended the legislative meeting on the SC telemedicine bill . I offered an official response to the VA initiative to implement full practice authority for NPs . We experienced some changes in PAPIN . Ms . Susan Outen has replaced Peggy Dulaney as the PAPIN Chair . The Board is grateful for the service and dedication demonstrated by Ms . Dulaney in all her efforts on behalf of SC Nurses . The CNE application for providership was sent the TN Nurses Association in February 2016 . The application was prepared by Mary Wessinger (CEPC Chair), Rosie Robinson, and Judith Thompson . We greatly appreciate the important work of this dedicated group . SCNA was approved as a Provider for CNE through the TN Nurses Association . Larry Eberlin (CEAC Chair) and SCNA staff updated the CEAC Manual for ANCC compliance and posted the updated version on the SCNA home page . The new 2015 criteria reduces redundancy and decreases the total number of criteria for Approved Providers to meet . Updates in the language better reflect learner action and outcomes rather than what the CNE provider will deliver . The addition of a required disclosure statement identifying the provider unit increases transparency and

PRIMARY PURPOSE: To review all non-SCNA sponsored continuing education activities for approval consistent with the guidelines established by the ANA/ANCC . SPECIFIC DUTIES & RESPONSIBILITIES:

1 . The Committee is to assure quality continuing education for nurses in South Carolina .2 . The Committee is to communicate information about CE offering review criteria and process .3 . The Committee is to provide consultation regarding the review criteria and ways to meet the criteria to

We implemented an updating of the newest ANCC Criteria for Nursing Education . This was done on-line for all to be able to access electronically . To date CEAC has approved 25 Individual Activities and 13 Provider Unit Applications . The Committee expects 8 Provider Unit Applications and 4 Individual Activity appluications to be submitted for review before the end of the year . In 2016 an update will be held for all CEAC Provider Unit clients via a webinar . This will be the the first time we have provided continuing education in a webinar format so that participants do not need to travel . 2017 Activities: To grow the committee to help meet the needs of consumers .

DEFINITION: a) Members will be members of the South Carolina Nurses Association .b) Members will be Registered Nurses in the state of South Carolina .c) Members will have no restrictions on his/her license to practice in the state of South Carolina .d) If the member is in any type of recovery from alcohol and/or drug addiction, she/he will have been in

recovery for a period of no less than 3 years .e) Knowledge of addictions and the process of recovery is desirable . New members will be assisted in

becoming more informed through: a new members’ packet, an orientation workshop, attending a 12-step meeting, reading from the bibliography .

i) Any exceptions to the above membership criteria must be approved by 2/3 vote of the committee .

PRIMARY PURPOSE: This committee serves our recovering nurse peers with support groups that help them get their professional and personal lives back on track . PAPIN has been helping the profession since the eighties and has done a magnificent job as a peer assistance program for those members in need . The Recovering Professionals Program (RPP) and PAPIN work together to sustain the recovery abilities of nurse participants across the state .

We provided training and ongoing support for the volunteer group leaders . PAPIN also seeks to educate nurses about issues surrounding addiction, recovery and re-entry into practice . 2017 Activities: PAPIN will continue to provide support groups and education on addiction recovery .

1 . 3 Board of Trustees were held on February 12, May 13 and August 12 . Another meeting is scheduled for November 11 . 2 new BOT members were oriented in February . The BOT currently has 13 member with 2 unfilled slots .

2 . SCNF participated in the National Day of Giving (Midlands Gives) on May 3 for the first time . SCNF’s presence in social media (Facebook and Twitter) was developed .

3 . Scholarship Development and Awards: A . Twenty-three $1,000 .00 Palmetto Gold Scholarships were awarded to 23 undergraduate nursing

students B . SCNF received a $20,000 .00 bequest from Julia Whitten’s estate which she had requested be

designated for nursing scholarships . The board approved the scholarship name as the Julia Whitten scholarship and approved the monies to be distributed to 2 undergraduate BSN students and 3 Master’s students in the amount of $2,000 .00 each . Scholarship criteria have been developed and applications will be made available in September 2016 and again in 2017 .

C . $ 5,000 .00 scholarships sponsored by BCBS will be awarded to 4 doctoral nursing students in November .

D . Ten $2,000 .00 undergraduate and five $3,000 .00 graduate Nurses Care Scholarships were approved and awarded in August . 3 . Plans are underway to expand the Nurses Care Walk to

ANA Membership Assembly Rep Annual Report

The 2016 Membership Assembly began with the ANA Board of Directors Open meeting . This is always an exciting time to see and meet the individuals with whom you interact during the ANA Pres/ED and GOVA meetings . This is a very important opportunity to receive an introduction of the information which will be shared during the Membership Assembly meeting .

Pamela Cipriano, ANA President opened the Membership Assembly with a warm welcome! She introduced Carole Drick, President of the American Holistic Nurses Association who led the group in a “centering” activity . Pam engaged the group with the picture depicting either an old or young woman . I am sure that you know the one to which I am referring . She then charged the group with the obligation to “protect, advance, and advocate for nursing and those we serve” . She also reiterated the year-long focus on Safety 360, Taking Responsibility Together . She shared the work on increasing the number of nurses serving on boards of directors . One of her goals is to “expand the concept of ‘Top of mind inclusion’ to think nurses first; the need to have nurses represented at the table; that the voice of nurses needs to permeate .” Pam’s comments were very insightful and moving .

Two Dialogue Forums were presented and discussed with resulting recommendations for ANA and nurses . The first was: Nursing Advocacy for Sexual Minority and Gender Diverse Populations . This was a very timely topic for discussion as it followed the massacre at the PULSE nightclub in Orlando . Much rich discussion ensued with four recommendations . The second was: Dealing with Substance Abuse Disorder in Nursing . Three recommendations followed this discussion .

By-Laws changes were presented, discussed, and passed regarding dues changes and the continuation of the Dues pilot . Knitasha Washington, Keynote speaker, engaged the group with stirring stories about personal experiences with health care and health care professionals . Patients and Families as Co-Creators of Safety: Changing the Game was the topic of this opening Keynote .

Marla Weston, ANA CEO, shared exciting direction for ANA . She highlighted several initiatives . One in particular is the Welcome to the Profession Toolkit for new graduates . We need to promote this information for our new graduates . She also shared progress on the Culture of Safety and the Nurses Share you Stethoscope Facebook explosion . The work on Safe Staffing was emphasized as well . A very exciting new initiative was also introduced, Healthy Nurse, Healthy Nation . This is in the Beta testing phase with the full launch planned for January 2017 . South Carolina nurses must be involved in the initiative!

Debbie Hatmaker, ANA ED, reported on the recommendation from the dialogue forums . She also shared information regarding Infection Prevention and Control issues . She reported on the 2015 Membership Assembly dialogue forum, Fostering an Ethical Environment and Culture . There is now a faculty packet and toolkit available on the website .

The Mission of the South Carolina Faith Community Nurses Association (SCFCNA) is to encourage and support the development and sustainability of faith community nursing and health ministries throughout the state of South Carolina .

Spirit” . The keynote speakers were representatives from the South Carolina Center for Medical Excellence (CCME) and PART (Preventing Avoidable Readmissions Together) . This project was a community partnership to improve community health . The afternoon sessions focused on successful practices in faith communities that promote health and wellness as well as the impact the faith community may have in preventing hospital readmissions . Presenters: Heather Jones, PTA, MHA, CPHQ, Sharon Eubanks, RN, BSN, MBA, Cheryl Anderson, R .Ph, Karen Southard, Carolinas Center for Medical Excellence (CCME) and Preventing Avoidable Readmissions Together (PART), Christy Porter, RN, MSN, Rebecca Davis, RN, Jenny Holmes, RN, MSN

2. Foundations Course for Faith Community Nurses This course is taught annually to assist those interested in practicing as a Faith Community Nurse to learn the role and scope of practice of this specialty and to provide valuable resources to develop and maintain a viable ministry . The SCFCNA organized an educational committee and pulled from resources within the group identifying several instructors for the course . The course was offered March 3-6, 2016 in Spartanburg . Jenny Holmes and Dawn Henderson provided leadership in organizing the classes and providing lodging and meals for the 14 participants . Participants came from all over the state to attend the course . The SCFCNA was approached by AnMed hospital to offer the foundations course to nurses in their newly organized faith community program . Dates for the course are August 4-6, 2016 .

2016 saw the continued use of the calendar that was adopted for SCNA in 2015 . As a reminder, this was done in order to synchronize our elected official years and our budget years . 2017 will also be the first “roll-over” of the office of President-elect to President . We elected a new President-elect to fill the role in the latest election . This concept was instituted in order to have some time of preparation for the President-elect to gain a fuller understanding of the wide range of responsibilities encompassed in the role of President . The Board of Directors continues to evaluate the roles for each member as we work to streamline the Board of Directors and the work of SCNA . As with all processes for an organization we continue to evaluate the process as we move forward through the year .

My continuing education in the field of organizational management was changed due to the changes made at the ANA level . The ANA Lobbyist meeting was held in September . The usual Executive Enterprise meeting to learn more about organizational management was not offered this year due to a change in meetings at the ANA level . A new meeting for Presidents and Executives will be held in November and early December . SCNA also provided a continuing education opportunity for Rosie Robinson to increase her expertise with the latest iteration of our computer operating system . Rosie is also beginning work on a certification program which is being supported by SCNA .

During all this time, Rosie Robinson, Assistant to the CEO, and I have continued to evaluate every part of the operational infrastructure of SCNA . Our goal is to create the best possible infrastructure that we can given the realities of time, money, and the current size of the staff . It is accurate to say that we provide a great deal of very up to date services to our members and others far exceeding the size of the staff of SCNA .

The “regular” work of SCNA has been continuing and has moved the organization forward in a number of ways . So here we go:

• TheCareerCenter,partofourworkwithYourMembership,thesuccessortoAffiniscape,hasproduced royalty income for SCNA, as has the News Flash that is sent out as well . The Career Center income has had anl upswing again as a valued component of the SC Web site .

• TheroyaltyprogramwithMercer,continues.ChangeswillbecominginthatANAwillnowbesendingthe royalty to SCNA instead of Mercer . This new plan is due to be implemented in the fall quarter .

• ThedistributionoftheSCNURSEtoallLPNs,RNs,includingAPRNS,membersoftheGeneralAssembly and Congressional Delegations as well as opportunities to share with all schools of nursing continues through the good work of Arthur L . Davis Publishing Agency . There is no cost to SCNA for this service .

• SCNAalsocommunicateswiththosewhowishtoreceiveit,amember“Flash”ofcurrenttopicseachweek and we have updated the use of Facebook as well .

• ThefinancesofSCNAcontinuetobemonitoredonamonthlybasis.Wecontinuetoseenadeclinein programs and workshops of our Chapters and frankly this is something that will need to be looked at very carefully at the next budget time, as the Chapters are supposed to contribute to the income of the SCNA . Membership has continued to grow and this is a help in this area . Also, in the area of finances, as of this writing, the SCNA Building is under contract for sale to new owners . The potential new owners are in the discovery phase of the agreement . We have a list of rental properties that are available in an area around where we are currently to a little farther out into the city and county . We do hope that it will all come to fruition soon so that we can be settled into our newest “digs” before the winter holidays and start of the General Assembly . This is a huge step for SCNA and one that the previous and current members of the SCNA Board of Directors has labored long and hard considering .

• SuccessfulauditachievedandForm990shavebeenfiledontimewiththeIRS.• AllreportstotheStateEthicsCommissionhavebeenfiledontime.• TheSCNFcontinuestorentspacefromSCNAonthesecondfloorofthebuilding.TheSCNFnow

has its own phone line for communications and contributes to the cost of this line to SCNA .• WorkhascontinuedtocontainexpensesasmuchaspossibleforoperationsofSCNA.• TheContinuingEducationApproverCommitteecontinuestobeawonderfulgroupofdedicated

volunteers making this important program work for SCNA . This activity of SCNA continues to be a source of income . All of the members of the CEAC are updated with new information from ANCC . SCNA’s Accreditation as an Approver for Continuing Nursing Education with Distinction continues until 2019 . Lawrence Eberlin is a wonderful Chair and the experienced team of SCNA volunteers is a true joy to work with in this important area . Weatherly Brice is learning the role as the Nurse Peer Review Leader to augment the work done by Dr . Eberlin . The ability of both applicants, individual activity applicant and Approved Provider Units, to apply via a computer program and for reviewers to review continues in place with the most up to date manual on line .

• TheSCNACNEProviderProgram(CEPC)wasabletoreachanagreementwiththeTennesseeNurses Association to exchange services for providing CNE in each of our states . SCNA submitted our application to TNA and received approval of our program . The TNA program will be due to SCNA in the fall . This exchange of services is a money saver for both organizations and continues a tradition that SCNA began with Vermont many years ago .

• WecontinuetoofferasaservicetomembersandourSCNAconferenceattendees,anewwaytoensure that all CNE earned through SCNA, or added by members, will be stored and available for a minimum of 6 years . This is a great member benefit!

• SCNA’sChaptersthathavesubmittedreportsofactivitiescanbefoundinthisBookofReports.TheSCNA Board of Directors continues to evaluate the Chapter structure to think about ways that might improve it or to learn if it is still the way that members like to function and meet .

• AllactivitiesoftheAnnualMeeting:CallforResolutions,CallforBylaws,CallforNominations,establishment of dates for on-line elections for officers of SCNA and Chapters have been accomplished in the time-frames required by the Bylaws .

• PreparationsfortheSCNAElection2016wereaccomplished,includingtheapplicationandpurchaseof a short-term PO Box to accommodate any possible move that might need to be made during the

stated time for the election . The official date for the creation of the membership rolls for the election was July 1, 2016 .

• ThePeerAssistancePrograminNursingcontinuestogrowandprovideservicestonurses.Thisisanother outstanding group of volunteers who willing gives of their time and talents to assist their peers . This year saw the “retirement” from this group of Peggy Dulaney as Chair . Susan Outen has stepped into the role of Chair, we welcome her and know that we shall benefit from her expertise . Peggy’s service was truly a gift and labor of professional commitment . She has been a real leader in this important part of SCNA .

• IattendedmanyconferencecallswithANA,includingthepublicportionoftheANABoardofDirectors meetings, as well as the President and CEO telephone meetings and ANA Practice and legislative (GOVA) calls . Attendance at the fourth ANA Membership Assembly (MA) took place in July, a change from the original plan for the MA to be held in November . The meeting coincided with ANA’s 120 anniversary as an organization . The meeting was well attended and efficiently run .

• IplantoattendtheSeptembermeetingoftheANALobbygroupagainthisyear.Thisisalwaysagreat time to learn about important issues around the nation . It is a great time of sharing as well as an opportunity to learn more about what assistance might be available to the states from a variety of Federal agencies and departments as well as from ANA .

• IhavebeenactivewithothermembersoftheSoutheastgroup(SEED)onanumberofissuesatboththe state and national levels . We continue to look for opportunities to share among the states in order to facilitate the work of the region .

• SCNAhasbeenverybusywithactivitiessurroundingtheimplementationoftheAffordableCareAct,as well as with many other groups that are reported on in each quarter’s SC NURSE .

• TheadvocacyprogramofSCNAisaliveandwell!Legislationdirectlyaffectingthepracticeofnursescontinued this year . The bill to permit APRNs to practice to the extent of licensure, certification and education was carried over in the General Assembly from the previous year . We continue to work diligently with other groups in coalition . SCNA was a prominent member of the coalition that is called SC Access for Health Care . The coalition is now using the same lobby firm as SCNA, the CIA . The CIA lobby firm is funded by SCNA and each group that is part of the coalition is required to pay a fee of $5,000 .00 for sitting as members of the Executive Committee, this is on top of what SCNA pays for the services of our lobby firm, the CIA . The continuation of a large NP/CNM/CNS day at the State House was very well attended and well received by members of the General Assembly . We had more meetings of the 3M sub-committee on the bill that we have filed as well as the one filed by Medicine . The continuation of an outreach program for support of this work to many groups in SC who truly have a stake in ensuring that the coming influx of people to the healthcare system can be handled properly in SC is ongoing . The one real constant in all the work that we are doing is the increased intensity over this past year of the vocal opposition to removing barriers to practice by organized medical groups . Other states have been passing laws to reduce barriers to practice and SC continues to have vigorous actions against anything that will do so here in the state . Since the bill “died” at the end of the two year session of the General Assembly in June, we shall begin anew in 2017 to work on attempting to bring SC into the modern world of APRN practice in South Carolina . Stay tuned!

• SCNAcontinuestosupportandhavemanymembersworkingwiththeStateImplementationgrant(formerly One Voice One Plan) for the working through of all of the issues that were found in the Institute of Medicine Report on the Future of Nursing in 2010 . I am a member of the executive committee and serve on the committee that is working toward the enhancement of the practice of nursing for all levels of nursing .

field . These are all important venues and allow SCNA to keep current on what is taking place in our state .

Once again, SCNA has been stable in terms of the two person staff that you have . Rosie Robinson and I have worked very hard to accomplish all of the work that needs to be done on a daily basis for SCNA as well as on the big projects of the organization . Rosie’s skills and abilities continue to be tested especially in reference to all of the work that is necessary to changing systems within SCNA and all our components . . . She is a true asset to SCNA in many ways!

I continue to know that I have the very best job with learning curves that are sometimes vertical, action days that never seem to end and a wonderful Board with which to work as well as great members who are devoted to the promotion of their very most special profession . My husband and I are eternally grateful for the gracious support that SCNA and its members have provided during what has been a year of real testing and sadness in our family . Thanks to all and ONWARD!
