A. O. Smith To Acquire Lochinvar Corporation

MILWAUKEE, WIS. (July 19, 2011) —A. O. Smith Corporation (NYSE:AOS) today announced it has signed a definitive agreement to acquire Lochinvar Corporation of Lebanon, Tenn., for $418 million and will not assume Lochinvar’s existing debt.

Privately held Lochinvar is a leading manufacturer of high-efficiency boilers used in commercial and residential hydronic heating and hot water applications. A. O. Smith expects the acquisition to be accretive to earnings per share in the amount of approximately $.10 in the fourth quarter of 2011, excluding one-time purchase accounting charges and professional fees related to the acquisition, and in the range of $.40 to $.50 per share in 2012. The transaction is expected to close in the third quarter of 2011, subject to customary closing conditions and regulatory review.

“This acquisition fits squarely within our stated strategy to expand our core product offering with new technologies, which emphasize high-efficiency products that can be applied globally,” Paul W. Jones, chairman and chief executive officer, observed. “This is a significant first step in growing our diversified global water heating platform and the beginning of the redeployment of the proceeds from the sale of our Electrical Products Company.”

For the 12 months ended June 30, 2011, Lochinvar recorded sales of approximately $200 million and adjusted EBITDA of approximately $45 million. The purchase price represents an adjusted multiple of 7.5 times EBITDA when taking into account the estimated $80 million of tax benefits that A. O. Smith will receive as a result of treating the transaction as a purchase of assets for tax purposes. In addition to the fixed purchase price, privately held Lochinvar’s shareholders could earn up to an additional $35 million if certain revenue objectives are achieved by November 2012. A.O. Smith expects to achieve approximately $10 to $15 million of annual synergies over the next few years from purchasing economies and�potential global expansion opportunities.��

“The addition of Lochinvar expands our product offering and gives us access to proven high-efficiency boiler technology,” Ajita G. Rajendra, president of A. O. Smith Water Products Company, said. “The $1.1 billion North American boiler industry is in the midst of a transition to the new high-efficiency condensing technology, which we believe is growing several times faster than GDP,” he continued. “We expect high-efficiency boiler products to continue to grow at an accelerated rate for the foreseeable future.”

“We also believe there are significant growth opportunities in regions outside of North America, especially in China, for Lochinvar’s higher-efficiency boilers, as more commercial customers seek ways to save energy and reduce operating costs,” Rajendra pointed out. “This opportunity

Highlights of the transaction:

� Access to higher growth, energy efficient technology and product line expansion: Pro forma A. O. Smith sales in 2010 increase 12 percent to approximately $1.7 billion, based on Lochinvar’s sales of approximately $180 million. Lochinvar’s sales have grown at a rate of eight percent for the last five years, and A. O. Smith’s management believes that this growth rate will continue for the foreseeable future. In the last year, approximately two-thirds of Lochinvar’s residential and commercial boiler revenues have come from its well known lines of high-efficiency, condensing products. In addition, the North American commercial boiler industry is currently split between hydronic heating applications and hot water applications, and A. O. Smith currently sells very few hydronic heating systems. Given its leading technology position and presence in this segment, Lochinvar will serve as the foundation for A. O. Smith’s global residential and commercial boiler platform.

� Value creation and synergy opportunities: A. O. Smith expects annual synergies from purchasing economies and potential global expansion opportunities to be $10 to $15 million in the next few years.

� Financing and financial targets: Management expects to fund the $418 million purchase price with a combination of cash and debt, which it expects to borrow under its $425 million revolving credit facility. A. O. Smith believes the transaction will achieve management’s financial targets by delivering full-year earnings accretion of $.40 to $.50 per share in 2012 and a return in excess of the company’s cost of capital in the first year after completing the acquisition.

Lochinvar’s product offerings are highly complementary to A. O. Smith’s and include: residential and commercial high-efficiency condensing and non-condensing boilers, residential and commercial water heaters, indirect water heaters, storage tanks, solar thermal commercial water heaters, and commercial and residential pool and spa heaters.

Lochinvar’s manufacturing and product engineering operations are located in Tennessee. The purchase also includes Lochinvar Ltd., the company’s United Kingdom-based subsidiary.

GENERAL INFORMATION

This electric water heater’s design is certified by Underwriters Laboratories (UL)and listed in accordance with UL 174. C-UL listed in accordance with CanadianNational Standard C22.2, No. 110-M90.

This water heater must be installed in accordance with local codes. In theabsence of local codes, install this water heater in accordance with the N.E.C.Reference Book (latest edition).

The warranty for this water heater is in effect only when the water heater isinstalled, adjusted, and operated in accordance with these Installation andOperating Instructions. The manufacturer will not be held liable for damageresulting from alteration and/or failure to comply with these instructions.

This water heater is design certified for installation in a mobile home.

This water heater has been designed and certified for the purpose of heatingpotable water. The installation and use of this water heater for any purposeother than the heating of potable water, may cause damage to the waterheater and create a hazardous condition and nullify the warranty.

Do not use this appliance if any part has been submerged in water. Theplumbing professional responsible for the installation of this water heatershould be contacted to inspect the appliance and to replace any part of thecontrol system, including thermostat, which has been submerged in water.

Make sure that the rating plate on the water heater is referenced for certaintythat the correct voltage is being supplied to the water heater.

A sacrificial anode is used to extend tank life. Removal of this anode, for anyreason, will nullify the warranty. In areas where water is unusually active, anodor may occur at the hot water faucet due to a reaction between the sacrificialanode and impurities in the water. If this should happen, an alternative anodemay be purchased from the supplier that installed this water heater. This willminimize the odor while protecting the tank. Additionally, the water heatershould be flushed with appropriate dissolvers to eliminate any bacteria.

INSTALLATION

Locating The Water Heater

This water heater shall NOT be installed in any location wheregasoline or flammable vapors are likely to be present, unless theinstallation is such to eliminate the probable ignition of gasoline orflammable vapors.

The location this water heater is to be installed is of utmost importance. Beforeinstalling this water heater, consult the installation section of these instructions.After reading these installation and operating instructions, select a location forthe water heater where the floor is level and is easily accessible to a powersupply and water connections. It is recommended that the water heater belocated near the center of greatest hot water usage to prevent heat lossthrough the pipes. DO NOT locate the water heater where water linescould be subjected to freezing temperatures. Locate the water heaterso that access panels and drain valves are accessible.

INSTALLATION & SERVICE MANUAL

CAUTIONIncorrect operation of this appliance may create a hazard tolife and property and will nullify the warranty.

DANGERDo not store or use gasoline or other flammable, combustible,or corrosive vapors and liquids in the vicinity of this or anyother appliance.

WARNINGWater heaters are heat producing appliances. To avoid damage or injurythere shall be no materials stored against the water heater or vent-air intakesystem and proper care shall be taken to avoid unnecessary contact(especially by children) with the water heater. UNDER NOCIRCUMSTANCES SHALL FLAMMABLE MATERIALS, SUCH ASGASOLINE OR PAINT THINNER BE USED OR STORED IN THEVICINITY OF THIS WATER HEATER OR IN ANY LOCATION FROMWHICH FUMES COULD REACH THE WATER HEATER.

IMPORTANTBefore proceeding, please inspect the water heater and components forpossible damage. DO NOT install any damaged components. If damage isevident then please contact the supplier where the water heater waspurchased or the manufacturer listed on the rating plate for replacementparts.

Water heater corrosion and component failure can be caused by the heatingand breakdown of airborne chemical vapors. Examples of some typicalcompounds that are potentially corrosive are: spray can propellants, cleaningsolvents, refrigerator and air conditioning refrigerants, swimming pool chemicals,calcium or sodium chloride, waxes and process chemicals. These materials arecorrosive at very low concentration levels with little or no odor to reveal theirpresence. NOTE: DAMAGE TO THE WATER HEATER CAUSED BYEXPOSURE TO CORROSIVE VAPORS IS NOT COVERED BY THEWARRANTY. DO NOT OPERATE THE WATER HEATER IF EXPOSUREHAS OR WILL OCCUR. DO NOT STORE ANY POTENTIALLY CORROSIVECOMPOUNDS IN THE VICINITY OF THE WATER HEATER.

This water heater must be located in an area where leakage of the tank or waterline connections and the combination temperature and pressure relief valve willnot result in damage to the area adjacent to the water heater or to lower floorsof the structure. When such locations cannot be avoided, a suitable drain panmust be installed under the water heater. The drain pan must be no greaterthan 1-1/2 in. (3.8 cm) deep and have a minimum length and width of at least4 in. (10.2 cm) greater than the diameter of the water heater. The drain pan,as described above, can be purchased from your plumbing professional. Thedrain pan must be piped to an adequate drain. The piping must be pitched forproper drainage.

WATER CONNECTIONS

NOTE:BEFORE PROCEEDING WITH THE INSTALLATION, CLOSE THE MAIN WATER SUPPLY VALVE.After shutting the main water supply valve, open a faucet to relieve the waterline pressure to prevent any water from leaking out of the pipes while makingthe water connections to the water heater. After the pressure has beenrelieved, close the faucet. The COLD water inlet and HOT water outlet areidentified on top of the water heater. The fittings at the cold water inlet and hotwater outlet are dielectric waterway fittings with 3/4" NPT tapered male threads.Make the proper plumbing connections between the water heater and theplumbing system in the house. Install a shut-off valve in the cold water supplyline.

If this water heater is installed in a closed water supply system, such as the onehaving a back-flow preventer in the cold water supply, provisions shall be madeto control thermal expansion. DO NOT operate this water heater in a closedsystem without provisions for controlling thermal expansion. Your water supplieror local plumbing inspector should be contacted on how to control this situation.After installation of the water lines, open the main water supply valve and fillthe water heater. While the water heater is filling, open several hot water

faucets to allow air to escape from the water system. When a steady streamof water flows through the faucets, close them and check all water connectionsfor possible leaks. NEVER OPERATE THE WATER HEATER WITHOUT FIRSTBEING CERTAIN IT IS FILLED WITH WATER.

CAUTIONIf sweat fittings are to be use, DO NOT apply heat to the nipples on top ofthe water heater. Sweat the tubing to the adapter before fitting the adapterto the water connections. It is imperative that heat is not applied to thenipples containing a plastic liner.

WARNINGFor protection against excessive temperatures and pressure, installtemperature and pressure protective equipment required by local codes,but not less than a combination temperature and pressure relief valvecertified by a nationally recognized testing laboratory that maintainsperiodic inspection of production of listed equipment or materials asmeeting the requirements for Relief Valves and Automatic Gas ShutoffDevices for Hot Water Supply Systems, ANSI Z21.22 and the StandardCAN1-4.4, Temperature, Pressure, Temperature and Pressure Relief Valvesand Vacuum Relief Valves. The combination temperature and pressurerelief valve shall be marked with a maximum set pressure not to exceedthe maximum working pressure of the water heater. The combinationtemperature and pressure relief valve shall also have an hourly ratedtemperature steam BTU discharge capacity not less than the hourlyinput rating of the water heater.

Install the combination temperature and pressure relief valve into theopening provided and marked for this purpose on the water heater.

NOTE: Some models may already be equipped or supplied with acombination temperature and pressure relief valve. Verify that thecombination temperature and pressure relief valve complies with localcodes. If the combination temperature and pressure relief valve doesnot comply with local codes, replace it with one that does. Follow theinstallation instructions above on this page.

Install a discharge line so that water discharged from the combinationtemperature and pressure relief valve will exit within six (6) inches(15.3 cm) above, or any distance below the structural floor and cannotcontact any live electrical part. The discharge line is to be installed toallow for complete drainage of both the temperature and pressure reliefvalve and the discharge line. The discharge opening must not besubjected to blockage or freezing. DO NOT thread, plug or cap thedischarge line. It is recommended that a minimum of four (4) inches(10.2 cm) be provided on the side of the water heater for servicing andmaintenance of the combination temperature and pressure relief valve.

Do not place a valve between the combination temperature and pressurerelief valve and the tank.

IMPORTANTFAILURE TO INSTALL AND MAINTAIN A NEW, LISTED ¾” X ¾”TEMPERATURE PRESSURE RELIEF VALVE WILL RELEASE THEMANUFACTURER FROM ANY CLAIM WHICH MIGHT RESULTFROM EXCESSIVE TEMPERATURE AND PRESSURES.

WARNINGHydrogen gas can be produced in an operating water heaterthat has not had water drawn from the tank for a long periodof time (generally two weeks or more). Hydrogen gas isextremely flammable. To reduce the risk of injury under theseconditions, it is recommended that the hot water faucet to beopened for several minutes at the kitchen sink before using anyelectrical appliance which is connected to the hot water system.If hydrogen is present, there will probably be an unsual soundsuch as air escaping through the pipe as hot water begins toflow. There should be no smoking or open flame near the faucetat the time it is open.

This water heater can deliver scalding temperature water at any faucet in thesystem. Be careful whenever using hot water to avoid scalding injury. Certainappliances, such as dishwashers and automatic clothes washers, may requireincreased temperature water. By setting the thermostat on this water heaterto obtain increased temperature water required by these appliances, you maycreate the potential for scald injury. To protect against injury, you should installan anti-scald tempering valve in the water system. This valve will reduce pointof discharge temperature by mixing cold and hot water in branch supply lines.Such lines are available from your local plumbing supplier. Please consult witha plumbing professional.

Tall Models (See Figure 1)

The hot and cold water connections areidentified on the top of the water heater.Connect the hot and cold water lines to theinstalled nipples using unions. Install alisted temperature-pressure relief valve inthe opening on the side of the water heater.

Short/Junior Models (See Figure 2)

The hot and cold water connections are identified on the side of the water heater. Connect the hot and cold water lines to the installed nipples using unions. Installa listed temperature-pressure relief valve in the opening on the side of the water heater. Install a vacuum relief anti-siphon device in the cold water inlet linewhen using the side cold water connection.

The 6 and 12 gallon models are equipped for installation with either top or side water connections. They are shipped from the factory with side nipples installedand the alternate top connections plugged. For ease of conversion, the alternate top inlet is supplied with a dip tube. If the top water connections are needed,remove the installed side nipples and the pipe plugs from the alternate top connections. Install the nipples in the top water connections and install the pipe plugsin the side connections. Install a vacuum relief anti-siphon device in the cold water inlet when using the side cold water connection.

Table Top Models (See Figure 3)

The hot water outlet and cold water inlet are identified on the back panel of the water heater. Remove the porcelain top by sliding it forward and lifting it off thecabinet. Care should be taken in handling the porcelain top to prevent chipping of the porcelain. Remove the four front panel screws; two at the top flange. Checkdrain valve to make sure that it is closed. Part the top fiberglass insulation to allow access to the plumbing and electrical connections. Connect the cold watersupply line and hot water outlet lines using elbows, nipples and unions as shown in the diagrams. Install a shutoff valve in the cold water inlet. Install a listedtemperature-pressure relief valve in the remaining fitting.

ELECTRICAL CONNECTIONS

Before any electrical connections are made, be sure that the water heater is fullof water and that the manual shut-off valve in the cold water supply line isopen. Check the rating plate and wiring diagram before proceeding. Thiselectric water heater was built and wired in accordance with the UnderwritersLaboratories testing approvals requirements. The temperature limiting deviceis of the manual reset, trip-free type and has been factory installed to interruptall ungrounded power supply conductors in the event of thermostat failure.Thermostats are factory set and wired in accordance with the wiring diagramfastened to the inside of the top access panel. The plumbing supplier in yourarea ordered this heater wired at the factory to comply with existing areacodes, but local utility codes may require or allow other circuitry. Consult yourlocal power company to determine the correct electrical hook-up in order tomeet local utility and building codes and in order to obtain the most economicalrates. Also check to find out if you are required to obtain a permit beforestarting the installation. The following chart shows the recommended fuse sizefor the maximum water heater wattage. The maximum wattage and ratedvoltage are shown on the water heater data plate. The water heater must bewell grounded. A green ground screw is provided at the electrical connectionpoint for connecting a ground wire.

GENERAL OPERATION

Before closing the switch to allow electric current to flow to the water heater,make certain that the water heater is full of water and that the cold water inlet

dial clockwise to increase water temperature. Replace the insulation makingsure that the controls are well covered and that the plastic terminal shield hasnot been displaced; replace the access panel. The water heater is now readyfor operation and the main switch can be closed.

MAINTENANCE

Shut off the electric power whenever the water supply to the water heater is off.Shut off the electric power and water supply, drain the heater completely toprevent freezing whenever the building is left unoccupied during the coldweather months. In order to ensure efficient operation and long tank life, drainthe water heater at least once a month through the drain valve until the waterruns clear. Failure to do this may result in noisy operation and lime andsediment buildup in the bottom of the tank. Check the temperature-pressurerelief valve to ensure that the valve has not become encrusted with lime. Liftthe lever at the top of the valve several times until the valve seats properlywithout leaking and operates freely.

The following maintenance should be performed by a qualified service technicianat the minimum periodic intervals suggested. In some installations, themaintenance interval may be more frequent depending on the amount of useand the operating conditions of the water heater. Regular inspection andmaintenance of the water heater will help to ensure safe and reliable operation.

valve is open. Complete failure of the heating elements will result if they arenot totally immersed in water at all times. When the switch is closed, theoperation of this electric water heater is automatic. The thermostats are presetto the “HOT” setting to provide a water temperature of approximately 120°F(49°C) to reduce the risk of scald injury.

Care must be taken whenever using hot water to avoid scalding injury. Certainappliances require high temperature hot water (such as dishwashers andautomatic clothes washers).

TO FILL THE WATER HEATER1. Close the water heater drain valve by turning the knob clockwise.

2. Open the cold water supply shut-off valve.

3. Open several hot water faucets to allow air to escape from the system.

4. When a steady stream of water flows from the faucets, the water heater isfilled. Close the faucets and check for water leaks at the water heater drainvalve, combination temperature and pressure relief valve and the hot andcold water connections.

TO DRAIN THE HEATERShould it become necessary to completely drain the water heater, makesure you follow the steps below:

1. Disconnect the power supply to the heater. Consult the plumbingprofessional or electric company in your area for service.

2. Close the cold water supply shut-off valve.

3. Open the drain valve on the water heater by turning the knobcounter-clockwise. The drain valve has threads on the end that will allowconnection of a standard hose coupling.

4. Open a hot water faucet to allow air to enter the system.

To refill the water heater, refer to “TO FILL THE WATER HEATER.”

THERMOSTAT ADJUSTMENT

The temperature of the water can be changed by adjusting the thermostat(s).Before any work is done on the water heater, disconnect all power to the waterheater by opening the switch at the main electrical circuit breaker or fuse box.Remove the access panels or front panel on table tops; fold the insulationoutward away from the controls. Set the thermostat(s) to the desired watertemperature using a screw driver to move the thermostat dial. The thermostathas been factory preset to approximately 120°F (49°C). Rotate the temperature

1. Annually, check the operation of the thermostat(s).

2. Bi-annually, check the seal around the heating elements for leaks. If thereis any sign of leaking, disconnect the power supply to the water heater andcontact the plumbing professional that installed this water heater or aqualified service technician.

3. At least once a year, check the combination temperature and pressure reliefvalve to ensure that the valve has not become encrusted with lime. Lift thelever at the top of the temperature-pressure relief valve several times untilthe valve seats properly without leaking and operates freely.

4. If the combination temperature and pressure relief valve on the appliancedischarges periodically, this may be due to thermal expansion in a closedwater supply system. Contact the water supplier or local plumbing inspectoron how to correct this situation. Do not plug the combination temperatureand pressure relief valve outlet for any reason.

5. Monthly, drain off a gallon of water from the water heater to remove silt andsediment.

6. A combination sacrificial anode rod/hot water outlet nipple has been installedto extend tank life. The anode rod should be inspected periodically (every2 years) and replaced when necessary to prolong tank life. Water conditionsin your area will influence the time interval for inspection and replacementof the anode rod. Contact the plumbing professional who installed the waterheater or the manufacturer listed on the rating plate for anode replacementinformation. The use of a water softener may increase the speed of anodeconsumption. More frequent inspection of the anode is needed when usingsoftened (or phosphate treated) water.

Contact your local plumbing supplier or plumbing professional for replacementparts or contact the company at the address displayed on the rating plate ofthe water heater.

For faster and better service, please provide the part name, model, and serialnumber(s) of the water heater(s) when ordering parts.
