● Space allocation Space allocation will be exclusively decided by the organizer in order of receipt of 50% of space rental cost, taking into account booth size and type of exhibit.

● The Raw Space Only1. All the structures and interior decoration should be done by the exhibitor himself or one of the official contractors for safety and overall harmony.2. All the expenses for the stand construction and decoration should be paid to the contractor directly.

● Shell Scheme The Organizer will provides generic construction for only those companies which choose shell scheme.1. Basic work fee : US$500/1booth(3mx3m)2. Booth specifications • Side and rearward walls • Carpeting of floor • A facia board inscribed with the exhibitor’s name(Include a booth number tag) • An information desk • A folding chair • Basic electric light fittings(3 spotlights light per 9m2)3. Electricity will be supplied only basic electric light fittings. Article 1) DEFINITIONSThe definitions of terms used in these terms and conditions are as follows:(1) “Exhibition”shall mean Seoul International Tool Exhibition, including TOOL TECH 2015.(2) “Exhibitor” shall mean all companies, associations, firm or individual to whom space has been allocated for the purpose of exhibiting.(3) “Organizer” shall mean the organizing committees of TOOL TECH 2015.

Article 2) APPLICATION AND PAYMENT POLICYThe submission of the application form shall be deemed to be confirmation of participation and acceptance by the Exhibitor of the Terms and Conditions. The Organizer shall reserve the right to accept of refuse any application without disclosing to the Exhibitor any reasons thereof.After the submission of an application form, 50% of total participation fee should be paid by participants, and the balance should be paid by an appointed date of payment separately.

Article 3) ALLOCATION OF EXHIBIT SPACE(1) Space will be allotted in the order of receipt, the size of exhibition space, the history of past participation, delivery/removal conditions of the

exhibits and in the rational manner the Organizer deems fit. (2) The Organizer shall reserve the right to change the space allocated to the Exhibitor at any time prior to installation of the booths.(3) Such changes shall be at the discretion of the Organizer and the Exhibitor may not ask for any compensation as a result of such changes.

Article 4) MANAGEMENT OF EXHIBITION HALLS AND GOODS(1) Exhibitors are required to subscribe to all risks insurance policy on all equipment and products during the fair period as well as the delivery/

removal periods. The Organizer shall exercise its due care for the management, maintenance, protection and preservation of the entire exhibition hall and exhibits contained therein and thereby endeavor to achieve smooth operation of the fair. Exhibitors shall be held respon-sible for any loss, theft, or damage to any articles belonging to the Exhibitor.

(2) Exhibitors are bound to exhibit the announced products and the Organizer reserves the right to restrict exhibits which may detract from the general character of the Exhibition. It is agreed that the sole purpose for contracting exhibit space is to display and/or demonstrate equip-ment, supplies and/or services. Cash sales within the confines of the exhibit space are prohibited.

Article 5) INSTALLATION AND REMOVALThe installation and removal of the exhibits and booths must be completed within the period stipulated by the Organizer and Exhibitors should indemnify the Organizer against any loss, which may be caused by delay or damage to the Exhibition Hall.

Article 6) RESTRICTION ON INSTALLATION(1) In consideration of the scale & location of the exhibition, the heights of all installing exhibits cannot exceed the given range.(2) All the booth materials shall be treated to resist fire or incombustible in principle.

Article 7) CANCELLATION, RESCISSION AND INVALIDATION OF CONTRACT(1) After a contract is signed, neither cancellation nor rescission will be allowed.(2) In case of cancellation after submitting the application, the rent for stand will not be refunded and the stand rental should be paid within 15

days after the cancellation as belows. - Before or on April 30, 2015: 50% of total booth rental fee - After April 30, 2015 : 100% of total booth rental fee

Article 8) EXHIBITION CHANGESThe Organizer is also not responsible for any suspension or reduction of the scheduled Exhibition from the period advertised or specified due to Force majeure, acts of war, military activity, municipal statutory, authority requisition and so on.

Article 9) SUPPLEMENTARY CLAUSESThe Organizer has the authority to issue supplementary clauses in addition to the Terms & Conditions to run a more efficient Exhibition. All ad-ditional amended written regulations will be part of the Terms & Conditions and will be binding on the Exhibitors. The Exhibitor shall abide by the KINTEX Rules and Regulations.

Article 10) ARBITRATION OF DISPUTESAny dispute, difference or question arising hereafter between the Organizer and the Exhibitor concerning the true construction of these Rules Governing All Exhibits or the rights and liabilities of the parties thereto shall be settled in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board. The verdict of the above arbitration shall be final and binding upon both.
