    Standard Contract for Services and Projects

    This agreement is between Orion Information Professionals (OIP) and its Agents andother designated persons, and ____, of _______ (Client)

    By signing this agreement, Client is aware of and agrees to the following manner ofdoing business used by OIP.

    OIP reserves the right to change certain sections and points of this agreement at any timewith at least 30 days notification of the proposed changes.

    1. Payment and Contract Terms

    a) OIP will provide an estimate of the costs involved with repairs andservices at signing of this agreement.

    b) The estimated amount of hours for this project are: ________

    c) Contract payment is customarily provided at time of service completion.Payment for multi-phase projects are explained in section 1.e

    d) Payment methods are cash, check, money order, and certain electronictransfers.

    i. Returned checks or invalid and/or rejected electronic transfers willresult in a fee of $50 being charged to the Client in addition to theamount due and will be payable by cash, or bank check.

    e) Net terms may be offered based on length of relationship, standing in thecommunity, and other criteria about the Client to be listed on a separatecredit agreement.

    i. If net terms are provided, terms are Net 10.

    ii. Payments not received after 30 days will be considered past-due

    1. Past Due balances will begin accruing interest on the 31stday at an annual rate of 12%, or 1$ per 30 days.

    2. Client is responsible for both unpaid balance and interest.

    iii. At 60 days OIP will begin collection procedures

    1. Collection methods will include credit agencies and anyother instruments that will guarantee payment.

    f) For projects payment breakdown will be based on an initial payment anddeliverable milestones.

    g) At initiation of the project a total of 35% of the estimated cost shall bepaid.

    h) At each milestone the balance of the amount should be remitted to OIP.

    2. Computer Services Agreement

    a) While OIP takes all precautions to backup customer data, customersshould be aware that there are conditions and situations in which backingup data would be both improbable and impossible. Therefore OIP and/orits agents are not responsible for lost data.

    b) OIP or its agents are not responsible for any and all hardware failures.

    c) Media for applications residing on a Clients computer should be providedto the OIP agent for re-installation should that become necessary.

    d) OIP recommends open source software for most of your personal andbusiness needs.

    e) Turn-around time from diagnosis to repair will be provided at time ofengagement. Usually the process takes no more than 2 weeks and Client isresponsible for cost of any parts or software necessary.

    f) OIP will not install any unlicensed or pirated software on any computer orserver.

    g) OIP does not retain copies of customer data unless specifically instructedto do so by initialing this section.

    3. Project Development Agreement

    a) Prior to the start of any development project an OIP representative willcreate a requirements document based on interviews with key personnel.

    i. The requirements document will be provided to client for approvaland signature before project commences.

    ii. Project scope is also defined and relayed to client.

    b) A project timeline will be provided to the client.

    i. Client will approve timeline. Once approved project is indevelopment.

    ii. Milestones are defined and provided to client.

    c) Change management is defined as one change as part of total projectestimate. Additional changes will incur a $200 fee plus time for thechange to be made in software at a rate of $120 per hour.

    d) Client is to provide a project point person who will take ownership of theproject from the client perspective.

    e) All correspondence and deliverables will be sent to the project pointperson outlined in sub-section c.

    f) Project documentation will be provided for a nominal fee to be determinedat time of contract signing.

    g) All project documentation is the exclusive property ofOIP.

    h) Source code to the project is the exclusive property ofOIP. Clients mayhave access to the source code for additional fees to be determined byOIP.

    4. Rates

    a) Normal business days are defined as Monday through Thursday from9AM to 7PM.

    i. Normal business rate is $80.00 USD per hour.

    b) Off hours are defined as Monday through Thursday from 7:01PM to11:00PM, and Fridays from 9AM to 11PM.

    i. Off-hours rate is $120.00 USD per hour

    c) Night hours are defined as anything after 11:01PM to 8:59AM and all daySaturdays and Sundays.

    i. Night hours rate is $200.00 USD per hour

    d) Services that run between rate periods are defined as Periodic Hours.

    i. The first hour of transition to a new rate period is charged at theprice of the prior rate period.

    ii. Each subsequent hour is charged at the new rate period.

    e) Project development can occur at any time of the week and is therefore

    defined as special hours.

    i. Special hours are billable at $120 USD per hour.

    5. Dispute Resolution

    a) OIP puts forth its best effort at resolving your issues or managing yourprojects.

    b) OIP will initially work to resolve issues with clients.

    i. If client is unhappy with the effort to resolve the issue then OIPwill enter into binding arbitration with the client.

    ii. No monies or funds will be returned or refunded by OIP.

    c) Any disputes not resolved by the above sections shall be referred to aqualified arbitrator chosen by OIP.
