î Scope and Budget related Assumptions and Dependency: Scope and budget estimates are based on the information provided to date and the assumptions and query list is below. Any additions/modifications to the scope will require this proposal to be subject to our change request/management process.

• Prices quoted in this proposal are valid till 10th May, 2016.

• Time and cost estimates assume timely access to all necessary resources and people for requirements gathering, reviews and approvals.

• Timeframe estimates assume receipt and access to all content, assets and current

systems, as required. • Delays caused by non‐standard/unscheduled reviews/approvals will result in delays in

the timeline. • The Om Infosolutions Project Manager (Om Infosolutions-PM) will be the central point

of contact for Om Infosolutions for this work engagement. All changes, issues and other communications will be through this Om Infosolutions-PM.

• Your team members will be available to review deliverables at the appropriate project checkpoints. Client will review and approve all project related documentation promptly.

• Deliverables and review documents will be prepared and delivered in MS-Office

formats using templates consistent with Om Infosolutions documentation standards.

• Once the deliverable/document from each activity phase is approved by you, any future changes will be handled though Om Infosolutions’s Change Order Process

• Any additional tasks or activities not related to the items described in the scope and approach sections will be considered out of scope for this engagement. Om Infosolutions and you will collectively review these tasks on a case-by-case basis to determine the appropriate course of action.

• Any delays or unforeseen circumstances that are not in control of Om Infosolutions (e.g., actions or non-actions by you that effect Om Infosolutions’s effort) which will impact the project will be identified through the status report and other means for the client. Om Infosolutions and you will collectively review these tasks on a case-by-case basis to determine the appropriate course of action.

• You need to make all project related decisions within three (3) business days of a formal request by the Om Infosolutions-PM, unless the Om Infosolutions and you consent to a different schedule.

• If Om Infosolutions becomes aware of issues that will affect the cost and time committed, the Om Infosolutions-PM will bring these issues to your attention for approval before moving forward.

• All contract terms between Client (InnvoBuild) and Om Infosolutions are still to be determined and discussed.

î Engagement Model: Om Infosolutions has the unique capability to provide our senior experienced staff onsite as and when required for live and direct contact and dedicate resources off site in order to deliver quality at a cost effective rate, thus managing both high quality, on time, direct delivery and cost effectiveness. Om Infosolutions has evolved engagement models to suit any business, with a clear value proposition for the business partner and the team. Broadly there are three engagement models that move from a low involvement, low control mode to a very high involvement, very high control mode. These are: • Full Time Equivalent (FTE ) • Fixed Cost • Time & Material (T&M )

For this particular project we propose engagement on Fixed Cost basis.
