ORDER CALLING PARK BOND ELECTION

THE STATE OF TEXAS §COUNTY OF HARRIS §PARKWAY UTILITY DISTRICT §

WHEREAS, pursuant to Section 49.4645, Texas Water Code, as amended, Parkway Utility District, a political subdivision of the State of Texas (the "District") has the authority to call an election for the issuance of bonds for parks and recreational facilities to be repaid from the imposition of an annual ad valorem tax on all taxable property within the boundaries of the District; and

WHEREAS, the Board of Directors (the "Board") of the District finds and determines that it will be in the best interest of the District to obtain authorization for the issuance of bonds for parks and recreational facilities to be repaid from the imposition of an annual ad valorem tax on all property within the boundaries of the District; and

WHEREAS, pursuant to Section 41.001, Texas Election Code, as amended, the District is required to hold any and all elections on uniform election dates designated for the State of Texas; and

WHEREAS, the Board of the District has determined that it is in the best interest of the District to call a park bond election for the next uniform election date, which is Tuesday, November 6, 2018 (the "Election"); and

WHEREAS, the Board of the District deems it necessary and appropriate to establish the procedures whereby such Election may be held; and

WHEREAS, the Board has determined that the number of registered voters in the District is more than 1,000, which pursuant to Section 85.005(b), Texas Election Code, as amended, requires that the polls be open for early voting for a minimum of eight (8) hours each weekday, except legal state holidays; and

WHEREAS, Section 61.012, Texas Election Code requires that the District must provide at least one (1) accessible voting system in each polling place used in a Texas election which must comply with State and federal laws setting the requirements for voting systems that permit voters with physical disabilities to cast a secret ballot; and

WHEREAS, Sections 123.032 and 123.035, Texas Election Code authorize the acquisition of voting systems by local political subdivisions and further mandate certain minimum requirements for contracts relating to the acquisition of such voting systems; and

WHEREAS, the Office of the Texas Secretary of State has certified that the eSlate Voting System provided by Harris County is an accessible voting system that may legally be used in Texas elections; and

WHEREAS, the Board has determined that it will conduct a joint election with Harris County pursuant to the Joint Election Agreement.

NOW, THEREFORE, BE IT ORDERED BY THE BOARD OF DIRECTORS OF PARKWAY UTILITY DISTRICT, THAT:

I.

An Election shall be held for and within the District between the hours of 7:00 a.m. to 7:00 p.m. on the 6th day of November, 2018.

II.

ELECTION DAY POLLING PLACES (7:00 a.m. – 7:00 p.m.)

III.

Such Election shall be held and conducted in all respects as provided by law for general elections, except as provided by Chapter 49 and 54, Texas Water Code, as amended.

IV.

All duly qualified resident voters of the District shall be allowed to vote at such Election.

V.

The Board hereby appoints its Attorney, Radcliffe Bobbitt Adams Polley PLLC ("Attorney"), 2929 Allen Parkway, Suite 3450, Houston, Harris County, Texas 77019-7120, as designated agent for purposes of the Election, and any and all documents required to be filed with or notices required to be given by the Secretary of the Board under the provisions of the Texas Election Code shall be deemed filed and notices shall be deemed given if filed with or given to the Board's Attorney.

VI.

The Secretary of the Board shall give notice of the purpose of such Election, the proposition(s) to be voted on, and the early voting and Election Day polling places pursuant to Section 4.003(a)(2), Texas Election Code, as amended, by posting a Notice of Election with the requisite Harris County translation(s) in a public place in each Election precinct that is within the boundaries of the District, not later than Tuesday, October 16, 2018. In addition, pursuant to Section 4.003(b), Texas Election Code, as amended, a Notice of Election with the requisite Harris County translation(s) shall be posted on the bulletin board used for posting notices of meetings of the Board of the District not later than Tuesday, October 16, 2018; provided, further, that if the polling location has changed from the previous election, Notice of Election with the requisite Harris County translation(s) shall also be posted at the location of the old polling place not later than Saturday, October 27, 2018.

Additionally, pursuant to Section 4.003(f), Texas Election Code, because the Election is a debt obligation election, this Order shall be posted 1) on Election Day and during early voting by personal appearance, in a prominent location at the polling place, 2) in three (3) public places within the boundaries of the District no later than Tuesday, October 16, 2018, and 3) during the 21 days before Election Day, on the District's website, prominently and together with the Notice of Election and the contents of the proposition(s).

VII.

The Notice of the Election, the provisions of which are made a part of this Order, shall be in substantially the following form:

NOTICE OF ELECTION

TO THE DULY QUALIFIED RESIDENT VOTERS OF PARKWAY UTILITY DISTRICT:

Notice is hereby given that a park bond election (the "Election") will be held for and within Parkway Utility District (the "District"), pursuant to an Order of the Board of Directors (the "Board") of said District passed on July 17, 2018. Said Order is on file in the District's office located at 2929 Allen Parkway, Suite 3450, Houston, Texas 77019-7120, where any interested person may refer to it for all purposes.

(1) The Election will be held between 7:00 a.m. and 7:00 p.m. on Tuesday, November 6, 2018, at a) Harris County Voting Precinct No. 45, C. E. King Middle School, 8530 C. E. King Parkway, Houston, TX 77044-2098, and b) Harris County Voting Precinct No. 380, Deussen Park Senior Center, 12303 Sonnier Center, Houston, Texas 77044-7208, which are public places, and shall conform to all the requirements of Chapters 49 and 54, Texas Water Code, and all of the requirements of the Texas Election Code, so far as applicable.

(2) Only duly qualified resident voters of the District may vote at the Election.

(3) The proposition to be voted on in the Election is as follows:

DISTRICT IN THE MAXIMUM AMOUNT NOT TO EXCEED $9,750,000, AND (B) THE REFUNDING OF ANY SUCH BONDS OR OTHER EVIDENCES OF INDEBTEDNESS OF THE DISTRICT WHICH MAY BE OUTSTANDING FROM TIME TO TIME IN THE MAXIMUM AMOUNT NOT TO EXCEED $9,750,000, AND TO PROVIDE FOR THE PAYMENT OF PRINCIPAL OF AND INTEREST ON SUCH BONDS BY THE LEVY AND COLLECTION OF A SUFFICIENT AD VALOREM TAX AUTHORIZED BY CHAPTERS 49 AND 54 OF THE TEXAS WATER CODE, UPON ALL TAXABLE PROPERTY WITHIN THE DISTRICT, ALL AS AUTHORIZED BY THE CONSTITUTION AND LAWS OF THE STATE OF TEXAS?

EL ESTADO DE TEXAS §CONDADO DE HARRIS §DISTRITO DE SERVICIOS PÚBLICOS DE PARKWAY §

EN VISTA DE QUE, en virtud de la Sección 49.4645 del Código de Agua de Texas, el Distrito de Servicios Públicos de Parkway, una subdivisión política del Estado de Texas (el “Distrito”), tiene la autoridad para convocar una elección para la emisión de bonos para parques e instalaciones recreativas a ser pagados a partir de la imposición de un impuesto ad valorem anual sobre toda propiedad dentro de los límites del Distrito; y

EN VISTA DE QUE la Junta Directiva (la “Junta”) del Distrito halla y determina que sería para el mayor beneficio del Distrito obtener la autorización para la emisión de bonos para parques e instalaciones recreativas a ser pagados a partir de la imposición de un impuesto ad valorem anual sobre toda propiedad dentro de los límites del Distrito; y

EN VISTA DE QUE, en virtud de la Sección 41.001 del Código Electoral de Texas y sus enmiendas, el Distrito debe llevar a cabo todas y cada una de las elecciones en las fechas de elección uniformes designadas para el Estado de Texas; y

EN VISTA DE QUE la Junta del Distrito ha determinado que es para el mayor beneficio del Distrito convocar una elección de bonos para la próxima fecha de elección uniforme, que es el martes 6 de noviembre de 2018 (la “Elección”); y

EN VISTA DE QUE la Junta del Distrito considera necesario y adecuado establecer los procedimientos por medio de los cuales dicha Elección se puede celebrar; y

EN VISTA DE QUE la Junta ha determinado que la cantidad de votantes registrados en el Distrito supera los 1000, lo cual, en virtud de la Sección 85.005(b) del Código Electoral de Texas y sus enmiendas, exige que las casillas electorales estén abiertas para la votación anticipada por lo menos ocho (8) horas todos los días de semana, salvo los feriados legales de estado; y

Además, en virtud de la Sección 4.003(f) del Código Electoral de Texas, al tratarse de una Elección que es una elección de obligación de deuda, esta Orden se colocará (1) el Día de Elección y durante la votación anticipada en persona, en un lugar destacado en cada lugar de votación, 2) en tres (3) lugares públicos dentro de los límites del Distrito más tardar el martes 16 de octubre de 2018; y (3) durante los 21 días anteriores al Día de Elección, en el sitio web del Distrito, en un lugar destacado y junto con el Aviso de la Elección y el contenido de la o las proposiciones.

IX.

El Distrito proporcionará al menos un (1) sistema de votación eSlate en cada casilla electoral de cada lugar de votación utilizado para llevar a cabo cualquier elección. XÉT THẤY RẰNG, chiếu theo Mục 49.4645, Bộ Luật Thủy Cục Texas, bản tu chính, Cơ Quan Dịch Vụ Tiện Ích Parkway, một phân khu chính trị của Tiểu Bang Texas ("Cơ Quan") có thẩm quyền yêu cầu tổ chức một cuộc bầu cử về việc phát hành trái phiếu cho các công viên và cơ sở vật chất giải trí sẽ được hoàn trả bằng cách thu một khoản thuế giá trị tài sản hàng năm đối với tất cả các bất động sản phải đóng thuế trong phạm vi ranh giới của Cơ Quan; và

XÉT THẤY RẰNG, Ban Giám Đốc thấy việc thiết lập các thủ tục qui định việc tổ chức Cuộc Bầu Cử nói trên là cần thiết và thích hợp; và

XÉT THẤY RẰNG, Ban Giám Đốc thấy rằng số cử tri đã ghi danh bỏ phiếu tại Cơ Quan là hơn 1,000 người, và do đó theo Mục 85.005(b), Bộ Luật Bầu Cử Texas, bản tu chỉnh, yêu cầu các quầy phiếu phải mở cửa để cử tri đến bỏ phiếu sớm ít nhất tám (8) giờ đồng hồ vào mỗi ngày trong tuần, trừ các ngày lễ hợp pháp của tiểu bang; và

XÉT THẤY RẰNG, Mục 61.012 của Bộ Luật Bầu Cử Texas qui định Cơ Quan phải cung cấp ít nhất một (1) hệ thống bỏ phiếu tiện dụng cho người khuyết tật tại mỗi địa điểm bỏ phiếu được sử dụng trong cuộc bầu cử ở Texas; và phải phù hợp với các điều luật của Tiểu Bang và liên bang đề ra yêu cầu đối với các hệ thống bỏ phiếu cho phép cử tri bị khuyết tật thể chất bỏ phiếu kín; và

XÉT THẤY RẰNG, các Mục 123.032 và 123.035 của Bộ Luật Bầu Cử Texas cho phép các phân khu chính trị tại địa phương có được các hệ thống bỏ phiếu và ngoài ra còn quy định một số yêu cầu tối thiểu đối với các hợp đồng liên quan tới việc có được các hệ thống bỏ phiếu đó; và

XÉT THẤY RẰNG, Văn Phòng Tổng Trưởng Tiểu Bang Texas chứng nhận Hệ Thống Bỏ Phiếu eSlate do Quận Harris cung cấp là hệ thống bỏ phiếu tiện dụng cho người khuyết tật, và có thể sử dụng hợp pháp trong các cuộc bầu cử ở Texas; và

II.

Cuộc Bầu Cử nói trên sẽ được tổ chức và diễn ra theo đúng qui định luật pháp áp dụng cho các cuộc tổng tuyển cử, trừ khi được quy định theo Chương 49 và 54, Bộ Luật Thủy Cục Texas, bản tu chính.

IV.

Tất cả các cử tri là cư dân hội đủ điều kiện hợp thức của Cơ Quan sẽ được phép bỏ phiếu tại Cuộc Bầu Cử nói trên.

V.

Theo đây, Ban Giám Đốc bổ nhiệm Luật Sư của Cơ Quan, Radcliffe Bobbitt Adams Polley PLLC ("Luật Sư"), 2929 Allen Parkway, Suite 3450, Houston, Quận Harris, Texas 77019-7120, làm đại diện được ủy quyền cho các mục đích của Cuộc Bầu Cử, và bất kỳ và tất cả các văn kiện hoặc thông báo mà Thư Ký Ban Giám Đốc phải đệ trình hoặc cung cấp theo các điều khoản qui định của Bộ Luật Bầu Cử Texas sẽ được coi là đã đệ trình và cung cấp nếu được đệ trình và cung cấp cho Luật Sư của Ban Giám Đốc.

Ngoài ra, chiếu theo Mục 4.003(f), Bộ Luật Bầu Cử Texas, vì Cuộc Bầu Cử là cuộc bầu cử về khoản nợ phải trả, Lệnh này sẽ được niêm yết, 1) vào Ngày Bầu Cử và trong giai đoạn đích thân tới bỏ phiếu sớm, ở một nơi dễ thấy tại phòng phiếu, 2) ở ba (3) địa điểm công cộng trong phạm vi ranh giới Cơ Quan trễ nhất là thứ Hai, ngày 16 tháng Tư, 2018, và 3) trong 21 ngày trước Ngày Bầu Cử, trên website của Cơ Quan, ở nơi dễ nhìn thấy và cùng với Thông Báo Bầu Cử và nội dung của (các) kế hoạch đề nghị.

VII.

Thông Báo Bầu Cử, các điều khoản qui định về thông báo bầu cử của Lệnh này, chủ yếu sẽ có nội dung như sau:

Theo đây xin thông báo một cuộc bầu cử trái phiếu công viên ("Cuộc Bầu Cử") sẽ được tổ chức cho và trong phạm vi Cơ Quan Dịch Vụ Tiện Ích Parkway ("Cơ Quan"), chiếu theo Lệnh của Ban Giám Đốc ("Ban Giám Đốc") Cơ Quan nói trên, được thông qua ngày 17 tháng Bảy, 2018. Lệnh nói trên được lưu tại văn phòng của Cơ Quan tại 2929 Allen Parkway, Suite 3450, Houston, Texas 77019-7120, và bất kỳ ai quan tâm đều có thể xem vì mọi mục đích.

Cơ Quan sẽ cung cấp ít nhất một (1) Hệ Thống Bỏ Phiếu eSlate tại mỗi địa điểm bỏ phiếu ở mỗi nơi bỏ phiếu được sử dụng để tiến hành bất kỳ cuộc bầu cử nào. XI.

Chủ Tịch hoặc Phó Chủ Tịch và Thư Ký hoặc bất kỳ Phó Thư Ký nào của Ban Giám Đốc sau đây được phép phê chuẩn Lệnh này và được chỉ thị thực hiện bất kỳ và tất cả các công việc nào hợp pháp và cần thiết liên quan đến việc tổ chức cuộc bầu cử nói trên và để thực hiện ý định của lệnh này.

關於舉行公園債券選舉的命令TEXAS 州 §HARRIS 縣 §PARKWAY 公用事業區 §

鑑於，依照 Texas 州水務法（修訂版）第 49.4645 款規定，屬於 Texas 州政治轄區的 Parkway 公用事業區（下稱「本區」）有權舉行公園和娛樂設施債券發行選舉，而該等債券將通過對本區範圍內所有應稅財產徵稅年度從價稅來償還；以及

鑑於，本區董事會（下稱「董事會」）裁定並認定，獲准發行公園和娛樂設施債券（而該等債券將通過對本區範圍內所有財產徵稅年度從價稅來償還）乃符合本區最佳利益；以及

鑑於，依照 Texas 州選舉法（修訂版）第 41.001 款規定，本區需要在 Texas 州指定的統一選舉日舉行任何及所有選舉；以及

鑑於，本區董事會認定，在下一個統一選舉日（即 2018 年 11 月 6 日週二）舉行公園債券選舉（下稱「選舉」）符合本區的最佳利益。

鑑於，本區董事會認為設立舉行上述選舉所依據的程序是必要且適宜的；以及鑑於，董事會認定，本區已登記選民人數超過 1,000 人，依照 Texas 州選舉法

（修訂版）第 85.005(b)款規定，需要在每個工作日（州法定節假日除外）開放投票所至少八 (8) 小時進行提前投票；以及

鑑於，依照 Texas 州選舉法第 61.012 款規定，本區必須為 Texas 州選舉中使用的每個投票所提供至少一 (1) 個無障礙投票系統，該無障礙投票系統應符合就允許肢體殘障選民投出無記名投票之投票系統作出規定的州與聯邦法律；以及

董事會特此委任其律師 Radcliffe Bobbitt Adams Polley PLLC（下稱「律師」）（辦公地址：2929 Allen Parkway, Suite 3450, Houston, Harris County, Texas 77019-7120）擔任本次選舉的指定代理人； Texas 州選舉法規定提交的所有文件一經提交給董事會律師，即視為已提交文件；需由董事會秘書長發出的通知一經向董事會發出，即視為已發出通知。

董事會秘書長應依照 Texas 州選舉法（修訂版）第 4.003(a)(2)款的規定，發出關於以下內容的通知：上述選舉的目的、待投票表決的提案以及提前投票和選舉日投票所，具體方法是在本區範圍內各個選舉選區中的一個公共地點張貼選舉通知以及必需的Harris 縣譯文，且張貼時間不得晚於 2018 年 10 月 16 日（週二）。此外，依照 Texas州選舉法（修訂版）第 4.003(b)款規定，選舉通知以及必需的 Harris 縣譯文應張貼在用於張貼本區董事會會議通知的公告欄上，且張貼時間不得晚於 2018 年 10 月 16 日（週二）；然而，若投票地點在上一次選舉後發生變化，則應將選舉通知以及必需的Harris 縣譯文張貼在舊投票所地點，且張貼時間不遲於 2018 年 10 月 27 日（週六）。

選舉通知（其條款已納入本命令）應大致採用以下形式：

選舉通知致 PARKWAY 公用事業區之合資格居民選民：茲此通知，根據 Parkway 公用事業區（下稱「本區」）董事會（下稱「董事會」）於2018 年 7 月 17 日通過的命令，本區將舉行一項公園債券選舉（下稱「選舉」）。上述命令已在本區辦公室（地址：2929 Allen Parkway, Suite 3450, Houston, Texas 77019-7120）存檔，任何相關人士皆可為相關目的查閱。
