Entity Filing With Secretary of State: Choice of Entity
a. Business Corporation (subchapter C) tax at entity level and 2.5% pass-through tax and franchise tax: qualified small business stock capital gains tax excluded
b. Limited Liability Company taxed once at owner level, 1.5% pass-through tax, $500 fee to file: Sub S business corporation lower fee, but franchise tax and non US owner restrictions
