Now in its fourth year, the NSW Health WorkforceForum will be the host of approximately 250employees across the NSW Health system as theycollaborate to build and support the effectivedelivery of current and future workforce strategies.

This document contains the standard terms and conditions for participating in the NSW Health Workforce Forum2019 that form part of the contract. It should be read in conjunction with the NSW Health Workforce Forum 2019Sponsorship Prospectus.

Sumission process1. The term "Organiser" refers tothe NSW Ministry of Health. 2. The term "Sponsor" includesany person, firm, company orcorporation and its employeesand agents identified in anyExpression of Interestcorrespondence. 3. A "contract" is formed betweenthe Organiser and Sponsor whenthe Organiser accepts writtenconfirmation of the sponsorshipagreement from the Sponsor andreceives 100 per cent of the totalamount owing as payment in full. 4. The Organiser may cancel thecontract at its discretion if the fullamount is not obtained by thedue date of the invoice. TheOrganiser will generate an invoiceupon written confirmation of thesponsorship agreement from theSponsor. Additionally, theOrganiser reserves the right tocancel the contract, in which casethe Organiser will return theamount paid in full. Conditions of Payment5. Payment in full (100%) is

required within 30 days ofconfimation of your sponsoragreement. On receipt ofconfirmation, a tax invoice will beforwarded to you. All sponsorshipmust be fully paid for within 30days unless otherwise negotiatedat time of signing. The application6. The Organiser reserves the rightto refuse application or prohibitany Sponsor from participationwithout assigning a reason forsuch refusal or prohibition. Prohibited sponsorship andconflicts7. NSW Health will only enter intosponsorship arrangements withreputable organisations whosepublic image, products and/orservices are consistent with theprinciples, vision and goals of theNSW Government. Potentialsponsors will have a soundreputation with NSW Government,as well as a good performancerecord for any past sponsorship. NSW Health will not considersponsorship partnerships withorganisations that:

a) Have an alignment to politicalor religious organisations b) Promote gambling c) May be construed asdiscriminatory d) Could be detrimental to public health and safety e) Promotes or encouragesalcohol or any substance abuse. 9. Tobacco products: NSW Healthspecifically prohibits anysponsorship with a company thatowns, controls or is involved withthe manufacture and productionor promotion of tobacco-relatedproducts, which includescigarettes, cigars and pipes. AllNSW Health sponsors arerequired to certify they are notinvolved with the production,manufacture or promotion oftobacco and tobacco relatedproducts, including cigarettesand cigars. 10. Other conflicts: otherpotential conflicts may arisebetween the mission and goals ofNSW Health and a sponsor. For

example a sponsor may: a) produce products or servicesthat could damage health; or b) does not practice goodcorporate governance (e.g. doesnot observe proper OccupationalHealth and Safety requirements,regulatory compliance, financialaccountability requirements, etc). c) the Sponsor is or has beendirectly involved in themanufacture and production orpromotion of tobacco-relatedproducts, which includescigarettes, cigars and pipes; d) the Sponsor is or has beendirectly involved in theproduction, manufacture orpromotion of any product orservice that could damage thephysical health or mentalwellbeing of the members of thebublic; 11. When examining theappropriateness of a sponsor,NSW Health will consider: a) the type of products or servicesthe organisation markets b) the marketing methodsemployed by the organisation

c) the impact that theorganisation's products andprocessing have on the health ofconsumers, the communityand/or on the environment d) the public image of thesponsoring organisation as anemployer e) NSW Health requires allpotential sponsors to be aware ofand respect the NSW GovernmentCode of Conduct Obligations and rights of theorganiser12. The decision of the Organiseris final and decisive on anyquestion not covered in thecontract. 13. The Organiser will specifyconditions relating to themovement of good and displays,prior, during and after the event. 14. The Organiser will specify anyregulations with regard to soundlevels including microphones,sound amplification, machinedemonstrations and videos. TheSponsor agrees to abide by these. 15. The Organiser will accept noliability for loss of damage ofequipment displayed or used bythe Sponsor.

The Sponsor must ensure thatall accounts are finalised by thedue date on the invoice. 17. The Sponsor must make everyeffort to maximise promotion andcommercial benefits ofparticipating in the event. 18. The Sponsor must complywith all directions/requestsissued by the Organiser. 19. The Sponsor must complywith all applicable laws, includinglaws in relation to work healthand safety. The Sponsor willtherefore act with care to avoiddamage to persons or propertyduring the event. 20. The Sponsor agrees to complywith all instructions relating todelivery times. The Sponsoracknowledges that the Organiserwill not be able to provideassistance in tracking lostdeliveries. The Sponsor agreesthat the Organiser will not beliable for any goods rejected bythe venue or lost or damagedprior to the delivery date

specified or on return. 21. The Sponsor must disclose anyreal or perceived conflicts ofinterest. Storage of goods22. The Organiser will provideinstructions regarding storageprior to the event. Under nocircumstances are goodspermitted to be stored in publicareas. Stand Services and Construction23. Official contractors will beappointed by the Organiser tosupply furniture, electrics,telecoms and IT equipment. Thisis for insurance and securityreasons and details will beincluded in the Exhibitor Manual.All non-official contractorswishing to enter the exhibition arerequired to produce currentCertificates of Currency forInsurance, Public Liability andOH&S. Access will be deniedwithout such documentation. Insurance and liability24. Sponsors must insure,indemnify and hold the Organiserharmless in respect of alldamages, injuries, costs, claims,demands, expenses and interestfor which the Organiser maybecome liable.

Payment and cancellation25. The Organiser will generate aninvoice upon receipt of a writtenconfirmation of the sponsorshipagreement from the Sponsor. TheSponsor's fee must be paid 30days after the invoice.Sponsorship packages will not befinalised until full payment isreceived. 26. Payments are to be made inAustralian dollars. All pricesquoted in the prospectus excludeGST. 27. Payments are to be madepayable to: Health AdministrationCorporation. 28. In exceptional circumstancesthe Organiser may considerSponsor cancellation; but only ifthe following conditions arecomplied with: a) The request for cancellation issubmitted in writing. b) The Organiser is able to replacethe sponsorship value in full. c) The reason for the cancellationis, in the opinion of the Organiser,well founded. This excludesbankruptcy, liquidation &receivership.

29. The information contained inthis prospectus is correct at thetime of publication and is subjectto change without notice. Payment optionsUpon receipt of a completedExpression of Interest, one of oursponsorship team will be incontact with you to discuss yoursponsorship interests. Once yoursponsorship is finalised, you willbe issued with a tax invoice to bepaid by the due date on theinvoice. NSW Health acceptscheque, credit card and EFT.Further information will beincluded in the tax invoice.
