tHe oPPortunityThe Co-Investor Circle offers individuals and family offices the opportunity to invest directly into companies with the potential for rapid growth.

Members invest directly alongside and on the same institutional terms as Oxford Capital’s funds - so they benefit from our due diligence, selection process, and ongoing operational involvement with the investee companies.

The service is non-advised - members make their own investment decisions and build a portfolio of unquoted investments in some of the UK’s most promising companies.

UK tax payers may benefit from tax advantages through the Enterprise Investment Scheme (EIS).

investing in growtHWe aim to invest in businesses that are solving commercial, technological or scientific problems in innovative ways.

The companies in our portfolio operate in a number of sectors including software, consumer internet, digital media and healthcare.

When selecting new investments, we look for companies that exhibit high-growth characteristics. These might include –

• Credible, talented and highly-driven entrepreneurs, founders and management teams.

• Potential for international growth.

• Large, fast-growing or uncontested markets.

• Business models that do not require extensive capital expenditure.

• A clear exit route.

How it works• There is no charge for becoming a

member, and no obligation to invest.

• We share details of investment opportunities as they arise, through email updates and member-only events.

• Members can choose to invest in the companies that interest them.

• The minimum co-investment is £25,000. There is no maximum (subject to the size of the total investment round).

• Where investments qualify for EIS reliefs, we take care of the administration and send members the certificate they will need to make a claim.

• Members receive regular shareholder updates and bi-annual valuations to help them track the progress of their investments.

eis taX reLieFs• Income Tax relief of 30% of amount

invested (up to maximum of £1m), which can be claimed in tax year of investment or preceding tax year.

• No Capital Gains Tax (‘CGT’) on profitable investments.

• Up to 100% inheritance tax relief, if investments are held for two years and still held at death.

• CGT due from other assets can be deferred through an EIS investment.

• Reliefs apply to UK taxpayers, and are subject to shares being held for three years and companies retaining qualifying status. Tax advantages are summarised based on current legislation, depend on individual circumstances, and are subject to change.

PowerOasis helps mobile networks reduce their energy costs by up to 80%, using software to remotely manage power consumption.

During our lifetimes, an estimated 40% of people will be diagnosed with cancer. Cancer drug development is now often outsourced by big pharma, who support and then acquire companies like Oxford Biotherapeutics.

Push Doctor is changing the way we access healthcare. The company has developed an online appointment system, which allows patients to have a video consultation with a GP at short notice between 6am and 10pm, 7 days a week.

eXamPLes oF recent co-investment eXits

An innovative biotech company that spun out of Oxford University, reducing insect spread diseases (e.g. dengue and crop diseases).

Members invested £8.4m in Oxitec over a number of years.

The company was sold in August 2015 to Intrexon in a deal worth $160m, delivering returns up to 5.8x.

Arieso’s advanced technology allows mobile operators to fine tune their phone networks to improve coverage and connection quality for subscribers.

Arieso was sold to JDSU for $85million in March 2013, with a 4.7x return on investment.
