TENDER FOR PNSC (STAFF) CANTEEN FOR A PERIOD OF ONE YEAR 2018 TO 2019 1. PAKISTAN NATIONAL SHIPPING CORPORATION, (PNSC) BEING THE STATUTORY CORPORATION ESTABLISHED

UNDER PNSC’S ORDINANCE XX OF 1979. INVITES SEALED BIDS FROM THE REPUTABLE CANTEEN CONTRACTOR/ CATERERS TO PROVIDE HYGIENIC AND QUALITY FOODS AT THE CORPORATION CANTEEN (STAFF) FOR THE EMPLOYEES OF PNSC AT PNSC (HEAD OFFICE) KARACHI FOR A PERIOD OF ONE YEAR.

2. THE BIDDER WILL BE SELECTED THROUGH SINGLE STAGE-ONE ENVELOPE PROCEDURE AS PRESCRIBED UNDER

RULE 36(a) OF PUBLIC PROCUREMENT RULES (PPR 2004) AND CONFIRMING TO THE PROCEDURE DESCRIBED IN THE BIDDING DOCUMENTS.

3. ELIGIBLE BIDDER S`HOULD MEET THE FOLLOWING MINIMUM QUALIFICATION/PREREQUISITE CRITERIA:

a. BIDDER SHOULD BE REGISTERED WITH TAXATION AUTHORITIES.

b. CANTEEN CONTRACTOR SHOULD HAVE MINIMUM 5 YEARS EXPERIENCE FOR SERVICING LUNCH TO 400 EMPLOYEES.

c. BIDDER SHALL SUBMIT REFERENCE LETTERS OF SATISFACTORY CANTEEN SERVICES FROM THE PREVIOUS CLIENTS.

d. BIDDER MUST BE ABLE TO PROVIDE DOCUMENTARY EVIDENCE OF LIQUID ASSETS WORTH PKR 1.2 MILLION.

e. BIDDER SHALL PROVIDE A LIST OF WELL TRAINED TEAM OF COOKS HAVING MINIMUM FIVE (5) YEARS EXPERIENCE AND OTHER SUPPORT STAFF HAVING EXPERIENCE IN PREPARING QUALITY, HEALTHY AND HYGIENIC FOOD.

f. BIDDER SHOULD NOT BE IN LITIGATION WITH/BLACKLISTED BY ANY CLIENT AN AFFIDAVIT IN THIS REGARD MUST BE PROVIDED.

g. BIDDER SHOULD NOT HAVE HISTORY OF ANY TERMINATION ON ACCOUNT OF SERVICE RELATED ISSUES. AN AFFIDAVIT IN THIS REGARD MUST BE PROVIDED.

4. THE RATES QUOTED MUST REMAIN VALID FOR A PERIOD OF (90) DAYS FROM OPENING DATE OF BIDS.

TERMS & CONDITIONS

1. Bid Security of PKR 100,000/- (Hundred thousand only) for Staff Canteen is to be deposited by the contractor in favor of PNSC through pay order/Bank Draft otherwise they will not be eligible. The same will be refunded to those who do not qualify. In case of successful bidder the amount PKR 100,000/- will be converted as Security Deposit.

2. Cooking of food stuff will be done in the “A” quality cooking oil preferably Rafhan/ Dalda / Meezan Corn Oil. BANASPATI GHEE SHALL NOT BE USED IN ANY CASE.

3. Crockery (China Ware) and cutlery (only stainless steel) A- one quality to be provided by the contractor at his own rate/ cost duly approved by the Canteen Committee. No compensation for crockery and cutlery regarding breakage and loss will be made good by PNSC.

4. The Bidders should be registered with taxation authorities, Valid Sindh Professional Tax and must have National tax Number (NTN). (copies of above Certificates must be provided)

5. The Bidders should be enrolled / enlisted on Active Taxpayers List (ATL) of FBR.

6. Electricity, Water and Gas charges shall be paid by the Canteen Contractor as per consumption on monthly basis, however, available Furniture will be provided by PNSC free of cost but maintenance of these articles will be the responsibility of contractor.

7. The Canteen should be kept clean & hygienic. Soap and Towels of good quality to be provided by the Contractor on wash basin.

8. Servicemen who serve the food must wear clean and proper uniform and their character to be verified by the contractor. For any mishap by the employed servicemen of the contractor will be solely responsible for the consequence and is also responsible to pay their wages and other legal formalities with regard to their employment.

9. Floor service is to be provided by the contractor.

10. The contractor shall have to submit the reference letters / certificates of satisfactory running of the canteen from the previous clients, where the canteen was / is / has been running. Minimum 5 years experience of running such a canteen is required.

11. The premises of the canteen shall be used for running the canteen only and in no case used for residential purpose, or as a warehouse.

12. Timing for Canteen will be from 9:00 AM to 4:00 PM.

13. The Canteen will remain CLOSE during the MONTH OF RAMADAN.

14. No outsider (with the exception of the PNSC employee / visitors/Tenants of PNSC) will be allowed to enter the

Canteen without prior approval of representative of PNSC.

15. The Canteen Contractor shall be bound/ governed by the relevant/ applicable Food/ Canteen Laws prevalent in Pakistan.

16. The validity of the contract will be of ONE YEAR from the date of issue of work order.

17. The rate quoted by the contractor for each item as per list attached hold good for the contractual period of ONE YEAR & there shall be NO CHANGE IN THE RATES IN ANY CASE.

18. The contract can be terminated on 30 days prior notice in writing by either side.

19. The rates of the food items to be sold in the canteen shall be displayed on the notice board of the canteen.

20. In case of unsatisfactory service on the written complaints & also verifications the security deposits will be forfeited in favor of PNSC and contract will be terminated.

21. In case of any damage and accident to the contractor or contractor’s staff PNSC WILL NOT BE RESPONSIBLE AT ALL. It will be sole responsibility of the contractor to indemnify the same.

22. In case of any dispute Executive Director (Admin) or his nominee will be the final authority to decide and his decision will be binding on both the parties.

23. The Canteen Contractor will not sub-let the contract at all to any other party otherwise the contract is liable to be terminated and security deposit will be forfeited in favor of PNSC.

24. PNSC reserve the right to accept or reject any or all the quotations without assigning any reason.

25. All bids must be accompanied with Security Deposit otherwise bidders will not be eligible for pre-qualification of

subject tender. The security deposit of the unsuccessful bidder(s) would be refunded.

26. The cooking material is to be made available for the checking/ inspections by the contractor for the entire satisfaction of the Canteen Committee.

27. Last date of submission of TENDER is June 28th

2018 at 11.00 A.M. The Tender will be opened on the same date at 11.30 AM in the presence of Bidders who may wish to attend.

28. The successful contractor whose Tender is accepted will be informed in writing.

29. The contractor will supply commodities at the rate prescribed in the above list to all Corporation Employees working in the Head Office.

PNSC STAFF'S CANTEEN CONTRACT

THIS CONTRACT is made at Karachi on this ______day of_______2018 between Pakistan National Shipping Corporation, a

statutory body in corporated under Pakistan National Shipping Corporation Ordinance 1979 (XX of 1979), and having its

Head office in PNSC building Moulvi Tamizuddin Khan road Karachi (hereinafter referred to as the Agency/"PNSC" which

terms shall, where the context so admits or requires, include it successor-in-interest) Party of the first Part.

AND

M/S ___________ having its office located at __________ Karachi (hereinafter referred to as the Service Provider/

Contractor which terms shall, where the context so admits or requires, include it successor-in-interest) Party of the Second

Part.

WHEREAS

1. PNSC through Tender Notice published in the press as well as on PPRA & PNSC websites, invited bids for running the

canteen for catering food and allied services to its officers which may vary.

2. The Contractor has agreed to run the Canteen at agreed rates, terms and conditions and PNSC has agreed the right to

the Contractor to run the Canteen solely for providing catering services to its employees at the rates set out in

Annexure "A" to this Agreement and subject to the terms and conditions herein below set out.

RATE LIST

i. The Contractor shall on receipt of written orders from PNSC or his authorized representative for running the

Canteen shall start providing catering services as per mutually agreed rates as set out in the Annexure "A".

ii. The Contractor hereby declares that the rates set out in the Annexure "A" to this Agreement are all inclusive

and shall remain firm and binding for the duration of this Agreement and the Contractor shall not claim and

escalation in the costs or revision of rates for any reason whatsoever.

iii. A subsidy Rs. 43,000/- per month shall be paid to the Contractor by the PNSC.

iv. The Contractor shall, before execution of this agreement deposit a sum of PKR (Rupees ) 100, 000/- (One

Hundred Thousand)as a "Security Deposit The PNSC shall have the right to adjust the whole or part of such

Security Deposit against any loss or dues payable by the Contractor under this Agreement or any other

contract.

v. No interest / mark-up shall be payable by the Corporation on Security Deposit. The Security Deposit shall be

refundable to the Contractor within 15 days of expiry or on earlier termination of this Agreement.

vi. The Contractor, at the time of execution of this Agreement shall execute separately a performance bond /

guarantee equivalent to one month's subsidy.

vii. Sufficient quantity of Crockery, Cutlery, and Utensils, one Fridge / Deep Freezer shall be arranged by the

Contractor at his own cost, these will be of good quality.

viii. Furniture and Water as deemed necessary by the PNSC shall be supplied by PNSC free of charge, however the

charges of GAS and Electricity shall be paid before due date by the Canteen Contractor on monthly basis.

ix. A list of articles handed over to the Contractor will from part of this Agreement and the Contractor shall be

responsible for up keeping and maintenance till the completion / termination of the Contract.




nd Part____________

x. The Canteen Contract's employee (s) shall wear uniform to be provided by the Contractor and will

remain clean and tidy. All employees of the Contract and the Contract himself shall be subject to search at the gate. Their character and antecedents shall be verified through Policy by the PNSC.

xi. The Canteen dining hall and kitchen will be kept perfectly clean and hygienic. Provision of Towel. Soap and

janitorial service at Canteen will be the responsibility of the Contractor.

xii. No outsider (with the exception of the PNSC employee / visitors/Tenants of PNSC) will be allowed to enter the

Canteen without prior approval of representative of PNSC.

xiii. Gate Pass will be issued for all out-going articles The Gate Security Guard will send these gate passes to the

Security Officer on the same day.

xiv. The Canteen Committee appointed by the PNSC will look after the quality and quantity of eatables.

3. CONTRACTORS OBLIGATIONS

i. Without prejudice to the generality of Clause-2 of the Agreement, the Contractor shall not sublet the Contract.

ii. The Contractor shall be responsible for any theft and / or damage to the property of the PNSC or of any third

party by the act Contract's employees (s) and shall the PNSC indemnified and harmless against any loss or

damage, directly or indirectly, caused to or sustained by the PNSC therefore.

iii. The Contractor shall in no way hold the PNSC responsible for any loss of or damage to the contractor's

equipment's / utensils / crockery etc.. or any injury or loss of life of the personnel etc. further the Contractor

hereby undertakes not to act in any manner prejudicial to the interest of the PNSC.

iv. The food stuffs and the eatables will be supplied to Officers/Staff in accordance to the menu on prescribed

rates, which should be listed in the Canteen which forms integral of this Agreement.

v. Electricity, Water and Gas charges shall be paid by Canteen Contractor as per consumption on monthly basis.

vi. All kinds of Taxes, fees, fines, licenses etc.. For running the Canteen shall be responsibility of the Contractor

and the PNSC takes no responsibility for providing arranging any permits for Flour, Sugar, and Rice etc.

vii. The Contractor shall prepare weekly menu in consultation with the Canteen Committee and insure that

complaints of any kind arising out in day to day working are brought to the notice of the representative of the

PNSC. The decision of the PNSC in such cases will be final and binding on both the parties.

4. TERMINATION OF THE CONTRACT

i. THE PNSC may terminate this Agreement / Contract at any time without assigning any reason thereof by giving

to the Contractor 30 days notice in writing. In the event of termination of any damage and / or compensation

of any kind whatsoever to the Contractor on any ground particularly for any investment made or expenses

incurred or establishments set up by the Contractor pursuant to this Agreement. However, the Contractor

shall be paid subsidy for the notice period.

ii. Without prejudice to the Clause-4 (I) above, if the contractor commits a breach of this Agreement, and fails to

remedy such breach within 15 days of written notice from the Manager Administration. The Manager may

forthwith terminate this Agreement without further notice and without being liable for any compensation

whatsoever for such termination.

iii. Should the Contractor decide to terminate this Agreement for any reason, the Contractor shall give the PNSC

at least 90 days prior notice in writing.

5. COMPLIANCE WITH LAWS:

The Contractor shall at all times comply with at the Contractors cost any expense. with the provisions of the Law of

the Land (Pakistan Law) in force including labour laws or any other statutory or common law provision that may be

applicable or made applicable in future to the Contractor's operations.

6. GRATIFICATION, COMMISSION AND GIFTS:

i. Any bribe, Commission, gifts or advantage give, promised or offered by or on behalf of the Contractor, his

partner, agent or servant or any other person acting on behalf of the Contractor to any officer, employee,

representative or agent of the PNSC in the relation to this Agreement render this agreement liable to

immediate cancellation and that event the contractor shall be liable to make such payments to the PNSC by

way of fine or damage as may be determined by the PNSC. The decision of the PNSC in this respect shall be

final, conclusive and binding on the Contractor.

ii. PNSC Management shall not be responsible for any credit given to any worker or employee of the PNSC.

iii. No subsidy will be paid to the Contractor for the holy month of "RAMAZAN" during which the canteen shall

remain closed.

7. RECOVERIES:

i. All payments to the contractor shall be subject to withholding tax and levies as may be applicable under the

law and shall be deducted at source.

ii. All payments made to the Contractor shall be regarded as provisional and shall remain open to re-checking /

scrutiny for period of six months from the date of each such payment. If during the said period, any payment

or part thereof is found to have been wrongly made for any reason .whatsoever, the PNSC shall be entitled to

recover the wrongly made payment from any amount due to the Contractor under this Agreement.

iii. If any sum of money is recoverable from the Contractor under this agreement or under any other Contract

with PNSC or its subsidiary Companies or the PNSC, the PNSC shall without prejudice to the rights of PNSC

under the Law to be entitled to deduct such dues from the Security Deposit and / or any other sums due to

the Contractor.

8. PERIOD OF CONTRACT:

This CONTRACT shall be valid for a period of one year w.e.f. ___________________ to ___________________.

9. SETTLEMENTS OF DISPUTE:

Any difference of opinion or dispute arising out of or in any way concerned with this CONTRACT, the decision

of the Manager (Admin) shall be final, conclusive and binding,

10. GOVERNING LAW:

This CONTRACT shall be governed by and construed in accordance with the laws of Pakistan from time to time

in force.

IN WITNESSETH WHEREOF, the Parties here to have signed this CONTRACT and has caused the common seal

to be affixed on the Contract in the manner hereinafter appeared on the day and year first here-in-above

written. \

i Timing for Canteen shall be from 9:00 AM to 4:00 PM.
