IntroductionShareworks® facilitates real-time stock option exercises for participants. This guide provides an anexplanation of some common exercise types, and overview of the steps to exercise in Shareworks, andmore details about some common exercise functionality.

Multiple Grant ExercisesYou may be able to perform an exercise from multiple grants within your account in a single transaction(plan permitting). If this functionality is available to you, you will see theMultiple Grants button withinyour Exercise Parameters screen. Clicking this button will display a table of the grants available for amultiple grant exercise.

You can enter an exercise quantity in each row, for each grant, from which you wish to exercise.

There are several things to consider when you are performing a multiple grant exercise:

l The expiration or cancellation of a single grant will cancel the entire exercise.l In the event that a multiple grant exercise order is not filled in its entirety, partial fills will be appliedin order of grant date, with earlier grants filled prior to more recent grants.

l The delivery instructions you select for your cash and/or shares will apply to all of the cash and/orshares generated from the exercise.

l Any applicable fees, taxes, and the net proceeds are the sum total of all the awards you areexercising.

Steps to Exercise

Step 1 Select Options to Exercise

The screens in this section will provide you with a basic outline of what you can expect to see whenentering an exercise. Note that the steps required may vary depending on the type of transaction you areperforming.

Begin by logging in to your Shareworks account. You will see your participant dashboard. Click thePortfolio link at the top of the screen.

On the Portfolio page, click the Stock Options and Awards link.

The awards available to exercise are indicated with an Exercise link in the far right column.

Click the link that corresponds with the options you wish to exercise.

If an Exercise link does not appear on this screen, the options are not available for exercise.This could happen for a number of reasons such as your options are not yet vested, you havenot accepted the online agreement, or you are currently in a blackout.

Step 2 Exercise Parameters

Choose the type of exercise you wish to complete by selecting from the list.

If you’d like to learn more about the exercise types available, click the icon displayed on-screen or

refer to the "Available Exercise Types" on page 3.

If your company permitsmultiple grant exercises, you can click theMultiple Grants button to proceedwith an exercise from more than one of your grants. For more information see "Multiple Grant Exercises"on page 1.

Note the real time quote available on the right-hand side of your screen. This quote is displayedregardless of the exercise type you are performing. This quote will help you keep track of thecurrent market activity as you proceed through your exercise.

Enter the number of options you’d like to exercise and click Continue.

Step 3 Order Details

Enter the type of order you would like to place. Depending on the type of transaction you are entering,you may be able to choose between the following:

Sell Exercises

Market Order: Sell a security immediately, at the best possible price.

Limit Order: Sell a security at a specified price. The order can be executed only at the specified price orbetter, and can be set to expire after a specified date (typically up to 30 days) if the order is notcompleted.

Sell to Cover Exercises

If you are performing a transaction whereby you are selling shares to cover the costs associated withyour transaction, your order will automatically be completed as a market order. Shareworks calculatestheminimum number of shares to be sold to cover the cost of the exercise (plus applicable taxes andfees).

If your company permits, you can choose to increase the number of shares to be sold to receiveadditional cash proceeds.

The number of shares to be sold cannot be decreased as there must be a buffer for market volatility toensure enough funds are raised to pay for the exercise cost, fees and taxes (where applicable).

Cash Exercises (hold exercises)

If you are holding your shares and are paying for any associated costs separately, you will not see theOrder Details screen during your exercise process.

Note the Estimated Proceeds panel on the right hand side of your screen. This breakdown isupdated with real time information to provide you with the most up to date estimate. However,actual proceeds may vary depending on actual prices of the fair market value of the exerciseand any sale order.

Step 4 Delivery Instructions

Select the delivery instructions for your exercise. Depending on the type of transaction, you may beasked to indicate the delivery method for your shares, your proceeds, or both.

The available share delivery methodsmay include:

l Send shares to mailing addressl Mail certificate to brokerl Electronic share transferl DRS (Direct Registration System)

The available cash delivery methodsmay include:

l Send funds to mailing addressl Wire to bank accountl Direct deposit (Canadian accounts only)

Step 5 Exercise Direction Form

Review the Exercise Direction Form which confirms the details of your request.

You can choose to Print the form for your records. When you are ready, click Accept to proceed.

Step 6 Verify

Verify all information regarding your exercise request.

Note that at any point prior to confirming your exercise, you can click on the header of anexercise section (Exercise Parameters, Details, Delivery Instructions, or Exercise DirectionForm) to return to that section and make changes.

When you have confirmed that all of the details of your exercise are accurate and that your contactinformation is correct, click Submit Exercise.

Step 7 Exercise Request Submitted

Your request will be submitted and you will be provided with an exercise reference number. Please retainthe number for your records.
