PASQUALE J. RUFOLO is a Partner in the Firm’s Transactional group. Mr. Rufolo hasextensive experience in the practice areas of tax, trusts and estates, and business planning.His experience includes drafting complex estate planning documents, developing businesssuccession plans for owners of closely-held businesses, and representing executors, trusteesand beneficiaries in estate and trust administration matters. He also works with clients onthe formation of private foundations, as well as public charities. Mr. Rufolo’s corporate taxpractice includes representing owners of closely-held corporations, partnerships, and limitedliability companies.

He advises clients regarding the federal income tax laws relating to formation (including thepreparation and negotiation of operating agreements, shareholders’ agreements, etc.),liquidations and other corporate restructuring, executive compensation, withholding taxissues, and various tax accounting issues. He has also handled numerous cases involvingthe drafting and negotiating of asset and stock purchase agreements, non-competitionagreements, as well as employment and confidentiality agreements.

Prior to joining the Firm, Mr. Rufolo was the founding member of Rufolo & Associates.Established in 2008, Rufolo & Associates concentrated on personal, business, and estatetaxation matters.

Mr. Rufolo serves as an Adjunct Professor at Seton Hall University School of Law, wherehe has taught Federal Income Taxation, Wealth Transfer Tax, Partnership Taxation, andBusiness Planning. In addition, Mr. Rufolo has served as an Adjunct Professor in theGraduate Tax Program at Fairleigh Dickenson University, where he taught various taxrelated courses.

Preceding law school, Mr. Rufolo was an accountant working at a number of certifiedpublic accounting firms and serving as controller of an “Inc. 500” company.
