Board meetings will be held at 10:00 AM before the 12:00 PM regular business meeting and program, April through November, at the Petoskey City Hall, 101 East Lake Street, Petoskey. These meetings are attended by all officers and committee chairmen. The general membership is welcome to attend and the announcement will
be made in the monthly PAGC newsletter.

CIVIC GARDENING
The primary reason for our group’s existence is to beautify the city of Petoskey by planting and maintaining the flower beds we have established over the years. Active members are expected to par-ticipate in this work to the full extent they are able; designating an area in which to work, or being assigned to a planting area. Mem-bers will meet with the captain of their assigned area and work out
a maintenance schedule.
MEMBERS RESPONSIBILITIES
Please note the club planting dates printed on the next page on your personal calendar and also the times when you will weed (at least twice during the summer growing season). The back page has been designated for your personal planting and weeding dates. This time constitutes your basic commitment to garden club, and should take precedence. We are a service club first and
a social group only as a pleasant result of working together.

BRIDGE BASKETS, SOUTH ENTRANCE PARK, WATERFALL AREA, , PENNSYLVANIA PARK,/CITY CENTER, and LIBRARY CONTAINERS, GASLIGHT and GAZEBO AREAS, HISTORY MU-SEUM, and the POST OFFICE CONTAINERS are planted with spring annuals and fall bulbs in our continuing effort to beautify the city.
ANNUAL MAINTENANCE
The WATERFALL AREA along the waterfront in Petoskey’s down-town area is a popular spot. The club maintains the permanent plantings they have established over the years. Cleanup date will be Thursday, May 26th at 1:00 PM. Rain date is Friday, May 27th. All members are encouraged to participate. CONTINUING PROJECTS #1 & #2

BY-LAWS PETOSKEY AREA GARDEN CLUB, INC.
Member National Garden Clubs, Inc. and Michigan Garden Clubs, Inc.
Article I: Name and Status The name of this organization shall be: Petoskey Area Garden Club, Inc. This organization is a Non-Profit Corporation, registered in the State of
Michigan. This Corporation is exempt from Federal Income Tax under Section 501 C (3) of the Internal Revenue Code of 1954.
Article II: Object The purpose of this club shall be to promote a greater interest in garden-ing, to beautify the city of Petoskey through plantings, to sponsor a broad program of conservation and protection of natural resources, and promote the goals of the National Garden Clubs, Inc. Article III: Membership 1. Active Members shall meet the following requirements:
a. Participate actively in a civic gardening work assignment. b. Serve on one of the Standing Committees as requested. c. Serve as hostess or assistant hostess and prepare and present
programs as requested. d. Vote on all motions to come before the assembly.
2. Associate Members shall meet the following requirements: a. An Active member in good standing for 5 years. b. Participate in civic gardening projects as they are able. c. Serve as an assistant hostess as they are able.

3. The annual dues shall be twenty five ($25) for Active members and thirty five dollars ($35) for Associate members. There will be an initia-tion fee of $10.
4. The fiscal year shall be from Nov.1st through Oct. 31st. 5. Any member having failed to pay dues by June 30 shall be notified in
writing. Failure to answer such notice shall be considered a forfeiture of membership.
6. All resignations should be submitted in writing. Any member in good standing having resigned in writing may be reinstated at any time by the payment of current year’s dues.
7. Membership in this club shall be by invitation. 8. A candidate for club membership shall be sponsored by an Active
member and recommended to the Membership Chairman for consid-eration at the next regular Board of Directors meeting.
9. A sponsor shall present the name of a candidate for membership, in-cluding her garden club interests, in writing, to the Membership Chair-man.
10. On approval by the board, the sponsor will inform the candidate of membership requirements, show her a program and invite her to the next regular meeting, introducing her to as many members as possi-ble. The sponsor shall report back to the Membership Chairman, in-forming her of the candidate’s interest in joining.
11. The Membership Chairman will write a letter of invitation to the candi-date, enclosing a membership card for her signature, and a dues no-tice. Upon the return of the signed card to the Membership Chairman and the payment of dues to the Treasurer, the candidate will receive a current program book.
12. The membership card will remain on file with the Membership Chair-man.
13. Election to membership shall be forfeited unless ratified by the pay-ment of dues within one month of such election.

Article IV: Officers and Directors 1. The officers who shall serve concurrently as members of the Board of
Directors, shall consist of a President, a First Vice President, a Sec-ond Vice President, a Recording Secretary, a Corresponding Secre-tary and a Treasurer.
2. The President shall appoint a Nominating Committee of three mem-bers prior to the first regular meeting of each year.
3. The slate of officers prepared by the Nominating Committee shall be presented at the regular meeting in October, elected in November, and installed in December and shall serve for two years. The Presi-dent, First Vice President and Second Vice President shall be elected one year and the Recording Secretary, Corresponding Secretary and Treasurer shall be elected the alternate year. The duties of the officers shall be such as are implied by their respective titles, and any other duties that may be deemed necessary by the Board of Directors.
a. The President shall preside over all board and regular meetings, and may attend all committee meetings (except the nominating committee) as an ex-officio member, and represent the club in its contact with other organizations.
b. The First Vice President shall preside in the absence of the President and serve as Program Chairman
c. The Second Vice President shall preside in the absence of both the President and First Vice President and serve as Hospitality Chairman.
d. The Recording Secretary shall record the minutes of all meetings, and keep a file of all annual committee reports.
e. The Corresponding Secretary shall attend to all correspondence des-ignated by the board.
f. The Treasurer shall be custodian of the club funds, collect the annual dues, pay bills approved by the board, prepare and file all forms rela-tive to the club’s tax-exempt status, make a financial report at board and membership meetings.

Article V: Meetings 1. The regular meetings of this club shall be held monthly, excepting Janu-
ary, February and March, unless otherwise ordered by the Board of Direc-tors. All meetings will be conducted according to accepted parliamentary procedures. Guests are welcome at all regular meetings.
2. The Annual Meeting shall be held in November at which time reports shall be presented in triplicate by the officers and chairmen of Standing and Special Committees. Officers for the coming year shall be elected and installed.
3. Special meetings may be called by the President. The call for such meet-ings must state the business to be transacted.
4. One third of the Active membership shall constitute a quorum at a regular or special meeting.
5. A majority of the Board of Directors shall constitute a quorum. Article VI: Board of Directors 1. The Board of Directors shall consist of the officers and the chairman or
vice chairman (upon designation of the chairman) of each Standing or Special Committee.
2. The government of this organization shall be vested in the Board of Direc-tors to render decisions which shall be presented to the membership at regular meetings for approval.
3. Board of Directors meetings shall be held monthly or at the call of the President. January, February and March are planning months. Board meetings are open to the Active membership and will be announced in the newspaper.
4. The Board of Directors shall be empowered to send a ballot by mail to the Active membership in the event of urgent business involving the member-ship during the planning months. An affirmative vote by two-thirds (2/3) of the Active membership is required for enactment.

5. Officer and Committee chair vacancies shall be filled by appoint-ment of the President until the next regular election.
6. Each committee chairman is responsible for holding meetings of her committee and reaching decisions which are then presented to the Board of Directors.
Article VII: Committees 1. STANDING COMMITTEES
a. Communications committee is responsible for notifying Active and Associate members of all regular and special meetings.
b. Civic Expansion committee shall initiate civic gardening and landscaping projects and refer them to the Finance Committee for financial approval and then to the Board of Directors for ap-proval and adoption.
c. Civic Gardening committee shall plan and coordinate the plant-ing of the gardening projects initiated by the club.
d. Conservation committee shall keep the club informed on perti-nent conservation information and issues.
e. Finance committee shall act as an advisory committee on long range financial planning and the chairman shall serve as liaison between PAGC and the Petoskey-Harbor Springs Area Com-munity Foundation.
f. History committee shall keep all printed reports of club activities and other items of interest to the club.
g. Landscape Maintenance committee shall serve as liaison be-tween the Petoskey Department of Public Works and PAGC and coordinate the maintenance of the public gardens.
h. Membership committee shall provide Active and Associate members with a current yearbook and notify new membership candidates of acceptance.
She shall maintain an up to date membership list and provide name tags to be available at all meetings. She shall keep resig nations on file.

i. Memorial committee shall encourage donations to the PUBLIC GARDENS FUND. The committee shall acknowledge and record all memorial donations. A rose bowl will be sent, if appropriate, to the family of a deceased member.
j. Nominating committee shall present a slate of officers to the membership at the September meeting.
k. Publicity committee shall provide information regarding club activi-ties and announcements of regular, special and board meetings to the news media.
l. Web Master will update and maintain the club’s presence on the internet.
m. Yearbook committee shall assemble and arrange for the printing of the membership yearbook
n. New committees may be established when deemed necessary by the President or the Board of Directors.
2. SPECIAL COMMITTEES A Special Committee shall be appointed by the President with board
approval, to oversee projects of the club which are not annual events. The Chairman of this committee will serve on the Board of Directors for the duration of the project.
3. Committee Chairs The Chairperson of each Committee shall be nominated by the Presi-
dent subject to the approval of the Board of Directors, and shall serve a term of one year.
Article VIII: Public Gardens Fund 1. Public Gardens Fund shall be the name of the fund established to
receive donations and memorial monies. The income from this fund shall be used for civic beautification and other projects upon recom-mendation of the finance committee and approval of the Board of Di-rectors.
2. Donations to this fund shall be received without specification as to use unless otherwise requested by the Memorial Committee.

3. A memorial donation of $25 shall be made to the Public Gardens fund for Active and Associate members of PAGC.
Article IX: Parliamentary Authority The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern this organization in all cases to which they are appli-cable and in which they are not inconsistent with these Bylaws and any special rules of order this organization may adopt.
Article X: Indemnification Each person who is or was a director, member or officer of the club or member of a committee of the club shall be indemnified by the club to the fullest extent permitted by the corporation laws of the State of Michigan as they may be in effect from time to time; provided, however, that the preced-ing shall not require the corporation to indemnify any person for any liabil-ity, tax or expense to the extent it results in the imposition of tax under Section 4958 of the Internal Revenue Code. The club may purchase and maintain insurance on behalf of any such person against any liability as-serted against and incurred by such person in any such capacity or arising out of his or her status as such, whether or not the corporation would have power to indemnify such person against such liability under the preceding sentence. The club may, to the extent authorized from time to time by the Board, grant rights to indemnification to employees or agents of the club and others to the fullest extent provided under the laws of the State of Michigan as they may be in effect from time to time.

Article XI: Dissolution In the event of this organization’s dissolution any remaining assets will be dis-tributed only to nonprofit organizations which are at that time qualified for ex-emption from Federal Income Tax as an organization described in Section 501 C (3) of the Internal Revenue Code of 1954. Article XII: Amendments These Bylaws may be amended by presenting the proposed changes to the membership at a regular meeting followed by an affirmative vote of two-thirds of all Active members present at the next regular meeting.
