C. Black-Hardaman commented that staff would like to make the changes suggested by Commissioner Massetti to remove Jacklyn Jones from the minutes, since she is listed twice also, on page four (4) change the acronym to QRIS instead of QRS.

3.0 PUBLIC COMMENT

There were no public comments.

4.0 PRESENTATION: MOBILE VISION PILOT PROJECT C. Black-Hardaman presented the Mobile Vision Pilot Project. She commented that the following is impacted when child’s vision is less then optimal:

• School performance • Behavior • Socialization • Overall health

Early detection can prevent many of the mal-implications. Commissioner Bresee joined the meeting at 8:09 a.m. The project has been made possible with the following partners:

• Cal Viva (provided the consultation) • Tzu Chi Vision Mobile (volunteer Support Staff) • Madera Unified School District

o School Nurses – (prescreened Kids) o State Preschool Program- (outreached to families)

• Camarena Health Centers ( provided an Optometrist) • First 5 Special Projects (project management)

The only real cost was the Mobile unit in the amount of $1,300.00.

The Vision Mobile Pilot Project gave children the opportunity to be checked by an optometrist and receive glasses and prescription within an hour. Additionally, children will be connected to a “vision home” via Camarena Health.

The Mobile Vision Pilot Program included participation from five (5) preschools from four (4) different schools in Madera. There was a total of 208 children enrolled and 192 children were screened.

• Thirty three (33) children failed to show up to their appointments and 22 children received services.

• Seventeen received glasses. Staff conducted pre and post surveys with families that participated. Families indicated an improvement in knowledge of their child’s vision and information on a vision home.

First 5 Madera County looks forwards to partnering with Chowchilla Unified School District and Madera County Office of Education (MCOE) to target preschools in Chowchilla. Staff is working towards identifying revenue sources. Commissioner Zarucchi-Mize commented that she was pleased with her observation during the vision mobile visit. Commissioner Bresee asked if something like this could be implemented in the Madera Ranchos Area. C. Black-Hardaman responded that the next step for the vision mobile is to deploy services in the Chowchilla Area, but discussion could begin for expanding it to the Ranchos area. Commissioner Martinez asked why there were children who did not received glasses. C. Black-Hardaman responded that after a more in depth examination those children did not need glasses. Commissioner Rodriguez asked about what rationale parents had for not taking their child for the vision check. D. Sandoval responded that staff had follow-up with most of the families and were informed that they had already taken their child to a private optometrist.

5.0 PRESENTATION: CHILD CARE PROVIDER CONFERENCE X. Villaseñor gave a presentation about the 3rd Annual Child Care Provider Conference. The conference was developed in partnership with Lakeshore, Madera Unified School District (MUSD), Community Action Partnership of Madera County, Madera County Office of Education (MCOE), Vicky Bandy, and Lindsay Bandy. The providers received trainings on the following:

• Early Detection of Behavior Concerns. • Lesson Planning, Program Time, and You Time. • Incentives and tools to use with kids.

Participants received the following:

• 6 hours of professional Development.

6.0 STAFFING AND OPERATIONS COMMITTEE BUSINESS

6.1 Slate of Officers and Standing Committee Composition C. Black-Hardaman commented that as per First 5 Madera County Bylaws, the Commission will develop a slate of officer and standing committee members to serve July through June each year. At the June Commission meeting, each Commissioner was given a form to state their interest in serving as an officer and preferred participation on a standing committee. Based on interest from each Commissioner, the Staffing and Operations Committee crafted a proposed slate of officers and standing committee composition for the Commission’s consideration. The proposed officers and standing committee compositions are as follows: Executive Committee:

• Supervisor Max Rodriguez – Chairman • Nina Zarucchi-Mize – Vice Chairman • Aftab Naz, M.D. – Secretary

Programs and Grants Awards Committee:

6.2 Commission Meetings in Outlying Areas

C. Black-Hardaman commented that as per the Children and Families First Act of 1998 (Proposition 10) county Commissions shall hold public meetings at times and locations accessible for public participation.

The Staffing and Operations Committee (SOC) recommended that the Commission hold two (2) Commission meetings in the outlying areas of Madera County. Included in the meeting packet is a meeting announcement indicating the two locations in the outlying areas along with suggested time and dates. The meeting start time is adjusted to 8:30 a.m. to allow for travel and set up time.

The cost of travel (mileage) is anticipated to be less than $500.

Motion to approve alternative locations as presented. M/S by Commissioners Massetti and Arteaga. Motion carried.

6.3 Update Job descriptions as Per Reclassifications C. Black-Hardaman commented that the Commission had previously

approved the reclassification of the Operations Manager/Deputy Director position and the FRC Manager.

Included in the meeting packet are the revision to the job descriptions for the

Deputy Director and FRC Manager positions the changes are highlighted.

Motion to approve modifications to the Deputy Director and FRC Program Manager job descriptions as presented. M/S by Commissioners Arteaga and Martinez. Motion carried.

7.0 OAKHURST FRC – EASTERN MADERA COUNTY FRC ACTIVITIES

E. Wright commented that in 2012, the Commission entered into a lease agreement with Camarena Health to co-locate the First 5 Family Resource Center at their Oakhurst facility. This space was designated for Eastern Madera County (EMC) families to attend children’s activities on a weekly basis and themed seasonal events as schedule.

As of April 2017, the Commission approved to lay off staff due to budgetary restraints, which included the Eastern Madera County staff. This was the only staff deployed there.

Staff sought approval to have programmatic changes in Eastern Madera County as follows:

• Due to the geographic isolation of the Mountain community, staff recommended an “FRC on Wheels” approach to take services into the community. AmeriCorps staff would be deploy to provide programming biweekly to four (4) main geographic areas: Oakhurst, North Fork, Raymond and Coarsegold, utilizing partnerships with libraries, schools, and community centers as locations. Current programing was limited to Oakhurst and North Fork only. If approve, staff intends to pursue termination of lease agreement with Camarena Health effective October 1, 2017 and begin implementation of the new programmatic strategy.

The fiscal impact will be a reduction in expenditures for the EMC Family Resource Center in the amount of $31,340.00. Commissioner Zarucchi-Mize asked how the activities and locations would be rotated. E. wright responded that staff would provide two activities back to back every other week, rotating between the locations for each week. Commissioner Arteaga asked about the participation in the Mountain Area. E Wright responded that participation did drop. Staff will be outreaching to make sure that those number increased. Motion to approve the new programmatic changes in service deliver for Eastern Madera County and approve termination of lease agreement with Camarena Health in Eastern Madera County effective October 1, 2017. M/S by Commissioners Naz and Zarucchi-Mize. Motion carried.

8.0 CONSIDERATION OF CPA SERVICES TO CONDUCT THE YEAR-END

FISCAL AND PROGRAMMATIC AUDIT C. Gill commented that as outlined in the Children and Families First Act of 1998,

§130150, each county Commission shall conduct an audit of their respective functions during the preceding fiscal year. The audit must include a financial statement, a report on compliance from the auditor and a report on internal controls from the auditor.

During the June 2017 Commission meeting, the Commission took action to release RFP No.17-043 to procure a qualified accounting firm to conduct the 2016-2017 Year- End Financial Audit. The RFP was released on June 5, 2017 with proposals due on July 5, 2017. Staff distributed RFP packets to all known auditing and CPA firms in the Fresno and Madera area (N=82). A total of four (4) applications were received.

The applications were paper screened and score by the Finance Manager, Executive Director, and Commissioner Zarucchi-Mize. After review and discussion the panel recommended Hudson Henderson & Co. to conduct the FY 2016-2017 Year-End audit. Hudson Henderson & Co. received the top score for its broad scope of experience with government and nonprofit as well as its competitive cost structure over a five (5) year period. If approve the fiscal impact would not exceed $10,695 for all audit cost, including the preparation of all required documents. Such cost are afforded for in the Commission’s FY 2017-2018 budget. C. Gill added that references have been checked on Hudson Henderson and Co. They have worked with other neighboring First 5 counties and received good marks for their work. Commissioner Bresee asked who conducted the reference checks. C. Gill responded that the Executive Director conducted the references checks. Commissioner Arteaga commented that the company’s experience working with other First 5 counties is good.

Motion to accept staff’s recommendation to contract with Hudson Henderson & Co. Under RFP 17-043 to conduct the 2016-2017 Year-End Audit as presented. M/S by Commissioners Arteaga and Bresee. Motion carried.

M/S by Commissioner Arteaga and Massetti. Motion carried. 9.0 AMERICORPS GRADUATION E. Wright presented the graduating AmeriCorps members. They are as follows:

• Mariah Torres and Noradely Mendoza served as Family Advocates at the Madera FRC. Mariah and Noradeli secured employment with Teaching Fellows. Commissioner Naz stepped out of the meeting at 8:58 a.m.

• Imelda Mendez worked as a Family Advocate at the Chowchilla FRC. Imelda will be returning to serve another year. Commissioner Naz returned to the meeting at 9:02 a.m.

• Lizz Torres and Yanela Placido served as Case Managers at the Madera FRC.

Lizz secure employment with the Madera Community Hospital, and Yanela secure employment with Teaching Fellows.

• Yesenia Flores served as a Family Engagement Assistant at the Madera FRC,

she secure employment with California Autism Center. Commissioner Naz left the meeting at 9:04 a.m.

• Jeanette Gomez served as a Special Projects Assistant at the Madera FRC. She secure employment as a substitute teacher.

Commissioner Naz returned to the meeting at 9:05 a.m.

• Alfredo Moreno who served as a Community Engagement Assistant at the

Madera and Chowchilla FRC. He was responsible for engaging the community about the importance of early childhood development and First 5 services to support parents as their child’s first teacher. Alfredo served as an AmeriCorps member for 4 years.

• Jennifer Mendez served as Parent Education Assistant for Madera Unified

School District. She facilitated parent workshops with preschool families as well as support the program’s efforts with connecting families to community resources.

• Desirae Barriga and Luz Barragan served as Family Support Specialists with

Madera County Office of Education, They provided information and assistance to preschool families as well as facilitated activities that were designed to promote linkages of families to the schools and community.

E. Wright commented that all the members have done a great job, and will be missed.

That your Commission approve staff recommendations to:

a. Renew Lease Agreement No. 19 with the California Health Collaborative – Nurture to Nurture Program for two (2) closed door offices and one (1) cubicle at the Madera FRC

b. Amend Lease Agreement No. 10 with the Madera County Public Health Department – WIC Program for one (1) office suite (includes 1 enclosed, 1 enclosed exam room, 1 storage room, and 1 reception/training room) at the Chowchilla FRC

c. Renew Lease Agreement No. 18 Madera County Workforce Investment Corporation – for two (2) closed door offices at the Chowchilla FRC.

BACKGROUND: As a strategy to move the First 5 Family Resource Center (FRC) Initiative towards sustainability, staff was charged with the responsibility of identifying viable partners to collocate at the FRCs. Further, such partnerships would ease access and diversify the availability of services and supports thereby offering quality enhancements to families visiting the Centers.

The California Health Collaborative – Nurture to Nurture program has co-located at the Madera FRC since 2014 to provide mental health services to mothers with perinatal mood and anxiety disorders (PMAD). Their current Lease Agreement No. 19 is due to expire on September 30, 2017.

The Madera County Public Health Department – WIC Program has co-located at the Chowchilla FRC since 2009 to provide Health and Nutrition services to mothers with young children. Their current Lease Agreement No. 10 is for October 1, 2016 through September 30, 2019.

The Madera County Workforce Investment Corporation (MCWIC) has co-located at the Chowchilla FRC since 2012 to offer activities to increase employment, improve the quality of the workforce, reduce welfare dependency, increase economic self-sufficiency, and enhance the productivity and competitiveness of Madera County. Their current Lease Agreement expired on July 31st, 2017.

DISCUSSION: The purpose of this item is for your Commission to consider the following: Madera Family Resource Center

MADERA COUNTY CHILDREN AND FAMILIES COMMISSION FACILITY USE AGREEMENT NO. 19

THIS AGREEMENT is executed this ______ day of _______________, 2017 by and between the Madera County Children and families Commission – First 5 Madera County (hereinafter referred to as FIRST 5) duly established pursuant to the Children and Families Act of 1998, and on behalf of the California Health Collaborative (hereinafter referred to as CO-LOCATOR).

RECITAL

1. FIRST 5 has received funds under Proposition 10 to enhance and improve early childhood development within Madera County.

2. FIRST 5 has adopted a Strategic Plan to implement services and programs to achieve the intent

of Proposition 10, and 3. The Strategic Plan provides for a process under which FIRST 5 shall establish a network of

Family Resource Centers (FRCs) to create a pronounced 0-5 presence that eases access, offers enhanced supports and promotes service integration for Madera County’s children and families to be facilitated through centralized services achieved by cooperative co-location arrangements, and

4. CO-LOCATOR meets FIRST 5’s defined criteria for the co-location of services to support the

furtherance of FIRST 5’s goals and objectives towards enhancing factors that influence optimal child development in Madera County, and

5. CO-LOCATOR is qualified and capable of providing specified services for the community,

families and young children.

AGREEMENTS

NOW, THEREFORE, it is mutually agreed by the parties:

A. PURPOSE CO-LOCATOR desires to occupy and use certain real and personal property (“facilities”) located at 525 E. Yosemite Avenue, Madera, California, which is leased/purchased by FIRST 5. FIRST 5 agrees to permit CO-LOCATOR to use the facilities subject to the terms and conditions set forth herein.

B. TERM

The term of this agreement shall be for a period commencing on October 1 of 2017, and ending on the June 30 of 2019, for a total of twenty (20) months.

C. FACILITIES:

The facilities to be rented shall include: a. One (1) enclosed office fully equipped with office furniture (i.e., desk, chair and

computer) b. One (1) cubicle fully equipped with office furniture (i.e., desk, chair and computer) c. FIRST 5 shall provide telephone line(s) and telephone(s), with internet and email

access.

1. Amend Lease Agreement No. 10 with the Public Health Department – WIC Program: Reduce monthly lease amount of $2,848.04 to $1,971.20 effective July 1, 2017 through September 30, 2019 for a total of 27 months. All terms and conditions remain the same.

2. Renew Lease Agreement No. 18 with Madera County Workforce Investment (MCWIC) retroactive August 1, 2017 through July 31, 2019 for a total of 24 months. Due to budget constraints, MCWIC cannot provide monetary rent fees at this time, however will provide in-kind donation (computer lab use to staff and First 5 parents). All terms and conditions remain the same.

Drafts of the Lease Agreements are attached for your review. The final drafts are being embedded through legal counsel and will be in effect once signed by all parties.

All services provided by these agencies have proven to bring in new families to the FRCs and at the same time, FRC families have immediate access to these services.

FISCAL IMPACT

If approve, the Madera FRC will yield a revenue total of $29,125.00 for the 21 months (1 year 9 mos.). The Chowchilla FRC will yield a total revenue of $53,222.00 for the 27 months (2 years and 3 mos.).

d. The parties agree that the maximum fair market value of each office with all the amenities listed above, will not exceed $2,700.00 and that any damage to the facilities shall be compensated at the fair market value of the equipment in its condition immediately prior to the damage.

D. PERMITTED USE CO-LOCATOR shall use the facilities for activities related to the California Health Collaborative-Nurture to Nurture Program. FIRST 5 agrees to allow CO-LOCATOR the sole and uninterrupted use of the facilities described herein, and reasonable use of the common areas as described below. CO-LOCATOR will implement the Nurture to Nurture Program at the FRC consistent with the terms and conditions set forth in the Memorandum of Understanding (Attached herewith as “Attachment A”) and Program Description (Attached herewith as “Attachment B”).

E. ACCESS

CO-LOCATOR shall have unlimited access to the facility to perform general administrative responsibilities. and shall receive a key and a unique security code for the electronic entry system. The exclusive use of any area (i.e., conference room, training rooms, children’s room, etc.) must be requested in writing at least 20 days prior. Further, it is a requirement that an FRC staff be on duty any time the facility is open for public events or gatherings. The FRC is generally fully staffed from 8:00 a.m. to 5:00 p.m., Monday through Friday. If CO-LOCATOR wishes to host a public event/gathering at the facility outside of regularly scheduled hours, CO-LOCATOR shall make such request in writing at least 20 days prior.

F. COMMON AREAS

CO-LOCATOR shall have access to all common areas of the facilities including, but not limited to, conference rooms, training rooms, kitchen area, break room, lobby area, Children’s room, Parent’s library/Resource room and Copy room unless otherwise reserved through formal reservations.

G. FIXED FEE CO-LOCATOR agrees to pay a fee of $$1,456.25 per month for use of one (1) enclosed office space and one (1) cubicle office space plus the use of facilities, furniture and equipment, payable to FIRST 5 Madera County. The $1,456.25 monthly fee includes the following charges:

It is agreed that CO-LOCATOR and FIRST 5 will review this $1,456.25 monthly fee annually. CO-LOCATOR be billed by “FIRST 5” on a quarterly basis.

H. FEES FOR SERVICES CO-LOCATOR shall have access to a photo copier and telephone service, all of which will be provided by First 5. These services are not included in the minimum monthly rent set forth above and CO-LOCATOR shall reimburse FIRST 5 for the use of these services at the following rates: Photocopier $ 0.05 per page Telephone Services $20.00 (local) per phone/per month Long Distance Phone $as billed by long distance carrier CO-LOCATOR shall have access to fax machines at no additional charge. CO-LOCATOR acknowledges and agrees that FIRST 5 shall have no liability whatsoever to CO-LOCATOR for damages and/or losses suffered as a result of the failure of services provided by FIRST 5 including, but not limited to, failed fax transmittal, documents damaged and/or destroyed by the photocopier, etc.

I. DISCRIMINATION CO-LOCATOR will serve its target population in an environment that is free of discrimination and sensitive to differences of people and work towards the common goal of children being ready to enter elementary school as healthy and active learners, including sensitivity to differences of gender, race, ethnicity, class, age, physical ability, sexual orientation or other life experiences.

J. CONFIDENTIALITY

CO-LOCATOR shall comply with all Federal, State, and County laws related to the confidentiality of information. CO-LOCATOR shall not publish, disclose, use, or permit or cause to be published, disclosed, or used confidential information pertaining to an individual or recipient without their express written permission. For HIPPA compliance purposes, CO-LOCATOR shall be considered a Business Associate of First 5.

K. MAINTENANCE

FIRST 5 shall provide ordinary maintenance, lighting, and janitorial services to the facility. Further, FIRST 5 shall facilitate all facility improvements to the building and/or the premises due to any damages or destruction due to fire, the elements, acts of God, or other causes not the fault of CO-LOCATORS or any persons in or about the premises with the expressed or implied consent of CO-LOCATOR, the rent payable by CO-LOCATOR pursuant to this Lease shall be abated to the extent such damage or destruction renders premises uninhabitable by CO-LOCATOR until the necessary repairs are made. Provided, however, that, should the cost of repairing or restoring any buildings or improvements so damaged or destroyed exceed fifty (50) percent

of the replacement value of all buildings and improvements now located on the property, First 5 may, at its option, depending upon the actions of FIRST 5 landlord, either cancel this lease and return any unearned rent previously paid under this lease by CO-LOCATOR or continue this lease and abate the rent as set forth in this section until such time as the necessary repairs to the premises have been made. CO-LOCATOR shall be responsible for the cleaning and maintenance of that portion of the property which is leased and/or used exclusively by CO-LOCATOR. Notwithstanding anything in the preceding sentence in the contrary, CO-LOCATOR agrees that it shall also be solely responsible for cleaning all common areas after each event or other use of said areas by CO-LOCATOR. It is the responsibility of CO-LOCATOR to report any damage relevant space or equipment shall be reported to FRC staff immediately to facilitate timely repair for others to use.

L. DAMAGES CO-LOCATOR agrees to reimburse FIRST 5 for damage sustained to the facilities other than ordinary wear and tear, to include building, furniture, equipment, or supplies, if such damage is caused by the agents, officers, members, clients, and/or employees of the CO-LOCATOR.

M. ENTRY BY LANDLORD CO-LOCATOR shall permit FIRST 5 and FIRST 5’s agents to enter onto and upon the premises without notice in the case of an emergency. Otherwise, FIRST 5 will provide CO-LOCATOR with twenty-four (24) hours advanced notice prior to entry for the purposes of inspection, compliance with the terms of this lease, exercise of all rights under this lease, and for posting notices. Such entry shall not impair the operation of the CO-LOCATORS business.

N. INDEMNIFICATION FIRST 5 will defend, indemnify, and hold harmless CO-LOCATOR, its agents, officers and employees, against all suits and claims that may be based on injury to persons or property that is the result of an error, omission, or negligent act of FIRST 5 and its officers, agents, or employees in the performance of this contract. CO-LOCATOR will defend, indemnify, and hold harmless FIRST 5, its agents, officers and employees, against all suits and claims that may be based on injury to persons or property that is the result of an error, omission, or negligent act of CO-LOCATOR and its officers, agents, or employees in the performance of this contract.

O. INSURANCE

C0-LOCATOR shall, at its own cost and expense, procure and maintain during entire Term of this lease public liability insurance and property damage insurance issued by an insurance company acceptable to FIRST 5 and insuring FIRST 5 against loss or liability caused by or connected with CO-LOCATORs occupation and use of the premises under this lease in amounts not less than:

(a) $500,000.00 for injury to or death of one person and, subject to that limitation for the injury or death of one persons, of not less than $1,000,000.00 for injury to or death of two or more persons as a result of any one accident or incident.

(b) $500,000.00 for damage to or destruction of any property of others. (c) Worker’s Compensation Insurance as required by law.

The insurance required under this section shall be insured by a responsible insurance company or companies authorized to do business in California and shall be in a form reasonably satisfactory to FIRST 5. CO-LOCATOR shall, prior to going into possession of the premises, deposit with FIRST 5 a certificate sowing that insurance to be in full force and effect.

FIRST 5 shall be named as an additional insured on said insurance policies, and CO-LOCATOR shall provide FIRST 5 with an endorsement which shall provide that such insurance shall not be canceled except after ten (10) days prior notice in writing to FIRST 5.

P. MISCELLANEOUS

The undersigned hereby acknowledges that he/she has read and fully understands the terms. The person signing for each party represents that he/she has the full authority to act for the entity on whose behalf this agreement is signed.

Q. CONTINGENT UPON APPROVAL The parties recognize that the effectiveness of this agreement is contingent upon approval by the FIRST 5 Governing Commission. This agreement will be presented to the Madera County Children and Families Commission to be ratified at a lawfully called meeting.

R. OTHER DOCUMENTS All parties agree to cooperate fully in the execution of any additional documents that may be necessary to finalize this agreement.

S. EXECUTION BY FACSIMILE OR IN COUNTERPARTS This agreement may be executed in counterparts such that the signatures may appear on separate signature pages. A copy or an original, with all signatures appended together, shall be deemed a fully executed agreement. A facsimile version of any party’s signature shall be deemed an original signature.

T. NOTICES

Any notice to be given to either party by the other party shall be in writing and shall be served either personally or by the US Postal services to the following addresses: FIRST 5 First 5 Madera County 525 E. U. SEVERABILITY If any provision of this agreement is held to be void, or unenforceable, the remaining portions of the agreement shall remain in full force and effect.

V. TERMINATION

FIRST 5 and/or CO-LOCATOR may, by written notice to the other party, terminate this lease in whole or in part at any time, whether for FIRST 5’s convenience or because of the failure of CO-LOCATOR to fulfill the obligations herein. Upon receipt of notice, CO-LOCATOR shall discontinue all effected programs and evacuate premises in no more than 30 days.

W. INTERPRETATION The language of all parts of this agreement shall, in all cases, be construed as a whole, according to its fair meaning, and not strictly for or against either party.

d. The parties agree that the maximum fair market value of each office with all the amenities listed above, will not exceed $1,400.00 and that any damage to the facilities shall be compensated at the fair market value of the equipment in its condition immediately prior to the damage.

D. PERMITTED USE CO-LOCATOR shall use the facilities for activities related to the Workforce Innovation and Opportunity program. FIRST 5 agrees to allow CO-LOCATOR the sole and uninterrupted use of the facilities described herein, and reasonable use of the common areas as described below. CO-LOCATOR will implement the Workforce Innovation and Opportunity Act program at the FRC consistent with the terms and conditions set forth in the Memorandum of Understanding (Attached herewith as “Attachment A”) and Program Description (Attached herewith as “Attachment B”).

E. ACCESS

CO-LOCATOR shall have unlimited access to the facility to perform general administrative responsibilities and shall receive a key and a unique security code for the electronic entry system. All other uses (i.e., use of conference room, children’s room, etc.) must be requested in writing at least 20 days prior. Further, it is a requirement that an FRC staff be on duty any time the facility is open for public events or gatherings. The FRC is generally fully staff from 8:00 a.m. to 5:00 p.m., Monday through Friday. If CO-LOCATOR wishes to host a public event/gathering at the facility outside of regularly scheduled hours, CO-LOCATOR shall make such request in writing at least 20 days prior.

F. COMMON AREAS

CO-LOCATOR shall have access to all common areas of the facilities including, but not limited to, conference rooms, training rooms, kitchen area, break room, lobby area, Children’s room, Parent’s library/Resource room and Copy room.

G. FIXED FEE CO-LOCATOR agrees to pay a fee of $___0.00____ per month for use of an office workstation plus use facilities, furniture and equipment, payable to FIRST 5 Madera County. The $___0.00________monthly fee includes the following charges:

H. FEES FOR SERVICES CO-LOCATOR shall have access to a photo copier and telephone service, all of which will be provided by First 5. These services are not included in the minimum monthly rent set forth above and CO-LOCATOR shall reimburse FIRST 5 for the use of these services at the following rates: Photocopier $0.05 per page Telephone Services $20.00 (local) per phone/per month as billed by long distance carrier CO-LOCATOR shall have access to fax machines at no additional charge. CO-LOCATOR acknowledges and agrees that FIRST 5 shall have no liability whatsoever to CO-LOCATOR for damages and/or losses suffered as a result of the failure of services provided by FIRST 5 including, but not limited to, failed fax transmittal, documents damaged and/or destroyed by the photocopier, etc.

H. DISCRIMINATION CO-LOCATOR will serve its target population in an environment that is free of discrimination and sensitive to differences of people and work towards the common goal of children being ready to enter elementary school as healthy and active learners, including sensitivity to differences of gender, race, ethnicity, class, age, physical ability, sexual orientation or other life experiences.

I. CONFIDENTIALITY

CO-LOCATOR shall comply with all Federal, State, and County laws related to the confidentiality of information. CO-LOCATOR shall not publish, disclose, use, or permit or cause to be published, disclosed, or used confidential information pertaining to an individual or recipient without their express written permission. For HIPPA compliance purposes, CO-LOCATOR shall be considered a Business Associate of First 5.

J. MAINTENANCE

FIRST 5 shall provide ordinary maintenance, lighting, and janitorial services to the facility. Further, FIRST 5 shall facilitate all facility improvements to the building and/or the premises due to any damages or destruction due to fire, the elements, acts of God, or other causes not the fault of CO-LOCATORS or any persons in or about the premises with the expressed or implied consent of CO-LOCATOR, the rent payable by CO-LOCATOR pursuant to this Lease shall be abated to the extent such damage or destruction renders premises uninhabitable by CO-LOCATOR until the necessary repairs are made. Provided, however, that, should the cost of repairing or restoring any buildings or improvements so damaged or destroyed exceed fifty (50) percent of the replacement value of all buildings and improvements now located on the property, First 5 may, at its option, depending upon the actions of FIRST 5 landlord, either cancel this lease and return any unearned rent previously paid under this lease by CO-LOCATOR or continue this lease and abate the rent as set forth in this section until such time as the necessary repairs to the premises have been made. CO-LOCATOR shall be responsible for the cleaning and maintenance of that portion of the property which is leased and/or used exclusively by CO-LOCATOR. Notwithstanding anything in the preceding sentence in the contrary, CO-LOCATOR agrees that it shall also be solely responsible for cleaning all common areas after each event or other use of said areas by CO-LOCATOR. It is the responsibility of CO-LOCATOR to report any damage relevant space or equipment shall be reported to FRC staff immediately to facilitate timely repair for others to use.

K. DAMAGES CO-LOCATOR agrees to reimburse FIRST 5 for damage sustained to the facilities other than ordinary wear and tear, to include building, furniture, equipment, or supplies, if such damage is caused by the agents, officers, members, clients, and/or employees of the PARTNER.

L. ENTRY BY LANDLORD CO-LOCATOR shall permit FIRST 5 and FIRST 5’s agents to enter onto and upon the premises without notice in the case of an emergency. Otherwise, FIRST 5 will provide CO-LOCATOR with twenty-four (24) hours advanced notice prior to entry for the purposes of inspection, compliance with the terms of this lease, exercise of all rights under this lease, and for posting notices. Such entry shall not impair the operation of the CO-LOCATORS business.

M. INDEMNIFICATION FIRST 5 will defend, indemnify, and hold harmless CO-LOCATOR, its agents, officers and employees, against all suits and claims that may be based on injury to persons or property that is the result of an error, omission, or negligent act of FIRST 5 and its officers, agents, or employees in the performance of this contract. CO-LOCATOR will defend, indemnify, and hold harmless FIRST 5, its agents, officers and employees, against all suits and claims that may be based on injury to persons or property that is the result of an error, omission, or negligent act of CO-LOCATOR and its officers, agents, or employees in the performance of this contract.

N. INSURANCE

C0-LOCATOR shall, at its own cost and expense, procure and maintain during entire Term of this lease public liability insurance and property damage insurance issued by an insurance company acceptable to FIRST 5 and insuring FIRST 5 against loss or liability caused by or connected with CO-LOCATORs occupation and use of the premises under this lease in amounts not less than:

(a) $500,000.00 for injury to or death of one person and, subject to that limitation for the injury or death of one persons, of not less than $1,000,000.00 for injury to or death of two or more persons as a result of any one accident or incident.

(b) $500,000.00 for damage to or destruction of any property of others. The insurance required under this section shall be insured by a responsible insurance company or companies authorized to do business in California and shall be in a form reasonably satisfactory to FIRST 5. CO-LOCATOR shall, prior to going into possession of the premises, deposit with FIRST 5 a certificate sowing that insurance to be in full force and effect. FIRST 5 shall be named as an additional insured on said insurance policies, and CO-LOCATOR shall provide FIRST 5 with an endorsement which shall provide that such insurance shall not be canceled except after ten (10) days prior notice in writing to FIRST 5.

O. MISCELLANEOUS

The undersigned hereby acknowledges that he/she has read and fully understands the terms. The person signing for each party represents that he/she has the full authority to act for the entity on whose behalf this agreement is signed.

P. CONTINGENT UPON APPROVAL

The parties recognize that the effectiveness of this agreement is contingent upon approval by the FIRST 5 Governing Commission. This agreement will be presented to the Madera County Children and Families Commission to be ratified at a lawfully called meeting.

Q. OTHER DOCUMENTS All parties agree to cooperate fully in the execution of any additional documents that may be necessary to finalize this agreement.

R. EXECUTION BY FACSIMILE OR IN COUNTERPARTS This agreement may be executed in counterparts such that the signatures may appear on separate signature pages. A copy or an original, with all signatures appended together, shall be deemed a fully executed agreement. A facsimile version of any party’s signature shall be deemed an original signature.

S. NOTICES

Any notice to be given to either party by the other party shall be in writing and shall be served either personally or by the US Postal services to the following addresses: FIRST 5 First 5 Madera County 525 E. T. SEVERABILITY If any provision of this agreement is held to be void, or unenforceable, the remaining portions of the agreement shall remain in full force and effect.

U. TERMINATION

FIRST 5 and/or CO-LOCATOR may, by written notice terminate this lease in whole or in part at any time, whether for FIRST 5’s convenience or because of the failure of CO-LOCATOR to fulfill the obligations herein. Upon receipt of notice, CO-LOCATOR shall discontinue all effected programs and evacuate premises in no more than 30 days.

V. INTERPRETATION The language of all parts of this agreement shall, in all cases, be construed as a whole, according top its fair meaning, and not strictly for or against either party.
