Public-Private Partnership in the PhilippinesThe 1987 Philippine Constitution explicitly acknowledges the critical role that the private sector plays in the development agenda of the country. In this context, the Philippine Public-Private Partnership (PPP) Program was forged as a flagship program for development under the Aquino Administration.

Its vision is to accelerate the country’s infrastructure development agenda that will contribute to the country’s goals of attaining inclusive growth for all Filipinos.

Guided by the principles of transparency, accountability, and good governance, the Program will engage the private sector as vital partners who can bankroll critical infrastructure projects that will deliver much needed services for its growing populace.

Under the hallmark of good governance, the Philippine government guarantees that the private sector will be able to do business in an environment that nurtures fair and transparent transactions. Government ensures that the interests of both the private sector and its citizens are balanced, where policies and procedures are continually enhanced.

The robust pipeline of PPP projects is a product of the government’s continuing efforts to deliver viable and well-structured proposals that will attract investors to bring their business to the Philippines.

The project involves the construction of a new world-class passenger terminal building in Mactan-Cebu International Airport (MCIA), with a capacity of about eight (8) million passengers per year; and the operation of the old and new facilities. The new terminal, including all related facilities, is proposed to separately cater to domestic and international operations.

LRT Line 1 Cavite Extension andOperation and Maintenance

The LRT Line 1 is the Philippines’ first Metro Light Rail Transit System. It currently serves an estimated 560,000 passengers daily. It has 22 stations connecting Roosevelt Station in Quezon City, Northeast of Metro Manila to the Baclaran station in Paranaque, South of Metro Manila. The extension of the current 11.7-kilometer LRT Line 1 to Bacoor, in the province of Cavite entails the construction of eight (8) new stations with provisions for two future stations. 10.5 kilometers of the new rail will be elevated and 1.2-kilometer will be at-grade.

Role of GovernmentThe Department of Transportation and Communications (DOTC) and the Light Rail Transit Authority (LRTA) will finance and procure 30 new four-car rolling stocks and construct a new satellite depot in Zapote. It will also expand the existing depot in Pasay to accommodate the larger fleet.

Investment Opportunity The private partner will be responsible for the Cavite extension and the operation and maintenance of the 32.4-kilometer stretch of Integrated LRT Line 1 system.

Economic BenefitsWhen completed, the extended LRT line 1 will capture a projected 820,000 passengers daily who will be commuting from Cavite to Manila. It will provide reliable access to and from the densely populated residential sub-urban communities south of Manila to the various strategic commercial, industrial, and educational districts in the Metro.

Integrated Transport System – Southwest Terminal

The Southwest Terminal of the Integrated Transport System (ITS) project will be constructed within a site areaof 2.9 hectares. It will connect passengers coming from the Cavite side to other transport systems such as the the future LRT Line 1 South Extension, city bus, taxi, and other public utility vehicles that are serving inner Metro Manila. The terminal will include a passenger terminal building, arrival and departure bays, public information systems, ticketing and baggage handling facilities, and park-ride facilities.

Economic BenefitsThe Integrated Transport System Project aims to provide a central transport terminal where all modes of transport will be available in one location. The Cavite-Laguna Expressway (CALAX) involves the financing, design and construction, operation and maintenance of the entire 4-lane, 47 km closed-system tolled expressway connecting CAVITEX and SLEX. The project will start from the CAVITEX in Kawit, Cavite and end at the SLEX-Mamplasan Interchange in Biñan, Laguna. The project will have interchanges in nine (9) locations, namely: Kawit, Daang Hari, Governor’s Drive, Aguinaldo Highway, Silang, Sta. Rosa-Tagaytay, Laguna Blvd., Technopark, and a Toll Barrier before SLEX.

Bulacan Bulk Water Supply

The Bulacan Bulk Water Supply Project (BBWSP) aims to develop water resources, conveyance, and water treatment facilities to meet the immediate and future demands for good quality water in the rapidly urbanizing province of Bulacan. It will help address the various challenges faced by provincial water service providers which include inadequate water supply, saline water intrusion, low water pressure due to the undersized distribution system, aging distribution pipelines, and inadequate storage volume.

Operation and Maintenance of the Laguindingan Airport

The Laguindingan Airport is positioned approximately 45 kilometers southwest of Cagayan de Oro City and approximately 65 kilometers from Iligan City. It currently serves as the main airport to the cities of Northern Mindanao like Iligan City, Cagayan De Oro, Misamis Oriental, and Lanao del Sur.

Investment Opportunity The project involves the operation and maintenance (O&M) of the Laguindingan Airport along with the development of associated infrastructure and facilities, and the installation of all required equipment to meet applicable international standards. Specifically, these include:

a. Expansion/construction of new passenger terminal(s), along with all associated infrastructure and facilities as per applicable standards;

b. Installation of all the required equipment and associated facilities as per applicable standards;

c. Provision of required works with respect to the existing terminal, along with all associated infrastructure and facilities as per applicable standards, to handle operations until the development of the new passenger terminal(s);

d. O&M of the passenger terminals (new and existing) during the entire concession period;

e. Enhancement/development of airside facilities to meet the enhanced scale of operations at the airport over the required duration; and

f. O&M of all enhanced airside facilities, including, among others, the apron, runway and taxiway.

Enhanced Operation and Maintenance of the New Bohol (Panglao) Airport

The Enhanced Operation and Maintenance of the New Bohol (Panglao) Airport Project is a greenfield venture that will replace the existing Tagbilaran Airport located in the Province of Bohol in Central Visayas. Under a PPP arrangement, the private sector will undertake the airport’s operation, maintenance, and its commercial management to include future investments for capacity expansion. The technical and physical features of the new facility will allow for international flight operations and wide-body aircraft.

Role of GovernmentThe Department of Transportation and Communications (DOTC) in collaboration with the Japan International Cooperation Agency (JICA) will construct the New Bohol Airport facility.

Investment Opportunity The private partner will be required to commit its own capital investment to support airport development and undertake capacity expansion. This involves the addition of passenger terminal capacity (either combined or as a separate building, at the choice of the Concessionaire) and, if deemed necessary, a runway extension to serve larger aircrafts.

Economic BenefitsTourism is among the most significant economic activity of the Province of Bohol. Its beaches and resorts are popular tourist destinations at par with other Asian destinations. Once completed, the New Bohol airport will be able to accommodate a larger influx of tourists, providing a more convenient means of air transportation to and from Bohol. With the possibility of having both domestic and international flights simultaneously available in the near future, the Bohol airport can readily connect to the Mactan-Cebu International Airport, the gateway to the Central Philippines, which is less than two hours away.

Investment Opportunity The private sector shall be engaged to operate and maintain the existing 13.8 kilometer LRT Line 2 which runs from Recto Station in Manila to Santolan Station in Pasig, along Recto Avenue, Magsaysay Boulevard, and Marcos Highway. At the same time the private partner shall also be engaged in the O&M of the proposed 4 kilometer extension from Santolan in Pasig to Masinag Junction in Antipolo City.

Economic BenefitsIt aims to provide rapid and reliable access to and from the densely populated residential suburbs in the East of Manila. This will improve the mobility of people and goods in the area by providing faster and less costly transport. More specifically, the project is seen to stimulate economic development in the province of Rizal, which has been experiencing rapid urban development.

Davao Sasa Port

The development of the Davao Sasa Port in Davao involves the construction and modernization of its port infrastructure, including the new apron, linear quay, expansion of back-up areas, container yards, warehouses, and the installation of new equipment like ship-to-shore cranes and rubber-tyred gantry.

Investment OpportunityThe private partner will finance the construction and upgrading of the existing port infrastructure. They will also operate and maintain the improved port facility, allowing them to collect user fees for cargo and ancillary services.

Economic BenefitsThe development of the Davao Sasa Port into an international-standard container terminal is expected to significantly increase operational performance, reduce vessel waiting times, and attract direct calls of large foreign container vessels in turn reducing shipping costs for import/export cargos to and from Mindanao.

Operation and Maintenance of Puerto Princesa Airport

The Operation and Maintenance of Puerto Princesa Airport Project involves construction of a new landside facility on the northwestern side of the existing runway, upgrading of airside structures, and provision of new air navigational and traffic control equipment. Government will award the operation and maintenance of the Puerto Princesa Airport to the private proponent through the PPP scheme to improve the airport’s commercial and operational efficiency.

The project will be implemented by the Department of Transportation and Communications (DOTC) and the Civil Aviation Authority of the Philippines (CAAP).

Investment OpportunityThe private proponent shall undertake the operation and maintenance of the airport as well as provide additional facilities and other necessary improvements to enhance passenger safety, security, access, passenger and cargo movement efficiency, and operational efficiency.

Economic BenefitsPuerto Princesa is an important gateway to the Province of Palawan, a prime tourist destination of the Philippines with numerous unique natural sites, including UNESCO World Heritage sites such as the Tubbataha Reef and the Subterranean River Natural Park. Palawan is also home to Tabon Caves, which archeologists consider as the cradle of Philippine civilization. Palawan holds the distinction of being named best island destination in East and Southeast Asia by the National Geographic Traveler magazine and the 13th best island in the world having “incredibly beautiful natural seascapes and landscapes.”

With these incredible natural sites and wonders, tourism remains as Palawan’s major economic resource, with the said Palawan airport playing a key role in its development agenda.

Integrated Luzon Railway

The Integrated Luzon Railway Project aims to revitalize the entire length of the state-run Philippine National Railway (PNR). The new railway system is envisioned to run from Cagayan Valley to Sorsogon in Bicol. The project will cover the north network of PNR from Manila to San Fernando, La Union as well as the branch line from Tarlac to San Jose, Nueva Ecija, and a possible extension to Cagayan; and the south network from Manila to Legaspi City, including the branch line from Calamba to Batangas City, and a possible extension from Legazpi City to Sorsogon.

The project will be implemented by the Department of Transportation and Communications (DOTC).

Economic BenefitsThe project will upgrade and modernize the PNR Railway system under PPP in order to provide a safe, reliable, fast, and convenient rail transport system. It will facilitate the efficient transport of people, goods and services that will in turn boost economic activities in the regions the rail system traverses.

Mass Transit System Loop

With Metro Manila’s rapidly urbanizing cities, the Department of Transportation and Communications (DOTC) plans to implement a Mass Transit System Loop that will connect the fast-developing Bonifacio Global City, Makati Central Business District, and the Mall of Asia area in Pasay City. This project aims to improve inter-city linkage by providing a higher capacity public transportation system that would facilitate fast and convenient mobility of goods and services. The mass transit project also intends to address the high volume of vehicular traffic traversing in these major business districts of the Metro.

Prefeasibility studies identify that a rail-based transport system is needed to address traffic congestion and convenient travel. Given Metro Manila’s current infrastructure, it was also determined that the rail line of approximately 12 km will need to run mostly underground, making this the first subway in the country.

A detailed feasibility study is currently being undertaken to determine the viability of such a project for PPP. The project will be implemented by the DOTC.

Regional Prison Facilities for PPP

The Regional Prison Facilities of PPP Project is the first of its kind in the country. It aims to address the unfavorable jail conditions, faced by existing penal facilities such as the New Bilibid Prison (NBP) and the Correctional Institution for Women (CIW). The project will entail construction and maintenance of a state of the art prison facility in Fort Magsaysay, Nueva Ecija.

It has been identified as a key strategy for the successful implementation of an effective prison system rehabilitation program, which is consistent with the goal to establish and maintain a modern correctional organization.

The new facility is envisioned to accommodate 25,000 inmates, including staff housing and administrative buildings, areas for rehabilitation (sports, work and religious activity), and installed with high security equipment.

Investment OpportunityThe private partner will be responsible for the financing, detailed design and construction, and maintenance of the prison facility. A number of supporting accommodation and building-related services may be outsourced as part of the PPP agreement, such as laundry, waste treatment and disposal, sewage water treatment and power generation.

Economic BenefitsThe Department of Justice (DOJ) and the Bureau of Corrections (BuCor) envision to create a suitable prison facility that will provide adequate living spaces, facilities, and basic needs aimed to curb the occurrence of crimes while in custody. Likewise, it is aligned with BuCor’s mandate of safekeeping and rehabilitation of national prisoners and preparing them for eventual integration into mainstream society after they serve their sentence.

Central Luzon Link Expressway Phase II

The Central Luzon Link Expressway (CLEX) is a two-lane, 35.7-kilometer expressway and is an extension of CLEX Phase I, a 4-lane, 30.7-kilometer expressway with on-going construction through an Official Development Assistance. It will connect Cabanatuan City to San Jose City in Nueva Ecija Province.

Operation and Maintenance of Iloilo, Davao, and Bacolod AirportsThe Department of Transportation and Communications and the Civil Aviation Authority of the Philippines will partner with a private sector proponent under an appropriate PPP arrangement to undertake the operations and maintenance of the Iloilo, Davao, and Bacolod airports for a defined concession period. With the private sector at the helm of the airports’ business functions, customers can look forward to first-rate amenities and facilities that will improve customer amenities and provide additional facilities to boost the airports’ safety and operational efficiency.

The project will decongest the Iloilo, Davao, and Bacolod airports, which are currently operating over-capacity.

The Motor Vehicle Inspection System Project is intended to be the national network of Motor Vehicle Inspection Centers (MVICs) using automated inspection methods that will be linked to the information system of the Land Transportation Office.

Upgrading of the San Fernando Airport

The proposed Upgrading of the San Fernando Airport Project will entail the upgrading of the airport facilities to meet the International Civil Aviation Organization (ICAO) requirements to cater to larger aircrafts for international flights and safety standards. It will also involve the construction of an airport terminal with a mall complex.

Investment OpportunityThe upgrading of the airport will include development works such as removal of obstructions (e.g. hills, trees, transmission lines); expansion of existing and parking areas; and construction of a new terminal building, a new fire stub taxiway, and a new apron; among others.

Modernization of the National Center for Mental Health

Plaridel Bypass Toll Road

The Plaridel Bypass Road is a 24.61-kilometer road starting at the Balagtas interchange in North Luzon Expressway (NLEx) up to San Rafael, Bulacan. The road project traverses five Municipalities of Bulacan — Balagtas, Guiguinto, Plaridel, Bustos, and San Rafael.

The proposed Plaridel Bypass Toll Road Project involves conversion of the existing road into a toll roadway. The road will be expanded to 3.5 meters per lane with 2.50 meters shoulders and provisions for service roads if necessary. It also involves the construction of additional interchanges, flyovers, toll plazas, and other miscellaneous works.

More importantly, the project aims to address future traffic demand. Also, it is expected that motorists will gain economic savings from the project because travel time will be cut shorter.

The Batangas-Manila Natural Gas Pipeline Project-Phase I involves the construction of natural gas transmission and distribution pipeline facilities from the province of Batangas to transport and supply natural gas to Batangas, Laguna, and Cavite. Tri-Medical Complex

The Tri-Medical Complex involves the modernization and integration of the three medical centers proposed to be located at the Tayuman Compound of the Department of Health. This includes the Dr. Jose Fabella Memorial Hospital (maternity and childcare hospital); the Jose Reyes Memorial Medical Center (general hospital specializing in surgery and internal medicine); and the San Lazaro Hospital (infectious disease control hospital).

The project envisions to integrate support facilities and ancillary services for the three hospitals into common facilities in order to reduce unnecessary administrative and overhead costs. These services and facilities include diagnostic facilities (laboratory and radiology), pharmacy, cancer center, medical arts and parking building, training center, research center, ambulance/motorpool, medical gas piping system, morgue/autopsy/crematorium, security, linen and laundry, electric sub-station, and cistern/rain-water basin, among others.

R-7 Expressway

The R-7 Expressway Project is a 4-lane, 16.1-kilometer partially elevated and partially underground expressway that will connect Quezon City to Manila City through a high-speed transport facility. Construction will be done over one of the most heavily congested corridors in Metro Manila, namely Quezon Avenue and Don Mariano Marcos Avenue.

The project will be implemented by the Department of Public Works and Highways (DPWH).

Investment OpportunityThe ongoing study is looking into possible private sector participation in the financing, design, construction, operation, and maintenance of R-7.

Economic BenefitsThe project will decongest the traffic on at-grade road, thus contributing to shorter travel time and better transport network flow in Metro Manila, easing the transfer of goods and improving commuting conditions in Metro Manila.

NLEX East

The NLEX East Project is a 4-lane, 6.8-kilometer road that will run parallel to the Maharlika Highway (Pan Philippine Highway) starting off at La Mesa Parkway and/or junction of C-6 in San Jose del Monte, Bulacan passing through Norzagaray, Angat, San Ildefonso, San Miguel, Gapan, Sta. Rosa, and ending at Cabanatuan in Nueva Ecija. The project will be implemented in two phases. Bridges will also be constructed to cross the rivers of Angat, Panaranda, and Pampanga.

It will serve the growing areas of Bulacan and Nueva Ecija Provinces. The project starts at Don Mariano Marcos Avenue in Quezon City, traverses almost parallel to Daang Maharlika, serving the areas of San Miguel, Gapan, and Cabanatuan City.

The project will be implemented by the Department of Public Works and Highways (DPWH).

Investment OpportunityThe ongoing study is looking into possible private sector participation in the financing, design, construction, operation, and maintenance of the NLEX East.

Economic BenefitsThe project will form an important transport access in the eastern area of Region III. This will further spur economic development in said areas. Travellers will have an alternate route in going to and from Cabanautan City which connects to major roads leading to Regions II and Cordillera Administrative Region (CAR).

Construction of a new 4-kilometer, 4-lane toll road, from the junction of Daang Reyna and Daang Hari in Las Piñas/Bacoor, Cavite to South Luzon Expressway (SLEX) through the Susana Heights Interchange in Muntinlupa, traversing the New Bilibid Prison (NBP) Reservation.

The NAIA Expressway Project is a 4-lane, 7.75-kilometer elevated expressway and 2.22-kilometer at-grade feeder road that will provide access to NAIA Terminals I, II, and III, and link the Skyway and the Manila-Cavite Toll Expressway. It starts at the existing Skyway, then follows the existing road alignments over Sales Avenue, Andrews Avenue, Domestic Road, and NAIA Road, and has entry/exit ramps at Roxas Boulevard, Macapagal Boulevard, and PAGCOR City.

The Modernization of the Philippine Orthopedic Center (MPOC) Project involves the construction of a 700-bed capacity super-specialty tertiary orthopedic hospital to be located within the National Kidney and Transplant Institute (NKTI) Compound along East Avenue, Quezon City. The concessionaire will design, build, finance, operate, and maintain the facility until the end of the concession period, and then transfer the hospital to the Department of Health.

The Public-Private Partnership Center

By virtue of Executive Order No. 8, s. 2010, and as amended by Executive Order No. 136 signed last 28 May 2013, the Public-Private Partnership (PPP) Center functions as the main driver of the PPP Program. It serves as the central coordinating and monitoring agency for all PPP projects in the Philippines.

Together with the various implementing agencies (IAs), the Center champions the Program and enables them to undertake well-structured PPP projects by capacitating them in the vital areas of project preparation, implementation, and monitoring. The Center provides technical advisory services to these IAs as they go through the entire project cycle to ensure that projects are bankable, transparent, and advances public interest.

The Center also manages a funding mechanism known as the Project Development and Monitoring Facility (PDMF) that allows IAs access to world-class consulting firms who will be tasked to provide its expertise in pre-investment and investment requirements.

The Center also advocates policy reforms to improve the legal and regulatory frameworks governing the PPP Program in order to maximize the great potentials of these infrastructure and development projects in the country and to level the playing field among interested investors.

Policy InitiativesSince the launch of the PPP Program, the Government has been advocating measures to enhance the legal and policy environment for private sector participation and to enable a more systematized and faster implementation of the Program.

Amendments to the BOT Law-IRRWith the end view of having clearer and streamlined processes on PPP, the BOT Law-Implementing Rules and Regulations (BOT Law IRR) was amended. The revised IRR promotes an accelerated processing of PPP projects, with clearer transparency measures in the bidding and award of projects. It also puts in place various improvements on governance and accountability mechanisms. Guidelines on unsolicited proposals have also been improved.

E.O. No. 78: Rules in Arbitration and Dispute ResolutionExecutive Order No. 78 promotes the alternative dispute resolution as an efficient tool and an alternative procedure in achieving speedy and impartial justice and de-clogging court dockets. It provides a more inviting climate for private investments by making the resolution of disputes arising out of a contract less expensive, tedious, complex, and time-consuming.

Extension of the BSP Circular No. 779 on Single Borrower’s LimitBSP Circular No. 779 has been extended for three (3) years allowing a separate single borrower’s loan (SBL) limit of 25% of the net worth of the lending bank/quasi-bank for loans, credit accommodations for private proponents engaged in PPP projects.

E.O. No. 136: Amendments to E.O. No. 8Executive Order No. 136, issued by the President last May 28, 2013, amends E.O. No. 8 series of 2010 that provides for the creation of the PPP Governing Board and enhances the PDMF fund to support implementing agencies in the conduct of pre-investment studies, and project monitoring (i.e. hiring of independent consultants for monitoring). The PPP Governing Board is the overall policy-making body for all PPP-related matters, including the PDMF, and shall be responsible for setting the strategic direction for the PPP Program and creating an enabling policy and institutional environment for PPP.

Revised NEDA Joint Venture Guidelines for GOCCsThe Revised NEDA Joint Venture Guidelines prescribes the new rules, guidelines, and procedures forging Joint Venture Agreements between government corporations. It provides clear and detailed provisions on the approval of joint venture proposals, including possible forms of performance security that a government entity should require.

Other Policy InititivesThe following are the on-going policy advocacies being prioritized to improve the PPP Program:

» Amending the BOT Law into a PPP ActThe proposed amendments to the BOT Law seek to expand the coverage of RA 7718 or the BOT Law into a Public-Private Partnership Act, which includes Joint Venture as an additional PPP scheme. The Law also aims to provide improved guidelines on handling unsolicited proposals from interested private proponents, and facilitating the competitive challenge.

Who can invest?Regardless of nationality, anyone is encouraged to invest in the Philippines. With the liberalization of the foreign investment law, 100% foreign equity may be allowed in all areas of investment except those reserved for Filipinos by mandate of the Philippine Constitution and existing laws.

The EconomyAside from tourism, the economy of the Philippines is primarily composed of other industries such as agriculture industry, BPO, energy, mining, electronics, logistics, and shipbuilding, among others.

WorkforceThe country boasts a labor force that is trainable, skilled, technology savvy, English proficient, and highly competitive.

Telecommunications LandscapeUse of mobile phones and internet is widespread in the country. Cell sites are available all over the country to cater to some 80 million mobile phone users. Wireless fidelity connectivity is available in major shopping malls and coffee shops. Internet cafes with very affordable rentals are also abundant.

Transportation InfrastructureThere are about 10 international and 80 domestic airports in the country and more are being developed. There are Roll-On Roll-Off Ferry ports in major islands, allowing land travel from Luzon to Mindanao. Car rentals and taxis are widely available for convenience. Rail transits are available in Metro Manila.

Other preferred activities in the IPP list includes: agriculture/agribusiness and fishery; creative industries/knowledge-based services; shipbuilding; mass housing; energy; infrastructure; research and development; green projects; motor vehicles; tourism; strategic projects; and disaster prevention, mitigation, and recovery projects.
