ROLLING BOARD

Format: Visible subject area: 300 x 216 cm Total format incl. Mount frame: 314 x 231 cm

Placard design: The subject is to be placed in a 314 x 231 cm format. The text and the subject’s main elements are to be placed within a surface area, which allows unrestricted viewing with the dimensions 300 x 216 cm, since in a 7 cm frame the subject is partially concealed by a mount frame.

Printing: Placards printed in a single piece are to be printed with the dimensions 314 x 231 cm. Placards printed in 2 pieces are to be printed in the dimensions 231 x 157 cm. Crop marks are black if printed double-sided (on dark subjects they are white) and 2 cm in length on the placard’s reverse – in the case of single-sided printing in black (on dark subjects in white) on the placard front with a length of 2 cm.

Paper/Miscellaneous: The paper used shall be backlight paper with a grammage of at least 170g/m2 and maximum 200g/m2 Alternative materials (diff erent grammage or paper quality, foil-coated paper, foils or all types of textile fabrics) shall only be accepted if fi rst approved by Gewista. The materials used must adhere to t he eff ective Austrian laws and norms and must not contain any solvents or fragrances.

Delivery: Placards printed in one piece are to be delivered cut in the dimensions 317 x 234 cm. Placards printed in 2 pieces are to be delivered cut in the dimensions 234 x 160.5 cm. On delivery of the placards, they must be placed face down and fl at on the pallets, arranged by halves and lined up in the same direction, with the left half on top of the right half. Cardboard will be used as an insert between the right and left parts and wood panels will be used between the pallets. Delivery: 10 working days prior to display/start date.

GENERAL 1. The “General Business Terms and Conditions” consti-tute an integral part of all agreements made between the client and GEWISTA. By placing an order, the client has acknowledged and accepted the “General Business Terms and Conditions.”

ORDER CONFIRMATION 2. Only written orders will be accepted. Acceptance or decline will take place in written form. Order modifi ca-tions require written notice. GEWISTA reserves the right to decline orders without being required to provide any specifi c reasons.

EVALUATION OF THE ADVERTISING SPACE 3. The Media placard, City Light, and Rolling Board cam-paigns were evaluated in accordance with performance parameters defi ned by the Outdoor Server Austria (OSA). The measured performance index represents the expected performance of GEWISTA, measured in the amount of contacts made. These form the basis for the calculation of costs. By confi rming an order, GE-WISTA guarantees that confi rmed number contacts will be made and confi rms the costs incurred in doing this. However, the exact, eff ective quantities may vary.

LIABILITY AND CONSEQUENTIAL DAMAGES 4. GEWISTA will ensure the proper and timely completi-on of the commissioned announcements in accordance with the display calendar and the order confi rmation. Compensation claims and notices of defects can only be made during the period of display. GEWISTA will not assume any liability in the case of acts of nature such as natural disasters, extreme weather conditions such as periods of strong winds, extreme cold and rainfall. If, due to the above circumstances, delivery is impossible or unfeasible, GEWISTA is released from its obligations while retaining an entitlement to compensation. In this case, the client cannot claim any damages. GEWISTA will inform the client of such circumstances within an appropriate time frame. The assertion of claims for da-mages is excluded, except in the case of intentional or grossly negligent actions by GEWISTA. This is especially true for the costs incurred for producing the placards. Liability in relation to the success of specifi c advertise-ments is excluded.

DURATION OF OPERATION 5. After fulfi lling the order, GEWISTA is not responsible for the continuous functionality and visibility of the objects that display the announcements. GEWISTA will not replace announcements if they are damaged or not exchanged in due time. Temporary limitations or distur-bances of any kind and reason do not impact the an-nouncement order and do not grant the client the right to request a reimbursement of the announcement fee or other compensation or indemnity.

PLACARD PLACEMENT 6. In order to achieve a better usage of advertising areas and optimise the location quality, GEWISTA is allowed to change locations and to relocate installations. Pla-card relocation must not, however, lead to a decrease in the confi rmed contacts. Exceptions are if the reloca-tion is due to concrete issues, such as the dismantling or alteration of the advertising area, short-term limited visibility, etc. In this case, only the successfully fulfi lled contact quantities will be charged.

REPLACEMENT PLACARDS 7. The client should provide GEWISTA with any placards that need to be mounted, maintained, and relocated. GEWISTA is not responsible for the incomplete posting of placards due to any shortage of placards.

RUNTIME AND DISPLAY DURATION 8. The execution of placard posting on a specifi c day cannot be guaranteed. Each placard posting order will be executed on the current display calendar date as specifi ed by GEWISTA. This is conditional upon the pla-cards, including a 15% deliverance, being delivered in a timely manner and in accordance with the delivery date set on the display calendar. Upon timely delivery, GE-WISTA guarantees that all booked placards will remain posted for the duration of the agreed display duration. The pasting of the placards will be performed exclusi-vely by GEWISTA employees or its contractors.

COLOUR-SCHEME CHANGES 9. No liability is assumed for changes to advertising re-sources (placards or broadcasts) if placard colour chan-ges occur due to the use of certain print colours or due to the weather or other technical reasons.

OFFICIAL REGULATIONS 10. The client is solely responsible for the form and content of the placards and for compliance with offi cial regulations. GEWISTA is entitled to reject an already accepted contract if, at the time of order acceptance, GEWISTA was not yet aware of the form and content of the announcement, and if these would go against com-mon decency, offi cial regulations, etc. The same is true if GEWISTA has presented the advertising resources to the Advertisement Counsel, which, within 48 hours of re-ceipt, has deemed the placard posting objectionable or has informally recommended that the announcement or broadcast should not be posted. In the case that GE-WISTA rejects an order on this basis, the client has the right to a reimbursement up to four calendar weeks prior to the start of the placard pasting in accordance to Pt. 27 and the therein defi ned legal consequences; after that the client is required to pay the full fee. The option to deliver a replacement placard in accordance with the

display calendar terms as per Pt. 14 or as per the agreed delivery deadlines remains unaff ected.

PLACARD CONFISCATION 11. In case of placard confi scation, regardless of the reason, the client has to pay the entire placard posting fee, including all fees for the removal or pasting over the confi scated placards.

REJECTION BY OFFICIAL AUTHORITIES 12. In the event that the posting or the continuance of the announcement is rejected or discontinued by the relevant authorities or by the owner of the property, or in case GEWISTA’s right of disposal or the display property cease to exist, the respective agreement will be considered null and void. The client has no claim to compensation in this case. However, in the event that a portion of the announcement fee was paid in advance, that portion of the fee will be reimbursed – unless the placard was confi scated.

COMPETITIVE EXCLUSION 13 Competitive exclusion cannot be guaranteed.

PLACARD DELIVERY 14. The delivery of the agreed upon number of placards and replacement placards (15% of the volume of the order) shall be made 10 working days before the start of the posting period/start day. Delivery will be made by GEWISTA logistics, with duty paid, with placards laid fl at, and for larger amounts, laid on pallets. If delivery is de-layed, the entire running time will be calculated. Should this be the case, a timely and complete fulfi lment of the contract cannot be guaranteed. The resulting delay in mounting will not result in an extension of the running time.

ELECTIONS AND REFERENDA 15. If absolutely necessary, GEWISTA reserves the right to reduce or cancel received orders in the event of elections (local government, state parliament, national parliament, etc.) as well as referenda or similar events. Under such circumstances, no compensation claims can be made by the client.

SPECIAL CHARGES 16. The client will be liable for charges incurred for spe-cial services, e.g. packing material, customs, shipping cost, the pasting of tape, placard posting outside the regular posting route, the return of unused placards.

TRANSFER OF ADVERTISING SURFACES 17. The subletting or transfer of reserved advertising surfaces to third parties is not permitted.

COLLECTIVE PLACARDS 18. For collective placards (placards which advertise for several companies’ products, brands, or services), an ex-tra charge of up to 200% may be added.

PLACARD FORMATS 19. For placards larger than the “16/1 sheet format”, a posting sketch is required to ensure an exact execution of the contract. Placard formats that do not correspond to the measurements or “O” norms or to the actual or-der, will require additional pasting and paper costs. The following are considered „O” norm A 1001 placard for-mats: 1/1 sheet 84 x 59.5cm, 2/1 sheet 119 x 84cm, 4/1 sheet 168 x 119cm, 8/1 sheet 238 x 168cm, 16/1 sheet 238 x 336cm, 24/1 sheet 238 x 504cm, 48/1 sheet 238 x 1.008cm special formats depending on agreement.

ADDITIONAL FEES FOR SPECIAL FORMATS 20. For placards larger than 8/1 sheet with components smaller than 2/1 sheet or requiring special pasting, a 20% additional fee will be charged. Vertical format placards delivered in a horizontal format or vice versa cannot generally be affi xed due to arrangement issues. Settlement for the ordered placards will, however, be undertaken as per order.

PAPER QUALITY 21. All placard orders are fi lled with standard paper quality placard paper that is wood-free, smooth on one side, weighing minimum 100 and maximum 115g/m2. For transparent placard paper, extra fees will be charged for padding paper and additional pasting costs.

UNUSED PLACARDS 22. Unused placards, unless otherwise agreed upon in writing, will become GEWISTA property.

SURVEYS FOR ADVERTISING EXPENDITURE 23. GEWISTA has the right to share the number of the client‘s displayed placards, as well as their format and booked contacts according to OSA with relevant insti-tutions that survey advertising expenditure for classic media. The exclusive purpose of this is for collecting information on advertising expenditure.

DATA PROTECTION24. Client data relating to the business relationship between the client and GEWISTA (such as title, name, address), will be recorded in order to track client in-formation, provide informational material and for ac-counting purposes. The sharing of the aforementioned data will take place solely in the context of the payment transactions. All other data sharing requires separate permission from the client. The client’s personal data will be used and shared only if legally permissible.

FEES 25. The fees that are valid at the time of contract com-pletion are applicable for calculation purposes. Fees are subject to change. All fees exclude sales taxes and advertisement taxes and will be paid in advance, net

without any discount. Only payments made directly to GEWISTA will be accepted.

TERMS OF PAYMENT 26. GEWISTA reserves the right to require full 100 % advance payment for fi rst-time orders placed by new clients; payment will be due when the order is placed. Interest fees will be charged for payment delays or de-ferrals. If the terms of payment are not met, GEWISTA reserves the right to not execute the contract and to re-move or paste over the advert after granting a grace pe-riod of three days without further notice, in which case the fees for the service are due immediately. Should the payment be delayed, the client is obliged to reimburse GEWISTA for incurred damages, especially for the coll-ection of incurred costs to be settled out of court. GE-WISTA reserves the right to not execute the contract or to remove or paste over the placard, if insolvency pro-ceedings are opened in relation to the client’s assets or if a petition to open such proceedings is fi led due to lack of funds. In this case the fees for the service, if rendered, are due immediately.

CANCELLATION CONDITIONS 27. Orders may be cancelled up to 10 weeks before the start date specifi ed in the order confi rmation. Should orders be cancelled between the 10th and 8th week prior to the start date, a cancellation fee of 10% will be charged; between weeks 7 and 5 prior to the start date, a cancellation fee of 20% will be charged, between weeks 4 and 3 prior to the start date, a cancellation fee of 40% will be charged; in case orders are cancelled star-ting the 2nd week prior to the start date a cancellation fee of 100% of the gross contractual sum minus adver-tisement taxes will be charged. This also applies to the individual parts in partial cancellations. The cancellation fee is to be credited if, depending on availability, the contract is to be executed within the same parameters and on the same terms within 4 months (and within the same calendar year as the original contract). The cancellation is to be submitted in writing. Its timeliness is dependent on the date that GEWISTA receives the written notifi cation. The cancel-lation can be submitted by mail, fax, or e-mail. If the contract is placed within 4 weeks prior to the scheduled start of the pasting, orders can be cancelled without a cancellation fee within 48 hours from when they were placed. A cancellation after this time period will incur a 40 % cancellation fee; for orders starting the 2nd week prior to the start date will incur a 100% fee. Production costs that already have been incurred are to be paid in full in all circumstances.

CHARGING OF CONTRACT FEE 28. The client is liable for contract fee charges in the event they are required by law.

PLACE OF DELIVERY 29. The GEWISTA headquarters are the place of delivery and legal venue of both parties.

CITY LIGHT SPECIFICS 30. The placard dimensions are 118.5 x 175cm (in one piece, vertical format). The unrestricted visibility mea-sures 115 x 171cm (vertical format). Delivery will be made fl at on a pallet (not folded) and in one piece. The standard paper quality for City Light placards is coated off set paper, white, fl at, wood-free, translucent with a grammage of at least 120g to maximum 140g/m2. For smaller amounts up to 20 pieces, fi lm screens (large slides) can be used if they are the same size. Delivery will occur 10 days prior to the display/start date. The display duration will be one week. The runtime always commences on a Thursday.

ROLLING BOARD SPECIFICS31. Rolling Board (RLB) is a glazed and backlit adverti-sing surface equipped with a switch technology able to display multiple layouts. The same GEWISTA terms of agreement apply to RLB with the specifi cs listed below.32. Placard design and production: The subject is to be laid out in the 3.140 x 2.310mm format. Texts and the subject’s main elements are to be placed in the unrestricted fi eld of view of 3.000 x 2.160mm, since in a 70mm frame the subject is partially concealed by a mount. The standard RLB placard paper quality is de-fi ned by GEWISTA as 170 -200 g/m2. The printing of materials used (paper, colour) must be in accordance to the Austrian legal guidelines.

33. Placards printed in one piece are to be delivered cut to the dimensions 3,170 x 2,340mm. Placards printed in two pieces are to be delivered cut to the dimensions 2,340 x 1,605mm. Placards must be delivered fl at and face down on a pallets in halves and all facing the same direction with the left half of the placard on top of the right. Cardboard will be used as an insert between the right and left parts and wood panels will be used bet-ween the pallets. Date of delivery: 10 days prior to the start of the display In case this day is a holiday, 14 days prior to the start of the display.

34. The display duration will be a minimum of one week. The run time will start, depending on network, on Mon-day, Tuesday or Wednesday.

SPECIAL PROVISIONS FOR DIGITAL MEDIA 35. The broadcast of advertising resources will be made via digital screens in an aspect ratio of 9:16 (portrait format). The start date may be on any day. You can fi nd information about the delivery of data materials as well as the mandatory technical requirements for the adver-tising resources in the price list or in the data sheet that is provided with the order confi rmation.

36. The advertising concept developed by Gewista on behalf of the client for the Digital Media advertising

spot as well as the e.g. computerised implementation of an advertising concept are protected works. The client reserves the right on payment of a usage fee for each individual case, following written agreement, to use these works for an advertising spot using a diff erent type of media, as long as this medium does not lie in direct competition with Gewista.

SPECIAL PROVISIONS FOR PERMANENT ADVERTISE-MENTS AND TRANSPORT MEDIA

37. Only removable and covering certifi ed foils by 3M are allowed as base for your advertisements. The usage of adhesive lettering is prohibited. The usage of day-light luminous paints and refl ective paints is prohibited. Any similarity to information boards and traffi c signage is prohibited.

38. Warranty Flaws, especially with regards to missing promotional signs, must be immediately reported by the client. No warranty claims can be made prior to the receipt of a written notice. Warranty rights are excluded if they result from seasonal or temporary interference with the advertisement due to building alterations or similar third party activities.

39. The client bears all costs for the maintenance (e.g. cleaning or renewal) and restoration in the case of da-mage or theft, etc. of the objects.

40. Installation work (affi xing and removal) onto our objects will be performed without exception by GEWIS-TA representatives. The client is liable for all damages caused by the advertising object in the case of other installations, which have not been performed by GE-WISTA.

41. Termination/ Change of Business Terms: The ter-mination or transfer of the business does not result in the premature conclusion of the contract and does not impact the client‘s obligation to pay.

42. After the contract expires, the objects will be retur-ned to their original state. The client will be liable for expenses thus incurred.

43. In the case of advertisements on means of trans-portation, requests for specifi c routes will be taken into consideration where possible. For logistical reasons, the vehicle operators cannot guarantee the continuous operation of vehicles on the requested routes.

44. An outage rate of 10% applies to means of transport advertisement.

TRANSPORT MEDIA CANCELLATION TERMS 45. See GEWISTA Advertising Agency Ltd General Terms of Agreement pt. 27. of the general trading conditions of the GEWISTA advertising company Ltd. SPECIAL ADVERTISING FORMS SPECIFICS 46. Separate / additional terms of agreement are in place for special advertising forms. Data Protection47. Survey of advertising expenditure: GEWISTA has the right to share the number of the client‘s displayed pla-cards, as well as their format and booked contacts with relevant institutions that survey advertising expenditu-re for classic media. The exclusive purpose of this is for collecting information on advertising expenditure. The client acknowledges that data relating to the business relationship between the client and GEWISTA (such as title, company/name, address, branch, etc.), will be re-corded in order to track client information, provide in-formational material and for accounting purposes. The sharing of the aforementioned data will take place so-lely in the context of the payment transactions. All other data sharing requires separate permission from the cli-ent. Personal data is only used and released within the framework of the law. The client allows the future elec-tronic delivery of informational material (email, etc.). Usage of picture and data material: For the purpose of market communication and advertisement, GEWISTA generates photos and fi lms of your advertisement carri-ers. The client acknowledges that in this context, affi xed subjects as well as the data material made available (e.g. subjects or spots) will also be utilised.

The GEWISTA Advertisement Ltd. business terms and conditions are in accordance with the position of the professional commission for outdoor advertisement for the trade association for advertisement and market communication.
