Article 1.0 Definitions 1.1 “The Association” or “WKSA” means the World Kuk Sool Association, Inc. 1.2 “Kuk Sool Martial Arts” means martial arts, which are, in all respects, in accordance with the

system and rules of martial arts from time to time laid down by the Association. 1.3 “The Logo” means the logo, the subject of trademark registration being the same logo as shown

and described herein this document. 1.4 “The Trade Mark” means the trademark KUK SOOL WON™ (written in distinctive script), the

subject of local application. 1.5 “QAP” means “Quality Assurance Program” and states quality control guidelines as set forth by

the Association. 1.6 “Letter of Approval” means the individual named has been approved and authorized to teach the

martial art of Kuk Sool Won under the WKSA standards. 1.7 “Head Appointee” means the individual named as the head teacher of a WKSA School. 1.8 “License Agreement”. This is the official document that is granted by the WKSA to enable the

opening and operation of a Kuk Sool Won School. 1.9 “Licensor” is the WKSA, Inc. 1.10 “Licensee” is the individual who has been granted a License to operate a WKSA School. 1.11 “School” is a premises that is rented or owned for the exclusive use and purpose of teaching Kuk

Sool Won. All Students of the School train at the same location and do not travel 1.12 “Part Time School” is a premises that is rented or loaned on an hourly or part time basis. In

some instances the School location may vary, and different locations may constitute one School. The Student body may travel between locations to complete their weekly training program. The main location will be defined in the License Agreement and will be used for mileage purposes. Only two (2) locations will be allowed for any one School. The maximum distance from the main School to any other training location is two (2) miles. Any location further than two (2) miles will mandate its own License Agreement

1.13 “Seminar” Class(es) of extended length, i.e., longer than routinely scheduled classes, which are

generally broad in their content and open to Kuk Sool students. A separate cost over and above the normal lesson fees is charged. Participation is limited to Kuk Sool students only. Seminars are to be conducted by the WKSA ONLY . No School Owner has the authorization or authority to conduct a Seminar.

1.14 “Workshops” Class(es) of regular length, generally dealing with a specific, underlying topic,

which are scheduled beyond the regular classes. Generally, a separate tuition is charged. School Owners may conduct their own Workshops, for members of that School ONLY. In addition, the material included in the Workshop shall be related to Kuk Sool Won material ONLY. The WKSA should be consulted regarding the content.

Article 2.0 Purpose 2.1 The purpose of this document is to set forth guiding principles of regulation and conduct through

which the World Kuk Sool Association, Inc. hereby known as WKSA, assures consistent standards of excellence throughout the world. It is also for the protection of WKSA students, Black Belts, Instructors and the general public. The Quality Assurance Program, hereby known as QAP, applies to all WKSA Black Belts as well as all types of WKSA Schools, classes, and groups.

2.2 Ensure that Kuk Sool Won is taught in its entirety according to the WKSA syllabus for under

Black Belt, Black Belt and Master level. 2.3 To protect WKSA members and the general public from unauthorized instructors and Schools. 2.4 To provide written authorization to qualify instructors by 'Letter of Approval' 2.5 To provide authorization to open and maintain an official World Kuk Sool Association School by

use of the WKSA License Agreement. 2.6 To provide legal permission for authorized Instructors to use the name "Kuk Sool Won", a

registered trademark name and to use the WKSA logo, a registered trademarked logo. 2.7 To set standards and guidelines for the opening, transfer, moving and closure of WKSA Schools. 2.8 To set all WKSA standards and guidelines, including but not limited to: Tournaments, Seminars,

Work Shops and general School operating procedures.

2.9 This document shall serve as the World Kuk Sool Association Quality Assurance Program, and as such, must not be altered or amended by any persons other than those authorized to do so in writing by the WKSA.

Article 3. Logo Trademark Use and Reproduction 3.1.1 The name 'KUK SOOL WON™ ' is a registered trademark. As such, it should be displayed with

the registered federal trademark ™'. The Kuk Sool Won mark (the fist) is a registered logo. As such, it should be displayed with the registered UK trademark '®'.

3.2 The name and logo are protected by law and cannot be reproduced except by written

authorization. That authorization is in the form of the World Kuk Sool Association License Agreement or a specific contract with the WKSA. No personal names are allowed to be displayed with the name 'KUK SOOL WON™' or with the WKSA logo.

3.3 Within this document are specific guidelines for the use of the 'KUK SOOL WON™' name and

logo. All School Owners, Black Belts and Students must adhere to these guidelines. Failure to abide by, or abuse of these guidelines will result in loss of rights concerning the use of the registered trademark name and logo and all other privileges and support from the World Kuk Sool Association. Severe infringements of this 'Quality Assurance Program' may result in punitive legal action.

3.4 Because the logo and 'KUK SOOL WON™' are registered trademarks, pre-printed uniforms may

only be purchased directly from WKSA Headquarters. Students, Black Belts and/or School Owners are not authorized to print, embroider, stitch or otherwise, their own WKSA patches or any other mark or embellishment on uniforms.

3.5 T-Shirts worn under Uniforms may either be

(i) The official Kuk Sool T Shirt purchased from the WKSA (ii) Plain Black T Shirt (iii) Local School T Shirt that has been approved for use by the W.K.S.A.

3.6 Any merchandise, advertising, or marketing material which includes but is not limited to:-signs,

banners, flyers, business cards, letter heads, Student Sign Up Forms, free give-a- aways, pens, pencils, key chains etc.- that bear the words Kuk Sool, Kuk Sool Won, and/or the fist logo, MUST be pre-approved by the WKSA PRIOR to production. The Logo and Trademark should be used in an appropriate and professional manner, always upholding the standards and integrity of the WKSA.

3.7 School Owners shall not at any time produce their own certificates, copy WKSA certificates in

whole, or in part, nor issue any award pertaining to rank advancement. This includes Stripe Testing.

3.8 All signage and display items must be the standard as included in Section 11, Opening a KSW

School. Any deviation or additional verbiage must be approved by the WKSA PRIOR to production.

3.9 Any School Owner, Black Belt or individual producing merchandise without WKSA

written authorization is subject to legal prosecution according to U.K. Trademark Laws.

Article 4 Enrolling a member into a WKSA School 4.1 Applicants for membership in a School must be approved by the School Owner or the

Designated Instructor prior to being accepted as a Member of the School. All Members must become Members of the Association

4.2 Applicants for membership in a WKSA School must be approved by the School's Head

Appointee prior to being accepted. The Applicant must be in good health and appear to have the physical ability to practice Kuk Sool Won™. All applicants must sign a waiver form that relieves any and all liability of the Franchisor and the Association.

4.3 Discrimination on the basis of race, national origin, religion, or sex is not allowed. 4.4 Applicants must not be actively enrolled in any other martial art style. The School must

inform the applicant of this requirement and he or she must agree, as a condition to membership, to practice only Kuk Sool Won™. The Member’s agreement with the School MUST clearly state this Rule and provide that the School or the Association shall have the right to refuse membership and rank approval to any Member that is determined to be practicing another form of martial arts other than Kuk Sool Won™. If a Member practices another form of martial arts, the School Owner or Designated Instructor and the Member in question may be subject to disciplinary action, which includes but is not limited to, suspension, probation, and/or termination of membership with the Association.

4.5 The School and the Designated Instructor are responsible for the enrollment of individual Members and any agreement is between the School and the Member and shall not include and shall specifically release the Franchisor and the Association from any liability.

4.6 The Franchisor or the Association may dictate the form of Waiver or Member’s agreement to be used by the School. Such form may be made available by posting on the Association’s website.

4.7 School Owners and Designated Instructors are responsible for maintaining the good standing of his or her own membership with the Association.

4.8 Should any disagreement or dispute arise between a Member on one hand and the School, an Instructor or School Owner on the other hand, refer to Article 19 – Grievance Procedure of this document.

4.9 Under no circumstances shall School Owners, Designated Instructors, other Instructors or

other representatives of a School solicit the Members from another School.

4.10 Except in the case of a Relocation (described below), a School may not accept a Member from another School without the express permission of the other School.

4.11 Procedure for registering a Member with the Association:

4.11.1 The School shall complete the Registration Documents for each new Member and for any Member relocating from one School to another.

4.11.2 Promptly at the beginning of each month and no later than the 15th day of the

month the School shall send to WKSA Headquarters the Registration Documents and payment for any membership, testing, relocation and other fees associated with any new or relocated Members. Registrations received on or after the sixteenth (16th) day of the following month shall be subject to a late reporting fee of $25.00.

4.11.3 A Member that moves their principal residence more than ten (10) miles has

the right to transfer to another School (the “New School”) nearer to their new home. The current School Owner is responsible to ensure that all financial matters are concluded with the Member. A Member may not relocate to a New School unless he or she has paid all amounts owed to the current School.

4.11.4 New Members MUST be a Member for at least thirty (30) days prior to

any testing. WKSA will not issue rank certificates for Members who have not paid the appropriate testing or membership fees or who are not Members. Requests received for Membership registration and testing certification at the same time will not be accepted or processed.

4.11.5 For new Members, after WKSA receives the completed Registration

Documents and applicable fees, a progress file and WKSA ID number is created for that new Member. A WKSA ID card indicating "WHITE BELT" is then sent to the host School for presentation to the new Member. WKSA shall endeavor to process applications within ten (10) working days of receipt.

4.11.6 Currently the WKSA ID card has the member's full name, date of joining,

Kuk Sa Nim's signature, the School Owner’s or if applicable Designated Instructor’s signature and, if applicable, the Black Belt Instructor's signature. The School Owner or the Designated Instructor must fill in and initial each new rank the Member achieves in the appropriate column on the back of the identification card for it to be valid and official. WKSA reserves the right to change the format or content of the WKSA ID cards at any time, however any previously issued cards will remain valid.

4.12 The Under Black Belt WKSA membership fee is $20.00 for Member and $5.00 for

Member relocation. The Under Black Belt membership and relocation fees are subject to change at any time by the Association.

4.13 Should a WKSA ID card or a Rank Certificate need to be replaced for any reason, a fee

shall be paid to WKSA for the replacement. The current replacement fees are as follows however, such fees may be changed at any time:

4.13.1 Color Belt WKSA ID card - the replacement fee is $5.00.

4.13.2 Black Belt WKSA ID card -- the replacement fee is $15.00.

4.13.3 Color Belt Certificate -- the replacement fee is $5.00.

4.13.4 Black Belt Certificate -- the replacement fee is $25.00.

4.13.5 Black Belt relocation – the transfer fee is $10.00.

4.14 Schools are required to send to WKSA headquarters by the 15th day of each month: 4.14.1 Registration Documents for the prior month;

4.14.2 Testing results for the prior month; and all fees related to the above. Even if a School has none of the above for a month, the School must still submit a report stating that fact (a “No Activity Report”). Any School that fails to provide any of the items set forth in this Article 4.14 or a No Activity Report for a ninety (90) day period, will be declared inactive and in default of these QAP, the Licensing Agreement or other right to operate a School may be terminated.

Article 5 Privileges and Responsibility of Rank 5.1 Depending on rank and position, each WKSA member has various privileges and responsibilities.

All members are subject to the WKSA rules and regulations, which are applicable. 5.2 Relating to Students:

5.2.1 Individual membership information at each School should be kept in confidence for WKSA business only and must not be given out without the individual's permission.

5.2.1 WKSA student and Black Belt membership information is kept in confidence at the WKSA Headquarters and is given out only for WKSA business.

5.2.2 Providing any inappropriate information regarding a WKSA member, teacher, School or

the association must be avoided.

5.2.3 All WKSA Under Black Belt members MUST attend at least one WKSA seminar and at least one WKSA tournament before the promotion to Black Belt 1st Dahn. If unable to attend either, or both, a written notification with the reason for absence must be forwarded to WKSA. The WKSA will make a judgment and depending on the circumstances, may waive the requirement. All judgments are made on a case-by-case basis and the decision of the WKSA shall be final.

5.3 Relating to Black Belts:

5.3.1 Black Belts should not undertake training in any other martial art style other than Kuk Sool Won, nor may they receive certification from any other martial art style. Black Belts shall not exchange any technical knowledge with students/instructors from other martial art styles whatsoever. If found to be breaking this rule, after verification by the WKSA, Black Belts will lose their membership with WKSA, thus forfeiting all privileges and rights of a WKSA Black Belt. Furthermore, the WKSA reserves the right to immediately terminate the membership with the WKSA and deny any access to WKSA related activities.

5.3.2 Should the Black Belt also be a School Owner, the License Agreement shall terminated

and Section 14 of these rules apply

5.3.3 All WKSA Black Belts shall NOT attend martial art seminars organized by other martial art styles, organizations, associations, etc. WKSA Black Belts are allowed to attend Kuk Sool Won seminars and workshops only. If found to be breaking this rule, after verification by the WKSA, Black Belts will lose their membership with WKSA, thus forfeiting all privileges and rights of a WKSA Black Belt. Furthermore, the WKSA reserves the right to immediately terminate the membership with the WKSA and deny any access to WKSA related activities.

5.3.4 Should the Black Belt also be a School Owner, the License Agreement shall terminated

and Section 14 of these rules apply

5.3.5 All Black Belt members should remain in direct contact with their teacher and the WKSA Headquarters.

5.3.6 Black Belts of all levels must maintain and improve their own skill level through regular practice and study.

5.3.7 Black Belts should, within all reason, endeavor to support and assist their martial art

School, teacher and the WKSA in any appropriate manner necessary to further the cause of training, their School, the WKSA and martial arts and its benefits. Black Belts must not say anything detrimental about other Black Belts or Instructors or in any other way prejudice their students against another Black Belt or Instructor.

5.3.8 All Black Belts should make every effort to keep their School running smoothly and aid

students and Instructors in any way possible.

5.3.9 Black Belts must not bully, harass, or intimidate students or other Black Belts. Students should not be used for personal favors or reasons other than those beneficial to that student's martial art progress.

5.3.10 Black Belts' personal or financial business must not interfere with, or impair any student

or Black Belt’s progress.

5.3.11 Black Belts who give instruction or direction to students must keep that student's safety, benefit and progress foremost in their minds at all times.

5.3.12 High moral standards and high ideals should be taught and practiced at every WKSA

School. Black Belts must do their very best to be good examples, both in and out of the School.

5.3.13 Black Belts must always be addressed by their proper martial art title both in and out of

the martial art School. Using martial art titles, even among friends, shows the highest respect and courtesy. Black Belt titles are as follows:

5.3.14 Black Belts are considered permanent members of the WKSA, unless revoked by the WKSA Disciplinary Committee.

5.3.15 It is recommended that the Licensee of each School set a course fee (tuition) for each

rank of Black Belt training.

5.3.16 All Black Belts must attend a WKSA tournament at least once every two years. If Black Belts/Instructors are unable to attend WKSA tournament within the specified time frame, written notification with the reason for absence must be forwarded to WKSA Headquarters

5.4 Relating to Instructors:

5.4.1 Communication among Instructors and students from different WKSA Schools is encouraged. Sharing knowledge is beneficial to the organization and the individuals. However, discretion must be used. Personal information regarding students or Black Belts should not be divulged.

5.4.2 Seniority is determined by rank. The length of training time at that rank generally

determines seniority among members of the same rank.

5.4.3 Owners of professional, semi-professional and amateur Schools are expected to pay a licensing fee, which is specified in this agreement. This licensing fee authorizes the School or club to use the Kuk Sool Won™ name and logo and receive other benefits of being a WKSA member.

5.4.4 All Instructors are required to attend an Instructor's Seminar and/or Workshop at

least once a year. Instructor's Seminars/Workshops will be offered periodically throughout the year. These seminars/workshops will reinforce business-operating principles, provide a forum for sharing ideas, and provide an opportunity to inform all Instructors of forthcoming changes to the Kuk Sool Won™ Quality Assurance Program and License Agreement. Promotion and License Renewal will be denied without the verified attendance of these events.

5.4.5 Instructors and/or Black Belts should ensure that no Student or Instructor attends a

martial art seminars/workshops organized by associations other than WKSA.

5.4.6 Instructors and/or Black Belts must be vigilant in that they do not attend so-called “business seminars” and participate in teaching, learning, exchanging any martial art materials with members of other martial arts. If found to be breaking this rule, after verification by the WKSA, Black Belts will lose their membership with WKSA, thus forfeiting all privileges and rights of a WKSA Black Belt. Furthermore, WKSA reserves the right to immediately terminate the membership with the WKSA and deny any access to WKSA related activities.

5.4.7 Should the Black Belt also be a School Owner, the License Agreement shall terminated

and Section 14 of these rules apply

Article 6 World Kuk Sool Association Dress Code 6.1 Standard practice WKSA uniforms consist of plain, black; wrap-around jackets and plain black

pants neither of which should have any markings, except those authorized by the WKSA. Authorized markings are limited to:

6.1.1 The name 'KUK SOOL WON' in English or Korean letters. 6.1.2 The Kuk Sool Won 'LOGO' patch centered on the back of the uniform.

6.1.3 The South Korean Flag on the left side of the front of the uniform.

6.1.4 The Korean word 'KUK SOOL' should be on the right side of the front of the uniform.

6.1.5 The national flag of the home country (i.e., Stars and Stripes, Union Jack) may be worn

on the left shoulder or with the Korean flag on the left side of the uniform 6.1.6 On the student uniform jackets, you have the option to use a Black Belt Club (BBC) or

Instructor patch on the bottom front right hand corner of the uniform jacket only. This patch cannot be more than 1 ½” high and 3” long.

6.1.7 On the student uniform pants, you have the option to a use Black Belt Club (BBC)

indicator and the words Kuk Sool Won™ in Korean and English characters only. These characters may be placed on the lower half of the left pant leg only.

6.2 All Black Belt uniforms, Generals' Uniforms, Instructor Uniforms, BBC Pants, Black Belts and

patches, must be obtained from WKSA H.Q. Any School or individual producing merchandise without WKSA written authorization is subject to legal prosecution according to U.K. Trademark Laws.

6.3 Official patches must be purchased from WKSA Headquarters. WKSA patches or any other logo

or trademark wording or design may not be printed, embroidered, or any other means of marking, on uniforms without written authorization from WKSA. Schools, groups or individuals cannot print, embroider, stitch or otherwise, their own WKSA patches or markings.

6.4 Because the logo and 'KUK SOOL WON™' are registered trademarks, pre-printed uniforms may

only be purchased directly from WKSA Headquarters. Students or Black Belts are not authorized to print, embroider, stitch or otherwise, their own WKSA patches on uniforms.

6.5 The standard Black Belt uniform is the same as the practice uniform, except it may have gold

fringe around the base of the jacket. The Black Belt uniform may have the words 'WORLD KUK SOOL ASSOCIATION' in place of 'KUK SOOL WON' in English or Korean letters.

6.6 The General's uniform (Jahng Goon Doh-Bok), also called 'Jahng Goon Doh-Bok', is worn by

Black Belt holders only. Under Black Belt ranks may NOT wear this special uniform. The 'Jahng Goon Doh-Bok' is trimmed in four different colors according to rank:

• First and Second Degree Black Belts are authorized to wear a silver trim Doh-Bok together with a white Scarf (Mohk-Doh-Lee) bearing the Korean Flag

• Third Degree Black Belts are authorized to wear a silver trim Jahng Goon Doh-Bok together with a white Scarf (Mohk-Doh-Lee) bearing the Kuk Sool Logo

• Fourth Degree Black Belts are authorized to wear a silver and red trim Jahng Goon Doh-Bok together with a white Scarf (Mohk-Doh-Lee) bearing the Kuk Sool Logo

• Fifth Degree Black Belts are authorized to wear a red trim Jahng Goon Doh-Bok together with a white Scarf (Mohk-Doh-Lee) bearing the Kuk Sool Logo

• Sixth Degree Black Belts are authorized to wear a red trim Jahng Goon Doh-Bok together with a red bib bearing the Kuk Sool Logo

• Seventh Degree Black Belts are authorized to wear a gold and red trim Jahng Goon Doh-Bok together with a red Scarf (Mohk-Doh-Lee) bearing the Kuk Sool Logo

• Eighth Degree Black Belts are authorized to wear a gold and red trim Jahng Goon Doh-Bok together with a gold Scarf (Mohk-Doh-Lee) bearing the Kuk Sool Logo

6.7 King’s teacher’s uniform (WAHNG SA DOH-BOK) is distinguished by the twin dragon symbol

and the colors gold, green and lavender as representing the Royal Household. Only Kuk Sa Nim is authorized to wear this uniform.

6.8 Any WKSA member may wear a uniform, which signifies his or her rank, but may not wear any

uniform that signifies a higher rank. 6.9 LAPEL PINS: Black Belts may wear the gold Kuk Sool logo lapel pin. Under Black Belt may

wear the silver Kuk Sool logo lapel pin. 6.10 Black T-shirts (plain or Kuk Sool official logo only - not a souvenir t-shirt) may be worn in

place of uniform jackets, by the Head Appointee's permission only. The official Kuk Sool logo T-shirt consists of the official logo and the words Kuk Sool Won only along with the T.M. and ®. The name of the School is optional. If wearing a T-shirt underneath the jacket you have two (2) options; plain black or an official T-shirt black Kuk Sool T-shirt. Any formal occasion requires

full and complete uniform. Formal occasions are (but not limited to): testing, promotion, demonstration, seminar or formal bowing procedures (i.e., bowing in and/or out of class).

6.11 Uniforms must be clean and neat with no tears. Uniforms cannot have any patches, logos or

decorations of any kind except for authorized WKSA markings. 6.12 The name 'KUK SOOL WON ™ is a registered trademark. The Kuk Sool Won™ mark is a

registered logo. The name and logo are protected by law and cannot be reproduced except by written authorization. That authorization is in the form of a specific contract with the WKSA.

6.13 Any School or individual producing merchandise without WKSA written authorization is

subject to prosecution according to U.K. Trademark laws. 6.14 This authorization is not to be assigned to any student, or, any other person not directly holding

such a License Agreement or contract. 6.15 The WKSA color belt system is used to distinguish rank among under black belt students. This

color belt system is specific to the WKSA and no other color such as Green, Purple, Orange, or combination belts may be added at any time, under any circumstances.

6.16 Black/Brown belt is represented by a black stripe running through the center of the brown

belt. Each time the Dahn Bo (candidate) successfully completes a black belt testing, the Dahn Boh (candidate) may be awarded a black tab stripe to his/her belt.

6.17 The WKSA color belt system may also be used with the addition of a belt stripe system. Use of

the stripe system is completely optional at each School's Head Appointee's discretion. This stripe system is specific for WKSA Schools and may not be altered.

6.17.1

6.18 While it is acceptable to use a belt stripe system as outlined, it is specifically forbidden to use

ONLY colored tab (tape) stripes are allowed. These colored tabs (tape) stripes represent the color of the next belt the student is to achieve. This color belt system is specific to the WKSA and no other color such as Green, Purple, Orange, or combination belts may be added at any time, under any circumstances.

6.19 Special children's demonstration uniforms may be worn only for demonstration purposes. These uniforms may not be worn in regular class or any other Kuk Sool functions. These special children’s’ uniforms may be produced only by WKSA Headquarters. Any Head Appointee wishing to obtain these uniforms may apply through WKSA Headquarters.

6.20 Black Belts must not wear any Black Belt other than those presented by or obtained from

WKSA Headquarters. 6.21 No adornments of any kind are to be added to the authorized WKSA Black Belt.

6.22 Black Belts 1st and 2nd Degree shall wear the standard width Black Belt. Upon promotion to 3rd

Degree and higher the wider width Black Belt may be worn.

Article 7 Merchandise & Advertising including Web Sites and Web Pages 7.1 For regular training, black uniforms may be purchased from Martial Art supply companies. No

uniform jackets or pants may bear any markings other than the Patches obtained from Headquarters and the pre-approved (as per section 6 hereinabove) Black Belt Club (BBC) markings. All Black Belt uniforms, Generals' Uniforms, Instructor Uniforms, BBC Pants, Black Belts and Patches must be obtained from WKSA Headquarters.

7.2 Merchandise bought from WKSA Headquarters (which bears the “Gaya Won” trademark) may

only be resold to WKSA students ONLY, and not resold to the general public or other martial art Schools. All orders for merchandise from WKSA Headquarters should be made on the approved order form (see School Owners Manual or the WKSA School Owners Web Page) Special instructor pricing is only for the licensed owner of each WKSA School.

7.3 It is required that, any School Owner or WKSA member that would wish to produce any T-Shirts,

or advertising, marketing material or other publication or production relating to Kuk Sool, the use of the name, the logo of WKSA or 'KUK SOOL WON'™, to avoid any misunderstanding, should first submit an application to WKSA Headquarters with a draft of the proposed T-shirt/advertising, together with the number of articles to be produced.

7.4 All of the above items may not be ordered for production until written approval from the WKSA

has been received. For this purpose, at least thirty (30) days notice is required 7.5 Only T-shirts that are be printed by individual Schools with prior authorization by the WKSA

as stated above, but should carry only the following markings:

7.5.1 'KUK SOOL WON™ 7.5.2 KUK SOOL WON™ OF (LOCATION NAME ONLY) 7.5.3 The Kuk Sool Won® logo. All logo reproduction must carry the ® symbol 7.5.4 No individual school logo or design is permitted.

7.10 Web Sites: W.K.S.A. Headquarters must also approve all Kuk Sool web sites and web pages.

7.10.1 No web sites are permitted to include a “Chat Room” or any other such vehicle that may provide public comment, which is available for general viewing. Kuk Sool Won trademark laws also apply to web sites.

7.10.2 All website content must be pre-approved by WKSA Headquarters prior to launching

the site. All Schools should have a URL www.kuksoolwon-xxxxxx.com or www.kuksoolwon-xxxxxxx.net

7.10.3 The front (first) or Home page of every School website must include a link to the WKSA website

7.10.4 No website may offer WKSA merchandise for sale. A link should be established to the

main WKSA website for the sale of WKSA merchandise.

Article 8. Testing and Promotion: Rules and Procedures 8.1 Under Black Belt Testing Procedures:

8.1.1 Testing should be formal and separate from regular class, should be held at regular intervals, and should be held at individual Schools Bowing procedures include regular bowing before and after testing, as well as bowing to the testing judges for each group being tested. Students need only perform the techniques required by the WKSA syllabus for the level he/she is testing for. The standard WKSA Testing Form as provided in the School Owners Manual and the WKSA website is to be used for all testings.

8.1.2 No one is allowed to make his/her own testing forms and no one is allowed to alter the

face of standard WKSA testing forms. Any such action is in violation of the WKSA Quality Assurance Program. Additional comments and/or bar codes for computerized programs may be added to the back of the form, only when authorized and approved by the WKSA.

8.1.3 Make-up tests may be given with the Licensee's approval. Each student must test on all

required areas of the WKSA syllabus. Students must perform the techniques required by the WKSA syllabus at the level being tested for (see School Owners Manual or the WKSA Website) Standard WKSA testing forms available at Headquarters must be used for all testings. Students must be registered at least thirty (30) days before testing.

Prior to setting testing fees, the Licensee must send the testing fee schedule to WKSA for approval. School Owners must send all color belt testing fees in the amount of $5 per Certificate to HQ. School Owners will retain stripe testing fees.

8.1.4 The decision of "PASS” or "FAIL" is made by the Head Appointee of each School upon

recommendation of the testing judges. Under Black Belt testing fees may be set by each School's Licensee with WKSA approval.

8.1.5 The complete list of "PASSED" students with their WKSA identification numbers must

be forwarded to the WKSA Headquarters within five working days of the testing taking place. Requests for promotion certificates must be made on the standard 'Certification Request Form' (see sample contained in the School Owners’ Manual). Upon receiving this information, the WKSA Headquarters will record the new rank and issue a WKSA Certificate of Promotion. WKSA Headquarters will endeavor to issue certificates within five working days of receipt. Then the Head Appointee may issue the certificate of promotion to the student at promotion ceremonies.

8.1.6 School Owners that request Ranking Certificates thirty (30) days after the testing

Date shall be subject to a late fee payment of $25.00. Any requests for back dated Certificates shall be subject to a late fee surcharge payment of $5.00 per Certificate.

8.1.7 Each School's Head Appointee is authorized to promote students up to the rank of

Black/Brown Belt (Dahn Boh), providing the student can proficiently demonstrate the required material from the WKSA syllabus for the rank being tested.

8.1.8 All members of the World Kuk Sool Association are required to complete the course

outline for each rank. Skipping belts is not allowed at any level, whether under Black Belt or Black Belt level.

8.1.9 The World Kuk Sool Association does not participate in the exchange of rank with other

martial art styles or Associations. Individual WKSA Schools are not allowed to participate in any such rank exchanges. If students or prospective students have achieved some proficiency in another martial art, they may not transfer that rank when they begin Kuk Sool training. Everyone, regardless of rank in other martial arts, is required to learn the WKSA syllabus from white belt up. Instructors may not allow students to double test or skip rank in progression to the next level.

8.1.10 Upon reaching Black/Brown Belt Dahn Bo Nim, represented by a brown belt with a

black line running the length of the belt, the student may register with WKSA to become an official Black Belt candidate. For details, refer to the Black Belt testing procedure below.

8.2 Black Belt Testing Procedures:

8.2.1 All Black Belt testing must be authorized by Kuk Sa Nim or his official representative. The first and last test before promotion will be under the supervision of Kuk Sa Nim. Local testing will be held every three months at which all Black Belt candidates should be prepared to test. Candidates’ qualifications and testing fees must be arranged and pre-approved prior to testing. Each Black/Brown Belt (Dahn Bo Nim) candidate must have the recommendation of his/her School's Head Appointee. All testing fees are one-time only fees, and the fees are subject to change at any time. If the candidate does not pass, he/she may test again without repayment of that particular testing fee. Payment for Black Belt Testing fee MUST BE MADE DIRECTLY FROM THE STUDENT to the WKSA, School Owners Checks and/or Credit Card payments will NOT be accepted.

8.2.2 All Dahn Bo Nims must attend at least one (1) WKSA tournament and at least one (1)

WKSA seminar before they are promoted to Black Belt 1st Dahn.

8.2.3 To register for Black Belt Promotion, the School Owner is to complete the Black Belt Promotion Form, and attach the Candidate’s WKSA ID Card, fully completed with the history of Testings. In addition the School Owner shall send two (2) photographs of the Candidate. One (1) passport size, the other Driving License size. The form and photographs MUST be received at WKSA at least one (1) month prior to promotion. Photos should be a good likeness of the member, in uniform. A WKSA Black Belt progress file is created, a permanent WKSA Black Belt ID number is assigned, and a certificate of Dahn (black belt degree) and Black Belt ID card is presented to the new WKSA Black Belt.

8.2.4 Within the WKSA, only Kuk Sa Nim or his official representative is authorized to

promote students to Black Belt level or higher. No other Black Belt certificate is recognized for WKSA certification.

8.2.5 Within the WKSA, there are certain average lengths of time to achieve various ranks.

These lengths of time may vary according to each student's training schedule. However, a student should not be recommended for Black Belt promotion without a reasonable amount of training time and experience.

8.2.5.1 The average length of time to train from White Belt to First Degree (Dahn) Black

Belt promotion is three to four years. 8.2.5.2 To begin the Second Degree (Dahn) Black Belt testing, the minimum length of

time from the last promotion is two years. This period of time must be active training time. Any Candidate that has any non-active time will have this period

extended, and such period will be decided by the Licensee and the WKSA. Each Candidate will be required to test at least eight (8) times.

8.2.5.3 To begin the Third Degree (Dahn) Black Belt testing, the minimum length of time from the last promotion is two years. This period of time must be active training time. The Candidate must be at least 17 years of age. Any Candidate that has any non-active time will have this period extended, and such period will be decided by the Licensee and the WKSA Each Candidate will be required to test at least eight (8) times.

8.2.5.4 To begin the Fourth Degree (Dahn) Black Belt testing, the minimum length of

time from the last promotion is two years. This period of time must be active training time. The Candidate must be at least 22 years of age. Any Candidate that has any non-active time will have this period extended, and such period will be decided by the Licensee and the WKSA Each Candidate will be required to test at least eight (8) times

8.2.5.5 Fifth Degree Master Testing, will be at the discretion and invitation of Kuk Sa

Nim and the WKSA. The period of testing and the number of testing shall be at the discretion of Kuk Sa Nim. A basic understanding of the Korean language is required beginning with usage of appropriate greetings and salutations that are outlined in Kuk Sool textbooks. The Candidate is highly recommended to study and learn the Korean alphabet and have some conversational understanding of the Korean language. The candidate must be at least 28 years of age.

8.2.5.6 Sixth Degree (Dahn) Black Belt testing, will be at the discretion and invitation of

Kuk Sa Nim and the WKSA. The period of testing and the number of testing shall be at the discretion of Kuk Sa Nim. Continued study of the Korean language is required.

8.2.5.7 Seventh Degree (Dahn) Black Belt testing, will be at the discretion and invitation

of Kuk Sa Nim and the WKSA. The period of testing and the number of testing shall be at the discretion of Kuk Sa Nim. Continued study of the Korean language is required.

8.2.5.8 Eighth Degree (Dahn) Black Belt testing, will be at the discretion and invitation of Kuk Sa Nim and the WKSA. The period of testing and the number of testing shall be at the discretion of Kuk Sa Nim. Continued study of the Korean language is required

8.2.6 Exceptions to these guidelines may arise where Candidates are training and teaching full time in a Do-Jahng, and such exceptions will be at Kuk Sa Nim’s discretion.

8.2.7 In order for a Black Belt to advance to a higher degree, he/she must have the

recommendation of a higher ranked teacher, preferably the recommendation of his/her teacher.

8.2.8 Together with the periods of time indicated above to begin testing, the following are

8.2.8.1 Promoting to First Dahn-The candidate must have attended at least one (1)

WKSA Seminar and at least one (1) WKSA Tournament 8.2.8.2 Promoting to Second Dahn-The candidate must have attended at least one (1)

WKSA Seminar and at least one (1) WKSA Tournament since his/her last promotion to First Dahn. In addition he/she must have served at least once as a Time or Score keeper during a WKSA tournament.

8.2.8.3 Promoting to Third Dahn-The candidate must have attended at least one (1)

WKSA Seminar and at least one (1) WKSA Tournament since his/her last promotion to Second Dahn. In addition he/she must serve as a Judge during a WKSA tournament at least once per year.

8.2.8.4 Promoting to Fourth Dahn-The candidate must have attended at least one (1)

WKSA Seminar and one (1) WKSA Instructors’ Workshop since his/her last promotion to Third Dahn. In addition he/she must serve as a Judge during a WKSA tournament at least once per year

8.2.8.5 Promoting to Fifth Dahn-The candidate must have attended at least one (1)

WKSA Seminar and one (1) WKSA Instructors’ Workshop since his/her last promotion to Fourth Dahn. In addition he/she must serve as a Judge during a WKSA tournament at least once per year

8.2.8.6 Promoting to Sixth Dahn - Kuk Sa Nims discretion

8.2.9 Standard WKSA Black Belt testing forms must be used for all Black Belt testings.

8.2.10 No one is allowed to make his/her own testing forms and no one is allowed to alter the

face of standard WKSA testing forms. Any such action is in violation of the WKSA Quality Assurance Program. Additional comments and/or bar codes for computerized programs may be added to the back of the form, only when authorized and approved by the WKSA.

Article 9. WKSA Seminars 9.1 Instructors with an active School must attend a seminar at least once a year. All Black Belts must

attend a seminar at least once every two years. All Dahn Bo’s must attend a seminar at least once before they are promoted to Black Belt. If Black Belts/Instructors are unable to attend seminars within the specified time frame, written notification with the reason for absence must be forwarded to WKSA Headquarters.

9.2 WKSA Seminar requirements:

9.2.1 WKSA seminars will be conducted by Kuk Sa Nim only or his official representative. No WKSA School Owner or Instructor may conduct a seminar unless so authorized in writing by the WKSA.

9.2.2 Only WKSA Schools or teachers in good standing will be allowed to sponsor/host or

attend seminars.

9.2.3 No WKSA School may sponsor/host any seminar other than Kuk Sool Won™ seminars

9.3 All WKSA Black Belts MUST attend a WKSA seminar at least once every two years. 9.4 All School Owners MUST attend a WKSA seminar at least once a year. 9.5 School Owners Sponsoring or Hosting a Seminar must provide the following

9.5.1 The School Owner is responsible for assuring adequate attendance. The minimum attendance requirement is set at 20 Students.

9.5.2 The Do-Jahng or facility to be used must be of adequate size 9.5.3 The Do-Jahng or facility MUST be clean and well maintained

9.5.4 The School Owner MUST be totally conversant and compliant with the WKSA QAP

9.5.5 The School Owner is responsible for the well-being and care of Kuk Sa Nim together

with the Seminar Team, throughout the School’s Seminar. This includes but is not limited to:-

a. Hotel Accommodation b. Meals c. Laundry d. Transportation during the event

9.5.6 The School Owner shall ensure that ONLY Kuk Sool Won Students registered with the

WKSA attend the Seminar 9.5.7 Payment for Seminar MUST BE MADE DIRECTLY FROM THE STUDENT to

the WKSA, School Owners Checks and/or Credit Card payments will NOT be accepted.

Article 10. Hosting A WKSA Tournament 10.1 No person can host a WKSA Tournament without the express written consent of Kuk Sa Nim and

the WKSA. Written permission will be in the form of a License Agreement Addendum, and must be obtained from WKSA Headquarters. No arrangements or organization of any kind should commence until the Addendum has been fully executed by both parties.

10.2 No merchandise or other Tournament paraphernalia may be produced without express written

permission from the WKSA. Written permission will be in the form of a License Agreement Addendum, and must be obtained from WKSA Headquarters.

10.3 No merchandise or other Tournament paraphernalia should be sent for production until the

Addendum has been fully executed by both parties 10.4 Failure to get this permission will be considered a violation of WKSA licensing agreement and the

strictest penalties will be enforced.. No sponsorship of 'open' tournaments will be permitted under any circumstances.

10.5 All WKSA tournaments must use the WKSA Standard Tournament Rules. Copies of these rules are

available from WKSA Headquarters, and are published on the School Owners page of the WKSA Web Site.

10.6 The tournament sponsor is defined as the Instructor who is responsible for gaining permission from

WKSA to hold the tournament, and, as such, once the above Addendums have been fully executed, is responsible for the following:

10.6.1 Insurance - the sponsor must obtain adequate liability insurance to cover all

activities of the tournament. 10.6.2 All administration and organization relating to the tournament. 10.6.3 All debts that may be incurred relating to the tournament including transportation

and hospitality for visiting special guests, i.e., Kuk Sa Nim and Masters. 10.6.4 All publicity relating to the tournament. 10.6.5 Production of approved Tournament paraphernalia such as winners’ medals,

trophies and competitors’ commemorative pennants. 10.6.6 Insuring adequate medical coverage, i.e., doctor, nurse, First Aid or E.M.T.

personnel. 10.6.7 Compliance with any government regulations or obtaining any permits or licenses

required. 10.6.8 Delegation of any of these responsibilities must be specific and in writing before

final approval to sponsor a tournament is given. 10.7 Any instructor assisting in organizing a WKSA Tournament, should refer to the WKSA

Tournament Checklist for the necessary procedures and equipment list in order to prepare for tournament day.

10.8 Any Instructor/School Owner or student that is taking part in any WKSA Tournament does so

under their own volition and accepts full responsibility for their actions and own welfare. No person shall have any claim on the World Kuk Sool Association, GrandMaster In Hyuk Suh, its employees, officers, agents, or sponsors.

10.9 Payment for Tournament MUST BE MADE DIRECTLY FROM THE STUDENT to the WKSA, School Owners Checks and/or Credit Card payments will NOT be accepted.

Article 11. Requirements For Opening a WKSA School

11.1 These QAP rules of operation apply to all WKSA Black Belts as well as all types of WKSA Schools, classes and groups. Any exception to these rules must be in written form and authorized by the WKSA. Verbal approval and authorization to open a School is not acceptable.

11.2 Opening a WKSA School:

11.2.1 In order to qualify to open a WKSA School, the applicant must be a first Degree Black

Belt or higher in Kuk Sool Won. The Black Belt applicant must also be current in their Kuk Sool training, and be in good standing with the WKSA. Possessing a Black Belt in another style of martial art does not qualify one to open and maintain a WKSA School.

11.2.2 For the United Kingdom, an intergral part of the application is that the prospective new

School Owner and any associated Intructors have a Criminal Record Board (CRB) Check or its equivalent document completed on each person every five (5) years. A copy of cleared CRB must be sent to HQ; and it is the individual school owner’s responsibility to abide by the UK laws to maintain active status as an independent owner/representative of a WKSA school.

11.2.3 The next step for any WKSA Black Belt who desires to open a KUK SOOL WON

School is for him/her to contact WKSA and receive, complete and return to the WKSA Headquarters, (i) New School Owner Application Form, (ii) one-time License Agreement Fee (currently US $1000.00 and subject to change at any time), (iii) Annual Fee (currently $500 for 5 years or $120 per year for 5 years, and subject to change at any time), (iv) any other pertinent documents as necessary.

11.2.4 Once the CRB check has been completed, and if the results are satisfactory to the

WKSA, the applicant will be required to undergo a period of assessment at the WKSA HQ or with its designated representative(s) in UK. During this assessment the applicant will be provided with necessary training and materials pertinent to operating a WKSA School.

11.2.5 Upon satisfactory completion of the assessment, the applicant will receive the WKSA

License Agreement. Verbal approval is NOT considered authorization to open or operate a WKSA School, or class. No applicant may open and operate any WKSA School prior to receiving a fully executed copy of their License Agreement.

11.2.6 Only once the fully executed License Agreement has been returned by the WKSA is the

applicant officially and legally authorized to operate a WKSA martial art School with all privileges, rights and responsibilities that pertain. The Licensee will be awarded a Letter of Approval, which should be displayed within the School. The License Agreement and Letter of Approval are both valid for three years, subject to Instructor status, and are renewable upon expiration of the five (5) year period.

11.2.7 No partnerships of any kind will be considered for a License Agreement. License

Agreements will be granted in one (1) name only. Should the prospective School Owners be a husband and wife, the Agreement will only be issued in one (1) name. In the unfortunate event that the husband and wife separate, the WKSA will not act as a mediator, and it will be the responsibility of that husband and wife to assign the License Agreement to one of the parties.

11.2.8 WKSA Schools shall not normally be located in a close proximity to each other. The

final decision concerning the distance between WKSA Schools rests with the WKSA and Kuk Sa Nim. Each School and its location will be considered on a case by case basis. Distance between Schools is verified with Mapquest.com or a common use map program.

11.2.9 Close location cases are specific and must be approved in writing, in advance by WKSA.

Examples of such cases would be when a city is divided by a river, mountain, or some other natural, or artificial barrier, that tends to cause people not to travel to one side or the other. Another example would be high-density populated areas, where heavy traffic conditions prohibit travel in an acceptable time frame. However, these are specific cases and must be approved in writing and in advance by the WKSA before negotiations to open a WKSA School can begin. It has to be remembered, the final decision concerning the distance between WKSA Schools rests with the WKSA and Kuk Sa Nim. The Grant of Rights shall indicate the mileage awarded at the time of License Agreement issuance. The mileage is subject to review upon each License Agreement re-newal.

11.2.10 The WKSA shall not grant a new School Owner a new License Agreement that in any

way infringes on the Grant of Rights of an existing School Owner

11.2.11 When one School Owner wishes to open a second or third School, the distance between each School shall be approved by WKSA and Kuk Sa Nim. Distance between Schools is verified with Mapquest.com or a common use map program. Restrictions are as follows:

11.2.11.1 Any School Owner that has more than one (1) School within a close

locality may not sell a single School individually. The Schools must be sold together so as to maintain one owner among all Schools within a satisfactory distance. The final decision concerning the distance between WKSA Schools rests with the WKSA and Kuk Sa Nim. Each School location must have a separate License Agreement and will be subject to review upon each renewal.

11.2.11.2 Any Instructor who has sold a School cannot open another School

unless the distance between the new School and any other existing School is satisfactory, and agreed by the WKSA and Kuk Sa Nim.

11.2.11.3 When two existing WKSA Schools are closely located, neither School

may open a second School, or class without the express consent of the WKSA and Kuk Sa Nim.

11.2.11.4 Existing Schools not of the same owner, but closely located by previous

special agreement, may not relocate to a new building, or otherwise open another School, or class closer than the original existing School. However, relocation to a farther distance from the competing WKSA School is acceptable, and must still be authorized by WKSA and Kuk Sa Nim.

11.2.11.5 This ruling also applies to part time Schools, i.e., YMCA, recreation

centers, garages, etc. However, a WKSA instructor may open a full time

School at any distance to a part time School, providing all requirements of the License Agreement and QAP are met and WKSA approval is obtained.

11.2.11.6 Any School Owner that currently holds one (1) License Agreements for

one (1) Schools, who wishes to open a second (2nd) School, has to provide WKSA with a written proposal of how that Instructor will operate two (2) Schools effectively, and within the terms of the Quality Assurance Program. No Instructor will be allowed to operate more than two (2) Schools. Instructors coming from the same family will not be able to hold more than three (3) License Agreements.

11.2.12 The name 'KUK SOOL WON’ ™ must be displayed outside the School. The words “Traditional Martial Arts” are allowed IN ADDITION to Kuk Sool Won. No other martial arts name or logo may be displayed in any WKSA School or used on any merchandise, business paper, business cards or similar materials. No personal names are allowed and shall not be displayed with the name 'KUK SOOL WON' or with the WKSA logo. The WKSA logo must be displayed together with the registered federal trademark symbol ®.

11.2.13 The name of the School shall be limited to Kuk Sool Won ™

11.2.14 No individual school logo or design is permitted. Each school may use the Logo and

the Trademark name of Kuk Sool Won with its school name to represent his/her unique school.

11.2.15 The outside sign shall be limited to read any of the following, and MUST be approved

by the WKSA PRIOR to production. (ATTACHMENT A)

(a) KUK SOOL WON ™ (b) KUK SOOL WON™ TRADITIONAL MARTIAL ART (c) The Kuk Sool Won® logo. All logo reproduction must carry the ® symbol

11.2.16 Every WKSA School must have an easily accessible First Aid Kit and is expected to maintain high standards of cleanliness and order. All Instructors MUST have CPR training and it is highly recommended that all Black Belts receive similar training.

11.2.17 Each WKSA School must maintain specific and accurate records for each student.

11.2.18 Items to be displayed at each WKSA School are as follows:

11.2.18.1 The WKSA syllabus (lesson plans), rules of etiquette, teacher's Letter of Approval and certificate of Dahn.

11.2.18.2 WKSA Schools must display the National, WKSA and South Korean

flags, left to right, respectively. A framed photograph of Kuk Sa Nim should be displayed as near as possible to the WKSA flag. No other flags or pictures are allowed next to this group.

11.2.18.3 WKSA Schools shall NOT display awards, achievements or paraphernalia

from other Martial Arts or associations

11.2.18.4 Each WKSA School must be kept clean, shall be well aired, have a pleasing aroma, and must be well maintained. The training area must be a safe area to practice.

11.2.18.5 Every WKSA School must carry liability insurance and be in compliance

with its regulations and all regulations contained in the WKSA License Agreement and QAP. Such insurance shall be purchased utilizing the Insurance Scheme as operated by Kuk Sool Won U.K., Ltd. A copy of the insurance agreement MUST be sent to WKSA Headquarters.

11.2.18.6 This insurance shall be held for the term of the License Agreement and

for so long thereafter as there is any possibility of a claim against Licensor or his employees and shall include;

(a) Public liability insurance covering all claims made by third parties in

respect of any death, personal injury or loss suffered while at any premises in the occupation or control of Licensee

(b) Product liability insurance covering all alleged defects in or unsuitability

for their intended purpose of all products supplied to any third party at or from any such premises

(c) Alleging any facts, which amount to a breach of clause, for not less than

US$1,000,000 in respect of any one claim and shall name the Licensor [and the Association] as the insured jointly with Licensee.

11.2.19 Each WKSA School is individually responsible for its obligations as in opening,

maintaining and closing a School. Such responsibilities lie solely with the owner of each School, and the WKSA is not responsible nor liable for each School's business operation.

11.2.20 Each Licensee shall ensure that all tuition provided is in accordance with the agreement

between the Licensee and his/her customer and without negligence or breach of any statutory duty and License, shall indemnify Licensor against any and all claims (whenever and wherever made) against the Licensor or his employees alleging otherwise and submit to the jurisdiction of any court in which such a claim may be made.

11.2.21 Each Licensee is required to attend an Instructor’s workshop at least once every year

Article 12. Renewing a WKSA School: 12.1 The steps for any WKSA Black Belt who desires to renew a KUK SOOL WON School is for

him/her to complete and return to the WKSA Headquarters, and the School Renewal Application Form, for processing and approval, together with the License Agreement Fee (currently US $500.00 and subject to change at any time) Approval will be given providing all requirements as stated in the WKSA Quality Assurance Program are met, and that the CRB for the Licensee and all Instructors is current, clear and free from any convictions. Approval will be given in written form through the WKSA License Agreement. Verbal approval is NOT considered authorization to open or operate a WKSA School, club or class. No applicant may renew and operate any WKSA School prior to receiving a fully executed copy of their License Agreement.

12.2 A renewal fee of US $500.00 (currently and subject to change at any time) is payable and

must be paid sixty (60) days prior to expiration date. After the expiration date a late fee of $100 will be charged. License Agreements will be terminated if the renewal fee is not received 90 days after the expiration date. Once terminated any further application will be deemed to be a new License Agreement request and subject to written authorization by WKSA and the fee will be US $1000.00 and subject to change at any time.

12.3 Only once the fully executed License Agreement has been returned by the WKSA is the applicant

officially and legally authorized to operate a WKSA martial art School with all privileges, rights and responsibilities that pertain. The Licensee will be awarded a Letter of Approval, which should be displayed within the School. The License Agreement and Letter of Approval are both valid for five (5) years, subject to Instructor status, and are renewable upon expiration of the five (5) year period.

12.4 It is the Licensee’s responsibility to update any changes regarding the current School information

that include but not limited to School address, mailing address, contact phone number, website address, e-mail address, etc, to WKSA HQ via written notice.

12.5 WKSA will send a written notification of School renewal to the address provided (current

information in WKSA HQ records), however, it is Licensee’s responsibility to complete and sent the Renewal Form before the expired date to avoid Invalid Status and become an inactive School, in which case, the Licensee must apply as New School status and pay the appropriate fee as indicated above.

12.6 Every WKSA School must carry liability insurance and be in compliance with its regulations and all regulations contained in the WKSA License Agreement and QAP Such insurance shall be purchased utilizing the Insurance Scheme as operated by Kuk Sool Won U.K., Ltd.

Article 13 Transferring a WKSA School: 13.1 Purchasing a Kuk Sool Won School that is already in operation requires certain specifics. 13.2 License Agreements are NOT transferable. 13.3 The prospective buyer and seller must seek written approval from the WKSA for such a

transaction and receive written permission. 13.4 The prospective buyer should apply for a License Agreement as per Section 11 and pay the

license fee of US $1000.00 (subject to change at any time). Approval will be given providing all requirements as stated in the WKSA Quality Assurance Program are met, and that the CRB for the Licensee and all Instructors is completed, current, and the results clear and free from any convictions. Approval will be given in written form through the WKSA License Agreement. Verbal approval is NOT considered authorization to open or operate a WKSA School, club or class.

13.5 No applicant may open and operate any WKSA School/Club prior to receiving a fully

executed copy of their License Agreement. 13.6 Next, the seller and buyer must work out the details and purchase price for said School. 13.7 After such details have been agreed upon by the buyer and seller, the WKSA must approve said

sale. WKSA approval shall not be withheld providing all requirements stated in this WKSA Quality Assurance Program (QAP) are met and signed License Agreements are in effect concerning all parties.

Article 14 Closing a WKSA School: 14.1 Should a School Owner completely close a School, sixty (60) days written notice must be

provided to Licensor. Similarly should the Licensor wish to terminate the Agreement sixty (60) days notice shall also be required.

14.2 In cases whereby the School Owner has violated the WKSA Rules and the WKSA terminates the

License Agreement, no period of notice is required. The School Owner will still close the School in the manner described hereinbelow.

14.3 All student fees paid are the responsibility of that School Owner. The School Owner must

refund all fees paid to the student, or, if the student is transferring to a different School, the fees must be transferred to that School by the School Owner. The School Owner should act in a professional manner at all times and ensure that Students are not abandoned or embittered towards Kuk Sool Won™ in general. WKSA Headquarters will not be responsible for any student fees paid.

14.4 All Kuk Sool Won flags and pictures of Kuk Sa Nim must be returned to WKSA

Headquarters. 14.5 The premises must be vacated in a business like manner, and all debts cleared. 14.6 All Kuk Sool Won trademark and materials should be removed 14.7 If a WKSA School Owner closes a School, the License Agreement for that School

Owner/Instructor becomes VOID. 14.8 The holder of the then now VOID License Agreement cannot prevent another WKSA Black Belt

from opening a School in that area under a new License Agreement. 14.9 Any WKSA Instructor applying for a new License Agreement for a previously closed School,

must comply with all WKSA requirements, and complete a full application as described in Section 11 hereinabove.

14.10 If the previous School Owner wishes to return to that area, he must abide by Grants of Rights

regarding mileage awarded to the new School Owner. 14.11 The WKSA shall not grant a previous School Owner a new License Agreement that in any way

infringes on the Grant of Rights of an existing School Owner 14.12 The WKSA does not refund any amount of fee paid for licensing, purchasing, or any other

business transactions.

Article 15 Moving a WKSA School: 15.1 Each WKSA Licensing Agreement is specific to each WKSA School location and cannot be

transferred to any new location. 15.2 Should a School Owner wish to move location, the School Owner must first seek written approval

from the WKSA. 15.3 The School Owner shall present his or her plans to the WKSA, stating the reason for the move. 15.4 Should the new location be within the current Grant of Rights, then the existing License

Agreement shall continue for its then current term, and will be subject to renewal three (3) years from the date of issue for the previous location.

15.5 The School Owner shall pay the “Relocation” fee of $300.00 US Dollars to WKSA. 15.6 Arrangement should be made in order that the old location is vacated in a businesslike manner,

and that Kuk Sool trademarks and /or logos are removed. 15.7 Should the original premises remain vacant and Kuk Sool trademarks and/or logos are left for

advertising purposes, the School Owner is responsible to ensure that the premises are kept to the standard suitable for the display of the works Kuk Sool and/or the logos.

15.8 Should the vacant premises fall into disrepair, the School Owner shall be responsible for the

removal of all Kuk Sool paraphernalia.

Article 16 Teaching in a Kuk Sool School: 16.1 ONLY Kuk Sool Won is to be taught at a WKSA School 16.2 The Licensee shall be responsible for the teaching of the School for which he/she holds the

License Agreement. 16.3 The Licensee shall appoint certain Black Belt Instructors within their own School that may teach

in the temporary absence of or, on behalf of the Licensee. 16.4 The Licensee shall not solicit Instructors from other Schools to teach in their absence or in their

place. 16.5 In exceptional circumstances permission may be sought from the WKSA for an Instructor to

teach at a School other than their own. 16.6 Under no circumstances shall School Owners or Instructors solicit the Students from another

School. 16.7 The Licensee and Instructors should not accept Students from another Licensing School without

the express permission of that Licensee/School Owner. 16.8 The exception to the rules above is WKSA Seminar Lessons, or any other WKSA teaching event,

when Master Instructors and nominated Black Belt Instructors, under the direction of Kuk Sa Nim, are invited to instruct.

16.9 Teaching The Correct Syllabus

16.9.1 The Licensee or nominated Instructor shall only teach Students according to the official WKSA syllabus.

16.9.2 The Licensee shall not teach advanced technique to Students from his/her own School or

any other School, nor any other techniques which are outside the scope of the Student’s rank.

16.9.3 Special enrollments (such as Black Belts Club Class) may be taught Jool-Bong, staff and

sword etiquette and technique, however, no other weapons are to be taught prior to the Student becoming of age.

16.10 Extra Black Belt Curricular Training

16.10.1 The Licensee shall pay special attention to the teaching of weapons. Any student under the age of eighteen (18) is subject to the following restrictions:-

16.10.1.1 Sword, Staff, Jool-Bong, Archery may be taught ONLY when the legal

parent or guardian has executed a release and waiver letter, to be held on file with the Licensee and the WKSA.

16.10.1.2 Knife Throwing, Sword Cutting, Spear, and practice with any live blade

weapon is STICTLY PROHIBITED to those under age

16.11 Prohibited Practices in a Kuk Sool School

16.11.1 The Kuk Sool Do Jang is at all times to be kept for the teaching and the practice of Kuk Sool Won ONLY. The only time other activities shall occur in a Do-Jang is when the part, or all of the establishment has been rented to another entity.

16.11.2 The School Owner shall seek approval from the WKSA prior to renting out all or

part of the Do-Jang.

16.11.3 Should the School Owner or spouse use the Do-Jang for any other business activity, prior approval from the WKSA shall be sought.

16.11.4 Any advertising for the entity or the School Owners other business must be done

on a “stand alone” basis and not be included in any Kuk Sool advertising literature

16.11.5 No other martial arts and/or their representative(s) can teach, learn, or exchange

martial art knowledge at any time with a WKSA School Owner, Instructor or Student at any time. Non-WKSA schools and their black belts and/or students are considered to be under the category of “other martial arts”.

16.11.6 If found to be breaking this rule, after verification by the WKSA, Black Belts

will lose their membership with WKSA, thus forfeiting all privileges and rights of a WKSA Black Belt. Furthermore, the WKSA reserves the right to immediately terminate the membership with the WKSA and deny any access to WKSA related activities.

16.11.7 Should the Black Belt also be a School Owner, the License Agreement shall

terminated and Section 14 of these rules apply 16.12 Demonstrations

16.12.1 Each School may organize and conduct its own School Demonstration for advertising and/or community purposes, within the distance awarded to it in the Grant of Rights

16.12.2 To organize and conduct a demonstration along with another WKSA School,

within the distance awarded to either School under the Grant of Rights, prior permission must be sought for the WKSA

16.12.3 No School may organize or conduct a demonstration outside of its awarded area

contained in the Grant of Rights.

16.12.4 No School may organize or conduct a demonstration that involves more than two (2) Schools. Such demonstration information must be forwarded to the WKSA.

16.12.5 No School is to organize or participate in a demonstration with another Martial Art.

The only instance of acceptance would be a larger event where Kuk Sool Won and

the other Martial Art have entirely stand alone demonstrations, that could not in any way be connected

Article 17 . World Kuk Sool Association Benefits 17.1 Under Black Belt Benefits: 17.2 Students below Black Belt receive the following Association benefits:

17.2.1 World Kuk Sool Association (WKSA) Identification card. 17.2.2 WKSA Certificate of Promotion for rank certification. 17.2.3 Replacement of Certificate or I.D. card (subject to fee). 17.2.4 WKSA quality control standards to ensure the highest standards of martial art instruction

and School business operation. 17.2.5 Instructional support through seminars and workshops. 17.2.6 WKSA Regional, National and International Tournaments. 17.2.7 Transferring of membership from one WKSA School to another. 17.2.8 Training while visiting other WKSA Schools. (with permission of both Instructors) 17.2.9 WKSA supplies that have the registered logo and trademark.

17.3 Black Belt Benefits: 17.4 Black Belts are considered permanent members of the WKSA and receive the following association

17.4.1 WKSA Black Belt membership I.D. card 17.4.2 WKSA Certificate of Rank. 17.4.3 Letters of Approval 17.4.4 Authorization to open and operate a WKSA School through the WKSA License

Article 18. Penalties and Reprimands 18.1 Any under Black Belt student or Black Belt's membership may be terminated immediately for

any of the following reasons:

18.1.1 Direct opposition to the WKSA’s goals.

18.1.2 Failure to follow the WKSA Quality Assurance Program & License Agreement.

18.1.3 Continuous, or repeated violation of any of the WKSA’s rules and regulations.

18.1.4 Negative influence towards the WKSA, its members or society.

18.2 Should any Member commit any action that may bring disrepute to Kuk Sool Won™, the Licensor, WKSA, or their affiliates, Officers or Owners, that Member, may have his or her membership immediately suspended by WKSA.

18.3 A suspension will remain in effect, until such time as the action that was the basis of the

suspension is resolved to the satisfaction of WKSA. If the action is not resolved within ten (10) days or if the action results in a criminal charge, the suspension will become permanent and the Member will be expelled as a Member of the Association immediately and all rights and privileges of being a Member of the Association are terminated.

18.4 During any suspension or after expulsion, individuals are banned from training at any

School and from having any official contact with WKSA, the Licensor or other Members.

18.5 Actions that may warrant suspension or expulsion include but are not limited to:

18.5.1 Criminal Sexual Offenses. 18.5.2 Theft / Robbery. 18.5.3 Mental Instability. 18.5.4 Assault/Battery. 18.5.5 Murder or Attempted Murder. 18.5.6 Threatening any of the foregoing. 18.5.7 Any Felony.

18.6 No WKSA member either Under Black Belt or Black Belt shall take any action, either personal, or through the Courts, against any other Kuk Sool Won™ member.

18.7 Any cause for complaint or grievance against another Kuk Sool member shall be placed

directly before the Disciplinary Committee of the WKSA, for the WKSA to consider the grievance or offense, and shall take any disciplinary action as the WKSA sees fit.

18.8 Expelled members are banned from training at any WKSA School and from having any

official contact with the WKSA or its members. Expelled members shall have all rights and privileges of the WKSA withdrawn.

18.9 Expelled members that continue to practice become Non-WKSA schools.

18.9.1 These Non WKSA Schools and their black belts, instuctors and students are considered under the category of “other martial arts”. Thus, no School Owner,

Instructor, or Student should allow any participation by these persons in any WKSA activities that includes but is not limited to, attending classes at any do-jahng or other facility, or private lesson, attend WKSA Seminars, WKSA Tournaments, etc.

18.10 Licensee shall ensure that he/she and all Students under his/her control do not continue an

association with an expelled member. 18.11 WKSA Schools and/or Black belts that do not follow the rules and procedures as set forth

hereinabove, will be put on PROBATION for a period of time to be determined by WKSA to correct the infractions or violations. During this probation period the School Owner and his/her School(s)and Instructors are subject to the following actions: 18.11.1 Suspension of WKSA membership. 18.11.2 Disclaimers of non-official Schools and Instructors. 18.11.3 No support from the WKSA, as in certificates of any kind, supplies, advertisements. 18.11.4 Participation in seminars will not be allowed. 18.11.5 Trademark rights for use of the name and logo may be withdrawn and possible legal

action taken for the infringement of trademark rights. 18.11.6 WKSA tournament participation will not be allowed. 18.11.7 Recognition of rank may be withdrawn. 18.11.8 No testing or promotion for Instructors or students under him/her during probation

period.

18.12 If after the PROBATION time period the Instructor and/or Students have not complied with the

WKSA rules and regulations then the License Agreement with WKSA may be TERMINATED. 18.12 At time of TERMINATION the School Owner must surrender all WKSA materials provided

and comply with Section 14 Closing a Kuk Sool School.

18.13 Any Black Belt aware of an infringement of WKSA rules should report this to Headquarters. Confidentiality is guaranteed. The report will be reviewed by the WKSA Disciplinary Committee and acted upon accordingly.

18.14 Any legal fees incurred by either party in settling disagreements between Schools/Instructors/Black Belts will be the responsibility of the individual parties in dispute. The WKSA shall not be held responsible for any fees other than its own where applicable.

Article 19. Grievance Procedure

19.1 In order that all grievances are handled and conducted in the appropriate manner, the following procedures should be followed.

19.2 Under Black Belt Student grievance against an Instructor:

19.2.1 Relationships between a Student and his/her Instructor shall be kept at the School level and the WKSA shall not act as an arbitrator.

19.2.2 Students may report cases of misconduct, or other more serious cases to the

WKSA, and should do so in writing. 19.2.3 Should an Instructor request a Student to leave the School, the Instructor shall

have no further control or involvement concerning that Student. 19.2.4 Should the request for leaving be for a serious offense that would bring the

WKSA into disrepute, the Instructor shall inform the WKSA in order that the Student does not apply to another School Owner for membership.

19.3 Black Belt Student grievance against an Instructor:

19.3.1 The Black Belt should immediately and above all respectfully, advise the Instructor that an area of concern needs to be addressed.

19.3.2 If the concern cannot be resolved between the two parties, the Instructor shall

further the concern to W.K.S.A. and Kuk Sa Nim for resolution. The decision of Kuk Sa Nim shall be final and binding.

19.3.3 At no time shall the two parties concerned involve a third party - unless that

third party is Kuk Sa Nim. 19.4 Instructor grievance against another Instructor:

19.4.1 The Instructor should immediately and above all respectfully, advise the Instructor that an area of concern needs to be addressed.

19.4.2 If the concern cannot be resolved between the two parties, the Instructor shall further the

concern to W.K.S.A. and Kuk Sa Nim for resolution. The decision of Kuk Sa Nim shall be final and binding. This would include Students changing Schools and attendance at Tournament, Black Belt Testing and Seminars.

19.4.3 At no time shall the two parties concerned involve a third party - unless that third

party is Kuk Sa Nim. 19.5 Black Belt/Instructor against the W.K.S.A

19.5.1 Any Instructor or Black Belt that has a grievance against the W.K.S.A. shall respectfully bring the area of concern to the Grievance Committee. The Instructor or Black Belt shall not discuss this grievance with any other entity.
