1. The Allahabad Bank, a body corporate established under the Banking Companies (Acquisition and Transfer of Undertaking) Act 1970, having its Head Office at 2, Netaji Subhas Road, Kolkata-700001, India, hereinafter called “The Purchaser” or “Bank”, which term or expression unless excluded by or repugnant to the context or the meaning thereof, shall be deemed to include its successors and permitted assigns, intends to issue this Bid document, hereinafter called Request for Proposal, or “RFP”, to invite Techno-Commercial bids from eligible Bidder for Selection of End-to-End Solution For Implementation Of Credit Card Solution on an Outsourced Model in accordance with the Industry Best Practices and for complying with all regulatory guidelines.

2. A complete set of RFP documents may be purchased by any interested Bidder on the

submission of a written application, in duplicate, from The Asstt. General Manager (IT) Allahabad Bank, Head Office, Department of Information Technology, 2nd Floor, 2, Netaji Subhas Road, Kolkata – 700001, India upon payment of non-refundable fee of Rs.25,000/- (Rupees Twenty-five Thousand only) in the form of Demand Draft or Banker’s Cheque in favour of ‘Allahabad Bank’, payable at Kolkata. Only the Bidders, who purchase the RFP in their names, are eligible for submission of bid. The RFP may be obtained from the above address during office hours on all working days either in person or by post.

3. A complete set of RFP may also be downloaded from Bank’s official website

www.allahabadbank.in. The Bidder who has downloaded the RFP from above website, is required to submit a non-refundable fee of Rs.25,000/- (Rupees Twenty-five Thousand only) in the form of Demand Draft or Banker’s Cheque, in favour of ‘Allahabad Bank’ payable at Kolkata, during office hours within the last date and time of submission of bid, failing which the Bid of the concerned Bidder will not be entertained. This tender is not transferable. Only the Bidders who have officially purchased this tender document shall be entitled to quote subject to their fulfilling the eligibility criteria.

4. Technical bids will be opened in the presence of the bidders’ representatives who

choose to attend on the specified date and time. The indicative commercial bids of only technically qualified bidders will be opened and the lowest quote obtained through indicative commercial bids may be fixed as start price for the subsequent reverse auction to be carried out. However Bank may decide to fix the start price lower than the lowest indicative quote at its discretion. The online reverse auction process will be adopted for obtaining commercial quote from the technically qualified bidders on separate date and time which will be notified separately.

5. No further discussion/interface will be granted to the bidders whose bids have been

disqualified on technical or any other ground declared/established as per terms/conditions of the RFP.

6. Non-attendance at the Bid Opening will not be a cause for disqualification of a bidder.

7. Allahabad Bank reserves the right to accept or reject, in part or full, any or all the offers

without assigning any reasons whatsoever.

About Allahabad Bank

1. Allahabad Bank (‘the Bank’) was established on 24 April 1865 in Allahabad. In the year 1969, the Government of India nationalized 14 commercial banks and Allahabad Bank was one of them. For operational convenience, the Head Office of the Bank was shifted from Allahabad to Kolkata in 1923.

2. The Bank is a leading public sector commercial bank based in India. The Bank offers a

range of financial services including cash management services, depository services, corporate agency arrangements, VISA & RuPay debit cum ATM card, bank assurance and mutual fund, real time gross settlement, gold card scheme for exporters, National Electronic Fund Transfer (NEFT), government business, and online payment. The bank operates through four business segments, namely, Treasury, Corporate / Wholesale Banking, Retail Banking, and Other Banking.

3. Presently, the Bank has a network of more than 3248 Domestic Branches, out of which

1206 are at Rural, 766 at Semi-Urban, 647 at Urban and 629 in Metropolitan Centres, spread all over the country. The Bank also has an Overseas Branch at Hong Kong.

4. The Bank also has CBS Project Office & DC in Mumbai, a CBS Project Monitoring Office in

Kolkata and a DR Site in Lucknow.

5. The CBS implementation of the Bank was completed on 18th December 2010. Core Infrastructure for the Centralized Banking Solution is hosted at the Data Center (DC) and Disaster Recovery Center (DRC). DC & DRC are operational on 24 x 7 x 365 basis and have necessary infrastructure for that.

6. Bank is having 1097 ATMs and debit card base is approx 120 Lakhs.

7. The Bank has one overseas branch at Hong Kong.

8. Some of the business statistics (figures in Crores of Indian Rupees) of the Bank as on 30th September 2017 are as under : Total Business : Rs. 359,450 Crs. Total Deposits : Rs. 207,269 Crs. Gross Advances : Rs. 152,180 Crs

9. The Bank has One RRB – Allahabad U.P. Gramin Bank, and two JVs ASREC & Universal

Sompo General Insurance Co. Ltd.

10. The Bank will open/plans to open branches, offices from time to time & may also promote/acquire Associates/JVs as and when required.

1. ALLAHABAD Bank is not into Credit card business; bank intends to issue at least 3,00,000 Credit Cards with in next 5 years. Initially the contract would be for 3 years and may be extended for further 2 years depending upon bank’s interest and quality of service provided by bidder. However it should be noted that these are only indicative numbers and should not be treated as commitment from the Bank.

2. This Request for Proposal (RFP) is intended to invite Techno-Commercial Bids from eligible bidders to provide end-to-end Credit Card Solution on Outsourced Model in tune with industry best practices and guidelines.

3. The Bidder is required to Implement and Maintain Complete Credit Card System Operation on an Outsourced Model and train the concerned personnel of the bank as per the requirements of this RFP for the period of the contract.

4. The Bidder has to implement the solution as per requirements laid down in this document.

1 The bidder should be a government organization/ Public sector unit/ Partnership firm / Limited Company/ Private Limited Company having its Registered Office in India since last five years as on 01/12/2017. Relevant documents of registration should be submitted as part of the proposal. (In case of mergers/acquisitions/restructuring or name change, the date of establishment of earlier/ Original firm would be taken into consideration.)

Certificate of Incorporation

2 The bidder should meet all the following criteria for the last 3 years (2014-15, 2015-16 and 2016-17) for Operations in India:

1. Annual Turnover of at least INR 100 Crores. 2. The company should have positive Networth. 3. The bidder must warrant financial solvency, i.e. able

to meet all the debts as and when they fall due.

Audited financial statements for the last three financial years and Declaration on Letterhead for sub Point No. 3

3 The bidder should be a reputed IT Solution Provider possessing at least a valid SEI CMMi Level 3 certification or above certification or a valid ISO Certification for any of the following: Design/Development/Implementation/ Maintenance/ Testing for Software at the time of bid submission

4 The bidder individually or in alliance with its partners should be able to provide end-to-end services for supporting credit card business operations for the bank including provision of a card management system in a hosted environment in at least a Tier3 Data Centre, Provision of a switch for connectivity with VISA/Mastercard/RUPAY schemes with relevent third party service provider certifications from VISA/ Mastercard/ RUPAY and provision of human resources for customer service centre and back-office operations.

5 The Bidder/ Partners should have a successful PCI-DSS compliance certificate for the data center operations and PCA-DSS compliance certificate for the Application.

compromise, notified by the Bank/ IBA/ Mastercard/ Visa/ NPCI/ RBI during the past three years in India.

8 The Bidder applicant should not be a defaulter of any Co-operative Credit Society/ Bank/ any other financial Institution and should not have any NPA account with Bank/Financial Institution and should have met all the tax and other statutory obligations. The vendor applicant should have a satisfactory track record.

9 The bidder/ Partners should have minimum three institutions worldwide (at least one must be implemented in a Public Sector Bank in India) as its existing clients. The names of such clients with details of contact persons such as name, designation, address, phone number etc. should be furnished by the bidder in their response to the technical bid.

10 The Bidder/Its Partner should have an own/ managed primary data center of at least tier-3 level, with Disaster Recovery center in India, capable of providing all type of services with respect to hosting a credit card solution and other services related to the same.

11 The Bidder/ Partners should be presently handling a credit card base (Single customer) of at least 2.00 lakh at present in India as on 01.12.2017.

12 The Bidder/ Partner system should be capable of issuing EMV compliant Credit card, with experience of at least two years for issuing EMV Credit Cards.

13 The bidder should own the intellectual property rights of the product/solution or he should have rights from the owner, if not, the Bidder should have in place proper tieups, commercial agreements, authorised implementation partnerships etc. for development /resale/ customisation of software with the product bidder or any third party, whose software products are offered.

Mode of submission The offer will be in three parts – Eligibility, Technical & Commercial. The Bank would adopt the E-Tendering process for the submission of Commercial Bid, whereas the eligibility & technical Bids are to be submitted in physical form. The bidder shall prepare two copies each of the Technical and Eligibility Criteria. The bidder shall seal the original and copy of these (two) bids in separate envelopes (Total Four envelopes). All the original bids should be further sealed in to one outer envelope marked as Original Bid and all the copy bids should be sealed in a separate outer envelope marked as Copy Bid. The two outer envelopes shall be marked as “BID FOR CREDIT CARD ON OUTSOURCED MODEL AGAINST RFP REF. NO.: HO/IT&DB/CC/2017-18/01 – ORIGINAL BID ” and “BID FOR CREDIT CARD ON OUTSOURCED MODEL AGAINST RFP REF. NO.: HO/IT&DB/CC/2017-18/01 – COPY BID”. In case the bidders opt to remit the non refundable bid submission fee by way of DD/Banker’s Cheque at the time of bid submission, the same shall be safely kept in the outer envelope containing Original Bids. In addition to the DD/Banker’s Cheque, this outer envelope shall contain following envelopes (Original /copy as the case may be):

1. Envelope labeled as “Eligibility Criteria”; 2. Envelope labeled as “Technical Bid”; 3. Commercial Bid

All documents/papers should be self-attested by the authorized representative of the bidder and stamped properly. Soft copies of the requisite documents/papers contained in a Compact Disc (CD) should also be included in the respective envelopes. The response should be organized and submitted in the following manner: 1) Envelope labeled as “Eligibility Criteria” This envelope should contain the documentary proof and annexure required if any in respect of each of the criterion listed out in Section Eligibility Criteria. The check list for submission of eligibility criteria is given in Annexure - 3. This envelope should also contain-

• The profile of bidder as specified in Annexure - 4. • Letter with details of authorized signatories/Power of Attorney’s in the name of the

authorized signatories who can represent the Bidder/s with regard to the obligations under the RFP or contract Annexure – 1 & 21

• Two hardcopies (one original and one duplicate) of duly filled up Annexure– 3 & 4, along with supporting documents.

This envelope shall also contain all the Annexure specified in this RFP related to technical evaluation. It shall also include documentary proof required for substantiating the information given in Annexure, if any. In case any Bidder does not quote for any of the components, the response would be deemed to include the quote for such unquoted components required for meeting the functional and technical requirements including the service levels specified in this RFP. The Bank reserves the right not to permit changes in the technical specifications and not to evaluate the offer in case of non-submission of the technical details in the required format or partial submission of technical details. 3) “Indicative Commercial Bid” The bidder has to submit the commercial offer online. The Indicative Commercial Bid should be given by the Bidders in the format as shown in Annexure - 8. The Bidder is expected to quote unit price in Indian Rupees for all components on a fixed price basis as part of the commercial Bid inclusive of all costs and taxes like customs duty, excise duty, import taxes, freight, forwarding, insurance, delivery, installation, training etc. at the respective delivery location of the Bank but exclusive of only applicable (in India) Sales Tax/VAT, Service Tax/GST and Octroi / Entry Tax / equivalent local authority cess, which shall be paid / reimbursed on actual basis on production of bills. Further, receipts of such payments made to relevant authorities must be produced for Octroi / Entry Tax / equivalent local authority cess. The Bank will not pay any other taxes, cost or charges. The indicative price should be quoted as per the format specified in the RFP. Indicative Prices for all items including optional items, if any, should also be mentioned. The Bidders have to note that the commercial proposal post reverse auction must contain the following: 1. The bid covering letter cum declaration format is given in Annexure - 9 2. The price schedule shall be submitted in indicative commercial Bid only. In a nutshell, the indicative commercial Bid details will need to be provided for per card per month fees/charges including whatever has been mentioned under scope of work. The indicative commercial bid is obtained for the complete solution and Bank will place the order after finalizing the Bidder. Further, while the Bidder has to quote for all the components of the solution. The envelope shall be addressed to the Bank at the address given below: The Asstt. Opening of Technical Bids The technical bids (containing Technical & Eligibility Criteria) will be opened at 15:00 Hours on 27 December, 2017 in the presence of Bidders’ Representatives.

1. The Bidders may note that no further notice will be given in this regard. Further, in case Bank does not function on the aforesaid date due to unforeseen circumstances or holiday then the bid will be accepted on the next working day and bids will be opened at the same venue on the same day.

2. Bank however reserves the right to change the date & time for opening of Technical bid

without assigning any reason whatsoever. In case there is a change in the schedule the same will be intimated to the Bidders by putting up on the Bank’s website for enabling them to be present during the Bid opening.

3. The Bidders’ names, bid modifications or withdrawals and the presence or absence of

the requisite bid security and such other details as the Bank, at its discretion, may consider appropriate, will be announced at the bid opening. No bid shall be rejected at bid opening, except late bids, which shall be returned unopened to the Bidder.

4. The technically qualified Bidders will be intimated to participate in the demo sessions. Date and schedule of demo sessions will be announced at an appropriate date and time.

5. These bidders will also be informed about the Online Reverse Auction Process, to

identify Lowest Quoted (L1, L2, L3...) Bidders. Online Reverse Auction procedures and timings will be informed separately. Technically qualified Bidders will be informed the modus operandi for this purpose and Bidders will have to abide by the E-Tendering rules.

6. Bank shall be under no obligation to accept the lowest price bid or any other offer

received in response to this RFP. Bank will not be obliged to meet and have discussions with any Bidder, and / or to listen to any representations in respect of the rejection.

7. Bidder will be selected based on the Evaluation Methodology mentioned below.

4. The prospective bidders are advised to ensure on-line submission of Commercial Bid (Annexure - 8) only in a single pdf file with name “Comm.pdf” of size less than 5MB, duly signed and stamped by the authorized signatory latest by the last date and time of submission of Bids.

Bid Security

1. The bidder shall furnish a bid security for Rs. 50,00,000/- (Rs.Fifty Lakh only) as a part of their bid.

2. The Bid security is required to protect the Bank against the risk of Bidder’s conduct,

which would warrant the security’s forfeiture.

3. The Bid security shall be denominated in Indian Rupees and shall be one of the following forms:- • A bank guarantee for Rs. 50,00,000/- (Rs. Fifty Lakh only) issued by a Private sector /

Public Sector bank in India (other than Allahabad Bank), acceptable to the Bank, in the form as per format in Annexure-15, valid for Sixty (60) days beyond the validity of the Bid.

• A Banker’s Cheque / Demand Draft, issued by a Private Sector / Public sector Bank in India (other than Allahabad Bank), drawn in favour of Allahabad Bank payable at Kolkata for a sum of Rs. Rs. 50,00,000/- (Rs. Fifty Lakh only).

4. Unsuccessful Bidders’ Bid Security will be discharged or returned after the issuance of

Purchase Order to the Successful Bidder. The successful Bidder’s Bid Security will be discharged upon the Bidders signing the Contract and furnishing the Performance Security.

5. The Bid Security will be forfeited,

• If the Bidder: withdraws its Bid during the period of bid validity, or does not accept the correction of errors in accordance with the

Instructions to Bidders; or

• If the Bidder, having been notified of the acceptance of its bid by the Purchaser during the period of bid validity: fails or refuses to execute the Contract Form if required; or fails or refuses to furnish the performance security, in accordance with

the Terms & Conditions of the RFP or contract.

No. HO/IT&DB/CC/2017-18/O1 Modification and Withdrawal of Bids The bidder may modify or withdraw its bid after the bid’s submission, provided that the Bank receives written notice for modification or withdrawal of the bids, before the expiration of deadline prescribed for submission of bids. In case of modifications, the bidder is expected to resubmit entire bid before the last date of submission. Only addendums/amendments will not be accepted.

Rejection / Acceptance of Bid The Bank reserves the right to accept or reject any or all the bids without assigning any reason whatsoever. Any decision of the Bank in this regard shall be final, conclusive and binding on the bidder.

Cancellation of Bid The Bank reserves right to re-issue/re-commence the entire bid process and or any part in case of any anomaly, irregularity or discrepancy in regard thereof without assigning any reason whatsoever, at its sole discretion. The decision of the Bank in this regard shall be final, conclusive and binding on the bidder.

Period of Validity of Bids Validity Period: - Bids shall remain valid for 180 days from the last date specified for submission of bids in this RFP. The Bank holds the rights to reject a bid valid for a period shorter than 180 days. Extension of Period of Validity: - In exceptional circumstances, the Bank may solicit the Bidder’s consent to an extension of the validity period. The request and the response thereto shall be made in writing. Extension of validity period by the Bidder should be unconditional and irrevocable.

Pre-Bid Meeting The prospective bidders, who have purchased a copy of the RFP and submitted the bid price (for downloaded RFP), shall be permitted to attend a pre-bid meeting to be held as indicated in the Invitations for Bids. Up to a maximum of 2 (two) representatives of each prospective bidder will be permitted to attend the pre-bid meeting. However the Bank, at its discretion, may permit any additional representative of any prospective bidder to attend the pre-bid meeting. The purpose of the meeting is to clarify issues and to answer queries on any matter that may be raised up to that stage. The issues/queries to be raised must be in writing and submitted at

The Bank will have liberty to invite any outside agency, wherever necessary, to be present in the pre-bid meeting to reply to the queries of the bidders in the meeting. Any modification in the RFP, which may become necessary as a result of the Pre-Bid Meeting, shall be made by the Bank exclusively through the issue of an Addendum and will be sent to all prospective bidders who have purchased the RFP, at least 4 working days prior to the last date for submission of bids. Objective

1. The objective of the evaluation process is to evaluate the bids to select an effective and best fit solution at a competitive price. The evaluation will be undertaken by the Selection Committee formed by the Bank, which may also include external experts/consultants. The committee or authorised official shall recommend the successful bidder to be engaged for this assignment to the Board and the decision of our Board shall be final, conclusive and binding on the bidders.

2. Through this Request for Proposal, Bank aims to select a Bidder/ application provider

who would undertake the designing and implementation of the required solution. The Bidder shall be entrusted with end to end responsibility for the execution of the project under the scope of this RFP.

3. The Bank will scrutinize the offers to determine whether they are complete, whether

any errors have been made in the offer, whether required technical documentation has been furnished, whether the documents have been properly signed, and whether items are quoted as per the schedule. The Bank may, at its discretion, waive any minor non- conformity or any minor deficiency in an offer. This shall be binding on all Bidders and the Bank reserves the right for such waivers and the Bank’s decision in the matter will be final.

4. Bank may call for any clarifications/additional particulars required, if any, on the

technical/commercial bids submitted. The bidder has to submit the clarifications/ additional particulars in writing within the specified date and time. The bidder’s offer may be disqualified, if the clarifications/ additional particulars sought are not submitted within the specified date and time.

5. Bank reserves the right to call for presentation/s, product walkthroughs, on the features

of the solution offered etc., from the bidders based on the technical bids submitted by them. Bank also reserves the right to conduct Reference Site Visits at the bidder’s client sites. Based upon the final technical scoring, short listing would be made of the eligible bidders for final commercial bidding.

6. The evaluation will be a three-phase process:-

7. The Technical evaluation and the Commercial evaluation (post reverse auction) shall have the weight-age of 60% and 40% respectively for evaluation, and this weight-age shall be taken into consideration for arriving at the Successful Bidder.

NOTE: The Bank's decision in respect of eligibility criteria, evaluation methodology and short listing of bidders will be final and no claims, whatsoever in this respect, shall be entertained. The Bidders meeting the eligibility criteria as laid out in Section Eligibility Criteria would be shortlisted for the Technical Bid Evaluation.

Evaluation of Technical Bid The proposal submitted by the Bidders shall be evaluated on the following group of parameters. 2. The Software solution offered, however, should have at least 75% of the requirements as standardized. The remaining should be customized before “GO LIVE”, at no extra cost to the Bank.

Scoring Methodology for Product Demonstration and Bid Presentation (PB)

1. Eligible Bidders will be required to make presentations to supplement their bids and show a detailed product demonstration. The number of eligible bidders called for product demonstration is purely a matter of discretion of the Bank. The Bank will schedule presentations and the time and location will be communicated to the Bidders. Failure of a Bidder to complete a scheduled presentation to the Bank will result in rejection of the proposal.

2. The marks awarded under this parameter shall be based on the effectiveness of the

demonstrations and presentations made by the bidder. Using the Functional & Technical Requirements as a base in part or as a whole, the Bank may formulate a detailed questionnaire for the product demonstrations.

Scoring Methodology for Customer Reference & Feedback

1. Reference site visit/ Tele conference/Written Correspondence: The Bank requires the Bidders to provide at least THREE references from any Public or Private Sector Banks in India or abroad, amongst which at least two should be Public Sector Bank in India, where the solution has been deployed/under implementation as on date of submission of bid. Out of two PSBs, one should be running LIVE with a minimum volume of 2 Lakh Credit cards. Less marks will be given to references below 2 Lakh Credit cards.

2. A committee of officials from the Bank would carry out Reference Site Visits and/or

Telephonic interviews, Written Correspondence with the existing customers of the Bidder. The inputs that have been received from the Customer would be considered by the Bank and this might not need any documentary evidence. This scoring would be purely on the basis of inputs (like satisfaction of the organization of the product, timeliness of implementation, promptness of support services etc.) provided by the Bidder’s customers. The Bank at its discretion may reject the proposal of the Bidder without giving any reasons whatsoever, in case the responses received from the Site Visits are negative.

3. The Cost for travel and lodging for the team identified by the Bank will be borne by the Bank for site visits. However, the Bidder may be expected to facilitate these arrangements.

1. The front-end solutions should have omni-channel capabilities so that the look-and-feel and user experience remains absolutely same independent of the medium of access (desktop, tablet or mobile) - 6 Marks

2. The front-end solutions should be deployed on centralised framework such that any

changes/customizations will reflect on all devices simultaneously and does not need modification of code for separate device (eg. Any configuration change in the desktop portal will also reflect on mobile app) - 5 Marks

3. The mobility solution should give card customers access to all possible self-service

options including but not limited to the Functional & Technical requirement mentioned for Mobility - 4 Marks

Scoring Methodology for Project Team Profile & Project Execution Planning

1. The bidder is expected to provide, as a part of the technical bid, a detailed document that explains the approach and methodology proposed by the bidder for the implementation of the proposed solution. The “Approach and Methodology” adopted for the Implementation would be evaluated by Bank and would at the minimum cover Team Strength, Project Management and Training.

2. Team Strength: Team Strength in Proposed Team Profile, including the team profile

provided by the Bidder, would be evaluated. The Bidder should ensure that the people above the role of the Team Lead who are proposed for this project should have worked on projects in Banks earlier. The members of the proposed project team and team lead should have a minimum experience of 2 years and 5 years respectively in implementation of similar kind of projects in India /Abroad.

3. The Bank will require the Bidders to make presentations regarding the various aspects

of the proposed solutions. This process will also enable the Bank to clarify issues that may be identified from the Bidders’ responses to the RFP. The Evaluation Committee decided by the Bank would be scoring the presentation made by the Bidders at Bank’s premises based on a structured questionnaire broadly across the following:-

1. The bidders who fail to score above or equal to 60% of the technical score shall be disqualified. If only one bidder/none of the bidders qualify, Bank at its discretion may select bidders with the top two/three technical scores for commercial evaluation.

2. Bank at its discretion may reject the proposal of the Bidder without giving any reason

whatsoever, if in Bank’s opinion, the Solution Sizing was not made appropriately to meet the performance criteria as stipulated by Bank and also where the responses received from the Site Visits are negative.

Evaluation of Indicative Commercial Bid & Online Reverse Auction

1. Only technically qualified Bidders (as per the laid out criteria) will be intimated to participate in the Online Reverse Auction to identify L1 (lowest quoted) Bidder. The comparison shall be between the prices quoted. Commercial per card per month will be considered as per the Commercial format mentioned in the Annexure – 8 i.e. The price should be inclusive of all Duties, Freight, Insurance, Delivery, Installation, etc. but exclusive of VAT/CST, Service Tax/GST, Octroi/Entry Tax only.

2. Computation Methodology for arriving at “Best Price”: The techno-commercial score

shall be calculated as follows: Total Score = (C-LOW / Cn) * C-weight + (Tn / T-HIGH) * T-weight Where, C-Low = Lowest Commercial Quote Cn = Commercial Quote of the Bidder being evaluated C – Weight = Weight of the Commercial Bid i.e. 40% Tn = Technical Score of the Bidder being evaluated T-High = Highest Technical Score T-weight = Weight of the Technical i.e. 60% Here C and T are the commercial and technical scores of the respective bidders.

The scores would be rounded-off to two decimal points. C-weight & T-weight shall be weighted on 40% and 60% criteria respectively. The evaluation criteria mentioned in this RFP is tentative and the score earned by the

bidders in accordance with the evaluation parameters listed out above does not confer them the right to be awarded the contract. Further, the Bank has sole discretion in selection of the successful bidder and decision of the Bank in this regard shall be final.

Reverse Auction

Bank would conduct an online reverse auction process on the commercials submitted by the Bidders. As such it is necessary that authorized personnel of the firm or organization sign the BID. The designated personnel should be authorized by the organization or by a senior official of the organization having authority to do so. The same person or a different person should be authorized, who should have digital certificate issued in his name and should have authority to quote bid amount in the commercial bid and also quote offer price during on-line reverse auction. The details of digital certificate, like Name, Digital Key details, issuing authority and validity etc. to be provided later.

RFP Ref. No. HO/IT&DB/CC/2017-18/O1 Scope of Work The detailed scope of work and requirements are given below. These details/ requirements have been given under separate headings/sections only for the purpose of better understanding and it is to be clearly understood that, as mentioned elsewhere in this RFP document, Allahabad Bank intends to outsource end-to-end Credit Card processing on hosted model at Bidder‘s premises in India. All costs associated with the delivery of services as per the scope of RFP should be borne by the Bidder, unless specified otherwise. The Bidder should be able to provide credit card solution platform as per specification of VISA/ MasterCard/ RuPay with following mandatory requirements:

1 Successful Bidder/Partner should install the credit Card processing setup and Authorization Host for the Bank in their own premises and should have hosted VAP (Visa Net Access Point)/ EAS (Extended Access Server), MIP (Member Interface Processor) and RuPay interface.

2 All required charges including for connectivity/port charges with networks should be borne by the bidder, Bank will only bear the cost of bin procurement, bin management and bank specific certification with the schemes (MasterCard/VISA/RuPay).

3 Successful Bidder is to connect it‘s infrastructure facility to Bank‘s at Data Centre / Disaster recovery site through leased Line/ MPLS network to enable bank users to access the bidder’s system.

4 Bank to ensure the entry and verification of application data in the system and subsequent underwriting / Credit limit assignment decisions. Bidder to receive the approved application data from the bank and ensure setting up of card accounts in bidder’s system and subsequent downstream activities.

5 The Successful Bidder should undertake operational activities related to account updation, account modification, demographic changes, payment standing instructions, recurring payment instructions, balance transfer request etc., received through physical change request form/ phone banking/ net banking etc. The system should generate letter/email/SMS for any such modification.

6 Integration between Successful Bidder‘s customer web module and the Banks net banking system & Bank‘s website would be required. The Bank would share the payment file at the end of the day for all successfully completed transactions at their end for payment posting to cardholders account and also for reconciliation purpose.

7 The Bidder should be able to provide comprehensive front-end solution for the bank credit card users where-in the users can log-in and access all the features through desktop, tablet or mobile device in a seamless way. The mobility solution should give card customers access to all possible self-service options including but not limited to the ones specified in functional requirements section.

8 SFTP (Secured file transfer protocol) would be used for transfer of Data between the Bank and the Successful Bidder. This would include various files for processing and also daily and periodic reports as needed by the Bank.

data, transactional data etc. in the format specified by the Bank on a periodic basis in the mode specified by the Bank, if required.

10 The Successful Bidder should provide reliable help desk facility for customers with IVR, manned desk, queries raised through card portal/mobile app etc.

11 The Successful Bidder should manage the end-to-end Dispute management of chargeback processing and tracking the request through it entire lifecycle. The bidder should provide web interface to the Bank for entering the disputes in the system. This interface should provide the status of all the disputes received from various sources.

12 Pre-personalization including chip data creation shall be responsibility of the Successful Bidder. Bidder must provide facility of Image card as per requirement of the Bank.

13 Bidder/Its partners will also be responsible for plastic printing and dispatch to individual cardholders through courier/speed-post. The embossing partner identified by the bidder should be certified and approved by the schemes to issue CHIP-PIN cards. The embossing partner to ensure it abides by all security protocols and regulations from the schemes related to card printing. Bidder/It’s partner to manage and bear cost of procurement of plastics and plastic issuance/printing. Successful Bidder should have Disaster Recovery Site (DRS) and business continuity plan in force and these are to be tested regularly.

14 Successful Bidder is to do necessary customization and to implement changes to meet Bank‘s requirement and regulatory requirements during the currency of the Contract without any additional cost.

15 Successful Bidder should provide all relevant training to the Bank personnel as under: • Contract start-up training session - At the start of the contract, the Bidder shall

provide initial on-site training to Bank staff covering features of the application processing, card, billing procedures, available reports and the application process etc.

• Training materials - The Bidder shall also provide written materials that will be used by Bank.

• Telephone and e-mail support - The Bidder shall provide telephonic support and support through e-mail to the Bank‘s staff.

• Bank may undertake any additional training programs or aids such as video-conferencing, on-line support etc.

16 Successful Bidder shall carry out credit card operation and is to give end-to-end solution covering the scope of work mentioned above and inter-alia, the following activities the details of which are given at Annexure 5 and agreed to be provided by the Successful Bidder:

17 The Successful Bidder should ensure that all the requirements as mentioned above and in Annexure- 5 should be available within two months from the date of signing the Contract. The non-availability of any of the above functionality will attract penalties.

18 Settlement • Re-arrange Settlement Report and re-group various items as per our format. • Prepare group wise summary. • Create GL update batch file and give the same for input into Bank's accounting

software. • Quarterly report of Retail Sale and Cash Transactions (Local and International

separately) to be sent to Visa, MasterCard AND NPCI.

19 Customer Care Centre

Customer-care help line should be provided. It shall be the responsibility of the Service Provider to install necessary hardware, peripherals and software and enough manpower to the customer care Centre at processing center and during working hours at the credit card Department of the Bank.

20 Technical Requirements for Credit Card Outsourcing. • The Service Provider to arrange all the required software and hardware at the

agreed location for providing the intended services to the Bank. • Service Provider/Partner must have switch solution connected and certified by

RuPay, VISA & MasterCard for credit card operations, including hardware and software environment.

• The bidder should have all the necessary interfaces required for direct connection to the any other bank's system for on-line access.

21 Other Issues • The service provider/partner must be already registered or willing to register as

a third party service provider with MasterCard/ VISA and NPCI. In either case the Service provider must bear the cost of such registration and its further renewals during the currency of the contract. The same will apply in the case of registration any other card association or council with which the Bank may enter

into strategic alliance to issue Cards. The service provider must also agree to abide by all statutory requirements by the authorities in India and the Reserve Bank and standards laid down by the Payment Card Industry Security Standards Council/MasterCard/ VISA /NPCI or any such entity.

• The Service Provider shall comply with all present or future requirements including Audits of MasterCard and VISA/ NPCI or any other entity, during the currency of the contract. Any penalties/fees levied by these agencies for non-compliance shall be to the Service Provider's account.

• The software should have the provision to store the customer — ID to be provided in the core-banking module.

• Company should be able to provide online query modules to the Bank free of cost. The Service Provider shall provide the necessary software required for this purpose. Bank may also be provided with other functionalities like hot listing of card etc., in future. Software should have provision for the same. The software and connectivity cost at the affiliate branch for the above purposes will be on the service provider.

• Service Provider/Partner should have variable printing and variable stuffing capability for the bill printing and dispatching the bills, embossed cards etc.

• Providing M.I.S. Reports to the Bank regarding all above mentioned activities in Electronic as well as printed form at periodical intervals as stipulated by the Bank from time to time. Bank reserves the right to change the format and or periodicity of the reports / data or request additional reports / data any time. For any changes in periodicity and formats of reports etc. Any additional information required by the Bank at any unscheduled time should be generated and supplied.

22 Service Provider should transfer data to the proposed call center in prescribed format as frequently as required and / or provide an interface to the same.

23 The above list of scope of the work is only illustrative, since RFP is for ―‖ solution, any other job required for that will be part of the RFP and successful bidder will have to perform that without any extra cost.

No. HO/IT&DB/CC/2017-18/O1 Terms and Conditions of Contract (TCC) This part postulates, in broad terms, the conditions of contract and contractual obligations, which shall be the subject matter of discussions and consultation between the Bank and the successful bidder and points emerging out of such consultation shall form part of the SLA.

1. If the Bid includes equipment products /services /software and/or support by other companies or individuals, the Bidder as the principal Bidder shall be responsible for their delivery, installation and maintenance and uninterrupted operations. The Bidder must ensure that they possess the necessary expertise for executing aforesaid task and the requisite permission/license for the equipment/software. It will be the responsibility of the Bidder to enter into inter- se agreement with such other service provider(s) so as to ensure uninterrupted operations.

2. Bidder should have all necessary licenses, permissions, consents, no objections,

approvals as required under law for performing the Services.

3. If the Bid includes equipment in addition to the above, the Bidder would also be required to ensure the following: a) In case any part of the work If process is required to be out-sourced by the Bidder,

the Bidder shall seek prior approval of the Bank. b) The Bidder must ensure and confirm due diligence / KYC / Physical verification of its

own as well as the employees of its service providers / sub-contractors and must be able to provide documentary evidence for the same if required.

Payment Terms

1. Payment shall be made in Indian Rupees, on monthly basis after Bill submission by the service provider, for the services rendered during the previous month as per the Agreement. Bank will pay for all the undisputed Bills. Payment will be made after deducting the Penalties as applicable due to delay/ deficiencies in the services.

2. Prices payable to the Service Provider as quoted in the Price Schedule shall be firm and

not subject to adjustment during performance of the Contract, irrespective of reasons whatsoever, including exchange rate fluctuations, changes in taxes, duties, levies, charges, etc. All prices will be valid during the currency of the Agreement.

Assignment: The Service Provider shall not assign to any third party, in whole or in part of their obligations to perform under the Contract, except with the Bank's prior written consent.

1. The Service Provider should advise the Bank in the documents in writing of all the subcontracts that have been already awarded with complete details such as the activity, function, agency with whom they entered into sub contract, period of contract, etc.

2. The Service Provider shall attach a certified copy of the agreement of the subcontract

already entered into with each of the agencies/ firms/ companies to the Bank.

3. In case the service provider intends to enter into sub contract regarding any activity or function during the currency of the contract, they should inform the Bank in writing the activity and or functions for which they want to enter into subcontract for prior approval.

4. The service provider has to submit a copy of the agreement of the subcontract entered

by them in future, to the Bank for prior approval.

5. Any subcontract that has already been entered into or to be entered into by the service provider shall not relieve the Service Provider from any liability or obligation under the Agreement.

6. All Subcontracts already entered into or to be entered into by the service provider must comply with the provisions of TCC.

Out-sourcing

1. The Bidder should notify the activities and or functions that they have already outsourced or propose to outsource in the technical bid document and the names of the agencies/companies with complete details such as the activity, function, agency with whom they entered into for outsourcing, period of contract, etc.

2. The Service Provider shall attach a certified copy of the agreement of the outsourcing

already entered into with each of the agencies/ firms/ companies to the Bank.

3. In case the service provider intends to enter into outsource regarding any activity or function during the currency of the contract, they should inform the Bank in writing the activity and or functions for which they want to outsource for prior approval.

4. The service provider has to submit a copy of the agreement of the outsourcing to the Bank for prior approval.

5. Any outsourcing activity that has already been entered into or to be entered into by the service provider shall not relieve the Service Provider from any liability or obligation under the Agreement.

6. All outsourcing already entered into or to be entered into by the service provider must

comply with the provisions of TCC. Taxes and Duties: The quoted prices shall be excluding service tax/GST only and will be treated as inclusive of exchange rate fluctuations, all other taxes, statutory liabilities, applicable levies, charges, license fees, royalties etc. If any tax is levied by virtue of law in force after awarding of the Contract, it will be the bidder‘s responsibility and will be borne by the Bidder and Bank will not incur any liability. In case Bank has to pay such taxes/dues for restoration of Services, it will have right to deduct the same from the amount payable to the Bidder. Income / Corporate Taxes in India:

1. The Service Provider shall be liable to pay all corporate tax, income tax and any other tax that shall be levied according to the laws and regulations applicable from time to time in India. The Bank's liability is restricted to the payment of charges to the Service Provider as per SLA.

2. Wherever the laws and regulations require deduction of any taxes at the source of

payment, the Bank shall effect such deductions from the payment due to the Service Provider. The Bank shall remit such monies to the competent authority and furnish certificate of deduction as provided in the relevant law under which such deductions are made.

Service Provider Integrity:

1. The service provider shall use / procure only properly licensed software for carrying out its obligations under the agreement.

2. The Service Provider is responsible for and obliged to conduct all contracted activities in

accordance with the agreement using state-of the-art machinery and economic principles and exercising all means available to achieve the performance specified in the agreement.

3. Service Provider's obligations:

a) The Service Provider is obliged to work closely with the Bank's staff, act within its

own authority and abide by directives issued by the Bank in executing the contract / the Agreement. The Service Provider shall follow industry 'Best Practices'.

b) The Service Provider will abide by the job safety measures prevalent in India and will

free the Bank from all demands or responsibilities arising from accidents or loss of life, the cause of which is the Service Provider's negligence. The Service Provider will

pay all indemnities arising from such incidents and will not hold the Bank responsible or obligated.

c) The Bidder is obliged to hold in trust any confidential information Received by it, under the RFP/ Contract, and the strictest of the confidence will be maintained in respect of such information. Cardholder data is a valuable asset and proprietary of the Bank. Under no circumstances shall the Service Provider disclose, publish, part with, sell or make it available to any other third party, except its own employees/Agents who are required to handle this information in the normal course of their duties. Service Provider shall allow access to such employees to only that portion of the data, which is required by them to discharge their duties. It is obligatory for the Service Provider to ensure complete confidentiality by its employees. Suitable clauses will be incorporated in the SLA governing maintenance of confidentiality and secrecy of cardholder data made available to and resting with the service provider.

d) The Bidder will restrict access and disclosure of Information to such of their employees, agents, strictly on a "need to know" basis, to maintain confidentiality of the information disclosed to them in accordance with this Clause and to treat all Information as Confidential Information. Confidential Information does not include information which: i. The Bidder knew or had in its possession, prior to disclosure, without limitation

on its confidentiality; ii. Is independently developed by the Bidder without breach of the Contract/RFP; iii. Information in the public domain as a matter of law; iv. is received from a third party not subject to the obligation of confidentiality with

respect to such information; v. Is released from confidentiality with the written consent of Bank.

However it will be bidder‘s responsibility to prove that the information in the possession of the bidder falls under the above category. Notwithstanding the foregoing, the Bidder acknowledge that the nature of the service(s) to be performed under the Contract/RFP may require the Successful Bidder(s) personnel to be present on premises of Allahabad Bank or may require the Successful Bidder(s)‘ personnel to have access to computer networks of Allahabad Bank while on or off premises of Allahabad Bank. It is understood that it would be impractical for Allahabad Bank to monitor all information made available to the Successful Bidder(s) under such circumstances and to provide notice to the Successful Bidder(s) of the confidentiality of all such information. Therefore, the Successful Bidder(s) agree(s) that any technical or business or other information of the Bank that the Successful Bidder(s) personnel, or agents acquire while on the Bank‘s premises, or through access to Bank‘s computer systems or databases while on or off Bank‘s premises, shall be deemed Confidential Information. Confidential Information shall at all times remain the sole and exclusive property of Allahabad Bank. Upon termination of the Contract, Confidential Information shall be returned to Allahabad Bank or destroyed, if incapable of

Nothing contained herein shall in any manner impair rights of Allahabad Bank in respect of the service(s), and documents, etc. All the information relating to the credit card holders (including but not limited to any information pertaining to the applicants for issue of credit card) shall at all times remain Confidential Information and shall be held in trust by the Successful Bidder on behalf of Allahabad Bank and the Bidder shall not use the same for any purpose other than for the performance of the Services and towards compliance of obligations under RFP/the Contract. Inspection and Audit of the services:

1. Service Provider will allow the authorized officials of the Bank to inspect the card personalization bureau, any of its offices or any other manufacturing set-ups or establishments, and any records pertaining to the work mentioned in SLA during office hours with prior notice.

2. The Successful Bidder shall provide unrestricted access to its premises and records being

maintained with regard to the job being performed as per its contract with the Bank, to the authorized personnel of the Bank / its auditors (internal and external)/ any statutory / regulatory authority / authorized personnel from RBI/ PCIDSS to carry out any kind of process audit including that of its operations and records (including making available the copies of the same) related to Bank‘s Credit Card Business in the presence of representatives of the Successful Bidder, at any point of time. This will be applicable and extended to any entity to which the Successful Bidder has outsourced any part of the prescribed activity under Bank‘s Credit card operations. It shall be the responsibility of the Successful Bidder to ensure unrestricted access to the authorities/ officials as mentioned above to the places where such services are outsourced, for inspection and verification.

3. The Bank will be at liberty to share the agreement or the information as provided by the

service provider to RBI or any other regulatory/statutory authority and access to the books of accounts of the service providers.

4. Service Provider will be responsible for arranging secured transmission of Card related

data files from various centers, transmission of data to the Switch, receiving and submitting various MIS reports etc.

5. Service Provider shall promptly provide any information relating to the outsourced work

as may be required by the Bank from time to time.

6. Service Provider shall provide to the Bank two sets of milestone backup of entire database on DVD/ CD at the end of every month. Including settlement Data received

from MasterCard / Visa/ NPCI & any other such agency, relating to Bank. Service Provider should have a well-defined business continuity and disaster recovery plan in place. Details of such plans should be provided in the bid.

7. The Service Provider shall give an undertaking to comply with and abide all byelaws,

rules, policies, operating guidelines and procedures and mandates laid down by MASTER CARD/ VISA and NPCI regulations from time to time.

8. In case Service Provider has to be registered under Master Card/ VISA/ NPCI as third

party service provider to the Bank, it agrees that such registration shall be facilitated through the Bank and the fee for such registration and its renewals shall be borne by the Service provider.

9. Service Provider shall execute all such necessary agreements/ documents as prescribed

by Master Card, VISA and NPCI ( in future if required) from time to time. Patent Rights: In the event of any claim asserted by a third party of infringement of copyright, patent, trademark, industrial design rights, etc., arising from the use of the hardware / software in India by the Service Provider in fulfillment of its obligations under the contract, the Service Provider shall act expeditiously to extinguish such claim. If the Service Provider fails to comply and the Bank is required to pay compensation to a third party resulting from such infringement, the Service Provider shall be liable to compensate the Bank for all such payments made including all expenses, court costs and lawyer fees etc. The Service Provider shall indemnify and keep the Bank indemnified in this connection. The Bank will give notice of any such claim to the Service Provider without delay and Service Provider shall reimburse such monies expeditiously, in case Bidder fails to compensate the Bank, bank will be entitled to recover the same from monthly bill settlements and/or by invoking BG given by the bidder. PIN related Work

1. The work of PIN generation, PIN mailer Printing, stationary and dispatching it to the Branches/customer should be carried out by the Service Provider from their Premises. Service Provider should use Hardware Security Module (HSM) for PIN generation.

2. Mode and means of dispatch of the Credit Cards and the PIN mailers will be at the sole

discretion of the Bank. The Bank may decide to engage the services of Indian Postal authority and or courier service as they think fit. Bank will have the discretion to change the mode and means of dispatch of the Credit cards and the PIN mailers and Bank's decision will be binding upon the service provider.

3. Bank may change Pin process in future. Delivery may be through any other mode like secured password protected SMS/ email, or self generation by the card holder, in those circumstances existing system will be replaced by new one.

Welcome letter and other collaterals.

1. The Bank shall provide the matter to be printed on the collaterals as per specifications, to be sent to the cardholders along with the Credit cards/statements.

Software, Hardware, Peripherals and other infrastructure. All the operating systems, application software, hardware, printers, other peripherals, security modules like HSM, any other equipment needed for encryption and decryption of data, dial up connections or any other infrastructure required for transmission of data files — required for Credit Card Personalization and other related work — in a secure way between Bank's establishments at various centers and Service Provider's premises, PIN mailers and anything else required for meeting Service Provider's obligations — blank plastic, printed matter, all will be arranged by the bidder. Only courier charges for Pin mailer and Card dispatch will be borne by the Bank. Office space for PIN generation and PIN mailer printing — shall be the sole responsibility of the Bidder. If bidder expects anything else, such requirement must be made clear in the bid. Bank may at its sole discretion agree to provide them. Bank's decision shall be final. Should the Bank decide against such a request, it shall be Service Provider's responsibility to provide such requirement at no extra cost to the Bank. Resolution of Disputes

1. The Bank and the Service Provider shall make every effort to resolve any disagreement or dispute arising between them under or in connection with the SLA amicably by direct informal negotiation. In case of dispute or difference arising between the Bank and a Service Provider relating to any matter arising out of or connected with the agreement to be entered into, such disputes or difference shall be settled in accordance with the Arbitration and Conciliation Act, 1996. The arbitration tribunal shall consist of one arbitrator, who will be appointed by the Bank and the Service Provider. In case of failure of the Bank and the Service Provider to reach upon a consensus within a period of 30 days for the appointment of the Arbitrator, the matter shall be referred to the Hon. Chief Justice of High Court of Kolkata for nominating the Arbitrator.

2. Arbitration proceedings shall be held at Kolkata, India, and the language of the

arbitration proceedings and that of all documents and communications between the parties shall be English.

3. The decision of the Arbitrator shall be final and binding upon both parties.

4. The cost and expenses of Arbitration proceedings will be paid as determined by the arbitration tribunal. The expenses incurred by each party in connection with the preparation, presentation, etc., of its proceedings shall be borne by the party concerned. However the fees and the expenses paid to the Arbitrator shall be borne and shared equally by the Bank and the Service Provider.

5. The Successful Bidder(s) shall not stop the work under the Contract during the

arbitration proceedings unless otherwise directed in writing by the Bank or unless the matter is such that the work cannot possibly be continued until the decision of the arbitrator is arrived at. However during such a contingency, the Bank shall be entitled to make alternative arrangements to tackle the situation in any manner it deems fit, at the cost of the Bidder, so that the business of the Bank is not disrupted.

Cancellation and Termination of the contract The agreement with the service provider shall be valid for a period of three years. However the same can be terminated by the Bank after giving 1 month notice to the vendor. Bank may exercise this right of termination, if the services are not satisfactory, contract terms are not complied or bidder has become bankrupt/ under liquidated or been blacklisted. These reasons are listed below in brief (only indicative and not exhaustive):

• The Successful Bidder commits a breach of any of the terms and conditions of the Bid/ RFP/ the Contract.

• The Successful Bidder goes into liquidation, voluntarily or otherwise. • An attachment is levied or continues to be levied for a period of seven days upon

effects of the Bid. • The progress regarding execution of the order accepted, made by the Successful

Bidder is found to be unsatisfactory. • If deductions on account of liquidated damages exceeds more than 2% of the

total Contract value. • After the award of the Contract, if the Successful Bidder does not perform

satisfactorily or delays execution of the Contract. • In other reason, approved by Bank’s Board

If for any reason, the Contract is cancelled, Allahabad Bank reserves the right to get the works executed through alternate sources at the risk, cost and responsibility of the Successful Bidder. Allahabad Bank reserves the right to recover any dues payable by the Successful Bidder from any amount outstanding to the credit of Successful Bidder, including the pending bills and/or invoking the Bank guarantee under this RFP / Contract. Successful Bidder shall not have any claim against the decision of Allahabad Bank and decision of Allahabad Bank shall be final and conclusive and shall be binding on the Successful Bidder. Governing Language/ Addresses

The following shall be the address of the Bank for serving the notice; Bank's address for notice purposes: Asstt. General Manager (IT), Department of Information Technology & Digital Banking, Allahabad Bank, Head Office, 2, N.S. Road, Kolkata – 700 001 West Bengal Suppliers address for notice purposes (To be filled in by the Supplier) Performance Security:

1. The Successful Bidder shall furnish the performance security (Bank Guarantee) within 15 days of the receipt of acceptance by Bank, as per the format in Annexure-12.

2. The value of the performance bank guarantee will be 1.5 Crores. The performance

security shall be denominated in Indian Rupees and shall be in the form of Bank Guarantee issued by an Indian scheduled commercial bank and directly forwarded by the issuing Bank to Allahabad Bank.

3. The proceeds of the performance security shall be payable to Allahabad Bank as

compensation for any loss or damage resulting from the Successful Bidder's failure to complete its obligations under and in accordance with the Contract.

4. In case performance guarantee amount reduces from the initial deposit due to penal

deductions, etc., it shall be made up / replenished back to the initial amount deposited within [15] days of such penal deductions, etc. being effected.

5. As the Contract is for tenure of three years, the Successful Bidder shall provide

performance Bank guarantee for a period of three year and 6 months from the date of award of Contract, indemnifying the Bank against any loss. The bank guarantee shall be provided to office specified by the Bank within 15 days from the date of receipt of acceptance letter from the Bank.

Failure of the Successful Bidder to comply with the requirement of the performance bank guarantee shall constitute sufficient grounds for the annulment of the award and forfeiture of the EMD, in which event Bank may award the Contract to the next best evaluated Bidder or call

Expenses for the Contract: The incidental expenses of execution of Contract including but not limited to payment of proper stamp duty shall be borne by the Successful Bidder. Representations and Warranties In order to induce Allahabad Bank to enter into the Contract, the Bidder hereby represents and warrants the following:

1. It is duly organized and validly existing company under Indian Laws. 2. It has power and authority to execute and deliver the Contract and has taken all

necessary steps to authorize execution, delivery and performance as per contract. 3. It meets the requisite eligibility criteria as set out in the RFP. 4. It is not involved in any major litigation and no litigation or investigation is threatened

against it. That the existing or threatened litigations or investigations do not have an impact of affecting or compromising the performance and delivery of Service(s) under the presents.

5. The representations made by it in its Bid are and shall continue to remain true and fulfill all the requirements as are necessary for executing the duties, obligations and responsibilities as laid down in the Contract and RFP and unless Allahabad Bank specifies to the contrary. It has not suppressed any information, which is within the knowledge of the Bidder.

6. The execution of the Service(s) herein is and shall be strictly in accordance and in compliance with all applicable laws, as amended from time to time, the regulatory framework governing the same and the Good Industry Practice. It has all permissions, consents, approvals and license from all authorities, both regulatory / statutory and non-regulatory, for executing the Service(s);

7. It is authorized and legally eligible and otherwise entitled and has power and authority to do all things necessary and appropriate and to consummate the Service(s).

8. Neither the execution and delivery of the Contract nor the Bidder‘s compliance with or performance of terms and provisions of the Contract shall contravene any provisions of law or any order, writ, injunction or decree of any Court or Government authority nor shall it violate any provisions of its constitutional documents or any agreement or arrangement to which it is a party.

9. The Credit Card issuance services under outsourced model offered to the Bank do not violate any provisions of the applicable laws, regulations or guidelines including laws relating to intellectual property rights, legal and environmental. In case there is any violation of any law, rules or regulation, which is capable of being remedied the same will be got remedied immediately during the implementation, maintenance and contract period to the satisfaction of the Bank.

10. If it having been notified fails to remedy the defect(s) within the period specified, Bank may proceed to take such remedial action as may be necessary, at the Bidder‘s risk and

expense and without prejudice to any other rights which Bank may have against the Bidder under and in accordance with the Contract.

11. It has made or shall make all necessary arrangement for delivery of the Service(s). In case of failure on the part of Bidder to provide any material / service as mentioned, Bank has a right not to pay for such particular part of material / service and has also right to deduct penalties for such damages. Any decision of Bank in this regard shall be final, conclusive and binding on the Bidder.

Insurance: The Successful Bidder shall take adequate insurance cover against all kinds of risks including fidelity clause for the loss arising from acts of omission/ commission/ dishonesty of its employees and/ or agents and would be required to keep the insurance policy alive at all times during the currency of the Contract. Delivery period (Setup period): The Successful Bidder shall complete the requisite setup for smooth functioning of Credit card operations within Two months from the date of signing the Contract. Standard of Performance: The Successful Bidder shall perform the Service(s) and carry out its obligations under the Contract/ this RFP with due diligence, efficiency and economy, in accordance with generally globally accepted techniques and practices used in industry and with professional engineering standards recognized by the international professional bodies as per Best Industry Practices. The Successful Bidder shall safeguard Bank‘s legitimate interests in any dealing with third parties. Liquidated Damage/Penalty:

1. If the Successful Bidder fails to deliver or perform the Services as stipulated in the Contract, Allahabad Bank shall, without prejudice to its other remedies available under the RFP/Contract, deduct as liquidated damages a sum maximum to All penalties will be applicable as per Annexure 19 and capped to 10% of invoice value. If there is delay of more than 3 months in project go live , Bank will have right to invoke PBG/EMD.

2. Any loss caused to the Bank or claims made against the Bank owing to non-performance of the Services by the Successful Bidder as per the Contract, or non-compliance of regulatory guidelines, will attract liquidated damages to the extent that the claim is made against the Bank. The Bank reserves the right to recover this amount from any dues payable or to accrue to the Successful Bidder in future in any form.

3. Any financial loss to the Bank on account of fraud taking place due to Successful Bidder,

its employees or their service providers negligence shall be recoverable from the Successful Bidder along with damages if any with regard to Bank‘s reputation and goodwill.

RFP Ref. No. HO/IT&DB/CC/2017-18/O1 Execution of Non Disclosure Agreement (NDA): The Bidder should execute Non- Disclosure Agreement (NDA) as per Annexure - 2. Indemnity: The Successful Bidder shall execute and furnish to Allahabad Bank, a deed of indemnity in favor of the Allahabad Bank in a form and manner, indemnifying, the Allahabad Bank, its directors, employees, agents, its affiliates, subsidiaries, successors, assigns and representatives from and against any costs, loss, damages, expense, claims, litigations, suits, actions, judgments, and or otherwise including but not limited to those from third parties or liabilities of any kind howsoever suffered, arising out of or incurred inter alia during and after the Contract period including but not limited to third-party claims due to infringement of patent, trademark, Intellectual Property Rights, copy-rights or industrial drawings and designs arising from use of the Services or any part thereof and/or otherwise. The provisions under this clause shall survive the termination of the Contract. Authorized Signatory: The Successful Bidder shall indicate the authorized signatories who can discuss and correspond with Allahabad Bank with regard to the obligations under the Contract/RFP. The Successful Bidder shall at the time of signing the Contract submit a certified copy of the resolution of their board, authenticated by the company secretary, authorizing an official or officials of the Bidder to discuss, sign agreements/contracts with Allahabad Bank , raise invoice and accept payments and also to correspond. The Bidder shall provide proof of signature identification for the above purposes as required by Allahabad Bank. Signing of Bid: Each Bid will be submitted in the legal name of the Bidder and shall be signed and duly stamped by the Bidder or a person duly authorized to sign on behalf of the Bidder. Ownership and Retention of Documents:

1. Allahabad Bank shall own the documents, prepared by or for the Bidder arising out of or in connection with the Contract/RFP.

2. Forthwith upon expiry or earlier termination of the Contract and at any other time on demand by Allahabad Bank, the Bidder shall deliver to Allahabad Bank all documents provided by or originating from Allahabad Bank and all documents produced by or from or for the Bidder in the course of performing the service(s), unless otherwise directed in writing by Allahabad Bank, at no additional cost.

3. The Bidder shall not, without the prior written consent of Allahabad Bank, store, copy, distribute or retain any such documents.

4. Bidder shall preserve all documents provided by or originating from Allahabad Bank and all documents produced by or from or for the Bidder in the course of performing the Service(s) in accordance with the legal, statutory, regulatory obligations of Allahabad Bank in this regard.

Publicity: Any publicity by the Bidder in which, the name of Allahabad Bank is to be used, should be done only with the explicit written permission of Allahabad Bank.

No. HO/IT&DB/CC/2017-18/O1 Assignment: The Successful Bidder shall not assign to anyone, in whole or in part, its obligations to perform under the Contract/RFP, except with the Bank‘s prior written consent. Intellectual property rights: The Bank will own all Intellectual Property Rights to all design, software and/or systems created specifically for credit card operations at the Bank under this contract. The Bidder shall fully protect/indemnify the Bank from all legal actions, claims or damages from third parties arising out of use of software, designs or processes used by the Bidder. Relationship between the Parties:

1. Nothing in the Contract constitutes any fiduciary relationship between Allahabad Bank and Successful Bidder/its team or any relationship of employer - employee, principal and agent, or partnership, between Allahabad Bank and the Successful Bidder.

2. No Party has any authority to bind the other Party in any manner whatsoever, except as

agreed under the terms of the Contract.

3. Allahabad Bank has no obligation to the Successful Bidder‘s except as agreed under the terms of the Contract.

4. All employees/personnel/ representatives/agents etc., engaged by the Successful Bidder

for performing its obligations under the Contract/RFP shall be in sole employment of the Successful Bidder and the Successful Bidder shall be solely responsible for their salaries, wages, statutory payments etc. Under no circumstances, shall Allahabad Bank be liable for any payment or claim or compensation (including but not limited to any compensation on account of any injury / death / termination) of any nature to the employees/personnel/representatives/ agent etc. of the Successful Bidder.

5. The Successful Bidder shall not make or permit to be made a public announcement or

media release about any aspect of the Contract unless Allahabad Bank first gives the Successful Bidder its prior written consent.

Conflict of interest

1. The Bidder should not be owned or controlled by any Director or officer/ employee of the Bank or their relatives having the same meaning as assigned under section 6 of the Companies Act, 1956.

2. The Successful Bidder shall disclose to Allahabad Bank in writing, all actual and potential

conflicts of interest that exist, arise or may arise (either for the Successful Bidder or its team/agents/representatives/personnel etc.) in the course of performing the Services as soon as practical after it becomes aware of that conflict.

3. Penalty for delay in contract execution and other Terms:

a) For any delay in commencement of activities on the part of Bidder beyond two months b) after signing of the Contract with the Bank, a penalty will be charged. c) If the Bidder fails to deliver or perform the Services within stipulated time schedule as

decided in SLA, Allahabad Bank will, without prejudice to its other remedies available under the Contract, deduct from the ordered price, the liquidated damages, i.e., a sum equivalent to maximum of 10% of the billing amount for the succeeding month. Allahabad Bank reserves all the rights to levy the penalties under the contract in case satisfactory services are not restored.

d) Bank is entitled to withhold or deduct liquidated damages from the price under the contract or any other amount, which is due to Bidder from this contract, or any other contract.

e) Notwithstanding anything contained in this RFP/ the Contract or in any other document(s)

a. Under no circumstances Allahabad Bank shall be liable to the Successful Bidder

and/or its employees/personnel/representatives/agent etc. for direct, indirect, incidental, consequential, special or exemplary damages arising from termination of the Contract.

b. Allahabad Bank shall not have any liability whatsoever in case of any third party claims, demands, suit, actions or other proceedings against the Successful Bidder or any other person engaged by the Successful Bidder in the course of performance of the service.

c. Any payments made to and received by authorized Successful Bidder personnel shall be considered as a full discharge of Allahabad Bank‘s obligations for payment under the Contract.

Contract Amendments: No variation in or modification of the terms of the Contract shall be made except by written mutual consent signed by both the Parties i.e. the Successful Bidder and Allahabad Bank. The Successful Bidder, however, agrees it shall be bound to amend the Contract, if so required by Allahabad Bank, for giving effect to any amendment, modification etc. in the applicable laws including but not limited to amendment/modification etc. in the Reserve Allahabad Bank Act, 1934/ the Banking Regulations Act, 1949 and/or to give effect to any modifications, amendments or fresh guidelines issued/imposed by RBI. Termination

1. Allahabad Bank may, without assigning any reasons, terminate the Contract by giving Successful Bidder, a prior and written notice of One (1) months indicating its intention to terminate the Contract.

2. Service Provider will provide all necessary assistance in ensuring a smooth transition of services, all Card related data to the alternate Service Provider identified by the Bank in case of termination of contract or expiry of the contract period.

Consequences of Termination

1. In the event of termination of the Contract due to any cause whatsoever, [whether consequent to the stipulated term of the Contract or otherwise], Allahabad Bank shall be entitled to impose any such obligations and conditions and issue any clarifications as may be necessary to ensure an efficient transition and effective business continuity of the Service(s) which the Successful Bidder shall be obliged to comply with and take all available steps to minimize loss resulting from that termination/breach, and further allow the next successor Bidder to take over the obligations of the erstwhile Successful Bidder in relation to the execution/continued execution of the scope of the Contract.

2. In the event of termination of the Contract due to efflux of time where the term is not

extended by Allahabad Bank, the Successful Bidder shall be obliged; to provide all such assistance to the next successor Bidder or any other person as may be required and as Allahabad Bank may specify including training, where the successor(s) is a representative/personnel of Allahabad Bank, to enable the successor to provide adequately the Service(s) hereunder, even where such assistance is required to be rendered for a reasonable period that may extend beyond the term/earlier termination hereof.

3. Where the termination of the Contract is prior to its stipulated term on account of a

default on the part of the Successful Bidder or due to the fact that the survival of the Successful Bidder as an independent corporate entity is threatened/has ceased, Allahabad Bank shall pay the Successful Bidder for that part of the Service(s) which have been authorized by Allahabad Bank and satisfactorily performed by the Successful Bidder up to the date of termination. Without prejudice to any other rights, Allahabad Bank may retain such amounts from the payment due and payable by Bank to the Successful Bidder as may be required to offset any losses caused to Bank as a result of any act/omissions of the Successful Bidder. In case of any loss or damage due to default on the part of the Successful Bidder in performing Services or any failure to perform any of its obligations under the Contract, the Successful Bidder shall compensate Allahabad Bank for any such loss, damages or other costs, incurred by Allahabad Bank. Additionally, the sub Bidder (if any) other members of its team shall continue to perform all its obligations and responsibilities under the Contract in an identical manner as were being performed hitherto before in order to execute an effective transition and to maintain business continuity. All permitted third parties shall continue to perform all / any functions as stipulated by Allahabad Bank and as may be proper and necessary to execute the Service(s) under the Contract in terms of the Successful Bidder‘s bid and the Contract.

4. Nothing herein shall restrict the right of Allahabad Bank to invoke the performance bank guarantee and/or other guarantees, securities furnished, enforce the Deed of Indemnity and pursue such other rights and/or remedies that may be available to Allahabad Bank under law or otherwise.

5. The termination hereof shall not affect any accrued right or liability of either Party nor

affect the operation of the provisions of the Contract that are expressly or by implication intended to come into or continue in force on or after such termination.

6. In the event of termination of this Contract for any reason whatsoever, Allahabad Bank

shall have the right to publicize such termination to caution the customers/public from dealing with the Successful Bidder.

Force Majeure

1. Notwithstanding the provisions of TCC, the Service Provider shall not be liable for any penalties as mentioned above, for default if and to the extent that its delay in performance or other failure to perform its obligations under the Agreement is the result of an event of Force Majeure,

2. For the purposes of this clause, "Force Majeure" means an event beyond the control of

the Service Provider and not involving the Service Provider's fault or negligence and not foreseeable like earthquakes, epidemics, war, fire, revolution, riots, natural disaster, acts of God.

3. If a Force Majeure situation arises, the Service Provider shall promptly notify the Bank in

writing of such condition and the cause thereof. Unless otherwise directed by the Bank in writing, the Service Provider shall continue to perform its obligations under the Agreement as far as is reasonably practical, and shall seek all reasonable alternative means for performance not prevented by the Force Majeure event.

4. Bidder should have compatibility to map with the Bank‘s system, and will be required to

upgrade their system, if any change is done by the Bank in their system.

Confidential information "Confidential Information" means and includes all data, documents and information disclosed or to be disclosed by either Party to other Party and its Representatives (as defined herein) (including information transmitted in written, electronic, magnetic or other form and also information transmitted orally or visually) and any and all information, in whole or in part, directly or indirectly, from such information including all notes, summaries, analyses, compilations and other writings. Confidential information shall include any copy, abstract, extract, sample, note or module thereof and electronic material or records. “Receiving Party” may use the information solely for and in connection with the Purpose. "Disclosing Party" means party who discloses Confidential Information. 2. Use of Confidential Information Each party agrees not to use the other’s confidential information for any purpose other than for the specific purpose. Any other use of such confidential information by any party shall be made only upon the prior written consent from the authorized representative of the other party or pursuant to subsequent agreement between the Parties hereto.

No. HO/IT&DB/CC/2017-18/O1 The receiving party shall not commercially use or disclose for commercial purpose any confidential information or any materials derived therefrom, to any other person or entity other than persons in the direct employment of the Receiving Party who have a need to access to and knowledge of the confidential information solely for the purpose authorized above. The Receiving Party may disclose confidential information to consultants only if the consultant has executed non-disclosure agreement with the Receiving Party that contains terms and conditions that are no less restrictive than these and such consultant should also be liable to the original disclosing party for any unauthorized use or disclosure. The Receiving party shall take appropriate measures by instruction and written agreement prior to disclosure to such employees to assure against unauthorized use or disclosure. The Receiving Party agrees to notify the Disclosing Party immediately if it learns of any use or disclosure of the Disclosing party’s confidential information in violation of the terms of this Agreement. Neither party shall make news release, public announcements, give interviews, issue or publish advertisements or Agreement, the contents/provisions thereof, other information relating to this agreement, the purpose, the Confidential information or other matter of this agreement, without the prior written approval of the other party. 3. Exemptions The obligations imposed upon either party herein shall not apply to information, technical data or know how whether or not designated as confidential, that:

• Is already known to the Receiving party at the time of the disclosure without an obligation of confidentiality.

• Is or becomes publicly known through no unauthorized act of the Receiving party. • Is rightfully received from a third party without restriction and without breach of this

agreement. • Is independently developed by the Receiving party without use of the other party’s

Confidential Information and is so documented. • Is disclosed without similar restrictions to a third party by the Party owning the

confidential information. • Is approved for release by written authorization of the disclosing party; or • Is required to be disclosed pursuant to any applicable laws or regulations or any order

of a court or a governmental body; provided, however that the Receiving party shall first have given notice to the Disclosing Party an made a reasonable effort to obtain a protective order requiring that the confidential information and / or documents so disclosed used only for the purposes for which the order was issued.

4. Term This agreement shall be effective from the date of the execution of this agreement and shall continue till expiration or termination of this agreement due to cessation of the business relationship between the parties. Upon expiration or termination as contemplated herein the

The obligations of the receiving party respecting disclosure and confidentiality shall continue to be binding and applicable without limit until such information enters the public domain. 5. Title and Proprietary Rights Notwithstanding the disclosure of any confidential information by the Bank to the Vendor, the Bank shall retain title and all intellectual property and proprietary rights in the confidential information. No license under any trademark, patent or copyright or application for same which are or thereafter may be obtained by the Vendor is either granted or implied by the conveying of confidential information. 6. Return of Confidential Information Upon written demand of the disclosing party, the receiving party shall (I) cease using the confidential information (ii) return the confidential information and all copies, abstracts, extracts, samples, note or modules thereof to the disclosing party within seven (7) days after receipt of notice and (iii) upon request of the disclosing party, certify in writing that the receiving party has complied with the obligations set forth in this paragraph. The Vendor shall not make news releases, public announcements, give interviews, issue or publish advertisements or publicize in any other manner whatsoever in connection with this Agreement, the contents / provisions thereof, other information relating to this Agreement or information received under this Agreement, the Purpose, the Confidential Information or other matter of this Agreement, without the prior written approval of the Bank. The Vendor shall not reverse-engineer, de-compile, disassemble, or otherwise interfere with any software disclosed hereunder. 7. Remedies The receiving party acknowledges that if the receiving party fails to comply with any of its obligations hereunder, the disclosing party may suffer immediate, irreparable harm for which monetary damages may not be adequate. The receiving party agrees that, in addition to all other remedies provided at law or in equity, the disclosing party shall be entitled to injunctive relief hereunder. 8. Entire Agreement This agreement constitutes the entire agreement between the parties relating to the matter discussed herein and supersedes any and all prior oral discussion and/or written correspondence or agreements between the parties. This agreement may be amended or modified only with the mutual written consent of the parties. Neither this agreement nor any

Severability If any provision herein becomes invalid, illegal or unenforceable under any law, the validity, legality and enforceability of the remaining provisions and this agreement shall not be affected or impaired. 10. Indemnity The Vendor will indemnify the Bank against all actions, proceedings, claims, suits, damages and any other expenses for causes attributable to Vendor in connection with purchase of Hardware/software/goods under this contract. The total liability of the Vendor under the contract will not exceed the total cost of the project. 11. Dispute Resolution Mechanism In the event of any controversy or dispute regarding the interpretation of any part of this agreement or any matter connected with, arising out of, or incidental to the arrangement incorporated in this agreement, the matter shall be referred to arbitration and the award passed in such arbitration shall be binding on the parties. The arbitral proceeding shall be governed by the provisions of Arbitration and Reconciliation Act 1996 and the place of arbitration shall be Kolkata. 12. Jurisdiction The parties to this agreement shall submit to the jurisdiction of courts in Kolkata. 13. Governing Laws The provisions of this agreement shall be governed by the laws of India. 14. Authority to Execute the Contract Each person executing this Agreement warrants and represents that he or she has the authority to enter into this Agreement on behalf of the party whose name appears below their signature. 3. In consideration of the payments to be made by the Purchaser to the Supplier as hereinafter mentioned, the Supplier hereby covenants with the Purchaser to provide the goods and services and to remedy defects therein in conformity in all respects with the provisions of the Contract.

4. The Purchaser hereby covenants to pay the Supplier in consideration of the provision of the goods and services and the remedying of defects therein, the Contract Price or such other sum as may become payable under the provisions of the Contract at the times and in the manner prescribed by the Contract.

under this contract, and will have overall responsibility of the performance, functionality and operation of the systems under this contract. Any supporting software provided /installed /configured by the Vendor shall be maintained /fine-tuned/ parameterized by the Vendor, from time to time, so that the solution delivers optimal performance. The Bank shall have the Right to use supporting software provided /installed /configured by the Vendor and/or software application systems supplied under this contract of Sale after the expiry of the Warranty period under this contract and it shall be at liberty to use/ run the said software solutions with the help/support of its in house IT Officers or through any other out sourcing service Agencies. The Vendors shall not have any right to question or object for continuation of the use of such software or software solutions irrespective of entering into any AMC with the Vendor after the expiry period or not. The Bank will decide at its sole discretion after expiry of the period under this contract either to enter into an AMC with the Vendor or not. The Vendor shall not have any right to challenge the decision of the Bank in any manner or in any proceedings.

6. The Vendor shall ensure the meeting of the Security features, the standards and procedures as per Bank’s IT Security Policy and procedures should be meticulously followed, in line with prevailing Industry Standards. In case of the any violation of the industry Standards, if the Bank has to incur any liability or penalty sanctioned by any Statutory/Supervisory Authority, the Vendor shall reimburse the same.

7. The Vendor has to provide the Bank with the proper backup and recovery procedure, with necessary documents so as to meet any exigencies.

8. The Vendor should ensure that all verification processes in the software solutions should be governed by maker checker controls.

Annexure - 19 Project Management & Penalties

Items Compliance

Bidder to engage dedicated experienced Senior Project Manager (SPM) having not less than 10 years experience in Credit Card business with minimum qualification of MBA from reputed institute. Biodata needs to be approved from Bank during any change.

SPM will be there for the entire duration of contract

One dedicated project Manager (PM)reporting to SPM is required to be posted at Bank’s HO, Kolkata. PM should have minimum 5 years experience in card industry

In addition to SPM, bidder to provide one technical resource (TR) for assisting Bank’s team in various modules of Credit Card application, retrieving MIS and handling escalations related with customer complaints.

SPM, PM is required to work since beginning for workflow finalization, card design finalization, marketing, activation of modules and so on.

Bidder needs to presents various analytic tools to maximize insight of operations and better decision making

After award of contract, bidder needs to immediately start work with latest project management technologies, so that first card is issued within 1 month from the date of order.

If card is not launched within 1 months, a penalty of 10% per month (will be calculated on prorate weekly basis) to be realized from first invoice will be deducted.

There are various deliverables in the RFP which requires to be setup for smooth operations. Bidder needs to present Statement of Works finalization in consultation with Bank.
