NOTICE TO PROPOSERS Notice is hereby given that the West Texas Centers (“Owner”), acting by and through its Governing Board, will receive up to and not later than October 29, 2018 at 12:00 PM sealed proposals for Construction Manager-At-Risk, in compliance with Government Code 2269.251 et seq. Persons or entities submitting proposals are referred to herein as “Offeror(s).” Proposals clearly marked Construction Manager-At-Risk and addressed to Landon Sturdivant, West Texas Centers, 319 Runnels Street, Big Spring, Texas 79720 will be received until October 29, 2018 at 12:00 PM. Beginning Wednesday, October 10, 2018, packets may be obtained by telephone at West Texas Centers (432) 264-3247. PROPOSAL ENVELOPES SHALL BE PLAINLY MARKED AND SEALED PROPOSAL FOR: Construction Manager At-Risk

DO NOT OPEN UNTIL: October 29, 2018 Any proposal received later than the specified time, whether delivered in person or mailed, shall be disqualified, and the time/date stamp clock in the Owner’s office shall be the official time of receipt. West Texas Centers will not be responsible for proposals or related correspondence that are missent, misdelivered, or misplaced. Proposal may be withdrawn or revised prior to the scheduled time for opening, provided request for such withdrawal is received in writing before the time set for opening. After opening, no proposal may be withdrawn before ninety (90) days after the actual date of the opening. Any interlineation, alteration, or erasure made before receiving time must be initialed and dated by the signer of the proposal, guaranteeing authenticity. The Owner will evaluate and rank each proposal submitted in relation to the selection criteria outlined in this document and set forth in the attached evaluation form. Based on the ranking and evaluations, The Owner may make a selection on October 29,

2018. Offerors will be notified no later than forty-five (45) days after receipt of the proposals. The selection process will follow the stipulations of the Government Code Chapter 2269, Subchapter F. The Owner reserves the right to hold all proposals for ninety (90) days from the proposal receipt date without action, to reject any/or all proposals and to accept any proposal or any combination of proposals deemed most advantageous to the Owner and to waive any informalities in proposals. Following such selection, the Owner may negotiate with the selected Offeror. If the Owner is unable to reach a contract agreement with the selected Offeror, the Owner will terminate further discussions and proceed to the next Offeror in the order of the selection ranking until a contract is reached or all proposals are rejected. (Government Code Chapter 2269, Subchapter F) All questions are to be directed to Melanie Meixner, in writing at [email protected] on or before October 23, 2018 at noon. All interpretation and clarifications considered necessary in response to Offeror’s request will be issued by written addenda mailed or delivered to all who are known to have acquired a packet directly from the Owner. Notice of this proposal has been advertised in the Big Spring Herald newspaper in accordance with Government Code 2269.052. The proposal response must be returned in an envelope or package marked on the outside with the Offeror’s name and address. Proposal responses must be returned in sufficient time so as to be received and time stamped by the Owner on or before the date and time listed on this RFP. One original marked “ORIGINAL” and ten (10) copies of the sealed proposal and any other documents/diskettes must be submitted before the deadline for submitting the sealed proposal. All documents will be the property of West Texas Centers and will not be returned. West Texas Centers accepts no financial responsibility for any costs incurred by the Offeror in the course of responding to this invitation. Following the deadline for receipt, West Texas Centers will receive, publicly open, and read aloud the names of the Offerors and all fees and prices stated in the proposals. Within forty-five (45) days following the date of the opening, West Texas Centers will evaluate and rank each proposal submitted in relation to the selection criteria set forth herein. Following the ranking of the Offerors based on the published selection criteria, the Owner will attempt to negotiate an agreement with the Offeror that offers the best value to the Owner. If the Owner is unable to negotiate an agreement with the selected Offeror, the Owner shall, formally and in writing, end negotiations with that Offeror and begin the negotiation process with the next ranked Offeror in the order of selection ranking until a contract is reached or negotiations with all ranked Offerors end. Pursuant to Texas Government Code section 2269.254, the Owner will rank the proposals based on the criteria and relative weights in the West Texas Centers Construction Manager at Risk Selection Criteria attached as Exhibit “A.”

All responses in the proposal may be used to rank construction managers based on the criteria. The Owner reserves the right to verify the accuracy and completeness of all responses by utilizing any information available to the Owner without regard to whether such information appears in your proposal. By submitting a Proposal, each Offeror agrees to waive any claim it has or may have against the Owner, the Architect/Engineer, and their respective trustees, agents and employees, and any reference sources, arising out of or in connection with the administration, evaluation, or recommendation of any Proposal; waiver of any requirements under the Proposal Documents; acceptance or rejection of any Proposal; and award of a Contract. The Owner shall have no contractual obligation to any Offeror, nor will any Offeror have any property interest or other right in the contract or Work being proposed unless and until the contract is unconditionally executed and delivered by all parties, and all conditions to be fulfilled by the Construction Manager have either been so fulfilled by the Construction Manager. West Texas Centers: Scope of Work and Form of Contract Pursuant to the provisions of the Texas Government Code Section 2269.253, it is the intention of the West Texas Centers to select a Construction Manager at Risk, via the One Step Process, for additions and renovations to various campus improvements, including but not limited to, renovations to interior existing building (Exhibit E). The selected Construction Manager is to assist the Owner and its Architect (MWM Architects, Inc.) with cost evaluations (value engineering), constructability reviews, and scheduling during the construction documents phase, and to oversee the building of the project thereafter as Construction Manager. If the Construction Manager elects to perform any portion of the Scope of Work with its own forces, that portion of work shall follow the same proposal procedures as established for all sub-contracted work. The attached materials describe the scope and schedule for the projects as currently defined. Proposals are to include the information requested in the Questionnaire below in the sequence and format prescribed. All fees and general conditions shall be included in the attached tabulation form. All rankings evaluations of Offerors will be based on the selection criteria identified in this document. In addition to, and separate from, the requested information, organizations submitting may provide supplementary materials further describing their capabilities and experience. The contract between the Owner and the Construction Manager shall be the “Standard Form of Agreement Between Owner and Construction Manager as Contractor where the basis of payment is the Cost of the Work Plus a Fee with a Guaranteed Maximum Price,” AIA Document A133-2009, as amended by the Owner for this project (“Agreement”). A copy of the Agreement is attached as Exhibit “B.” The General Conditions shall be the General Conditions of the Contract for Construction, AIA

PRE-CONSTRUCTION SERVICES • Establish overall project GOALS AND PRIORITIES - Prepare and establish procedures for decision-making, review, etc. - Outline responsibilities of the Owner, the architect, construction manager,

contractors and third parties. • Develop an OVERALL MANAGEMENT PLAN AND CPM MANAGEMENT of

critical design and construction dates in order to accomplish the stated objectives. • DESIGN COST PLANNING - Prepare computerized conceptual estimated system; - Develop, implement and monitor cost model for continuous budget control; - Provide design change order control system for elected modifications; - Obtain special surveys and soil readings as needed; - Hold technical review sessions with Owner and Architect; - Material, and systems selections; - Analyze the potential for use of systems components; - Consult with the Owner and Architect on means and methods of construction; - Submit to the Owner and the Architect special inputs relative to time and cost

control; - Identify certain areas of phased construction; - Prepare “trade-off” studies relative to value engineering; - Prepare a professional construction CPM network for the issuance of bid

packages; - Prepare a detailed estimate based on available design drawings in a CSI or

subcontractor bid format; - Prepare a market analysis regarding local suppliers and material; - Develop and arrange pre-bid packages; - Prepare a site use study to be used for allocation of space for storage; - Parking and temporary facilities; - Cash flow analysis for both the design and construction phases. • CONSTRUCTION DOCUMENTS - Prepare and update estimates in the CSI format at the 50% and 90% working

drawings stage; - Review the drawings and specifications relative to bid packages; - Develop bid package requirements; - Schedule and conduct pre-bid conferences; - Review and analyze bids; - Update project budget and schedule consistent with actual bids; - Develop a detailed CPM network schedule; - Provide a Guaranteed Maximum Price (“GMP”) for the project.

EACH BID PACKAGE TO SATISFY MILESTONES. • SITE UTILIZATION STUDY - Coordinate mobilization and plan logistical requirements; - Project office and material staging locations; - Ingress, egress; - Security requirements of owner. PREPARE SUBCONTRACTOR BID OR PROPOSAL PACKAGES, INCLUDING: - Project Manual, outlining the requirements of the construction; - Schedule (by bid or proposal package interface); - Detailed scope of work; - Detailed document listing; - Proposal forms for each bid or proposal package; - Form of contract and purchase order forms; - Insurance requirements; - Bonding requirements; - Prequalification of bidders/proposers; - Other special requirements. CONDUCT PRE-BID MEETINGS for each bid or proposal package,

addressing: - Project requirements; - Document review for specific questions; - Sequence/schedule review; - Site restrictions; - Other questions asked during discussions. HUMAN RESOURCES As construction managers, provide assistance and policies on Equal Employment Opportunity, minority and women-owned business enterprises, sexual harassment or discrimination, drug abuse program, labor relations, employment transfers or re-assignments and assuring proper personnel for project requirements. PROJECT POST CONSTRUCTION SERVICES - Provide operating and maintenance manuals; - Secure and assemble warranties or guarantees; - Provide checkout of equipment; - Instruct operating personnel in equipment operating and maintenance

Request for Proposals Construction Management at Risk

CRITERIA FOR SELECTION

West Texas Centers may consider the following in determining to whom to award the contract for construction management at risk services for the renovations to the Crisis Respite Center: (a) the purchase price; (b) the reputation of the vendor and of the vendor’s goods or services; (c) the quality of the vendor’s goods or services; (d) the extent to which the goods or services meet the Owner’s needs; (e) the total long-term cost to the Owner to acquire the vendor’s goods or services; and (f) any other relevant factor that a private business entity would consider in selecting a

vendor. Extrapolated from this list, the following criteria may be considered in selecting the Construction Manager at Risk: 1. Purchase price – 25% A. Pre-Construction Fee B. Construction Services Fee C. Acceptability of A133-2009 D. Acceptability of A201-2017

E. Disposition of cost contingencies and savings realized during construction F. Quality of Cost information during design and construction 2. Reputation and experience of the proposer’s services – 20% A. Length of time in business providing services sought by the Owner.

B. The firm’s recent experience in the construction of projects of comparable size, scope, cost, and complexity? C. The firm’s experience in providing construction services for educational

facilities of comparable size, scope, cost, and complexity? D. The firm’s knowledge and experience in the local construction market?

E. Capability to self-perform subcontract work. 3. Quality of the proposer’s services – 20% A. Quality and experience of primary contact person B. Quality and capabilities of proposed personnel C. Quality of safety record

D. Record of claims, lawsuits, etc., or failure to complete any work awarded to it.

SCHEDULE A

GENERAL CONDITIONS WORK The following work is included in general conditions work compensated under section A.2 of the Proposal form: 1. LABOR COSTS 1.1 Wages and salaries of the Construction Manager’s supervisory and administrative personnel when stationed at the site. 1.2 Wages and salaries of the Construction Manager’s supervisory and administrative personnel engaged at factories, workshops or on the road, in expediting the production or transportation of materials or equipment required for the Work. 1.3 Costs paid or incurred by the Construction Manager for taxes, insurance, contributions, assessments and benefits required by law or collective bargaining agreements, and, for personnel not covered by such agreements, customary benefits such as sick leave, medical and health benefits, holidays, vacations and pensions, provided that such costs are based on wages and salaries included under Sections 1.2 and 1.3. 1.4 Bonuses, profit sharing, incentive compensation and any other discretionary payments paid to anyone hired by the Construction Manager or paid to any Subcontractor or vendor. 2. ITEMS 2.1 Costs of transportation, storage, installation, maintenance, dismantling and removal of materials, supplies, temporary facilities, machinery, equipment and hand tools not customarily owned by construction workers that are provided by the Construction Manager at the site and fully consumed in the performance of the Work. 2.2 Rental charges for temporary facilities, machinery, equipment and hand tools not customarily owned by construction workers that are provided by the Construction Manager at the site and costs of transportation, installation, minor repairs, dismantling and removal. 2.3 Costs of removal of debris from the site of the Work and its proper and legal disposal. 2.4 Costs of document reproductions, facsimile transmissions and long-distance telephone calls, postage and parcel delivery charges, telephone service at the site and petty cash expenses of the site office.

CONFLICT OF INTEREST QUESTIONNAIRE

The successful Offeror must enter into an AIA Document A-133 - 2009 “Standard Form of Agreement Between Owner and Construction Manager as Constructor” with supplements, modifications, changes, deletions and additions that are acceptable to the Owner. SECURITY Each individual proposal submitted must be accompanied by Security in an amount of five percent (5%) of the Contract Price. Bond shall be in the form of a Surety Bid Bond, duly executed by Offeror as principal and having as surety thereon, a corporate surety company duly authorized and admitted to do business in the State of Texas and licensed by the State of Texas to issue such bid bond, as a guarantee that the Offeror will enter into a Contract and executive required Performance and Payment Bid Bonds within ten (10) days of West Texas Centers’ award of Contract. Each proposal must be accompanied by information establishing that the agent signing the bond is authorized to write the bond in the amount requested, and if applicable, that reinsurance requirements, have been met, including limits and ratings or other evidence of company solvency. Offeror must demonstrate to West Texas Centers that they can secure required bonds, issued by a corporate surety company authorized and admitted to do business in the State of Texas and licensed in the State of Texas to issue such bond, which bonds shall be written in the form attached to the Request for Proposal, without modification.

INSURANCE REQUIREMENTS Offeror must demonstrate to West Texas Centers that it can secure required insurance, issued by a company authorized and admitted to do business in the State of Texas and licensed in the State of Texas to issue such insurance required by the Owner, including, but not limited to, general liability, automobile liability, and worker’s compensation insurance. The insurance required shall be written by an insurance company having an A rating or better by A.M. Best and shall be written in limits for not less than the minimum required by law or the limits set out in the Agreement attached as Exhibit B.
