    Disclaimer

    This Request for Proposal (RFP) documentfor operating a canteen inside office premises

    of U.P. RERA at Greater Noida contains brief information about the qualification

    process for the successful applicant. The purpose of the RFP document is to provide the

    applicants (hereinafter referred to as “Applicant/s”) with information to assist the

    formulation of their proposals (hereinafter referred to as the “Proposal/s”).

    While all efforts have been made to ensure the accuracy of information contained in this

    RFP Document, this document does not purport to contain all the information required

    by the Applicants.

    The Applicants should conduct their own independent assessment, investigations and

    analysis and should check the reliability, accuracy and completeness of the information

    at their end and obtain independent advice from relevant sources as required before

    submission of their proposal. The Uttar Pradesh Real Estate Regulatory Authority

    (hereinafter referred to as “Client” or the “Authority”) or any of its employees shall incur

    no liability under any law, statute, rules or regulations as to the accuracy or

    completeness of the RFP document.

    The Authority reserves the right to change any or all conditions/ information‟s set in this

    RFP document by way of revision, deletion, updating or annulment through issuance of

    appropriate addendum as the Authority may deem fit without assigning any reason

    thereof. The Authority reserves the right to accept or reject any or all proposals without

    giving any reasons thereof. The Authority will not entertain or be liable for any claim for

    costs and expenses in relation to the preparation of the proposals to be submitted in

    response to this RFP document.

    General Information

    The Real Estate (Regulation and Development) Act, 2016 (hereinafter referred to as “the RERA Act”) seeks to protect the interest of home-buyers as well as help boost investments in the real estate industry. The RERA Act establishes Real Estate Regulatory Authority (RERA) in every state for regulation and promotion of the real estate sector. RERA is also envisaged to ensure sale of plot, apartment or building, as the case may be, or sale of real estate project, in an efficient and transparent manner. RERA is mandated to safeguard the interest of consumers in the real estate sector and to establish an adjudicating mechanism for speedy dispute redressal. RERA will also establish the Appellate Tribunal to hear appeals from the decisions, directions or orders of the RERA and the adjudicating officer and for matters connected therewith or incidental thereto. In accordance with the powers conferred under Section-84 of the RERA Act, the Government of Uttar Pradesh notified Uttar Pradesh Real Estate (Regulation and Development) Rules, 2016 (hereinafter referred to as “the UP RERA Rules”) on October 27, 2016 and subsequently established Uttar PradeshReal Estate Regulatory Authority (U.P.RERA), on May 1, 2017.

    The Request for Proposal (RFP) document for the selection of a vendor can be downloaded from e-procurement website (http://etender.up.nic.in). Key dates for this RFP are as below:

    Terms and Conditions

    1. Location of canteen stall The proposed license for Canteen Stall covers only the area where the Canteen Stallwill be operated inside the office of the U.P. RERA. The Bidder shall use the said licensed premises only for the purpose of operating a food and beverage and sale of tea, coffee, cold drinks, ice creams and mineral water at the Canteen Stallinside U.P. RERA subject to the terms and conditions, the guidelines and policies framed by the Authority from time to time, and for no other purpose (hereinafter referred to as „Permitted Purpose‟). Apart from licensed premises, noother area adjacent to Canteen Stallinside U.P. RERA shall be used by the Bidder.

    2. Type of food to be served and schedule of rates Comprehensive menu covering Indian including non-alcoholic beverages as per the Price List approved by the Authority.

    3. Service 3.1 Canteen Stallinside the Office of the U.P. RERA will have provision for sit down dinning facility also. 3.2 The sale of Hot/Cold Drinks/Eatable, Snacks will be limited to articles mentioned in the price schedule. 3.3 Should the office remain closed on any other day/days due to unforeseencircumstances, the Bidder cannot claim any rebate in lieu of closure. 3.4 In the event of quality of Hot and Cold Drinks/Eatables, Snacks not beingsatisfactory and according to the foregoing paragraphs, the Authority may at his sole discretion direct the discontinuance of thesale of Hot and Cold Drinks/Eatables, Snacks and direct the Bidder to rectify thedefects and in case the defects are not rectified within a reasonable time theAuthorityreserves the right to impose monetary fine or inextreme cases may cancel the license. 3.5 No polythene or plastic sheet shall be used for packing and selling ofeatable items. In other words, no item bearing polythene/plastic bags areallowed to be sold in the Canteen Stall. Only glass tumblers and ceramic/disposablecrockery for serving drinks/foods are allowed. Any violation in this connection willmake liable for cancellation of the license.

    3.6 The successful Bidder will sell items as per the Food listinside the office at designated location. The Authoritymay discontinue thesale of items mentioned above at the Canteen Stall of the U.P. RERA at hisdiscretion without assigning any reason and license fee shall remain unchangedunder such circumstances. 3.7 No additional stalls/construction within the allotted area will be done by theBidder without prior written permission from the Authority. Any violation will attract monetary penalty or in extreme case cancellation ofthe license. 3.8 Any permitted construction shall not be allowed to be removed whilevacating the premises. 3.9 The license is only for Canteen Stall, inside the Office of U.P. RERA. Basicfacilitiesof the Kitchen will be provided by U.P. RERA such as Refrigerator, Microwave, Kitchen setup equipments, Table & Chairs (4 set), Gas Burner (2 Nos.), Utensils, exhaust fan, Mixer Grinder and basic lightings. For all otherfacilities/amenities, theBidder has to make his own arrangements and U.P. RERA will not be responsible for them. 3.10. The Bidder shall exhibit prominently the authorized rates forsale of Hot/Cold Drinks/Eatables and snacks on Board, which shall not be less than100 cm X 50 cm in size at his own expenses. 3.11 The Bidder shall run the Canteen Stall to the satisfaction of the Authority or any other officer authorized by him throughout the term of thelicense. The Bidder shall not sell any other item which is not authorized in the listattached. 3.12 The Bidder shall use the licensed premises strictly for serving food,beverages to the visitors of U.P. RERA. 3.13 The Bidder is strictly prohibited from using the premises for catering ofoutside parties, holding/organizing seminars, conferences, other trade promotion andtrade related activities, banquets, reception, DJ, marriages or any other suchactivities. 3.14 The Bidder shall have no right on the land of licensed premises. 3.15 The Bidder shall ensure that eatable items sold/served from the premisesare of requisite hygiene and quality standards and conform to the provisions of thePrevention of Food Adulteration Act and any other guidelines, regulations, standardsetc. issued by concerned Government Authorities from time to time. The Biddershall be solely liable for any action or penalty imposed by relevant Authorities in thisregard. 3.16 Officials or representatives of Authority may at any time monitor the quality ofraw material, food items and standards of facilities. 3.17 The serving of pork and beef is strictly prohibited in licensed premises.

    3.18 Segregation of waste materials will also be undertaken by Bidder as perlocal rules and regulations. 3.19Bidder shall collect all garbage in bags/bins/boxes/trolleys permitted. Thecollected garbage shall be kept at designated locations for disposal by the vendor. 3.20 Only Mineral/RO water can be served in the outlets. 3.21 Complaint/suggestion box will be placed at appropriate place to addressgrievance/suggestions of visiting public promptly.

    4. Eligibility criteria for the bidder 4.1 The bidder shall necessarily be a legal valid entity in the form of Limited Company/Private Limited Company/Proprietorship etc. The legal status shall be demonstrated through a copy of registration certificate issued by registrar of companies/firms. 4.2 The business entity applying for the license should have a minimum two (02)years continuous experience of managing canteen of a reputed organizationfor Private or Government/Autonomous organization. 4.3 The applicant or any other business entity, where it had and/or still hascontrolling share, should not have been debarred from operating a food andbeverage outlet on account of food quality issues by concerned Authorities orshould not have been convicted for irregularities concerning food and beverageoutlets under various statutes/rules/regulations/orders etc. 4.4 All powers in awarding contract in relaxation of any eligibility criteria lieswith the Authority. 4.5The Bid document fee and EMD as specified in the Data Sheet must be submitted.

    5. Period of license 5.1 The license period will be for one year. 5.2 The Bidder may without assigning any reason, surrender the license aftergiving one month prior written notice to the Authority. 5.3 Upon expiry of the period of license term or earlier termination of thelicense for any cause whatsoever the Bidder shall have no right, title, interest to usethe said licensed premises. The Authority shall have undisputed right to make use ofthe said licensed premises at its discretion thereafter and also to grant license and /orfurther rights of the licensed premises to any third person or any other party(ies).

    5.4 Revocation /cancellation of license for any reason whatsoever shall notabsolve the Bidder from responsibilities, liabilities for damages and/or paymentsaccrued prior to the termination of the license. 5.5 Under no circumstances the Bidder will be allowed to occupy the Canteen Stallafter the 14 days of default and the same would be taken over by Authoritywithoutany notice and in such a situation the Bidder will have no right to their items if anyfound in the outlet and the same will be disposed off at the cost and risk of theBidder. 5.6. The Bidder shall be deemed to have vacated the license premises ontermination or expiry of the license period and shall thereafter have no right toaccess the licensed premises. In such cases, the Authority will be at liberty to denyentry of Bidder into the licensed premises and get the license premises vacatedincluding disconnection of water/electricity and other facilities to which the Biddershall have no right to object. Further, the Authority will also have right to seal thepremises if the possession of the premises is not handed over after the expiry ortermination /cancellation of license. 5.7 On expiry / revocation / cancellation /termination of the license, the Biddershall hand over peaceful vacant possession of the licensed premises in goodcondition to the Authority. 5.8 The Bidder shall reimburse any loss or damage to the property andequipment of Authority as per the assessment of Authority Engineering Wing afterverification within six weeks from the date of vacation alongwith damages/liquidated damages at the rates to be decided by the Authority for the period required/taken to repair the property / equipments etc.

    6. Renewal of license The term of the license will be upto one year.The Authoritywill have thepower to extend the license for the limited period with an increase of 10% ofapproved rate for previous year‟s tender.

    7. Power supply 7.1 The Bidder will be free to take power connections independently from theconcerned Power Corporation at his own cost. The cost of the electricity will be paid bythe Bidder. However the Bidder can be allowed to use power connection provided to the Authority subject to the condition that the Bidder will be required to get a sub-meter installed to facilitate sharing of electricity charges payable.

    8. Performance Guarantee 8.1 The successful bidder will be required to furnish a Performance Guarantee at the time of contract signing amounting to INR 1,00,000 in form of Bank Guarantee (BG) or FDR pledged in favour of Uttar Pradesh Real Estate Regulatory Authority or Demand Draft (DD) in favour of Uttar Pradesh Real Estate Regulatory Authoritywhich must be valid for three months beyond the contract period. The BG/DD/FDR shall be returned or unpledged or extended after the expiry of the project period, as the case may be. The BG/DD/FDR can be from any Scheduled Bank. 8.2 In the event of thesuccessfulBidder failing to furnish the BG/DD/FDR within thestipulated time under the terms of license, the Authorityshall cancel the award and forfeit the EMD. Undersuch circumstances, the Authority reserves the right to award the Bid to operate Canteen to the next lowest bidder from amongst the qualifying bidders. 8.3 Any act of Bidder which results in violation of the agreement or any of theterms and conditions contained herein shall give Authority the right to forfeit theentire amount of the security deposit in addition to the right to terminate theagreement after show cause notice of 15 days. 9. Termination of the Contract 9.1 The Authority can terminate the contract any timeafter serving show cause notice in writing to the Bidder for breach of any conditionof the contract or if during the period of the contract the performance is not foundsatisfactory without any compensation. The decision of the Authority shall be final and binding on the service provider in this regard. 9.2 Failure by the Bidder to comply with any statutory requirements and termsof agreement during the period of contract shall result in termination of the contractafter notice of 15 days and subsequent disqualification of the Bidder for participation in anyfuture tender at the U.P. RERA. The security deposit will also beforfeited.

    10. Recovery of claims 10.1 Whenever any claim for the payment of a sum of money arises under thiscontract against the Bidder, the Authority shall be entitled to recover such sum bythe appropriating in part or whole of the said BG/DD/FDR. In the event of this sum be not sufficient to cover the fullamount recoverable, the Bidder shall be required to pay to the Authority the balance amount payable.

    11.1 The Bidder shall confine his activities within the premises and inno case will they be permitted to deviate /increase/alter for the same. 11.2 If the Bidder commits any breach of this contract, he shall be liable to fine as determined by the Authority. The Authority reserves the right to cancel theagreement after 15 days of notice period. 12. Execution of Agreement 12.1 The successful Bidder shall within 10 days of the date of acceptance ofbid execute a formal agreement on a non-judicial stamp paper of appropriatevalue at his cost and if the same is not executed by the due date, the Authority will have the option to cancel the Bid andon such cancellation, the amount deposited as earnest money shall be forfeited. Under such circumstances, the Authority reserves the right to award the Bid to the next successful bidder from amongst the qualifying bidders. 12.2 The Bidder shall be responsible for any damage or loss to the Canteen Stallinside the office of the office that may be done by himself or his servants.Compensation for such damage shall be assessed by the Authority, whose decisionshall be final and binding. 12.3 The amount of loss, penalty, compensation, etc. if notpaid within a period of 10 days from the date of demand, shall make liable forforfeiture of security deposit.

    13. Compensation for damages The Bidder shall have no claim against U.P. RERA, whatso-ever to compensation or any damage to his property or person caused duringthe process of running the Canteen Stallinside office at the U.P. RERA. The Bidder will make adequate arrangements to protect the equipments,furniture etc. installed by him or the Authority as the case maybe. The Bidder is advised to take adequate insurancecover to safeguard his property against loss due to theft or damage or any otherreasons whatsoever.

    14.Loss toU.P. RERA In the event of any loss to the U.P. RERA on account of anyact ofcommission or omission by the Bidder‟s employees, the Bidder shallmake good the losses suffered by U.P. RERA either by replacement or by payment ofadequate compensation as decided by the Authority.

    15.Jurisdiction of Courts All disputes shall be subject to the jurisdiction of Courts inLucknow.

    16.Maintenance of premises 16.1 The successfulBidder will be responsible for maintaining the cleanliness of the Canteen Stall and surroundings. The successfulBidder shall keep the area of the Canteen Stall neat andtidy for which he should engage experienced personnel for this purpose. 16.2 The successful Bidder will maintain the premises offered to him for the purpose ofthe contract. Under no circumstances the successfulBidder will deface or disfigure thebuilding /structures provided to him failing which monetary penalty will beimposed as per the terms and conditions of the tender.

    17.Tax liability Payment of all applicable taxes including income tax, service tax, GST andother applicable taxes will be the responsibility of the successfulBidder and a copy of thereturn submitted to various tax authorities will also be submitted to the U.P. RERA.

    18.Personnel 18.1 The Bidder shall engage the sufficient number of personnel as required. 18.2 The said personnel engaged by the successfulBidder shall be the employees of thesuccessful Bidder and it shall be the duty of the successfulBidder to pay their salary every month. 18.3 All services shall be performed by persons qualified and skilled inperforming such services. 18.4 The successfulBidder shall replace immediately any of its personnel on account ofimproper conduct upon receiving written notice from the Authority. 18.5 Any dispute between the firm/agency and his/her personnel shall besettled at Labour Office. U.P. RERA shall have no concernwhatsoever in the matter. Any risk involved in performing the duty by theemployees, would be sole concern of the firm/agency.

    19.Business hours The saleinside Canteen Stall shall be restricted from 9.00 A.M. to 7.00 P.M. (Monday to Saturday). No business should be transacted beyond these hours in the Canteen Stall.

    20.1 The successfulBidder and his employees shall follow the securityinstructions/orders issued by the Authority from time totime. 20.2 The successfulBidder and its employees shall comply with any specialinstructionsissued from Authority/Local Police/Security Agencies including those with regardto security from time to time.

    21.Arbitration In the matter of dispute arising between U.P. RERA andthe successfulBidder regarding terms and conditions and execution thereof the matter will be referred for decision by the Chairman, U.P. RERA.

    22. Submission of the bid 22.1 Before submitting the Bid, the Bidders are advised to read the Biddocument carefully, apprise themselves thoroughly regarding the contract,terms & conditions and other requirements. 22.2 In case of any doubt, the Bidder can contact Authority‟s office. 22.3 This Bid is based upon lowest evaluated responsive offer. 22.4 The Bid form should be filled neatly and accurately. Any alteration,erasing or overwriting will render the Bid invalid, unless such alteration, erasingor overwriting is neatly carried out and duly attested otherwise the tender shall beliable for rejection. 22.5The FinancialBids shall be opened in the presence of theinterested applicant(s) on the stipulated date/time. 22.6 The entire bid documents should be submitted having each page dulysigned by the bidder or the authorized signatory. 22.7 All the supporting enclosures to be provided as part of pre-qualification criteria andshould be self- attested by the Bidder or the person authorized on his behalf. 22.8 Application received after the dead line of submission of application willnot be considered or opened under any circumstances. 22.9 No conditional bids or incomplete application(s) or those received withoutrequired documents/signature shall be considered and will be summarily rejected. 22.10 No modification or substitution of the submitted application shall beallowed. An applicant may withdraw its application after submission, providedthat written notice of the withdrawal is received by Authoritybefore the due date for submission of

    application. In case an applicant wantsto resubmit his application, he shall submit a fresh application following all theapplicable conditions. 22.11Authority reserves the right to modify terms andconditions of the Bid which shall be granted to the successful bidder afterthe bidding process, if in the opinion of Authorityit isnecessary or expedient to do so, in public interest or for proper implementation ofthe project. The decision of the Authorityshall be finaland binding in this regard. 22.12Authorityreserves the right to suspend thebidding process, cancel the contract with the selected party in part or in whole atany time if in his opinion it is necessary or expedient in the public interest. Thedecision of the Authority shall be final and binding in thisregard. Also Authority shall not be responsible for anydamage or loss caused or arisen out of aforesaid action. 22.13 Area of the Canteen Stall outside the office of the U.P. RERAmay change due to site conditions. The premises offered are on „as is where is‟basis and no alteration/modification shall be allowed. Applicant shall not raiseobjection to the condition of premises at any time.

    23. Earnest Money Deposit (EMD) 23.1 All bidders shall have to deposit earnest money of Rs. 1,00,000.00 (One lakh) in the form of a Demand Draft payable in the name of Uttar Pradesh Real Estate Regulatory Authority from a scheduled bank. 23.2 Demand Draft obtained earlier than the date of advertisement inviting bidsfor allotment of Canteen Stall at the U.P. RERA will not beaccepted. 23.3 Earnest money shall be refunded to the unsuccessful bidders within onemonth of award of allotment letter. The bidders have no right for demand forinterest on the Earnest Money. However, the successful bidder‟s earnest moneyshall be returned only once the successful bidder has deposited the BG/DD/FDR. 23.4 However, in case where the successful bidder withdraws or modifies the bid duringthe 180 days validity of the bid or it has come to knowledge that successful bidder has usedfraudulent practices for this bid the earnest money shall be forfeited. 23.5 Bid received without EMD will be rejected summarily.

    24.Signing & Acceptance of the Bid 24.1 Every page of the bid document and any document forming part of thecontract shall be signed by the sole proprietor (in the case of a soleproprietary), by all the partners in case of partnership firm or by the “Karta” incase of joint Hindu familyhaving

    full authority to act on behalf of theManaging concern, the Bid form should be signed by the Managing Agents orby the Proprietor of the Managed concern. 24.2 A person signing the Bid form orany documents forming part of the contract on behalf of the another person oron behalf of all the partners of a firm shall attach with the bid a proper power ofattorney duly executed in his favour stating that he has authority to bind such otherpersons or all the partners constituting the said firm, as in the case of limitedcompany, the signatures should be that of a person authorized under its articles tosign the contract. The memorandum and articles of the company and theauthority of the person so signing should be attached with the bid. 24.3 The Authority reserves the right to accept orreject any Bid without assigning any reason thereof. 24.4 The act of the submission of the Bid shall be deemed to be unreservedacceptance of all conditions herein contained. 24.5 Acceptance by the Authority will becommunicated by e-mail/Speed Post.

    25. Miscellaneous 25.1 The successful Bidder is not permitted to install/display any advertisement in the Canteen Stall inside Office of U.P. RERA. 25.2 The Authority reserves the right to ask the successfulBidder to keep the Canteen Stall closedon working day/holidays without assigning any reason thereof. 25.3 No part of the security deposit or any other penalty imposed isrefundable in the event of cancellation, revocation of the contract by the Authority. 25.4 The successfulBidder shall not sub-let, assign or permit or sub-contract of anydescription or enter into any management agreement or similar arrangement withregard to the use of the license premises or part thereof to any person / partyincluding , without limitation , its subsidiary/ sisters concern, affiliates etc. 25.5 The successfulBidder shall be solely liable towards any complaints, or any actiontaken by any person against quality of food and beverages served or other servicesrendered by the Bidder, or behavior of its employees, staff and supervisors in thelicensed premises. 25.6 The Authority does not recognize any association of the Bidder and in caseany clarification of the terms and conditions of the contract or modification thereof,such clarification should be sought by the Bidder alone and no collectiverepresentation will be entertained. 25.7 In the event of successfulBidder being prohibited / refrained from selling one ormore of its articles in the office premises on account of any Government

    laws/rulesregulations/orders of Central Government or Government of Uttar Pradesh, theAuthority shall not be liable for any loss suffered by the successfulBidder. 25.8 Use of plastic bags etc. is prohibited in U.P. RERA as perdirection ofGovernment of Uttar Pradesh. 25.9 No construction/addition/alteration can be carried out inside the premiseswithout Authority‟s prior written consent and permission. 25.10 Additional fixtures and interior decorative items to be fixed inside theallocated area shall be permitted by the Authority against a request so made. After theexpiry or termination of the contract as the case may be, the Bidder shall removesuch temporary fixtures from the office premises.

    26. Inventory At the time of taking possession of the premises, an inventory of all thefixtures / fittings etc. will be made and the same will have to match onexpiry/revocation /cancellation /termination of contract period or otherwise at thetime of handing over the possession to the Authority or at the time of taking overpossession by the Authority due to cancellation of license or deemed vacation.

    27.Fair business practices The successfulBidder shall be required to adopt fair business practices and toexhibit prices in respect of each items / services. In case of any complaint, the successfulBidder shall be solely answerable in respect of goods sold from the office premises.

    28. Stamp duty and charges The successfulBidder shall bear the cost of stamp duty to prepare two originalcontract agreements and one original each shall remain in custody of the parties tothe contract. All other applicable charges shall also be borne by the Bidder.

    NOTE

    1. After evaluation of pre-qualification categories, through the evaluation committee,

    the Authority shall notify those Bidders whose qualifications were considered non-

    responsive to the conditions of the contract and not meeting the specifications and

    qualification requirements indicating that their financial e-Bids/Proposals will not

    be opened.

    2. The Authority will simultaneously notify the Bidders, whose Proposals were

    considered acceptable to the Authority. The notification may be sent on the e-mail

    provided by Applicant.
