Introduction
This tender is being floated by the Reserve Bank of India, Department of InformationTechnology, Central Office, Mumbai. The Purchase Order for the Antivirus software will beplaced by the respective Offices/Central Office Departments/Training Colleges, where it isto be supplied and installed (As per Annexure IX). Total purchases under the contract areestimated at Rs.75 Lakhs for about 10,000 to 20,000 licenses.
Terms and Conditions of the Tender
1. Eligibility Criteria
• A vendor should have all India presence with functional service/supportcenters. The details of the support centers should be provided.
• The vendor should have reputed background and should be established inAntivirus business for at least 3 years with the turnover at least Rs.10 croresper year or above during last 3 years.
• The OEM / VENDOR should have a Development Centre in India. The OEMshould have executed at least 3 contracts in India during last 3 years each ofvalue not less than 5 lakh. Documents confirming the same should besubmitted.
• The vendor should have been making profits during past 3 years. AuditedBalance sheet and Profit and Loss account (amount in Rupees) for last threeyears should be submitted.
• The vendor should have a fully functional service/support centre withqualified engineers to provide quality service support at all RBI locationslisted in Annexure VI. Service arrangements which the vendor proposes tomake at other cities should be clearly mentioned.
• The Antivirus software should be in use from other reputed organizationsfrom January 2002 onwards preferably covering all the states/cities asmentioned in Annexure VI. Documentary evidence to be submitted.
2. Two Bid System Tender
Separate Technical and Commercial Bids in duplicate duly sealed and superscribed"Quotations for supply and installation of Corporate Licenses of Antivirus software inReserve Bank of India – Technical Bids" and "Quotations for supply and installation ofCorporate Licenses of Antivirus software in Reserve Bank of India – Commercial Bids"shall be submitted as per bid details given above.
The tender not submitted in the prescribed formats or incomplete in detail is liablefor rejection. The Reserve Bank of India is not responsible for non-receipt of quotationwithin the specified date and time due to any reason including postal holidays ordelays.
ENVELOPE- I (Technical Offer):
The Technical offer should be complete in all respects and contain all information askedfor, except prices. The suggested format for submission of technical offer is as follows:

ENVELOPE-II (Commercial Offer):
• The Commercial Offer (C.O.) should give all relevant price information as per
Annexure X. The Bid Form must be filled in completely, without any errors,erasures or alterations. The Commercial offer must not contradict the technicaloffer in any way.
3. Documentation
The Tenderer shall furnish, as part of its tender offer, documents establishing theTenderer's eligibility to participate in the tender and its qualifications to provide thequality Antivirus software. The documentary evidence of the Tenderer's qualificationsto supply and install the antivirus software, shall establish to Reserve Bank of India'ssatisfaction that the Tenderer is eligible as per the criteria outlined in the EligibilityCriteria at Para 1 above.
4. Non-transferable Tender
This tender document is not transferable. Only the vendor, who has purchased thistender, is entitled to quote.
5. Offer validity Period
The offer should hold good for a period of 90 days from the closing date of the tender.Any offer falling short of the validity period is liable for rejection.
6. Earnest Money Deposit
Vendor must submit Earnest Money Deposit (EMD) of Rs. 2 lakhs in form of a DemandDraft in favour of "Reserve Bank of India, Mumbai" or Bank Guarantee in favour ofReserve Bank of India, Mumbai. The non-submission of EMD will lead to rejection ofthe bid. The irrevocable Bank Guarantee drawn on a Scheduled Bank , shall be in formacceptable to the Reserve Bank of India as per Annexure II. The EMD shall remain inforce upto 30.12.2005 and no interest shall be paid on this deposit. The EMD of
unsuccessful bidders will be returned to them within a month of selection of vendors.The successful bid, if withdrawn, is also liable for forfeiture of the EMD.
7. Alternative offers
Each offer should specify only a single solution which is cost-effective and meetsthe tender specifications, and should not include alternatives.
8. Costs & Currency
The offer must be made in Indian Rupees only, including the following:
• Cost of the offered Antivirus software should be equipment inclusive of all taxes,
Statutory levies, charges for onsite installations excluding Octroi/ Entry Tax.Octroi/ Entry tax , if any, will be reimbursed as per actuals on production of originalreceipt.
• Vendors shall supply the latest versions of the Antivirus software at the time ofactual installation.
• All costs should be given in Indian Rupees in Figures and Words.
9. Erasures or Alterations
The offers containing unauthenticated erasures or alterations will not be considered.There should be no unauthenticated hand-written material, corrections or alterations inthe offer. Technical details must be completely filled up. Correct technical informationof the Antivirus solution being offered must be filled in. Reserve Bank of India maytreat offers not adhering to these guidelines as unacceptable.
10. Modification and Withdrawal of Offers
The vendor may modify or withdraw its offer after its submission, provided that writtennotice of the modification or withdrawal is received by Reserve Bank of India prior tothe closing date and time prescribed for submission of offers. No offer can be modifiedby the vendor, subsequent to the closing date and time for submission of offers. In theevent of withdrawal of the offer by successful bidders, the EMD will not be refunded bythe Bank
11. Preliminary Scrutiny
Reserve Bank of India will scrutinize the offers to determine whether they arecomplete, whether any errors have been made in the offer, whether required technicaldocumentation has been furnished, whether the documents have been properlysigned, and whether items are quoted as per the schedule. Reserve Bank of Indiamay, at its discretion, waive any minor non-conformity or any minor irregularity in anoffer. This shall be binding on all vendors and Reserve Bank of India reserves the rightfor such waivers.
12. Clarification of Offers
To assist in the scrutiny, evaluation and comparison of offers, Reserve Bank of Indiamay, at its discretion, ask some or all vendors for clarification of their offer. The
request for such clarifications and the response will necessarily be in writing. Ifdeemed necessary, the vendor is required to give presentation on the solution offered.
13. Verification
The Reserve Bank of India reserves the right to verify any or all statements made bythe vendor in the tender document and to inspect the vendor’s facilities, if necessary,to establish to its satisfaction about the vendor’s capacity to perform the job.
14. On-site Inspection
Reserve Bank of India will inspect the Antivirus solution on different platforms to verifyits effectiveness.
15. No Commitment to Accept Lowest or Any Tender
Reserve Bank of India shall be under no obligation to accept the lowest or any otheroffer received in response to this tender notice and shall be entitled to reject any or alloffers including those received late or incomplete offers without assigning any reasonwhatsoever. Reserve Bank of India reserves the right to make any changes in theterms and conditions of purchase. Reserve Bank of India will not be obliged to meetand have discussions with any tenderer, and or to listen to any representations.
16. Short-listing of Vendors
Reserve Bank of India will create a short-list of technically qualifying vendors and thecommercial offers of only these vendors will be opened. If required, vendors shall haveto give presentation on the solution offered by them to the Bank. This will be treated asa part of technical evaluation. After opening Commercial Offers of the short-listedTenderers, if there is a discrepancy between words and figures, the amount indicatedin words will prevail.
17. Selection of Vendor:
Total Cost of Perpetual Licenses, NPV of per year charges of resident engineer andlicense renewal for 3 years, will be considered. While calculating NPV 8% discountfactor will be considered. The contract will be for the period of 3 years & will beextended, if the Bank desire.
18. Locations to be covered
The Antivirus software being procured will be installed at the Bank’s Offices/Department as per Annexure VI. It may kindly be noted that the Bank reserves theright to add or substitute any location.
19. Delivery & Installation Period
The Bank would like to have the following time schedule for completion of theactivities from the date of placement of orders.
i. Delivery: : 4 weeks.ii. Installation and operationalisation : Within 1 week
20. Billing
The billing shall be done to DIT, Central Office for the total no. of antivirus licensesbeing activated at all the Regional offices/ Departments. Octroi/ Entry tax, if any, will bereimbursed as per actuals on production of original receipt.
21. Payment Terms
100 % payment will be made to the vendor on satisfactory installation of the Software.However, the vendor will be required to submit Performance Bank Guaranteeequivalent to 10% of the amount valid till the validity of the Paper license.
22. Completeness of the work
The installation work will be deemed as incomplete if any component of the software orany documentation / media relating thereto is not delivered, or is delivered but notinstalled and /or not operational or not acceptable to the Indenter after acceptancetesting / examination. In such an event, the supply and installation will be termed asincomplete and it will not be accepted and the license validity period will notcommence. The vailidity period will commence only on acceptance (based onacceptance test) of software by the Indenter
23. Antivirus support
The Antivirus support should be on-site from the date of acceptance of the software byReserve Bank of India at the respective locations. During the license validity period,the VENDOR will have to undertake comprehensive maintenance of the Antivirussolution supplied by them. The VENDOR should provide a resident engineer at therespective location for the purpose
Besides the above, the vendor will have to confirm the terms mentioned in AnnexureVIII.
24. Penalty for downtime
The virus infected system should be cured within 4 hours.
In case vendor fails to meet the above standards of maintenance, there will be apenalty ( Rs per day) as specified in the table below. These penalty charges will bededucted from the Performance guarantee, at the rate of Rs.100/- per day.
25. Liquidated Damages for delayed supply
If the vendor fails to deliver the software within the time period(s) specified in the order,Reserve Bank of India shall, without prejudice to its other remedies, deduct from theorder price, as liquidated damages, a sum equivalent to 0.5 percent of the price of theundelivered stores at the stipulated rate for each week or part there of during which thedelivery of such stores may be delayed subject to a maximum limit of 5 percent of thestipulated price of the stores so undelivered. Such penalty is to be deducted always bythe Indenter/purchaser from the bills of the firm OR to purchase elsewhere Or from theSecurity Deposit on the account and risk of the vendor. Once the maximum of thedamages above is reached, the Indenter/purchaser may consider termination of theorder on the account and risk of the vendor.
26. Order Cancellation
Reserve Bank of India and/or Indenter also reserves the right to cancel the order in theevent of one or more of the following circumstances:
• Delay in delivery and installation beyond a period of 45 days from the date ofpurchase order.
• Serious discrepancy in the solution noticed.
• Breach by the tenders of any of the terms and conditions of the tender.
• If the Vendor goes into liquidation voluntarily or otherwise.
In addition to the cancellation of purchase order, Reserve Bank of India reserves theright to forfeit the Security Deposit/ Performance guarantee submitted to Reserve Bankof India by the Vendor.
27. Publicity
Any publicity by the vendor in which the name of Reserve Bank of India is to be usedshould be done only with the explicit written permission of Reserve Bank of India.
28. Force Majeure
The vendor shall not be liable for forfeiture of its performance security, liquidateddamages or termination for default, if and to the extent that its delay in performance orother failure to perform its obligations under the contract is the result of an event offorce Majeure. For purposes of this Clause, "Force Majeure" means an event beyondthe control of the Vendor and not involving the vendor's fault or negligence and notforeseeable. Such events may include, but are not limited to, Acts of God or of publicenemy, acts of Government of India in their sovereign capacity, acts of war, acts ofReserve Bank of India in fires, floods and freight embargoes.
If a Force Majeure situation arises, the Vendor shall promptly notify Reserve Bank ofIndia in writing of such conditions and the cause thereof within twenty calendar days.Unless otherwise directed by Reserve Bank of India in writing, the Vendor shallcontinue to perform it’s obligations under the agreement as far as it is reasonablypractical, and shall seek all reasonable alternative means for performance notprevented by the Force Majeure event.In such a case, the time for performance shall be extended by a period(s) not less thanthe duration of such delay. If the duration of delay continues beyond a period of threemonths, Reserve Bank of India and the vendor shall hold consultations with each otherin an endeavor to find a solution to the problem.Not withstanding above, the decision of Reserve Bank of India shall be final andbinding on the vendor.
29. Resolution of Disputes
Reserve Bank of India and the vendor shall make every effort to resolve amicably, bydirect informal negotiation, any disagreement or dispute arising between them under orin connection with the contract. If after thirty days from the commencement of suchinformal negotiations, Reserve Bank of India and the Vendor have been unable toresolve amicably a contract dispute, either party may require that the dispute bereferred for resolution by formal arbitration.
30. Jurisdiction
The jurisdiction of the courts shall be Mumbai.

Dear Sir,Supply & Installation of Corporate licenses of Antivirus software
WHEREASThe Reserve Bank of India, having its Central Office at Shahid Bhagat Singh Road,Mumbai (hereinafter called the ‘Bank’) has invited tenders for the Supply & Installationof Corporate licenses of Antivirus software on the terms and conditions mentioned inthe tender document.
1. It is one of the terms of invitation of tenders that the tenderer shall furnish a BankGuarantee for a sum of Rs.2,00,000/- (Rupees Two lakh only) as Earnest MoneyDeposit.
2. M/s_________________________________________, (hereinafter called asTenderer), who are our constituents intend to submit their tender for the said work andhave requested us to furnish guarantee to the ‘Bank’ in respect of the said sum ofRs.2,00,000/- (Rupees Two lakhs only)
NOW THIS GUARANTEE WITNESSETH
1. We _____________ (Bank) do hereby agree with and undertake to the Reserve Bankof India, their Successors, Assigns that in the event of the Reserve Bank of Indiacoming to the conclusion that the Tenderer have not performed their obligations underthe said conditions of the tender or have committed a breach thereof, which conclusionshall be binding on us as well as the said Tenderer, we shall on demand by theReserve Bank of India, pay without demur to the Reserve Bank of India, a sum ofRs.2,00,000/- (Rupees Two lakhs only) or any lower amount that may be demandedby the Reserve Bank of India. 2. We also agree to undertake to and confirm that the sum not exceeding Rs.2,00,000/-(Rupees Two lakhs only) as aforesaid shall be paid by us without any demur orprotest, merely on demand from the Reserve Bank of India on receipt of a notice inwriting stating the amount is due to them and we shall not ask for any further proof orevidence and the notice from the Reserve Bank of India shall be conclusive andbinding on us and shall not be questioned by us in any respect or manner whatsoever.
We undertake to pay the amount claimed by the Reserve Bank of India within a periodof one week from the date of receipt of the notice as aforesaid.
3. We confirm that our obligation to the Reserve Bank of India under this guarantee shallbe independent of the agreement or agreements or other understandings between theReserve Bank of India and the Tenderer.
This guarantee shall not be revoked by us without prior consent in writing of the ReserveBank of India.
We hereby further agree that -
a) Any forbearance or commission on the part of the Reserve Bank of India inenforcing the conditions of the said agreement or in compliance with any of theterms and conditions stipulated in the said tender and/or hereunder or grantingof any time or showing of any indulgence by the Reserve Bank of India to theTenderer or any other matters in connection therewith shall not discharge us inany way our obligation under this guarantee. This guarantee shall be dischargedonly by the performance by the Tenderers of their obligations and in the event oftheir failure to do so, by payment by us of the sum not exceeding Rs.2,00,000/-(Rupees Two lakhs only)
b) Our liability under these presents shall not exceed the sum of Rs.2,00,000/-(Rupees Two lakhs only)
c) Our liability under this agreement shall not be affected by any infirmity orirregularity on the part of our said constituents in tendering for the said work ortheir obligations thereunder or by dissolution or change in the constitution of oursaid constituents.
d) This guarantee shall remain in force upto 31.10.2005 provided that if so desiredby the Reserve Bank of India, this guarantee shall be renewed for a furtherperiod as may be indicated by them on the same terms and conditions ascontained herein.
e) Our liability under this presents will terminate unless these presents arerenewed as provided hereinabove on the ----------- 2005 or on the day when oursaid constituents comply with their obligations, as to which a certificate in writingby the Reserve Bank of India alone is the conclusive proof whichever date islater. Unless a claim or suit or action is filed against us within six months fromthat date or any extended period, all the rights of the Reserve Bank of Indiaagainst us under this guarantee shall be forfeited and we shall be released anddischarged from all our obligations and liabilities hereunder.

Antivirus activation and support related features
a. The Antivirus licenses may be purchased centrally in bulk.The activation of the same should be done as and whenrequired. The record of number of licenses being used by allthe offices of the Bank should be provided at any given pointof time. For the newly purchased systems the antivirusshould be installed and activated whereas for the old PCs tobe removed from inventory, the antivirus should beuninstalled and the antivirus paper license should be madeavailable for other systems
b. Software and Hardware audit of all the machines on thenetwork, from one single point with the help of Managementconsole
c. 24 x 7 free telephonic, e-mail, chat support for all over thecountry
d. Adequate, trained technical support at all RBI offices in Indiathrough Company's own offices / well established distributorand dealer network
e. The OEM should have presence in India in the field ofSecurity for more than 5 year
f. Facility of blocking e-mail addresses from where we do notwant to receive e-mails
g. The solution should stop remote users from modifyingsystem files
h. It should stop remote users from creating executable files
i. The solution should have incremented updates for dial-upusers
j. It should have the facility of scheduled scanning
k. It should give a pop-up alert box to the user to disinfect,delete, quarantine or block access to that file whenever aninfection is found in it (user defined)
l. Have Centralized reporting system, both text and graphical
m. Have detailed system information of all clients on theconsole
n. Be able to be installed on Notebook Computers
o. Be able to force an update (PUSH) to client

Note:(i) The Antivirus Licenses must be perpetual.(ii) The vendor must mention renewal fee in commercial bid in order to get upgrade
and updates for subsequent years. The vendor must mention charges forresident Engineer in commercial bid for onsite maintenance of Antivirussoftware to be installed on servers and desktops.
(iii) The VENDOR should have Centralized Supporting and Support Centre inMumbai
(iv) Prices should be inclusive of installation charges.
