1. The National Highways Authority of India (NHAI) invites proposals for

engaging anIndependentEngineer(IE)onthe basisofInternational

TheRFPshallbereceivedthrough“INFRACON”(www.infracon.nic.in)and willbe evaluatedbased on detailsfurnished on“INFRACON”.Assuchbefore submitting theproposal,theConsultant(thefirmandallkey personnel)shall mandatorilyregisterandenlistthemselves, ontheMoRTHportal“INFRACON” anduploadallrelevantinformationtoenablecorrectevaluationofRFP.

All the bidders registered on “INFRACON” shall form a Team on “INFRACON” which would be assigned unique INFRACON Team ID. Bidders while submitting the RFP proposal shall furnish registration details including INFRACON Team ID. A copy of INFRACON Operation Procedure is enclosed for bidder’s reference

2. Selection of IE shall be as per selection procedures given in the Model Concession Agreement and general procurement methods followed inNHAI. TheselectedIEshallbeintimatedto theConcessionaire.

3. The proposal shall besubmitted inEnglishLanguage andallcorrespondence

wouldbeinthesamelanguage.

4. TheOperation&Maintenanceof DBFOTprojectsbroadlyincludeOperationand MaintenanceactivitiesoftheConcessionaire forcompleted construction works andProjectsFacilitiesareopenedtotrafficaspertheConcessionAgreements.

5. AspertheTermsandConditions oftheConcession Agreement(s), the IndependentEngineerisbroadlyrequiredto:

(i) reviewoftheDrawingsandDocuments; (ii) determinetheProjectFacilitiesCompletionSchedule; (iii) review,inspectionandmonitoringofConstructionWorks; (iv) conductingTestsoncompletionofconstructionandissuing

CompletionCertificate; (v) review,inspectionandmonitoringofO&M; (vi) review,inspectionandmonitoringofDivestment

Requirements; (vii) determining,asrequiredundertheAgreement,thecostsofany

worksorservicesand/ortheirreasonableness; (viii) determining,asrequiredundertheAgreement,theperiodorany

extensionthereof,forperforminganydutyorobligation;

(ix) assistingthePartiesin resolutionofdisputes;and (x) undertakingall other duties and functions in

accordance withtheConcessionAgreement.

6. TheinterestedconsultancyfirmsmaydownloadtheRFPfromNHAIWebsitew.e.f. 21.09.2016to 20.10.2016upto 1700 hrs.TheConsultantwhodownloadthe

RFPdocumentfromthewebsitewillberequiredtopaythenon-refundablefeeof Rs5000/-atthetime of thesubmission of theBidproposal. The RFPwillbe invitedthroughe-tenderingportal.Refer Procedureundere-tenderingfor submissionofRFPthroughe-tendering.

7. In this document, unless the context otherwise requires, reference to a firm or

consultantorbidderorapplicantshallbeconstruedasreferencetoanyindividual

firm,organization, companyortheirJV,reputedengineering institutions suchas

IITs/NITs/DeemedUniversities.

8. Theproposalshouldbesubmittedbyconsultancy firmsinanEnvelope/package dulymarkedasTechnicalProposal. Fora given DBFOTProject, Stage -1of the Evaluation shall consider theevaluation of the Technical Proposal (i.e. Part

1).Thefirmsscoring thequalifyingmarks (minimum 75%) asmentioned in RFP shall belistedinthedescendingorderoftheirtechnicalscoreand5topranking firmsshallonly beconsideredforfurtherevaluationprovidednoneof themis inconflictofinterestwiththe Concessionaire. Thefirmsinconflictofinterestshallbesubstitutedbynextrankingfirm nothavingconflictofinterestwiththeConcessionaire.Understage2,thefinancialproposal ofsuchfive

firmsasselected aboveshallbeopened andevaluated. The weightage of TechnicalandFinancialscoreshallbe80%&20%respectively. Thefinalselection of the

firm shall be based on the highest combined score of Technical and FinancialProposal.

9 ThetotaltimeperiodfortheassignmentasIndependent Engineerwillbefor36 months.

Onexpiryortermination ofaforesaid period,theAuthority mayinits discretionrenewtheappointment.

10. Consultants mayapplyeitherasasolefirmorformingJointVenturewithother consultants.

In case of Joint Venture, the maximum number of Joint Venture

partnersislimitedto2(i.e.onelead+1JVpartners). Formulationofmorethanone

JVwithdifferentpartnersforthesameworkisnot allowedandallsuchproposal

involvingthefirmsshallbetreatedasnon-responsive.

11. TheApplicant whether asoleapplicant orleadmember withjointventure may includean

Associatecompanyalso. TheapplicantshallsubmitaMemorandumof Understanding(MOU)withtheAssociateregardingtherole andresponsibilitiesof thisAssociateCompanyalongwiththeproposal. Keypersonnelviz., TeamLeader andHighwayMaintenanceEngineershallbedeployednecessarilybysolefirmor JVpartners. Upto50%oftheremainingkeypersonnelandsubprofessionalstaff canbeprovidedbytheassociatefirm..

B) EligibilityCriteriaforpartnersincaseofJV(notmorethan1JVpartnershallbe allowed). LeadPartnershouldmeetatleast75%andJVpartnershouldmeetat least40% eligibility criteria of Annual Turnover. Lead partner and the JV partner both shall have experience of atleast one project of eligible category as in para 12 (A) above.

Note: Theweightagegivenforexperienceofa firmwoulddependontheroleofthefirm

intherespectiveassignments. Thefirm’sexperiencewouldgetfullcreditifit was

thesolefirmin therespectiveassignment. Experienceweightageforfirmsjoining

LeadpartnerJVpartnershallbeconsideredinthesameproportionaspayment

hasbeenreceived**bythefirmtowardsconsultancyworkintheproject.

**Forweightageofexperiencein any pastConsultancyassignmentexperiencecertificate

fromtheclientshallbeaccepted. Intheabsenceofexperiencecertificatefromthe client,proportionof paymentreceivedtowardsConsultancyworkdulycertifiedby

statutory body like Chartered Accountant or Independent Auditors who are

competenttodosoasrecognisedbythe Stateconcernedshallbe accepted. Annual

turnoverdulycertifiedbyCharteredAccountantshallbeaccepted. Incaseofnon- availabilityof suchdocumentsnoweightageofturnover/experiencewillbe considered.

Applicantshouldindicateactualfiguresofcostsandamountfortheworksexecuted bythemwithoutaccountingfortheabovementionedfactors.

In case the financial figures and values of services provided are in foreign currency,theaboveenhancement factorswillnotbeapplied. Instead,current market exchange rate (State Bank ofIndia BCSelling rate asonlast date of

submissionofthebid)willbeappliedforthepurposeofconversionofamount inforeigncurrencyintoIndianRupees.

14..The Bidder including individual or any of its Joint Venture Member should, in the

last 2 years, have neither failed to perform for the works of Expressways, National Highways, ISC (Inter State Connectivity) & EI (Economic Importance) works, as evidenced by imposition of a penalty by an arbitral or judicial authority or a judicial pronouncement or arbitration award against the Bidder including individual or any of its Joint Venture Member, as the case may be, nor has been expelled or terminated by Ministry of Road Transport & Highways or its implementing agencies for breach by such Bidder including individual or any of its Joint Venture Member. Consultants (sole firm or lead firm and any of

the JV partners) who donotfulfil the aforesaid condition as on last date of submission of proposal, need not apply as their RFP proposal will not be

entertained.

15. NHAI will not be responsible for any delay, loss or non-receipt of RFP

documentsentbypost/courier. Further,NHAIshallnot be responsibleforany

delayinreceivingtheProposal and reserves the right to accept/reject any orall applicationswithoutassigninganyreasonthereof.

16. The Technical proposal (in Original) must be submitted in a hard bound form

with all pages numbered serially, along with an index of submission. (Hard bound implies binding between two covers through stitching or otherwise whereby it may not be possible to replace any paper without disturbing the documents). Spiral bound form, loose form, etc. will be not accepted. A copy of the Technical Proposal should also be uploaded on the e-portal. Financial Proposals shall have to be submitted only in Electronic Form (to be uploaded on the e-portal). In the event, any of the instructions mentioned herein have not been adhered to, NHAI may reject the Proposal..

17. NHAI will be at liberty to keep the credentials submitted by the Consultants at bidding stage, in public domain and the same may be uploaded on NHAI web- site. By

submitting the proposal, the Consultants shall be deemed to have no objection to upload/hoist the information pertaining to their credentials as well as of their key personnelonNHAIweb-site.

18. The individual key personnel proposed in the bid by the consultants or any

replacement thereof should undertake that they shall have no objection in uploading/hoisting of their credentials by NHAI in public domain.

19. RFP submission must be received not later than 1100 hrs on 21.10.2016 in the

manner specifiedin theRFPdocumentattheaddressgivenbelow.

SECTION 2.LETTEROFINVITATIONTOCONSULTANTS

1 INTRODUCTION

1.1 Bidsareinvitedfromconsultingfirmseitherasasolefirm/jjointventurewith other

consultantwillingto act as IEto submit a proposal for providing

consultingservicesrequiredfortheassignmentnamedin theattachedLetterof

Invitation.Yourproposal could form the basis for future negotiations and

ultimately a contractbetweenyourfirmandtheNHAI.

1.2 A brief description of the assignment and itsobjectives are given in

theTermsofReference(TOR).

1.3 ThisRFPis neitheran agreementnoran offerbytheAuthoritytothe prospective

Applicantsor anyotherperson. ThepurposeofthisRFPistoprovideinterested

partieswithinformationthatmaybeusefultothemin theformulationoftheir

ProposalspursuanttothisRFP. ThisRFP includesstatementsand assumptions, whichreflectvariousassessmentsarrivedatbytheAuthorityinrelationtothe

Consultancy. Suchassessmentsandstatementsdonotpurporttocontainallthe

informationthateachApplicantmayrequire. Theinformationcontainedinthis

RFP,maynot becomplete,accurate,adequateorcorrect. EachApplicantshould, therefore,conductitsowninvestigationsaboutthe assignment andthe local

conditionsbeforesubmittingtheproposalby payingavisittotheClientandthe project

site, sending written queries to the client, before the date and time

specifiedintheDataSheet.

1.4 Pleasenotethat(i)thecostsofpreparing theproposal andnegotiating forthe contract,

including a visit to site, are not reimbursable as a direct cost of assignment and (ii)NHAIisnotboundtoacceptanyoftheproposalsreceived byitandreservestherightto annul the selection process atany time prior to contractaward,without

therebyincurringanyliabilitytotheConsultants

1.5 Wewishtoremindyouthatinordertoavoidconflictofinterestsituations,any

firmassociated with the Concessionaireof the Project Highway as its Design and/orSupervision Consultant and/or the Contractor(s) as Design Consultant and/orConstructionSupervisionConsultantduring construction period and defect

Liablity period of the project or previous operation & maintenance period is noteligibleto participatein thebidding. The restriction herein shall not apply after a period of 5 (five) years from the completion of their consultancy assignment.

1.6 Those Consultants who wereengaged by Ministry/NHAI for the above

projectasDesignConsultantsforpreparationofDetailProjectReportsshallnot bepermittedto submitproposalforprovidingtheconsultancyservicesas Independent

Consultant forthesameprojectfor first operation & maintenance period of the

project eitherindividually orinJVwithotherfirms. The restriction herein shall not

apply after a period of 5 (five) years from the completion of their DPR consultancy assignment for the project.

Further, the consutants will not propose any personnel who had been engaged by the concessionaire on the same project within last one year.

1.7 Consultant have an obligation to disclose any situation ofactualor potential conflictthatimpacts their capacity to serve the best interest of their Client, or than mayreasonablybeperceivedashavingthiseffect. Failuretodisclosesaid situations may lead to the disqualification of the Consultant or the termination of its Contract

and/or any other action as deemed fit by the Authorityatanystage.

1.8 It is the NHAI’s policy that the consultants observe the highest standard of

ethicsduringtheselectionandexecutionofsuchcontracts.Inpursuanceofthis

policy,theNHAI:

(a) Defines,forthepurposeofthisparagraph,thetermssetforthbelowas

follows:

(i) “corruptpractice” means the offering, giving, receiving, or soliciting,directlyor indirectly,ofanythingofvaluetoinfluencethe actionofapublicofficialintheselectionprocessorin contract execution;

(ii) “fraudulentpractice” means a misrepresentation or omission of factsinorderto influenceaselection processor theexecution of a

contract;

(iii) “collusive practices” means a scheme orarrangementbetween twoor

more consultantswithor without the knowledge of the Client,

designed to establish pricesat artificial,non-competitive levels;

(iv) “coercivepractices”meansharmingorthreateningtoharm,directly orindirectly, persons ortheirpropertytoinfluence their participationin aprocurementprocess,oraffecttheexecutionofa contract.

(b) will reject a proposal for award if it determines that the Consultant recommendedfor

award has, directly or through an agent, engaged in corrupt, fraudulent,collusiveor coercivepracticesincompetingforthe contractinquestion;

(c) willdeclareafirmineligible,eitherindefinitelyorforastatedperiodoftime, tobe awarded

a contract if it at any time determines that the firm has

engagedincorruptorfraudulentpracticesincompetingfor,orinexecuting,

acontract;and

(d) will have the right to require that a provision be included requiring consultantsto

permit the NHAI to inspect their accounts and records relating to theperformanceof the contract and to have them audited by authorizedrepresentativesofNHAI.

1.9 Consultants, their Sub-Consultants, and their associates shall not be under adeclaration of ineligibility for corrupt and fraudulent practices.

Furthermore,theConsultantsshallbe awareoftheprovisionsonfraudand corruption

stated in the specific clauses in the General Conditionsof Contract.

1.10 Consultantsshallfurnishinformationoncommissionsandgratuities,if any, paidor to

be paid to agents relating to this proposal and during execution of theassignmentiftheConsultantisawardedtheContract,in theFinancialProposal.

1.11 The Data Sheet indicates how long Consultants’ Proposals must remain valid after

the submission date. During this period, Consultants shall maintain the

availability of Professional staff nominated in the Proposal. The Client will make its

best effort to complete negotiations within this period. Should the need arise,

however, the Client may request Consultants to extend the validity period of their

proposals. Consultants who agree to such extension shall confirm that they maintain

the availability of the Professional staff nominated in the Proposal, or in their

confirmation of extension of validity of the Proposal, Consultants could submit new

staff in replacement. If any consultantseeks any

replacement(s),whileextendingthebidvalidity,thenthesame shall be

evaluatedforascertainingsuitabilityofreplacement asperthe

provisionsoftheRFPandnoremuneration shallbedeductedforany

suchreplacement(s). However,thetechnicalevaluation shalltakeinto

accountoftheoriginallysubmittedCV(s)onlyirrespective of replacement

sought.Consultants who do not agree have the right to refuse to extend the validity

of their Proposals.

2. CLARIFICATIONSANDAMENDMENTOFRFPDOCUMENTS

2.1 TheConsultantsmayrequestaclarificationofanyoftheRFPdocumentsup

tothenumberofdaysindicatedin theDataSheetbeforetheProposal submission date.

Anyrequest forclarification mustbesentinwriting by papermail,facsimile,orelectronicmailtotheClient’saddressindicatedin theDataSheet.TheClientwillrespondbycable,facsimile,orelectronicmail to such requests and will send copies of the response (including an

explanationofthequerybutwithoutidentifyingthesourceof inquiry)to all consultants who have purchased the RFPdocument. Clarification/amendmentwillalsobehostedonNHAIweb-site.

2.2 At any time before the submission of Proposals, the Client may for any

reason,whetherat itsowninitiativeor inresponsetoaclarificationrequested by aConsultingfirm,modifytheRFPdocumentsbyamendment. Any amendmentshallbeissuedinwritingthroughaddendum. Addendummay besentby

mail,cable,telex,facsimileorelectronicmailtoconsultantsor/and

willbehostedonNHAIwebsitewhichwillbebindingonthem. TheClient mayatitsdiscretionextendthedeadlineforthesubmissionofProposals.

3. PREPARATIONOFPROPOSAL

3.1 YouarerequestedtosubmityourTechnicalproposalonlystrictlyusingthe

formatsenclosedherewith(refersection3and 4).

The proposal shall be written in the English language as specified in the

DataSheet.All pagesoftheProposalshallbesignedbyanauthorized representative. The representative’s authorization shall be confirmed by

writtenPowerofAttorneydulynotarizedtobesubmittedwiththeproposal.

IncaseofJVaMoUindicating thespecificProjects,inputandroleofeach

Partneretc.shallbesubmittedwiththeproposal.

Part1:TechnicalProposal

3.2 You are expected to examine all terms andconditionsincluded inthe

documents.Failureto actortoprovideallrequestedinformationwillbe at yourownrisk

andmayresultin rejectionofyourproposal.

3.3 During preparation of the Technical proposal you may give particular

attentiontothefollowing:

i. Theman-months fortheassignment shallbethatstatedintheTermsof Reference.

Thesameshallbe consideredforthepurposeofevaluationas wellasaward.

ii. TheConsultants shouldprefer to field as many of theirpermanent staff as

possible and higher marks shall be given in this regard. The permanent staff would be considered those already employed with the firmprior to one year from the month during which this Tender Notice is

issued. Moreweightage will be given to those keypersonnel who are employed with more years with the firm.

iii. No alternative to key professional staff may be proposed and only oneCurriculumVitae(CV)maybesubmittedforeachpositionand

iv. A good working knowledge of the language specified in the data sheet

isessentialforkey professionalstaffonthisassignment. Reports

mustbeinthelanguage(s)specifiedinthedatasheet.

v. ForKey Personnel e.g. Team Leader, Resident-cum-Highway Engineer,

HighwayMaintenance Engineer and Road Safety Expert, the Consultants shouldprefer candidates having worked on PPP Projects. Such personnel shall be rated higher than the candidates having nosuch experience at all”

3.4 Your Technical Proposal must provide the following information, using butnot

limitedtotheformatsattachedinthe Section3&4.

i. A brief description of the firm’s organisationand an outline of

recentexperience of the Consultants and, in the case of Joint Venture, for

eachpartner, on assignments of a similar nature. The information whichyoushall provideoneachassignmentshouldindicate,inter-alia,the

profilesof thestaffprovided,duration,contractamount andfirm’s

involvement.Thedetailsofassignmentsonhandshallalsobefurnished.

ii. Any comments or suggestions on the ToRand a description of

themethodology(work plan) which the firm proposes to execute the

services,illustratedwithbarchartsofactivities.

iii. Thecompositionoftheproposedstaffteam,thetaskswhichshallbe

assignedtoeachandtheirtiming;

iv. RequirementforsubmissionofCVs.

a. CVsstrictlyin theprescribedformatandrecentlysignedin blueink oneachpageby boththeproposedprofessionalstaffandthe

ManagingDirector/Head ortheauthorizedrepresentativeofthe firm. b. Keyinformationshouldincludeyearswiththe firmanddegreeof

responsibilityheldin variousassignments.In CVformat,at

summary,theindividualshalldeclarehis qualification&total experience(in years)againstthe requirementsspecifiedinTORfor

theposition(Ref.Enclosure-BofTOR).If any informationisfound

incorrect, atanystage, action including termination and

debarmentfromfutureNHAIprojectsupto2yearsmaybetaken byNHAIonthepersonnelandtheFirm.

c. Deleted.

d. CVsofKeyPersonnelhavingintermittentinputswillbe considered

In case during interaction with the key personnel at the time of

negotiationitisfoundthatthekeypersonnelproposedisun-suitablefor theassignmentposition,hisreplacementby equivalentorbettershallbe

providedbythe consultant. Thekeypersonnelwithsuchun-suitableCV

shallnotbeconsideredinanyfuturebidsforthatpositionfortwoyears.

Nodeduction forsuchreplacement whoarenotfound suitable during interactionshallbemade.

Intheeventualitythatafirmbecomesnon-responsive, forthethirdtime, due to

theaction ofreplacements ofmorethan2 key personnel during

negotiation,thefirmandits constituentJV partnersandAssociatesshallbe

debarreduptotwoyearsforNHAIconsultancyprojects.

3.6 YourFinancialProposalmustbestrictlyusingtheformatsattachedinSection

5.Noadditionalitems/quantities otherthanthatspecified intheformatsshouldbe

proposedbytheConsultantssincethesameshallnotbe consideredforthe evaluation/award. For the first 12 months from the Date of Commencement of Services, Consultants shall be paid billing rates as indicated above. Beginning 13thmonthsoftheservicesprovided,billingratesshallbeincreasedfortheremuneration

3.7 TheFinancialProposal shouldclearlyidentifyasaseparateamount,thelocal taxes(including social security), duties, fees, levies and other charges imposed

under theapplicablelaw,ontheconsultants,thesub-consultants,andtheirpersonnel (otherthan nationalsorpermanentresidentsofthegovernment’scountry);unlessthe Data Sheet specifies otherwise. This cost, however, will not be considered in evaluation.

3.8 Consultantsto state cost in INR.

3.9 The service tax shall be considered for release along with invoice, subject to

conditionthatConsultantsubmitstheproofofdepositofthesamewithaCertificate fromCAfirmwithinaperiodof90days ofreceiptofsuchservicetax.

5 PROPOSALEVALUATION 5.1 Atwo-stageprocedureshallbeadoptedforevaluatingtheproposals. 5.2 Deleted.

TechnicalProposal 5.3 The Evaluation Committee appointed by the NHAI shall carry out its

evaluationapplying the evaluation criteria and point system specified in the data sheet. Eachresponsive proposal shallbeattributedatechnical score(St.) The technical proposal should score at least 75 points to be considered responsive.

TheAuthorityshallshortlist5(five)topfirmsonthebasisoftheir technicalscorenotintheconflictofinterestwiththeconcessionaire.

FinancialProposal

5.4 AftertheevaluationofTechnical Proposalsiscompletedandtheshortlistof5 firmsis

finalised,NHAImaynotifythoseconsultantswhoseproposalswerenot consideredasperconditionsofRFPindicatingthattheirFinancialProposalwill notbeopenedonline. TheNHAIshallsimultaneouslynotifythefinallyselected 05(five)shortlistedfirms indicating thedateandtime setforopening oftheFinancialProposals.

5.5 The Financial Proposals shall be openedpubliclyinthe

presenceoftheconsultants’representativeswhochoosetoattend. Thenameof

theconsultant,thetechnicalscores,andtheproposedpricesshallbereadaloud and recordedwhentheFinancialProposalsare opened. TheClientshallprepare minutesofthepublicopening.

5.6 The Evaluation Committee will determine whether the submitted Financial Proposals

arecomplete(i.e.whethertheyhaveincludedcostofallitemsofthe

correspondingproposals;ifnot,thenthecosttowardssuchmissing items will beconsideredasNIL,buttheConsultant shall, however, berequired tocarry outsuch obligations withoutanyadditionalcompensation. Incaseundersuch circumstances,

ifClientfeelsthatthework cannot be carried out within the overall costas perthe submitted financialproposal, suchproposals shallbe considerednonresponsive.

5.7 TheEvaluationCommitteeshalldetermineifthefinancialproposaliscomplete andwithoutcomputationalerrors. Theorderofpriorityasamongthesefirmson thebasisoffinancialbidswillalsobedetermined andthelowestfinancialbid shallrankfirstforawardofcontract.

5.8 The lowest Financial Proposal (Fm) will be given a financial score (Sf) of 100 points. The financial scores (Sf) of the other Financial Proposals will be computed as Sf=100 x Fm/F, where Sf is the financial score, Fm is the lowest price and F the price of the proposal under consideration. Proposals shall finally be ranked according to their combined technical (St) and financial (Sf) scores using the weights indicatedinthedatasheet: S= St x T% + Sf x P%. The Firm achieving the highest combined technical financial score will be invited for negotiations.

6 NEGOTIATIONS

6.1 Prior to the expiration period of validity of proposal, the NHAI shall notify thesuccessful firm (first ranking firm) in writing by registeredletteror facsimile and

may either issue LOA if negotiations are not required or may

inviteittonegotiatethecontract. Incasetwoormorefirms offersamelowest

financialbid,thefirmachievingthehighestTechnicalscoreshallbeinvitedfirst

fornegotiations.

6.2 Negotiationsnormallytakeonetotwodays. Theaimistoreachagreementonall

points,andinitialadraftcontractbytheconclusionofnegotiations.

6.3 Negotiations shall commence with a discussion of your technical proposal, the

proposed methodology (work plan), staffing. Agreement must then be reached on

thestaffingand bar charts, which shall indicate activities, staff, periods in the field and in the home office, staff months, logistics and

reporting.Specialattentionshallbepaidtooptimisetherequiredoutputsfrom

thefirmwithintheavailable budgetandtodefineclearly the inputs required

fromtheNHAItoensuresatisfactoryimplementation oftheassignment.

6.4 It is the responsibility of the Consultant, before starting financial

negotiations, to contact the local tax authorities to determine the local tax amount to be paid by the Consultant under the Contract. The financial negotiations willincludeaclarification(ifany)ofthefirm’staxliabilityinthe Client’s country,

andthemanner inwhichitwillbereflectedintheContract; andwillreflecttheagreedtechnicalmodificationsin the cost of the services.

6.5 Having selected a firm, among other things, onthe basis ofanevaluation of

proposedkeyprofessional staff, theNHAI expects tonegotiate, acontract on thebasisofthestaffnamedintheproposaland,priortocontractnegotiations, willrequireassurancethatthisstaffshallbeactuallyavailable.

6.6 Replacement of key personnel shall be considered only in unavoidable

circumstances.In nocasemorethantworeplacementsofkeypersonnelshallbe permitted during negotiation and in such cases Consultant and such key personnel

shallhavetosubmitaffidavittotheeffectthatduringtheperiodof assignmentspecifiedinpara8ofSection:1,thereplacedkeypersonnelshallnot beprofessionally employedanywhereinNHAIworks.NHAIshallnotfurther considerCVofsuchkeypersonneldirectlyorindirectlyfor anyof itsprojectsfor

thisperiod. 10%reduction inremuneration shall beconsidered foreach such substitution upto2replacements. Incaseduringnegotiations, morethantwo replacementsaresoughtbytheH1consultant,hisproposalshallbe consideredas Non-

Responsive. Insuchcasethecombinedscoreofnextfive topfirms,meeting thenon-conflictconditionshallbeevaluatedtoarriveatnewH1. Incasewhen lessthanfivefirms areavailable,thenexthighestscoringfirm shall be considered asH1.

Incaseduringinteractionwiththekeypersonnelatthetimeofnegotiationit is

foundthatthekeypersonnelproposedisun-suitablefortheassignmentposition,

hisreplacementbyequivalentorbettershallbeprovidedbytheconsultant. The keypersonnelwithsuchun-suitableCVshallnotbeconsideredin anyfuturebids forthat

positionfortwoyears.

Intheeventualitythatafirmbecomesnon-responsive,forthethirdtime,dueto theactionofreplacementsofmorethan2keypersonnelduringnegotiation,the

firmanditsconstituent JVpartnersandAssociatesshallbedebarred uptotwo yearsforNHAIconsultancyprojects.

6.7 Eachkeypersonnelofthepreferredconsultantshallbecalledfor interviewat

thetimeofnegotiationatthecost of theConsultant.Atthetimeof interview,the

keypersonnelshallproducetheoriginalsofthecertificates(Proofof age, Qualifications

and experience from theirrespective employers) insupport of theirCVsfor

verificationandreturn.Thenegotiationsshallbeconcludedwitha reviewofthedraftformofContract. TheNHAIandthefirmwillfinalisethe

contracttoconcludenegotiations.

6.8 Eachkeypersonnelofthepreferredconsultantshallbecalledforinterviewat thetimeofnegotiationatthecost of

theConsultant.Thenegotiationsshallbeconcludedwitha reviewofthedraftformofContract. TheNHAIandthefirmwillfinalisethe contracttoconcludenegotiations

7 AWARDOFCONTRACT 7.1 After completion of negotiations with the consultants, the Client shall award

theContracttotheselectedConsultant.

7.2 The successful firm with whom the contract is signed is expected to commence theassignmentonthedateandatthelocationspecifiedinthedata sheet.

8. PERFORMANCECLAUSE

IndependentEngineersshallbeexpectedtofullycomplywithalltheprovisions

ofthe`TermsofReference’, andshallbefullyresponsible forsupervising and

ensuringthattheDesigns,ConstructionandMaintenance andOperationofthe facility takes place in accordance with the provisions of the Concession Agreement.FailureoftheIndependentEngineerto notifyingNHAIandthe Concessionaireonnon-

complianceoftheprovisionsoftheConcessionAgreementbytheConcessionaire,non-adherencetotheprovisionofToRandnon-adherence tothetimescheduleprescribedunderToRshallamounttonon-performance.

The Independent Engineer shall appoint senior most technical director or

equivalentasitsauthorisedrepresentative, whoshallcorrespond withtheNHAI

besidesTeamLeadertomonitortheperformanceofitsstaff,undertakequarterly

siteinspectionsandgive areporttoNHAIonsuchinspectionforcommentsand suggestions of NHAI for future compliance, issue on behalf of the IE, the

ProvisionalCompletionCertificateandCompletionCertificateandshallcarryout

anysuchtaskasmaybedecided byNHAI. TheIEshalltakepriorapproval of NHAI before

issuing Provisional Completion Certificateand Completion Certificate.Theproposalsubmittedshallalsoincludethenameofthe

authorisedrepresentativealong withthe authorization letter and power of attorney.

No separatepaymentshallbemadeforsuchinputsandsitevisitsofthe authorized

representativeasthesameshallbetreatedasincidentaltotheassignment.

9. CONSULTANT’SPROPOSAL

9.1 Broadjob-descriptionand minimumqualificationand experiencerequirementsfor

keypersonnelmentionedabovearegivenin Enclosure–B.However,highermarks shall be accorded to the Candidate with higher relevant qualification and

experienceinPPPprojects.TheageoftheKeyPersonnel should notbemore than 65 years on the date of submission of proposal. AgeLimitforthe positionsofTeamLeader,PavementSpecialistand QualitycumMaterialExpert isrelaxby5yearsi.e.upto70yearsofageatthetimeofsubmission of proposalandhecancontinueupto 73years,subjecttoproductionofMedical

FitnessCertificate.Consultantsare advisedintheirowninterestto framethe technicalproposalin anobjectivemanneras faraspossiblesothatthesecouldbe

properlyassessedinrespectofpointstobegivenas partofevaluationcriteria.The bio-dataofthekeypersonnel shouldbesignedoneverysheetbythepersonnel concerned and the last sheet of each bio-data should also be signed by the

authorisedsignatoryfortheConsultant.Thekeypersonnelshallalsocertifyatthe endoftheir bio-data proformathattheyhavenotleftanyoftheNHAI works withoutcompletingoftheirassignmentandhavenotacceptedanyotherofferat thetimeofsigningofthebio-dataandassuchshallbe availabletoworkwiththe

IndependentEngineer,iftheProjectisawarded.IncasethekeypersonnelleavestheassignmentwithoutapprovalofNHAI,NHAIwouldbeat libertytotakeany appropriateactionagainstthatkeypersonnelincludingdebarment.

9.2 Inadditiontoabove,theconsultantsarerequiredtoproposesub-professionalstaff as detailedin Enclosure-Awiththeminimumqualificationandexperience requirementsasgiveninEnclosure–B.

10. PERFORMANCESECURITY

The successful consulting firm shall have to submit a Bank Guarantee (BG) for anamount of2.50%oftheContract Value within15daysofissueofLOA. TheBGshallbevalidforaperiodof38monthsi.e.upto2monthsbeyondthe

expiryoftheContractof36months. TheBGshallbeintheformatspecifiedin AppendixI of draft contract form and furnished from a NationalisedBank,IDBIor ICICI/ICICIBank/ForeignBank/EXIMBank/AnyScheduledCommercial BankapprovedbyRBIhavinganetworthofnotlessthan500croreas perlatest AnnualReportoftheBank. Inthecaseofa ForeignBank(issuedby aBranchin India) the net worth in respect of Indian operations shall only be taken into account. IncaseofForeignBank,the BGissuedbyForeignBankshouldbecounter guaranteed by any NationalisedBank in India. In case of JV, theBG shallbe furnishedonbehalfofthe JVandnotindividuallybythemembers.

SECTION6:TERMSOFREFERENCEFORINDEPENDENTENGINEER

1. Scope

1.1 TheseTermsofReference fortheIndependent Engineer (the“TOR”)arebeing

specifiedpursuanttotheConcessionAgreementdated 19th February 2010(the“Concession Agreement”),whichhas beenenteredintobetweentheAuthorityand M/s Moradabad Bareilly Expressway Ltd.for

Moradabad – BareillySectionfromKm. 149.250 to Km. 271.050ofNH-24intheStateofUttar Pradesh underNHDPPhase-IIIAon DBFOT(Toll)basis-

andacopyofwhichisannexedheretoandmarkedasAnnex-Ato formpartofthisTOR.

2 Definitionsandinterpretation

2.1 ThewordsandexpressionsbeginningwithorincapitallettersusedinthisTOR

andnotdefinedhereinbutdefinedintheAgreementshallhave,unlessrepugnant

tothecontext,themeaningrespectivelyassignedtothemintheAgreement.

2.2 ReferencestoArticles,ClausesandSchedulesinthis TORshall,exceptwherethe

contextotherwiserequires,bedeemedtobereferencesto the Articles,Clausesand Schedulesof theAgreement,andreferencesto Paragraphsshallbe deemedtobe referencestoParagraphsofthisTOR.

2.3 Therulesofinterpretationstatedin Clauses1.2,1.3and 1.4oftheAgreementshall

apply,mutatismutandis,tothisTOR.

3. RoleandfunctionsoftheIndependentEngineer

3.1 TheroleandfunctionsoftheIndependentEngineershallincludethefollowing:(i)

reviewoftheDrawingsandDocumentsassetforthin Paragraph4; (ii) determinetheProjectFacilitiesCompletionSchedule; (iii) review, inspection and monitoring of Construction Works as set forth in

Paragraph5;

(iv) conductingtests on completion of construction and issuing Completion Certificateassetforthin Paragraph5;

(v) review,inspectionandmonitoringofO&M assetforthinParagraph6; (vi) review,inspectionandmonitoringofDivestmentRequirementsassetforthin

Paragraph7; (vii) determining, as required under the Agreement, the costs of any works or

servicesand/ortheirreasonableness; (viii) determining, asrequiredundertheAgreement, theperiodoranyextension

thereof,forperforminganydutyorobligation;

(ix) assistingthePartiesinresolutionofdisputesassetforthinParagraph9;and (x) undertaking all other duties and functions in accordance with the

Agreement.

3.The Independent Engineer shall discharge its duties in a fair, impartial and efficient manner, consistent withthehigheststandardsofprofessional integrity andGoodIndustryPractice.

4. ReviewofDrawingsandDocuments

4.1 TheIndependentEngineershallundertakeadetailedreviewoftheDrawingsto be

furnishedbytheConcessionaire alongwithsupportingdata,includingthegeo- technicalandhydrologicalinvestigations,characteristicsof materialsfromborrow areas and quarry sites, topographical surveys and traffic surveys. The IndependentEngineershallcompletesuch reviewand sendits comments/observations

to the Authority and the Concessionaire within 15 (fifteen) days of receipt of such Drawings. In particular, such commentsshall specifytheconformityor otherwiseofsuchDrawingswiththeScopeoftheProject andSpecificationsandStandards.

4.2 The Independent Engineer shall review any modified Drawings orsupporting

Documents senttoitbytheConcessionaire andfurnishitscomments within7

(seven)daysofreceivingsuchDrawingsorDocuments.

4.3 The Independent Engineer shall review the Drawings sent to it by the Safety

Consultant inaccordance withSchedule-Handfurnishitscommentsthereonto

theAuthorityandtheConcessionairewithin7(seven)daysof receivingsuch Drawings. The Independent Engineer shall also reviewthe Safety Report and furnishits commentsthereontotheAuthoritywithin15(fifteen)days ofreceiving suchreport.

4.4 The Independent Engineer shall review the detailed design, construction

methodology, quality assurance procedures and the procurement, engineering andconstruction timeschedule senttoitbytheConcessionaire andfurnishits commentswith15(fifteen)daysofreceiptthereof.

4.5 Upon reference by the Authority, the Independent Engineer shall review and

comment on the EPC Contract or any other contract for operation and

maintenanceoftheProjectHighway,andfurnishitscommentswithin7(seven)

daysfromreceiptofsuchreferencefromtheAuthority.

5. ConstructionWorks

5.1 In respect of the Drawings, Documents and Safety Report received by the

IndependentEngineerforits reviewandcommentsrelatingtotheConstruction

Works,theprovisionsofParagraph4shallapply,mutatismutandis.

5.2 TheIndependentEngineershallreviewthemonthlyprogressreportfurnishedby

theConcessionaireandsendits commentsthereontotheAuthorityandthe

Concessionairewithin7 (seven)daysofreceiptofsuchreport.

5.3 3 TheIndependentEngineershallinspecttheConstruction WorksandtheProject Highway once every month, preferably after receipt of the monthly progress reportfromtheConcessionaire,butbeforethe20th(twentieth)dayofeachmonth

inanycase,andmakeout areportofsuchinspection(the“InspectionReport”) setting forth an overview of the status, progress, quality and safety of construction, including theworkmethodologyadopted,thematerialsusedand

theirsources,andconformityof ConstructionWorkswiththeScopeoftheProject and the Specifications and Standards. In aseparate section of the Inspection Report,theIndependentEngineershalldescribein reasonabledetailthelapses, defectsordeficienciesobservedbyitintheconstructionoftheProjectFacilities. The

Inspection Report shall also contain a review of the maintenance of the existing lanes in conformity with the provisions of the Agreement. The IndependentEngineershallsendacopyofitsInspectionReporttotheAuthority

andtheConcessionairewithin7(seven)days oftheinspection.

5.4 TheIndependentEngineermayinspecttheProjectHighwaymorethanonceina

monthifanylapses,defectsordeficienciesrequiresuchinspections.

5.5 For determining that the Construction Works conform to Specifications and

Standards,theIndependentEngineershallrequiretheConcessionairetocarryout, or

cause to be carried out, tests on a sample basis, to be specified by the

IndependentEngineerin accordancewithGoodIndustryPracticeforquality assurance. ForpurposeofthisParagraph5.5,thetestsspecifiedin theIRCSpecial Publication-

11(Handbookof QualityControlforConstructionofRoadsand

Runways)andtheSpecificationsforRoadandBridgeWorksissuedbyMoRTH(the“Qualit

yControlManuals”) oranymodification/substitution thereofshall bedeemedtobe testsconformingtoGoodIndustryPracticeforqualityassurance.

TheIndependentEngineershallissuenecessarydirectionstotheConcessionaire

forensuringthatthetestsareconductedin afairandefficientmanner,andshall

monitorandreviewtheresultsthereof.

5.6 ThesamplesizeoftheteststobespecifiedbytheIndependentEngineerunder

Paragraph5.5shallcomprise10%(tenpercent)ofthequantityor numberoftests prescribedforeachcategoryortypeoftestsin theQualityControlManuals; provided that the Independent Engineer may, for reasons to be recorded in writing,increasethe

aforesaidsamplesizebyup to10% (tenpercent)forcertain categoriesortypesoftests.

5.7 The timing of tests referred to in Paragraph 5.5, and the criteria for

acceptance/rejectionof theirresultsshallbe determinedbytheIndependent Engineer

inaccordance with the QualityControl Manuals. The tests shall be undertaken on a random sample basis and shall be in addition to,and independentof,theteststhatmaybecarriedoutby theConcessionaireforitsown

qualityassuranceinaccordancewithGoodIndustryPractice.

5.8 In theeventthattheConcessionairecarriesoutanyremedialworksforremovalor rectificationofanydefectsordeficiencies,theIndependentEngineershallrequire theConcessionaireto carryout,or causetobecarriedout,teststo determinethat

suchremedialworkshavebroughttheConstructionWorksintoconformitywith the Specifications and Standards, and the provisions of this Paragraph 5 shall applytosuchtests.

5.9 IntheeventthattheConcessionairefailstoachieveanyoftheprojectmilestones

specifiedinthe ProjectFacilitiesCompletionSchedule,the IndependentEngineer

shallundertakeareviewoftheprogress ofconstructionandidentify potential delays,if any. IftheIndependentEngineershalldeterminethatcompletionofany

ProjectFacilityisnotfeasiblewithinthetimespecifiedintheAgreement,it shall

requiretheConcessionairetoindicatewithin15(fifteen)daysthestepsproposed tobe

takentoexpediteprogress,andtheperiodwithinwhichcompletionshallbe achieved. Upon receipt ofa report from theConcessionaire, the Independent

Engineershallreviewthesameandsendits commentstotheAuthorityandthe

Concessionaireforthwith.

5.10 If at anytimeduringtheConcessionPeriod,theIndependentEngineerdetermines

thattheConcessionaire has not madeadequate arrangements for thesafety of

workersandUsersinthezoneofconstructionorthatanyworkisbeingcarried

outinamannerthatthreatensthesafetyoftheworkersandtheUsers,itshall

makearecommendationtotheAuthorityforthwithidentifyingthewholeorpart oftheConstructionWorksthat shouldbesuspendedforensuringsafetyinrespect thereof.

5.11 IntheeventthattheConcessionairecarriesoutanyremedialmeasurestosecure thesafetyof

suspendedworks andUsers,itmay,bynoticeinwriting,requirethe Independent Engineer to inspect such works, and within 3 (three) days of receiving such notice, the Independent Engineer shall inspect the suspended worksandmakeareporttotheAuthorityforthwithrecommending whetheror

notsuchsuspensionmayberevokedbytheAuthority.

5.12 IfsuspensionofConstructionWorksis forreasonsnotattributabletothe Concessionaire,

theIndependentEngineershalldeterminetheextensionofdates

setforthintheProjectFacilitiesCompletionSchedule,towhichtheConcessionaire is reasonablyentitled,andshallnotifytheAuthorityandtheConcessionaireofthe same.

5.13 TheIndependentEngineershallissueaCompletionCertificateuponcompletion

ofeachProjectFacilityandMajorMaintenanceWork,ifany,specifiedunderand inaccordancewiththisAgreement.

5.14 UponreferencefromtheAuthority,theIndependentEngineershallmakeafair and reasonable assessment of the costs of providing information, works and servicesassetforthinArticle14andcertifythereasonableness ofsuchcostsfor

paymentbytheAuthoritytotheConcessionaire.

5.TheIndependentEngineershallaidandadvisetheConcessionaireinpreparing theMaintenanceManual.

6. Operation&Maintenance

6.1 The Independent Engineershall review the annual Maintenance ProgrammefurnishedbytheConcessionaireandsenditscommentsthereontotheAuthori

ty and theConcessionairewithin15(fifteen)daysofreceiptoftheMaintenance Programme.

6.2 TheIndependentEngineershallreviewthemonthlystatusreportfurnishedby the

Concessionaireandsend itscommentsthereontothe Authorityandthe

Concessionairewithin7 (seven)daysofreceiptofsuchreport.

6.3 TheIndependentEngineershallinspecttheProjectHighwayonceeverymonth,

preferablyafterreceiptofthe monthlystatusreportfromthe Concessionaire,but beforethe20th(twentieth)dayof eachmonthinanycase,andmakeout anO&M Inspection

Reportsettingforthanoverviewofthestatus, qualityandsafetyof O&M including

itsconformity with theMaintenance Requirements andSafety Requirements. In a

separate section of the O&M Inspection Report,the Independent Engineer shall describe inreasonable detail thelapses, defects or deficiencies observed byitinO&M

oftheProjectHighway. TheIndependent Engineershallsendacopyof

itsO&MInspectionReporttothe Authorityandthe Concessionairewithin7

(seven)daysoftheinspection.

6.4 TheIndependentEngineermayinspecttheProjectHighwaymorethanonceina

month,ifanylapses,defectsordeficienciesrequiresuchinspections.

6.5 TheIndependentEngineershallinitsO&MInspectionReportspecifythetests,if any, thattheConcessionaire shall carry out orcause to becarried out forthe purposeofdeterminingthattheProjectHighwayis inconformitywiththe Maintenance

Requirements. Itshallmonitorandreviewtheresultsofsuchtests andtheremedialmeasures,ifany,takenby theConcessionaireinthisbehalf.

6.6 In respectofanydefectordeficiencyreferredtoinParagraph3of Schedule-K,the

Independent Engineer shall,inconformitywithGoodIndustryPractice,specify the permissible limit of deviation or deterioration with reference to the

Specifications andStandards andshall alsospecify thetimelimitforrepairor rectificationofanydeviationordeteriorationbeyondthepermissiblelimit.

6.7 The Independent Engineer shall determine if any delay has occurred in

completionofrepairorremedial worksinaccordance withtheAgreement, and shallalso

determine theDamages, ifanypayable bytheConcessionaire tothe

Authorityforsuchdelay.

6.8 The Independent Engineer shall examine therequest of theConcessionaire for closureofanylane(s)ofthe carriagewayfor undertakingmaintenance/repair thereof,keepingin viewtheneedtominimisedisruptionintrafficandthetime required

for completing such maintenance/repair in accordance with Good Industry Practice. Itshall grantpermission withsuch modifications, asitmay deem necessary, within 3 (three) days of receiving a request from the Concessionaire.Uponexpiryof thepermittedperiodofclosure,theIndependent

Engineer shall monitor the re-opening of such lane(s), and in case of delay, determine the Damages payable bytheConcessionaire to theAuthority under Clause17.7.

6.9 The IndependentEngineer shallmonitorand review thecuring ofdefects and

deficienciesbytheConcessionaireassetforthinClause19.4.

6.10 In the event that the Concessionaire notifies the Independent Engineer ofany

modifications thatitproposestomaketotheProjectHighway,theIndependent Engineershallreviewthesameandsendits commentstotheAuthorityandthe Concessionairewithin15(fifteen)daysofreceivingtheproposal.

6.11 TheIndependentEngineershallundertaketrafficsampling,asandwhenrequired

bytheAuthority,underandinaccordancewithArticle22 andSchedule-O.

7. Termination

7.1 Atanytime,notearlierthan90(ninety)dayspriortoTerminationbutnotlater

than15(fifteen)dayspriortosuchTermination,theIndependentEngineershall, in the

presence of a representative of the Concessionaire, inspect the Project Highwayfordeterminingcompliancebythe ConcessionairewiththeDivestment

RequirementssetforthinClause30.1and,ifrequired,causeteststobecarriedout at

theConcessionaire’scostfordeterminingsuchcompliance.IftheIndependent

EngineerdeterminesthatthestatusoftheProjectHighwayissuchthatitsrepair andrectificationwouldrequirealargeramountthanthesumsetforthinClause

39.2,itshallrecommendretentionoftherequiredamountintheEscrowAccount andtheperiodofretentionthereof.

7.2 The Independent Engineer shall inspect the Project Highway once in every

15(fifteen) days during a period of 90 (ninety) days after Termination for

determiningtheliabilityoftheConcessionaire underArticle39inrespectofthe

defectsordeficienciesspecifiedtherein.Ifanysuchdefectordeficiencyisfound

bytheIndependentEngineer,itshallmakeareportinreasonabledetailandsend

itforthwithtotheAuthorityandtheConcessionaire.

8. Determinationofcostsandtime

8.1 TheIndependentEngineershalldeterminethecosts,and/ortheirreasonableness, thatarerequiredtobedeterminedbyitundertheAgreement.

8.2 TheIndependent Engineershalldeterminetheperiod,oranyextensionthereof, thatisrequiredtobedeterminedbyit undertheAgreement

9. AssistanceinDisputeresolution

9.1 WhencalleduponbyeitherPartyintheeventofanyDispute,theIndependent EngineershallmediateandassistthePartiesinarrivingat anamicablesettlement.

9.2 In the event of any disagreement between the Parties regarding the meaning,

scopeandnatureofGoodIndustryPractice assetforthinanyprovisionofthe Agreement, the Independent Engineer shall specify such meaning, scope and

naturebyissuingareasonedwrittenstatementrelyingongoodindustrypractice

andauthenticliterature.

10. Otherdutiesandfunctions

TheIndependentEngineershallperformallotherdutiesandfunctionsspecifiedin theAgreement.

11. Miscellaneous

11.1 The Independent Engineer shall notify its programmeof inspection to the Authority andtotheConcessionaire, whomay,intheirdiscretion,deputetheir

respectiverepresentativestobepresentduringtheinspection.

11.2 Acopyofallcommunications, comments,instructions, DrawingsorDocuments sentby

IndependentEngineertothe ConcessionairepursuanttothisTOR,and a

copyofallthetestresultswithcomments oftheIndependentEngineerthereon

shallbefurnishedbytheIndependentEngineertotheAuthorityforthwith.

11.3 TheIndependent Engineer shallobtain,andtheConcessionaire shallfurnishin two

copies thereof, all communications and reports required to be submitted

underthisAgreementby theConcessionairetotheIndependentEngineer, whereupon

the Independent Engineer shall send one of the copies to the Authorityalongwithitscommentsthereon.

11.4 TheIndependentEngineershallretainat leastonecopyeachof allDrawingsand Documents received by it, including ‘as-built’ Drawings and keep in its safe

custody.

11.5 Upon completion of itsassignment hereunder, theIndependent Engineer shall dulyclassifyandlist allDrawings,Documents,resultsoftestsandotherrelevant records,

and hand them over to the Authority or such other person as the Authoritymayspecify,andobtainwrittenreceiptthereof.Twocopies ofthesaid documentsshallalsobe furnishedinmicrofilmform orin suchothermediumas

maybeacceptabletotheAuthority.

This is the seniormostpositionand the expert engaged as the team leader shallbe

responsible for reviewing the entire Project implementation activities ofthe

Concessionaire. HeshallcheckalltheDesigns beingprepared bytheConcessionaire, ensure executionofworks onsiteasperspecificationandstandards,andcontinuously interact with the

NHAI and the Concessionaire. He shall review and suggest

modificationstotheMaintenanceManual,AnnualMaintenanceProgrammeof the

Concessionaire. Reviewofemergencyresponsearrangements needsspecialattention.

Heshallundertake Project site visits and shall guide, supervise, coordinateand monitortheworkofotherexpertsinhisteamaswellasthoseofthe Concessionaire.

ThecandidateisrequiredtobeaHighwayEngineer,whoshould haveaprovenrecord of

supervising, organisingand managing of Project preparationw.r.t

construction/maintenanceof highway projectsas defined below,financedby internationallendingagenciesandothers.

Heshouldhavethefollowingqualification/experience.

theminconstruction/maintenance. Heshall inspect theConcessionaire’s field laboratoriestoensurethattheyareadequatelyequippedandcapableofperformingall the

specified testing requirements of the contract. He shall look into the quality

assuranceaspectoftheconstruction/maintenance worksandsupervisethesetting-upof the

Concessionaire’s pre-casting yards, rock crushers, bituminous hot mix plants, concrete batching plant, etc. toensure that the specified requirements for such equipmentsare

fully met. He willreviewall sampling undertaken to determine pavement

strength/characteristics. Heshallreview and suggest modificationstoall

QualityandMaterialrelatedaspectsintheMaintenanceManual/Programme.

GENERALCONDITIONSOFCONTRACT

1. GeneralProvisions

Unless the context otherwise requires, the following terms whenever used in this Contracthavethe followingmeanings:

(a) “Applicable Law”meansthelawsandanyotherinstruments havingtheforce of law in

the Government’s country [or in such other country as may be

specifiedintheSpecialConditionsofContract(SC)],astheymaybeissuedand

inforcefromtimetotime.

(b)“Contract means the Contract signed by the Parties, to which these General

Conditions of Contract are attached, together with all the documents listed

inClause1ofsuchsignedContract;

(c)“Effective Date’ means the date on which this Contract comes into force and

effectpursuanttoClauseGC2.1;

(d)‘foreigncurrency’ means any currency other than the currency of

theGovernment;

(e)‘GCmeanstheseGeneralConditionsofContract;

(f) “Government”meanstheGovernmentofClient’sCountry;(g)‘Local

currency’meanstheIndianRupees;

(h)“Consultant” wherever mentioned in this Contract Agreement means the

“Independent Consultant (IE)” and includes sub-consultants or Associates

engagedbytheprimaryconsultant.

(i) “Member”, incasetheConsultants consistofajointventureofmorethanone

entity,meansanyoftheseentities,and“Members”means all oftheseentities;

(j) “Party’meanstheClientor theConsultants,asthecasemaybe, andPartiesmeans

bothofthem;

(k) “Personnel” means persons hired by the Consultants or by any Sub-

ConsultantsandorAssociatesasEmployeesandassignedtotheperformanceof

theServicesoranypartthereof; “Foreign Personnel” means suchpersons who

atthetimeofbeing so hired had their domicile outside the Government’s

Country, “LocalPersonnel” means such persons who at the time of being so hired had their domicile inside the Government’s Country; and ‘key personnel’

means thepersonnelreferredtoinClauseGC4.2(a).

(l) "SC" means the Special Conditions of Contract by which these General ConditionsofContractmaybeamendedorsupplemented;

(m)"Services" means the work to be performed by the Consultants pursuant to

hiscontract, asdescribed inAppendix A hereto. Thescope ofwork willbe strictlyas

given in various Clauses in TOR. The approachand methodology to beadopted by the Consultant for carrying out the assignment as Independent Engineer may be modified depending on the site requirements and workprogrammeof the Concessionaire after mutual discussions with NHAI,

theConcessionaire and the Independent Engineer. Theworkplanasindicated bytheConsultantmaybemodifiedaccordinglyto thesiterequirements.

(n) "Sub-consultant and or Associates " means any entity to which the

Consultants subcontract any part of the Services in accordance with the provisionsofClauseGC3.7;and

(o) "Third Party" means any person or entity other than the Government, the

Client,theConsultantsoraSub-consultant.

1.2 RelationbetweentheParties Nothingcontained hereinshallbeconstruedasestablishing arelationofmasterand servantor ofprincipalandagentasbetweentheClientandtheConsultants.The

Consultants,subjecttothisContract,havecompletechargeof PersonnelandSub- consultants,

ifany,performingthe Services and shall be fully responsible for the

Servicesperformedbythemorontheirbehalfhereunder.

1.3 LawGoverningContract

This Contract, its meaning and interpretation, and the relation between theParties shallbegovernedbytheApplicableLaw.

1.4 Language This Contract has been executed in the language specified in the SC, which shall be

thebinding and controlling language for allmatters relating to the meaning or

interpretationofthisContract.

1.5 Headings Theheadingsshallnot limit,alteroraffectthemeaningofthisContract.

1.6 Notices

1.6.1 Any notice, request or consent required or permitted to be given or made

pursuant to this Contract shall be in writing. Any such notice, request or

consentshallbedeemedtohavebeengivenormadewhendeliveredinperson

toanauthorizedrepresentativeof the Party to whom the communication is

addressed, orwhensentbyregisteredmail,telegramorfacsimiletosuchParty attheaddressspecifiedintheSC.

1.6.2 NoticewillbedeemedtobeeffectiveasspecifiedintheSC.

1.6.3 APartymaychangeits addressfornoticehereunderbygivingtheotherParty

NoticeofsuchchangepursuanttotheprovisionslistedintheSCwithrespect toClauseGC1.6.2.

1.7 Location

The Services shall be performed at such locations as are specified in

Appendix A hereto and, where the location of a particular task is not so specified,

at suchlocations.whetherinGovernment'sCountryorelsewhere,as

theClientmayapprove.

1.8 AuthorityofMemberinCharge

In case the Consultants consist of a joint venture of more than one entity, theMembers hereby authorize the entity specified in the SC to act on their

behalfinexercisingalltheConsultants'rightsand obligationstowardstheClient

underthisContract, including without limitation thereceiving ofinstructions

andpaymentsfromtheClient.

1.9 AuthorizedRepresentatives

Anyactionrequiredorpermitted tobetaken,andanydocumentrequired or

permittedtobeexecuted,underthisContractbytheClientortheConsultants

maybetakenorexecutedbytheofficialsspecifiedintheSC.

1.10 TaxesandDuties

Unlessotherwisespecifiedinthe SC,the Consultants,Sub-consultantsand Personnelshall pay such taxes, duties, fees and other impositions asmay be levied under theApplicable Law.NHAIshallreimburseonlyservice taxon productionofprojectspecificproofofpaymentofservicetax.

2. Commencement,Completion,ModificationandTerminationofContract

2.1 EffectivenessofContract

ThisContractshallcomeintoforce andeffectonthedate(the"EffectiveDate")of the

Client's notice to the Consultants instructing the Consultants to begin carrying out the Services. This notice shall confirm that theeffectiveness conditions,ifany,listedintheSChavebeenmet.

2.2 TerminationofContractforFailuretoBecomeEffective

IfthisContracthasnotbecomeeffectivewithinsuchtimeperiodafterthedate

oftheContractsignedbythePartiesasshallbe specifiedin theSC,eitherParty may,bynotlessthanfour(4)weeks'writtennoticetotheotherParty,declare thisContracttobenullandvoid,andin theeventofsucha declarationbyeither Party,neither PartyshallhaveanyclaimagainsttheotherPartywithrespect hereto.

2.3 CommencementofServices

The Consultants shall begin carrying out the Services at the end of such time periodaftertheEffectiveDateasshallbespecifiedintheSC.

2.4 ExpirationofContract

Unlessterminatedearlier pursuanttoClauseGC 2.9hereof,thisContractshall

expirewhenserviceshavebeencompleted andallpayments havebeenmade attheendofsuchtimeperiodaftertheEffectiveDateasshallbespecifiedinthe SC.

2.5 EntireAgreement

This Contract contains all covenants, stipulations and provisions agreed by

theParties. No agent or representative of either Party has authority to make, and theParties shallnotbeboundbyorbeliablefor,anystatement, representation,promiseoragreementnotsetforthherein.

2.6 Modification

Modification of the terms and conditions of this Contract, including any modification ofthe scope of the Services, may only be made by written

agreement between theParties asthecasemaybe,hasbeenobtained. Pursuant to Clause

GC 7.2 hereof,however, each Party shall give due consideration to

anyproposalsformodificationmadebytheotherParty.

2.7 ForceMajeure 2.7.1. Definition

(a) For the purposes of this Contract, "Force Majeure" means an event which isbeyond the reasonable control of a Party, and which makes a Party'sperformance of its obligations hereunder impossible or so

impractical as reasonablytobeconsideredimpossibleinthe circumstances, and includes, but is not limited to, war, riots, civil disorder, earthquake, fire, explosion, storm, flood or other adverse weather conditions, strikes, lockouts or other industrial action (except where such strikes, lockouts or

other industrial action are withinthe power ofthePartyinvoking ForceMajeuretoprevent), confiscation or anyotheractionbygovernmentagencies.

(b) Force Majeure shall not include (i) any event which is caused by the

negligenceorintentionalactionofapartyorsuchParty'sSub- consultants

oragents or employees, nor (ii) any event which a diligent Party couldreasonablyhavebeenexpectedtoboth(A)takeinto accountatthe.timeoftheconclusion ofthisContract and(B)avoid or overcomeinthecarryingoutofitsobligationshereunder.

(c) ForceMajeureshallnotincludeinsufficiencyoffundsorfailuretomake

anypaymentrequiredhereunder.

2.7.2 NoBreachofContract

The failure ofa Party to fulfill anyofits obligations hereunder shall not

beconsidered to be a breach of, or default under, this Contract insofar as suchinability arises from an event of Force Majeure, provided that the Party affected by such an event has taken all reasonableprecautions, duecare"andreasonable alternative measures, all with the objective of

carrying out thetermsandconditionsof this Contract.

2.7.3 MeasurestobeTaken

(a) A Partyaffected by an event of Force Majeure shall take all reasonablemeasures to remove such Party's inability to fulfill its obligationshereunderwithaminimumofdelay.

(b)APartyaffectedbyaneventofForceMajeureshallnotifytheother

Partyofsucheventassoonaspossible, andinanyeventnotlater than fourteen (14) days following the occurrence of such event, providing evidence

ofthenatureandcauseofsuchevent,andshall similarlygivenoticeoftherestorationofnormalconditionsassoonas possible.

(c)The Partiesshalltake all reasonablemeasuresto minimizethe consequencesofanyevent ofForceMajeure.

2.7.4 ExtensionofTime

Any period within which a Party shall, pursuant to this Contract, completeanyactionortask,shallbeextended foraperiodequaltothe time during whichsuchPartywasunabletoperformsuchactionasa resultofForceMajeure.

2.7.5 Payments

During theperiod oftheir inability toperform theServices asaresult ofan

eventofForceMajeure,theConsultantsshallbeentitledtobe reimbursed foradditional costs reasonably and necessarily incurred by them during

suchperiod for the purposes of theServices and in

reactivatingtheServicesaftertheend ofsuchperiod.

2.7.6 Consultation

Notlaterthanthirty(30)daysaftertheConsultants, astheresultofan eventofForce Majeure, have become unable to perform a material portion

of theServices,thePartiesshallconsultwitheachotherwitha view to agreeing

on appropriate measures to be taken in the circumstances.

2.8. Suspension

The Client may, by written notice of suspension to the Consultants, suspend allpaymentstotheConsultantshereunderiftheConsultantsfail to perform any of theirobligations under this Contract, including the carrying out of

theServices, providedthatsuchnotice ofsuspension (i) shall specify the nature of the failure, and (ii) shall request the Consultants toremedy suchfailurewithinaperiodnotexceeding thirty (30)daysafterreceiptby theConsultantsofsuchnoticeofsuspension.

2.9 Termination

2.9.1 BytheClient

The Client may, by not less than thirty (30) days' written notice of terminationtothe Consultants(exceptintheeventlistedinparagraph(f) below,forwhichthereshallbe awrittennoticeofnotlessthansixty(60) days), such

notice to be given after theoccurrence ofanyoftheevents specifiedinparagraphs(a)through(h)ofthisClauseGC2.9.1,terminate this Contract.

(a) if the Consultants fail to remedy a failure in the performance of their

obligationshereunder, as specified in a notice of suspension pursuant to Clause

GC 2.8hereinabove,withinthirty(30)daysofreceiptofsuchnoticeof suspension orwithinsuchfurtherperiodastheClientmayhavesubsequently approvedinwriting;

(b) if the Consultants become (or, if the Consultants consist of more than one entity,

ifany of their Members becomes) insolvent or bankrupt orenter into

anyagreementswiththeircreditorsforreliefofdebtortakeadvantageofany law for the benefit ofdebtorsorgointo liquidation orreceivership whether

compulsoryorvoluntary;

(c)iftheConsultants failtocomplywithanyfinaldecisionreachedasaresultof

arbitrationproceedingspursuanttoClauseGC8hereof;

(d)if the Consultants submit to the Client a statement which has a material effect on

the rights, obligations or interests of the Client and which the

Consultantsknowtobefalse;

(e) if, as the result of Force Majeure, the Consultants are unable to perform a

materialportionoftheServicesforaperiodofnot lessthansixty(60)days;or

(f) iftheClient,initssolediscretionandforanyreasonwhatsoever, decidesto

terminatethisContract.

(g)if the consultant, in the judgment of the Client has engaged in corrupt or fraudulent

practices in competing for or in executing the Contract. For

thepurposeofthisclause:

"corruptpractice"meanstheoffering,giving,receivingorsolicitingofanything

ofvaluetoinfluencetheactionof apublicofficialintheselectionprocessorin

contractexecution.

"fraudulent practice" meansamisrepresentation offactsinorder toinfluence a selection process or the execution of a contract to the detriment of the Borrower,andincludescollusivepractice among consultants (prior toorafter

submission of proposals) designed to establish prices at artificial non- competitivelevelsandtodeprivetheBorrowerofthebenefitsoffree andopen competition.

(h) ifConcessionairerepresentstoNHAIthattheConsultantisnotdischarginghis duties in

a fair, efficient and diligent manner and if the dispute remains unresolved,

NHAImayterminatethiscontract.

2.9.2 BytheConsultants

TheConsultants may, bynotlessthanthirty (30)days'written notice totheClient, suchnotice

to be given after the occurrence of any of the events specified in paragraphs

(a)through(d)ofthisClauseGC2.9.2,terminatethisContract:

(a)ifthe Client fails to pay any money due to the Consultants pursuant to this

ContractandnotsubjecttodisputepursuanttoClause8hereofwithin forty-five(45)daysafterreceivingwrittennoticefromtheConsultants that

suchpaymentisoverdue;

(b) if the Client is in material breach of its obligations pursuant to this Contract

andhas not remedied the same within forty-five (45) days (or suchlonger

period astheConsultantsmayhavesubsequentlyapprovedin writing) following the receipt by the Client of the Consultants' notice specifyingsuchbreach;

(c) if,astheresultofForceMajeure,theConsultants areunabletoperforma

materialportionoftheServicesforaperiodofnot lessthansixty(60)days;or

(d)ifthe Client fails to comply with any final decision reached as a result

ofarbitrationpursuanttoClauseGC8hereof.

2.9.3. CessationofRightsandObligations

Upon termination ofthis Contract pursuant toClauses GC2.2orGC2.9hereof, or upon

expirationofthisContractpursuanttoClauseGC2.4hereof,all rightsand

obligationsofthePartieshereundershallcease,except: (i) suchrights and obligations as may have accrued on the date of

terminationorexpiration; (ii) theobligationofconfidentialitysetforthin ClauseGC3.3hereof; (iii) theConsultants' obligationtopermitinspection, copyingandauditing of

theiraccountsandrecordssetforthinClauseGC3.6(ii)hereof;and

(iv) anyrightwhichaPartymayhaveundertheApplicableLaw

2.9.4 CessationofServices

Upontermination ofthisContractbynoticeofeitherPartytotheotherpursuantto ClausesGC2.9.1orGC2.9.2hereof,theConsultantsshall,immediatelyupondispatch

orreceiptofsuchnotice,takeallnecessarystepstobringtheServicestoacloseina prompt and

orderly manner and shall make every reasonable effort to keep expenditures forthis

purpose toaminimum. With respect to documents prepared by the Consultants and equipment and materialsfurnishedbytheClient,the Consultants shall proceed as

provided, respectively, byClauses GC3.9or GC3.10 hereof.

2.9.5 PaymentuponTermination

Upon termination of this Contract pursuant to Clauses GC 2.9.1 orGC2.9.2 hereof, theClient shall make the following payments to the Consultants (after offsetting againstthesepaymentsanyamountthatmaybeduefromtheConsultanttotheClient}:

(a) remunerationpursuanttoClauseGC6hereoffor Servicessatisfactorily

performedpriortotheeffectivedateoftermination;

(b) reimbursableexpenditures pursuant to Clause GC 6 hereof for

expendituresactuallyincurredpriortotheeffectivedateoftermination;and

(c) exceptinthecaseoftermination pursuanttoparagraphs (a)through(d)of

ClauseGC2.9.1hereof,reimbursementof anyreasonablecostincidentto the promptandorderly termination of the Contract including the cost of the returntraveloftheConsultants'personnelandtheireligibledependents.

2.9.6. DisputesaboutEventsofTermination

IfeitherPartydisputes whether aneventspecified inparagraphs (a)through (e)of ClauseGC2.9.1 orinClause GC2.9.2 hereof hasoccurred, such Party may, within forty-five(45)daysafter receipt of notice of termination from the other Party, refer the matter to arbitrationpursuanttoClauseGC8hereof,andthisContractshallnot beterminated onaccount

of sucheventexceptinaccordance withthetermsofany resultingarbitralaward.

3. ObligationoftheConsultants

3.1 General

3.1.1.Standardof Performance

TheConsultantsshallperformthe Servicesandcarryouttheirobligations hereunder withallduediligence, efficiencyandeconomy, inaccordance with generally accepted professional techniques and practices, and shall observe

soundmanagementpractices,and employ appropriate advanced technology and safe and effective equipment, machinery,materialsandmethods"The Consultants shall always" act, in respect of any matter relating to this Contract or to the

Services, as faithful advisers to theClient,andshallatall times support and safeguard the Client's legitimate interests inanydealings withSub-consultantsorThirdParties.

3.1.2LawGoverningServices

The Consultantsshall performthe Servicesinaccordance with the Applicable Law and shall take all practicable steps to ensure that any Sub- consultants

and orAssociates,aswellasthePersonneloftheConsultantsand anySub-

consultantsandor Associates, comply with the Applicable Law. The Client shall

advise theConsultantsinwritingofrelevantlocalcustoms andtheConsultantsshall,aftersuchnotifications,respectsuchcustoms.

3.2 ConflictofInterests

3.2.1ConsultantsNottoBenefitfromCommissions,Discounts,etc.

The Remuneration of the Consultants pursuant to Clause GC 6 hereof shall constitutetheConsultants' soleremuneration inconnection withthisContract or the

Services and, subject to Clause GC 3.2.2 hereof, the Consultants shall not accept for

their own benefit any trade commission, discount or similar payment in

connection withactivities pursuant to this Contract or to the Services or in the

discharge of theirobligationshereunder,andtheConsultants shallusetheirbesteffortstoensurethatanySub-consultantsandorAssociates,

aswellasthePersonnelandagentsofeitherofthem,similarlyshallnotreceive

anysuchadditionalremuneration.

3.2.2 If the Consultants, as part of the Services, have the responsibility of advising

the Client on the procurement of goods, works or services, the Consultants

shallcomply with any applicable procurement guidelines of the Client (NHAI)and

orAssociatesBankoroftheAssociation,asthecasemaybe, and otherfundingagenciesandshallat alltimesexercisesuchresponsibilityinthe bestinterest

oftheClient. Anydiscounts or commissions obtained by the Consultants in the

exercise of suchprocurementresponsibilityshallbeforthe accountoftheClient.

3.2.3ConsultantsandAffiliatesNottoengageinCertainActivities

TheConsultantsagreethat, duringthe termofthisContractandafterits

termination,theConsultants and any entity affiliated with the Consultants, as well

asanySub-consultantandorAssociatesandanyentityaffiliatedwithsuch Sub-consultantand or Associates,shallbe disqualified from providing goods, works or services (other than the Services and any continuation thereof)foranyprojectresultingfromorcloselyrelatedtotheServices..

3.2.4 ProhibitionofConflictingActivities

TheConsultantsshallnot engage, andshallcausetheirPersonnelas well as their Sub-consultants and or Associates and their Personnel not to engage, either directly orindirectly,in anyofthefollowingactivities:

(a) during the term of this Contract, any business or professional

activitiesinthe Government's country which would conflict with the activitiesassignedtothemunderthisContract;and

(b)after the termination of this Contract, such other activities as may

bespecifiedin theSC.

3.3 Confidentiality

The Consultants, their Sub-consultants and the Personnel of either of them shallnot,either during the term or within two (2) years after the expiration of this

Contract, disclose any proprietary or confidential information relating to

the Project, theServices,thisContractortheClient'sbusinessor

operationswithoutthepriorwrittenconsentoftheClient.

3.4 LiabilityoftheConsultants

Subject to additional provisions, ifany, set forth in theSC, the Consultants’

liabilityunderthisContractshallbeasprovidedbytheApplicableLaw.

3.5 InsurancetobeTakenOutbytheConsultants

TheConsultants(i)shalltakeout andmaintain,andshallcauseanySub- consultantstotakeoutandmaintain, attheir(ortheSub-consultants', asthe case may be) owncostbutontermsandconditions approved bythe Client, insuranceagainst

therisks,andforthecoverages, asshallbespecified inthe SC, and (ii) at the Client's request, shall provide evidence to the Client showing thatsuchinsurance hasbeen taken outandmaintainedandthatthe currentpremiumsthereforehavebeenpaid.

3.6 Accounting,InspectionandAuditing

TheConsultants(i)shallkeepaccurateand systematicaccountsandrecordsin respect of the Services, hereunder, in accordance with internationally accepted

accounting principles and in such form and detail as will clearly identify all relevant time charges and cost, and the bases thereof (including such bases asmay be specifically referredtointheSC); (ii) shallpermit the Client oritsdesignated

representative periodically, and up toone year from the expiration or termination of thisContract,toinspectthesameandmake

copies thereof aswellastohavethemaudited byauditorsappointedbythe

Client;and(iii)shallpermitthe clientto inspectthe Consultant'saccountsand records

relating to the performance of the Consultant and to have them

auditedbyauditorsappointedbytheclient.

3.7 Consultants'ActionsRequiringClient'sPriorApproval

TheConsultantsshallobtaintheClient'spriorapprovalin writingbeforetaking anyofthefollowingactions:

(a)appointingsuch members of the Personnel as are listed in

Appendix C("Consultants'Sub-consultants'KeyPersonnel")merelybytitle butnotbyname;

(b) entering into a subcontract for the performance of any part of the

Services, itbeing understood (i) that the selection of the Sub-consultant andthetermsandconditions ofthesubcontract shallhavebeenapproved in writing by the Clientpriortotheexecutionofthesubcontract,and(ii) thattheConsultants shallremainfully liable for the performance of the Services bytheSub- consultant

anditsPersonnelpursuanttothisContract; and

(c)anyotheractionthatmaybespecifiedintheSC

3.8 ReportingObligations

The Consultants shall submit to the Client the reports and documents

specified inAppendix Bhereto, intheform, inthenumbers and within the

timeperiodssetforthinthesaidAppendix.

3.9 DocumentsPreparedbytheConsultantstoBethePropertyoftheClient

All plans, drawings, specifications, designs, reports, other documents and

softwareprepared by the Consultants for the Client under this Contract shall

become andremain the property of the Client, and the Consultants shall, not later than upontermination orexpiration ofthisContract, deliver all such documents to the

Client,togetherwithadetailedinventorythereof.

TheConsultantsmayretainacopyofsuchdocumentsand software. Restrictions

aboutthefuture useofthese documents andsoftware,ifany,shallbespecified intheSC.

3.10 EquipmentandMaterialsFurnishedbytheClient

Equipment and materials made availableto the Consultants by the Client, orpurchased bytheConsultants with funds provided bythe Client, shallbe thepropertyoftheClientandshallbemarkedaccordingly.Upon termination or expiration of this Contract, the Consultants shall make available to the Client

an inventory of suchequipment and materials and shall dispose of- such equipment and materials inaccordance with the Client'sinstructions. Whileinpossessionofsuchequipmentandmaterials, theConsultants, unlessotherwise

instructed bytheClientinwriting, shallinsure themattheexpenseoftheClientin anamountequaltotheirfullreplacement value.

4. Consultants'PersonnelandSub-consultantsandorAssociates

4.1 General

The Consultants shall employ and provide suchqualified and experienced PersonnelandSub-consultantsasarerequiredtocarryouttheServices.

4.2 DescriptionofPersonnel

(a) Thetitles,agreedjob descriptions,minimumqualificationandestimated periodsofengagementinthecarryingout oftheServicesofeachofthe

Consultants'KeyPersonnel aredescribed inAppendixC.IfanyoftheKey Personnel

hasalreadybeenapprovedbytheclientshis/hernameislistedas well.

(b) If required to comply with the provisions of Clause GCC 3.1.1 hereof,

adjustments with respect to the estimated periods "of engagement of Key PersonnelsetforthinAppendixCmaybemadebythe Consultantsbywritten

notice to the Client, provided (i) that such adjustments shall not alter theoriginallyestimated periodofengagement ofanyindividual bymorethan10%oroneweek,whichever islarger,and

(ii)thattheaggregateofsuchadjustmentsshall not cause payments under this Contract to exceed the ceilings setforth inClause GC 6.1(b) of this Contract. Any other such adjustments shall only bemadewiththeClient's writtenapproval.

(c) If additional work is required beyond the scope of the Services

specifiedin AppendixA,theestimatedperiodsofengagementofKey Personnel set forth in Appendix C may be increased by agreement in writing between

theClientandthe Consultants, provided thatany such increaseshallnot,exceptasotherwiseagreed, causepayments underthis Contract to exceed the ceilings set forth in Clause GC 6.1 (b) of this Contract.

4.3 Approvalof Personnel

TheKeyPersonneli.e.ProfessionalStaffandSub-consultantslistedbytitleaswell asby name in Appendix C are hereby approved by the Client. In respect of

otherKeyPersonnelwhichtheConsultantspropose,touseinthecarryingoutof

theServices,the Consultants shall submit tothe clientfor review andapproval a copy of

theirbiographical dataand(inthecaseofKeypersonnel tobeused within the country of the Government) a copy of a satisfactory medical certificate in the form

attachedhereto asAppendix D.IftheClient doesnot object in writing (stating the

reasons for the objection) within thirty (30) calendar days from the date of

receipt of suchbiographical data and (if applicable) such certificate, such Key Personnel shall bedeemedto havebeen approvedbytheClient.

4.4 WorkingHours,Overtime,Leave,etc.

(a) Working hours and holidays for Key Personnel are set forth in Appendix

Ehereto.Toaccountfortraveltime,foreignPersonnelcarrying outServicesinsidethe

Government's country shall be deemed to have commenced (or finished)workinrespectoftheServices suchnumber of days before their arrival in

(oraftertheir departure from) the

Government'scountryasisspecifiedinAppendix- Ehereto.

(b)The Personnel ofalltypes engaged byConsultant to provide Services on

thisContractshallnotbeentitledtobepaidforovertimenortotakepaid

sickleaveorvacationleave exceptasspecified inAppendixEhereto,and

exceptasspecified.In suchAppendix,theConsultants'remunerationshallbe

deemed to cover these items. Allleave to be allowed to the Personnel is

included inthestaff-months ofservicesetforin Appendix C.Anytaking ofleave byPersonnel shall be subject tothe prior approval bytheClient andthe

Consultants shallensurethatabsence forleavepurposes willnot

delaytheprogressandadequatesupervisionoftheServices.

4.5 Removaland/orReplacementofPersonnel

(a) ExceptastheClientmayotherwiseagree,nochangesshallbemadein

theKeyPersonnel. If,foranyreasonbeyond thereasonable controlof theConsultants,it becomes necessary to replace any of the Personnel, theConsultants shallforthwith provide as a replacement a person of

equivalent or betterqualifications. .

(b) If the Client (i) finds that any of the Personnel has committed serious

misconduct or has been charged with having committed a criminal action,

or(ii)hasreasonable causetobedissatisfied withthe performanceofanyofthePersonnel,thentheConsultants shall,atthe

Client'swrittenrequestspecifying the grounds therefore, forthwith provide

as a replacement a person withqualificationsand experience

acceptabletotheClient.

(c) Any of the Personnel provided as a replacement under Clauses (a) and

(b)above, the rate of remuneration applicable to such person as well as

anyreimbursable expenditures (including expenditures due to the number ofeligible dependents) the Consultants may wish to claim as a

result of such replacement, shall besubject to theprior

writtenapprovalbytheClient.ExceptastheClientmayotherwiseagree, (i) the

Consultants shall bear all additional travel and other costs arising out of or incidental to any removal and/orreplacement,and

(ii)theremunerationtobepaidtoanyoftheKeyPersonnelprovidedas

areplacementshallbe 90%oftheremunerationwhichwouldhavebeen payable

to the Key Personnel replaced.However, for the reason other thandeath/extrememedicalground,(i)for totalreplacementabove 25%

upto37.5%ofKeyPersonnel,remunerationshallbereducedby20%(ii) for total

replacement above37.5%upto50%, remunerationshallbe reduced

by25%and(iii)fortotal replacement between50%&62.5%, remunerationshallbereducedby 30% (iv) For total replacements

beyond62.5% of thekeypersonneltheclientshallinitiateactionofhigher

penalty/termination/debarment upto2yearsasconsideredappropriate.

(d) In ordertopreventthetendencyofthepersonnelandconsultingfirmto submit

incorrectandinflated CV,they should sign every pageofCV beforesubmissionin ordertoauthenticatethatCV furnishedbythemis

correct.Theconsultingfirm andthepersonnelthroughconsultingfirm

shouldbeinformedbyNHAIwhileacceptingCVofthenewpersonnel

thatifCVisfoundin correctandinflatedat alaterdate,thepersonnel accepted wouldbe removed from hisassignment and debarred from

furtherNHAIworksforanappropriateperiodtobedecidedbyNHAI

andthenewproposedpersonnelinplaceofremovedpersonnelwould

bepaid15% lesssalarythantheoriginalpersonnel.15% reductioninthe salary will be imposed as apenalty for submitting the incorrect

information.Thispenaltywillbeimpostedonly once.Ifthesame consulting

firm submits incorrect information again second time,

necessaryactionwillbetakenbyNHAItoblack-listthatfirm.

4.6 ResidentProjectManager

Ifrequired by the SC, the Consultants shall ensure that atall times during theConsultants'performance of the Services in the Government's country a resident project manager,acceptabletotheClient,shalltakechargeofthe performanceofsuchServices.

5. ObligationsoftheClient 5.1 AssistanceandExemptions

Unless otherwise specified in the SC,the Client shall use its best efforts to ensurethattheGovernmentshall:

(a) provide the Consultants, Sub-consultants and Personnel with work

permitsandsuch other documents as shall be necessary to enable the Consultants, Sub-consultantsorPersonneltoperformtheServices;

(b) assist for the Personnel and, if appropriate, their eligible

dependents to beprovided promptlywithallnecessaryentryandexit visas,residencepermits,exchange permits and any other documents required for their stay inGovernment'scountry;

(c) facilitate prompt clearance through customs of any property required for

theServices and of the personal effects of the Personnel and their -

eligibledependents;

(d) issue to officials, agents and representatives of the Government all

suchinstructions as may be necessary or appropriate for the prompt

andeffectiveimplementationoftheServices;

(e) assist the Consultants and the Personnel and any Sub-consultants and

orAssociates employed by the Consultants for the Services from any requirementtoregisterorobtainanypermittopracticetheir profession or to

establish themselves either individually or as a

corporateentityaccordingtotheApplicableLaw;

(f) grant to the Consultants, any Sub-consultants and or Associates and the

Personnelofeitherofthemtheprivilege,pursuanttotheApplicable Law,

ofbringing into Government's country reasonable amounts of

foreigncurrencyforthepurposesoftheServicesorforthepersonaluse ofthePersonnel andtheir dependents and of withdrawing any such amounts

as may be earnedthereinbythePersonnelintheexecutionof theServices:and

(g) Provide to theConsultants, Sub-consultants and or Associates and

PersonnelanysuchotherassistanceasmaybespecifiedintheSC.

5.2 AccesstoLand

TheClientwarrantsthattheConsultantsshallhave,freeof charge,unimpeded accessto

all land in the Government's country inrespect of which access is requiredfortheperformanceoftheServices.TheClientwillberesponsiblefor any

damage to suchland or any property thereon resulting from such access and

will indemnify theConsultants and each of the Personnel in respect of liability

forany such damage,unlesssuchdamageiscausedbythe defaultornegligenceoftheConsultantsoranySub-consultantorthePersonnel

ofeitherofthem.

5.3 ChangeintheApplicableLaw

If,after thedate of thisContract, there isany change inthe Applicable Law with respect to taxes and duties which increases or decreases the cost or reimbursableexpenses incurred by the Consultants in performing the Services, then the remuneration and reimbursable expenses otherwise payabletotheConsultantsunder thisContractshallbeincreasedordecreased accordinglybyagreementbetweenthe Parties hereto, and corresponding adjustments shallbemadetotheceilingamountsspecifiedinClauseGC6.1(b).

5.4 Services,FacilitiesandPropertyoftheClient

TheClient shallmakeavailable totheConsultants andthePersonnel, forthe purposes of the services and free of any charge, the services, facilities and propertydescribedinAppendixFatthetimesandinthemannerspecifiedin saidAppendixF,providedthatifsuchservices,facilitiesandpropertyshallnot bemadeavailabletotheConsultantsas andwhensospecified,thePartiesshall agreeon(i)anytimeextensionthatitmay beappropriatetogranttothe ConsultantsfortheperformanceoftheServices,(ii)themanner in which the Consultants shall procure any such services, facilities andproperty from othersources,and(iii)theadditionalpayments,ifany,tobemadeto the Consultantsasa resultthereofpursuanttoClauseGC6.l(c)hereinafter..

5.5 Payment

In consideration of the Services performed by the Consultants under this

Contract, theClientshallmaketotheConsultants suchpaymentsandinsuch

mannerasisprovidedbyClauseGC6ofthisContract.

5.6 CounterpartPersonnel

(a)If so provided in Appendix F hereto, the Client shall make available to

theConsultants, as and when provided in such Appendix F, and free of

charge,suchcounterpartpersonnelto beselectedbytheClient,withthe Consultants'advice,asshallbespecified insuch Appendix F. Counterpart personnel shallwork underthe exclusive direction of the Consultants. If any memberof the counterpartpersonnel fails to perform adequately any work

assigned to him by the Consultantswhichis consistentwith thepositionoccupiedbysuch- member,theConsultants mayrequestthe replacementofsuchmember,andtheClientshallnotunreasonablyrefuseto

actuponsuchrequest.

(b) Ifcounterpart personnelarenotprovided bytheClienttotheConsultants

asandwhenspecifiedinAppendixF,theClientandtheConsultants shall agreeon(i)howtheaffectedpartoftheServices shallbecarriedout,and (ii) the additional payments, if any, to be made by the Client to the ConsultantsasaresultthereofpursuanttoClauseGC6.1(c)hereof.

6. PaymentstotheConsultants

6.1 CostEstimates;CeilingAmount

(a) An estimateof the cost of the Services payable in localcurrencyissetforthin

AppendixH.

(b) ExceptasmaybeotherwiseagreedunderClauseGC2.6andsubjectto ClauseGC

6.1(c), payments under this Contract shall not exceed the ceilings in local

currency specified in the SC. The Consultants shall notify

theClientassoonascumulative charges incurredfortheServiceshavereached80%ofeitheroftheseceilings.

(c) Notwithstanding Clause GC6.l(b) hereof, if pursuanttoclauses GC5.3,

5.4or5.6hereof, the Parties shall agree that additional payments inlocaland/orforeigncurrency, as the case may be, shallbemadeto the Consultants in order to cover any necessary additional expenditures not envisaged in the costestimatesreferredtoinClause GC6.1(a)above,theceilingorceilings,asthecasemaybe,setforthin Clause GC6.1(b)above shall beincreased bytheamountoramounts, asthecasemaybe,ofanysuchadditionalpayments.

6.2 RemunerationandReimbursableExpenditures

(a) Subject to the ceilings specified inClause GC 6.1(b) hereof, the Client

shallpaytotheConsultants (i)remuneration assetforthinClause GC 6.2(b),and(ii)reimbursableexpendituresassetforthinClauseGC6.2(c). If specifiedin the SC, said remuneration shall be subject to price

adjustmentasspecifiedintheSC.

(b) Remuneration for the Personnel shall be determined on the basis of

timeactuallyspentbysuchPersonnelintheperformance oftheServices afterthedatedeterminedinaccordancewithClauseGC2.3andClauseSC2.3(orsuc

hother date as the Parties shall agree in writing) (including

timefornecessarytravel via themost direct route) attherates referred

to,andsubjecttosuchadditionalprovisionsasaresetforth,intheSC.

(c) Reimbursable expendituresactuallyand reasonably incurred by the

Consultants intheperformance of theServices, asspecified inClause SC6.3(b).

6.3 CurrencyofPayment

(a) Deleted.

(b) The SC shall specify which items of remuneration and

reimbursable expenditures shallbepaid,respectively, in localcurrency,

6.4 ModeofBilling andPayment

BillingandpaymentsinrespectoftheServicesshallbemadeasfollows:

(a) The Client shall cause to be paid to the Consultants an interest bearing

advance payment as specified in the SC,andasotherwise set forthbelow. Theadvance payment will be due after provision by the ConsultantstotheClientof a bank guarantee by a bank acceptable to the

Client in an amount (oramounts) and in a currency ( or currencies) specified in the SC, such bankguarantee (I) to remain effectiveuntiltheadvancepaymenthasbeenfullysetoffasprovidedin theSC,and

(ii) to beintheform setforthinAppendix Iheretoorin suchotherformastheClientshallhaveapprovedinwriting.

(b) Assoonas practicableandnotlaterthanfifteen(15days)after theendof eachcalendarmonthduringtheperiodoftheServices,theConsultants shall

submit to the Client, in duplicate, itemized statements,

accompanied by copies of receiptedinvoices,vouchersandotherappropriate supporting materials, of

theamounts payable pursuant to Clauses GC6.3 and6.4 forsuch month.

(c) The Client shall cause the payment of the Consultants periodically as giveninschedule of payment above within sixty (60) days after the receipt by theClientof bills with supporting documents. Onlysuchportion of a monthlystatementthatisnotsatisfactorily supportedmay

bewithheldfrompayment.Shouldanydiscrepancy befoundtoexistbetween actualpaymentand costsauthorized tobeincurred bytheConsultants, theClientmayadd orsubtractthedifferencefrom

anysubsequentpayments.Interestatthe rate specified intheSC shall become payable asfrom the above due dateonanyamountdueby,butnotpaidonsuchduedate.

(d) Thefinalpayment underthisClauseshallbemadeonlyafterthefinal reportand a

final statement, identified as such, shall have been submitted by the

Consultants and approved as satisfactory by the

Client.TheServicesshallbedeemedcompleted andfinallyacceptedby the Client and the final report and final statement shall be deemed approved

by the Client as satisfactory ninety(90) calendar days after receiptofthefinal

reportandfinalstatement bytheClient unless the Client, within such ninety

(90)-day period, gives writtennoticetothe Consultants specifying in detail deficiencies in the Services, the final reportor

finalstatement.TheConsultantsshallthereuponpromptlymake any

necessarycorrections,andupon completion of such corrections,

theforegoingprocessshallberepeated.Anyamountwhich

theClienthaspaidorcaused tobepaid inaccordance withthisClause in excess of the amountsactually payable in accordance with the provisions of

this Contract shall bereimbursed by the Consultants to the Client within

thirty, (30) days afterreceiptbytheConsultants of

noticethereof.AnysuchclaimbytheClientfor reimbursementmustbe madewithintwelve(12)calendarmonthsafterreceiptbytheClientofa

finalreportandafinalstatementapprovedbytheClientinaccordance

withtheabove.

(e) All payments under this Contract shall be made to the account of theConsultantsspecifiedin theSC.

7. FairnessandGoodFaith

7.1 GoodFaith

TheParties undertake toactingood faithwithrespecttoeachother's rights

underthisContract and to adopt all reasonable measures to ensure the

realization of theobjectivesofthisContract.

7.2 OperationoftheContract

The Parties recognize that it is impractical in this Contract to provide for everycontingency which may arise during the life of the Contract, and the Parties herebyagree that itis their intention that this Contract shall operate fairlyasbetweenthem,andwithoutdetrimenttotheinterestofeitherofthem, and that, if

during the term of this Contract either Party believes that this Contractisoperatingunfairly,thePartieswillusetheirbesteffortstoagreeon such action as may be necessary to remove the cause or causes of such unfairness,

butnofailure toagreeonanyactionpursuant tothisClauseshall give rise to a dispute subject to arbitration in accordance with Clause GC8 hereof.

8. SettlementofDisputes

8.1 AmicableSettlement

ThePartiesshallusetheirbesteffortstosettleamicablyalldisputesarisingout oforinconnectionwiththisContractortheinterpretationthereof.

8.2 DisputeSettlement

AnydisputebetweenthePartiesastomattersarisingpursuanttothis Contract whichcannot besettled amicably within thirty (30) days after receipt byone Party

of the other Party's request for such amicable settlement may be submitted by

either Party for settlement in accordance with the provisions specifiedintheSC.

9. FakeCV

Ifanycaseoffake/incorrect/inflatedCVisfound,itshallbedealtwithveryseverely

andwouldresultinallpossiblepenalactionincludingblacklistingfromfutureprojects

ofNHAI.Thiswouldalsoapplyevenwhentheconsultingfirmisnot successfulin getting the

assignment. In case CV of a person is turned out to be

fake/incorrect/inflatedduringtheassignment,theconsultancy firmswill havetorefund

thesalaryandperksdrawnincludinginterest@12%perannuminrespectofthe

not cancel the policy midterm without the consent of NHAI. The

(b) This limitation of liability shall not affect the Consultants' liability, if any,

fordamagetoThirdPartiescausedbytheConsultantsoranyperson orfirmactingonbehalfoftheConsultantsin carryingouttheServices.

(c) ProfessionalLiabilityInsurancemaybe acceptedforinitiallyoneyearwhich shall

3.5 Therisksandthecoverageshallbeasfollows

VehiclesAct,1988inrespectofmotorvehicles operatedinIndiabythe

ConsultantsortheirPersonnel oranySub-consultants ortheirPersonnel

fortheperiodofconsultancy.

(b)Third Partyliability insurance withaminimumcoverage,ofRs.1.0millionfor

theperiodofconsultancy.

(c) Professional liability insurance as per 3.4 (a) (ii) of SC of the

consultancy,withaminimumcoverageequalto estimatedremuneration

andreimbursable.

(d)Employer’sliabilityandworkers’compensation insurance inrespect of

the Personnel of the Consultants and of any Sub-consultant, in

accordance withtherelevantprovisionsoftheApplicableLaw,aswellas,

6.4(a) The following provisions shall apply to the interest bearing advance

Indian currency (INR) in the bidshall be made within60days after receipt and verification of advancepayment bank guarantee. The advance payment will be set off by theClientinequalinstallments

8.2 Disputes shall be settled by arbitration in accordance with the followingprovisions:

8.2.1 SelectionofArbitrators

Each dispute submitted bya Party to arbitration shall be heard bya sole arbitrator or an arbitration panel composed of three arbitrators, in accordance with the followingprovisions:

(a) Where the Parties agree that the dispute concerns a technical matter,

they mayagreeto appointasolearbitratoror,failing

agreementontheidentityof suchsolearbitratororwithinthirty(30) daysafterreceiptbytheotherPartyoftheproposalofanamefor suchanappointment bythePartywho initiated the proceedings, either

Party may apply to the President, IndianRoads Congress,New Delhi, for a list of not fewer than five nominees and, on receiptofsuchlist,theParties shallalternately strikenamesthere from,andthelast remaining nominee onthe list shall bethe sole

arbitrator for thematterindispute. Ifthelastremaining nominee hasnotbeendeterminedinthis manner within sixty (60) days of the date of the list, the President,IndianRoadsCongress, New

Delhi,shallappoint,upontherequestofeitherParty andfrom such listorotherwise, a solearbitrator forthematter in dispute.

(b) Wherethe Partiesdonot agreethatthe disputeconcernsa technical

matter,the Client and the Consultants shall each appoint one arbitrator, and thesetwo arbitrators shall jointly appoint a third arbitrator, who shall chair thearbitration panel. Ifthearbitrators named by the Parties do not succeed in appointing a third arbitrator

within thirty (30) days after the latter of the two arbitratorsnamedbythePartieshas beenappointed,thethird arbitratorshall,at the requestof either Party, be appointed by

Secretary, theIndianCouncilofArbitration,NewDelhi.

(c) If, in a dispute subject to Clause SC8.2.1 (b ), one Party fails to appointits

arbitrator within thirty (30) days after the other Party has appointed

itsarbitrator, the Party which has named an arbitrator may apply

to the Secretary, Indian Council of Arbitration, New Delhi, to appoint a solearbitrator for the matter in dispute, and the arbitrator

appointed pursuant tosuch

applicationshallbethesolearbitratorforthatdispute.

8.2.2 Rulesof Procedure

Arbitration proceedings shallbeconducted inaccordance withprocedures

oftheArbitration&ConciliationAct1996,ofIndiaunlesstheConsultantis aforeignnational/firm, where arbitration proceedings shall be conducted in accordance with the rules of procedure for arbitration of the United NationsCommissiononInternationalTradeLaw(UNCITRAL)as inforceon

8.2.3 SubstituteArbitrators

The sole arbitrator or the third arbitrator appointed pursuant to paragraphs (a)through(c)ofClause8.2.1hereofshallbe an

internationally/nationally recognized legal or technical expert with extensive experienceinrelationtothematter indispute.

8.2.5 Miscellaneous

Inanyarbitrationproceedinghereunder:
