1. About NBSC

National Bank Staff College (NBSC), Lucknow is training institution of National Bank for Agriculture and Rural Development (NABARD). NBSC is involved in catering the training need of NABARD Officers . It is located in a sprawling campus at a distance of about 6 km from Lucknow Airport and 9 km from the Lucknow Railway Station.

2. Invitation for Sealed Quotation

BIRD, an autonomous Society promoted by National Bank of Rural development (NABARD) is a leading training institute of national and International repute catering to the capacity building needs of banks/financial Institutions and other stakeholders working in the field of agriculture and rural development banking. It seeks to impart knowledge, improve skills and re-orient attitudes for individual growth and organizational effectiveness. In terms of Training Methodology, BIRD has adopted e-Learning mode, Virtual Class Room, Webinar apart from class room training involving Lectures, Case Studies, Structured Exercises, Audio visuals, Project Work, Lab Training, with hand-holding support etc. Based on various components given on its website www.birdlucknow.in, BIRD intends to develop an Mobile Application (BIRD App), to extend its knowledge sharing efforts to geographically dispersed clientele. For this, National Bank Staff College (NBSC), being the nodal Administrative Institution for BIRD, invites, on behalf of BIRD, sealed quotations (also mentioned as bid/proposal) with technical and financial details from eligible vendors for “Design and Development of Mobile Application” based on components given on its website www.birdlucknow.in.

4. General Terms and Conditions of RFP:

4.1 Important Clarifications:

NBSC means National Bank Staff College, Lucknow

BIRD , or Institute means Banker Institute of Rural Development, Lucknow

‘Vendor’ means the selected bidder of the RFP.

‘RFP’ or ‘Quotation’ means the Request for Sealed Quotation.

‘Recipient’ or ‘Respondent’ or ‘Bidder’ means the agency which has submitted the RFP documents.

‘Offer’ means response to RFP documents submitted by the Recipient to NBSC.

4.2 Bid Security/EMD: Rs.16,000/- (Rupees Sixteen thousand only).

The bid should be accompanied by Unique Transaction Receipt (UTR) pertaining to the e-payment of the Earnest Money Deposit (EMD) of 16,000/- (Rupees Sixteen thousand

only).The quotations not accompanied by the UTR will not be considered. EMD of the Rs16000/- should be remitted through e-payment in favour of National Bank Staff College (NBSC) of which details are as under:

4.3 Return or discharge with EMD

Unsuccessful Bidder’s bid security will be discharged or returned after completion of

the process.

'The Earnest Money Deposit of the successful Bidder shall be released at the time of

payment of the first instalment for App development and on receipt of the

Performance Bank Guarantee (PBG). No interest is payable on this amount.

. 4.4 Performance Bank Guarantee

i. The successful Bidder shall, at his own expense, deposit with the Principal, NBSC, Lucknow within 10 days of the notice of award of the work, a Performance Bank Guarantee from a schedule commercial bank, payable on demand (indicate as per Annexure No XI.) for an amount equivalent to 10% of the of the total order value of hardware and software in lieu of Retention Money Deposit for the due performance and fulfilment of the warranty/contract by the Bidder.

ii. The Earnest Money Deposit of the successful Vendor/Bidder shall be released at the time of payment of advance for web development upon the Bidder's completion of items listed in the scope of work and on receipt of the Performance Bank Guarantee. No interest is payable on such amount.

iii. The Performance Bank Guarantee shall be denominated in INDIAN RUPEES only. iv. Without prejudice to the other rights of NBSC under the contract in the matter, the

proceeds of the Performance Bank Guarantee shall be payable to NBSC as compensation for any loss resulting from the Bidder's failure to complete its obligations under the contract. NBSC shall notify the Bidder in writing of the invocation of the right to receive such compensation indicating the contractual obligation(s) for which the Bidder is in default.

v. The Performance Bank Guarantee will be discharged only after a period of six months after the expiry of the Mobile App development period and warranty period of 12 months after due performance of the obligations of the Bidder under the contract.

vi. Failure of the successful Bidder to enter into contract within 10 days or within such extended period, as may be specified by the Principal, NBSC, Lucknow shall constitute sufficient ground, among others, if any, for the annulment of the award of the RFP.

4.5 Recipients

The RFP document is intended for the information and action of the party to whom it is issued (“the Recipient” or “the Respondent” or “the Bidder”) and no other person or organization.

4.6. Confidentiality

The RFP document is confidential and is not to be reproduced, transmitted, or made available by the Recipient to any other party without BIRD’s written permission. The RFP document is provided to the Recipient on the basis of an undertaking of confidentiality given by the Recipient to NBSC(As per Annexure-VIII). NBSC may update or revise the RFP document or any part of it. The Recipient acknowledges that any such revised or amended document is subject to the same terms and conditions as this original and subject to the same confidentiality undertaking. 4.7 . Indemnity i. The Bidder shall, at his own expense, defend and indemnify NBSC against any third party

claims in respect of any damages or compensation payable in consequences of any accident or injury sustained or suffered by its (Bidder's) employees or agents. or by any other third party resulting from or by any action, omission, or operation conducted by or on behalf of the Bidder and against any and all claims by employees, workmen, contractors, sub- contractors, suppliers, agent(s), employed/engaged otherwise working for the Bidder, in respect of any and all claims under the Labour Laws including wages, salaries, remuneration, compensation or like.

ii. The Bidder shall indemnify, protect and save NBSC and BIRD and hold NBSC and BIRD harmless from and against all claims, losses, costs, damages, expenses, action suits and other proceedings. (including reasonable attorney fees), relating to or resulting directly or indirectly from

a. an act or omission of the Bidder, its employees or its agents in the performance of the services provided by this contract,

b. breach of any of the terms of this RFP or breach of any representation or warranty by the Bidder,

c. use of the deliverables and or services provided by the Bidder. d. Infringement of any patent, trademarks, copyrights etc., or such other statutory

infringements in respect of all components provided to fulfil the scope of this project.

iii. The Bidder shall further indemnify NBSC and BIRD against any loss or damage to NBSC 's or BIRD's premises or property, NBSC 's and BIRD's data, loss of life, etc., due to the acts of the Bidder's employees or representatives. The successful Vendor/Bidder is required to submit a "Letter of indemnity and undertaking" as per the prescribed format (Annexure - X) within 10(Ten) days from the date of issue of Work Order.

4.8 Costs to be borne by Respondents

All costs and expenses incurred by Respondents in any way associated with the development, preparation, and submission of responses, including attendance at meetings, discussions, etc. and providing any additional information required by the NBSC, shall be borne entirely and exclusively by the Respondent. 4.9 Legal Relationship No binding legal relationship shall exist between any of the Respondents and NBSC until execution of a contract. 4.10 Recipients’ obligation to inform itself

It is the Recipient’s responsibility to conduct all necessary investigations and analysis regarding any information contained in the RFP document and the meaning and impact of that information. 4.11 Errors and Omissions

Each Recipient should notify NBSC of any error, omission, or discrepancy found in this RFP document. Notification should be addressed to the Principal, NBSC as per the address given in Address for Communication

4.12 Acceptance of Terms Recipient shall, by responding to NBSC with a submission, be deemed to have accepted the terms of this document in totality without any condition whatsoever( Annexure-IX). 4.13 Liabilities of NBSC

This RFP is not an offer by NBSC, but an invitation for Vendor responses. No contractual obligation on behalf of NBSC whatsoever shall arise from the RFP process unless and until a formal contract is signed and executed by duly authorized officials of NBSC and the Vendor. 5. Qualification Criteria for RFP 5.1 The Bidder shall not be under a declaration of ineligibility for corrupt and fraudulent practices/poor performance / failure issued by the Govt. of India / State Govt. / Govt. Depts. / PSUs / World Bank /Asian Development Bank etc. A declaration to this effect shall be submitted by the bidder. 5.2 The Bidder should be in the field of software development at least for the last 10 years (as on 01.07.2017). Copy of Certificate of registration or Incorporation should be submitted as proof. 5.3 The Bidder should have valid Software Quality Certification ISO/CMM Level and other Certification for design, development, configuration and maintenance of Mobile Application. Documentary evidence in this regard is required to be submitted. 5.4 The Bidder should be financially sound with an average annual turnover of more than Rs. 1,50,00,000.00 (INR) during the previous 3 years. 5.5 The Bidder must have a Service Tax Registration/ Trade Tax /VAT/TIN /PAN/GSTIN at the time of bid submission of sealed quotation. Documentary evidence in this regard is required to be submitted. 5.6 The Bidder should enclose the copies of Balance Sheet and ITR of last 3 years i.e. 2013-14, 2014-15 and 2015-16. 5.7 The Bidder should have adequate strength of technical/managerial professionals to be engaged for the activity. Documentary evidence in this regard is required to be submitted. 5.8 The Bidder should have local presence at Lucknow, Uttar-Pradesh to give technical onsite support on call basis. Documentary evidence in this regard is required to be submitted. 5.9 The Bidder should have proven experience of having successfully completed at least two work orders or more of such activity during the last three years. Copy each of the Letters of Awards/ Work Orders and Awarded Job Completion Certificates are to be enclosed while submitting the bids. 5.10. If required, a technical presentation on methodology including implementation road map with details of process and time schedule for completion of the work has to be made by the vendor. 6. Lodgement of RFP

6.1 The bids submitted anywhere else other than the place indicated in the document would be liable for rejection. The bids shall be in two parts as per the given format i.e. Technical Evaluation and Financial Details(Annexure-IV,V & VI). 6.2 The two sealed envelope must be super-scribed as “Proposal for Design and Development of Mobile Application for BIRD- Technical Evaluation" as per ( Annexure- IV& V) ” and “Proposal for Design and Development of Mobile Application for BIRD- Financial Bid" as per ( Annexure-VI). Both these sealed envelopes (technical and financial bids) should be kept in another sealed envelope super-scribed as “Proposal for Design and Development of Mobile Application for BIRD” and dropped in the Tender Box placed at the address given at Para 3(3) of this document. 6.3 NBSC in its absolute discretion may reject the bids received from the Bidder in following cases:

a. Submission of the bid after the date and time stipulated in this RFP Document. b. Misleading/incomplete information/submission of improper/incomplete documents. c. Only one bid shall be accepted from one Bidder. In case, the Bidder is submitting more

than one bid, all the bids submitted by the Bidder shall be disqualified.

6.4. Erasures or Alterations

Technical and financial details must be completely filled up. Corrections or alterations, if any, should be authenticated by the authorized representative of the Company/Firm submitting the bid.

6.5. Validity Period of financial bid The proposal/commercials shall remain valid for a period of at least 180 days from the date of the submission of offer. The Bidder may modify or withdraw its offer after its submission, provided that written notice of the modification or withdrawal is received by BIRD prior to the closing date and time prescribed for submission of offers. No offer can be modified or withdrawn by the Bidder, subsequent to the closing date or time for submission of offers.

7. Other Terms and Conditions 7.1. Adherence to Terms and Conditions: The Bidders who wish to submit responses to this RFP should note that they should abide by all the terms and conditions contained in the RFP. If the responses contain any extraneous conditions put in by the respondents, such responses may be disqualified and may not be considered for the selection process. 7.2. Execution of SLA: The successful vendor shall execute a Service Level Agreement (SLA), which would include all the services and terms and conditions of the services to be extended as detailed herein and any other conditions as may be prescribed by NBSC. The vendor shall execute the SLA within Ten Days from the date of issue of the work order by NBSC. The contract shall be executed by the authorized signatory of the vendor 7.3. Right to Accept or Reject the Quotation/Proposal

NBSC does not bind itself to accept the lowest bid or any or all Quotations and Reserves to itself the right to

accept or reject any or all the 'Quotations', either in whole or in part without assigning any reasons for doing so,

Waive or change any formalities, irregularities, or inconsistencies in proposal format.

Extend the time for submission of proposals.

Use the information/ clarifications provided in response to RFP by bidder in any form, for evaluation purpose.

Cancel the RFP at any stage, without assigning any reason whatsoever.

Change the time schedule of the RFP for inviting the bids or evaluation thereof.

Modify any specifications related to technical requirements If any conditions are stipulated at the time of submission of 'Quotations’, they will be Liable to be summarily rejected

7.4. Professional advice: The vendor should provide professional, objective and impartial advice at all times and hold the BIRD’s interests paramount and should observe the highest standard of ethics while executing the assignment. 7.5. Adherence to Standards: The vendor should adhere to laws of the land and rules, regulations and guidelines issued by the various regulatory, statutory and Government authorities. The Bidder should provide a fully compliant system with latest certification/standards prevailing in the industry and ensure their time to time updation. NBSC reserves the right to ascertain information from other institutions to which the bidders have rendered their services for execution of similar projects. Such feedbacks from high ranking officials would also form part of vendor selection and any strong adverse comment/action about product or service would make the bidder ineligible for further assessment/processing. 7.6. Expenses: NBSC shall not pay any amount towards expenses / charges / fees / travelling expenses / boarding expenses / lodging expenses / conveyance expenses / out of pocket expenses etc. other than the fees as per the final price of the successful bidder.

7.7. Dispute resolution NBSC and the vendor shall make every effort to resolve amicably, by direct informal negotiation, any disagreement or dispute arising between them under or in connection with the contract. If after 30 days from the commencement of such informal negotiations, NBSC and the vendor have been unable to resolve amicably a contract dispute; either party may require that the dispute be referred for resolution by formal arbitration. All questions, disputes or differences arising under and out of, or in connection with the contract, shall be referred to sole Arbitrator appointed by NBSC and the award of the arbitrator shall be final and binding on the parties. The arbitration proceedings and the venue of the arbitration shall be at Lucknow. The expenses incurred by each party with the preparation, presentation, etc. of its proceeding as also the fees and expense paid to the appointed arbitrator by such party or on its behalf shall be borne by each party itself.

7.8. Usage of third party software The Bidder will be solely responsible for any license required, fees, charges to be paid or any other legal requirements related to Operating System, software, scripts used for development and

implementation of the Mobile Application. NBSC will not have any responsibility and will not be liable to pay any fee, charge in this regard. 8. Scope of work

Mobile Application should be reliable, scalable, robust and readily deployable with minimum customization in compliance to all security features. It should conform to ACID (Atomicity, Consistency, Isolation and Durability) properties and non-repudiation.

The Bidder should propose to offer active support to enhance activation and usage of Mobile Application by BIRD’s clientele or other users.

The current scope of the project is to enable the BIRD Website to be rendered on mobile devices via a mobile application on popular platforms viz. both iOS and Android. All the features and sections of the website as detailed in Annexure III & IV should be available on mobile devices using the mobile application.

8.1 Right to alter Scope of Work

NBSC reserves the right to alter the Scope of Work on the same terms and conditions.

9. Training

The Bidder shall provide onsite training to the staff of BIRD with the manuals for user/administrator portal at no extra cost.

The training should cover all details for use of the application, use of Administrator web portal with user search details, MIS/reports generated, configuration of volume and velocity check, define limits, alerts / push notification including hands-on tips for basic troubleshooting.

10. Acceptance Test

NBSC will carry out/arrange through representative(s) of the vendor, User Acceptance Test on various types of mobile handsets.

The acceptance test would involve installation on various handsets and ease of operation of the solutions offered.

The acceptance test would include adherence to requirements and performance tuning of the application.

No additional charges shall be paid by the NBSC to the Vendor for rectifying the findings/observations of the acceptance tests.

11. Determination of Vendor:

NBSC will open the bids on the stipulated day and time in the presence of authorized representatives of the bidders. Even if only one bidder/no bidder is present, the bids will be opened. The final evaluation of bid will be based on technical and commercial evaluation carrying a score /Marks of 100. Of this the technical evaluation will carry 70 marks and the Commercial Bid 30 marks. The Work Order will be awarded on the basis of the final marks scored. The evaluation format is furnished in Annexure- V.

12. Time frame for completion of the work and penalty:

The work has to be executed by the vendor within 60 days from the date of issue of work order by

NBSC. For any delay on the part of the vendor in installation and commissioning of the Mobile

Application, NBSC reserves the right to impose penalty as it may decide. The vendor would also

be required to compensate NBSC for any direct loss incurred by NBSC due to cancellation of the

contract on account of any reasons at the vendor’s level and any additional expenditure to be

incurred by NBSC to appoint any other vendor. NBSC reserves the right to assign or allot or award

the contract to any third party upon cancellation of the availed services.

13. Warranty:

The vendor will ensure smooth functioning of the Mobile Application for one year after successful completion of the application development i.e. Bug fixing, Content Management, Update Management, Database Audit & Backup, Upgradation and any technical support required without charging any extra amount to NBSC. This warranty period will be for a tenure of one year to be counted from the date next to the date of completion of the project. 14. Annual maintenance Contract (AMC)

14.1 VENDOR should provide post warranty annual maintenance for the Mobile application software. The service would commence the day after the date of completion of the Warranty period. Post Warranty Annual Maintenance support will include any customization / modifications / enhancements, bug fixing and software upgradation of the Mobile Application Software. Bidders are required to quote the rate of AMC in the financial bid. However, this will not form part of this quotation document. NABARD will enter into a separate SLA with shortlisted service provider for maintenance of the website ( Annexure -VI) . 14.2 Further, BIRD or NBSC or both reserve the right to award AMC to the same vendor or to any other vendor and also to terminate the AMC at any time without assigning any reason 15. Sharing of codes and other details: The Mobile Application, so developed, in all means and also in terms of intellectual property, will be the sole property of BIRD and also that the copy right of the APP and all its programmes will be with BIRD only . The vendor will share all codes and technical details as required for integrating the Mobile Application with our website www.birdlucknow.in, with our website service provider as to be specified by NBSC. The vendor will also ensure that any code, technical details or anything related to the Mobile Application or any information/data provided by NBSC/BIRD related to the App development are not shared with any other party (ies) without NBSC’s written permission.

16. Terms of Payment

Payment shall be made against Invoices. All applicable taxes, if any, at the time of release of

payments, shall be deducted at source as per prevailing rate while making any payment. Payment

would be made as per the following schedule: ‐

a. 10% of the total order value on acceptance of terms and conditions and commencement of

the application development.

b. 30% on completion of work i.e., development of mobile application.

c. 40% on completion of warranty period of 6 months and

d. 20% on conclusion of the warranty period.

17. Force Majeure

i. The parties shall not be liable for default or non-performance of the obligations under the contract, if such default or non-performance of the obligations under this contract is caused by Force Majeure.

ii. For the purpose of this clause. "Force Majeure" shall mean an event beyond the control of the parties, due to or as a result of or caused by acts of God, wars, insurrections, riots, earthquake and fire, events not foreseeable but does not include any fault or negligence or carelessness on the part of the parties, resulting in such a situation.

iii. In the event of any such intervening Force Majeure, each party shall notify the other party in writing of such circumstances and the cause thereof immediately within five calendar days. Unless otherwise directed by the other party, the party pleading Force Majeure shall continue to perform/render/discharge other obligations as far as they can reasonably be attended/fulfilled and shall seek all reasonable alternative means for performance affected by the Event of Force Majeure.

iv. In such a case, the time for performance shall be extended by a period(s) not less than the duration of such delay. If the duration of delay continues beyond a period of three months, the parties shall hold consultations with each other in an endeavour to find a solution to the problem.

v. Notwithstanding above, the decision of NBSC shall be final and binding on the Bidder. 18. Order cancellation

i. NBSC reserves its right to cancel the entire/unexecuted part of the work contract at any time by assigning appropriate reasons in the event of one or more of the following conditions: -

a. Delay in commencement of the work beyond two weeks from the date of acceptance/receipt of the work order (except with written permission from NBSC).

b. Any other appropriate reason in view of NBSC.

ii. In addition to the cancellation of the work contract, NBSC reserves the right to foreclose the Bank guarantee given by the Vendor/Bidder towards performance of the contract to appropriate the damages

Notwithstanding anything to the contrary, the decision of NBSC as to whether the design and Development of Mobile Applications for BIRD have failed to perform as per the contract and whether the Bidder has failed to maintain the Mobile Apps Development as per the terms of the contract will be final and binding on the Bank and the Bank shall not be entitled to ask NBSC to establish its claim or claims under this Guarantee but shall pay the same to NBSC forthwith on mere demand without any demur, reservation, recourse, contest or protest and/or without any reference to the Bidder. Any such demand made by NBSC on the Bank shall be conclusive and binding notwithstanding any difference/dispute between NBSC and the Bidder or any dispute pending before any Court, Tribunal, Arbitrator or any other authority.

3). This Guarantee shall expire at the close of business hours on___________ (this date should be the date of expiry of the warranty/contract plus 180 days) without prejudice to NBSC's claim or claims demanded from or otherwise notified to the Bank in writing on or before the said date i.e., (this date should be date of expiry of Guarantee. i.e. 6 months after end of warranty/contract period).

The Bank further undertakes not to revoke this Guarantee during its currency except with the previous consent of NBSC in writing and this Guarantee shall continue to be enforceable till the aforesaid date of expiry or the last date of the extended period of expiry of Guarantee agreed upon by all the parties to this Guarantee, as the case may be, unless during the currency of this Guarantee all the dues of NBSC under or by virtue of the said contract have been duly paid and its claims satisfied or discharged or NBSC certifies that the terms and conditions of the said contract have been fully carried out by the Bidder and accordingly discharges the Guarantee.

5). In order to give full effect to the Guarantee herein contained, NBSC shall be entitled to act as if

the Bank is NBSC's principal debtors in respect of all NBSC's claims against the Bidder hereby

Guaranteed by the Bank as aforesaid and the Bank hereby expressly waives all its rights of surety

ship and other rights, if any, which are in any way inconsistent with the above or any other provisions

of this Guarantee.

6). The Bank agrees with NBSC that NBSC shall have the fullest liberty without affecting in any

manner the Bank's obligations under this Guarantee to extend the time of performance by the

Bidder from time to time or to postpone for any time or from time to time any of the rights or powers

exercisable by NBSC against the Bidder and either to enforce or forbear to enforce any of the terms

and conditions of the said contract, and the Bank shall not be released from its liability for the

reasons of any such extensions being granted to the Bidder for any forbearance, act or omission

on the part of NBSC or any other indulgence shown by NBSC or by any other matter or thing

whatsoever which under the law relating to sureties would, but for this provision have the effect of

so relieving the Bank.

7). The Guarantee shall not be affected by any change in the constitution of the Bidder or the Bank

nor shall it be affected by any change in the constitution of NBSC by any amalgamation or

absorption or with the Bidder, Bank or NBSC, but will ensure for and be available to and enforceable

by the absorbing or amalgamated company or concern.

8). This guarantee and the powers and provisions herein contained are in addition to and not by

way of limitation or in substitution of any other guarantee or guarantees heretofore issued by the

Bank (whether singly or jointly with other banks) on behalf of the Bidder heretofore mentioned for

the same contract referred to heretofore and also for the same purpose for which this guarantee is

issued, and now existing uncancelled and we further mention that this guarantee is not intended to

and shall not revoke or limit such guarantee or guarantees heretofore issued by us on behalf of the

Bidder heretofore mentioned for the same contract referred to heretofore and for the same purpose

for which this guarantee is issued.

9). Notwithstanding anything to the contrary contained herein, the Bank further agrees to accept

the notice of invocation as a valid claim from the beneficiary of this Guarantee, should such

occasion arise, at any of its branches operating in India including the issuing branch on the day of

such invocation and if such invocation is otherwise in order.

10). It shall not be necessary for NBSC to exhaust its remedies against the Bidder before invoking

this guarantee and the guarantee therein contained shall be enforceable against us not

withstanding any other security which NBSC may have obtained from the Bidder at the time when

this guarantee is invoked is outstanding and unrealized.

11). Any notice by way of demand or otherwise under this guarantee may be sent by special courier,

fax or registered post accompanied by the copy of the guarantee.

12). Notwithstanding anything contained herein:-

a) Our liability under this Bank Guarantee shall not exceed and is restricted to _________________ (Rs. _____________________________ only)

b) This Guarantee shall remain in force up to____________ or up to the date extended by renewal of this guarantee.

c) Unless the demand/claim under this guarantee is served upon us in writing before __________ or on or before the expiry of six months from the validity date extended by renewal of this guarantee. All the rights of NBSC under this guarantee shall stand automatically forfeited and we shall be relieved and discharged from all liabilities mentioned hereinabove.

13) The Bank has power to issue this Guarantee under the statute/constitution and the undersigned has full power to sign this Guarantee on behalf of the Bank.
