1. The Subcontract Sum- Thu phtrn gi

1.1. The Lump Sum Amount of 128,183,974 VND (Vietnam dong: One hundred twentyeighty million one hundred eighty three thousand nine hundred seventy four)

excluding value added tax (V.A.T) 10% (12,818,397) subject to the following key terms

and conditions.

1.2. This appendix shall be a fixed price lump sum contract and shall not subject to re-

measurement for any reason whatsoever.

1.3. Variation will only apply in event of a change in the scope of work and at the sole

discretion of the Contractor. The Subcontract is deemed to have allowed in his Lump

sum for all items required to complete the works and there will be no variations for any

1.4. There will be no adjustment for price increases (fluctuations) for material, plant and

equipment nor for any change in legislation which may impact taxes or import duties or

the like and the Subcontract is deemed to have made all necessary allowances in the

2. Programme- Tin

2.2 The issues of the Taking Over Certificate (completion certificate) shall be contingents on

the following events being satisfactorily completed so as to represent substantial

completionof the Subcontractor works.

- completion of all test and inspections to the satisfaction of the Contractor

The Contractor shall have sole discretion in deciding when the works as substantially

completion for the issue of the Taking Over Certificate.

2.3 The period of the Defects Liability Period will be 2 years from the date of the Taking

Over Certificate of the Main Contract at which time 2.5% of retention shall be released to

the Subcontractor and the balance 2.5% being released on expiry of the period and paid

in the Final Certificate.

2.4 Liquidated Damages shall be at a rate of 12,818,397 VND per day pro-rata for each

building based on the proportional Subcontract Sum. Maximum liability of liquidated

damages is 10% of Subcontract Sum.

1. For the consideration hereinafter mentioned the Subcontractor will upon and subject to

the condition annexed hereto execute and complete the Subcontract Works shown

upon the Sub Contract Document, and described by or referred to the attached Bill of

quantity, Subcontract Drawing, Preambles, Specification and remedy defects therein in

conformity in all respects with the provisions of Subcontract.

thousand one hundred twenty) excluding Value Added Tax (V.A.T) 10%

(herein after referred to as the Subcontract Sum) or such other sum as shall be come

payable hereunder at the times and in the manner specified in the said Condition
